GoodsThis Pricelist includes Façade panels, Façadeclay tiles, Balcony panels, Rendering panels,building boards and the accordant accessories,fixing systems and tools.
Delivery termsAll the goods in this pricelist are marked with a special delivery code:
S = standard article,Product in stock(changes reserved)
E3 = Article will be ready to pick upwithin three weeks(changes reserved)
E6 = Article will be ready to pick upwithin six weeks(changes reserved)
E8 = Article will be ready to pick upwithin eight weeks(changes reserved)
F = special article,delivery time on request.
For treatment of the products the delivery timeextended up to 1-2 weeks.The delivery will be on pallets, which will becharged. In case of return the full amount willbe reimbursed.Orders can’t be changed after order affirma-tion, especially for appointments with specialcolours. Reorders after production has takenplace, apply as new orders.
Treatment ServiceThe treatment of our products can be doneaccording to customer demand.All the special treatments must be transmittedvia an electronic data sheet, which is availableat the EBM Export custom service (contactdata see page 4) or as a download at www.ebm-export.de. Cutting waste can be deliveredafter special advice of the customer.
Quality demandFibre cement panels and particle bondedboards are drilled and cutted according to theEBM Export quality demand. The acceptabledimension variation after treatment (cutting) is± 1 mm on a 3,100 mm board.The diagonal shouldn’t be more than 2 mm dif-ference.

Treatment of EQUITONE [natura] and [natura pro]:Boards with raw edges have to be cutted at all sides (approx. 15 mm)before using. After cutting the edges of the EQUITONE [natura] and[natura pro] boards they have to be sealed with Luko edge sealant. Lukohas to be considered in the order.

I. General, Scope1. These Delivery and Payment Conditions shall only apply to companies as defined in § 14German Civil Code.2. These Delivery and Payment Conditions are a part of all offers of and contracts for delive-ries from and services rendered by EBM Export GmbH (“EBME”). They exclusively are appli-cable. We do not accept any conditions of the customer which are contrary to or deviate fromour Delivery and Payment Conditions unless we have explicitly consented in writing to theirapplicability. Our Delivery and Payment Conditions even apply when we carry out a deliveryto an order without reservation even though we are aware of conditions of the customerwhich are contrary to or deviate from our Delivery and Payment Conditions.3. All additional agreements, supplementary agreements and changes must be put down inwriting even if they have already been concluded orally. Subsequent agreements can onlytake effect if they are concluded by an authorized representative.4. Personal data of our customers are stored and processed by us in accordance with theconditions of §§ 4, 28 BDSG (German Federal Data Protection Law), that is, in particular, onlyupon availability of a written consent and only within the purpose of the contractual rela-tionship. The customer may revoke a granted consent at any time to EBME.
II. Offers, Prices, Samples1. All prices do not include the statutory value added tax.2. All offers are non-binding until conclusion of the contract and remain subject to prior sale.3. If no written agreement about a price has been concluded, the said price is normally thelist price that was valid when the contract was concluded. However, the said price is the listprice that is valid at the time of delivery or pickup insofar as there were increases in costs,especially for energy, personnel, duties and taxes, during the time between conclusion of thecontract and delivery or pickup and the size of these increases was not foreseeable andwhich would make it unreasonable for EBME to adhere to the fixed price. Documentation ofsuch cost increase is provided to the customer upon request.4. All prices are quoted ex works or warehouse and do not include transport costs, valueadded tax, customs duties and other costs incurred between conclusion of the contract andcontractual transfer of the goods.5. Samples, except as otherwise agreed, are non-binding pieces for visualization. Our offersand samples are subject to minor deviations in respect to size, quality, weight and color.
III. (Partial) Delivery, Passing of Risks, Delay in Acceptance, Debtor’s Delay1. To be binding, a delivery date must be confirmed in writing by us.2. We are entitled to deliver partial quantities within the stated delivery period.3. Acts of God and other unforeseeable, unusual events which include, among others, shor-tages in materials, energy, labor and transport capacity, disruptions of production, industrialconflicts, overstepping of time limits by our suppliers, disruptions in transportation andgovernmental dispositions and which render us unable to fulfill our responsibilities to deliver,relieve us for the duration of their effects or if delivery is impossible relieve us completely ofour responsibility to deliver. We would notify the customer without delay. EBME shall be ent-itled to extend the delivery period unilaterally by a reasonable time.4. If the goods are delivered to the customer upon his request – likewise ex works or ware-house – then upon transfer of the goods to the freight carrier / shipper the risk of accidentalloss, destruction or deterioration passes to the customer; this also applies to partial delive-ries and pickups. All agreements to deliver presuppose that the place of unloading is acces-sible to trucks of up to 40 tones and that there is a suitable possibility for unloading atground level. With deliveries within 24 hours (express deliveries) or with a subsequent chan-ge of a delivery order by the customer within 24 hours before commencement of the originaldelivery time (change of delivery place or time) the customer bears the resulting additionalcosts.4a. Collection by the customer has to be announced at least 48 hours before thedate of collection. In cases a certificate of origin is required, an information not less than 5working days is necessary.5. The person who takes delivery of goods for the customer by signing the delivery note isdeemed to be the person authorized to receive the goods.6. If the customer defaults in accepting goods or disregards other duties to cooperate, we areentitled to demand compensation for the damages we sustain thereby, including any increa-ses in expenditures, without prejudice to further claims. In cases a claim for damages inplace of performance (§ 281 German Civil Code) is demanded, we are entitled, notwithstan-ding the possibility to claim higher damages, to demand 20 % of the sale price as compen-sation. The purchaser shall have the right to prove that no or a significant lower damage hasincurred.7. If we cannot fulfill our duty to deliver on time or to provide the goods for pickup on time,then we are only liable to the customer in accordance with the requirements of section VI,par. 1 for damages resulting from the delay.8. Insofar as it is agreed that Incoterms clauses shall apply, it is the Incoterms clauses in thecurrent version published by the International Chamber of Commerce which shall apply.
IV. Material Defects1. Claims for defects are subject to legal requirements unless nothing to the contrary is sti-pulated in the contract or these Delivery and Payment Conditions.2. It is incumbent on the customer to inspect delivered goods immediately upon receipt.Recognizable defects, deviations in quantities and incorrect goods are to be reported imme-diately to us in writing within five days at the latest by commercial customers. If timely noti-fication is omitted, all rights based on material defects are excluded. We must be given theopportunity to identify the reported complaints together with the customer and to be presentwhen samples are taken for testing materials.3. The agreed upon properties of the goods are, in principle, just those in our product des-criptions. Public comments, acclamations and advertising do not constitute additional con-tractually binding statements of the properties of the goods. These descriptions of the pro-perties of goods and other declarations about the goods are not to be understood as guaran-tees. The customer may only invoke a guarantee if it exists in writing and explicitly statesthat it is a guarantee.4. Minor changes in color and other surface properties (especially blooms, micro-cracks) ofthe goods including other types of variations in their appearance (minor irregularities, defor-mations) which do not negatively affect the fitness of the goods for use are not to be con-
strued as performance in breach of contract. The same applies to customary breakage. Wearand tear due to ageing or the weather is not a material defect.5. Tolerances customary do not lead to defects.6. When a customer’s notification of defects is justified and timely, we are entitled to remo-ve the defects or to deliver substitute goods, as we may choose.7. If this subsequent performance fails, the customer may demand a reduction of remunera-tion (reduction) or cancellation of (withdrawal from) the contract. Any costs incurred in con-nection with the subsequent performance shall be born by EBME, but only to the amount ofthe purchase price.8. A precondition for an assertion of claims based on defects is that the customer has pro-perly stored and handled the purchased goods and carried out all assembly, relocation,installation and other further processing in accordance with the applicable shop rules, gui-delines, norms, obligations imposed by licensing authorities and the instructions of ourworks.9. Claims for defects are not assignable.10. Advice by us is rendered without commitments and – insofar as is legally possible – lia-bility for its merits or in respect to the amount is excluded.11. Insofar as we agree to carry out construction work, our performance is governed by theprovisions of the current version of the VOB/B (German Contracting Regulations for Award ofPublic Works Contracts, Part B).
V. Extended producer liability of EBME (exclusively applicable for exports fromGermany)1. Clay tiles, slates, corrugated sheets, concrete roofing tilesIn case EBME grants a limited manufacturer‘s liability (verlaengerteSachmaengelansprueche) on it’s distributed products (clay tiles, slates, corrugated sheets,concrete roofing tiles) exceeding 5 years the following regulations apply: The limited liabili-ty shall only cover frost damages or impairments of water tightness provably due to produc-tion errors and/or material defects that impact the rainproof quality of the roof. It does notcover bleaching caused by sunlight or as a result of chemical or other aggressive exposure.Efflorescence is not considered as an error or defect on cement or clay based products. Themanufacturer’s liability does not cover accessory and /or fixing materials.2. Facade materialIn case EBME grants a limited manufacturer’s liability (verlaengerteSachmaengelansprueche) on it’s distributed fiber cement facade products exceeding 5 yearsthe following regulations apply: The limited liability shall cover frost damages or impairmentsof water tightness provably due to production errors and/or material defects that impact therainproof quality of the facade.3. On exposure the surface and/or its coating of the facade will be affected by weatheringwhich may vary with site location, aspect, pitch of roof and duration of exposure. Adhesionof the coating to the fiber cement or clay product is generally given. This covers a naturalageing of the base material and coating caused by the weather. Impurities such as runoffsfrom window sills, unusual chemical, biological or mechanical damage (e.g. rust, dust, paintimpurities, mechanical action, damage inflicted by third parties and damages resulting fromforce majeure) are not defects in materials. It does not cover bleaching caused by sunlight oras a result of chemical or other aggressive exposure. Efflorescence is not considered as anerror or defect on cement or clay based products.4. Claims for damages under subparagraph V. shall be reported to EBME without delay, sta-ting the place, type and extent of damages. Pictures of the damage shall be enclosed. Weshall be given opportunity to visit the site and examine the roof / facade and the fixed mate-rial.5. Justified claims will be regulated upon presentation of the receipt or the invoice and pas-sing over the production number of the product. Claims based on manufacturer‘s liabilitycannot be asserted until they have been confirmed by us in writing. Further claims will notbe accepted.6. In case of production errors or material defects within the aforementioned period EBMEmay choose to repair the defective parts or to deliver new parts or similar parts of a morerecent model/production. Alternatively EBME may compensate the value of the defectiveparts up to the invoiced amount.
VI. Damages1. Claims for damages are excluded, to the extend legally possible, regardless of the legalbasis for an asserted claim. Damages to human life, the human body or to human health areexcluded, if we are responsible for a violation of duty as well as other damages based on wil-ful or grossly negligent violation of duty on our part. A violation of duty by a legal represen-tative or vicarious agent of the EBME is equivalent to a violation of duty by the EBME. If EBMEis responsible for a violation of duty, then the customer is entitled to withdraw from the pur-chase contract under the applicable statutory conditions insofar as a defect in the object ofpurchased is not involved.2. The foregoing applies most particularly to claims because of faults in contract negotia-tions, violations of accessory duties and other legal claims. 3. Claims for damages due toimpossibility or inability to perform remain unaffected by this. The same applies insofar asliability is mandatory under the provisions of the German Product Liability Law.
VII. Packaging1. If at the request of the purchaser packaging other than standard packaging is used, espe-cially in the case of export business, this will be invoiced separately.2. Standard packaging of our fiber-cement products is carried out with Euro pallets or VdFzpallets (VdFz: German Association of the Fiber-Cement Industry). VdFz pallets are invoiced tothe purchaser upon delivery. Upon defect free return to our delivery location they are reim-bursed in the full amount. Customers who pick up their goods with Euro pallets are reimbur-sed or charged for the difference between the number of pallets taken at delivery time andthe number returned in defect free condition.
VIII. Payments, Rights of Retention1. Invoices are payable within 8 days of invoice date with 2% cash discount on deliveredmaterial, otherwise they are payable without cash discount within 30 days net. We grant a3% cash discount for payments by SEPA Direct Debit Mandate. The cash discount is to bededucted from the final invoice amount less cost of pallets. Advance payment can be agreed
our claims by more than 20%, then we are obliged to release collateral to the correspondingextent upon demand, whereby it is we who select the collateral to be released.
X. Copyrights and Trademark Rights, Technical Information1. We reserve all claims under copyright laws to the illustrations, drawings and other docu-ments provided by us. Marketing of our products is only permitted under existent trademarkswhich are protected for this purpose (ETERNIT, CREATON, TONALITY, EQUITONE).2. We issue technical information and suggestions for design to the best of our knowledge inthe context of our customer service, taking into consideration the applicable legal require-ments for the building industry and the rules of the art of construction. The customer itself isobliged to evaluate the suitability of the ordered goods and suggested design for the custo-mer's intended use. We are entitled to change the technical data of ordered goods to be deli-vered insofar as this is not unreasonable for the customer. Liability is excluded as far aslegally permissible.
XI Recourse of supplierRecourse claims of the purchaser against EBME according to § 478 BGB (recourse of the ent-repreneur) shall only exist to the extent that the purchaser has not entered into agreementwith his customer beyond the statutory obligations.
XII. Place of PerformanceThe place of performance for deliveries and pickups is – insofar as something else is notagreed to – the place of delivery (works or warehouse), and for payments it is payment loca-tion given in the invoice.
XIII. Assignment of Rights and Duties, Separability1. Transfers of rights and duties of the customer that result from the contract concluded withus require our written consent before they can take effect.2. Should individual provisions of the contract with the customer, including these generalconditions of business, be or become ineffective in whole or in part, then this would notaffect the effectiveness of the other conditions. Rather, that which can be agreed to witheffect and which comes closest to the economic purpose of the said ineffective provisions isdeemed to have been agreed to.
XIV. Contract Language, Place of Jurisdiction, Applicable Law1. The agreed upon contract language is the German language.2. Heidelberg, Germany is the place of jurisdiction for all disputes resulting from or in con-nection with the contract, including disputes over checks and bills of exchange, provided thatthe prerequisites of §38 par. 1 ZPO (German Code of Civil Procedure) apply. Moreover, we alsohave the right to file a complaint at any court with jurisdiction over the customer or any othercourt which could have jurisdiction under German or international law.3. All legal relations which result for the parties from the contract are governed by the lawsof the Federal Republic of Germany under exclusion of the uniform UN Sales Convention(United Nations Convention on Contracts for the International Sale of Goods).

to. Payments may only be made according to the payment conditions stated on the invoice.Other provision require a written agreement. The prerequisite for discount deductions is thecompensation of all invoices with regard to previous deliveries.2. In cases a SEPA Direct Debit Mandate is agreed, we are authorized to collect payments ofthe customers bank account by means of direct debit. The customer will instruct his creditinstitution to honor all our direct debits drawn. Collection of the debit is made on due date.If the due date falls on a non bank working day, reassignment will take place on the nextbank working day. The customers will be informed three bank working days before the debit(Pre-Notification). The customer warrants to ensure adequate funds in the account. A rever-sal of payment is not possible according to § 675x BGB. Costs arising in case of a non-pay-ment of a debit, shall be borne by the customer, as long as the non-payment or reversal ofpayment is not caused by us.3. Bills of exchange or checks require a written agreement and are accepted only on accountof payment. Discounts, charges and other costs have to be borne by the customer.4. Application of payments to interest and costs is governed by § 367 BGB (German CivilCode); deduction of cash discounts from the customer's new debt is eliminated to this extent.5. Bonus, rebate and other payment agreements in favor of the customer are subject to thecondition subsequent that our claims arising from contract are paid in full; thus, these agree-ments no longer apply if for any reason the customer fails to pay in full. For the event of abacklog of payments of any type it is hereby agreed in advance that the claims of EBME shalloffset any claims of the customer from bonus, rebate or other payment agreements.6. If the customer’s general place of jurisdiction lies outside the Federal Republic of Germany,payment shall be rendered in advance or by an irrevocable letter of credit which has beenconfirmed by one of Germany’s larger banks or by a German public credit institution.7. The customer only has rights of retention if its counterclaim has been recognized by decla-ratory judgment, is undisputed or has been recognized by us. If the customer is a commerci-al customer it may only assert a right to retention if its counterclaim is based on the samecontractual relationship.8. In the event that on the basis of information from a bank or credit inquiry agency there arereasonable doubts of the customer's credit worthiness, then even if these doubts existedwhen the contract was concluded, we are entitled to deny the performance incumbent on usinsofar as the customer does not perform concurrently or provide collateral in the amount ofour contractual claim. If the customer is not prepared to do this when we request it, then we– without prejudice to any other rights that we may have – are entitled to withdraw from thecontract.9. The customer defaults on fulfillment of a pecuniary claim when a reminder is delivered, acomplaint is filed in court or a payment order issued by the court is served (a German instru-ment similar to a default judgment). The customer is also in default if a calendar date for per-formance has been determined but the customer does not perform by that date. Without pre-judice to the foregoing, the customer defaults thirty days after the due date and delivery ofan invoice or equivalent demand for payment. When the customer defaults on payment, weare entitled without prejudice to any other rights of ours to invoice default interest in theamount of 8% above the base interest rate. In the event that greater damages due to thedefault can be proved, we are then in a position to assert these damages; the customer, forits part, is entitled to prove to us that we have sustained no damages or only damages in alesser amount as a result of the delay in payment.
IX. Retention of Title, Safeguarding of Claims1. The goods delivered continue to be our property until all claims from the applicable under-lying purchase contract have been paid in full (retention of title).2. With commercial customers, this retention of title extends to all claims including all acces-sory claims that exist on the basis of the business relationship with the customer includingside claims.3. With conduct of the customer that is in breach of contract, especially with delays in pay-ment, we are entitled to repossess the item delivered. Our repossession of the said item doesnot entail withdrawal from the contract unless we expressly declare this or unless the custo-mer is not a commercial customer.4. The customer is obliged to handle the item delivered with proper care; in particular, it mustbe insured sufficiently at the customer's expense against damages due to fire, water andtheft in the amount of its value when new.5. Processing of the purchased item by the customer is always done on our behalf. If the pur-chased item is processed together with other objects which do not belong to us, then weacquire co-ownership of the new item in the ratio of the contractual value of the purchaseditem (final invoiced amount including value added tax) to the values of the other processeditems at the time of processing.6. If the purchased item is inseparably mixed with items that do not belong to us, then weacquire co-ownership of the new item in the ratio of the value of the purchased item (finalinvoiced amount including value added tax) to the values of the other items at the time ofmixing. If mixing takes place in such a way that the item of the customer is to be regardedas the main item, then it is deemed to be agreed that the customer will transfer proportio-nate co-ownership to us. The same applies to the case of an assembly or other combinationor connection.7. The customer is authorized and empowered to sell the purchased item in the normal cour-se of business. However, it is hereby agreed that the customer would assign to us in theamount of our claim (final invoice amount including value added tax) all claims against thecustomer's customers or third parties which accrue to the customer from resale independ-ently of whether the purchased item is resold without or after processing, mixing, or assem-bly or other combination or connection. The customer also assigns to us in the same amountthe claims (including the right to grant of a safety mortgage) that accrue to the customeragainst third parties through connection of the purchased item with a piece of land. If thecustomer is an owner of the piece of land, then this advance assignment in the same amountalso covers the claims that result from sale of the piece of land or interests in it.8. The customer remains empowered to collect the claims assigned to us. However, in theevent of payment default on the part of the customer we are entitled to revoke the rightsgranted to the customer to collect claims assigned to us. In this case the customer is obligedto give us the information which we need to assert our rights to the claims assigned to us.The customer is only allowed to assign to third parties claims that arise from sale of the con-ditional goods (purchased item) insofar as this serves to collect the claim (factoring).9. If the realizable value of the realizable collateral granted to us by the customer exceeds
