Terms & Conditions

You (‘You’ or ‘Your’) acknowledge that You are submitting this Sponsorship Order Form to the address below in exchange for certain sponsorship benefits to be provided by Wild in Art Limited and St Oswald’s Hospice (‘Us,’ ‘We’ or ‘Our’) regarding Elmer’s Great North Parade. You agree to be legally bound by the following terms and conditions:

1. The benefits to be provided by Us to You are as described in this Sponsorship Order Form and the Sponsorship Offer document and are subject to these terms and conditions. If You adopt more than one Elmer, any additional benefits will be set out in an appendix to this Sponsorship Order Form.

2. We strongly suggest that you adhere to the trail’s design selection process. However exceptions may be made in exceptional circumstances. You should not make a decision based on a certainty that you can commission a unique design. If You commission any design for any of Your sponsored Elmer, any such designs shall be subject to Our approval. You agree to comply with the Guidelines and Approval Process for Commissioned Designs as set out in the Artist Submission Form.

3. The location(s) where the Elmer you adopt will be placed will be determined by Us at our sole discretion, and will be subject to obtaining planning approvals. During the display of Your Elmer, if deemed necessary by Us, We will notify You about any such change of location.

4. If Your Elmer sustain/s damage during the event, We, in Our sole discretion, may make any reasonable repairs to Your Elmer and shall determine if, when, and how to repair the Elmer.

5. Any use by You of the name Elmer’s Great North Parade, or the Elmer design(s) for promotional or advertising purposes must be pre-approved by Us and the publishers Andersen Press in writing. We will endeavour to respond to such request for approval within five business days after Your request is received by Us, however no such consent shall be implied without Our written consent (can be emailed).

6. You acknowledge that We shall retain all rights with regard to marketing and public relations and agree that:

· You do not own any right, title or interest in the name Elmer’s Great North Parade or any of the Elmer design(s);

· The name and the design(s) cannot be attached to, incorporated into, or distributed with any marketing, public relations, product or merchandise by You or on Your behalf by any third party without written permission;

· You will not use the name or the design(s) to reflect, in any way, adversely upon Our good name or upon the high character of the name and the designs.

7. We will determine which of the adopted Elmers, if any, are to be auctioned. You will not be entitled to receive any proceeds from the auctioning of Your sponsored Elmer(s).

8. The sponsored Elmer shall remain Our property. If You breach the terms or conditions of this Sponsorship Order Form or if You choose to commission a design for Your adopted Elmer but do not comply with the Guidelines and Approval Process for Commissioned Designs referred to above, We reserve the right to terminate Your sponsorship of the adopted Elmer.

9. Neither party shall be in breach of these terms and conditions or otherwise be liable to the other party for any delay or failure in performing any of its obligations hereunder if such delay or failure is due to any cause beyond that party’s reasonable control provided always that nothing in this condition 10 shall apply to the Sponsor’s payment obligations.

10. Nothing in this agreement is intended to, or shall be deemed to, establish any partnership or joint venture between any of the parties, constitute any party the agent of another party, nor authorise any party to make or enter into any commitments for or on behalf of any other party.

11. You cannot transfer or assign this Sponsorship Order Form or any part of it without receiving prior written consent from Us.

12. Any modification of any term or condition in this Sponsorship Order Form will not be effective unless in writing and signed by both You and Us.

13. No delay by either party in enforcing its rights shall prejudice or restrict the rights of that party, and no waiver of any such rights or of any breach of any contractual terms shall be deemed to be a waiver of any other right or of any later breach.

14. A person who is not a party to this agreement shall not have any rights under or in connection with it.15. This Sponsorship Order Form, and the documents annexed as appendices contain the whole agreement between

the parties relating to the subject matter hereof and supersede all prior agreements, arrangements and understandings between the parties relating to that subject matter.

16. The validity, construction and performance of this Sponsorship Order Form shall be governed by English law and shall be subject to the exclusive jurisdiction of the English courts to which the parties hereby submit.
