OEM reviews and signs the Microsoft OEMCustomer License Agreement (CLA)
What is the CLA?The Microsoft OEM Customer License Agreement for Embedded Systems ("OEM
CLA") is the agreement that an OEM Customer must sign in order to license MSProducts through the distribution channel
The OEM Customer must have an active OEM CLA in place prior to distributing anEmbedded System with an Image installed that includes an MS Product
MS Distributors facilitate the licensing process between the OEM Customer and MS.
The OEM CLA includes the general terms and conditions that govern the licensingof MS Products
The OEM CLA also includes the Third Party Integrator Schedule("Integrator Schedule")
Following MS approval, this Integrator Schedule gives the OEM Customer the right toengage a third party company ("Integrator") to use the MS Product Deliverables tocreate and test an Image, applications or software drivers for an Embedded Systemon behalf of the OEM Customer
CLA is an umbrella agreement no commitment to product,
volume or price is required

with additional license grants, above and beyond the rights grantedin the OEM CLA, in relation to the manufacturing and distribution ofEmbedded Systems that include MS Product.
