On the 1st of July 2013, European Regulation No. 305/2011 (commonlyreferred to as the Construction Products Regulations) will come into full force.On that day it will completely repeal European Directive 89/106/EEC(commonly referred to as the Construction Products Directive).

Unlike the Directive, the Regulation will be legally mandated across allMember States of the European Union.

As such there are legal requirements placed upon Manufacturers, Importersand Distributors of construction products.

Most notably is the requirement to CE mark products.

CE Marking is only required on a product which falls within the scope of a HarmonisedEuropean Standard (EN). A list of such standards is maintained on the EU-LEX (the EuropeanCommissions’ website) and in the OJEU (Official Journal of the European Union).

Where there is such a harmonised standard, the product must undergo both ITT (Initial TypeTesting) by a competent laboratory (ISO 17025: 2005 accredited Laboratory by an ILACmember. In the United Kingdom the laboratory must be accredited by UKAS (United KingdomAccreditation Service)) and FPC (Factory Production Control); which can take the form of anaudited Quality Management System (such as ISO 9001: 2009) so long as it takes intoconsideration manufacturing, quality and technical considerations unique to the product beingCE marked.

The steps and requirements for ITT and FPC are outlined in the ENwhich covers the product. As such, the requirements change for

every individual product.

Other products that do not require mandatory CEmarking under an EN may still be adorned with the

CE mark. This route is by ETA (European TechnicalAssessment), which can be derived by testing anddocumentation to either an ETAG (EuropeanTechnical Assessment Guideline) or CUAP(Common Understanding of AssessmentProcedure). In either case, the testing must beperformed by an accredited laboratory and thedocumentation must be drawn up and ratified byEOTA (European Organisation for TechnicalApprovals) via a Notified Body.

Whether a product is being CE marked by an ENor ETA, the end document which allows the CEmark to be adorned is known as the DoP(Declaration of Performance). This documentdetails critical compliance, conformity andperformance information and is themanufacturers’ own legal declaration document.As such when marking to an EN, a Notified Bodyis not required to prepare the DoP.

CE MARKING

GENERAL

1. (a) All orders placed with Evolution Fasteners UK Ltd (hereinafterreferred to as ‘The Company’) are subject to the terms andconditions set out below. No modifications or variations to theseterms and conditions and no other terms and conditions shallbe valid or effective unless expressly accepted in writing by aDirector of the Company.

(b) Any subsequent orders placed with the Company shall bedeemed to be placed s u b j e c t to these terms and conditionsunless expressly agreed otherwise in writing by a Director of theCompany.

QUOTATIONS

2. A quotation by the Company does not constitute an offer and theCompany reserves the right to withdraw or amend the same at anytime prior to the Company’s acceptance of the Purchaser’s order.The Buyers purchase order is binding and the Buyer is responsiblefor costs arising from any changes of nature to the order.

PRICE

3. The price of any goods shall be the Company’s list price of the goodsprevailing at the date of acceptance of the order by the Company(less any agreed discount).

4. Unless otherwise stated all prices are exclusive of V.A.T.

5. The Company shall be entitled from time to time to vary list price orlist prices without prior notice.

PAYMENT

6. Unless otherwise specified in writing by the seller, payment is dueon or before the end of the month following that in which the goodswere invoiced.

7. Failure by the Buyer to pay for any goods on the due date shallentitle the Company:

(a) to cancel the balance (if any) of the contract under which theBuyer has failed to pay for the goods and to recover from theBuyer damages for any loss suffered by the Company as aresult of such cancellation, and/or

(b) to cancel any other contract or the balance of any other contractwhich the Company may have with the Buyer and to recoverfrom the Buyer damages for any loss suffered by the Companyas a result of such cancellation, and/or

(c) to charge the Buyer interest at the rate of 2.5% per monthcalculated on a day-to-day basis on the amount due from thedate of invoice to the date of actual payment thereof (bothbefore and after any judgement) such interest to be paid ondemand.

ACCOUNTS

8. The Company reserves the right to close a credit account at any timewithout prior notice whereupon the whole of the amount outstandingon such account shall become immediately due and payable in full.

COLLECTION AND DELIVERY

9. Where the Company agrees to deliver any goods to the Buyer:

(a) The Buyer shall pay the Company’s delivery charges thereforeat the rate or rates prevailing at the date of acceptance of theorder by the Company or at such other rate or rates as may beagreed between the Company and the Buyer prior to the dateof acceptance of the order by the Company.

(b) Delivery of the goods shall be made to such place or places asagreed between the Company and the Buyer.

(c) The Buyer will ensure that there is adequate access to the placeof delivery and that there is made available at the place ofdelivery adequate labour and other facilities in order to enablethe goods to be unloaded promptly and safely and the Buyerwill indemnify the Company in respect of any losses costs andexpenses incurred by the Company as a consequence thereofand (without prejudice to the generality of the foregoing) theCompany shall be entitled to charge the Buyer for the storageof the goods whether at the Company’s premises or otherwise.

(d) If the Buyer shall refuse for any reason whatsoever to acceptdelivery of the goods the Buyer will indemnify the Company inrespect of all losses costs and expenses incurred by theCompany as a consequence thereof and (without prejudice tothe generality of the foregoing) the Company shall be entitledto charge the Buyer for the storage of the goods whether at theCompany’s premises or otherwise.

(e) The Company shall be entitled to make part deliveries of thegoods and for the purposes of these terms and conditions eachsuch part delivery shall be treated as a separate andindependent contract for the sale of goods to the Buyer.

10. (a) Any times stated for collection or delivery shall be a bona fideestimate only and whilst the Company will use all reasonableendeavours to meet any such times stated the Company shallnot be liable for any delay howsoever caused.

(b) Where no times are stated for collection or delivery theCompany will use all reasonable endeavours to make the goodsavailable for collection or to deliver the goods (as the case maybe) as soon as reasonably practicable.

(c) The Company shall be entitled to stop collection by or towithhold delivery to the Buyer of any goods where at the timecollection or delivery payment is due to the Company in respectof any goods supplied to the Buyer under any contractwhatsoever.

DAMAGE OR LOSS IN TRANSIT

11. Where the Company is responsible for delivering the goods tothe Buyer the Company will at its option repair or replace freeof charge any goods lost or damaged in transit provided that:

(a) (save in respect of a total loss or non-delivery of the goods)

details of any loss or damage have been marked on the copyof the consignment note or delivery documents signed by theBuyer and advised to the Company within 48 hours of deliveryand confirmed in writing to the Company with full particularswithin 3 days of delivery, and

(b) in respect of a total loss or non- delivery of the goods detailsare advised to the Company in writing (otherwise than on aconsignment note or delivery document) with full particularswithin (7 days) of the date of the Company’s invoice in respectof the goods.

SHORT DELIVERY

12. The Company shall not be responsible for any short deliveryunless details thereof are marked on the consignment note ordelivery document signed by the Buyer and in the case of lossin transit all the requirements set out in Condition 10(b) aboveare fulfilled.

STORAGE

13. Where the Company has notified the Buyer that the goods are readyfor delivery, the Buyer shall take delivery or arrange for storage. Ifthe Buyer does not so take delivery or arrange for storage within 7days of notification the Company shall be entitled to invoice and bepaid for the goods as though the goods had been duly delivered inaccordance with these instructions and the Company may arrangestorage either at the Company’s own premises or elsewhere on theBuyer’s behalf and all charges for storage, insurance and demurrageshall be payable by the Buyer.

DEFECTIVE GOODS

14. The Company shall at their option repair or replace any goodswhich are defective as to materials or workmanship providedthat:

(a) where any alleged defect is discoverable on an inspection ofthe goods (whether or not the Buyer shall actually inspect thegoods) notification of the alleged defect with full particularsthereof is received by the Company in writing within 7 days ofthe date of collection or delivery of the goods and in any othercase notification of the alleged defect is received by theCompany in writing with full particulars thereof within 10 daysof the date of collection or delivery of the goods, and

(b) the Company is notified in writing with full particularsimmediately upon discovery of the allegeddefect and is affordedthe opportunity of inspecting the goods at the premises of theBuyer or if so required by the Company the Buyer immediatelyreturns the goods to the Company’s premises carriage paid (butrefundable insofar as the goods are repaired or replaced), and

(c) any defect is not due to wear and tear neglect abnormal usemisuse or improper adjustment.

(d) The Company shall not be liable for transportation or installationcharges, for expense of the Buyers for repairs or replacementsor for damages for delay or loss of use or other indirect,incidental or consequential damage of any kind.

15. (a) As against a person dealing as a consumer as definedby Section 12 of the Unfair Contract Terms Act 1977 allconditions and warranties and liabilities whatsoeverwhether express or implied by statute (save thoseimplied by virtue of Sections 12 to 15 of the Sale ofGoods Act 1979) common law usage or otherwise arehereby excluded.

(b) As against a person dealing otherwise than as a consumer asdefined by Section 12 of the Unfair Contract Terms Act 1977 theprovisions contained in Condition 12 above shall be acceptedin substitution for and to the entire exclusion of all conditionsand warranties and liabilities whatsoever whether express orimplied by statute (save those implied by virtue of Section 12 ofthe Sale of Goods Act 1979) common law usage or otherwise.

16. Save and except as expressly stated in Conditions 12 and 13above the Company shall not be liable for any defect in thegoods or for any injury or loss resulting from the goods or anydefect therein or from any work done in connection therewithwhether such liability is due to the negligence of any servantemployee or agent of the Company or otherwise.

17. In the event that the Company shall be liable to repair or replacethe goods, in no circumstances shall the Company’s liabilityextend beyond the cost of repair or replacing the goods. In anyevent, notwithstanding anything contained in the contract, in nocircumstances shall the Company be liable in contract, tort(including negligence or breach of statutory duty) or otherwisehowsoever and whatsoever the cause thereof:

i. For any increased costs or expensesii. For any loss or profit, business contracts, revenues or

anticipated savings oriii. For any special direct or consequential damage of any nature

whatsoever said to have occurred consequent on the supply orthe circumstances of the supply of the goods or services hereincontracted to be supplied by the company or any subcontractorto its customer.

RETURNED GOODS

18. (a) Where returned Goods are found to be damaged due tothe Buyer’s fault the Buyer will be liable for the cost ofremedying such damage

(b) The vendor will not accept goods for credit or rectification unlesssuch return has been pre- authorised by Evolution FastenersUK Ltd, and the goods are received by the vendor in stockcondition, with original packaging and the vendor retains theright at its sole discretion whether to accept the return of thegoods or whether to rectify the goods or whether to issue acredit note in respect thereof.

(c) The purchaser shall unless otherwise stated be responsible forthe cost of outward and return carriage and insurance of allgoods returned by the purchaser to the vendor for service orcredit which goods shall be at the risk of the purchaser untilactual receipt of the goods by the vendor. The onus of proof of

safe delivery shall rest with the purchaser.(d) All items returned to the vendor by prearrangement and found

to contain no fault, will be subject to a 30% restocking charge,providing the goods are in original stock condition. Anydownward variation of this restocking charge shall be at the solediscretion of the vendor.

(e) No credit shall be allowed for goods until they have beenreceived complete.

FORCE MAJEURE

19. (a) The Company shall not be responsible for any loss damagedelay or non- performance of any contract arising whetherdirectly or indirectly from any cause outside the control of theCompany including (but without prejudice to the generality ofthe foregoing) any cause arising from or attributable to strikelock-out shortage of labour or materials governmental actioncivil commotion riots wars sabotage storm flood earthquakedrought machinery breakdown failure of plant collapse ofstructures voluntary or mandatory compliance with any directionrequest or order of any person having or appearing to haveauthority whether for defence or other governmental or nationalpurposes inability to obtain raw materials equipment fuel powercomponents or transportation.

(b) In the event of any delay or non- performance of any contractarising whether directly or indirectly from any cause referred toin Condition 19(a) above the Company shall be entitled tocancel any contract without payment to the buyer in respect ofany loss or damage or otherwise.

PROPERTY AND RISK

20. Property in any goods sold shall not pass to the Buyeruntil all sums outstanding from the Buyer to the Companywhether in respect of the goods or for any other reasonwhatsoever have been paid in full by the Buyer.

21. Notwithstanding that property in any goods sold may nothave passed to the Buyer the goods shall be at the riskof the Buyer from the time they are loaded onto thetransport vehicle at the Company’s premises or otherplace of storage of the goods save that where theCompany has agreed to deliver the goods to the Buyerthe goods shall be at the risk of the Buyer from themoment they are unloaded from the transport vehicle atthe place of delivery.

22. (a) The ownership of the goods shall only be transferred tothe buyer when the buyer has paid the full price for thegoods and other goods ordered by the buyer deliveredby the Company (including where applicable interest onany sums not paid on the due date) and until suchpayment is made the goods are held by the Buyer asBailee for the Company.

(b) If the Buyer shall sell or purport to sell the goods so as to purportto pass a valid title to a third party, the proceeds of such saleshall be held by the buyer on trust for the company and if suchproceeds are not paid to the company they shall be placed in aseparate Designated bank account.

(c) The goods shall be stored by the buyer in a safe and propermanner and in such a way so as to distinguish them from goodsnot owned by the Company and shall be separately identifiedin such manner as approved or directed by the Company.

d) Until payment of the whole price has been made by the buyerto the company (including interest where applicable) theCompany shall have the right to require the immediate return ofthe goods and be granted a Licence to enter the buyer’spremises or any premises where the goods are being kept orare thought by the company to be kept, and to remove thegoods.

(e) The right to trace any goods, the price of which remains unpaidor any proceeds of the purported sale of such goods intowhomsoever’s hands the same may pass is expressly reservedto the company.

(f) Each and every sub-clause of this clause shall be deemed tobe separate from the remainder of the contract and severableaccordingly.

GOVERNING LAW AND JURISDICTION

23. All contracts between the Company and the Buyer shallin respects be governed by English Law and all disputeswhich may arise out of or in connection with theseConditions or any contract between the Company andthe Buyer or any goods supplied or to be supplied underany contract shall be subject to the exclusive jurisdictionof the English Courts save that the Company shall be atliberty to bring any legal proceedings against the Buyerin the Courts of any other country which it considersappropriate.

24. In the event that the Company shall bring any legalproceedings against the Buyer in connection with theseConditions or any contract between the Company andthe Buyer or any goods supplied or to be supplied underthe contract the Buyer shall indemnify the Companyagainst all costs and expenses incurred by the Companyin connection therewith on a full indemnity basis.

25. For the avoidance of doubt nothing in these trading termsand conditions are intended to confer on any third partyany benefit or the right to enforce any terms within theconditions.
