    1. Theareadelineated herein as Entertainment and Spectator Sports Planned DevelopmentNumber 958, as Amended (the Plaimed Development ) consists of a net site areaofapproximatelyfivehimdred fourteen thousand eight hundred fifty-two(514,852)squarefeet(11.82acres)of property, including approximately 40,461squarefeet to be vacated, all asdepicted on the attached Planned Development Boimdary and Property Line Map and Rightof Way Adjustment Map (the Property ). The terin Property shallalsobe deemedtoinclude certain air rights to be vacated, as shown on the Right of Way Adjustment Mapsincludedas parto fthePlans(definedbelow);provided, however, thesquarefootage of suchvacated air rights shall not be included in the calculation of net sitearea.The Applicantsforpurposesof this Planned Development areWrigley FieldHoldings,LLC,andWrigleyFieldParking Operations, LLC,as the owners of Sub-Area A ,Triangle Property Holdings,LLC,andWrigley FieldParking Operations, LLC,as the owners of Sub-Area B,WrigleyFieldParking Operations, LLC,as the owner of Sub-Area C, andNorthClarkStreetL LCasthe owner of Sub-Area D. Asusedin this Planned Development, the term Applicant orApplicants meansthe Applicantscollectively,orindividually w i t hrespectto individualsub-areasor the improvements thereto andusesthereof, as the context requires.

    2. Applicant shall obtain all applicable o f f ic ia lreviews, approvals, permits and/oragreementswhichare required to implement this plan of development. Any dedication or vacation ofstreets,alleys oreasementsor any adjustment of or privileges to use rights-of-way shallrequire a separate approval by the City Coimcil, provided however the right-of-wayadjustments shown on the Right-of-Way Adjustment Plan shall be approved by theDepartment of Housing and Economic Development (the Department ), the Department ofTransportation and any other Cityagencyw i threview authority, subject tothesestatementsand the requisite approval of the City Council. Subject to site plan approval by theDepartment, Applicant shallhavetherightto construct a branded arch(includingrequiredsupport structure) wi th in and spanning the w idth of the Clark Street right-of-way andcanopiesaffixedto thebuildingto be constructed inSubareaD over theentranceon ClarkStreet and over the immediately adjacent sidewalk along North Patterson Avenue insubstantial conformance w i th the Plans. This Plaimed Development is intended toencourageeconomic development at the site and in its immediatevicinity.

    3. The requirements, obligations and conditions ofthisPlaimed Development shall be bindingupon Applicant, itssuccessorsandassignsand, i fdifferentthan Applicant, the legal titleholders and any groundlessors.A l lrights grantedhereunderto Applicant shall inure to thebenefit ofApplicant'ssuccessorsandassignsand, i fdifferentthanApplicant,the legalti tleholder and any grotmdlessors.Ftuthermore, pursuant to the requirements of Section 17-8-0400 of the Chicago Zoning Ordinance, the Property, at the time of any subsequentapplication for amendments, modifications or changes (administrative, legislative orotherwise) to this Planned Development are made, shall be tmder single ovmership or

    designated control.Single designated control is defined in Section 17-8-0400 ofthe ZoningOrdinance.

    4. This Plan of Development consists ofthese nineteen (19)statements and the fo l lowingexhibits(collecfively,the Plans ):

    (a) BulkRegulations and Data Table;(b) ExistingLandUseMapprepared byVOAAssociatesInc.and dated October 16,

    2013;(c) ExistingZoningMap;(d)Planned Development Boundary and Sub-Area BoundaryMap,consistingo ftwo(2)pages,prepared byVOAAssociatesInc.and dated October 16, 2013;(e) RightofWayAdjustment Maps, prepared byVOAAssociatesInc.,consistingo feight(8)pages,prepared byVOAAssociatesInc.and dated October 16, 2013;( f) Site plans,landscapeplans,landscapedetails,buildingelevations, expansion plansand other drawings and plans, consistingo fforty-seven (47)pages,prepared byVO AAssociatesInc.and dated October 16, 2013; and(g)Plaimed Development Signage Matrix,consisting ofsix(6)pages,prepared byVOAAssociatesInc.and dated October 16, 2013 (the PD Signage Matrix").

    Full-sizedcopies of thePlansare on file w i ththe Department. Any interior demising wallsand other interior improvements andspacesshown on thePlansare forinformation only,and this Planned Development shall not be deemed to l imit or prescribe the location ofinteriordemisingwallsor otherinteriorimprovements orspaces.This Planned Development conforms to the intent and purpose of the Chicago ZoningOrdinance, and all requirements thereof, and satisfies the established criteriaforapproval asa planned development. The provisions ofthisPlaimed Development are intended to applyto the Property and are inlieuof anyconflicting,inconsistent or more restrictive provisionsofthe ChicagoZoningOrdinance.

    5. The fo l lowing uses are allowed in the areas delineated herein as Entertainment andSpectator Sports Planned Development No. 958, as amended (including allsub-areasasdesignated herein):A l lusesallowed in a C2-5MotorVehicle-Related CommercialDistrict, including,withoutl imitation,and inaddition,as applicable: entertainment and spectator sports establishmentsofany capacity, other than inter-track wageringfacilities;lighting fornight events;seasonall ighting;specialeventsand entertainment(including, without l imitation, l iveand recordedmusical performances and concerts; theaterand movies; sports toumaments, competitions

    and exhibitions not l imited to baseball and includingsports such as football,softball,basketball,volleyball,hockey,cyclingand extremesportsexhibitions such as X Games );permanent, semi-permanent, temporary and portableconcessions,vendors, carts, catering,kiosks and trolleys;foodtrucks; farmer's markets; outdoor music; public performances;diningand picnicareas;general retailsales;foodandbeveragesales(includingl iquo r);restaurants; tavems(including,withoutl imitation,barsand night clubs); hotels;offices;at-grade, terraceand rooftop outdoor patios; plazasand open space;sidewalkcafes;publicaddressand soundsystems;stadium suites; team and other serviceusessuch as clubhouses,locker rooms, battingcages,media rooms, player lounge and relatedservicesandfacilities;banquet,conference and meeting halls;scoreboards;lodges and private clubs;beergardens;sponsorships; co-located and freestandingbroadcastand telecommunications equipment andfacilities(including earth station receiving dishes); generatorsand other power generatingfacilities;ticketoffices,ticketsalesand ticketagencies;ticket brokers; public andcivicuses(including, without l imitation, museums, fimd-raisers and other non-profit events);pyrotechnic displays (but not in cormection w i th baseball games, other than forplayoffs/post-season, AllStar Game, Opening Day and Fourth of July, all subject toapplicable permit approval); community centers; participant sports and recreation(including, without l imitation, health clubs, ice rink, and sports); personal services(including,withoutl imitation,spas); accessoryandnon-accessoryparking;outdoor stagingand parking of commercial and communications vehicles; the existing off-premisesbillboardadvertising sign in Sub-Areas C andD ;any useidentifiedi nthePlansnot setforthherein; andaccessoryuses.Inthe event any provisionso fthis Plarmed Developmentconflictwi ththeNightGameOrdinance (the ordinance adopted onJune5, 2013 and set forthin theJoumal of CouncilProceedings at pages 54974 through 54982), as the same may beamended firom time to time, the provisions of the Night Game Ordinance, as may beamended,shall govem.The fo l lowingusesin the C2-5 Motor Vehicle-Related CommercialDistrictare prohibited:Uses in the residential use group, Adult Use, Stables,Day Labor Employment Agency,Inter-Track Wagering Facility, Pay Day Loan Store, Pawn Shop, Poultry (includingslaughtering w i t hassociatedretailsales),Funeral and Internment Services, Gas Stations,UrbanFarms, ConstructionSalesand Service, and Hookah Bars.Subject to compliance w i th Statement 18, portions of the Property may beutilizedon aninterimbasisforaccessoryandnon-accessoryparking, construction staging, constructionsupport activities and the storage of construction materials for the various stagesofdevelopment of the Property. A l lallowedusesoftheProperty may be operated indoors andoutdoors.

    6. In Sub-Area A ,exterior on-premises signsare permitted subject to the review and approvalofthe Department and, i fapplicable, the Commission on Chicago Landmarks.InSub-Area B, exterior on-premises signsare permitted subject to the review and approvalofthe Department.

    InSub-Area C, exterior on-premises signs are pennitted subject to the review and approvalof the Department. Notwithstanding any provision of this Planned Development to thecontrary, theexistingoff-premisesbillboardsign ispermitted.InSub-AreaD ,exterior on-premises signs are permitted subject to the review and approvalo f the Department. Notwithstanding any provision of this Planned Development to thecontrary,the existing off-premisesbillboardsign is permittedpriorto development of Sub-AreaDas contemplated herein.A l l Sub-Areas: Notwithstanding the foregoing, the Department shall approve all signssubstantiallyconformingto the PD Signage Matrix.The PD SignageMatrixis incorporatedherein and is hereby approved as anintegralparto fthis Planned Development, the proposedexpansion and renovation ofWrigley Field, and development and redevelopment of theProperty as contemplated herein.For the purposes of this Planned Development, any signwhich identifies the nameorsponsorship of any structure or designated area w i th in the Property, such as CaptainMorganClub, or anysponsoro fthe baseball team operatingintheballpark,or anysponsoro faretailshowcaseor otherspacewi th inthe Property, shall be deemed an on-premises signand may be located in anysub-area.Maximum total signareashall be determined as setforthin the PD Signage Matrix. Interior signs are permitted and nothing in this PlannedDevelopmentshall regulate anyinteriorsign.Specifically,butwithout l imitation,Applicantshallhavetherightto expand theWrigley Fieldbleacherstoinstall ( i)a new video board inlef t field,whichmay include anLEDsign, a neonilluminatedsign above it and twolighttowers toassistinoutfield l ighting;and ( i i )a neon sign inright field, which signage hasbeenapproved by the Commission on Chicago Landmarks and, inadditionto being part ofthe bleacher expansion, and along w i t h all other signage contemplated by this PlannedDevelopment, is integral to the expansion and renovation of Wrigley Field and thedevelopment and redevelopment of the Property as contemplated herein. In furtherance oftheforegoing,and for the avoidance of doubt, a sign shall be deemed interiorand insideWrigley Field i f :(1) themessageface and the primaryverticalstructural supports of suchsign are located entirely wi th inthe property lines of Sub-Area A (whichproperty linesincludevacated airrights);and(2)theprimaryaudienceforsuch sign ispersonsviewing (inperson or ontelevision)eventsinside theballpark,regardlesso fwhether the sign or any partthereofis legible or can beseen fromthe exterior of the ballpark or any adjacentrightofway.Signs set forthin the PD Signage Matr ix,including, without l imitation,all existing signs,are permitted and approved, subject where applicable to the review and approval of theCommissionon Chicago Landmarks(i.e.,signs attached to ProtectedFeaturesofWrigleyField). The Commission on Chicago Landmarks has approved a Master Sign Programgovemingcertain signage inSubareaA . Nothingin this Planned Development or the PDSignageMatrixshall be deemed to regulate or l imitany other sign exempt fromregulationunder Section 17-12-0500 of the ChicagoZoningOrdinance, orincidental,temporary andspecialeventssignage.

    Solelyas applied to the Property, this Plaimed Development and the PDSignageMatrixshall supersede any provisions of Title 17 of the Chicago Municipal Code which areinconsistent or inconflictw i thor more restrictive than the PDSignage Matrix,including,withoutl imitation,Chapter 17-12o fthe Zoning Ordinance.

    7. Off-street parking and off-street loading shall be provided in compliance w i th the BulkRegulations and Data Table and any exhibits attached hereto.8. Any service drive or other ingressoregressshall be adequately designed and paved, inaccordancew i ththe regulations of the Department of Transportation ineffectat the time offinaldesign and in compliance w i ththeMunicipalCode of theCityof Chicago, to provideingressandegressformotor vehicles,includingemergency vehicles.Any changestoingressandegressshall be subject to the review and approval of the Department of Transportationand the Department.9. As part of this Planned Development, infrastructure improvements w i l l be undertaken as

    follows: atrafficsignal at the intersectionofClarkStreetand Waveiand Avenue. atrafficsignal at the intersectionofClarkStreetandRoscoeStreet atrafficsignal at the intersectiono fClarkStreetand SchoolStreet

    a wirelesstrafficsignal interconnect on ClarkStreetf romBelmont Avenue toIrvingPark Road.

    A l l of the foregoing infrastructure improvements w i l l be designed and installed by theDepartment of Transportation and paid for using the CubFund, w i th an additionalcontribution fromApplicant of an amoimt equal to the actualcoststo install atrafficsignalat the intersection of Clark Street and Waveiand Avenue not to exceed in any event$350,000 and such additionalcontributionshall beusedsolelyfor thispurposeand no other.Applicant w i l l pay or reimburse, as thecasemay be, this amount to the Department ofTransportation fo l lowing written notice to the Department, the Department ofTransportation and the Department of Buildings that Applicant intends to apply for acertificate of occupancy for the improvements in SubArea B. No certificate of occupancymay be issued untilandunlesssaid payment hasbeen made,provided however aCertificateofOccupancy w i l lnot be denied or delayed i ftheCitydecidesnot toinstallthetrafficsignalat the intersection of ClarkStreetand Waveiand Avenue or the installation is otherwisedelayed. In addition, Applicant and the Department of Transportationhavedeveloped ahotelmanagementplan for the hotel and relatedusesonSubareaD,whichthe Departmentof Transportation has approved. Further, Applicant and the Department of Transportationhavedeveloped atrafficmanagementplan forgamedaytrafficwhichthe Department ofTransportation has approved and Applicant and the Department of Transportation w i l lcontinue to meeton an annual basis to review thisgame-daytrafficmanagementplan,evaluate thefuturetrafficconditions anddiscussanynecessarymodifications.

    10.In addition to themaximiunheight of thebuildingand anyappiutenancesattached theretoprescribed in this Planned Development, the height of any improvements shall be subjectonlyto:

    (a) heightlimitationsestablished by the FederalA viationAdministration;and(b)airport zoning regulations as established by the Department, the Department ofAviationand the Department ofLawand approved by theCity Coimcil .(c)Forpurposesof height measurement, thedefinitionsin the Zoning Ordinance shall

    apply.11.Upon review and determination, Part I I Review , pursuant to Section 17-13-0610 of the

    ZoningOrdinance, a Part Review Fee shall beassessedby the Department. The fee shallbe calculated in thesamemanner as is standard and generally applicable to all Part fees,and is finaland binding on the Applicant and must be paid to the Department of Revenuepriorto theissuanceo fanyPart approval.

    12.The maximum permittedfloorarearatio for the Property shall be inaccordance w i ththeattached BulkRegulations and Data Table. Forpurposesoffloorarearatio calculations andfloorareameasurements, the requirements of the Zoning Ordinance shall apply and thefo l lowing additional exclusions shall also apply: (a) space devoted to mechanicalequipment, i fany,shall not be counted asfloorarea;(b)the seatingbowlo fthe stadiumw i l lnot be counted asfloorarea;and (c) all parking located on the Property shall be deemedaccessory off-street parking and any space devoted to parking (including all lobbies,concoursesandareasaccessorythereto) shall not be counted asfloorarea.

    13.Applicantacknowledges that it is in the public interest to design, construct, renovate andmaintainall buildings in a manner that provides healthier indoor environments,reducesoperatingcostsandconservesenergy and naturalresources.The new buildings(i.e.,thoselocated on Subarea B and Subarea D) proposed to be constructed in the PlannedDevelopment at the dateof this amendment shall be designed per LEED criteriawithagreenroofper the Plans.

    14.Applicantacknowledges it is in the public interest to design, construct and maintain theexpansion and renovation of Wrigley Field and development and redevelopment of theProperty as contemplated herein in a manner which promotes, enables and maximizesuniversalaccessthroughout the Property. Prior toissuanceofapermit,plansfora llmaterialnew construction and improvements on the Property shall be reviewed and approved by theMayor's Officefor People w i th Disabilities ( M.O.P.D. ) to ensure compliance w i thallapplicable laws and regulations related toaccessforpersonsw i thdisabilitiesand to promotethe highest standard of accessibility. Nobuildingpermits shall be granted for any materialnew construction or improvement until the Director ofM.O.P.D. has approved detailedconstruction drawingsforeachsuch material new construction or improvement.

    15.ThePlansare hereby approved in their entirety and no further approvals shall be requiredtmder this Planned Development or the Zoning Ordinance for any use contemplated hereinwhichis located or established in,on, over or above the improvements,facilitiesandspacesundertaken inaccordance w i th thePlansother than Part IIApproval (per Section 17-13-0610 of the Zoning Ordinance). Applicant and the Department, at either party'srequest,may continue to evolve the design of thebuildingelevations onSubareaB andSubareaDand changes to such elevations, if any, shall, i f mutually agreed, be approved by theDepartment administratively as aMinor Change. Useswhichare allowed as set forthinStatement 5 butwhichinvolvedevelopment of Sub-Area B and Sub-Area D in a maimerwhichmaterially and significantlymodifies the usesset forthin the Plans (i.e., do notincludea hotel in Sub-Area D or anoffice buildingin Sub-Area B) must be submitted forSite PlanApprovalto the Departmentpriorto Part approval pursuant to this Statement 15.Notwithstandingthe foregoing, temporary orseasonaluses, includingany of the specialevents and entertainment uses listed above, sidewalk and outdoor cafes, and any non-permanent structures, including without l imitation farmer's markets, music performances,special events, movies, athleticcontestsand exhibitions, sidewalk and outdoor cafes, icerinks, other events or uses of a temporary or seasonal nature and any non-permanentstructures, shall not require Site PlanApproval.To the extent Site PlanApprovalis requiredforSub-AreaBor Sub-AreaDas setfo rt i i inthis Statement 15,Applicantshall,priorto Part

    Approval,submit theinformationrequired in this Statement 15 below for the specificSub-Area(s)forreview and approval by the Department (the Sub-Area Site PlanApprovalSubmittals ).Review and approval by the Department is intended toassurethat specificdevelopment components substantially conform w i th this Planned Development and toassisttheCity inmonitoringongoing development. Sub-Area Site PlanApprovalSubmittalsneed only include the portion of the Property forwhich approval is being sought byApplicant.IfApplicant is seeking approval of a portion of the Propertywhichrepresentslessthan an entire Sub-Area, Applicant shall also include a site plan for theareaof thePropertywhichis bounded on allsidesby either publicRights-of-Wayor the boundary ofthenearest Sub-Area. The site plan provided shall include all dimensioned and plannedstreetRights-of-Way. Site plans which propose new curb cuts or other changesto anyRights-of-Waymust also receive Department of Transportation approval. If the Sub-AreaSite Plan Approval Submittals substantially conform to the provisions of the PlannedDevelopment, the Department shall approve such submittal.Following approval by theDepartment, the approved Sub-Area Site Plan Approval Submittals,includingsupportingdataand materials, shall bemadepart of the main fileand shall be deemed an integral parto fthis Planned Development.A ny Sub Area Site PlanApproval Submittals shall, at aminimum,provide the fo l lowinginformation: fiilly-dimensionedsite plan(includingafootprinto fthe proposed improvements); fully-dimensionedbuildingelevations; fiilly-dimensionedlandscapeplan(s); and

    statistical information applicable to the subject Sub-Area, including floor area, theapplicableFAR, usesto be established,buildingheights andsetbacks.

    Sub Area Site Plan Approval Submittals shall include all other informationnecessarytoillustratesubstantial conformance to the Planned Development.

    16. The terms, conditions and exhibits of this Planned Development may be modified,administratively,by the Commissioner of the Department upon the application for such amodificationby Applicant or legaltifieholderof the Property and after a determination bythe Commissioner of the Department that such amodificationis minor, appropriate andconsistent w i ththe nature of the improvements contemplated by this Planned Development.Any such modification of the requirements of the Planned Development by theCommissioner of the Department shall bedeemedto be a minorchange in the PlannedDevelopment as contemplated bySecfion17-13-0611o fthe ChicagoZoningOrdinance.

    17. Finallandscapeplan review and approvalw i l lbe by the Department and w i l l be approvedprovidedit substantially conformsw i ththe applicablePlans.In the event of anyconflictorcontradictionbetween, the Plans,on the one hand, and the LandscapeOrdinance or theSustainable Development PolicyM atrix,on the other hand, thePlansshall control over theLandscapeOrdinance and the Sustainable Development PolicyM atrix.Any interimreviewsassociatedw i thsite plan review or PartI Ireviews areconditionaluntil f inalPart I Iapproval.

    18. Applicant shall comply w i th Rules and Regulations for the Maintenance of Stockpilespromulgated by the (Commissioners of the Departments ofStreetsand Sanitation, Fleet andFacilityManagement andBuildings,under Section 13-32-125 of theMunicipalCode or anyotherprovisiono fthat Code

    19.
