Summary Wisconsin Energy Corporation (WEC), a leading provider of electric and natural gas

services, has agreed to acquire Integrys Energy Group (Integrys Energy), a diversified energy holding company. Following the acquisition, the combined company will be known as WEC Energy Group. The combined company will have a stronger position in Midwest Electric and the natural gas delivery business. It will also become the eighth largest gas distribution company in the US with more than 4.3 million gas and electricity customers, nearly 71,000 miles of electricity distribution lines and more than 44,000 miles of gas transmission and distribution lines.
