As a Libyan owned company, we are witnessing our homeland transform and evolve on its journey to a safe and democratic society. Libya as a whole has seen its fair share of challenges since the end of the revolution in 2011, and it has consistently found a way to overcome these challenges. This is similar to our story at LAP GreenN. We understand that persistent transformation and advancement is the way forward. Our perseverance the last two years is evident, as the company has seen new life. The assembly of strong teams throughout our operations has been a key reason for our consistent growth despite challenges faced along the way.

During the quarter, we have strengthened ties with our shareholders and key vendors, and have worked diligently with the governments where we operate. Since the start of 2014, we have maintained steady growth, increasing our subscriber base by 31% on average across our operations.

The teams have been working diligently to eradicate debt and bring the company to profitability. And we are proud to announce, that by the end of 2013, the company reported an operating profit for the first time. This, along with strong first and second quarters in 2014, shows that LAP GreenN and its operators are headed in the right direction.

We are truly proud of our success, which was recently recognized by the industry. LAP GreenN was shortlisted for two industry awards: ‘Outstanding CEO’ and ‘Growth Story of the Year’ at the TMT Finance Awards. We won the Growth Story of the Year Award. Executives from across our operations have also been invited to a number of conferences to discuss their insights on both the African and telecom markets. We are continuing to meet with our board and shareholders, in order to achieve our vision of becoming a major telecom provider throughout central Africa. We also continue to meet with our teams within our OpCos. At the end of April, LAP GreenN completed its 4th semi-annual meeting. At the meeting, executive members from across our operations shared ideas and set goals for the remainder of 2014 and the beginning of 2015, so that our company will continue to expand and prosper.

I would like to take this opportunity to thank our shareholders and board members for their continuous support. And furthermore, none of our achievements would have been possible without the hard work and dedication of the management team. For that, I am very grateful.

Looking forward, I envision that 2014 will continue to be a year of progress for the company. I am confident that we will achieve a full turnaround and growth. Late last year, the new strategy for the Group was presented, as we unveiled our plans to become a major regional player. It is an ambitious plan, but seeing the challenges we have overcome since 2011, nothing seems impossible anymore. LAP GreenN is deeply committed to its investments and to creating value for its stakeholders, so there is no doubt we will continue to march towards success.

On May 12th 2014, LAP GreenN was nominated and won in the category of ‘Growth Story of the Year’ at this year’s TMT Finance & Investment MENA Awards 2014. LAP GreenN’s CEO Wafik Shater and COO Dimitris Lioulias were both present at the dinner to accept the award. Wafik was also shortlisted in the category of ‘Outstanding CEO’ joining the likes of CEO’s from Ooredoo Group, Etisalat Group, STC and Zain Group.

“This is a great honor and remarkable win for the LAP GreenN team and our OpCos throughout Africa, the collective efforts of our board, executive teams, and employees made this achievement

possible, ” said Wafik Shater, Group CEO, LAP GreenN. “Our team continues to face challenges and provide opportunities in difficult circumstances. In 2013 alone we have increased revenues by over 25% in two of our OpCos and reduced debt by 40% across the board. Many of these great feats would not be possible without our shareholders’ continued support even under difficult circumstances.”

TMT Finance provides specialist news, research and high end networking both online and through events to senior executives from the telecom, finance and professional advisory community globally. LAP GreenN’s Group COO

Dimitris Lioulias, was also invited to sit on a panel and discuss Telecom Strategy, highlighting strategy and partnership opportunities, consolidation and growth, as well as investing in new technology throughout the region.

The judges were impressed with LAP GreenN’s determination and had this to say:“LapGreenN has had to overcome tremendous difficulties at home and abroad, and they have been working tirelessly to turn this around. Gradually, this now looks like it is starting to happen.”

Following its semi-annual tradition, LAP GreenN held its semi-annual strategy meeting titled ‘The Art of Battling Giants’ in Dubai April 27th to 29th.

The three-day event brought together LAP GreenN members and its operations’ executive teams from Uganda Telecom, Ivory Coast, and South Sudan.

The first day was dedicated to Group updates by LAP GreenN Group CEO, Wafik Shater and updates from the OpCos by Ali Amir - Uganda Telecom CEO, Mohamed Ghadfi – Gemtel CEO and Abdulghani Ramadan – Oricel CEO. This was followed by a discussion with Charles Barbain from Sofrecom on the meeting’s theme of “Battling Giants” and a presentation from motivational speaker David Crane on the ten rules of success. Separately, each operation C-levels had media coaching sessions. At the end

of the day, 5 teams were creating to compete against each other in a friendly atmosphere at the Dubai Bowling Center.

On the following day, the event started with a presentation on ‘Why Businesses Fail and What to Do About It.’ This was followed by a group discussion titled ‘Analyzing our Competitive Advantage.’ Throughout the day, the attendees had the opportunity to discuss other topics together, such as ‘the Psychology of Change, Systems to Drive Innovation and Profit.’ They also discussed finance for Telecoms Professionals and leadership in Telecoms. The first half of the day was followed by other group discussions, which focused on a number of collective challenges facing the companies and the best ways to create opportunities.

The last day concluded with each OpCo presenting its business plan review to

the Group, in addition to more media coaching.

The event wrap-up was a closing dinner with guest speaker Harri Koponen, the former COO of Rovio Entertainment Ltd., the creator of the famous Angry Birds app, the current chairman of TecnoTree, and an adviser to LAP GreenN. Koponen addressed the meeting’s theme of ‘Battling Giants,’ and discussed how to focus on personal success in the service of company achievements. Finally Wafik Shater LAP GreenN CEO, Grant Vernon Senior Trainer at Telecom Academy and Amal Hussein LAP GreenN HR advisor presented awards to the teams who won during the training on the second day.

June 18th 2014, LAP GreenN COO Dimitris Lioulias attended the 5th annual TMT Finance & Investment Africa 2014 Conference held in London where he participated in the Africa Telecom Leadership Round Table on the Strategies for Regional Growth’. Telecom leaders discussed strategies for driving sustainable growth and meeting the huge demand for new infrastructure and services.

The first part of the discussion focused on how operators assess regional opportunities for investment, joint ventures and partnerships. After all participants reiterated their strong views on the growth potential of the African telecommunication industry, Dimitris stated that LAP GreenN’s main investment approach is to look into existing operators with a strong position in their market (number 1 or 2, and depending on the market maybe player number 3) and strong cash flow generation, both existing and future. At the same time, LAP GreenN will very selectively look into opportunities of players in a weaker position but operating in an environment where turnaround potential offers significant value upside. He explained that ideally, we would want those operators to be in the locations that we are currently operating in, so that we can maximize synergies. Through the experience developed with the turnaround of our OpCos, we see this as a viable value accretion approach. When it comes to joint ventures and partnerships, LAP GreenN sees cooperation as a strategic imperative, which is mandated by the evolution of the industry, especially in Africa and LAP GreenN’s size when compared to some of our larger competitors.

The panel then moved on to discuss accelerating innovation and investing in new profit lines. Lioulias shared that LAP GreenN’s main focus beyond traditional profit lines has recently been on Enterprise services, and VAS offers related to the specific needs of our customers. LAP GreenN is currently enhancing its Mobile Finance capabilities as well as its Enterprise portfolio. This involves the addition of many VAS, which are developed not only internally but also through cooperation with 3rd-party developers and resellers. This cooperation significantly boosts innovation in LAP GreenN’s markets and give Enterprise (and often SMEs) customers access to a wealth of services not available to them until very recently.

Another topic of the discussion was on investing in infrastructure, new licences, and technology. Dimitris noted that LAP GreenN is in the process of investing in new networks and IT infrastructure in all its OpCos with the objective of launching LTE services soon or being LTE-ready. He stressed the point that a ‘technology jump’ from 2G to LTE is contemplated where applicable in LAP GreenN’s OpCos.

THE 5TH TMT FINANCE & INVESTMENT AFRICA 2014 CONFERENCE

Further to LAP GreenN’s Strategic Event in late 2013 where the Groups CTO Kevin McLoughlin gave a talk about Network Function Virtualization (NFV) and Software Defined Networking (SDN). In May 2014 he also attended the 2nd Network Virtualization and SDN World Conference in London to discuss with other operators the potential for NFV, SDN and Software-Defined Data Center (SDDC) to revolutionize the way in which telecom networks and data centers are built and structured.

The focus of the first day of the conference was an SDDC Summit to discuss “Evolving Towards a Software-Defined Data Centre Age.” It highlighted research and development from Global Groups such as Telefonica, BT and SK Telecom to address the challenge of scaling up networks to meet rising internet and networking usage. As the demand for network capacity continues to increase, innovators are now looking

towards the SDDC model to achieve efficient Data Centre management, better use of existing resource space, and much less complexity. This should lead to improved OPEX and CAPEX and true network simplification.

Days 2 and 3 of the conference showcased the latest developments in NFV and SDN. NFV promises to eliminate the issue of an ever increasing variety of proprietary hardware in operator networks, often with new hardware platforms required for the launch of each new network service. Finding the space and power to accommodate these boxes is becoming increasingly difficult. This difficulty is compounded by the increasing costs of energy, capital investment challenges, and the engineering skills necessary to design, integrate, and operate increasingly complex hardware-based appliances. NFV aims to address these problems by leveraging standard IT hardware and virtualization technology

to consolidate many network equipment types onto industry standard high volume servers, switches and storage, which could be located in data centers, Network Nodes and end user premises.

LAP GreenN will be closely watching this space, with hopes of implementing throughout our operations.

Uganda Telecom’s Chief Technical Officer, Yasser Abouelenein was invited to present as a VIP Speaker at the 2014 LTE Mena conference held in Dubai in the second week of May. The conference hosted over 800 attendees from 40 different countries where the main themes discussed were, monetization aspects of LTE and how the network can bring increasing sources of revenue to the operator, and examining the emerging markets of the region. Yasser’s presentation focused on presenting case studies explaining how innovative operators, like Uganda Telecom, are making LTE rollout a reality. He also emphasized the need for spectrum harmonization supporting the operators.

The presentation began by highlighting the current broadband deployment trends toward Micro Cells and how

companies should focus on capacity, not coverage that assists in lowering CAPEX. He also sighted that 43% of overall networks are using the 1800 MHz band, which could result in the need for frequency Re – Farming. Yasser provided a case study that took place in Afghanistan to illustrated this point. He explained how the regulator in Afghanistan was planning to introduce new players to the market. Then there was a need for Re – Farming the E – GSM, the P – GSM as well as the 1800 bands at the same time. The result was a lack of harmonization, making access to mobile technology more expensive for mobile operators, businesses, and consumers.

Yasser ended his talk by providing four key recommendations when implementing LTE in emerging markets. The first is to opt for outdoor micro cell e – Node B

combined with an integrated backhaul solution. The second recommendation is to support the broadband demand with the LTE – WIFI synergy that will allow non-LTE devices to have the accessibility to WIFI. He also recommeded that companies align their strategies and check about the feasibility of going 3G versus going LTE. Finally, to ensure regional policy harmonization across the whole region, he recommended to have a regional regulator capable of planning current & planned technologies as well as the authority to provide Re – Farming for the frequency bands supporting future plans.

Overall, the event was well attended and Yasser Abouelenein presented a very thought-provoking discussion about LTE in emerging markets.

2014 LTE MENA CONFERENCE

Fans have noticed the exciting wheel-to-wheel competition and are flocking to the race venues and along rally routes. Sponsors have noticed the large number of fans and want to draw more impressions and customers by supporting teams.

Rally drivers are daring and heroic figures. Not only are they skilled drivers, but fans love their positive personalities and charisma. Commentators and writers want to feature them in their stories. Rally event organizers want to make sure they show up at the circuits to keep fans coming. People who like a particular driver will eagerly patronize the company that put their logos on his uniform.

It’s with this background that Uganda Telecom ventured into motor sport sponsorship as a proudly Ugandan Brand. The sponsorship of Peter Kakaire in the MPU Masaka Motor Rally Event, May 3rd, brought a number of benefits to Uganda Telecom and brand traction

including acquisition of gross Ads to the UTL network through on ground sales activations done at the event, awareness and visibility for Msente, and promoting the new UTL corporate colours and brand image.

The on ground sales activations attracted 1,721 SIM card sales vs. the target of 1000, 1159 Sims with first recharge on site (loaded airtime) representing 67%; expected to grow to 80%. The UTL brand enjoyed media coverage from the event both in print and online (NTV, New vision, Monitor, Bukedde TV).

HOIMA March 29th, 2014 - In an effort to improve maternity health service at Mbaraara Health Centre, Hoima District, Uganda Telecom, in partnership with the Rotaract Club, donated medical equipment worth 21 million shillings. The equipment included delivery beds, delivery sets, ward screens, ambulance bags, weighing scales, sterilizers, chairs, plastic-usable, hospital benches, mattresses, blood pressure aneroid adult and child cuff, theater boots, and mosquito nets, to mention only a few.

The health centre, which is the leading facility in Kihomboza village, lacked basic necessities for a maternity ward and a health center in general. As a result, expectant mothers were referred to Hoima Referral Hospital, which is 30km away from the health center, for maternity care. This resulted in an increased mortality rate in the district, since pregnant mothers preferred to give birth in the confines of their home.

At the handover ceremony, the company also launched the Uganda Telecom U-can Initiative, UTL’s newly created corporate social Responsibility (CSR) umbrella body, through which it will give back to different communities in Uganda. Speaking at the launch, Shailendra Naidu Somarouthu, Uganda Telecom’s Chief Commercial Officer said, “Through this initiative, we will equip the health center and the maternity ward with the relevant medical

equipment and tools to make it a better place for mothers to give birth and for children to be born. This investment is part of Uganda Telecom’s commitment to improving lives within the communities we operate. As a proudly Ugandan Brand, Uganda Telecom is committed to giving back to the community through a number of initiatives and projects.’’ He also added, ‘Promoting good health in our communities is one of Uganda Telecom U-Can Initiative’s core areas of focus because healthy lives lead to a healthy economy. It is our hope that our support will go a long way in saving many newborns in Hoima District and Uganda at large.”

According to the 2013 State of the World Mothers’ Report, 6,000 mothers die every year during pregnancy and childbirth in Uganda, making the country one of the 50 worst places to be born in the world. The findings further reveal that up to 15,100 babies die on the first day of birth in Uganda compared to 3,400 in Rwanda – the best place to be born in East Africa. In addition, up to 42,700 babies die in their first month of birth in Uganda compared to 9,500 in Rwanda.

“At Uganda Telecom, we are excited to partner with the Rotaract Club in saving the lives of more mothers in the country. We are focused on promoting access to effective and lasting health solutions in

Uganda,” Shailendra added. “Evidence consistently shows that cost-effective services to improve women’s overall health and nutrition, to make childbirth safer, and to help mothers care for themselves and their babies will save a significant number of mothers’ and new-born lives,” said Arthur Ssewava, President of the Rotaract Club. He added: “We are delighted that Uganda Telecom has the health of Ugandans at heart and has been very supportive towards this project. We are optimistic that the high quality equipment Uganda Telecom has offered to Mbaraara Health Centre today will go a long way in improving maternal service and health care in Hoima.”

KAMPALA April 10th, 2014. Uganda Telecom unveiled KIZZE; an innovative and affordable tariff plan designed to reduce the cost of mobile communication in Uganda.

According to Shailendra Naidu, the Chief Commercial Officer at Uganda Telecom, the new tariff plan will enable mobile customers of Uganda Telecom to save money on their telecommunication bills. “People are constantly looking for affordability and value for money solutions to meet their needs. Uganda Telecom understands this challenge and is offering tariff plans like KIZZE that are affordable and relevant. Simply put, we are Uganda’s most affordable Telecom Service.”

GEMTEL EXTENDS ITS NETWORK COVERAGETO NZARA COUNTY - WES

The acting Minister of Information and Communication for Western Equatorial H.E. Simon Ngbidigi, presided over the launch of Gemtel’s Network in Nzara County Western Equatorial State on March 26th, 2014.

The event commenced with a visit to the mast, where Gemtel has situated its network. Gemtel Chief Commercial Officer Babikir A. Moustapha, showed the telecommunications equipment to the Minister, the Commissioner, the Executive Director of Nzara County and other guests.

Speaking during the occasion, Babikir stated that Gemtel’s target is to cover the towns and villages of South Sudan, in order to remain the most admired network in the region. The Commissioner on Nzara County H.E. Elia Richard Box welcomed the Gemtel team and added that the Gemtel Network is affordable to all its customers.

Commissioner Box encouraged Gemtel to extend their services to the rest of the county. He noted that the security situation is very stable in Nzara County, as well as the whole state.

H.E Ngbidigi, who is also the Minister of Commerce, Trade & Investment, stated that the presence of the Gemtel Network was another way of bringing development to the area. He stated that “Due to the crucial benefits from the communication network, the government will continue to cooperate with you and all other networks based in the states.” The Minister also encouraged the management to do the same in other states.

The ceremony ended with exciting entertainment by a comedian popularly known as “Fire Man.”

March, 9th 2014 -

Gemtel, which is very focused on team building and establishing strong client relationships, decided to invite one of its clients, Carnac Co., for a corporate football match. The match, organized by both companies, took place at Freedom Square in Yei Town. It was initially scheduled to be a short match, with 30 minute halves. However, later it turned into a standard 90 minute game, as it became very competitive and exciting.

Having this match was a great idea, as it was a fun way to socialize, exercise, and compete, while creating

memories with coworkers and clients. The recreational match saw the very busy Chiefs and Managers roll up their sleeves, and entertain Carnac to a 5:2 win. The star of the game was Emile Rakotondrafara, Gemtel Chief Technical Officer, as he controlled the ball for the first 80 minutes before pulling off the pitch. Rakotondrafara proved that once talented, you are never out of the game. After a great game, the winning side obviously had something to talk about, with lots of celebrations afterwards to seal the memories.

The 5:2 Win against Carnac will always remain in our memories!

Due to the recent political events in South Sudan, Gemtel decided to introduce stand-up comedy to create unity, peace, and laughter.

On May 3rd 2014, in collaboration with Jubalicous Company and City FM, Gemtel launched the First Stand-up comedy platform, with comedians coming together on one stage for several shows all over the country. The launch took place at Nyakuron Cultural Center - Theatre, the home of entertainment.

The event started at 6:00 pm. As revelers

were ushered into the venue, celebrated artists such as Shon Jo, Garang Ateny and Maya De Maya kept them entertained with renditions of popular songs, like SPLM-Oyee, amongst others. It was also a night filled with laughter, as comedians from various comedy groups came together to crack a few jokes.

Speaking at the event, Timothy Eyatu, Gemtel’s Trade Marketing Coordinator, explained that Gemtel has always wanted to be involved in uniting people. He affirmed that this is why Gemtel has “brought together talented individuals

The event - which ended with resounding applause - gave Gemtel good brand visibility and opportunity to register new subscribers to our network. Under the theme “Broadband for Sustainable Development.” The day, observed on May 17th each year (but was celebrated on 15th in Juba due to the coincidence of 16th SPLA Day), shows the importance of telecommunications and ICT (information and communication technologies). Specifically, it shows the industry’s socio-economic effects as well as its contribution to achieving local development goals, according to the International Telecommunication Union (ITU), the event’s initiator.

Gemtel, along with other operators, participated in the sponsorship to ensure the event’s success. The event was attended by the Minister of Telecommunication & Postal Service H.E. Rebecca Okwachi and the Chief Executive Officer of Gemtel Mohamed Ghadfi. It started with entertainment, speeches, and exchange of brand mementos ( such as t-shirts and caps). Mohamed Ghadfi stated that Gemtel will support the Ministry of Telecommunication and the Ministry of Education by bringing innovative solutions like E-Learning for girls in all schools and universities in South Sudan. Gemtel will join these ministries to implement the E-learning, E-Health, E-News and so forth.

This year’s theme will focus on the commitments made by the various stakeholders, whose ambition is to achieve universal access to broadband connectivity and content. It is also meant to find technological solutions, particularly regarding the extension of network access into rural areas.

GreenN CI offered all its staff the opportunity to take a medical examination on April 16th, 2014. The examination is also a legal requirement and marks the beginning of a series of periodic examinations to be made every year to ensure all employees are in good health.

Each staff completed his medical examinations that included an Electrocardiogram (ECG). In the next few weeks, the medical team, managed by Dr. Auguste ODI, will communicate the results to each employee, before submitting them to the Management, which initiated of the project.

GCI Management Team believes that a healthy staff with good working conditions will further enhance the performance of the company.

In order to obtain descriptive data of its subscribers, GreenN CI acquired the MSR (Mobile Subscribers Registration) application in June, 2012. MRS is an application, which allow us to register properly our clients. But because of the recurrent charges incurred by that tool, GCI IT team has successfully developed another identification solution internally: VEGA. That solution takes formerly identified GCI identification operations constraints into consideration and fully meets GCI particular environment needs, and with greatly reduced less charge.

From a technical point of view, there is no need to be on site to deploy VEGA-Mobile. This is advantageous compared to MSR. Identification soldiers are therefore more autonomous and have more time. With VEGA, completion rate goes from 50% to 100% because of its higher capacity.

Since March 6th 2014, the piloting phase started and the team is composed of six(6) developers of the DSSD and of three(3) agencies, which have to test the new IT solution. Their action consists

in identifying the subscribers while verifying the reliability of the tool to apply corrective measures if necessary. A second phase of piloting will concern the handling of the agents on the ground through a series of tests.

With VEGA-Mobile, GreenN CI confirms its vocation of delivering quality services to a subscriber in perpetual collection of innovative solution.

GREENN CI HASITS OWN APPLICATION

GreenN CI, in collaboration with the Pan African organization of Christian Entrepreneurs and Kofidis, the business arm of the Federation of the Evangelist Churches in Ivory Coast, ran a sponsorship event in one of the main Hospital’s in Marcory. The main objective of this event was to connect to the population and to provide service to the maternity ward assisting mothers and their newborns.

During the event the partners and GreenN CI provided baby’s kits with newborn essentials and GreenN CI SIMs to mothers and their newborns, pre-Ramadan packages including rice, sugar and oil for 30 Muslim employees

at the hospital and products to clean and maintain the rooms throughout the maternity ward.

In addition, our partner Kofidis provided cash to mothers and patients during a walk through of the hospital’s different services. The event was well attended and the actions of GreenN CI were extremely well received and appreciated.

In parallel with this event, our GreenN CI promoters animated Marcory and the surrounding streets of the hospital focusing on promoting the sales of our new GreenN Eco Max product.

The event kicked off at 10:00am on June 26th and ran for 3 hours in the main parking lot of the hospital and surrounding buildings. The BTL (below the line) team completed the day with a distribution of rice, oil and sugar to Muslim families in the surrounding areas.

A 10 minutes public-reportage was broadcasted on Benie TV the internationally broadcasted main Christian channel.

Amal joined LAP GreenN as Group Human Resources Advisor in April 2013. She holds a bachelor degree in English Literature and an MBA in Human Resources from the American University of Missouri.

For Amal, every day is different as part of the HR team. Generally, she supports the Group HRAO, Joanna Roche, in advising the business on the best HR practices. However, her role is very multifaceted. In addition to looking after the HR needs of LAP GreenN’s existing staff, she actively handles the HR recruitment process. This involves writing job descriptions and advertisement text, managing company’s relationships with recruitment consultancies, organizing and conducting interviews, and issuing written offers of employment to successful candidates. She also facilitates employment visa processing with government offices.

As a mother of two, she looks forward to spending some quality time with her family every day after work.
