SOCIETATILOR COMERCIALE

Abstract: Potrivit Legii Societăților
comerciale nr. 31/1990, fuziunea reprezintă un
proces de reorganizare a societăților prin care, fie
o societate absoarbe una sau mai multe societăți,
societățile absorbite încetându-și astfel existența,
fie două sau mai multe societăți se contopesc și
formează o nouă entitate, societățile care se
contopesc urmând la rândul lor să își înceteze
existența ca urmare a procesului de fuziune.
Unul dintre efectele principale ale fuziunii
îl reprezintă transferul universal al patrimoniului
societății sau societăților absorbite către societatea absorbantă. În schimbul acestui transfer, societatea
absorbantă își va majora capitalul social iar
asociații sau acționarii societăților absorbite vor
primi părți sociale sau acțiuni în entitatea rezultată
în urma fuziunii. Numărul părților sociale sau al
acțiunilor ce vor fi emise precum și valoarea cu
care se va majora capitalul social se determină pe
baza unei metodologii contabile ce stabilește rata
de schimb a acțiunilor / părților sociale. O fuziune
se poate realiza și între societăți înregistrate în
diferite state membre ale Uniunii Europene (fuziune transfrontalieră), procedura fiind într-o
oarecare măsură similară cu cea locală [1].

Introducere
Din punct de vedere juridic,
operaţiunile de fuziune a societăţilor
comerciale sunt reglementate de
prevederile Legii nr. 31/1990 privind
societăţile comerciale, republicată, cu
modificările şi completările ulterioare, iar
din punct de vedere financiar-contabil si
fiscal de O.M.F.P. nr. 1376 din 17
septembrie 2004 pentru aprobarea
Normelor metodologice privind reflectarea
CONSOLIDATION AND MERGER OF
COMMERCIAL COMPANIES

Abstract: According to the Companies Law
no. 31/1990, the merger represents a process of
reorganization of the companies through which
either a company absorbs one or more companies,
the absorbed companies thus ceasing to exist, or
two or more companies merge and form a new
entity, the companies that are they merge and in
turn cease to exist as a result of the merger
process.
One of the main effects of the merger is the
universal transfer of the assets of the merged
company or companies to the acquiring company. In exchange for this transfer, the acquiring
company will increase its share capital and the
associates or shareholders of the absorbed
companies will receive shares or shares in the
merged entity. The number of shares or shares to
be issued as well as the amount by which the share
capital will be increased is determined on the basis
of an accounting methodology that establishes the
exchange rate of shares / shares. A merger can also
take place between companies registered in
different Member States of the European Union (cross-border merger), the procedure being
somewhat similar to the local one [1].

Introduction
From a legal point of view, the
merger operations of the commercial
companies are regulated by the provisions
of Law no. 31/1990 regarding the
commercial companies, republished, with
the subsequent modifications and
completions, and from the financial-
accounting and fiscal point of view of
O.M.F.P. no. 1376 of September 17, 2004
for the approval of the Methodological

în contabilitate a principalelor operaţiuni
de fuziune, fuziune, dizolvare şi lichidare a
societăţilor comerciale, precum şi
retragerea sau excluderea unor asociaţi din
cadrul societăţilor comerciale şi
tratamentul fiscal al acestora.
Fuziunea este operaţiunea prin care
două sau mai multe societăţi comerciale
hotărăsc separat transmiterea elementelor
de activ şi de pasiv la una dintre societăţi
sau înfiinţarea unei noi societăţi comerciale
în scopul comasării activităţilor [1].
In esenţă, etapele care se
parcurg/operaţiunile care se efectuează
pentru fuziunea unor societăţi comerciale
sunt următoarele [1]:
- întrunirea adunării generale
extraordinare pentru luarea unei hotărâri cu
privire la fuziune;
- aprobarea hotărârii AGA
referitoare la întocmirea proiectului de
fuziune a societăţii comerciale cu o
majoritate de cel puţin două treimi din
drepturile de vot deţinute de acţionarii
prezenţi sau reprezentaţi;
- întocmirea proiectului de fuziune
de către administratorii societăţilor care
urmează a participa la fuziune;
- punerea la dispoziţia
acţionarilor/asociaţilor, la sediul
societăţilor, a documentelor reglementate
prin lege pentru informarea asupra
operaţiunii de fuziune, cu cel puţin o lună
înainte de data adunării generale
extraordinare care urmează să se pronunţe
asupra proiectului de fuziune;
- informarea adunărilor generale ale
societăţilor implicate în operaţiune asupra
oricărei modificări substanţiale a activelor
şi pasivelor intervenite între data întocmirii
proiectului de fuziune şi data adunărilor
generale care urmează să decidă asupra
acestui proiect;
- întocmirea de către administratorii
societăţilor care participă la fuziune a unui
raport scris, detaliat, în care să se explice
proiectul de fuziune sau de fuziune şi să
precizeze fundamentul său juridic şi

of the main operations of merger, merger,
dissolution and liquidation of the
commercial companies, as well as the
withdrawal or exclusion of some associates
from the commercial companies and their
fiscal treatment. A merger is the operation
by which two or more companies
separately decide to transfer the assets and
liabilities to one of the companies or to set
up a new company for the purpose of
merging activities [1].
In essence, the steps to be taken / the
operations that are carried out for the
merger of some commercial companies are
the following [1]:
- the meeting of the extraordinary
general assembly to take a decision on the
merger;
- approval of the GMS decision
regarding the elaboration of the merger
project of the company with a majority of
at least two thirds of the voting rights held
by the present or represented shareholders;
- preparation of the merger project by
the directors of the companies to be
involved in the merger;
- making available to the shareholders
/ associates, at the companies'
headquarters, the documents regulated by
law for the information on the merger
operation, at least one month before the
date of the extraordinary general meeting
to be decided on the merger project;
- informing the general meetings of
the companies involved in the operation on
any substantial change in the assets and
liabilities between the date of preparation
of the merger project and the date of the
general meetings to decide on this project;
- the preparation by the directors of
the merging companies of a detailed
written report explaining the proposed
merger or merger and specifying its legal
and economic basis, in particular as regards
the exchange rate of shares;
- submission of the merger project,
signed by the representatives of the

economic, în special cu privire la rata de
schimb a acţiunilor;
- depunerea proiectului de fuziune,
semnat de reprezentanţii societăţilor
participante, la oficiul registrului
comerţului unde este înmatriculată fiecare
societate;
- publicarea proiectului de fuziune,
vizat de judecătorul delegat, în Monitorul
Oficial al României, Partea a IV-a, pe
cheltuiala părţilor, cu cel puţin 30 de zile
înaintea datelor şedinţelor în care adunările
generale extraordinare urmează a hotărî
asupra fuziunii;
- desemnarea de către judecătorul-
delegat a unuia sau mai multor experţi,
persoane fizice ori juridice, pentru a
examina proiectul de fuziune şi a întocmi
un raport scris către acţionari;
- adoptarea hotărârilor AGA fiecărei
societăţi participante cu privire la fuziune,
în termen de 3 luni de la data publicării
proiectului de fuziune, cu o majoritate de
cel puţin două treimi din drepturile de vot
deţinute de acţionarii prezenţi sau
reprezentaţi;
- efectuarea inventarierii şi evaluării
elementelor de activ şi de pasiv deţinute şi
prezentarea acestora în situaţiile financiare,
conform normelor şi reglementărilor
contabile aplicabile;
- întocmirea de către fiecare
societate comercială a situaţiilor financiare
înainte de fuziune, în condiţiile legii;
- împărţirea elementelor de activ şi
de pasiv ale societăţii comerciale care
fuzionează, care se transmit beneficiarilor
pe baza protocolului de predare-primire;
- stabilirea realităţii creanţelor,
obligaţiilor, provizioanelor şi a altor
elemente de activ şi de pasiv;
- calcularea primei de fuziune, ca
diferenţă între valoarea contabilă a
acţiunilor sau părţilor sociale şi valoarea
nominală a acestora;
- reflectarea în contabilitatea
societăţii comerciale beneficiare a
elementelor de activ şi de pasiv primite de
participating companies, at the trade
register office where each company is
registered;
- the publication of the merger
project, endorsed by the delegated judge, in
the Official Gazette of Romania, Part IV, at
the expense of the parties, at least 30 days
before the dates of the meetings in which
the extraordinary general meetings are to
decide on the merger;
- the appointment by the judge-
delegate of one or more experts, natural or
legal persons, to examine the draft terms of
merger and to draw up a written report to
the shareholders;
- the adoption of the GMS decisions
of each participating company regarding
the merger, within 3 months from the date
of publication of the merger project, with a
majority of at least two thirds of the voting
rights held by the present or represented
shareholders;
- performing the inventory and
valuation of the assets and liabilities held
and presenting them in the financial
statements, according to the applicable
accounting norms and regulations;
- preparation by each company of the
financial statements before the merger, in
accordance with the law;
- the division of the assets and
liabilities of the merging company, which
are transmitted to the beneficiaries based
on the handover-receipt protocol;
- establishing the reality of
receivables, liabilities, provisions and other
assets and liabilities;
- calculation of the merger premium,
as the difference between the book value of
the shares or shares and their nominal
value;
- the reflection in the accounting of
the beneficiary company of the assets and
liabilities received from the merged
companies;
- the reflection in the accounting of
the merged companies of the transfer of the
assets and liabilities elements as a result of

la societăţile comerciale care au fuzionat;
- reflectarea în contabilitatea
societăţilor comerciale care au fuzionat a
transmiterii elementelor de activ şi de pasiv
ca urmare a fuziunii.
- societăţile care îşi încetează
existenţa au obligaţia să depună declaraţia
de impunere şi să plătească impozitul pe
profit cu 10 zile înainte de data înregistrării
încetării existenţei la Registrul Comerţului.
Detalierea procedurii de fuziune a
societăţii comerciale
Potrivit Legii nr. 31/1990, fuziunea
este operaţiunea prin care:
- una sau mai multe societăţi sunt
dizolvate fără a intra în lichidare şi
transferă totalitatea patrimoniului lor unei
alte societăţi în schimbul repartizării către
acţionarii societăţii sau societăţilor
absorbite de acţiuni la societatea
absorbantă şi, eventual, al unei plăţi în
numerar de maximum 10% din valoarea
nominală a acţiunilor astfel repartizate; sau
- mai multe societăţi sunt dizolvate
fără a intra în lichidare şi transferă
totalitatea patrimoniului lor unei societăţi
pe care o constituie, în schimbul
repartizării către acţionarii lor de acţiuni la
societatea nou-constituită şi, eventual, al
unei plăţi în numerar de maximum 10% din
valoarea nominală a acţiunilor astfel
repartizate.
Fuziunea se poate face prin diferite
modalităţi şi între societăţi de forme
diferite [1].
Data fuziunii reprezintă data
înmatriculării la Registrul Comerţului a
noii societăţi sau ultimei dintre ele în cazul
constituirii uneia sau mai multor societăţi,
iar în celelalte cazuri la data înscrierii în
Registrul Comerţului a menţiunii privind
majorarea capitalului social al societăţii
absorbante, în conformitate cu prevederile
art. 243 din Legea nr. 31/1990, republicată,
cu modificările şi completările ulterioare.
O societate comercială nu îşi încetează
existenţa în cazul în care o parte din

Detailing the merger procedure of
the company
According to Law no. 31/1990, the
merger is the operation by which:
- one or more companies are
dissolved without going into liquidation
and transfer all their assets to another
company in exchange for distribution to the
shareholders of the company or companies
absorbed by shares in the absorbing
company and, possibly, a cash payment of
up to 10% nominal value of the shares thus
distributed; or
- several companies are dissolved
without going into liquidation and transfer
all their assets to a company they
constitute, in exchange for the distribution
to their shareholders of shares in the newly
formed company and, possibly, of a cash
payment of maximum 10% of the nominal
value of the shares thus distributed.
The merger can be done in different
ways and between companies of different
forms [1].
The merger date represents the date of
registration in the Trade Register of the
new company or the last of them in case of
incorporation of one or more companies,
and in other cases on the date of
registration in the Trade Register of the
mention regarding the increase of the share
capital of the absorbing company. 243 of
Law no. 31/1990, republished, with
subsequent amendments and completions.
A company does not cease to exist if some
of the elements of the nature of its assets
and liabilities are detached and transferred
to one or more existing or existing
companies. Contribution a part of the

elementele de natura activelor şi pasivelor
ei se desprind şi se transmit către una sau
mai multe societăţi comerciale existente ori
care iau fiinţă. Aportul unei părţi din
elementele de activ ale unei societăţi
comerciale la una sau mai multe societăţi
comerciale existente ori care iau fiinţă, în
schimbul acţiunilor sau părţilor sociale ce
se atribuie acţionarilor/asociaţilor acelei
societăţi la societăţile comerciale
beneficiare, este supus în mod
corespunzător dispoziţiilor legale privind
fuziunea, dacă are loc prin desprindere
potrivit alineatului precedent.
Fuziunea societăţilor comerciale se
realizează prin două modalităţi [1]:
- fuziunea prin absorbirea uneia sau
mai multor societăţi comerciale de către o
altă societate comercială.
- fuziunea prin contopirea a două
sau mai multe societăţi comerciale pentru a
alcătui o societate comercială nouă.
În cazul fuziunii prin absorbţie, o
societate comercială care absoarbe
dobândeşte drepturile şi este ţinută de
obligaţiile societăţilor comerciale pe care
le absoarbe, din punct de vedere juridic.
Din punct de vedere fiscal, se au în vedere
prevederile din legislaţia fiscală aplicabilă
situaţiilor respective (ex. pierderea fiscală
înregistrată de societatea absorbită nu se
recuperează de către societatea absorbantă)
[2].
În conformitate cu prevederile Legii
contabilităţii nr. 82/1991, republicată,
fiecare societate comercială are obligaţia să
întocmească situaţii financiare cu ocazia
fuziunii, în condiţiile legii. Societăţile
comerciale care fuzionează au obligaţia,
conform prevederilor Legii contabilităţii
nr. 82/1991, republicată, să efectueze
inventarierea elementelor de activ şi de
pasiv, evaluarea elementelor deţinute cu
ocazia inventarierii şi prezentarea acestora
în situaţiile financiare conform normelor şi
reglementărilor contabile aplicabile [2].
Operaţiunile cu ocazia fuziunii prin
absorbţie presupun următoarele etape [2]:

The merger of the companies is
carried out in two ways [1]:
- the merger by the absorption of one
or more companies by another company.
- the merger by merging two or more
companies to form a new company.
In the case of a merger by
absorption, an absorbing company acquires
the rights and is bound by the obligations
of the companies it absorbs from a legal
point of view. From a fiscal point of view,
the provisions of the fiscal legislation
applicable to the respective situations are
taken into account (eg the fiscal loss
registered by the absorbed company is not
recovered by the absorbing company) [2].
In accordance with the provisions of
the Accounting Law no. 82/1991,
republished, each company has the
obligation to prepare financial statements
on the occasion of the merger, in
accordance with the law. The merging
companies have the obligation, according
to the provisions of the Accounting Law
no. 82/1991, republished, to carry out the
inventory of the assets and liabilities
elements, the evaluation of the elements
held on the occasion of the inventory and
their presentation in the financial
statements according to the applicable
accounting norms and regulations [2].
Absorption fusion operations involve the
following steps [2]:
- Inventory and evaluation of the
assets and liabilities of the merging
companies, according to the Accounting
Law no. 82/1991, republished, of the
accounting norms and regulations, the
registration of the results of the inventory
and of the evaluation, carried out on this
occasion. In the balance sheet, an asset
should only be recognized when it is

- Inventarierea şi evaluarea
elementelor de activ şi de pasiv ale
societăţilor comerciale care fuzionează,
potrivit Legii contabilităţii nr. 82/1991,
republicată, a normelor şi reglementărilor
contabile, înregistrarea rezultatelor
inventarierii şi ale evaluării, efectuate cu
această ocazie. În bilanţ, un activ trebuie
recunoscut numai atunci când este
probabilă realizarea unor beneficii
economice viitoare de către societate şi
costul sau valoarea activului poate fi
evaluat(ă) în mod credibil.
- Întocmirea situaţiilor financiare,
pe de o parte, înainte de fuziune de către
societăţile comerciale care urmează să
fuzioneze şi care aplică Reglementările
contabile armonizate cu Directiva a IV-a a
Comunităţilor Economice Europene şi cu
Standardele Internaţionale de Contabilitate;
şi pe de alta parte, întocmirea situaţiilor
financiare înainte de fuziune de către
societăţile comerciale care urmează să
fuzioneze şi care aplică Reglementările
contabile armonizate cu directivele
europene. Pe baza bilanţului întocmit
înainte de fuziune se determină activul net
contabil, potrivit formulei [3]:
Activ net contabil = Total Active -
Total Datorii
- Evaluarea globală a societăţilor şi
determinarea aportului net. Pentru
evaluarea societăţilor intrate în fuziune se
poate folosi una dintre următoarele metode:
metoda patrimonială sau metoda activului
net, metoda bursieră, metoda bazată pe
rezultate (valoarea de rentabilitate,
valoarea de randament, valoarea de
supraprofit), metode mixte, metoda bazată
pe fluxul financiar sau cash-flow-ul [4].
Valoarea globală a societăţii stabilită
printr-una dintre metodele menţionate,
reprezintă valoarea aportului net de fuziune
al fiecărei societăţi intrate în fuziune. Pe
baza acestei valori se stabileşte raportul de
schimb. Valoarea activului net contabil
este egală cu valoarea aportului net numai
în cazul în care s-a folosit metoda

- Preparation of financial statements,

the Accounting Regulations harmonized
with the Fourth Directive of the European
Economic Communities and with the
International Accounting Standards; and on
the other hand, the preparation of the
financial statements before the merger by
the merging companies that apply the
Accounting Regulations harmonized with
the European directives. Based on the
balance sheet prepared before the merger,
the net accounting assets are determined,
according to the formula [3]:
Net accounting assets = Total Assets -
Total Debts
- Global valuation of companies and
determination of net contribution. For the
valuation of the merged companies, one of
the following methods can be used: equity
method or net asset method, stock market
method, results-based method (return
value, return value, surplus value), mixed
methods, cash flow method or cash flow
[4]. The global value of the company
established by one of the mentioned
methods, represents the value of the net
merger contribution of each merged
company. Based on this value, the
exchange ratio is established. The value of
the net accounting asset is equal to the
value of the net contribution only if the
patrimonial method of global valuation of
the company has been used. If the two
values are not equal, at the merged or
merged company, the differences are
recognized as elements of merger gains or
losses, as follows: if the value of the net
contribution is greater than the net
accounting asset, the difference is
recognized as profit . Conversely, the
difference is recognized as a loss.
Recognition can be made either by
accounts 6583 "Expenses on assigned

patrimonială de evaluare globală a
societăţii. În cazul în care cele două valori
nu sunt egale, la societatea absorbită sau
intrată în contopire, diferenţele sunt
recunoscute ca elemente de câştiguri sau
pierderi din fuziune, astfel: dacă valoarea
aportului net este mai mare decât activul
net contabil, diferenţa este recunoscută ca
profit. În situaţia inversă, diferenţa este
recunoscută ca pierdere. Recunoaşterea se
poate realiza fie prin conturile 6583
"Cheltuieli privind activele cedate şi alte
operaţii de capital" şi 7583 "Venituri din
cedarea activelor şi alte operaţii de
capital", iar pe această bază în contul 121
"Profit şi pierdere", fie la rezultatul
reportat, cont 117 "Rezultatul reportat".
Pentru respectarea principiului
independenţei exerciţiului, recunoaşterea
câştigurilor şi pierderilor aferente
perioadelor anterioare se va reflecta în
contul 117 "Rezultatul reportat" cu
identificarea acestora pe exerciţii
financiare, dacă aceasta este posibilă [5].
- Determinarea raportului de schimb
al acţiunilor sau al părţilor sociale, pentru a
acoperi capitalul societăţilor comerciale
absorbite. În cadrul acestei etape se
efectuează: determinarea valorii contabile a
acţiunilor sau a părţilor sociale ale
societăţilor comerciale care fuzionează,
prin raportarea aportului net la numărul de
acţiuni sau de părţi sociale emise. Valoarea
contabilă a unei acţiuni/părţi sociale se
poate obţine şi prin raportarea activului net
contabil la numărul de acţiuni/părţi sociale;
şi stabilirea raportului de schimb al
acţiunilor sau al părţilor sociale, prin
raportarea valorii contabile a unei acţiuni
ori părţi sociale a societăţii absorbite la
valoarea contabilă a unei acţiuni sau părţi
sociale a societăţii absorbante, raport
verificat şi aprobat de experţi [6].
- Determinarea numărului de acţiuni
sau de părţi sociale de emis pentru
remunerarea aportului net de fuziune.
Determinarea numărului de acţiuni sau de

shares / share; and establishing the
exchange ratio of shares or shares, by
relating the carrying amount of a share or
share of the absorbed company to the
carrying amount of a share or share of the
acquiring company, report verified and
approved by experts [6].
- Determining the number of shares or
shares to be issued to remunerate the net
merger contribution. Determining the
number of shares or shares to be issued by
the absorbing company, either by relating
the equity (net assets) of the absorbed
companies to the carrying amount of a

the company absorbed with the exchange

absorbing company with the nominal value

net) al societăţilor comerciale absorbite la
valoarea contabilă a unei acţiuni sau părţi
sociale a societăţii comerciale absorbante,
fie prin înmulţirea numărului de acţiuni ale
societăţii comerciale absorbite cu raportul
de schimb. Majorarea capitalului social la
societatea comercială care absoarbe, prin
înmulţirea numărului de acţiuni care
trebuie emise de societatea comercială care
absoarbe cu valoarea nominală a unei
acţiuni sau a unei părţi sociale de la această
societate comercială. Calcularea primei de
fuziune, ca diferenţă între valoarea
contabilă a acţiunilor sau a părţilor sociale
şi valoarea nominală a acestora. Societăţile
comerciale care sunt absorbite se dizolvă şi
îşi pierd personalitatea juridică, o dată cu
înregistrarea în registrul comerţului de
încetarea existenţei.
- Evidenţierea în contabilitatea
societăţilor a operaţiunilor efectuate cu
ocazia fuziunii.
În cazul societăţilor absorbite,[2]
tratamentul fiscal presupune îndeplinirea a
numeroase condiţii. Astfel, veniturile
provenite din transferul activelor (contul
7583 "Venituri din cedarea activelor şi alte
operaţii de capital") sunt venituri
neimpozabile în conformitate cu
prevederile Codului fiscal. În mod similar,
cheltuielile privind activele cedate (contul
6583 "Cheltuieli privind activele cedate şi
alte operaţii de capital") sunt cheltuieli
nedeductibile. Societatea absorbită trebuie
să transmită societăţii absorbante valoarea
fiscală a fiecărui element de activ şi pasiv
transferat. Valoarea fiscală a mijloacelor
fixe amortizabile, definite în conformitate
cu prevederile Codului fiscal, se determină
luând în calcul valoarea utilizată pentru
calculul amortizării fiscale fără a folosi
datele din contabilitate sau orice reevaluare
contabilă a acestor active, urmând să se
amortizeze pe durata normală rămasă. În
conformitate cu prevederile Codului fiscal,
reducerea sau anularea oricărui provizion

In the case of absorbed companies,
[2] the tax treatment involves the
fulfillment of many conditions. Thus, the

taxable income in accordance with the
provisions of the Fiscal Code. Similarly,
expenses on disposed assets (account 6583
"Expenses on disposed assets and other
capital operations") are non - deductible
expenses. The absorbed company must
transmit to the absorbing company the tax
value of each asset and liability transferred.
The tax value of depreciable fixed assets,
defined in accordance with the provisions
of the Fiscal Code, is determined taking
into account the value used to calculate tax
depreciation without using accounting data
or any accounting revaluation of these
assets, to be depreciated over the remaining
normal period. In accordance with the
provisions of the Fiscal Code, the reduction
or cancellation of any provision or reserve
that was previously deducted in
determining the taxable profit is included
in the taxable income of the absorbed
company, unless the absorbing company
takes over the provision or reserve. For
example, previously deducted reserves may
be: the legal reserve of 10% of the gross
accounting profit until it reaches 40% of
the paid-up share capital, or, the reserves
constituted as a result of the application of
the tax facility on non-taxation of part of
the taxable profit, or reserves from
revaluation. According to the provisions of
the Fiscal Code, the absorbed company has
the obligation to submit the tax return and
to pay the profit tax 10 days before the date
of registration of the cessation of existence
at the trade register [8].
In the case of absorbing companies,

societăţii absorbite, cu excepţia situaţiei în
care societatea absorbantă preia

rezerva legală de 10 % din profitul contabil

capitalul social vărsat, sau, rezervele
constituite ca urmare a aplicării facilităţii
fiscale privind neimpunerea unei părţi din
profitul impozabil, sau rezerve din
reevaluare. Potrivit prevederilor Codului
fiscal, societatea absorbită are obligaţia să
depună declaraţia de impunere şi să
plătească impozitul pe profit cu 10 zile
înainte de data înregistrării încetării
existenţei la registrul comerţului [8].
În cazul societăţilor absorbante,
tratamentul fiscal presupune şi aici
îndeplinirea a numeroase condiţii. Spre
exemplu, una dintre acestea este aceea ca
pierderea fiscală înregistrată de societatea
absorbită nu se recuperează de către
societatea absorbantă. Societatea
absorbantă foloseşte la determinarea
profitului impozabil valorile fiscale ale
activelor şi pasivelor transmise de către
societatea absorbită; societatea absorbantă
amortizează din punct de vedere fiscal
valoarea fiscală a mijloacelor fixe
amortizabile transferate de la societatea
absorbită, aplicând regulile prevăzute la
art. 24 din Codul fiscal care s-ar fi aplicat
de către societatea absorbită în situaţia în
care fuziunea nu ar fi avut loc. În situaţia în
care societatea absorbantă nu cunoaşte
valoarea fiscală pe care activele şi pasivele
transferate au avut-o la societatea
absorbită, valoarea fiscală a activelor şi
pasivelor respective, pentru societatea
absorbantă este zero. În cazul în care se
preiau de la societatea absorbită rezerve
şi/sau provizioane care au fost deductibile
la determinarea profitului impozabil
acestea urmează regimul stabilit prin
prevederile art. 22 din Codul fiscal. În

absorbed company that were deductible
when determining the taxable profit, they
follow the regime established by the
provisions of art. 22 of the Fiscal Code. If
the value of the legal reserve resulting from
the merger operation exceeds one fifth of
the subscribed and paid-in capital of the
acquiring company, the difference is not
treated as taxable income as long as this
reserve is maintained at the resulting value.
The value corresponding to the decrease of
the legal reserve represents taxable income,
the subsequent reconstitution of the reserve
not being deductible when determining the
taxable profit [10].
It can be concluded that by merger
the transfer takes place, both in the
relations between the absorbed company
and the absorbing company / beneficiary
companies, as well as in the relations with
third parties, to the absorbing company or
each of the beneficiary companies of all
assets and liabilities of the absorbed
company; this transfer will be made in
accordance with the allocation rules set out
in the draft terms of merger. At the same

situaţia în care valoarea rezervei legale
rezultată în urma operaţiei de fuziune,
depăşeşte o cincime din capitalul subscris
şi vărsat al societăţii absorbante, diferenţa
nu se tratează ca venit impozabil atâta timp
cât această rezervă se menţine la valoarea
rezultată. Valoarea corespunzătoare
diminuării rezervei legale reprezintă venit
impozabil, reconstituirea ulterioară a
rezervei nefiind deductibilă la determinarea
profitului impozabil [10].
Se poate concluziona că prin
fuziune are loc transferul, atât în
raporturile dintre societatea absorbită şi
societatea absorbantă/societăţile
beneficiare, cât şi în raporturile cu terţii,
către societatea absorbantă sau fiecare
dintre societăţile beneficiare al tuturor
activelor şi pasivelor societăţii absorbite;
acest transfer va fi efectuat în conformitate
cu regulile de repartizare stabilite în
proiectul de fuziune. În acelaşi timp,
acţionarii sau asociaţii societăţii absorbite
devin acţionari, respectiv asociaţi ai
societăţii absorbante, respectiv ai
societăţilor beneficiare, în conformitate cu
regulile de repartizare stabilite în proiectul
de fuziune. Şi nu în ultimul rând, societatea
absorbită încetează să existe [9].
Nici o acţiune sau parte socială la
societatea absorbantă nu poate fi schimbată
pentru acţiuni/părţi sociale emise de
societatea absorbită şi care sunt deţinute de
către societatea absorbantă, direct sau prin
intermediul unei persoane acţionând în
nume propriu, dar în contul societăţii sau
de către societatea absorbită, direct sau
prin intermediul unei persoane acţionând în
nume propriu, dar în contul societăţii.
Cu ocazia fuziunii prin contopire
trebuie realizate următoarele operaţiuni:
inventarierea şi evaluarea elementelor de
activ şi de pasiv, întocmirea situaţiilor
financiare de fuziune şi determinarea
capitalului propriu (activului net);
constituirea noii societăţi comerciale pe
baza capitalului propriu (activului net) al
societăţilor comerciale care fuzionează şi

reflection in the accounting of the newly
established company of the contributed
capitals, of the rights and obligations of the
companies that cease to exist; and last but
not least, the reflection in the accounting of
the dissolved companies of the assets and
liabilities transferred to the new company
[7].
Regarding the companies that cease
their activity, the revenues from the
transfer of assets (account 7583 "Revenues
from the transfer of assets and other capital
operations") are non-taxable revenues in
accordance with the provisions of art. 27
para. (4) lit. a) of the Fiscal Code.
Similarly, expenses on disposed assets
(account 6583 "Expenses on disposed
assets and other capital operations") are
non - deductible expenses. Also,
companies that cease to exist must pass on

drepturilor şi obligaţiilor societăţilor
comerciale care îşi încetează existenţa; şi
nu în ultimul rând, reflectarea în
contabilitatea societăţilor comerciale care
s-au dizolvat a elementelor de activ şi de
pasiv transmise noii societăţi comerciale
[7].
În ceea ce priveşte societăţile care
îşi încetează activitatea, veniturile
provenite din transferul activelor (contul
7583 "Venituri din cedarea activelor şi alte
operaţii de capital") sunt venituri

prevederile art. 27 alin. (4) lit. a) din Codul

în care se preiau de la societăţile care îşi

determinarea profitului impozabil acestea
urmează regimul stabilit prin prevederile
art. 22 din Codul fiscal. În situaţia în care

operaţiei de fuziune, depăşeşte o cincime
din capitalul subscris şi vărsat al societăţii
care ia fiinţă, diferenţa nu se tratează ca
venit impozabil atâta timp cât această
rezervă se menţine la valoarea
rezultată. Valoarea corespunzătoare
diminuării rezervei legale reprezintă
venituri impozabile, reconstituirea
ulterioară a rezervei nefiind deductibilă la
determinarea profitului impozabil.
Valoarea fiscală a titlurilor de participare
primite de persoanele care contribuie cu
active este egală cu valoarea fiscală a
activelor aduse drept contribuţie de către
persoanele respective şi se înregistrează în
Registrul fiscal [10].

of the registration of the application, one or
more experts from the list of authorized
experts. They will draw up a report
containing the description and the
evaluation of each contributed good and
will highlight if its value corresponds to
the number and value of the actions
granted in exchange, as well as other
elements indicated by the judge-delegate.
The founders will submit the report within
15 days from the date of its approval to the
trade register office. The Trade Register
will send a notification regarding this
submission to the Autonomous
Administration "Monitorul Oficial", to be
published at the expense of the company.
In the case of merged companies, it is
not necessary to draw up a report
containing the description and valuation of
each good contributed, as well as other
elements indicated by the judge-delegate,
respectively its submission to the trade
register office, if the merger project was
examined an independent expert. The
extraordinary general meeting meets

constituirea societăţii sau la tranzacţii
conducând la acordarea autorizaţiei,
operaţiuni încheiate de fondatori pe seama
societăţii ce se constituie şi pe care aceasta
urmează să le ia asupra sa, judecătorul-
delegat numeşte, în termen de 5 zile de la
înregistrarea cererii, unul sau mai mulţi
experţi din lista experţilor autorizaţi.
Aceştia vor întocmi un raport cuprinzând
descrierea şi modul de evaluare a fiecărui
bun aportat şi vor evidenţia dacă valoarea
acestuia corespunde numărului şi valorii
acţiunilor acordate în schimb, precum şi
alte elemente indicate de judecătorul-
delegat. Fondatorii vor depune raportul în
termen de 15 zile de la data aprobării sale
la oficiul registrului comerţului. Registrul
comerţului va transmite o notificare cu
privire la această depunere către Regia
Autonomă "Monitorul Oficial", pentru a fi
publicată pe cheltuiala societăţii.
În cazul societăţilor constituite prin
fuziune nu este necesară întocmirea unui
raport cuprinzând descrierea şi modul de
evaluare a fiecărui bun aportat, precum şi
alte elemente indicate de judecătorul-
delegat, respectiv nici depunerea sa la
oficiul registrului comerţului, dacă
proiectul de fuziune a fost supus
examinării unui expert independent.
Adunarea generală extraordinară se
întruneşte ori de câte ori este necesar a se
lua o hotărâre pentru fuziunea cu alte
societăţi. Decizia de fuziune a societăţii se
ia cu o majoritate de cel puţin două treimi
din drepturile de vot deţinute de acţionarii
prezenţi sau reprezentaţi. Acţionarii care
nu au votat în favoarea hotărârii adunării
generale privind fuziunea societăţii au
dreptul de a se retrage din societate şi de a
solicita cumpărarea acţiunilor lor de către
societate.
În cazul unei fuziuni prin absorbţie
prin care una sau mai multe societăţi sunt
dizolvate fără a intra în lichidare şi
transferă toate activele şi pasivele lor unei
alte societăţi care deţine toate acţiunile lor
sau alte titluri conferind drepturi de vot în

Conclusions:
The motivation for the planned
merger may be to simplify the decision-
making process, to streamline the
implementation process and to reduce
administrative costs, by forming a single
structure in which all the forces of the
companies involved are involved,
especially if the structure of the two
partners companies is the same.
From an economic point of view but
also depending on the commercial strategy,
the merger has as objective: the efficiency
of the managerial decision act, the
determination of a better marketing policy;
in exchange for the shares held in the
absorbed company, the absorbing company
will receive the patrimony (assets and
debts) canceling the share capital of the
absorbed company; better use of existing
facilities and labor or a reduction in unit
costs of purchasing raw materials by
increasing the volume; will increase the
level of sales, which will implicitly
determine the increase of profits; the

în favoarea fuziunii/divizării îşi pot
exercita dreptul de retragere în termen de
30 de zile de la data publicării proiectului
de fuziune.
Concluzii:
Motivaţia fuziunii proiectate poate
fi aceea de a simplifica procesul
decizional, de a fluidiza procesul de
execuţie şi de a reduce costurile
administrative, prin formarea unei structuri
unice în care să fie angrenate toate forţele
societăţilor implicate, mai ales în cazul în
care structura asociaţilor celor două
societăţi este aceeaşi.
Din punct de vedere economic dar
şi în funcţie de strategia comercială,
fuziunea are ca obiectiv: eficientizarea
actului de decizie managerial, determinarea
unei mai bune politici de marketing; în
schimbul acţiunilor deţinute la societatea
absorbită societatea absorbantă va primi
patrimoniul (active şi datorii) anulând
capitalul social al societăţii absorbite; o
mai bună utilizare a facilităţilor şi forţei de
muncă existente sau o reducere a costurilor
unitare de achiziţie a materiilor prime prin
creşterea volumului; va creşte nivelul
vânzărilor, ceea ce va determina implicit
creşterea beneficiilor; fuziunea va contribui
la o mai bună alocare a resurselor la nivelul
societăţii absorbante; se vor elimina
paralelismele din cadrul structurilor
administrative ale societăţilor care
fuzionează; unirea celor doua patrimonii va
duce la mărirea puterii financiare necesară
contractării de credite bancare cu dobânzi
mai mici, şi indirect efectuarea de
economii utile derulării în bune condiţii a
activităţilor, societatea absorbantă având o

Patrimoniile fiecărei societăţile
implicate în fuziune sunt evidenţiate în
situaţiile financiare încheiate la data de
referinţă care se aleg ca situaţii financiare
de fuziune; elementele de activ şi de pasiv

administrative structures of the merging
companies will be eliminated; the union of
the two patrimonies will lead to the
increase of the financial power necessary
for contracting bank loans with lower
interests, and indirectly the realization of
useful savings for the development in good
conditions of the activities, the absorbing
company having a much better financial
situation and performance indicators.
The patrimonies of each company
involved in the merger are highlighted in
the financial statements concluded at the
reference date which are chosen as
financial statements of the merger; the
assets and liabilities of each of the
companies involved in the merger are
valued at the values entered in the merger
balance sheets, respectively at the
reference date. The merger balance sheets
of the two companies are drawn up in
compliance with the provisions of the
O.M.F.P. no. 10/2019 for the approval of
the accounting regulations regarding the
individual annual financial statements and
the consolidated annual financial
statements and is approved by the GMS of
the two companies.
The merger of the companies is
carried out according to the provisions of
art. 238 para. 1 lit. A of Law 31/1990 by
transferring the entire patrimony of the
absorbed company to the absorbing
company. As a result of the merger, the
acquiring company will take over all the
rights and obligations of the absorbed
company. The absorbed company will be
dissolved without liquidation by the
universal transfer of its patrimony to the
absorbing company.

ale fiecăreia dintre societăţile implicate în
fuziune se evaluează la valorile înscrise în
bilanţurile de fuziune, respectiv la data de
referinţă. Bilanţurile contabile de fuziune a
celor două societăţi se întocmesc cu
respectarea prevederilor O.M.F.P.
nr.10/2019 pentru aprobarea
reglementărilor contabile privind situaţiile
financiare anuale individuale şi situaţiile
financiare anuale consolidate şi se aproba
prin AGA celor doua societăţi.
Fuziunea societăţilor se realizează
conform prevederilor art. 238 alin. 1 lit. A
din Legea 31/1990 prin transferarea
totalităţii patrimoniului societăţii absorbite
către societatea absorbantă. Ca efect al
fuziunii, societatea absorbantă va prelua
toate drepturile şi obligaţiile societăţii
absorbite. Societatea absorbită se va
dizolva fără lichidare prin transmiterea
universală a patrimoniului acesteia către
societatea absorbantă.
