Executive Summary With the advent of September 11th and subsequent war on terror security concerns undertook a whole new meaning in the business world. The challenges and obstacles presented opened up areas that previously required little or no attention. This resulted in the formation of many new security companies offering services such as, executive protection, force protection and security management. The traditional and current practice that fulfills these services is individual placement, a practice of simply placing individuals who have never worked or trained together on a team and calling them a team. It was apparent that changes to ensure mission security and project success were required. It was also apparent that risk assessment and mitigation, terms originally used in the insurance industry, became factors that companies now have to consider when embarking on new or prospective projects. We, at T-H-O-R, knowing that individual placement is a dangerous practice only offer experienced fully trained teams to our clients. Our team members have an average of 16 years experience in the services we offer: specialists cross-trained in the areas of executive protection, counter terrorism, maritime counter-terrorism, security management, force protection, tactical field medicine, and communications. Additionally, our team of experienced management professionals oversees our day-to-day business, maintains our client relations, and works synergistically with both our field operations teams and strategic partners to provide what we know to be a complete full service package. George Manos – CEO and President

Mr. Manos, co-founder of T-H-O-R Executive Security Teams Inc, a graduate of Wofford College, Fairleigh Dickerson University, and Long Island University, is an executive with 30 years experience in running multi-million dollar corporations. Mr. Manos is a former field grade military officer with vast command experience in both military and civilian aspects of management.

Donald Branen – COO and Vice President

Mr. Branen, co-founder of T-H-O-R Executive Security Teams Inc, is a graduate of St. John’s University with a degree in Criminal Justice and Psychology. Mr. Branen has extensive operations background with the NYPD in organized crime investigations, anti-terrorism, and is an expert in hostage rescue and special response team activities.

Anne Plakakis – CFO and Treasurer

Ms. Plakakis, a graduate of the University of North Carolina with a degree in business administration, comes to us with extensive experience in finance as a former Chief Financial Officer for Tar Heel Chemical Company and more recently Village Apothecary Inc., a multi-million dollar pharmaceutical firm in New York City.

Jared Hall – Director - Operations and Training

Mr. Hall, a former Special Forces Operative, is our senior instructor in Maritime Counter- Terrorism and our expert in planning, training, and operations. Mr. Hall, a highly decorated soldier, has proven himself in these endeavours during his 10-year military service and in both Operations Noble Eagle and Enduring Freedom.

Jaime Farrell – Director - Project Management

Mr. Farrell is a former UK Naval Officer and Submarine Commander who has a wealth of experience in project management. As a former Operations Manager for both the US Embassy and UNOPS in Kabul, Afghanistan, Mr. Farrell was responsible for all aspects of projects, project supervision and operations countrywide.

Andy Fyfe – Director – Medical Operations

Mr. Fyfe’s medical expertise initially came from his training with the British Military, specifically the Special Air Service. His 24 years of experience in pre-hospital emergency care and critical care transport gained him positions such as Medical Officer for the US Embassy in Kabul, Afghanistan and Team Rescue Medic for the Ford Focus World Championship Rally Team. Mr. Fyfe has lectured on critical care transport and pre-hospital emergency care worldwide.

Eric Olson – Director - Sales and Marketing

Mr. Olson, a former Special Forces Operative, has extensive experience in sales and marketing. Mr. Olson conceptualised and subsequently developed H.O.M.E. Inc, a multi-million dollar Texas corporation. Mr. Olson was responsible for all corporate sales with nationally recognized businesses, such as, Pizza Hut, Papa John’s Pizza, Budget Rental Cars, Kroger Grocery Corp., Arby’s Restaurants, and Red Wing Shoes.

Angel Sievert – Director - New Project Development

A former Philippine Army Major has over 7 years experience in new project development, requests for proposals completion and contract compliance. Mr. Sievert was head proposal coordinator and production specialist for Century Planning Associates and Enexdi (formerly Readycopies).

Company Background “T-H-O-R” was founded in the fall of 2005 by a group of professional business and former military/law enforcement personnel who have worked overseas together for several years. As they worked in high-risk environments, it became clear that the prevailing practice of assigning individuals who had never worked together as a team on Personal Security Details (PSD) and Quick Reaction Forces (QRF) was unproductive, unacceptable and dangerous.

The “TEAM CONCEPT” and T-H-O-R is our response

The “TEAM CONCEPT” was necessary. From this, T-H-O-R put together a select group of highly trained business and former Special Forces, SAS, and SWAT experts who have trained and worked together as a team for many years bringing the Team Concept to a new level. T-H-O-R’s members are highly motivated and deeply committed to this security model:

T-H-O-R offers fully developed, cohesive Teams of experienced personnel, each bringing with him his own specialty. Our specialty fields include business management, medicine, weapons, tactics, hand-to-hand combat, intelligence, surveillance, evasive driving, and advanced bodyguard techniques.

T-H-O-R operatives have undergone joint training in various U.S Department of Defense, U.S State Department and other Military programs at our facility outside Troy, Tennessee.

Select T-H-O-R Operatives have specialty training in Maritime Counter Terrorism and have instructed similar teams from Kuwait and Saudi Arabia in these techniques.

Many of T-H-O-R members are multi lingual, having fluencies in English, French, Greek, Italian, German, Russian, Czech, Serbian, Croatian, Thai and Chinese.

T-H-O-R Inc. is a CCR (Central Contractor Registration) registered company with the US Government allowing us the opportunity to bid and operate on government projects.

T-H-O-R is N-CAGE registered, which is the NATO equivalent of the CCR, and is also registered with the UN Global Market and World Bank.

T-H-O-R is registered with the U.S. Department of State offering us advantages over similar non-registered companies.

Our Unique Approach

Many people believe that President John F. Kennedy established the Special Forces in 1961; this is quite untrue. The use of Special Forces dates back to the American Revolutionary War and has evolved for over 200 years into what we now call Special Operations Groups. These Special Operations Groups were divided into “A-Teams” that were structure accordingly:

■ 2- Officers ■ 2-Operations & Intelligence Sergeants ■ 2- Weapons Sergeants ■ 2- Communications Sergeants ■ 2- Medics ■ 2- Engineers

Special Forces “A” Teams could operate in total number or be split into 2 six-man teams. Each team member is trained in unconventional warfare, spoke at least one foreign language and cross-trained in each other’s specialties.

We at T-H-O-R have modeled a similar structure into our Concept of what we know to be the safest method of protection, The Team Concept. Our Teams are comprised of former Military and Law Enforcement Special Operations personnel from all over the world. Our Team structure consists of the following:

All T-H-O-R Team Operatives are cross-trained in each other’s specialties, speak at least one foreign language and are highly trained in both PSD (Personal Security Detail) and QRF (Quick Reaction Force). T-H-O-R Team Operatives, like an “A-Team”, have worked, lived, and trained together in hostile and non-hostile environments allowing them to grow and develop their skills as a Team, as well as build a camaraderie not seen in other companies. T-H-O-R Team Operatives are professionals with over 16-years experience and conduct themselves accordingly.

Mitigation As defined, Mitigation is the effort to reduce loss of life and property by lessening the impact of disasters. Mitigation is achieved through risk analysis, which results in information that provides a foundation for mitigation activities that result in risk reduction.

Our Definition Mitigation is the effort to prevent loss of business, profit, life and property, by lessening the impact of disasters that would so affect them. Mitigation is achieved through a risk analysis – assessment report, The OP-Plan, which provides information that is used as a foundation for our mitigation activities that will result in risk reduction. The OP-Plan can be used as a stand- alone platform or in conjunction with our other mitigation tools.

The OP-Plan (risk analysis – assessment report) The OP-Plan is a full report that involves an in-depth analysis of the Client objectives and goals of the project. The OP-Plan includes pertinent information regarding the project, location, obstacles and any intelligence information. In addition it may also include any in-country assessments, when appropriate.

Maritime Counter-Terrorism - Counter-Terrorism (CT)

T-H-O-R MCT/CT Specialists provide oil platform, port and ship security services and training. Our Specialists can perform realistic threat scenarios based on an existing security plan assessment, train up a new or existing team or if required provide our own team. Drills and Exercises performed on an existing plan or team will not only confirm if there is a weakness, but will help ensure that your staff is proficient at handling a variety of security threats and situations at each level of Maritime Security (MARSEC).

T-H-O-R MCT/CT's are Subject Matter Experts (SME). The skills acquired in marksmanship, close quarters combat, and hostage rescue, and their knowledge of the hydrodynamic properties of explosives far exceeds the standards set by other similar military groups.

T-H-O-R MCT/CT's are all Heliborne, HALO and HAHO qualified instructors, are more adept in verbal and non-verbal ITC (inter-team communications), and are trained to operate nocturnally.

All T-H-O-R personnel are QRF (Quick Reaction Force) and PSD (Personal Security Detail) qualified and only utilize specialized expatriate personnel! This may initially seem more expensive to the client; however, our experience has deemed this to be more cost effective in the long run while assuring maximum safety for the client.

Due Diligence

Due diligence refers to the care a reasonable person should take before entering in an agreement or transaction with another party. In the case of T-H-O-R, all personnel have been vetted and approved. Furthermore, T-H-O-R’s Directors oversee all contract operations in country ensuring both Contract and Codes of Conduct Compliance. As stated, all T-H-O-R personnel have a vested interest in the company and will not tolerate situations that would jeopardize the contract, client or its reputation. Alan P. Profile: Alan, a former British Special Air service Soldier (21 Special Air Service Regiment), has over 13 years of PSD and QRF experience. Alan has seen extensive security and offensive action in Bosnia and Iraq and is highly skilled in Close Protection and Close Quarters Combat. Alan was also employed as a Special Forces Patrol Medic with experience gained in hospital and with the London Ambulance Service. More recently, Alan was Team Leader of a PSD Team in Iraq serving several NGO’s. As a side note, Alan was also the Bronze Medallist for the British Forces Quadathalon Championship. Alan has completed mandatory Department of Defense and State Department Training and Qualifications for missions in Iraq. Re: Weapons, Medical, NBC Training, Rules of Engagement, Legal Liabilities, and Codes of Conduct.

Andy F. Profile: Andy, a former British Special Air service trooper (A SQN 23 SAS), has over 27 Years of Close Protection, Security, and CQB experience. Andy is also an Emergency Care Practitioner-EMT and Critical Care Flight Rescue Paramedic who most recently was the Medical Officer for the US Embassy Guard Force in Kabul, Afghanistan. Andy has extensive experience in Close Protection Security as a member of a Quick Response/Reaction Force in Afghanistan. Andy has served as the Team Rescue Medic for Ford Rally Sport, M-Sport auto racing team (EU), and he has published many articles in the UK regarding emergency rescue and response. Andy was also the Director/Coordinator of the Crash/Rescue Emergency Medical Service Symposium at Teeside International Airport, United Kingdom where he trained the Airport Fire Department to become qualified EMT’s. Andy has completed mandatory Department of Defense and State Department Training and Qualifications for missions in Iraq and Afghanistan. Andy R. Profile: Andy, a current British Special Forces Soldier (Special Air Service Regiment), has 10 years PSD and QRF experience. Andy was deployed with British Special Forces to Mazar E Sherif in Northern Afghanistan as the tactical advance for the UK PRT based there. Andy was Patrol Commander with extensive surveillance and offensive action experience worldwide. Andy is currently the 2IC at the United Nations (NY) and is under the overall supervision of the Chief of the Protection Coordination Unit. His responsibilities are to assist the Chief in overseeing and coordinating the deployment of close protection assets throughout the United Nations System and to develop and maintain the effective monitoring of close protection operations worldwide. Mike also has had extensive training in the Regiment’s Counter-Terrorism Unit. More recently, Mike was a PSD Team member providing security for the US Judges who are establishing the Judicial System in Afghanistan. Mike, also a graduate of the Ronin Close Protection Course of South Africa, served as QRF Team Commander and Driver for the US Embassy Guard Force in Kabul, Afghanistan. Definitions “Actively Working” refers to those people who are employed with salary on a contract. “Application” refers to the forms required for employment. “Client” means any client of the Company. “Code of Conduct” means the Company’s Code of Conduct in which all Employees and Operatives are required to adhere to. “Company” means T-H-O-R Executive Security Teams Inc. “Contract” refers to the document between employer and employee or employer and Client. “Employee (s)” means anyone who is paid a salary, fee or commission by the Company. “Insurance” means the insurance, subject to availability on reasonable terms, to be provided by the Company as stated in the General Policy. “Operative” means a person who is employed by the Company for a specific project or Contract. . “Rules of Engagement” means the rules designated as such and provided to the Operative prior to the commencement of the Contract as published in this document.

“Seniority” refers to either those persons initially responsible for the inception of the Company or those person (s) who have two (2) consecutive years paid employment with the Company.

The following represents the General Corporate Policies of T-H-O-R Executive Security Teams Inc. of which are incorporated the Guidelines for Employment, Codes of Conduct and Rules of Engagement. These Policies may be modified from time to time as required.

General

1. All employees will have, at their expense, an annual physical examination.

The results of which will be reported to the Medical Director of the Company.

2. The Company will pay medical benefits to employees who have Seniority.

These benefits will commence after the first Contract but will stop if the employee terminates his employment, is terminated by the Company or in the event the Company closes.

3. The Company will offer Stock Options and Profit Sharing to Employees

with Seniority after completion of the Company’s Third (3rd) Contract. 4. Employees with Seniority who terminate their employment with less than

five (5) years of service will lose their stock options.

5. Salaries to all employees will be paid on the first (1st) day of the following month. All Employees will be paid through T-H-O-R Executive Security Teams LLC.

6. The Company will provide accidental Death and Dismemberment

Insurance for all Operatives Actively Working.

7. Siblings, spouses or relatives will not be permitted to work overseas on the same Contract at the same time.

8. The Company does not discriminate in regards to race, creed, religion,

sexual orientation or physical disabilities. However, due to the nature of our work people with physical disabilities will not be considered for domestic or overseas field projects.

9. Profit Sharing will be paid to employees with Seniority as either a dividend

check or as additional stock options. The Directors will determine this at the annual Stockholders Meeting.

10. The annual Stockholders meeting, time and place, will be determined by the Directors.

Age: Applicant will be no less than 30 years old or have a

combined minimum of 10-years experience in PSD/QRF and Military or Law Enforcement work.

Criminal Record:

1. No applicant will be accepted for employment with a criminal record and no application will be accepted without a criminal background check.

Codes of Conduct

This Code of Conduct seeks to ensure the ethical standards of T-H-O-R Executive Security Teams Inc. operating in conflict and post-conflict environments so that they may contribute their valuable services for the benefit of international peace and human security.

Additionally, T-H-O-R and its employees are encouraged to follow all rules of international humanitarian law and human rights laws that are applicable as well as all relevant international protocols and conventions, including but not limited to:

Universal Declaration of Human Rights (1948)

Geneva Conventions (1949)

Convention Against Torture (1975)

Protocols Additional to the Geneva Conventions (1977)

Chemical Weapons Convention (1993)

Voluntary Principles on Security and Human Rights (2000)

Members of T-H-O-R are pledged to the following principles in all their operations:

1. Human Rights

1.1. In all their operations, T-H-O-R and its employees will respect the dignity of all human beings and strictly adhere to all relevant international laws and protocols on human rights.

1.2. In all their operations, T-H-O-R and its employees will take every practicable measure to minimize loss of life and destruction of property.

T-H-O-R and its employees engaged in peace or stability operations pledge, to the extent possible and subject to contractual and legal limitations, to be open and forthcoming with the International Committee of the Red Cross and other relevant authorities on the nature of their operations and any conflicts of interest that might in any way be perceived as influencing their current or potential ventures.

3. Accountability

3.1. T-H-O-R and its employees understand the unique nature of the conflict/post-conflict environment in which many of their operations take place, and they fully recognize the importance of clear and operative lines of accountability to ensuring effective peace operations and to the long-term viability of the industry.

3.2. T-H-O-R and its employees support effective legal accountability to relevant authorities for their actions and the actions of company employees. While minor infractions should be proactively addressed by companies themselves, Employees pledge, to the extent possible and subject to contractual and legal limitations, to fully cooperate with official investigations into allegations of contractual violations and violations of international humanitarian law and human rights law.

3.3. T-H-O-R and its employees further pledge that they will take firm and definitive action if other employees of their organization, or employees of other organizations, engage in unlawful activities.

4. Clients

4.1. T-H-O-R and its employees pledge to work only for legitimate, recognized governments, international organizations, non-governmental organizations and lawful private companies.

4.2. T-H-O-R and its employees refuse to engage any unlawful clients or clients who are actively thwarting international efforts towards peace.

4.3. T-H-O-R and its employees pledge to maintain the confidentiality of information obtained through services provided, except when doing so would jeopardize the principles contained herein.

5. Safety

5.1. Recognizing the often high levels of risk inherent to business operations in conflict/post-conflict environments, T-H-O-R and its employees will always strive to operate in a safe, responsible, conscientious and prudent manner and will make their best efforts to ensure that all company personnel adhere to these principles.

6. Employer and Employees

6.1. T-H-O-R will ensure that all their employees are fully informed regarding the level of risk associated with their employment, as well as the terms, conditions, and significance of their contracts.

6.2. Employees pledge to ensure that they are medically fit, and that all they are appropriately screened for the physical and mental requirements for their applicable duties according to the terms of the contract.

6.3. T-H-O-R pledges to utilize adequately trained and prepared personnel in all their operations in accordance with clearly defined company standards.

6.4. T-H-O-R pledges that all personnel will be vetted, properly trained and supervised and provided with additional instruction about the applicable legal framework and regional sensitivities of the area of operation.

6.5. T-H-O-R pledges that all their employees are in good legal standing in their respective countries of citizenship, as well as at the international level.

6.6. T-H-O-R agrees to act responsibly and ethically toward all their employees, including ensuring employees are treated with respect and dignity and responding appropriately if allegations of employee misconduct arise.

6.7. Payment of different wages to different nationalities must be based on merit and national economic differential, and cannot be based on racial, gender or ethnic grounds.

6.8. In the hiring of employees engaged in continuous formal employment, T-H-O-R agrees to respect the age-minimum standard of 15 years of age as defined by the International Labor Organization Minimum Age Convention (1973).

6.9. No employee will be denied the right to terminate their employment, furthermore, no employer may retain the personal travel documents of its employees against their will.

6.10. T-H-O-R agrees to provide all employees with the appropriate training, equipment, and materials necessary to perform their duties, and to render medical assistance when needed and practical.

6.11. Employees will be expected to conduct themselves humanely with honesty, integrity, objectivity, and diligence.

7. Insurance

7.1. Foreign and local employees will be provided with health and life insurance policies appropriate to their wage structure and the level of risk of their service as required by law.

8. Control

8.1. T-H-O-R Executive Security Teams Inc. strongly endorses the use of detailed contracts specifying the mandate, restrictions, goals, benchmarks, and criteria for withdrawal and accountability for the operation.

8.2. Contracts shall not be predicated on an offensive mission unless mandated by a legitimate authority in accordance with international law.

8.3. In all cases-and allowing for safe extraction of personnel and others under our protection- T-H-O-R and its employees pledge to speedily and professionally comply with lawful requests from the client, including the withdrawal from an operation if so requested by the client or appropriate governing authorities.

9. Ethics

9.1. T-H-O-R and its employees pledge to go beyond the minimum legal requirements, and support additional ethical imperatives that are essential for effective security and peace related operations:

9.2. Rules of Engagement

9.2.1. T-H-O-R employees that could potentially become involved in armed hostilities will have appropriate "Rules of Engagement" established with their clients before deployment, and will work with their client to make any necessary modifications should threat levels or the political situation substantially change.

9.2.2. All Rules of Engagement are in compliance with international humanitarian law and human rights law and emphasize appropriate restraint and caution to minimize casualties and damage, while preserving a person's inherent right of self-defense. T-H-O-R and its employee’s pledge, when necessary, to use force that is proportional to the threat.

9.3. Support of International Organizations and NGOs/Civil Society and Reconstruction

9.3.1. T-H-O-R and its employees recognize that the services relief organizations provide are necessary for ending conflicts and alleviation of associated human suffering.

9.3.2. To the extent possible and subject to contractual and legal limitations, T-H-O-R and it’s employees, pledge to support the efforts of international organizations, humanitarian and non-governmental organizations and other entities working to minimize human suffering and support reconstructive and reconciliatory goals of peace operations.

9.4. Arms Control

9.4.1. T-H-O-R and it’s employees using weapons pledge to put the highest emphasis on accounting for and controlling all weapons and ammunition utilized during an operation and for ensuring their legal and proper accounting and disposal at the end of a contract.

9.4.2. T-H-O-R and it’s employees refuses to utilize illegal weapons, toxic chemicals or weapons that could create long-term health problems or complicate post-conflict cleanup and will limit themselves to appropriate weapons common to military, security, or law enforcement operations.

10. Partner Companies and Subcontractors

10.1. Due to the complex nature of the conflict/post-conflict environments, companies often employ the services of partner companies and subcontractors to help fulfill the duties of their contract.

10.2. T-H-O-R agrees that they will, if necessary, select partner companies and subcontractors with the utmost care and due diligence to ensure that they comply with all appropriate ethical standards, such as this Code of Conduct.

10.3. The future of the peace operations industry depends on both technical and ethical excellence. Not only is it important for T-H-O-R members to adhere to the principles expressed in this Code, each T-H-O-R member should encourage and support compliance and recognition of the Code across the industry.

RULES OF ENGAGEMENT

These are the rules to be adhered to in the performance of Security Duties while employed by T-H-O-R Executive Security Teams Inc.

THE USE OF FORCE

T-H-O-R Executive Security Teams Inc. recognizes that the use of force may be necessary in mission performance. All T-H-O-R Security Operatives will adhere to the Code of Conduct as mandated by the International Peace Operations Association (IPOA). In addition to this the following Company Rules for Employment of Force shall be strictly adhered to.

a. Rules for Employment of Force

(1) Employment of Force. Security Operatives are authorized to use or threaten to use force in the execution of their duties. When the use of force is justified or ordered by competent authority, Security Operatives shall use the minimum degree of force necessary to accomplish their mission. (2) Forms of Force. Security Operatives may use or threaten to use the following forms of force.

(a) Non-lethal force - includes physical force, physical restraint, OC Spray, drawing the baton, using the baton on non-fatal body areas, drawing firearms and aiming firearms.

(b) Physical force - if a situation requires force, the Security Operative should always first attempt non-lethal force unless it is apparent that it would be ineffective. NON-LETHAL FORCE IS NOT CONSIDERED SUFFICIENT IF THE INTRUDER, THIEF, OR ASSAILANT IS ARMED.

(c) Physical restraint - should physical force alone be insufficient to subdue and control an intruder/thief/assailant, the Security Operative should then attempt to restrain him/her with handcuffs or other expedient restraining devices.

(d) OC Spray - provides the Security Operative with a non-lethal weapon of lesser force than either the side-handle baton or firearm. It may be used in all situations where force is justified and physical force alone is or would be ineffective. When employing OC Spray, the dispenser should be aimed at the chest. Do not aim for the face as OC Spray can permanently blind.

(e) PR24 Baton - provides the Security Operative with a weapon of lesser force than a firearm. When aimed at a vulnerable but non-fatal body area, the use of the baton is considered non-lethal. The use of the baton against fatal body areas is considered deadly force and shall not be utilized in this manner. The baton may be used in all situations where force is justified and lesser means are or would be ineffective. Abusive or obscene language or the communication of a threat does not justify the use of the baton, but does justify drawing the baton and assuming a ready position to prevent escalation and to prepare the Security Operative should he/she be assaulted subsequent to verbal altercation.

(f) Firearms - drawing or aiming of firearms in order to stop or prevent possible death or injury is justified if lesser means of force would be ineffective. Firing a firearm is justified only in those situations where deadly force is authorized and when there is imminent danger of death or serious bodily injury. If the situation permits and if it would be effective, the Security Operative should first draw and warn the assailant. However, if the delay caused by the warning further jeopardizes someone's life, the Security Operative may fire without warning. Warning shots are NOT authorized. If the possibility exists that firing the weapons might hit an innocent bystander, the firearm shall not be fired. When firing, the Security Operative should aim for center mass for maximum incapacitation.

(g) Deadly force - is defined as that force which is intended to cause death or serious physical injury or the use of such force creates some specified degree of risk which a reasonable and prudent person would consider likely to cause death or serious physical injury.

(3) Emergency Situations. Non-lethal force may be employed to prevent or delay the penetration of the mission premises by hostile forces or personnel. Both non-lethal and deadly force may be employed as necessary to protect someone's life. Unless otherwise instructed by competent authority, Security Operative may employ only that degree of force necessary to protect the mission and personnel present. Additional use of force, such as to "prevent" armed intruders from penetrating property or to clear armed intruders from property may be authorized by competent authority in emergency situations.

(4) Protection of Personnel. Unless otherwise specifically directed, the Security Operative’s responsibility for protection of personnel is restricted to those incidents, which may occur on Mission premises. Should an assault occur against a person within any Mission premise, the Security Operative shall only use such force as is necessary to subdue the assailant. Firing of the weapon shall be justified only if, during the application of lesser means of force, the Security Operative’s life, or the life of another person, becomes directly endangered. The weapon shall not be fired as a means of preventing escape of a person suspected of having committed a simple assault, theft, or similar crime. A Security Operative may use deadly force to affect the capture or prevent the escape of a fleeing person only when BOTH of the following two conditions have been met:

(a) The deadly force is necessary to prevent the escape.

(b) The Security Operative has probable cause to believe that the suspect poses a significant and immediate threat of death or serious injury to the Security Operative or others.

(5) Protection of Property. A Security Operative who discovers a person or persons destroying or in the act of stealing property of the Company or Client, shall use only such force as is necessary to prevent the theft or destruction. Firing the weapon shall be justified only if, during the application of lesser means of force, the Security Operative’s life becomes directly endangered or to prevent escape with weapons and ammunition which, in the hands of unauthorized persons, would present substantial potential danger of death or serious bodily injury to others.

(b) Ancillary Instructions in the Use of Deadly Force

In the event of a riot or mob action, the use of firearms is authorized as directed by the Project Manager. The senior person present is authorized to order the display or use of firearms in the defense of Company-Client property and personnel.

Prior to the discharge of any weapon, the Security Operative shall make every effort to stop the subject by lesser means of force. If fired, the weapon shall be aimed at center mass to immediately incapacitate the suspect.

2. Prior to the discharge of any weapon, the Security Operative shall take note of the immediate surrounding area, and if the possibility of inadvertent wounding of an innocent bystander exists, the weapon shall not be fired.

Operative Services Agreement

This operative services agreement dated _______________________ is entered into as a binding contract between T-H-O-R Executive Security Teams Inc., and the person named in the signed undertaking attached hereto as Schedule A, for the provision of the Services (as defined below).

WHEREAS, T-H-O-R Executive Security Teams Inc (as further defined below, the "Company) specializes in providing support to companies and organizations that operate in high-risk regions; and

WHEREAS, the Company requires Services to be performed by Operatives in these regions; and

WHEREAS, ____________________________ has agreed to provide the Services on the terms and conditions set forth in this Services Agreement (as defined below).

NOW THEREFORE, in consideration of the mutual covenants contained herein, and for other good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, the Company and the Operative (as defined below), intending to be legally bound, hereby agree as follows:

1. Definitions

1.1 Unless the context otherwise requires, in this Services Agreement the following words and phrases shall have the meanings given below:

"Authorized Representative" means any agent, advisor or individual duly appointed by one of the Parties to this Services Agreement to act on his behalf.

"Client" means any client of the Company and/or the Group.

"Client Agreement" means the document between the Company and/or the Group

and the Client.

"Code of Conduct" means the Company's Code of Conduct, which all independent contractors retained by the Company (including the Operative) are required to adhere

to.

"Company" means T-H-O-R Executive Security Teams Inc, incorporated and registered

in the State of Delaware its successors and assigns.

"Contract Parties" means the Client and the Company.

"Daily Fee" has the meaning given to such term in Clause 3.1.

"Group" means the Company and its subsidiaries and any holding company of the Company and any subsidiary of such holding company and any associated company (which expression shall mean any company which is not a subsidiary of which not less than 20 of its equity share capital is beneficially owned by the Company or its parent company or any subsidiary or associate of such parent company).

"Insurance" means the insurance, subject to availability on reasonably commercial terms, to be provided by the Company to the Operative pursuant to Clause 8.

"Intellectual Property" means any and all rights and interests in registered or unregistered trade marks, service marks, patents, registered designs, utility marks, applications for any of the foregoing, copyrights, unregistered designs, developments, discoveries, formulas, inventions, trade secrets, know-how or other intellectual property (whether in written form, or generated by or maintained on a computer or similar system or otherwise) subsisting in or relating to all specifications, plans, drawings, graphs, sketches, models and other materials and documents prepared in connection with the business of the Company or any member of the Company's Group at any time, including moral rights as defined in the United States Code of Federal Regulations Concerning Copyrights and Neighboring Rights.

"Operative" means ________________________________, who provides the Services pursuant to this Services Agreement.

"Parties" means the Operative and the Company.

"Prohibited Client" means any person, or firm or company or entity to whom or which the Company or any member of the Group provided services at any time during the term of the Services Agreement and with whom or which the Operative had dealings in the course of performing his services under the Services Agreement.

"Prohibited Services,” means services for the same or substantially the same kind as those provided by the Company or any member of the Group at any time during the term of the Services Agreement and in the provision of which the Operative was engaged or concerned at any time during the term of the Services Agreement.

"Prohibited Staff means any person engaged under a contract of services with the Company or any member of the Group at the date of termination of the Services Agreement: (i) in the capacity as an operative; or (ii) in any other capacity in which they have had access to confidential information as to the operations or business of the Company or any member of the Group or any client of or supplier to the Company or any member of the Group; and are persons with whom the Operative has worked whilst engaged under the Services Agreement or for whom he has had responsibility or about whom he has acquired knowledge whilst engaged under the Services

Agreement.

"Prohibited Supplier,” means any person, or firm or company or entity with whom the Operative had dealings or about whose supplies the Operative acquired knowledge in the course of providing services to the Company' or any member of the Group under the Services Agreement, being a supplier of the following goods or services to the Company or any member of the Group: logistics and aviation suppliers or operators, insurance sector brokers or underwriters, communication suppliers, weapons and/or protective equipment suppliers, specialist equipment manufacturers, financial institutions, personnel and/or recruitment agencies/suppliers, information and intelligence providers and reporters, clothing suppliers, vehicle manufacturers and agents and information technology sector suppliers.

"Rules of Engagement" means the rules designated as such and provided to the operative at the commencement of the Services, such other additional rules as set out by the Contract Parties for a project, and any other person designated by the Company from time to time, and all applicable laws.

"Schedule A" means the schedule containing the signed undertaking between the Company and the Operative that sets forth, among other things, a description of the type of services to be performed under this Services Agreement.

"Schedule B" means the schedule containing the Operative's acknowledgement of the assumption of risk, release and indemnification for services to be performed under this Services Agreement.

"Schedule C" means the schedule containing the Operative's monthly timesheet.

"Services" means the services to be provided by the operative under this Service Agreement Agreement including the services set forth in Schedule A.

"Services Agreement" means this operatives services agreement, and all Schedules hereto, as well as the Code of Conduct, as it relates to all operatives and is the agreement for the supply of services to the Company by the Operative, which is entirely contained in this document, together with the Code of Conduct and Rules of Engagement as it relates to the Company and its policy.

"Specified Period" means the period of time for which the Operative is required to provide services under the terms of the Services Agreement as set forth on Schedule A.

"Tax" or "Taxation" includes any form of tax, levy, impost, duty, charge, contribution or withholding of any kind imposed, collected or assessed by, or payable to, a Tax Authority and all penalties, charges, surcharges, fines, costs and interest included in or relating to any of the above or to any obligation in respect of any of the above (in all cases, regardless of whether such taxes, penalties, charges, surcharges, fines, costs and interest are directly or primarily chargeable against or attributable to the Company or any member of the Group or any other person and regardless of whether the Company or any member of the Group has, or may have, any right of reimbursement against any other person).

"Tax Authority" means any government, state or municipality or any local, state, federal or other fiscal, revenue, customs or excise authority, body or official in the United States or elsewhere.

"Tax Liability" means a liability of the Company or any member of the Group to make payments of, or in respect of, Tax.

"US dollars" or "USD" means the lawful currency from time to time of the United States of America.

"Willful Default" means any conduct or acts of the officers or senior management employees of the Company who have responsibility for carrying out the Company's obligations under this Services Agreement in intentional or reckless disregard of the Company's obligations hereunder.

1.2 Unless the context otherwise requires any references in this Agreement to:

(a) references to Clauses and Schedules in this Services Agreement are to Clauses of and Schedules to this Services Agreement;

(b) headings to Clauses and Schedules are for convenience only and do not affect the interpretation of this Services Agreement;

(c) reference to any statute, statutory provision, rule, Rule of Engagement, Code of Conduct or to any document or agreement shall be construed as a reference to the same as it may have been, or may from time-to-time be, amended, modified or re-enacted;

(d) words importing the singular shall include the plural and words importing one gender shall include the other gender;

(e) reference to a "person" includes any individual, company, corporation, firm, partnership, joint venture, association, organization, trust, state or agency (in each case, whether or not having separate legal personality);

(f) reference to a "day" means a calendar day of 24 hours, the completion of which shall be construed as occurring at 23.59 hours in the time zone in

which the work under the Services Agreement is to be performed and

reference to a "week" means seven consecutive calendar days;

(g) reference to "including" shall be construed as meaning "including without

limitation"; and

(h) references to this Services Agreement, or to any other document, or to any

specified provision of this Services Agreement, or any other document, are to

this Services Agreement, that document or provision as in force for the time

being, as amended, modified, supplemented, varied, assigned or notated,

from time to time.

1.3 In the event of any conflict between the terms of this Services Agreement and any

other document recording or purporting to record the terms of the Operative's

services for the Company, the terms of this Services Agreement shall prevail.

2. Scope Of Services

2.1 Schedule A of the Services Agreement contains a description of the Company's

requirements for particular Services to be provided by the Operative to the relevant Client in accordance with the terms of the applicable Client Agreement. The terms of the Services Agreement shall be effective and binding on the Company and the

Operative when both the Operative and the Company have signed the undertaking

set forth in Schedule A of the Services Agreement. If the Parties hereto sign the

undertaking set forth in Schedule A of the Services Agreement on two different dates, the Services Agreement shall be effective and binding on the Company and the

Operative on the last date signed.

2.2 The Operative will not serve as an independent contractor under this Services

Agreement and nothing stated or implied herein shall be construed to make the

Operative nor shall the Operative in any way represent himself to be, an independent contractor of the Company or any of its affiliates, or any member or affiliate of the

Group.

2.3 The Services Agreement is for a Specified Period, unless it is terminated earlier by

either of the Parties in accordance with Clauses 2.5, 3.5, 4.4, 4.5, 4.6 and 9.1 herein.

2.4 The Operative is expected to render his Services continuously for the Specified Period.

2.5 The Services Agreement may be terminated by either of the Parties by giving 1 (one) calendar month's prior written notice. Notice is to be provided in accordance with the

procedures as set forth in Clause 21.

3. Fee and Expenses

3.1 The fee payable to the Operative for Services rendered in performance of this

Services Agreement is US$ ____________________________________ per calendar

day (the "Daily Fee").

3.2 If the Services Agreement begins or terminates part way through a calendar day the

Daily Fee payable will be calculated on a daily basis pro rata for that particular calendar day.

3.3 At the Company's sole discretion, the Company may pay or reimburse the Operative, where deemed appropriate by the Company, for all reasonable travel, accommodation, subsistence and other expense wholly, necessarily, exclusively and

properly incurred by him in, or relating to, the proper performance of the Serves.

This payment or reimbursement will be against production of receipts or other evidence of such expenses having been incurred.

3.4 Subject to Clause 3.3, the Company will reimburse or advance the Operative or alternatively arrange and pay for (at the Company's election) the cost of standard airfares, coach class, to and from the location where the Services will be provided and any costs for required visas. At all times the Operative is expected to use the most economical means of travel. The same criteria will be applied to meals and

accommodation.

3.5 The Operative shall consider himself to be on duty and available to the Contract Parties throughout each day he is engaged in the performance of his contractual obligations hereunder. The Operative shall devote his full time and attention to the provision of Services throughout each day he is engaged. Failure by the Operative to abide by the provisions of this Clause 3.5 shall entitle the Company to terminate this Services Agreement with no payment or benefit to the Operative.

3.6 Sufficient opportunity for rest will be provided to the Operative commensurate with the threat level arising out of performance of the Services and the period of engagement during which the Operative is providing the Services.

3.7 The Operative shall accurately record the hours and days in which he performs his assignment throughout the term of this Services Agreement on the timesheet provided herein as Schedule C, and provide this timesheet to the appropriate person designated by the Company. On the last day of each calendar month, the Operative will submit a detailed invoice for the commensurate amount of pay and expenses (including receipts or evidence of such expenses) due for such calendar month. If the Operative does not submit a detailed invoice within 10 (ten) days following the end of a calendar month, then such late submission may result in payment being made with

the following monthly payment of fees.

3.8 In respect of all fees and expenses due in each calendar month, the Operative will be paid by check or wire transfer (at the Company's election and instruction to the appropriate person designated by the Company) within 28 (twenty-eight) days of receipt by the Company of the detailed invoice and satisfactory performance and completion of the Services. Payment may be delayed or withheld where, in the Company's opinion, there is reasonable doubt as to the accuracy of the invoice or where, in the Company's opinion, the Services have not been performed or completed satisfactorily. All payments will be made hereunder in U.S. dollars, except at the election of the Company, expenses may be paid in the currency incurred by the

Operative.

3.9 All payments will be gross. The Operative will be responsible for the payment of any income or other taxes which may be payable by him under any applicable laws. Subject to applicable law, the Operative is responsible for all tax on the Daily Fee. The Operative hereby indemnifies to pay (so far as possible by way of a reduction to The Daily Fee) to the Company (on an after Tax basis), or to such person as the Company directs, an amount equal to any Tax Liability of the Company or of any member of the Group which arises in consequence of a payment made to the

Operative under this Services Agreement.

4. Services

4.1 The Operative shall personally perform all Services requested by the Company during the term of this Services Agreement. These obligations will include all the Services specified herein, and as set forth in Schedule A.

4.2 The Operative will be responsible for reporting to the Company by phone, email, fax or such other procedures as specified by the Company.

4.3 The Operative will produce and deliver to the Company a written report upon his return from each assignment if requested to do so by the Company in such form and level of detail reasonably required by the Company.

4.4 The Operative will immediately report to the appropriate person designated by the Company any occurrence or incident or information that affects the performance of Services by the Operative, or any other person, to be provided pursuant to this Services Agreement. Failure by the Operative to abide by the provisions of this Clause 4.4 shall entitle the Company to terminate this Services Agreement as set out

in Clause 9.1.

4.5 The Operative shall for the duration of the Services Agreement exclusively devote his full time and attention to the provision of Services, and shall not engage in any activities for remuneration or business other than the Services which he is required to perform for the Company or any member of the Group under the Services Agreement. Failure by the Operative to abide by the provisions of this Clause 4.5 shall entitle the Company to terminate this Services Agreement as set out in Clause 9.1.

4.6 The Operative shall make himself available to the Company at all times during the term of the Services Agreement, and shall render any and all of the required Services at its request. The Operative shall ensure that the Company is in possession of full and correct contact details, a telephone number and an email address for the Operative, for the duration of the Services Agreement. Failure by the Operative to abide by the provisions of this Clause 4.6 shall entitle the Company to terminate this Services Agreement.

5. Conduct

5.1 During the term of this Services Agreement, the Operative will:

(a) perform his Services with reasonable skill and care and to the best of his ability;

(b) comply with all reasonable requests from time to time given to him by the person designated by the Company to manage this relationship;

(c) comply and behave in accordance with business ethics, and comply with the Company's Code of Conduct as it relates to independent contractors;

(d) be aware of and comply with the rules, including the Rules of Engagement, and all applicable laws in each or any country of operation, and comply with these rules or laws in performance of the Services Agreement; and

(e) perform the Services employing his particular knowledge, experience and technical know how.

5.2 The Operative shall not at any time during the term of this Services Agreement whether on his own behalf, or on behalf of any other person:

(a) directly or indirectly solicit or entice any person engaged to provide services to the Company or any member of the Group to leave the Company or any member of the Group whether or not such person would be in breach of

contract in so leaving; or

(b) directly or indirectly offer a contract for services to any person engaged to provide services to the Company or any member of the Group with any

person other than the Company or any member of the Group; or

(c) directly or indirectly solicit for or offer to do business of the same or

substantially the same kind as that of the Company or any member of the Group, any Client, or perform any services for any Client of the same or

substantially the same kind as the Operative provides to the Company or any member of the Group under the Services Agreement; or

(d) directly or indirectly solicit any supplier of the Company or any member of the Group to supply, for the purposes of a business competing with the Company

or any member of the Group, to the Operative or any person other than the Company or any member of the Group, or receive supplies from any such supplier other than for the purpose of performing services under the Services Agreement.

5.3 If, in the performance of the Services Agreement, the Operative is required to take physical action against other persons, he is only to do so with the express permission of the appropriate person designated by the Company. The only exception to this is in an emergency when there is immediate danger of injury to the Operative or the Client. All Operatives are to ensure that they have been fully briefed, and to use the minimum amount of force necessary. Any Operative who is deemed by the Company to have acted outside of this authority, or with excessive force, will not be supported by the Company in any subsequent legal action.

5.4 For a project where the Operative is armed, he is to follow the Rules of Engagement as set out for the project by the Contract Parties. All Operatives are to ensure that they have read, understood and follow such Rules of Engagement. Any Operative, who is deemed by the Company to have acted outside of this authority, or with excessive force, will not be supported by the Company in any subsequent legal action.

5.5 The Company shall not be held responsible for the actions of any Operative should he contravene any law within any country in which he is operating or any other applicable laws. Without limiting the Operative's obligation to comply with applicable law pursuant to Clause 5.1(d), the Company may in its sole discretion offer reasonable legal assistance to the Operative in the event of contravention of the law in a country of operation if, in the opinion of the Company and its advisors, the Operative acted within the terms of the Services Agreement, and in performance of the Services Agreement (other than Clause 5.1 (d)).

5.6 The Operative hereby indemnifies, defends and holds harmless the Company (and its officers, directors, employees, agents and shareholders) from any and all claims, costs, losses, legal judgments, penalties, damages and reasonable expenses, including reasonable legal fees arising out of or in connection with any claim or action (including any claim or action in respect of economic loss, personal injury or death to persons or damage to property) being brought against the Company by a third party (including persons engaged to perform services for the Company) arising out of or in connection with the negligence or breach of this Services Agreement by the Operative (including breach of Clauses 5.1, 5.2, 5.3 or 5.4).

6. Limitation of Liability

6.1 In no circumstances, other than in the case of any Willful Default by the Company or as otherwise required by applicable law, shall the aggregate liability of the Company to the Operative during the term of this Services Agreement (whether based on

negligence, strict or absolute liability, breach of contract or breach of statutory duty or otherwise) arising out of or in connection with the performance by the Company of its obligations under this Services Agreement exceed the sum of the Daily Fees payable during the initial term of this Services Agreement.

6.2 By signing the undertaking in Schedule A to this Services Agreement, the Operative accepts and acknowledges the terms and conditions of Schedule B to the Services

Agreement including the acknowledgement of assumption of risk and release set forth therein and agrees to indemnify and hold harmless the Company on the terms set forth in Schedule B. The Operative acknowledges that he has read this Services

Agreement carefully including in particular Schedule B and understands its provisions and has sought independent legal advice at his own expense to the extent he determined it was necessary or desirable.

6.3 To the extent that Insurance proceeds from Insurance required to be obtained or maintained by the Company for the Operative pursuant to Clause 8 are actually received (or would have been received but for a fraudulent act of the Operative), to cover any liability of the Company, that amount of proceeds shall have the effect of

reducing the aggregate limitation of liability of the Company set forth in Clause 6.1.

6.4 The Operative agrees to notify the Company within 14 (fourteen) days of the occurrence or incident, of any complaint or claim which may give rise to a liability of the Company hereunder. The Operative further agrees to notify the Company within 14 (fourteen) days of the occurrence or incident of any breach of the terms of this Services Agreement which may give rise to a liability of the Company hereunder. No liability will be accepted by the Company and any member of the Group for any

claims notified outside that period.

7. Representations and Warranties

7.1 The Operative represents and warrants that he has the requisite capacity to enter into and perform his Services under this Services Agreement, that he understands the

terms of the Services Agreement and the scope of the Services to be provided hereunder, and that he will seek independent legal advice at his own expense should he require guidance in the understanding of this Services Agreement.

7.2 The Operative represents and warrants that this Services Agreement constitutes his binding obligations in accordance with its terms.

7.3 The Operative represents and warrants that his entering into, and performing the Services required by this Services Agreement, does not conflict with any applicable rules, regulations and laws, or with any agreements, contracts or understandings to which he is a party.

7.4 The Operative represents and warrants that he is not a party to any agreement, contract or understanding, which would in anyway restrict or prohibit him from or conflict with or be breached by his undertaking or performing any of the Services in accordance with the terms and conditions of this Services Agreement.

7.5 The Operative represents and warrants that he has not and will not knowingly become engaged or involved in:

(a) financing or supporting financially, or otherwise sponsoring, facilitating, or giving aid or comfort to any terrorist person, activity or organization;

(b) receiving, transferring, transporting, retaining, using, structuring, diverting, or hiding the proceeds of any criminal activity whatsoever, including those activities referenced herein, nor in any act of omission, commission, assistance to another or in aiding or abetting another in such activity;

(c) trafficking in, distributing, transporting, selling or brokering the sale of any narcotic drug as defined by applicable law or pharmaceutical or recreational drug not approved by the relevant sovereign authority, or aiding and abetting in such activity;

(d) making, promising or authorizing the making of any prohibited payment to a government official of any country with respect to any of the matters referenced in this Services Agreement.

7.6 The Operative represents and warrants that he has not and covenants that he will not:

(a) pay, promise to pay or offer to pay, or authorize the payment of, any commission, bribe, pay-off or kickback related to the Services to be rendered

under this Services Agreement that violates any applicable law or enter into any agreement pursuant to which any such commission, bribe, pay-off or kickback may or will at any time be paid; or

(b) offer or give any thing of value to influence the action of a public official, or threaten injury to person, property or reputation, in connection with the Services to be rendered under this Services Agreement in order to obtain or retain business or other improper advantage in the conduct of business.

(c) make or authorize any payment or give anything of value directly or indirectly to an official of any country or any other government for the purpose of influencing an act or decision in his official capacity or inducing him to use his influence with that government to assist anyone in obtaining or retaining business for or with, or directing business to, any person. Likewise, the

Operative will not make or authorize any payment to any government agency, political party or political candidate for the purpose of influencing any official act or decision, or inducing such entity or person to use any influence with the government to assist anyone in obtaining or retaining business for or with, or

directing business to, any person.

7.7 The Operative represents and warrants that he has fully disclosed to the Company, and any other persons designated by the Company, all criminal convictions, pending cases or investigations and any civil proceedings or other matters that relate to the Operative's previous performance of services similar to those provided under the terms of this Services Agreement.

8. Insurance

8.1 During the term of this Services Agreement, or any renewal thereof, the Company undertakes that, subject to availability on reasonably commercial terms, over and above any insurance bought by the Operative in relation to performing the scope of his Services under this Services Agreement, that at all relevant times the Company shall put in place personal accident insurance for the benefit of the Operative, including provision for death and disability and medical expenses and repatriation insurance. Any Insurance policy obtained and/or maintained for the benefit of the Operative shall be in the name of the Company. The terms, conditions, restrictions and exclusions provided by the insurers shall apply.

8.2 The Operative understands and acknowledges that the Insurance in Clause 8.1 may not be available on reasonably commercial terms due to the highly dangerous nature of the activities to be undertaken by the Operative under this Service Agreement. In the event that such Insurance is not available on reasonably commercial terms, the Operative acknowledges and agrees that the Company shall have no obligation to obtain such Insurance for the benefit of the Operative.

8.3 In the event of kidnap, hostage or any other form of detention of an Operative whilst in performance of this Services Agreement, the Company undertakes to use its best efforts in accordance with instructions from appropriate authorities to facilitate a swift conclusion.

8.4 The Company owes no obligation to the Operative with respect to damage to or loss of personal property. Accordingly, the Operative is advised to take out his own personal insurance to cover the eventuality of any such damage or loss. The Operative hereby indemnifies and agrees to defend and hold harmless the Company (and its officers, directors, employees, contractors, agents and shareholders), in the event of any claim or action being brought against the Company arising out of or in connection with the failure of the Operative to procure personal property insurance.

8.5 The Operative represents and warrants that he will co-operate with the Company, the Company's advisors and any other persons designated by the Company, in the making of any claims, or the prosecution of any claims, relating to benefits received, if any, under any of the Company's Insurance policies described in this Services Agreement.

9. Termination

9.1 The Company may (without prejudice to Clauses 2.3 and 2.5) terminate the Services Agreement immediately and without notice or payment in lieu of notice or payment of any compensation to the Operative if:

(a) the Operative, is prevented by illness, injury or otherwise from performing substantially all of his Services under the Services Agreement; or

(b) the Operative, without reasonable cause neglects, refuses or fails to render all or any of the Services under the Services Agreement; or

(c) the Operative behaves negligently or incompetently and persists in such behavior; or

(d) the Operative is incapable of rendering all or any of the Services under the Services Agreement as a result of the consumption of alcohol or taking of any drugs or controlled substances or the misuse of legitimate drugs; or

(e) the Operative sells illicit or unprescribed controlled substances or drugs during the term of the Services Agreement;

(f) the Operative commits any act of gross misconduct or illegal act during the term of the Services Agreement; or

(g) the Operative contravenes Clauses 3.5, 4.4, 4.5, 4.6, 7.5, 7.6 and 7.7 of the Services Agreement or otherwise is in material breach of the terms of this Services Agreement; or

(h) as a result of events or causes beyond the control of the Company including (but not limited to) war, sabotage, insurrection, riot, civil disobedience, kidnap, detention, killing or injury caused by the acts of a third party, acts of the Client or third party (including acts of any civil or military authorities in the area of performance), failure or delay in transportation, illness, fire, flood, tempest or other acts of God, performance of the Services Agreement is impractical, dangerous or impossible; or

(i) for whatever reason, the Client elects to terminate the project for which the Operative is to provide Services under this Services Agreement.

9.2 Upon termination of the Services Agreement, the Operative must return forthwith all property belonging to the Company or any member of the Group provided to him to facilitate his Services which is in his possession, custody or control, including (without prejudice to the generality of the foregoing) all computers, other media upon which any information relating to the operations or business of the Company or any member of the Group may be stored and any documents (other than a copy of the Services

Agreement) containing any such information. The Operative must, in addition, return forthwith to the Company any form of identification (including any passes or badges) supplied to him whether by the Company or any member of the Group or by any other person during the course of the Services Agreement. Failure to comply with the provisions of this Clause 9.2 will entitle the Company to withhold from the Operative payment of any sums due to him at the date of termination, pending full compliance, as well as any other remedies available to the Company.

9.3 This Services Agreement shall become effective from the date Schedule A is signed by the Company and the Operative and shall remain in effect for the Specified Period unless earlier terminated by either party pursuant to Clause 2.5. Termination of this

Services Agreement shall not affect any claims arising prior to any such termination.

10. Changes/Force Majeure

10.1 Without prejudice to the right to terminate the Services Agreement immediately in accordance with Clause 9.1(h), due to the nature of the service provided, changes to the Services Agreement by the Company may be necessary. Changes to the Services Agreement as aforesaid may be necessary due to a failure on the part of a service provider, the occurrence of events as described below in 10.3, or a change in conditions rendering the Services Agreement impractical or dangerous. The Company shall be entitled to make changes to the Services Agreement where necessary as provided in this Clause 10.1 including where such changes would enable the better performance of the Services Agreement.

10.2 In the event the Company makes a change to the Services Agreement in terms of Clause 101 no compensation will be payable to the Operative by the Company, although the Company undertakes to do its best to ensure that the Services Agreement is maintained.

10.3 The Company shall not be under any liability of whatever kind for non-performance in whole or in part of its obligations under the Services Agreement due to causes beyond the control of the Company including but not limited to war, sabotage, insurrection riot, civil disobedience, kidnap, detention, killing or injury caused by the acts of a third party, acts of the Client or third party, failure or delay in transportation, illness fire, flood, tempest or others acts of God. In any such event the Company may without liability cancel the Services Agreement in accordance with Clause 9.1(h).

11. Confidential Information

11.1 The Operative shall not either during or after the termination of this Services Agreement disclose or make use of any confidential information relating to the business or operations of the Company, or any member of the Group, or any Client or supplier of the Company or any member of the Group, save:

(a) for the purposes of performing his Services under the Services Agreement; or

(b) where any such information hereafter comes into the public domain other than as a result of any breach of the Services Agreement by the Operative; or

(c) where the Operative is required to disclose the same under compulsion of law in which case the Operative shall notify the Company immediately upon being notified of any such need for disclosure in accordance with Clause 11.3 and reasonably co-operate with any attempt to maintain the confidentiality of

such information.

11.2 Where the Operative is in doubt about whether any information for the Purposes of the covenant in Clause 11.1, he must consult with the relevant Company Officer before using or disclosing the same otherwise than for rendering the Services hereunder.

11.3 In the event that the Operative may be required to disclose confidential information of the Company or any member of the Group or any Client or supplier thereof under compulsion of law he shall, before disclosing the same, notify (in writing, where

possible, otherwise orally) the relevant Company officer of the circumstances of any such legal compulsion and the information required to be disclosed there under immediately upon being notified of any such need for disclosure.

11.4 In the event any of the provisions of confidentiality and non-disclosure in this Services Agreement shall be violated or breached, the Company or any member of the Group shall be entitled to obtain injunctive relief against the Operative in addition to such further or other relief as may appertain at equity or law. Obtainment of such an injunction by the Company shall not be considered an election of remedies or a waiver of any right to assert any other remedies which the Company has at law or in equity. No waiver of any breach or violation hereof shall be implied from forbearance or failure by the Company to take action thereon.

12. Post Termination Restraints

12.1 For a period of three months commencing on the date of termination of the Services Agreement the Operative shall not, whether on his own behalf or on behalf of any other person, directly or indirectly be engaged, concerned or interested in any business which competes with or is preparing to compete with the business of the Company or any member of the Group to which the Operative has provided Services under the Services Agreement within the geographical region or regions or area or areas where the Operative has performed services for the Company or any member of the Group under the Services Agreement.

12.2 For a period of six months commencing on the date of termination of the Services Agreement the Operative shall not, whether on his own behalf or on behalf of any other person, directly or indirectly:

(a) solicit any Prohibited Staff to leave the Company or any member of the Group, whether or not such member of the Prohibited Staff would be in breach of contract in so leaving; or

(b) offer employment or a contract of services to any Prohibited Staff with any person other than the Company or any member of the Group.

(c) in competition with the Company or any member of the Group,

(i) solicit a Prohibited Client for the purpose of offering to provide to such Prohibited Client Prohibited Services; or

(ii) offer to provide, or provide, to any Prohibited Client Prohibited Services.

(d) for the purposes of competing with the Company or any member of the Group, solicit any Prohibited Supplier to supply the Operative or any person other than the Company or any member of the Group with goods or services, or receive from such Prohibited Supplier any goods or services, of the same or substantially the same kind as supplied to the Company or any member of the Group at any time during the term of the Services Agreement.

13. Intellectual Property

13.1 The Operative agrees that during the course of his performance of Services under this Services Agreement, he may be required to assist, participate or otherwise be

involved in the creation or improvement of plans, processes or techniques in relation to Intellectual Property relating to the Company and/or the Group.

13.2 Any Intellectual Property conceived of, developed or invented by the Operative in

whole or in part during the period that the Operative is performing Services including during the course of his performance of Services under this Services Agreement or in relation to tasks that have been specifically assigned to him but would not otherwise have been part of his normal tasks or where the Intellectual Property arises in the furtherance of the Company's business then all such Intellectual Property will belong to the Company and the Operative agrees to hold all such Intellectual Property in trust for the sole right and benefit of the Company, and agrees to assign all right, title and interest in and to any such Intellectual Property to the Company.

13.3 The Operative agrees that he will forthwith notify the Company of all Intellectual Property which he may conceive of, develop, invent or otherwise make during the period of his performance of Services, whether made by himself or with other persons and he will keep the Company appraised at all times of the stage that has been reached in relation to any improvement or creation of such Intellectual Property.

13.4 The Operative agrees that he will take all steps and carry out all acts (including appearing as a witness) that may be necessary to assist the Company and/or the Group to obtain and enforce proprietary rights in the Intellectual Property, including executing, verifying and delivering all applications and any other documents that may be necessary to obtain, perfect, evidence, sustain and enforce such proprietary rights in the United Arab Emirates and worldwide and to transfer the entire rights and

interests in the Intellectual Property to the Company and he will carry out such acts and steps with expedition on the instructions of the Company, in particular, where the filing of any claim to such Intellectual Property right may give the Company priority.

13.5 The Operative will not be entitled to payment in respect of any Intellectual Property other than his normal provisions for remuneration.

13.6 These provisions remain in force with regard to Intellectual Property notwithstanding the termination or expiration of the Operative's provision of Services pursuant to this

Service Agreement.

13.7 In the event the Company is unable for any reason, after reasonable effort, to secure the signature of the Operative on any document needed in connection with the actions specified in this Clause 13, the Operative hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as his agent and attorney in fact, to act for and on his behalf to execute, verify and file any such documents and do all other lawfully permitted acts to further the purposes of this Clause 13 with the same legal force and effect as if executed by him. The Operative hereby waives and quitclaims to the Company any and all claims, of any nature whatsoever, which he now or may hereafter have for infringement of any proprietary

rights in the Intellectual Property assigned to the Company.

14. Amendments and Waivers

14.1 No amendment to the provisions of this Services Agreement shall be effective unless in writing and signed by the Parties or their duly Authorized Representative.

14.2 All rights, remedies and powers conferred upon the Parties are cumulative and shall not be deemed or construed to be exclusive of any other rights, remedies or powers now or hereafter conferred upon the Parties or either of them by law or otherwise.

14.3 Any failure at any time to insist upon or enforce any such right, remedy or power shall not be construed as a waiver thereof.

15. Counterparts

15.1 This Services Agreement may be executed in counterparts, and by the Parties on separate counterparts, but shall not be effective until both Parties have executed at least one counterpart. Each counterpart shall constitute an original of this Services Agreement, but the counterparts shall together constitute but one and the same instrument.

16. Enforceability

16.1 If any term or provision in this Services Agreement shall be held to be illegal or unenforceable, in whole or in part, under any enactment or rule of law, such term or provision or part shall to that extent be deemed not to form part of the Services Agreement but the validity and enforceability of the remainder of the Services Agreement shall not be affected.

16.2 In the event that a term or provision in the Services Agreement is found to be void under applicable laws and regulations but would be valid if some part thereof were deleted or the period or area of application reduced, such term or provision shall apply with such modification as may be necessary to make it valid and effective.

16.3 Save where expressly provided herein, there shall be no third party beneficiaries under the Services Agreement.

17. Assignment

17.1 The Services Agreement is personal to the Operative and cannot be assigned by him without the consent of the Company and at the Company's sole discretion. Upon written notice to the Operative, the Company may assign this Services Agreement to any of its affiliates or successors, or any member of the Group's affiliates or successors.

18. Entire Agreement

18.1 The terms of the Services Agreement (together with all documents which are required by its terms to be entered into by the Company and the Operative (or complied with by the Operative) and all other documents which are entered into by the Company and the Operative or any of them in connection with this Services Agreement) shall form the entire agreement between the Company and the Operative. The Services Agreement supersedes and is in substitution for any preceding agreement with the Operative relating to the subject matter of this Services Agreement at the date Schedule A is signed by the Parties to the exclusion of any terms implied by law which may not be excluded by contract. Each of the Company and the Operative acknowledges that he has not been induced to enter into this Services Agreement by and, in agreeing to enter into this Services Agreement, he has not relied on any representations or warranties except as expressly stated or referred to in this Services Agreement, and, so far as permitted by law (and except in the case of fraud) and each of the Company and the Operative hereby waives any remedy in respect of (and acknowledges that no other party nor any of their agents, officers or employees have given) any warranties, representations, indemnities or other statements whatsoever (written or oral) not expressly incorporated into this Services Agreement.

Any representations made to the Operative on behalf of the Company in advance of entering into the Services Agreement shall not form part of the Services Agreement.

19. Survival of Services Agreement Provisions

This Clause and the following Clauses shall survive any termination of the Services Agreement.

(a) 5.2 (Non-solicitation);

(b) 5.3, 5.4, 5.5, 5.6, 6.1, 6.2, 6.3 and 6.4 (Indemnification and Limitation of Liability);

(c) 7.1, 7.2, 7.3, 7.4, 7.5, 7.6 and 7.7 (Representations and Warranties);

(d) 10.1, 10.2 and 10.3 (Changes/Force Majeure);

(e) 11.1, 11.2, 11.3 and 11.4 (Confidential Information);

(f) 12.1 and 12.2 (Post Termination Restraints);

(g) 13.1, 13.2, 13.3, 13.4, 13.5, 13.6 and 13.7 (Intellectual Property);

(h) 18.1 (Entire Agreement);

(i) 20.2 (Dispute Resolution);

(j) 22.1 (Further Acts and Assurances); and

(k) 23.1 (Equitable Remedies Permitted).

20. Governing Law; Arbitration

20.1 The Services Agreement is governed by and shall be constructed in accordance with the laws of the United States of America as applied in New York State.

20.2 Any dispute arising out of or in connection with this Services Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under the Rules of the New York State Supreme Court for Arbitration, which rules are deemed to be incorporated by reference into this Clause. The number of arbitrators shall be one. The seat, or legal place of the arbitration shall be New York, New York. The language to be used in the arbitral proceedings shall be English. The governing law of the Services Agreement shall be the substantive law of the United States as applied in New York Supreme Court. Arbitration does not preclude the Company from obtaining interim relief (including injunctive relief) against the Operative from any court of competent jurisdiction.

20.3 The Services Agreement is made only in the English language. If there is any conflict in meaning between the English language version of the agreement and any version or translation of this agreement in any other language, the English language shall prevail.

21. Notices

21.1 Any notice or other communication given or made under or in connection with the matters contemplated by this Services Agreement shall be in writing.

21.2 Any such notice or other communication shall be deemed to have been duly given or made as follows:

(a) if sent by personal delivery, upon delivery at the address of the relevant party;

(b) if sent by courier or first class post, on delivery;

(c) if sent by facsimile, when received or confirmed by sender confirmation; and

(d) if sent by e-mail, when received or confirmed by sender confirmation.

22. Further Acts and Assurances

22.1 At any time on or after the date of this Services Agreement, the Parties hereto shall each perform such acts, execute and deliver such instruments, assignments, endorsements and other documents and do all such other things consistent with the terms of this Services Agreement as may be reasonably necessary to accomplish the matters contemplated in this Services Agreement or otherwise carry out the purpose of this Services Agreement.

23. Equitable Remedies Permitted

23.1 In the event the Operative is in breach of the terms and conditions of this Services Agreement, the Company shall be entitled to institute and prosecute proceedings in any court of competent jurisdiction to seek to enforce this Services Agreement and any of its provisions by injunction, specific performance or other equitable relief. In the event the Company is permitted to bring such legal action, the Company shall not be required to plead or prove irreparable harm or lack of an adequate remedy at law or post a bond or other security. Nothing contained in this Services Agreement shall be construed to prevent the Company from seeking such other remedy in arbitration In accordance with Clause 20.2 in case of any breach by the Operative of this Services Agreement. Final judgment against the Operative in any such suit shall be conclusive and may be enforced in other jurisdictions by suit on the judgment, a certified or true copy of which shall be conclusive evidence of the fact and the amount of any liability of the Operative therein described, or by appropriate proceedings under any applicable treaty or otherwise.

SCHEDULE B

ACKNOWLEDGEMENT OF ASSUMPTION OF RISK, RELEASE AND INDEMNIFICATION

THE OPERATIVE IS AWARE THAT THE PROVISION OF SERVICES DESCRIBED IN THIS SERVICES AGREEMENT WILL BE A DANGEROUS ACTIVITY INVOLVING RISK OF DEATH AND/OR INJURY. THE OPERATIVE UNDERSTANDS THAT THE DANGERS AND RISKS OF PROVIDING SECURITY AND OTHER SERVICES IN HIGH-RISK REGIONS INCLUDE, BUT ARE NOT LIMITED TO DEATH, DISMEMBERMENT SERIOUS NECK AND SPINAL INJURIES, WHICH MAY RESULT IN COMPLETE OR PARTIAL PARALYSIS BRAIN DAMAGE, SERIOUS INJURY TO INTERNAL ORGANS, BONES JOINTS' LIGAMENTS, MUSCLES, TENDONS, AND OTHER ASPECTS OF THE MUSCULAR SKELETAL SYSTEM AND SERIOUS INJURY OR IMPAIRMENT TO OTHER ASPECTS OF THE BODY, GENERAL HEALTH, AND WELL-BEING.

In consideration for the Company's obligation to pay the Operative in accordance with the

Services Agreement for providing the Services described in this Services Agreement, the

Operative hereby waives, personally releases, holds harmless and forever discharges any

and all claims for damages for personal injury, including death, or property damage which the

Operative may have, or which may hereafter accrue to the Operative, against the Company, any of its officers, directors, employees, contractors, agents and shareholders or any member of the Group, its officers, directors, employees, contractors, agents and shareholders as a

result of his entering into this Services Agreement.

The release set out in this Schedule B is intended to discharge the Company, any of its

officers, directors, employees, contractors, agents and shareholders or any member of the

Group, its officers, directors, employees, contractors, agents and shareholders from and

against any and all claims described in the preceding paragraph arising out of or connected in

any way with it’s entering into this Services Agreement, except that to the extent such liability

may arise out of the Willful Default on the part of the Company.

THE OPERATIVE UNDERSTANDS THAT BY SIGNING THE SERVICES AGREEMENT THE OPERATIVE MAY BE GIVING UP LEGAL RIGHTS WHICH THE OPERATIVE OR OTHERS CLAIMING THROUGH THE OPERATIVE MAY HAVE NOW OR IN THE FUTURE IT IS FURTHER UNDERSTOOD THAT DEATH, ACCIDENTS AND INJURIES CAN ARISE OUT OF THE ACTIVITIES CONTEMPLATED BY THIS SERVICES AGREEMENT THESE RISKS INCLUDE, BUT ARE NOT LIMITED TO THOSE THAT ARISE IN A DANGEROUS POST-CONFLICT, HIGH-RISK REGION INCLUDING BUT NOT LIMITED TO RIOTS CIVIL UNREST, TERRORISM AND ARMED CONFLICT. Knowing those risks exist, the Operative

hereby agrees to assume those risks and to release and to hold harmless the Company, any

of its officers, directors, employees, contractors, agents and shareholders or any member of the Group, its officers, directors, employees, contractors, agents and shareholders in the

event of any damage or loss caused thereby, and the Operative hereby indemnifies and holds

any of the persons or agencies mentioned above harmless in the event of any claim or action

being brought against any of the persons or agencies mentioned above in respect thereof who might otherwise be liable to the Operative or the Operative's heirs or assignees for damages or losses, except to the extent that the damages or losses relating to such claims or

actions is caused or contributed to by the Willful Default of the Company. It is further understood and agreed that this waiver, release and assumption of risk is to be binding on the

Operative's heirs and assignees.

THE ASSUMPTION OF RISK BY THE OPERATIVE IN PROVIDING THE SERVICES IS MADE FREELY AND VOLUNTARILY AND WITH THE UNDERSTANDING THAT RIGHTS TO LEGAL RECOURSE AGAINST THE COMPANY, ANY OF ITS OFFICERS DIRECTORS EMPLOYEES, CONTRACTORS, AGENTS AND SHAREHOLDERS, OR ANY MEMBER OF THE GROUP, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS AGENTS AND SHAREHOLDERS ARE KNOWINGLY GIVEN UP IN CONSIDERATION 'FOR THE COMPANY'S OBLIGATION TO PAY THE OPERATIVE IN ACCORDANCE WITH THE SERVICES AGREEMENT FOR SERVICES INCLUDED IN THE SERVICES AGREEMENT

NON- DISCLOSURE AGREEMENT

Dear Sir or Madam: In connection with the proposed discussions regarding ___________________________ (the “Plan”) with T-H-O-R Executive Security Teams Inc. (the “Company”) by ____________________ (the “Client”), each party may obtain from time to time in the future, information concerning the other party. Each of Client and Company agree to treat any information concerning (i) the other party which has been or is in the future furnished to the first party, or (ii) any agreement or other transactions contemplated by or between the parties (both (i) and (ii), “Confidential Information”), in accordance with the provisions of this letter and to take or abstain from taking certain other actions herein set forth. The term “Confidential Information” does not include information which (i) is already in a party’s (the “receiving party”) possession, provided, however, that such Information is not known by the receiving party to be subject to another confidentiality agreement or other obligation of secrecy of the other party (the “disclosing party”), (ii) becomes generally available to the public other than as a result of a disclosure by the receiving party or its directors, officers, employees, agents or advisors, or (iii) becomes available to the receiving party on a non-confidential basis from a source other than the disclosing party or its advisors; provided, however, that such source is not known by the receiving party to be bound by a confidentiality agreement or other obligation of secrecy to the disclosing party, or (iv) that any employee who has been given information regarding the aforementioned is also bound by the constraints of this agreement. Each party hereby agrees that the Confidential Information will be used solely for the purpose of evaluating, structuring and effecting the Plan and any related transactions, and that such information will be kept confidential by each party and its advisors and not disclosed, directly or indirectly, to any other person; provided, however, that Confidential Information may be disclosed: (i) to a party’s directors, officers and employees and representatives of its advisors who need to know such information for the purpose of evaluating, structuring and effecting the Plan and related transactions (it being understood that such directors, officers, employees, representatives and advisors shall be informed by each party of the confidential nature of such information and shall be directed by such party to treat such information confidentially); (ii) as required pursuant to subpoena or compulsory legal process which has become final and non-appeal able; (iii) as required by federal or state securities laws and regulations; or (iv) as may be agreed by both parties in writing. Notwithstanding the other provisions of this agreement, if a party is requested to make a disclosure of any Confidential Information, or the fact that it has received any

Confidential Information, in connection with any legal or administrative proceeding or investigation (a “Disclosure”), each party will, to the extent legally permitted, notify the other party promptly of the request so that such other party may seek an appropriate protective order or other remedy or waive its compliance with this letter agreement. Each party will cooperate with the other party on a reasonable basis in its efforts to obtain a protective order or other remedy, but if a protective order or other remedy is not obtained, the affected party may make such a Disclosure without liability to the other party if nevertheless it is legally compelled to make such Disclosure. In the event that the Plan or any related transactions are not consummated or are abandoned, each party shall promptly, upon request, redeliver to the disclosing party all written Confidential Information and any other written material containing or reflecting any Confidential Information (whether prepared by the other party, its advisors or otherwise) obtained from that party, and will not retain any copies, extracts or other reproductions in whole or in part of such written material. All documents, memoranda, notes and other writings whatsoever prepared by the disclosing party, which is in the receiving party’s possession or its advisors based on the Confidential Information shall be destroyed. Each party agrees that unless and until otherwise agreed in writing, or definitive agreements between the parties with respect to the Plan or related transactions have been executed and delivered, neither party will be under any legal obligation of any kind whatsoever with respect to the accuracy or completeness of the Confidential Information by virtue of this or any written or oral expression with respect thereto by any of its directors, officers, employees, agents, representatives, or its advisors or representatives thereof except, in the case of this agreement, for the matters specifically agreed to herein. This agreement shall be governed by, and construed in accordance with, the laws of the State of New York, and shall terminate upon the earlier of (i) one (1) year from the date of this letter agreement, or (ii) the execution of all definitive agreements relating to the Plan or any related transactions. Any disclosure of any information, regarding the transaction or intent of same, whether intentional or unintentional, shall be construed as a breech of this agreement and subject to legal action.
