Welcome to the 2016 NortheastOil & Gas Awards commemorative Yearbook

hese were the 4th Annual Awards for the Northeast region and the organizations and individuals in this journal were acknowledged by the award’s judging panel to have excelled in their work in 2015, whilst also focusing on the industry core values of Health & Safety, Environmental Stewardship and Corporate Social Responsibility. The Oil & Gas Awards champion best practice and recognize organizations operating in the upstream and midstream sectors of the industry. The media and members of the general public do not distinguish between the different sectors of the industry, which is why the Awards incorporate categories for all parts of the upstream and midstream sectors. The absent mindedness of an individual on an assembly line can have dramatic consequences months later should equipment fail when being used in the field. This reflects badly on the industry as a whole, we therefore think it is extremely important that best practice is championed from top to bottom and the Awards are a platform to promote to the press and public the great work being done. The Oil & Gas Awards are unique in highlighting the incredible innovation and commitment to positive industry development and expansion, rebutting traditionally negative mainstream coverage. The Awards celebrate corporate success twinned with organization’s commitment to health & safety, environmental stewardship and corporate social responsibility.

In this 4th year for the Awards in this region we has the 3rd Industry Summit during the day immediately before the Awards gala dinner in the evening. In this yearbook you can read coverage from the Industry Summit keynote presentations and speaker panels discussing the challenges the industry faces. Keynote presentation

2016 Northeast Guest of Honor

Senator Scott Wagner

Senator Scott Wagner was first elected to the State Senate in March 2014, winning a special election to represent the citizens of the 28th Senatorial District, which includes part of York County. In November 2014, voters elected him to a full, four-year term.

Born and raised on a farm in York Township, Wagner is a lifelong resident of York County. A graduate of Dallastown Area High School, he started his first small business at age 20 and has since worked with and led numerous businesses, helping them to improve their operations and create economic opportunity.

Wagner is currently President and Owner of York-based Penn Waste, Inc. and KBS Trucking in Thomasville, Pennsylvania.

As a small business owner, Wagner supports policies and programs that help to create jobs, limit government spending and ease the tax and regulatory burden on job-creators. A strong advocate for government reform, he will work to make state government accessible and

accountable to the people he serves.

His top priorities as a member of the Senate include bringing fiscal responsibility to state government, controlling property taxes, helping to spur economic growth and protecting and defending constitutional freedoms.

Setting an example for others to follow, Wagner will not accept a government pension or per diems and will work to keep costs down to save taxpayer dollars.

Wagner serves as Chairman of the Senate Urban Affairs and Housing Committee, is Vice Chairman of the Labor and Industry Committee, and sits on the influential Appropriations Committee. He also serves on the following committees: Intergovernmental Operations, Transportation, and Majority Policy.

Wagner is active in the York non-profit community and has served in organizations promoting entrepreneurship and leadership development. He is a past recipient of the South Central PA, Entrepreneur of the Year Award and Distinguished Service Award.

Mr. Jeff M. Kotula serves as President of Washington County Chamber of Commerce and leads the activities of the second largest chamber in the region. Keynote PresentationEven though the present state of the oil and gas industry is bleak, one thing is certain – fossil fuels are here to stay.

After the doom and gloom outlook that cast its pall over the industry during the 2015 iterations of the Oil & Gas Awards Industry Summits, any semblance of good news in 2016 would be welcomed as a blessing. Dan Byers, Senior Director for Policy for the U.S. Chamber of Commerce’s Institute for 21st Century Energy acknowledged the many of those highlights, including OPEC finally succumbing to the clutches of the downturn in the market and the U.S. crude export ban finally being lifted after four decades.

Most importantly, however, is the simple fact fossil fuels will remain the most in-demand energy source for generations to come as his organization, as his organization projects.

“The point is, fossil fuels are about just over 80 percent of our energy supply right now, and in 2040 they’re still going to be about 80 percent,” Byers said. “Renewables are going to come in slowly, but unless you have some dramatic technological advancement that allows for widespread use of alternative vehicles or energy storage that can help solar or wind become cost competitive, we’re going to rely on fossils.”

Byers advised attendees to keep their eyes on the news during OPEC’s April 17 meeting in Qatar which, at the time of the Industry Summit, would determine if producers would agree to cut back production or ramp it up to further manipulate the worldwide market.

According to Barron’s, however, nothing was changed, which firmly ensconced the United States in its role as the new swing player in the international oil market. Byers said U.S. net oil imports are down to just 27 percent of the nation’s overall crude demand, the lowest level since 1987.

“We’re effectively the new swing producer on the market,” Byers said. “As painful as things are at this time, at least the pain is with some of our adversaries with OPEC, too.”

With the downturn in the energy economy came the shutting down of rigs throughout the United States, a natural reaction as operations were no longer economically viable at many sites. In December 2014, the U.S. oil rig count stood at about 1,900 with oil prices at around $75 a barrel. As of March 2015, however, the number of rigs had dropped to 480, although oil production had only dropped to about 8.5 million barrels a day – in part due to efficiency and in part due to the lag in price response here.

However, now that the energy export ban is a thing of the past, the infrastructure to get resources to the demand is finally in place. According to the Akron Beacon Journal, the first tanker departed from Marcus Hook near Philadelphia for Norway with 173,000 barrels of ethane, a major component of the European petrochemical industry. Byers said the ethane arrived through the Mariner East pipeline before being shipped to the INEOS tank in Norway.

“We’ve had LNG export facilities coming out, too, to supply electricity demand globally,” Byers said. “If we can get these pipelines built and get the export facilities approved and get these resources over to Europe, that is definitely going to help.”

Natural gas will be buoyed this year by increased demand as a feed source for electricity, as well. According to Byers, 2016 is projected to be the first year where natural gas – not coal – is the leading source of electricity generation.

“The war on coal and really the drop in prices for gas have really hit coal hard,” Byers said. “This is going to be historic.”

A threat even that looms larger than depressed commodity prices remains the ever-changing regulatory landscape under the current presidential administration. Among the many hurdles the oil and gas industry currently face or must consider in the future are the EPA’s Cross-State Air Pollution Rule;

CO2 regulations for new and existing power plants; waters of the United States; ozone and sulfide dioxide National Ambient Air Quality Standards; and New Environmental Policy Act guidelines.

“These are all major, major, multibillion-dollar rules that can threaten to stop projects or shut down existing projects,” Byers said.

Byers also pointed out a fallacy in the narrative regarding the Clean Power Plans (CPP) as it relates to the coal industry. Those outside the industry may see these rules as beneficial as it further pushes coal out of the U.S. energy picture. However, Byers said the chamber is concerned natural gas will not benefit from the CPP agenda and, in fact, harmed over the long term with additional regulations placed on this resource.

The methane rules within President Obama’s Climate Action Plan can prove harmful for the oil and gas industry, as well – a price Byers deemed too steep for a sector of the economy already regulating itself. Now that producers are capturing flare gasses that can be used as additional revenue streams, production of natural gas is rising while emissions are decreasing. However, Byers cited statistics from the Independent Petroleum Association of America that methane regulations could threaten as much as 20 percent of oil production and 13 percent of natural gas.

“This is a little different than some other EPA rules on water and air – this is about climate,” Byers said. “Oil and gas methane emissions are about 1 percent of domestic emissions, so I’m sure globally they’re down to the fractions of a hundredth of a percent. So, you really have to ask yourself at what benefit are these regs?”

As if federal regulators weren’t enough to contend with, the oil and gas industry still must keep a watchful eye on environmentalists determined to shut projects down. They scored a major victory when President Obama vetoed the construction of the Keystone XL pipeline in January 2015, which Byers said was a turning point for opposition to the oil and gas business.

“They have been effective at it, and I think as an industry we need to do a better job at educating the public that these projects are safe and can go forward,” Byers said. “But it’s a real threat and it’s a real concern.”

a look at the cliff we plunged over in 2015 and the horizon for 2016Energy leaders lick their wounds and prepare for the return of normalcy to the oil and gas industry.

Before the price of oil started its nose dive toward the end of 2014, Rob Bender, Founder of Well Master Corp., sat in a meeting with a chief economist from JP Morgan discussing the role the U.S. oil and gas industry played in the renewed Cold War with the Russians. The speaker explained to the group how oil as a commodity was the lone weapon America had in this geopolitical chess match with its global power rival.

Two weeks later, the price of a barrel of oil began its tailspin. There went that.

Fast-forward to 2016 and the industry is showing signs of life again as oil prices sat at a respectable $46.37 as of May 13 with many prognosticators predicting $50 oil by the end of 2016. In fact, many industry insiders – whether they are experiencing the first or third bust cycle of their careers – believe there’s no time like the present to get back into the oil and gas game while assets are available for pennies on the dollar.

In terms of mergers and acquisitions (M&A), 2015 was one of the worst in 10 years for the oil and gas industry, according to Moderator Charles Schliebs, Managing Director of Stone Pier Capital Advisors. A Deloitte report found there were 379 M&As in 2015, down from 709 in 2014. That figure also was down from the 409 and 389 that happened in 2008 and 2009, respectively, in the midst of the Great Recession.

Oil & Gas 360 reported the total value for the sector was also down to $286.23 billion in 2015 from $353.97 billion in 2014 despite several megadeals.

“There’s a lot of anticipation 2016 is going to wind up being much better, but everyone has been taking a kind of wait-and-see attitude,” Schliebs said.

He also said there were a few larger deals in the mix that did not make the cutoff for 2015. For example, the Shell acquisition of BG for $70 billion, as reported by Reuters, offered a glimmer of hope for last year. Also, Halliburton and Baker Hughes was on the cusp of becoming a blockbuster deal until the U.S. Justice Department threatened to sue to block the merger, making it much less likely to happen in 2016, according to OilPrice.com.

Nevertheless, Callum Streeter is optimistic about the outlook for 2016 on the M&A front. EdgeMarc Energy Holdings’ Chief Operating Officer said his company expects a much more robust market for M&As in 2016 because there weren’t as many tier-one assets available, and many of the deals didn’t close or meet reserve.

“I think last year, you saw people trying to shed assets that were maybe not contiguous or not really their core assets in their portfolio,” Streeter says. “But now we’re starting to see some assets out there that are really quite high-quality assets that have a lot of [proved developed producing] production associated with them, so we really do expect to the M&A market heat up here in 2016 and potentially see a lot of private equity money out there chasing these assets, as well.”

Chevron was one of those major players who put up its northeast core assets for sale in 2015, just four years after acquiring a number of companies to establish its position. According to C. Marc Payne, Manager of Business Development and Planning for Chevron’s Appalachian Business Units, many of the same companies who were quick to sell out in 2011 jumped at the chance to buy their former properties again in 2015.

“When we go to put some of these assets for sale, I find it extremely interesting that the first people lined up to buy those assets are the very same people

that we bought those assets off five years earlier,” Payne said. “I think it signals that there is opportunity out there for those who do have the capital and the conviction to spend some money in this type of business environment.”

Apollo Global Management LLC certainly understands the value of getting into the Marcellus and Utica shale business at this juncture. Schliebs cited the private equity firm’s 2015 partnership with American Petroleum Partners LLC with a commitment that could reach as much as $800 million.

As a veteran of the industry with nearly 40 years of experience, Keith Mangini, CEO and President of Huntley & Huntley, believes there is no time like the present to make moves into the shale game, especially for private equity firms.

“This is now the time to be doing acquisitions, in my opinion,” Mangini said. “I’ve been through a bust before, and it creates opportunities, and it is now time to be buying production and distressed assets.”

Another silver lining showing brightly during the current downturn in the industry is the emergence of the Utica Shale. Still a bit of a wild card when unconventional drilling brought the oil and gas industry back to prominence, the Utica Shale is now the lone shale play in the United States expected to increase natural gas production between March and May 16, according to a report released by the U.S. Energy Information Agency. According to Streeter, the quality of the product in combination with its proximity to infrastructure like the Clarington, Ohio, hub, Rockies Express Pipeline and ET Rover make Utica as attractive as ever.

“I think on a pure reservoir quality in gas in place on the dry gas side, the northeast PA is still the premier rock, but you really can’t beat the dry gas from the Utica – particularly with the quality of the reservoir and its proximity to the liquid markets,” Streeter said. “Having a reservoir of that quality sitting there right where the most liquid markets are in the basin is really a blessing.”

In fact, as of March 2016, EdgeMarc Energy Holdings was actively running a rig Monroe County in eastern

Ohio, according to Streeter, even with commodity prices rather depressed.

“We are very, very bullish on our initial well results down there and, quite frankly, in this kind of repressed oil price environment, it is the best economics that we can go and put capital into today and drill,” Streeter said. “I think it’s exciting and still new. I think Utica production is going to grow.”

Streeter credited this growth to what he described as the emergence of the “ultra-deep Utica,” which initially posed a technical challenge to operators trying to reach the reserves in this shale. This resource is almost 2,000 feet deeper than where EdgeMarc Energy typically drills.

Payne admitted Chevron is “cautiously optimistic” about the Utica Shale at this point strictly due to the economics involved. But the potential involved is great for the region.

“The Utica in general has a much more prolific potential than what any of us thought a couple years ago, and that’s outstanding for the basin,” Payne said. “It means the basin itself is going to be and continues to be a world-class asset on a global scale.”

Mangini warned against abandoning the Marcellus Shale for the trendy Utica reservoirs considering the fact that the American natural gas market already is oversaturated with product. If caution is thrown to the wind, prices will be driven down with a glut of product and nowhere to put it.

“If it is as good as everybody says it is, and the Marcellus becomes secondary, where are we going to put all the gas associated with it?” Mangini asked. “We have the northeast that has pretty much saturated the entire gas market in spans, and to add another horizon like the Utica, even the mix is going to further deteriorate gas prices.”

regulatory updateWhether it is constantly changing regulations or new threats from environmentalists, the oil and gas industry must remain ready to evolve.

As long as Margaret Hill has been in the oil and gas industry, she has seen the environmental regulations on the state and federal levels directly coincide with what aspects of the business the environmental lobby has in its sights at any given time. For example, when she started her career in Pittsburgh many years ago with Gulf Oil Corporation, many of the same environmental issues discussed in 2016 were bandied about in relation to offshore oil and gas production.

Today, similar groups are focused on the oil and gas industry’s attempts to develop infrastructure – as evidenced by the successful squashing of the Keystone XL pipeline project – as well as downstream activity.

“I remember being very involved in all the lobbying and all the government relations activities for Gulf back in the early ’80s, and today this is all déjà vu to me,” said Hill, who today is a Partner with Blank Rome LLP.

It’s true – not much has changed in terms of a fluid regulatory landscape and environmentalists’ attempts at slowing down the growth of the industry. In fact, change is the lone constant for industry insiders as they attempt to keep up with ever-evolving mandates from state and federal agencies while fighting off new tactics from environmentalists.

For example, Hill said one of major changes to Pennsylvania’s regulatory landscape today has to do with new surface standards for oil and gas development. The major issue is a lack of distinction between conventional and unconventional development, and Hill said this omission from these rules will make it virtually impossible for conventional drillers to turn a profit.

At the time of the Industry Summit, Hill cited a lawsuit filed by the Pennsylvania Independent Petroleum Producers Association to contest the rule, asking the Commonwealth Court to block the Independent Regulatory Review Commission from considering the regulations. In April 2016, however, the Pittsburgh Tribune-Review reported the injunction was denied because the rules were still in the proposal stage.

Hill also referenced Pennsylvania’s Act 13, or Impact Fee, which was signed into law in 2012. The Impact Fee provides for the imposition of an unconventional gas well fee and the distribution of those funds to local and state governments. Act 13 also contains provisions regarding how the impact fee may be spent, and a significant portion of the funds collected are distributed directly to the local governments to cover the local impacts of drilling, according to the state.

Just weeks before the Industry Summit, Pennsylvania’s Supreme Court heard a case challenging Act 13 to determine if the oil and gas industry received special treatment during the shale revolution. According to The Patriot-News, the first case – Robinson Township v. Commonwealth – addressed notification, a medical gag order, eminent domain and severability.

Gov. Tom Corbett is no longer in office, and there are three new Supreme Court justices on the bench who did not serve when Act 13 was signed into law, according to Hill. That combination could lead to significant changes for Pennsylvania’s energy industry.

“Depending on what happens with the new supreme court decision, it could have some significant impact with respect to the environmental rights amendment and how that might be used in the state as basically a NEPA-type provision,” Hill said.

Oil and gas producers were dealt a blow from the federal government in March, as well. Moderator Tejas Gosai, President of Shale Media Group Speakers, cited the Obama administration’s new regulation that demands emissions information from oil and gas operators with existing wells. Melissa Hamsher, Vice President, Health, Safety, Environment and Regulatory for Eclipse Resources, said that despite methane representing about 1 percent of oil and gas emissions, the EPA and the Obama administration has a disproportionate focus on it. As a result, conventional operators could wind up feeling the most pain from it.

“The oil and gas industry is the target of the White House right now,” Hamsher said. “As far as that

specific emissions data collection, I believe it is coming together as a means for the U.S. EPA to be able to put new, more stringent rules on the oil and gas industry – as if it’s not bad enough.

“The scariest part of the whole rule is that these new things not only would address the unconventional side, but the conventional side of it,” Hamsher continued. “The conventional operators are struggling as it is, and then you give them special emissions requirements, and their wells will no longer be economically viable.”

The Gasland documentary reared its ugly head once again when a federal jury found Cabot Oil and Gas negligent and ordered the company vilified in the film to pay a total of $4.24 million to two Dimock, Pennsylvania, families for polluting their well water as far back as 2008. Cabot intends to appeal the decision.

Despite the outcome of the jury trial, Hill said the industry should take solace in the end-result nevertheless. The decision was based on findings of a private nuisance, notwithstanding of the evidence that there has been naturally occurring methane in the Dimock region for a long time and the fact the water was declared safe to drink.

“Not a great decision by the jury, but we’ll see what happens on appeal,” Hill said. “This case was completely turned on its head from what was originally claimed to how it ended up in terms of the verdict.”

Hamsher spoke in no uncertain terms about the validity of the findings in Gasland.

“And just to be clear, Gasland is art, it’s not fact,” she said. “Just so everybody realizes that Josh Fox is an artist, not a scientist.”

Much to the relief of countless oil and gas companies who now know way more than they ever cared to know about the Indiana bat and the lesser prairie chicken, the U.S. Fish & Wildlife Services (FWS) is working toward improving its Endangered Species Act petition process. According the FWS, the agency hopes improved petitions and petition processes will improve the quality

of petitions it receives and promote better coordination with state wildlife agencies.

In a release in April 2016, FWS stated the proposed changes would require petitions to send a notification to each state wildlife agency in which the species occurs at least 30 days before submitting the petition to the FWS. Also, the changes clarify that petitions are to be limited to only one species, as well as a Paperwork Reduction Act requirement control number will be required for petition regulations.

As it relates to the oil and gas industry, Hamsher believes these proposed changes will better harness wayward petitions for any and all species, a problem that has hamstrung the sector in the past. In the past, environmentalists have been able to bypass the state-reporting protocol and submit species directly to the federal level, which would set a precedent that forced the entire nation to adhere to recovery plans that might not be relevant to certain states.

“I’m not saying that’s a good thing – I’m saying that’s a more scientific approach instead of having an environmental group decide, ‘Today I want to save the whatever,’” Hamsher said.

If regulators and environmentalists want to know what the U.S. oil and gas industry as a whole would look like if mandates ran unchecked, they need not look further than New York state. As Alan Laurita, Partner with Hodgson Russ LLP, can attest, when resources are no longer economical to develop, it can absolutely destroy a region.

“There’s realistically a very small area of New York that has economic potential in the Marcellus,” Laurita said. “For those landowners, there’s been a lot of animosity towards the decisions. It’s played out that while those landowners still exist, the pot of gold they were seeking doesn’t exist anymore, they’re out of funds, and they’re very quiet now.”

June of 2011, he was President and Chief Operating Officer of Atlas

Energy, Inc. from 2006 until its sale to Chevron in 2011.

Atlas operated more than 10,000 oil and gas wells in four different basins, including the Appalachian Basin, where Atlas was a pioneer in the development of the prolific Marcellus Shale. Clean fleet and innovation driving value in a low-Price environmentU.S. Well Services’ Clean Fleet, an electric fracturing pump, virtually eliminates emissions and decreases noise pollution dramatically.

In the past, dual-fuel pumps that relied on diesel and natural gas proved invaluable for oil and gas operators in desperate need of cutting fuel costs. U.S. Well Services, however, has invented a system that trumps this innovation, bringing to market all-electric fracturing equipment that virtually eliminates these operating costs for producers.

U.S. Well Services’ patented Clean Fleet technology is proven to reduce emissions by 99 percent, dramatically decrease sound pollution and generate operation cost savings of approximately $40,000 a day, according to the company’s website.

The reason U.S. Well Services built its Clean Fleet equipment in the first place was to decrease emissions for oil and gas producers as regulations from the federal government have become even more stringent in the final months of the Obama administration. Clean Fleet already is well below tier-four mandates, allowing only .036 grams per kilowatt hour of carbon monoxide emissions through its electric equipment.

This places Clean Fleet’s emissions well below the standard for tier four EPA emissions, according to Hinderliter. Nitrogen oxide and sulfur oxide emissions are well below their legal limits, as well.

“This is better than even we expected,” Hinderliter admitted. “We calculated that to be about 99 percent fewer emissions than standard diesel equipment. Sulfur oxides actually are found to be so low, it’s hard to even calculate a number for that.”

U.S. Well Services has two fleets currently deployed in the Marcellus Shale. According to Hinderliter, Clean Fleet uses electric gas turbines to produce electricity for the equipment because it requires between 15 to 20 megawatts of electricity, which is way more than a utility company could support. The turbines themselves required about 350 psi of fuel gas fed into them, and U.S. Well Service uses electric gas compressors to boost the pressure of the gas coming off the sales line, ensuring reliability.

Thus far in Colorado, U.S. Well Services has discovered the technology could save up to 90 percent on the cost of fuel gas compared to using diesel. In plug-and-perf operations typically found in the Utica and Marcellus Shales, Clean Fleet has saved 80 percent in fuel costs.

“This is pretty significant, especially in this market where everyone needs price concessions,” Hinderliter said.

For one of its fleets in the Marcellus, U.S. Well Services uses three Taurus 60 turbines, which produces 14,000 hydraulic horsepower – the standard rating for such equipment. The second fleet runs on four turbines to produce 24,000 hydraulic horsepower which is better suited for some applications where high-pressure rates of 80 or 90 barrels per minute of fluid flow are required.

These turbines run solely on natural gas and produce electricity at 13,800 volts, which allows Clean Fleet to produce and transmit electricity with very few losses, making the equipment far more efficient than if produced at a lower voltage and tried to transmit it.

“A lot of large diesel motors usually have a life expectancy of 10,000 to 12,000 hours before requiring a complete overhaul,” Hinderliter said. “These turbine engines can last 35,000 hours before they even need to do the first maintenance interval. So you have far less maintenance costs and far less down time, which is very significant where you’re on a pad and trying to complete it quickly.”

While the minimization of emissions is a major factor for oil and gas operators when earning the social license to operate, minimal disruption to the communities surrounding the plays is another. Clean Fleet’s sound pressure reduction capabilities play a major role in this function.

“This is actually something that has gotten real big, especially in Colorado, and even in certain areas of West Virginia and Pennsylvania, where people will complain about the noise,” Hinderliter said.

“Everyone wants something to complain about, so if they can’t complain about emissions, they want to complain about the noise.”

To test Clean Fleet against a diesel fleet, U.S. Well Services ran a side-by-side comparison with 136 monitoring points to pick up the difference in sound on two fleets – one diesel, one electric. Clean Fleet was up to 69 percent quieter than its diesel counterpart – even though it was technically a prototype.

The second generation of Clean Fleet was even quieter, according to Hinderliter. In another side-by-side test, diesel fleet and Clean Feet were measured in decibels from 350 feet away from the well head. The diesel fleet reached 93 decibels, while the electric equipment only hit 80.

For the third generation of Clean Fleet, Hinderliter said the company is aiming for less than 65 decibels at 350 feet from the pad. Depending on the region, the reduction in noise pollution is more important for operators than the reduction in emissions.

“That’s quieter than I’m talking now,” Hinderliter told Industry Summit attendees. “There are pads getting closer and closer to residential neighborhoods, so imagine if you’re doing 24-hour ops, if you have a loud frack pump going 350 from your house all through the night, it would drive you insane.”

In fact, the noise reduction aspect of Clean Fleet is why U.S. Well Services conducted the trial pad in Colorado. Hinderliter said this pad was the only one that surrounding neighborhood did not complain about to the company’s client.

U.S. Well Services had some issues early on when the company first built Clean Fleet when investors and executives came to see it in action on a pad. With little to no exhaust coming out, no vibrations on the ground and a relatively silent atmosphere, Hinderliter said many people thought they were looking at an idling diesel pump. This could have proven quite dangers if a failure occurred with 8,000 to 9,000 psi pumping at any given time.

“We had to constantly shoo people out of there because they thought we were shut down, so they wanted to look at the equipment,” Hinderliter said. “We actually had to put warning lights on the pumps to indicate we’re pumping right now and you need to stay out of those red zones. It’s so quiet, it sounds like you’re doing nothing.”

midstreamFending off onslaughts from regulatory agencies and environmental groups alike, the midstream sector aims to build out natural gas infrastructure despite setbacks.

During this latest bust cycle of the boom-and-bust oil and gas industry, the often overlooked victim is the midstream sector, which has projects that are started and stopped on the whim of commodity prices. Between energy regulators adding more burdens to the industry and environmentalists fanning the flames of regulation, Moderator Mike Krancer, Partner with Blank Rome LLP, often is left wondering aloud who has it in for natural gas – and America as a whole.

“Sometimes I think those people are on Vladimir Putin’s payroll,” Krancer said at the Industry Summit. “Who is it that would really like to shut us down in that regard? It’s our enemies. The Russians, the Nigerians, the Venezuelans – all those other kinds of folks who are in the natural gas equivalent of OPEC.”

Midstream infrastructure would be in a better state is those who opposed projects initially before coming around on them understood the what is involved with the massive undertaking a pipeline project represents. For example, of a handful of projects that have been submitted to the Federal Energy Regulatory Commission (FERC), only one – the Constitution – has been approved.

As of May 2016, however, even this project continued to face legal challenges. According to the Press & Sun-Bulletin newspaper, New York Attorney General Eric Schneiderman pressed FERC to investigate the alleged illegal construction of the Constitution. Schneiderman said there are allegations that the Constitution Pipeline Co. may have authorized “widespread” tree cutting and other construction along the pipeline’s right-of-way corridor in New York before the project’s permits were in place, the Press & Sun-Bulletin reported.

Frank Tsuru, President and Chief Executive Officer of M3 Midstream Energy Company, blamed multiple wildlife agencies for delays of the construction of the Constitution pipeline, which would extend between the Southern Tier and Catskills in New York once completed. He said the stigma of natural gas being a “dirty” fuel source stems the tide of progress for much-need infrastructure.

“People have to understand if Philadelphia wants natural gas, a project is going to take four or five years, maybe longer,” Tsuru says. “They’re going to have to plan for

that. They can’t just say, ‘Now we want it.’

“The industry has been fighting this issue of being dirty for a long time, and it truly is the clean fuel short of renewables,” Tsuru says.

Even FERC itself isn’t immune to environmentalists taking aim at its practices for approving natural gas pipeline projects. Krancer cited a lawsuit the Delaware Riverkeeper Network filed against FERC just weeks before the Industry Summit, accusing the federal agency of corruption.

As reported by NPR’s StateImpact, Delaware Riverkeeper said FERC is unable to make objective decisions about whether a pipeline should be built because it is the only federal agency that is funded by the industries it regulates, including natural gas. StateImpact said the suit said FERC has approved every one of the natural gas pipeline applications that have come before it since 1986 and will not deny the projects because it recovers the full cost of its operations through the fees it charges to the industries it regulates.

“Their theory is that FERC is inherently corrupt, and the decision-making process is a corrupted process,” Krancer says. “That shows you what we’re dealing with from the green radical side of the fence.”

Krancer, like countless oil and gas industry veterans, believed natural gas would benefit most from President Obama’s Clean Power Plan (CPP), which countless experts considered the death knell for the ailing coal industry.

That was based on the original draft of the rules released in June 2014, however. When the final CPP rules were released in August 2015, however, the natural gas was in the federal government’s sights, as well.

In a piece Krancer penned for Forbes magazine just weeks before the Industry Summit, he laid out those edits that should have natural gas on alert. In the first draft, renewables were to be 22 percent of power generation, but that figure leapt to 28 percent in the final rule. Also, the draft had renewables generating 335,000 gigawatt hours by 2030. In the final rule, renewables were to account for 706,000 gigawatt hours.

Tsuru is one of many who understands what is at stake if the CPP is approved as it stands, although the U.S. Supreme Court stayed the plan in February when it kicked it to a lower court for a ruling when opponents criticized it for overreach from the federal government. The harm the plan could impose on the natural gas industry is magnanimous.

“We’ve got a tremendous future with natural gas, so we have to be very prudent about it,” Tsuru says. “We are to be the source of the economy’s resurgence.”

Mike Huwar, Vice President of Marketing for Columbia Midstream Group, admitted he saw the CPP for what it truly means to natural gas thanks to Krancer, and he hopes regulators with more sense can influence the final wording of the rule to lessen the blow to natural gas.

“I think all you can hope for in the Clean Power Plan is cooler heads prevail and smarter people eventually have a say,” Huwar said.

Considering the state’s substantial pipeline construction needs over the next decade, Pennsylvania Governor Tom Wolf called for a Pipeline Infrastructure Task Force to develop a set of recommendations to help his state achieve responsible development of natural gas pipeline infrastructure.

That was the aim, at least. Krancer dubbed it a “waste of time” and “opiate for the people,” and countless other oil and gas industry insiders had criticisms – some softer, some harder – of the task force. For example, as reported by NPR’s StateImpact, the meetings of the task force in Harrisburg, Pennsylvania, often were accompanied by anti-fracking protests and landowners who felt bullied by the industry. At the final meeting in January, according to NPR, seven people were arrested for disorderly conduct.

According to Krancer, environmentalists claimed the staffing of the task force was stacked in favor of the natural gas industry, a charge he called “nonsense.” Lauren Parker, Principal at Civil & Environmental Consultants Inc., sat on the task force as part of the environmental protection work group, and she was only seven representatives of pipeline operators

out of 48 total members. There were also three E&P operators represented, bringing industry’s representation to 10 members of the whole task force.

In the environmental protection group specifically, industry representation dwindled even more. Parker said of 19 people in the group, there were two natural gas individuals – one pipeline operator and one E&P company.

“To suggest that that was too many is not accurate when we’re going to try to determine guidelines for best practices and recommendations and potential future laws and regulations,” Parker says. “You have to have the people doing it be part of the conversation. You can’t say that someone that works at DCNR knows how to build a pipeline, or someone who works at PennDOT knows a best practice for stabilizing a right of way.”

The downturn in the economy also presents a problem for midstream contractors and operators as many companies can’t survive the bust cycle. Sabine Oil & Gas claimed bankruptcy, which ended certain pipeline contracts with HPIP Gonzales Holdings and Nordheim Eagle Ford Gathering, according to U.S. News & World Report. Despite taking place in Texas, this case sent ripples throughout the midstream sector that this case set a precedent that could start a trend that lasts the duration of the downturn.

Huwar admitted Columbia Midstream Group had “pause for concern” that other firms could follow suit, but Tsuru disagreed. He reminded attendees that a bankruptcy is not a law, and there could be countless other factors that led to Sabine taking this course of action.

“If you’re contracts are market, if you are providing a good service, and there really isn’t another alternative to rebuild what you’ve got, your contract isn’t going to get thrown away,” Tsuru said.

Water management in current environmentStaying ahead of imminent regulations on water from state and federal agencies is the best and most efficient way oil and gas operators can manage water.

With nearly 40 decades in the oil and gas industry as a fracking expert, Mark Stanley, Chief Executive Office, President and Partner of Themark Corporation, understands what gets his colleagues in the business innovating – new regulations or decreased profit margins. Considering commodity prices for crude and natural gas and the potential ramifications from new rules on waters of the United States on the horizon, the oil and gas companies suddenly are scrambling for solutions for their water management needs.

“Our industry is not a technologically advanced industry,” Stanley said. “We are very conservative and want to know who’s pumping it, where has it been down, how’s it been done before – and nobody wants to be an industry leader. But now the time is critical, and I think people are taking a really new look at things since the price point of what we’re able to get for the product is significantly less.”

One such regulation currently in the draft stage is the Pennsylvania Department of Environmental Protection’s (DEP) potential ban of temporary waste storage pits. Announced just weeks before the Industry Summit, this rule would require drillers to either shut down or upgrade large centralized impoundment ponds, according to NPR’s StateImpact.

NPR also reported the waste rules are among numerous changes to DEP’s Chapter 78 on oil and gas regulations, which have been in development since 2011.

Despite the additional operational costs this would put in drillers’ budgets, Stanley believes there are some advantages to be had if the changes are finalized. For one, operators would not have to move wastewater from the job site, shortening the time it takes to treat the flowback for the next fracture.

“Anything that you can do to treat on-site is better than moving it off-site,” Stanley said. “If you’re doing a typical hydraulic frack multistage laterals and horizontals in shale, you’re going to get 25 to 40

percent of that frack water back within the first 72 hours. Depending on how many stages, you have 8,000 barrels per stage use, so there is a fair amount that comes back.

“Over the rest of the time – I call that produced water – in 72 hours, that plays out, and you start gradually seeing all that water increase to the point of using the produced water off the production battery to treat it, use it on-site, then if you’re going over and over again on frack side,” Stanley added.

Addington also said on-site treatment is simply a safer option, as well.

“A simple system like that makes recycling possible,” she said. “Anything more intensive is too expensive. It doesn’t make sense after that.”

The state of Ohio is attempting to make sure its oil and gas operators are working as efficiently as possible when it comes to adhering to state and federal mandates. Moderator Chad McCutcheon, Communications Professional for McCutcheon Enterprises, cited modifications under consideration to Ohio’s 401 Water Quality Certification (WQC) so they align more closely with nationwide permits (NWP) issued by the U.S. Army Corps of Engineers for the Clean Water Act.

According to the state, in 2014, stakeholders asked that the 401 WQC be modified to provide clarity and reduce redundancies between the NWP and the 401 WQC. Generally speaking, this should be a positive change for operators in the state who will be able to apply once for all the water permits they need. On the other hand, with the U.S. EPA adding more regulations to working waters of the United States of America, it may prove more limiting, according to Melissa Hamsher, Vice President of Health, Safety, Environment and Regulatory for Eclipse Resources.

“Ohio is trying to get some consistency with the EPA, and with this change it allows for companies to apply for nationwide permits versus the more burdensome individual permits,” Hamsher

said. “It can be good in a way, but bad in a way that I believe it is going to redesignate some streams, which will probably likely affect water sourcing. It’s just a bad timing.”

Another rule on the horizon directly from the U.S. EPA would prohibit oil and gas operators from to provide any waters to a public treatment works unless it has been treated with reverse osmosis, according to Gretchen Addington, Environmental and Safety Specialist for Eclipse Resources. She said this is a problem because adding completely pure water to a publically owned treatment works dilutes it and messes up the center’s system on its own.

Also, the oil and gas industry is pushed into using injection wells more frequently, which is not ideal because this process removes water from existing water systems. Hamsher said oil and gas operators do not want to have a loss where the water originates from. But if water is injected into wells instead of the basins, the basins have that much less water.

“When we inject it thousands of feet underground, it doesn’t go back into our environment, which leaves us in a lurch as an industry that is working to become more environmentally sensitive,” Addington said. “This is one avenue that the EPA is trying to shut for us.”

Also, Hamsher said, wastewater treatment facilities typically rely on certain microbial bugs to purify water. When a clean water stream is introduced to this environment, the delicate balance of the existing ecosystem is compromised, plus this water is released it into regionwide water systems outside of the oil and gas industry, Addington said.

“Most publically owned water works after the water is cleaned is released into a river, and that just goes back into the rain cycle,” Addington said.

McCutcheon questioned the EPA’s reasoning behind the proposed regulation considering the way things stand now poses a better outcome for the environment.

“I believe in the legislation, their reasoning was that there already was regulation that does not allow us to release any oilfield contaminants in any other way,” Addington said. “So, they were writing this to make that legislation fit what’s already on the books. Also, we already have other options like injection wells.”

Despite the ever-evolving regulatory landscape for oil and gas operators with respect to water usage, Stanley admitted not much has changed in terms of technology over the last three decades. It was just a matter of how existing technologies were melded together to increase efficiency and raise operations to the standards dictated by the new mandates.

“Nothing new has really been invented in wastewater treatment in the last 30 years – it’s in how it’s been cobbled together,” Stanley said. “Over the last five years to when shale really started, we’ve learned how to treat the process much better with the existing technologies we’ve been using to make it more efficient and package them.

“Technology and trial-and-error have led to significant cost reduction,” Stanley added.

Hamsher also said the cost of water management will vary by the state oil and gas producers are operating in.

“In Pennsylvania, you know you’re going to pay ‘x’ amount in the big picture to get your freshwater sourcing,” Hamsher said. “And in Ohio, you end up paying for your equipment and such, but there is no per-gallon rate unless you go to a public water supply. On the water supply portion of it, it appears to be steady.”

ensuring fleet efficiency, Safety and environmental Best PracticeFor a nice change of pace, oil and gas operators may benefit from federal regulations as OEMs must alter their mid- and heavy-duty vehicle designs to meet new emission standards.

Moderator Chad McCutcheon, Communications Professional for McCutcheon Enterprises, reminded attendees of the Industry Summit how local, state and federal agencies take “great joy and pride” in creating new regulations frequently during a panel discussion on fleet management. But unlike most regulations imposed on the industry, not all fleet rules hurt oil and gas operators – in fact, some can cut operating costs significantly.

Peter Arrigoni, Vocational Fleet Sales Manager for Kenworth Trucks, advised fleet managers to keep their eyes on two regulations on the horizon that would greatly affect how they operate.

The first is the second phase of the EPA’s greenhouse gas emissions and fuel efficiency standards for medium- and heavy-duty vehicles. This program would significantly reduce carbon emissions and improve the fuel efficiency of heavy-duty vehicles. On the heels of Phase 2, Phase 2 would benefit business and consumers, per the EEPA, by saving the industry billions of dollars in fuel and reducing the costs for transporting goods, while reducing GHG emissions by 1 billion metric tons. Under these proposed standard, the federal government expects the fuel consumption of tractor trailers alone could drop as much as 24 percent.

“The EPA looks at us at a cap-and-trade standpoint, minus the trade, in that we need to produce a certain number of fuel-efficient vehicles to every mining truck or every piece of equipment that is off-highway that might not be so fuel efficient,” Arrigoni said. “As a whole, the EPA is trying to get us to produce as many fuel-economic vehicles as possible.”

Arrigoni said the agency accomplishes this by giving OEMs a rating that is a quantitative measurement of from a variety of properties of each model. The rating is limited to about four or five factors that could be considered surface level at best.

Beginning in 2021, OEMs have just finished negotiating the terms on what phase 2 will include. Once that kicks in, EPA will consider attributes like drive lines, the rear-axle ratios that should be on spec, etc.

As burdensome as these new rules may sound, Arrigoni does not expect oil and gas operators to be impacted – at least in terms of their fleet operations. The positive byproduct of the new rules will be how much they will drive education of the people providing equipment.

“If your fleet manager or procurement manager walks into a dealership and wants to order 10 or 15 pieces of equipment, they are going to sit down with that person and they are going to be hopefully educated about the requirements of Greenhouse Gas Phase 2,” Arrigoni said. “What they’re going to do is drive you into specifications that is going to save you money, whether it be fuel or maintenance. So there is some benefit to it.”

Arrigoni also cautioned fleet managers on the new emissions standards taking effect Jan. 1, 2017. The last change to emission rules was in 2010, and anyone who has not purchased equipment in that time frame would be best served to bone up on this rule change to make sure their fleets are up to speed.

The 2017 emission rule will change the type of equipment allowed on vehicles once again in EPA’s attempt to meet a 6 percent reduction in carbon monoxide emissions, which Arrigoni said would result in about a 4 percent improvement in fuel economy.

While the regulations will save oil and gas operators money in the long run by making vehicles 150 pounds lighter, they will be required to have fleets with completely different systems than years past, which will make an impact.

“If you’ve been out of the buying world – and most of you haven’t been thinking about buying new equipment for the last year and a half – my recommendation would be if you still have your fleet managers and still have your maintenance managers, make sure they’re keeping in contact with their local dealers and relationships so they know what those changes are when the economy comes back and you need more equipment,” Arrigoni said.

Although Arrigoni said end-users with vocational uses for these fleets will not be impacted as much as OEMs, Greg Cook, Chief Executive Officer of Mustang Oilfield Services, said there are plenty of ways emissions regulations do impact businesses like his, as well.

For example, although trucks are designed and manufactured to meet the most up-to-date performance regulations, they do not always meet those standards for a variety of reasons. Whether it is the environments they encounter or changes in application, there is no telling how long a fleet will remain in compliance, especially when regulations change so frequently.

“At times, they could be very cumbersome to people like myself in the vocation market whose trucks do not always operate in the optimum environment for these systems to work in the way they were designed to work,” Cook said. “In addition, with the amount of changes that have come over the last six or seven years, each one of those the systems have changed and how the systems work has changed. And each one of those have put an immense burden on anybody’s maintenance staff to keep up to date with how the system’s changed.”

Cook also said if a fleet has a mix of OEM models, these changes will affect how an end-user stocks parts and tracks replacement parts, as well. For example, Mustang Oilfield Services has trucks from multiple manufacturers in its fleet that handle updates in regulations in a variety of ways.

In August 2011, Class A high on-highway vehicles had to meet a new stopping requirement. In the 1970s, the requirement was 355 feet, but the federal government has since reduced that length 250 feet.

Mike Gracey, National Fleet Account Manager for Bendix Commercial Vehicle Systems, said for engineering and application purposes, vendors and brake suppliers had to help OEMs meet about 225 feet, and there are only so many ways a company like Bendix Commercial Vehicle Systems can accomplish that.

For fleet managers, Gracey advised being mindful of products that go back into vehicles will keep them in compliance.

“You open yourself up if you put a less-than-optimal part, and you have to be careful how you shop around for that replacement part so you don’t have some liability driving around out there,” Gracey said.

For example, Gracey said Bendix has conducted third-party vehicle testing for those ensuring their compliance. Just by changing the brake shoes out and using the incorrect replacements can add up to 96 feet of stopping distance to a tractor trailer’s braking distance.

“That could not bode well for you in certain litigation,” Gracey said. “While there’s no federal law for what you put back on, there is the long arm of the lawyer.”

Aside from efficiency and emissions regulations, the trucking industry must adhere to safety industries that are increasingly pervasive of driver privacy as more systems come about to document their behaviors on the road. A member of the audience asked the panel if too much technology on a truck could prove problematic by giving drivers a false sense of security while in the cabs.

Arrigoni disagreed, stating that the reason OEMs like Kenworth have added so much technology to its trucks is to meet government safety rules that drivers protect themselves and other motorists alike.

“The technology to meet those expectations had to come first, and that was a difficult road,” Arrigoni said. “Now we’re getting to the point where we’re putting on these back systems added complexity, but at the same time they’re teaching us a lot about what’s wrong and what’s right. That’s what we’re focusing on for the most part.”

Bilfinger is an agile construction firm with a long list of projects and satisfied clients. Their support documentation indicates a high level of attention paid to project management and execution. Finally, they have a good history of community involvement.

Numerous examples of their work in the region presented in a bite-size format so as to really punctuate the breadth and depth of expertise available from the practice. Their pro-bono engagements were equally numerous and shows Blank Rome to be a standout firm for the region.

It is important for companies like Chemplex to showcase not only their products, but their efforts to minimize environmental impact of their operations, as well as assisting their customers achieve the same stringent criteria with the products they provide.

Cianbro are well known for their delivery of complex projects to exacting standards within the industry and their case study of the Springville Gathering System is no exception. The testimonials for the project were most notable.

I was most impressed; given the time of year, the weather conditions, and the customer that Cianbro was able to construct what amounts to a very large compressor station in the matter of 18 weeks. Their attention to detail, including the 3-D modelling and 24 hour temperature data collection during concrete pouring, was impressive.

Incredible breadth of project work showcased for CEC. Consider this alongside their numerous accolades, recognition and industry advocacy and engagement they have presented, it is hard not to give top marks.

I found the Crescent submission particularly interesting. Their efforts to meet a client’s (considerable) demands and, in the process, develop a new system to reduce costs and improve times at the drill site scored well.

Great growth in the oil and gas market in the Marcellus and Utica. Very impressed with the product and service. A distinct lack of community involvement.

This enhanced conservation initiative, which extends beyond what would otherwise be required by state and federal rules, also provide an excellent community outreach opportunity for the company to educate area youth about a significant ecological issue.

Whilst perhaps not the largest E&P in the region, EdgeMarc have shown a clear trajectory since their inception in 2012 and hold significant quality acreage.

They’ve shown a tangible commitment to the environment and their staff.

EQT have a great reputation in the region for their commitment to community and environment.

A safe and reliable operator that uses the latest and safest techniques to maintain their position in the Appalachian basin. Some fantastic stats.

Putting together a formal program to hire returning veterans is a very noble endeavor. Programs like this help re-integrate citizens that have sacrificed so much for the rest of the country. This hiring practice is also great for the industry because veterans bring discipline and teamwork to the oilfield.

Good use of partner network to compliment existing range of services to the oil patch. Superb CSR also and well known.

I found the case study for their E&P client in Pittsburgh most interesting. A survey completed in 4 minutes with sub centimetre accuracy is very much a ‘game changer.’ Great statistics and great product.

Impact Environmental’s service of reusing treated drill cuttings in the remediation of both well sites and of legacy contamination at industrial sites in the Northeast is an innovative solution to a significant waste management burden facing shale operators. The service reduces waste disposal costs for the operator, facilitates cost-effective well location remediation, and provides valuable remediation materials for the clean up of brownfield sites throughout the region. Not only does the operator benefit from the well site reclamation opportunity, but also the entire region benefits from the reuse of drill cuttings to return of otherwise lost industrial sites to economic viability.

Keystone have seen significant growth in recent years and are well placed to continue to expand as they diversify their suite of products to assist the rest of the industry across multiple industry segments.

Keystone Clearwater Solutions most extensively met the voting criteria for the award. They demonstrate and document extensive responsible storage, transfer, and sourcing capabilities and provide evidence for their strong environmental and safety performance and systems.

Noise continues to be a hassle to the general community. In order for companies to operate successfully in more populated areas, operators will need to find innovative solutions that allow oil & gas operations to co-exist with their neighbors. The Clean Fleet technology takes a big step in noise reduction as well as emissions reduction and the Sand Shield protects the workers and the neighbors from silica.

The Weatherford water management system appears to offer a number of key benefits. The imitation of the conductivity and permeability of 100% fresh water being one of the most important to efficient operations.

A good evaluation of the Weatherford solution and the challenges the industry faces regarding fresh and flow back waters. I would have liked to see some case studies or testimonials confirming the superiority of the solution over others in the category.

Heavy investment in the R&D Department is testament to the successes that Well master have experienced in recent years.
