What is involved.
The Purchaser
The Purchaser is usually a company based inAustralia which is involved in the strategic acquisition of companies, for the specific purpose of accelerated growth or creating a listed entity.
For a listed entity the listing is to take place on the ASX.
Whilst the Purchaser may utilise private equity to get started, the ultimate ownership aim is for the business acquisition to be acquired as a part of a listed company.
Sometimes (less commonly) the “purchaser”may be a private equity group or a privatelyowned company.
The companies that Benchmark Corporate dealswith have a track record of success in acquisitionof companies for consolidation and publiclisting.
At Benchmark we (usually) deal with a “primaryconsultant” within the company, who will dealwith acquisition and public listing.
Purchasers expect a high level of confidentiality,and offer the owners/shareholders/directorsof the Vendor’s company the same degree ofconfidentiality.
The ProcessThere is a clear process that will be explained indetail should you wish to proceed.
The process can take between three and sixmonths to complete. The basic steps are:
You conduct due diligence on the Purchaser
You engage Benchmark Corporate as your agent
Both parties (Purchaser and Vendor) execute amutual Non Disclosure Agreement
Vendor company provides basic financial details to the acquiring company representative via Benchmark Corporate agent
Financials are reviewed by the Purchaser
More information may be required by the Purchaser
Purchaser provides a “terms sheet” to the Vendor
Vendor agrees to terms sheet
Due diligence commences
Contract prepared (sale of company shares or sale of business)
Contracts executed by all parties
Deposit paid by Purchaser

There are several potential issues that need to be understood by the Purchaser, to enable the Purchaser to provide a satisfactory offer for the business or company. Potential areas and issues that the Purchaser may need full information provided include:
It is the role of the Benchmark Corporate business broker to ensure that the issues are properly understood, and that due diligence is conducted smoothly and efficiently.Usually the success of the acquisition is predicated upon the acquisition of other similar companies. Sometimes these are competitors in the market which the Vendor’s business operates within.

Often the whole acquisition program will hinge upon the strategic acquisition of one “Cornerstone” or “Keystone” company, which provides sufficient revenue to underpin the final business. If the key acquisition doesn’t happen, the whole deal can be cancelled.
Once a terms sheet (or similar offer document) has been agreed to by all parties, the Purchaser may require that the Vendor does not enter into any negotiations or discussions with any party, including suppliers, customers or other potential acquirers, without the express agreement of the Purchasers.
