(i) whentheTriggeroccurs;and (ii) atapriceinaccordancewiththeLimit;(p) Corporations Actmeansthe

(iii) beinbreachofthelawsofanyjurisdictionrelatingtomoneylaunderingorcounter-terrorism;or

(iv) actonbehalfof,orforthebenefitof,apersonlistedinsubclauses(i)–(iii)ofthisdefinition;

(z) Referrermeansathirdparty,includingWestpacSecurities,whohasreferredYoutotheParticipantfortrading,settlement,clearingorotherservices;

(aa) Servicesmeansalloranyoftheonlineservices(orrelatedtelephoneservicesaccessedthroughthecallcentreofWestpacSecurities)providedbytheParticipantfromtimetotime;

InconsiderationoftheParticipantprovidingaccesstotheTradingSiteanditsServicestoYou,Youagreetoabidebythefollowingtermsandconditions.

(bb) STPmeansstraightthroughprocessing,whichreferstotheautomatedprocessingofsecuritiestradedthroughITS,withoutanymanualinterventionor duplicate processing;

(cc) Terms of IssuehasthesamemeaninggiventoitintheASXMarketRules;

(dd) Trading LimitmeansanallowableLimitapprovedbytheParticipantforthepurchasesofapprovedsecuritiesnominatedbytheParticipant;

(ee) Trading SitemeanstheinternetsiteaddressnotifiedtoYouthroughwhichaccessisgainedtosharemarkettrading functions;

(ff) Trading StatushasthesamemeaninggiventoitintheASXMarketRules;

(gg) Triggermeanscriteriathatareacceptabletous,whichyounominateforyourConditionalOrderInstruction,which,whensatisfied,causesustoplaceanorderforasecurityonthemarket;

(hh) Warranthasthesamemeaninggivento it intheASXMarketRules;

(ii) Warrant-IssuerhasthesamemeaninggiventoitintheASXMarketRules;

(kk) YouandYour refertotheperson,personsorcompanytowhomtheParticipantprovidestheServicesthroughtheTradingSiteand,totheextentrelevant,includesYourauthorisedrepresentative.WhereYouaremorethanoneperson,theneach ofthosepeoplearereferredtojointly and severally;and

(ll) Your AccountmeansthesharetradingaccountopenedbyYouwiththeParticipant.

2.0 Limited right of access2.1 IfYouaremorethanoneperson,thenall

personsarejointlyandseverallyboundby thesetermsandconditions.

2.2 TheParticipantgrantstoYou,forYouruse only,alimited,non-transferable,non-exclusiverighttoaccesstheTradingSiteforthepurposeofusingtheServices.

2.3 YouacknowledgethattheParticipantreservestherighttorefuseanyapplicationtoprovideaccesstotheTradingSiteandtheServicesintheParticipant’sabsolutediscretion.

2.4 YouacknowledgethattheParticipantreservestherighttoterminateorsuspendYouraccesstotheTradingSiteandtheServicesatanytimewithoutpriornoticeif,forexample,wesuspectthat:

(a) YourAccounthasbeenaccessedfraudulently;

(b) YouareaProscribedPerson; (c) Youhaveattemptedmarket

manipulation;or (d) Youhavecommittedfraudulent,

illegalorunauthoriseddealingsonYourAccount.

Withoutlimitingourrightsunderparagraphs(a)to(d),wemayterminateorsuspendYouraccesstotheTradingSiteandtheServicesforreasonsotherthantheonesmentionedabove.

2.5 YouraccesstotheTradingSiteanduseofServicesaresubjecttotheusualaccessandServicesguidelinesandpoliciesoftheParticipant.

2.6 TheParticipantcompliesatalltimeswithallAustralianlawapplyingtoanyofferofsecuritiesbytheParticipantandanyofferofsecuritiesismadeonlytoAustralianresidents.IfYouarenotanAustralianresident,thentheParticipantmakesnorepresentationwhatsoevertoYouastoanyforeignlawwhichmayapplytotheofferofsecuritiesbytheParticipant.IfYouareinanydoubtastoanyforeignlawapplyingtosecuritiestransactionsbyYouwiththeParticipant,thenYoushouldobtainYourownindependentforeignlawlegal advice.

3.0 Security identification3.1 Youwillnominateaconfidential

password,Username,orphoneidentificationpassword(collectively,‘IndividualUsername’)inorderthatYoumayidentifyYourselftoaccesstheTradingSiteoroverthephoneinorderto usetheServices.

3.2 YouandYourauthorisedrepresentative(s)aresolelyresponsiblefortheconfidentialityanduseofYourIndividual Username.

YouwillnotifytheParticipantimmediatelyifYoubecomeawareofanylossortheftorunauthoriseduseofyourIndividualUsernameoranypartthereof.Aftersuchnotification,theParticipantshallassoonasreasonablypossibledisableaccesstotheTradingSiteandServicesforsuchIndividualUsernameandshallissueareplacementIndividualUsernameaccordingly.

3.3 TheParticipantisentitledtoassumethatanyinstructionreceivedcontainingalloranypartoftheIndividualUsernameoriginatesfromYouortheauthorisedrepresentativetowhomtheIndividualUsernameisassignedandthatsuchinstructionisavalidinstructiontoaccesstheServices.TheParticipantisnotobligedtoinquireintothevalidityof any suchinstructionreceived.

3.4 TheParticipantdeemsthatthepersonusinganIndividualUsernameoranypartofittoaccesstheTradingSiteandtheServicesisthepersontowhomtheIndividualUsernameisassigned.

4.0 Your instructions4.1 TheParticipantreservestherightat

alltimestodeclinetoacceptYourinstructionswithoutgivinganyreasonorexplanationorpriornotice,if,forexample:

(a) weconsiderthatacceptingtheinstructionwouldnotbeconsistentwithafairandorderlymarket;

(b) itisnotpossibleforustoplaceanorderonthemarket;

(c) webelieveYourinstructionsareambiguous,incompleteorunclear;or

(d) thesecurityissubjecttoatradinghalt.

Withoutlimitingourrightsunderparagraphs(a)to(d),wemaydeclinetoacceptYourinstructionsforreasonsotherthantheonesmentionedabove.

4.2 Withoutlimitationtoclause4.1,theParticipantreservestherighttodeclinetoactonYourbehalforacceptYourinstructionswhereYourinstructionsarebelievedbytheParticipanttobeunclear,ambiguousorincomplete.

4.2AYouacknowledgeandagree: (a) Thatifyouorasignatoryappears

tobeaProscribedPerson,thentheParticipantmayimmediatelyrefusetoprocessorcompleteanytransactionordealingofyours;suspendtheprovisionofaproductorservicetoyou;refusetoallowortofacilitateanyofyourassetsheldbyustobeusedordealtwith;refusetomakeanyassetavailabletoyouortoanyotherproscribedpersonorentity;orterminatethesearrangementswithyou.TheParticipantwillbeundernoliabilitytoyouiftheParticipantdoesanyorallofthesethings.TheParticipant’srightsunderthisclauseareinadditiontoallotherrightswhichthe Participantmayhave.

(b) ThatiftheParticipantexercisesits rightsundersub-clause4.2A(a),youmustpaytheParticipantanydamages,losses,costsorexpensesthattheParticipantincursinrelationtoanyactiontakenundersub-clause 4.2A(a),includingwithout limitationadministrativecostsand/orcostsofsaleorpurchaseofanytransactionordealputinplaceforthepurposesofmeetingtheParticipant’sobligationsunderthese termsand conditions.

4.3 YouauthorisetheParticipanttoacceptinstructionsonYourbehalffromYourauthorisedrepresentative(s)andYouconfirmthatYourauthorisedrepresentative(s)has/havethepowertodothefollowinginYournameandonYourbehalffromtimetotimeto:(a)giveinstructionstotheParticipantonYourbehalf;and(b)accesstheTradingSiteandusetheServices.

4.4 YouagreetoratifyandconfirmallactionscarriedoutbytheParticipantontheinstructionsofYourauthorisedrepresentative(s).

4.5 WhenYouaremorethanoneperson,theParticipantmayacceptinstructionsfromoneormoreofYouonbehalfofallofYou.

4.6 Youareresponsibleforfraudulent,illegalorunauthoriseddealingsonYourAccountwhichareattributabletoYourconduct,andyoureleaseanddischargeusfromliabilityinthisregard.

4.7 TheParticipanthastherighttorequestwrittenconfirmationofinstructionsbeforeactingonanyinstructionsfromYouorYourauthorisedrepresentative(s).

4.8 TheParticipantmayassumetheauthenticityofanyinstructionsgivenorpurportedlygivenorally,inwritingorbyelectronicmeans(includinganyelectronicinstructionswhichincludealloranypartofYourIndividualUsername)byYouorYourauthorisedrepresentative(s),orthatanypersonclaimingtobeYourauthorisedrepresentativeisinfactthatperson.TheParticipantisnotobligedtoenquireintoanyofthemattersmentionedinthisconditionandYouauthorisetheParticipanttoactuponsuchinstructionsitreasonablybelievestobeauthentic.

4.9 TheParticipantwilluseitsbestendeavourstoexecuteYourinstructions,buttheParticipantwillnotguaranteethatYourinstructionswillbewhollyorpartiallyexecutedorwillbeexecutedbyacertaintime,because,forexample:

(a) Yourordermayneedtobemanuallyvetted;

(b) thesecuritymaybetoothinlytraded; (c) thepricefortheLimitmaybetoofar

fromthepriceatwhichthesecurityiscurrentlytraded;or

(d) thesecuritymaybesubjecttoatradinghalt.

Withoutlimitingourrightsunderparagraphs(a)to(d),wemaynotexecuteyourinstructionswhollyorpartiallyorbyacertaintimeforreasonsotherthantheonesmentionedabove.

4.10YouauthoriseandappointtheParticipant,eachofitsdirectorsandeachofitsemployeesasYourattorneytoenterintoanycontractoragreementwithanotherpartyonYourbehalfuponreceivingYourinstructions(suchinstructionsmaybegivenbyYouelectronicallyandacceptedbytheParticipantinaccordancewithclause4.8)todoso.YouacknowledgethatallliabilityforsuchcontractsisYoursalone.YouwillindemnifytheParticipantagainstallloss,expenseoranyotherliabilityinrelationtosuchcontractsor agreements.

4.11YouauthorisetheParticipanttorecordanytelephonecommunicationsbetweenYourself,Yourauthorisedrepresentative(s)andtheParticipant,withorwithoutanaudibletone-warningdevice.YouacknowledgethatanyrecordingistheParticipant’spropertyandthattheParticipantreservestherighttochargeyouacostrecoveryfeefor

accesstoarecording.Youshallrecordallrelevantdetailsofanyconversationyouhavewithus,includingthenameoftheoperatorandthedateandtimeofthecall,andyouacknowledgethattheParticipantwillaskyouforthisinformationwhenyouseekaccesstoarecording.

4.12Incaseofdispute,theParticipant’srecordsofelectronicortelephonecommunicationsorfacsimiletransmissionshallbeconclusiveevidenceofthedetailsofthecommunicationsbyemail,internet,telephoneorfacsimile(asthecasemaybe)betweenYouandtheParticipant.

5.0 Acknowledgements and representations

5.1 IfYouareatrusteeoranagent,Youareboundbythesetermsandconditionsasatrusteeoranagent,andpersonally.IfYouareacorporation,thedirectorsarealsoboundbythesetermsandconditions.

5.2 YouwarrantthatYouhavethepowerand theauthoritytoagreetothesetermsandconditions,andtocarryoutYourobligationsunderthem.IfYouareacorporation,YouwarrantthatYouhold a validACN,ABNorARBN.

5.3 YouauthorisetheParticipanttoprovideinformationaboutYoutoanyofitsrelatedbodiescorporate(asdefinedintheCorporationsAct)andtheirrespectiveofficersandemployees(foraccountingandotherpurposes,includingmarketingfurtherservicestoyou).IfyouhavebeenreferredtotheParticipantbya‘Referrer’fortheParticipanttoprovideYouwithtrading,settlement,clearingorotherservices,YoualsoauthorisetheParticipanttosupplyinformationaboutYou(thattheParticipantmaycollectorholdfromtimetotime)totheReferreranditsrelatedbodiescorporate.Theinformationmayinclude,butisnotlimitedto,detailsofordersplacedandtradesenteredintobyYou,othertransactionsconductedbyYouthroughorinconnectionwiththeTradingSite,andotherinformationconcerningYouthattheParticipantmayreceivefromYouruseoftheTradingSiteoranyassociatedwebsite,butexcludingYoursecuritydetails.Youauthorisethe ReferreranditsrelatedbodiescorporatetouseYourinformationtocalculateanycommissionsduetoitfrom theParticipantbasedontradesand servicesenteredintobyYouandtouse Yourinformationinmarketingfurther servicestoYou.

6.0 Use of information6.1 Youmustnot,eitheraloneorin

conjunctionwithanyotherperson: (a) supplyormakeavailableorpermit

tobesuppliedormadeavailabletheInformationorDerivedInformationto anythirdperson;

(b) store,processordealwiththeInformationorDerivedInformationinanywayexceptforYourownpersonal use;

(c) allowanyunauthorisedpersontogainaccesstotheInformationorDerivedInformation;

(d) usetheInformationorDerivedInformationtoestablish,maintainorprovide(orassistinestablishing,maintainingorproviding)anunauthorisedmarketfortradingin securities;or

(e) reverseengineeranyprogramsorprotocolsusedinconnectionwiththe InformationorServices.

6.2 YouacknowledgethattheuseoraccessoftheTradingSitewillnotbefreefromanyfault,errorordefectsindesignor engineering.

6.3 Youacknowledgethatthetransmissionspeed,formatorcontentoftheInformationandDerivedInformationmaybechangedwithoutanypriornotice.

6.4 Youacknowledgethat: (a) theInformationandDerived

Informationhavebeenpreparedanddistributedforgeneralinformationonly,andarewithoutconsiderationtoYouroranyperson’sinvestmentobjectives,financialsituationorparticularneeds;

(b) theInformationandDerivedInformationarenotarecommendationthataparticularcourseofactionis suitableforYouor anyperson;

(c) theInformationandDerivedInformationmaynotbeappropriatetoYouandthatanydecisionmadebyYouisbasedonYourownjudgementoronindependentadvice,butinnocasereliesontheInformationorDerivedInformationoranypartofit; and

(d) theInformationmaybesubjecttoadditionalconditionsimposedbythirdpartydataownersandthirdpartydataproviders.


7.0 Fees7.1 Youagreetopaysubscriptionfees,

royaltychargesandanyotherchargesasspecifiedbytheParticipantfromtime totime.Youalsoagreetoreimburse theParticipantforanyfees,taxes,consumptionorvalue-addedtaxoranyotherchargesleviedinrelationto YouruseoftheServices.TheParticipantreservestherighttovarysuchfeesandcharges,and themethodofchargingatanytime, withoutpriornotice.

7.2 Ifthegoodsandservicestax(‘GST’)has applicationtothesupplyofServicesbytheParticipant,theParticipantwill,inadditiontoanyamountorconsiderationpayableunderthesetermsandconditions,recoverfromYouanadditionalamountonaccountoftheapplicableGST.

7.3 YouagreethattheReferrerortheParticipantmayreceivecommissionsfromanyotherpartyarisingfromYouruseoftheServicesandtheParticipantisnotobligedtorebatethesecommissionstoYouandmaypassonanypartofcommissionsitreceivestotheReferrer.

7.4 YouagreethattheParticipantmaypaycommissionstotheReferreronbrokeragereceivedbytheParticipantfromYoubasedontradesenteredintobyYou.

7.5 YouirrevocablyauthorisetheParticipanttodeductfromanyCashAccountYouhaveestablished,ordirectdebitbankaccountauthorityprovidedbyYou,suchamountsowingbyYoutotheParticipantorarelatedentityoftheParticipant.

8.0 Release8.1 YoureleasetheParticipant,the

InformationProvidersandtheirrespective employeesandagentsfromanyobligationorliabilityofanykindtoorthroughYouwithrespecttothetransmission,provisionoruseoftheServices,theInformationorDerivedInformationoranypartthereofand,withoutlimitingthegeneralityoftheforegoing,anydelays,interruptions,errors oromissionshowsoeveroccasioned.

8.2 Tothemaximumextentpermittedbylaw,YouacknowledgethattheParticipant,theInformationProvider,andtheirrespectiveemployeesandagentswillnotbeliabletoYouoranyoneelseforanylossordamage,whetherdirectorindirect,special,incidentalorconsequentialor economic(includinglossofprofits),whetherornottheParticipantkneworcouldhaveknownofthepossibilityofsuchdamage,wherethatdamagearises from:

(a) delay,interruption,omission,failure,errororfaultintheexecutionofYourinstructions;

(b) delayintheexecutionofYourinstructionsarisingfromareviewofYourinstructionsbytheParticipant;

(c) anyerror,omissions,non-receiptorinvalidityinYourinstructions;

(d) anyfault,error,defectofengineeringoftheTradingSiteortheParticipant’scomputersystems,oranydelay,fault,failureinorlossofaccesstotheTradingSite;and

(e) anycausebeyondthereasonablecontroloftheParticipant,including,butnotlimitedto,failureofelectronicormechanicalequipmentorcommunicationlines,unauthorisedaccessorlabourproblems.

8.3 TheParticipant,theInformationProvidersandtheirrespectiveemployeesandagentsdonotgiveanyrepresentationsorwarrantiesastotheavailability,accuracy,completeness,currencyorreliabilityoftheInformationorDerivedInformation,ortheresultstobeobtainedfromtheInformationorDerivedInformation;andtheParticipantexpresslydisclaimsallandanyliabilitytoYouoranypersonforanydamageorloss(directorindirect,special,incidentalorconsequentialoreconomic)resultingfromtheuseoforrelianceontheInformationorDerivedInformationoranypartthereofbyYouor anyotherperson.

8.4 Nothinginsub-clauses8.1,8.2,8.3and8.5shallexcludeanyimpliedconditionorwarrantyforyourbenefittheexclusionofwhichwouldcontraveneanystatuteorcauseanypartofthesetermsandconditionstobevoidorinvalid.

8.5 Totheextentpermittedbylaw,anyliabilitytoYouforanyreasonislimitedtotherestorationoftheServicetoYou,butifthatisnotpossibleorappropriate,thentherefundofthefeespaidbyYouinrelationtothesupplyofInformationorDerivedInformationforthemonthinwhichthecauseofliabilityarises.

9.0 Intellectual property rights9.1 Youacknowledgethatallcopyrightand

otherintellectualpropertyrightsofwhatevernatureintheInformationandDerivedInformation,andtheelectronicmeansoftransmissionoftheInformationandDerivedInformation,areandwillremainvestedintheParticipantortheInformationProvidersoranyofthem.YouwillpromptlynotifytheParticipantofanyimproperorunlawfuluseoftheInformationorDerivedInformationorinfringementofanyofthecopyrightorotherintellectualpropertyrightsintheInformationorDerivedInformationthatcomestoYournotice.

10.0 Variation and termination10.1YoumayterminateYouraccesstothe

TradingSiteandServicesbygivingnotlessthanfiveBusinessDays’writtennoticetotheParticipant.Terminationwillnotaffectanyrightsorobligationsaccruedpriortotermination.

10.2TheParticipantmayterminateYouraccesstotheTradingSiteandServicesatanytimeandwithoutpriornotice,subjecttoalloutstandingobligationsbeingdulydischarged,if,forexample,wesuspectthat:






10.3TheParticipantreservestherighttovarythesetermsandconditionsto:

(a) add,changeorremoveanyconcessionsorbenefits;

(b) adoptorimplementanylegalrequirement,decision,recommendation,regulatoryguidanceorstandardofanycourt,tribunal,orombudsmanserviceregulator;

(c) accommodatechangesintheneedsorrequirementsofourclients,suchasnewproductfeaturesorservices;

(d) correcterrors,inconsistencies,inadvertentomissions,inaccuraciesorambiguities;

(e) bringusintolinewithourcompetitors,industryormarketpracticeorbestpracticeinAustraliaoroverseas;or

(f) reflectchangesintechnologyorourprocessesincludingourcomputersystems.

AnyvariationofthesetermsandconditionsshallapplytoalldealingsbetweenYouandtheParticipantonandfromthedayonwhichthevariationtakeseffect.

IftheParticipantvariesthesetermsandconditions,theParticipantwillgivenotlessthanseven(7)daysnoticetoyouatthepostalorelectronicaddresslastnotifiedtotheParticipantbyyou,orattheParticipant’swebsite.

Also,theParticipantmayuseitsIVRfacilitytonotifyyouofamendment(s),andprovideinformationaboutwhereyoucanaccessfulldetailsoftheamendment(s).

10.4However,theParticipantdoesnotneedtogiveYouadvancenoticewhereanyvariationofthesetermsandconditionsisrequiredtocomplywithaprescribedrequirementorisnecessitatedbyanimmediateneedtorestoreormaintainthesecurityofthesystemorindividualaccounts.

11.0 Notice11.1Anynoticegiven,ordemandmadeby,the

Participantmaybemadebyfacsimile,bypostorbyemailtothelastnotifiedaddress,facsimilenumberoremailaddressasthecasemaybe.Suchnoticeordemandshallbedeemedtohavebeenreceived:

(a) ifgivenbypostwillbedeemedtohavebeenreceivedonthethirdBusinessDayfollowingposting;

(b) ifgivenbyfacsimile,willbedeemedtohavebeenreceiveduponproductionofatransmissionreportbythemachinefromwhichthefacsimilewassentwhichindicatesthatthefacsimilewassentinitsentiretytothefacsimilenumberoftherecipient;

(c) ifgiventoYouelectronically,willbedeemedtohavebeenreceivedonthe dayitwassent;and

(d) ifgiventouselectronically,willbedeemedtohavebeenreceivedupon beingopenedbyus.

12.0 Dispute resolution12.1AnydisputesbetweenYouandthe

ParticipantwillbereferredtotheFinancialOmbudsmanService(‘FOS’)ifthedisputeiswithinthejurisdictionofFOS.IfthedisputeisnotwithinthejurisdictionofFOS,orcannotbesettledthroughitsprocesses,thepartieswillappointamediatorandattendmediationinordertoresolvethedispute.

13.0 Applicable law13.1ThisAgreementshallbegovernedbythe

lawsoftheStateofNewSouthWales,andthepartiessubmittothejurisdictionofthatState,buttheParticipantmaycommenceproceedingsinanothercompetentjurisdiction.

14.0 Fair Go Policy14.1TheParticipantendeavourstoprovidea

qualityservicetoallourcustomersatalltimes.Thispolicyisdesignedtoensurethatnoclientisunfairlydisadvantagedbythebehaviourofotherclients.Allfreeaccesstoourwebsiteandotherservicesissubjecttoreasonableusage.Excessiveusageoftheseservicesmaybetothedetrimentofothercustomers.IfatanytimetheParticipantconsidersacustomer’susagetobeunreasonable,theParticipantmaysuspend orrefuseaccesstoourservices.

Examplesofunreasonableuseinclude: (a) someexternalquoteproductsrefresh

pricequoteseveryfivesecondsduringasix-hourtradingday–thistypeofusagemaybeconsideredtobeunreasonable;and

(b) clientscallingexcessivelyforextensivepricequoteinformationonlycancauselengthydelaysforothertelephonecustomers.

Themonitoringofusageensurestheavailabilityofourfreeservicestoallcustomers.

14.2YouacknowledgethatYouhavereadandunderstoodtheParticipant’sFairGoPolicyinclause14.1.YouagreethatYouwillaccessandusetheTradingSiteinaccordancewiththeFairGoPolicy(as amendedfromtimetotime).Inparticular,byaccessingtheTradingSite Youagreeandacknowledgethat:

(a) allfreeaccesstotheTradingSiteandotherservicesissubjecttoreasonableusage;and

(b) ifatanytimetheParticipantinitsdiscretionconsidersacustomer’susagetobeunreasonable,theParticipantmaysuspendorrefuseaccesstoitsservices,includingthe TradingSite.

15.0 Severance15.1IfanypartofanyoftheseTermsand

Conditionsisfoundtobevoidorunenforceableforunfairnessoranyotherreason(forexample,ifacourtorothertribunalorauthoritydeclaresitso),theremainingpartsofthesetermsandconditionswillcontinuetoapplyasifthevoidorunenforceableparthadneverexisted.


1.0 DefinitionsTermswhicharedefinedinclause1.0oftheTermsandConditionsofOnlineAccesshavethesamemeaninginthesetermsandconditions.

TermswhicharedefinedintheASTCSettlementRuleshavethesamemeaninginthesetermsandconditions.

2.0 General2.1 Thesetermsandconditionsapplytoall

dealingsbetweenYouandtheParticipantandaresubjecttotheCorporationsAct(includingtheASICMarketIntegrityRules),therules,procedures,customs,usagesandpracticesoftheASXandtheASTCasamendedfromtimetotimeandinternationalanddomesticanti-moneylaunderingandcounter-terrorismlaws.

2.2 YouacknowledgethattheASXhasthepowertocancel,amendorrequirethecancellationoramendmentofmarkettransactionsorcrossingsandaccordinglyYouwillbeboundbyanydecisionrelatingtothecancellationoramendmentofamarkettransactionorcrossing.

2.3 EachdealingisalsosubjecttothetermsoftherelevantconfirmationissuedbytheParticipant,subjecttocorrectionoferrorsandomissions,andtheusualtradingguidelinesandpoliciesoftheParticipant.TherelevantconfirmationissubjecttoanyapplicablePrescribedRequirement,includingtheASXMarketRules,theASICMarketIntegrityRulesandtheCorporationsAct.

2.4 EachdealingconductedattheTradingSiteisalsosubjecttotheParticipant’sTermsandConditionsofOnlineAccesssetoutattheTradingSiteatthetimeofdealing,asamendedfromtimetotime.

2.5 IfYouaremorethanoneperson,thenallpersonsarejointlyandseverallyboundby thesetermsandconditions.

2.5AYouacknowledgeandagree: (a) Thatifyouorasignatoryappears

tobeaProscribedPerson,thentheParticipantmayimmediatelyrefusetoprocessorcompleteanytransactionordealingofyours;suspendtheprovisionofaproductorservicetoyou;refusetoallowortofacilitateanyofyourassets

heldbyustobeusedordealtwith;refusetomakeanyassetavailabletoyouortoanyotherProscribedPersonorentity;orterminatethesearrangementswithyou.The ParticipantwillbeundernoliabilitytoyouiftheParticipantdoesanyorallofthesethings.TheParticipant’srightsunderthisclauseareinadditiontoallotherrightswhichthe Participantmayhave.

(b) ThatiftheParticipantexercisesits rightsundersub-clause2.5A(a),youmustpaytheParticipantanydamages,losses,costsorexpensesthattheParticipantincursinrelationtoanyactiontakenundersub-clause 2.5A(a),includingwithoutlimitationadministrativecostsand/orcostsofsaleorpurchaseofanytransactionordealputinplaceforthepurposesofmeetingtheParticipant’sobligationsunderthese TermsandConditions.

2.6 YouacknowledgethattheParticipantreservestherighttorefuseanyapplicationtoopenasharetradingaccountintheParticipant’sabsolutediscretion.

2.7 YouacknowledgethattheParticipantreservestherighttoterminateorsuspendYourAccountatanytimewithoutpriornotice,if,forexample,wesuspectthat:






2.8 YouagreetoenterintoaCHESSorParticipantSponsorshipAgreementwith theParticipant.

2.9 YouagreetoopenandmaintainaCashAccount(whichincludesanyformof

moneymarketaccount)asapprovedbytheParticipantfromtimetotime.YouagreethattheParticipantisirrevocablyauthorisedbyYoutooperatethisaccount(includingwithdrawalofmonies)onYourbehalftomeetYourobligationsunderthesetermsandconditions.

YouacknowledgethatYourCashAccountissubjecttosuchfeesandchargeschargedbythebankorthefinancialinstitutionfromtimetotime.

2.9AYouagreeandacknowledgethatallproceedsofYour‘Sell’ordersaretobepaidintoYourCashAccountoranybankaccountnominatedandauthorisedbyYouinwritingfromtimetotime.YouirrevocablydirecttheParticipanttodeductfromYourCashAccountfromtimetotime,andtothemaximumextentpermittedbytheCorporationsAct,anyandallamountsowedbyYoutotheParticipantunderorinconnectionwiththesetermsandconditions,includingwithoutlimitationanyamountsduetotheParticipantinrespectofanycosts,fees,expenses,taxesorreimbursements.

2.10YouagreethattheParticipantmayatanytimeandinitsdiscretionrequireYoutotransfertoanewCashAccount(whichincludesanyformofmoneymarketaccount)nominatedorapprovedbytheParticipant.YouirrevocablyauthorisetheParticipanttodoeverythingnecessaryonYourbehalftoarrangeandeffectthetransfertoanynewCashAccount.YouagreethatuponrequestbytheParticipant,Youwilldoeverythingnecessarytoeffectanysuchtransfer.Youalsoagreethatthetermsofclause2.9andtherestofthisAgreementwillapplytoanynewCashAccountestablished.

2.11WedonotenterintotradeswithYouonourbehalf,butwemaytradewithYouonbehalfofoneofourrelatedbodiescorporate,ortocloseoutanerrorposition.

3.0 Security identification3.1 Youwillnominateaconfidential

3.2 YouandYourauthorisedrepresentative(s)aresolelyresponsiblefortheconfidentialityanduseofYourIndividualUsername.

YouwillnotifytheParticipantimmediatelyifYoubecomeawareofanylossortheftorunauthoriseduseofYourIndividualUsernameoranypartthereof.Aftersuchnotification,theParticipantshallassoonasreasonablypossibledisableaccesstoYourAccountforsuchIndividualUsernameandshallissueareplacementIndividualUsernameaccordingly.

3.3 TheParticipantisentitledtoassumethatanyinstructionreceivedcontainingalloranypartoftheIndividualUsernameoriginatesfromYouortheauthorisedrepresentativetowhomtheIndividualUsernameisassignedandthatsuchinstructionisavalidinstruction.TheParticipantisnotobligedtoinquireintothe validityofanysuchinstructionreceived.

3.4 TheParticipantdeemsthatthepersonusinganIndividualUsernameoranypartof itwhengivinginstructionsisthepersontowhomtheIndividualUsernameisassigned.

3.5 YouundertakenottorevealtheIndividualUsername,andnottoallowanyunauthorisedpersontoissueinstructionsonYourAccount.Youwillabidebythefollowing:– DonottellanyoneyourIndividual

UsernameorletanyonefindoutyourIndividualUsername–notevenfamilyorfriends.

– DonotletanyonewatchyouenteryourIndividualUsername.

– IfUsernamesareadvisedbyletteroremail,theParticipantsuggeststhattheybememorisedassoonastheletterisreceived.Thelettershouldthenbedestroyed.Thisisthe safest policy.

– MakeareasonableattempttodisguisetheIndividualUsernamein anyrecord–thatis,scramblethe detailsinsuchawaythatothers willnotbeabletodecode.

TheParticipantisnotliabletoreimburseyouifanunauthorisedtransactionoccursonyouraccountandyouoranyotheruserhavenotmadeareasonableattempttodisguiseanIndividualUsernameortopreventunauthorisedaccesstotheIndividualUsernamerecord.Forexample,theParticipantwillnotconsiderthatareasonableattempthasbeenmadetodisguiseanIndividualUsernameifyouor anyuseronly:– recordedtheIndividualUsername

– recordedtheIndividualUsernameasanumber,prefixedbyatelephoneareacode;

– recordedtheIndividualUsernamedisguisedasadate(eg9/6/63)wherenootherdatesarerecorded;

– recordedtheIndividualUsernamein aneasilyunderstoodcodeeg A=1, B=2etc;and

– self-selectedanIndividualUsernamewhichisanobviouswordornumberoronethatcanbefoundinapurseorwalletorcaneasilybeguessedbysomeoneelse(suchasadateofbirth,middlename,familymember’snameordriver’slicencenumber).

4.0 Your representations and warranties4.1 Youwarrantthatallinformationprovided

byYouonYourapplicationtoopenasharetradingaccountwiththeParticipant,orsuchotherinformationprovidedbyYoufromtimetotime,isaccurateandcomplete,andthattheParticipantmayrelyontheinformationprovidedbyYou.YouwillnotifytheParticipantinwritingwithinfiveBusinessDaysofanychangeintheinformationprovidedby You.

TheParticipantshallupdatesuchinformationontheParticipant’srecordsassoonasreasonablypossible.

4.2 Youacknowledgethat: (a) TheParticipantprovidesan

execution,clearingandsettlementserviceonlyanddoesnotgiveanyadviceorrecommendationinrelationtoYourdealings.

(b) TheParticipantdoesnotactonadiscretionarybasisonYourbehalf.

(c) YourelyonYourownjudgement,assessmentorevaluationinviewofYourfinancialsituation,investmentobjectivesandparticularneedsbeforeplacinganyorderwiththeParticipanttobuyorsellanyfinancialproductorgivinganyotherinstruction.

4.3 IfYouareatrusteeoranagent,Youareboundbythesetermsandconditionsasatrusteeoranagent,andpersonally.Youmustactinaccordancewiththetrustdeed,ifoneexists.IfYouareacorporation,thedirectorsarealsoboundbythesetermsandconditions.

4.4 YouwarrantthatYouhavethepowerand theauthoritytoagreetothesetermsandconditions,andtocarryoutYourobligationsunderthem.IfYouareacorporation,YouwarrantthatYouhold a validACN,ABNorARBN.

4.5 YouwarrantthatYouareandatalltimeswillbeinapositiontomeetallthe

commitmentsandobligationsarisingfrom YourdealingswiththeParticipant.

5.0 Instructions5.1 Wewillactonlywithintheparametersof

yourinstructions.5.2 TheParticipantreservestherightto

declinetoactonYourbehalforacceptYourinstructions:

(a) unlessYouhavedepositedinadvancewiththeParticipantsufficientclearedfundsinAustraliancurrencytocoverthefullvalueandcostsofany‘Buy’ordersandwhensuchfundsarethroughaforeignfinancialinstitution,bywayoftelegraphictransferonly;

(b) wheretheoriginalinstructionismorethan21calendardaysold;

(c) forwarrantsanddayonlyorders,onandfromthefollowingBusinessDayfromthedaytheorderorinstructionwasplaced;

(d) wherethesecurityorotherinvestmentmediumhasbeensubjecttoatradinghaltandYouhavenotreconfirmedYourinstructionafterthehalthasbeenlifted;

(e) whereYourinstructionsarebelievedbytheParticipanttobeunclear,ambiguousorincomplete;

(f) whereintheopinionoftheParticipant,Yourinstructionsbreachormaybreachanylaworstatutoryorotherregulatoryrequirements,includingwithoutlimitationanyrulesorregulationsoftheASX;

(g) wherethebasisofthequotationforthesecurityhaschangedandtheorderhasnotbeenreconfirmed;

(h) wheretheASXhaspurgedtheorderfromtheITS;

(i) wheretheParticipantbelievesthetransactionwouldresultinnochangeofbeneficialownership;or

(j) wheretheParticipantbelievesthetransactionwouldhavetheeffect,orislikelytohavetheeffect,ofcreatingafalseormisleadingappearanceofactivetradinginanysecuritiesorwithrespecttothemarketfor,or the priceof,anysecurities.

5.2ASellordersmaynotbeacceptedif: (a) thereareinsufficientunitsavailable

forsettlementinyourParticipantSponsoredHoldingssponsoredby us;or

(b) thereareinsufficientunitsavailableforsettlementinanIssuerSponsoredHoldingquotedbyYou;or

(c) aninvalidShareholderReferenceNumber(‘SRN’)forIssuerSponsoredstockissupplied;or

(d) morethanonevalidSRNforIssuerSponsoredstockissupplied; or


(e) ifstockisParticipantSponsoredbya brokerotherthanus.

5.3 YouauthorisetheParticipanttoacceptinstructionsonYourbehalffromYourauthorisedrepresentative(s)and YouconfirmthatYourauthorisedrepresentativehasthepowertodothe followinginYournameandonYour behalf fromtimetotime.

(a) togiveinstructionstotheParticipantrelatingtoYourAccount;

(b) toacquire,buy,dealwithanddisposeof anyfinancialproduct;

(c) topayorreceivepaymentforanyfinancialproducttransactionsandrelatedexpensesandtogivegoodreceiptanddischargeforthefinancialproduct,proceedsandother monies;

(d) toexecuteallnecessaryorpropercontractsandotherdocumentsforthecustody,dealingandtransferoffinancialproductandrelatedmatters; and

(e) toexerciseallrightsandprivilegesandperformalldutiesandobligationswhichmaynoworin futureapplytoYouasaholder of financialproduct.

5.4 YouagreetoratifyandconfirmallactionscarriedoutbytheParticipantontheinstructionsofYourauthorisedrepresentative(s).

5.5 WhenYouaremorethanoneperson,theParticipantmayacceptinstructionsfromoneormoreofYouonbehalfofallofYou.

5.6 Youareresponsibleforfraudulent,illegalorunauthoriseddealingsonYourAccountwhichareattributabletoYourconduct,andYoureleaseanddischargeusfromliabilityinthisregard.

5.7 TheParticipanthastherighttorequestwrittenconfirmationofinstructionsbeforeactingonanyinstructionsfromYouorYourauthorisedrepresentative(s).

5.8 TheParticipantmayassumetheauthenticityofanyinstructionsgivenorpurportedlygivenorally,inwritingorbyelectronicmeans(includinganyelectronicinstructionswhichincludealloranypartofYourUsername)byYouorYourauthorisedrepresentative(s),orthatanypersonclaimingtobeYourauthorisedrepresentativeisinfactthatperson.TheParticipantisnotobligedtoenquireintoanyofthemattersmentionedinthisconditionandYouauthorisetheParticipanttoactuponsuchinstructionsbelievedbytheParticipanttobeauthentic.

5.9 TheParticipantwilluseitsbestendeavourstoexecuteYourinstructionsorordersacceptedbytheParticipant,buttheParticipantwillnotguaranteethatYourinstructionswillbewhollyorpartiallyexecutedorwillbeexecutedby a certain time.

5.9ATheParticipantwillnotberesponsibleforanylossorliabilityincurredbyyou

wheretheParticipantdoesnotreceiveyourinstructionsorwhereanydealingorproposeddealingisinterrupted,unabletobecompletedorunabletotakeplaceduetothefailureofanytelephone,computer,otherelectronicortechnologicalserviceprovidedbyusorthirdparties.

5.9BTheParticipantwillnotberesponsibleforanylossorliabilityincurredbyyouwheretheParticipantisunabletoreceiveoractonyourinstructionsduetocircumstancesbeyondourreasonablecontrol,e.g.riotorcivildisturbance.

5.9CIfYoupurchaseon-marketaholdingofrightsforasecuritythatistradedseparatelytothesecurity,YouacknowledgethatwemayautomaticallyexercisethoserightsonYourbehalfunlessyoutellusnottoexercisethem.

5.9DIfyoupurchaserights,theconfirmationwesendyouwillrequestpaymentofthecostoftherightspurchasedtogetherwiththeapplicationmoney.Ifyoudon’tintendtoexerciseyourrights,youmusttellusbeforesettlementday.Ifyouelecttonotexerciseyourrightsandhavepaidustheapplicationmoney,youmusttellus atleastfiveBusinessDayspriortoexpiryandwe’llcredityouraccountwiththeexerciseamount.

Ifyoufailtoadviseus,wewillproceedtoexerciseyourrightsandyouwillbeissuedwiththerelevantshares.Wecanonlyexerciseyourrightswhereyouhaveprovideduswithsufficientclearedfunds.

5.10YouacknowledgethatYourordersmaybepurgedfromthemarketsubjecttotherules,procedures,customs,usagesandpracticesoftheASXwithoutnoticetoYou.YoufurtheracknowledgethattheParticipantisnotobligedtonotifyYouofanyorderswhicharepurgedfromthemarket,althoughtheParticipantwillmakeallreasonableendeavourstonotifyYouof such.TheParticipantisnotliableifYoudonotreceivenotificationinthisregard.AnorderthatiscancelledorpurgedbytheASXwillnotbereinstatedbytheParticipantwithoutinstructionsfromYou.

5.11YouauthoriseandappointtheParticipant,eachofitsdirectorsandeachofitsemployeesasYourattorneytoenterintoanycontractoragreementwithanotherpartyonYourbehalfuponreceivingYourinstructions(suchinstructionsmaybegivenbyYouelectronicallyandacceptedbytheParticipantinaccordancewithclause5.9)todoso.YouacknowledgethatallliabilityforsuchcontractsisYoursalone.YouwillindemnifytheParticipantagainstallloss,expenseoranyotherliabilityinrelationto suchcontractsor agreements.

5.12YouauthorisetheParticipanttorecordanytelephonecommunicationsbetweenYourself,YourauthorisedrepresentativesandtheParticipant,withorwithoutanaudibletone-warningdevice.Youacknowledgethatanyrecordingisthe

Participant’spropertyandthattheParticipantreservestherighttochargeyouacostrecoveryfeeforaccesstoarecording.Youshallrecordallrelevantdetailsofanyconversationyouhavewithus,includingthenameoftheoperatorandthedateandtimeofthecall,andyouacknowledgethattheParticipantwillaskyouforthisinformationwhenyouseekaccesstoarecording.

5.13Incaseofdispute,theParticipant’srecordsofelectronicortelephonecommunicationsorfacsimiletransmissionshallbeconclusiveevidenceofthedetailsofthecommunicationsbyemail,Internet,telephoneorfacsimile(asthecasemaybe)betweenYouandtheParticipant.

5.14IfYourequesttheParticipanttoprovideyouwithemailorSMSmessagealerts(‘Alerts’),YouagreetobeboundbytheTermsandConditionsforSubscriptions,PackagesandAlerts,whichcanbefoundontheonlineinvestingwebsite.

5.15YouacknowledgethatyouraccesstoAlertsdependsonfactorsoutsideourcontrol,includinganydisruption,failureor malfunctioninanypartoftheinternetorSMSnetwork.Accessmayalsobelimitedorunavailableduringperiodsofpeakdemand,systemsinterference,damageormaintenance,orforotherreasons.We acceptnoliabilityifanalertmessageis notsentornotreceivedforanyreason.

5.16ThefeesandchargesapplicabletoYouraccountcanbelocatedintheParticipant’sFinancialServicesGuideor ontheTradingSite.

5.17Whereyouhaveamarginlendingaccount,youacknowledgethatyouareliablefor:

(i) allsettlementobligationsirrespectiveofwhetheryourmarginlenderisabletodeliversufficientsecuritiesorfundstosatisfyyourobligations;

(ii) anyover-soldpositionsonyouraccount;and

(iii) paymentofmoniesowingonyouraccountirrespectiveofwhetherthemarginlenderwilladvanceyouthosemonies.

5.18YouacknowledgethattheParticipantisnotresponsibleformissedmarketopportunitiesduringthetimeittakestheParticipanttofollowitsinternalprocedures,e.g.openingaccounts,transferringParticipantSponsoredHoldings,confirmingyour identity.

5.19: (a) YouacknowledgethattheParticipant

willmakeallreasonableattemptstoenteryourinstructionstobuyorsellsecuritiesasquicklyaspossible.However,shoulddelaysbe experienced:

(i) inconnectionwiththenumberofParticipantsorpersonsattemptingto participateinthe marketatapointintime;

(ii) duetoverificationorauthorisationprocesses;or

(iii) duetodelaysresultingfromcall waitingtimeoradherenceto internalprocedures,

theParticipantwillnotbeliableforanyclaimsforlostopportunity.

(b) YouacknowledgethattheParticipantwillmakeallreasonableattemptstoeffectanyinstructionstocanceloramendordersasquicklyaspossible.However,shouldanorderbefilledpriortoacancellationoramendmentinstructionbeingeffected,youwillbeobligedtoacceptthetransaction(s)ontheoriginalterms.Whileallreasonableattemptswillbemadetoinformyouwhentheorderisfilledpriortoanamendmentorcancellationinstructionbeingeffected,theParticipantisnotobligedtodoso.

(c) Youacknowledgeandacceptthattheremaybedelaysinprocessingbetweenthetimeanamendmentorcancellationinstructionisdealtwithbyusandthetimetheamendmentorcancellationiseffectedon-market.Intheeventanorderisfilledbetweenthetimeithasbeen‘approved’bytheParticipantandthetimetheParticipanteffectstheinstructionon-market,youwillbeobligedtoacceptthetransactionontheoriginal terms.

(d) Ifyouareuncertainastowhetheryourorderhasbeenreceived,youwillmakeallreasonableattemptsto verifywhethertheorderhasbeenreceived,approvedandeffectedpriortotakinganyfurtheraction.You agreetoissuespecificcancellationoramendmentinstructionswithrespecttoanexistingorderandnottoattempttoeffectsuchchangesbyplacingasecondorduplicateorder.Youwillbesolelyresponsibleandliableforanyduplicateinstructionthatyouplace.

(e) YouacknowledgethattheParticipantisnotliabletoyouforanylossyouincurunderasharepurchaseplanduetoasellerorbuyerortheirbrokerfailingtocompleteatransactioninaccordancewiththerulesorproceduresofthemarket,theclearingfacilityorthesettlementfacility.

(f) Ifyoupurchaseon-marketaholdingofrightsforasecuritythatistradedseparatelytothesecurity,youacknowledgethattheParticipantautomaticallyexercisesthoserightsonyourbehalfunlessyoutelltheParticipant nottoexercisethem.

(g) Inthecourseofprocessingasellorderforasecurity,theParticipantmayremoveyourholdingofthesecurityfromtheregisterbeforethe

duedateforsettlementundertheASXMarketRules.

(h) If,initsreasonableopinion,theParticipantbelievesthereisadisputebetweenyouandtheParticipantaboutanorderorinstructionyouhavegiventheParticipant,forexample,thenumberofsharesyouhaveaskedtheParticipanttobuy,orthebidpriceforshares,theParticipantmaytake,withoutpriornoticetoyou,anyactionwhichinitsreasonableopiniontheParticipantconsidersnecessarytocloseanyopenpositionthesubjectofthedispute,forexample,bysellingshares.

(i) Youacknowledgethat,duetomarketconditions,theParticipantmaycompleteyourorderbymultiplemarkettransactionsandyouauthorisetheParticipanttoaccumulatethosetransactionsona singleconfirmationandspecifythe volumeweightedaveragepriceforthosemarkettransactions.

5.20YouacknowledgeandagreethatweareentitledtocancelorreverseadealingororderwithoutfurtherreferencetoyouwheretheASXhasrecommendedorrequiredcancellationorreversalformarketintegrityreasons,orwherethemarketwasoperatingunderanerror,orwherethecancellationorreversalispermittedundertheASXMarketRules.

5.21Youacknowledgeandagreethatallordersmustbesubmittedeither‘AtMarket’or‘AtLimit’.‘AtMarket’orderscannotbeacceptedoutsideofmarkethoursorwhentradinginaparticularstockishalted/suspended.

5.22Youacknowledgeandagreethata‘market’orderisanorderplacedateitherthebestbidpricewhensellingsharesoratthebestaskpricewhenbuyingshares.Ifthereisinsufficientvolumetofillyourorderquantity,thentheremainingportionwillremainonthemarketatthispriceasalimitorder.Whenplacingmarketorders,youneedtobeawarethatsomestockscanbevolatile,andthecurrentquotethatyouseemaybedifferentfromthepriceatwhichyourordertransacts.

5.23Youacknowledgeandagreethatan‘AtLimit’orderwillnotbeaccepted,withoutanyadvicetoyou,ifweconsiderthelimitpricetobetoofarawayfromtheprevailingmarketpriceofthatstock.

5.24YouacknowledgeandagreethatallOrderscanbeamendedorcancelledprovidedtheorderhasnotalreadybeen executed.

6.0 Straight-through processing6.1 TheParticipanthasprovidedYouwith

accesstoSTP.6.2 Youacknowledgethefollowinginrelation

toYouraccesstoSTP:

(a) anyordersplacedbyYouusingSTPwillneedtomeetfilterssetbytheParticipantfromtimetotime.TheParticipantmayamenditsfiltersfromtimetotimewithoutnotification.TheParticipantisnotrequiredtoinformYouwhatthefiltersare;

(b) thatitispossibleforanorderplacedbyYoutobematchedwithanotherorderalsoplacedbytheParticipant.This‘crossing’maybewithanorderbyanotherclientoftheParticipant.TheParticipantmayasaresultreceivebrokeragefrombothclients;

(c) thatSTPisonlyavailableon‘limit’ordersforsecuritieswithanormalstatus(i.e.notsuspendedorinatradinghalt)andisoperatedbetweenthehoursof9.30amand4pm(Sydneytime);

(d) ‘AtMarket’orderscanonlybeacceptedduringmarkethours(10am–4pm(Sydneytime)),insecuritieswithanormalstatus(i.e.notsuspendedorinatradinghalt).STPisavailableonmarketorders;

(e) IfYourorderdoesnotpassthefilters,thenitwillbereferredtoaDesignatedTradingRepresentative(‘DTR’)forevaluation.InsomecasestheDTRhastheauthoritynottoplacetheorderon-marketuntilYoubecomecontactabletoconfirmtheorder.TheParticipantisnotliableforanydelaysinplacingYourorderasaresultorforYourordernotbeingplacedatall;andthattheITSoperatingscheduledefinesthevariousphasesofITSandatwhattimetheyhappen.

Youareawarethatanimportantpointistheopeningphase,inwhichthemarketopeningtimesarestaggereddependingonthestartingletteroftheASXcode.ITSwillnotallowinputofordersduringtheseopeningtimes.Thescheduleintheappendixapproximatelydescribesthesevariousphases.

6.3 YouacknowledgethattheParticipant,astradingParticipant,mustensuretheconductofanorderlymarketandpreventmanipulativetrading,includinginsidertrading,falsetrading,marketriggingandsuspecttransactions.Therefore,inutilisingSTPYoushouldrealisethatanordermaybescrutinisedbyboththefiltersandaDTR.

6.4 YouacknowledgethattheParticipantisrequiredtopreventabid,offerordealingifanyclientintendstocreate,or takingintoaccountthecircumstancesoftheorder,theParticipantreasonablysuspectsthattheclienthasplacedtheorderwiththeintentionofcreatingafalseormisleadingappearanceofactivetradinginanyfinancialproductorwith


respecttothemarketfor,orthepriceof,anyfinancialproduct,ormarketriggingor manipulationorsuspecttransactions.

YouacknowledgeandagreethattheParticipantreservestherighttodeclinetoactonYourbehalforacceptYourinstructionsorprocessanyordersplacedthroughSTPwhere,intheopinionoftheParticipant,Yourinstructionsbreachormaybreachanylaworstatutoryorotherregulatoryrequirements(includingwithout limitationanyrulesorregulationsoftheASX).

6.5 TheParticipantreservestherighttoterminateYouraccesstoSTPatanytimeintheParticipant’sabsolutediscretion.If,forexample,YourAccounthashadfrequentfailedsettlements,orwesuspectthat:


(b) YouareaProscribedPerson;

(c) Youhaveattemptedmarketmanipulation;or

(d) Youhavecommittedfraudulent,illegalorunauthoriseddealingsonYourAccount.


7.0 Payments and indemnity7.1 YouwillpaytheParticipantbrokerage

feesandchargesasspecifiedbytheParticipantfromtimetotime;andreimbursetheParticipantforanyfees,taxes,consumptionorvalue-addedtax,stampdutyoranyotherchargesleviedinrelationtoeachtransaction.TheParticipantreservestherighttovarysuchfeesandcharges,andmethodofcharging,atanytimeandwithoutprior notice.

7.1AIfyousubscribetoaserviceforwhichwechargefeesinarrears,wewillchargethefeeonamonthlybasis.Wewilldebityouraccountattheendofeachcalendarmonth.Thefirstmonthwillbetheperiodfromthedatewhenyousubscribetotheendofthecalendarmonth.

7.2 Ifthegoodsandservicestax(‘GST’)hasapplicationtoanysupplymadebytheParticipantunderorinconnectionwithYourAccountwiththeParticipantunderthesetermsandconditions,theParticipantwill,inadditiontoanyamountorconsiderationpayableunderthesetermsandconditions,recoverfromYouanadditionalamountonaccountoftheapplicableGST.

7.3 YouagreethattheParticipantmayreceivecommissionsfromtheissuersoffinancialproductsorfromanyotherpartyarisingfromYouruseofYourAccount

andtheParticipantisnotobligedtorebatethesecommissionstoYou.IfyouhavebeenreferredtotheParticipantbyaReferrerfortheParticipanttoprovideYouwithtrading,settlement,clearingorotherservices,theParticipantmaypassupto100%ofthosecommissionstothe Referrer.

7.4 YouagreethattheParticipantmaypaycommissionsonbrokerage,andotherfeesandchargesreceivedbytheParticipantfromYoubasedontradesenteredintobyYou.

7.5 YouacknowledgethatYourordermaybematchedwithanorderorordersofanotherclientoftheParticipant.Ifthisoccurs,YouagreethattheParticipantmay receivebrokeragefrombothpartiestothetrade.

7.6 YouirrevocablyauthorisetheParticipanttoappropriateanypayments,remittancesorreceiptsfromYouorforYourAccountinsuchmannerandorderofpriorityastheParticipantdeemsfitagainstanyamountsowingbyYoutotheParticipantorarelatedentityoftheParticipant.

7.7 YouwillindemnifytheParticipant,itsdirectorsanditsemployeesagainstallactions,claims,demandsandproceedings,expensesandlosses(includinglegalcostsonasolicitorandclientbasis)reasonablyincurred,directlyorindirectlybytheParticipantasaresultofundertakingorexecutingYourinstructionsorordersoranyfailurebyYoutocomplywiththisAgreement,theCorporationsAct,theASICMarketIntegrityRules,theASXMarketRules,theASTCSettlementRules,andthecustoms,procedures,usagesorpracticesoftheASX,orYouruseofYourAccountwiththeParticipant.

7.8 Anyexpenses,costsordisbursementsreasonablyincurredbytheParticipantinrecoveringanyoutstandingmoniesfromYou,includingdebtcollectionagencyfeesandsolicitorscosts,shallbepaidbyYou.YouindemnifytheParticipantinrespectofallsuchexpenses,costsordisbursements.

7.9 TheParticipantisentitledtoretainanyfinancialproductoramountsduetoYoupendingpaymentofanyamountsduetotheParticipantandtosetoffamountsduetotheParticipantagainstamountsthattheParticipantholdsforYouinanyaccount.IfYoufailtomakepaymenttotheParticipant,theParticipanthasagenerallienoverandpowertosellorrealiseanyfinancialproducttheParticipantholdsforYou.

7.10IftheParticipantapprovesaTradingLimittobeappliedtoYouorYourAccount,YoumustensureYouhavesufficientclearedfundsinYourCashAccountatthetimeofthetransactiontosettleyourobligationstotheParticipantorarelatedpartyofthe Participant.

8.0 Failure to settle 8.1 IfyouhaveauthorisedtheParticipant

todirectdebitYourCashAccount,thetransferofclearedfundswilloccuronthedayofsettlementofthetransaction.Ifthedirectdebitfailsforanyreason,Youwillberequiredtoremitclearedfundsvia BPAY®.

8.2 IfYouhavenotauthorisedtheParticipanttodirectdebitYourCashAccount,Youwillberequiredtohaveclearedfundsavailablepriortoatransactionbeingallowedtoproceed.

8.3 IfYoufailtosettlebysettlementdateforanytransactionarisingfromYourinstructions,YouagreetopaytotheParticipantondemandinterestonanyoutstandingamountarisingfromthefailureatarateequalto5%abovetheWestpacBankingCorporationOverdraftIndexratecalculateddailyfromtheduedatetothedateofpayment.

Youalsoagreetopayanyfailfeesarisingfromthefailuretosettle.

8.4 If,bythesettlementdate,YouhavenotmadefullpaymentsforYourpurchasesorgooddeliveryforYoursales,andademandforpaymenthasbeenmade,thenYouauthorisetheParticipanttosellorbuybackonYourbehalfatYourriskandexpense(includingwithoutlimitation,brokerage,stampdutyandothercosts)anyfinancialproductthatisthesubjectoftheconfirmationoranyfinancialproductoutstandinginYourAccountoranyofYourfinancialproductsintheParticipant’scontrolorpossession(except,ineachcase,sharesintheCommonwealthBankofAustralia)andapplytheproceedsinreductionofYourliabilitytotheParticipantandYouirrevocablyauthorisetheParticipant,eachofitsdirectorsandeachofitsemployeesasYourattorneyto giveinstructionsaccordingly.

8.5 TheParticipantreservestherighttoreduceorremoveanyTradingLimitifsuchTradingLimitappliestoYouorYour Account.

8.6 IfYoufailtosettleanytransactionsbythe settlementdate,anyTradingLimitthatmayapplytoYouorYourAccountmaybedowngradedorremovedatthediscretionoftheParticipant.

9.0 Other authorities and acknowledgements

9.1 YouauthorisetheParticipanttoprovideinformationaboutYoutoanyofitsrelatedbodiescorporate(asdefinedintheCorporationsAct)andtheirrespectiveofficersandemployees(foraccountingandotherpurposes,includingmarketingfurtherservicestoyou).IfyouhavebeenreferredtotheParticipantbyaReferrerfortheParticipanttoprovideYouwithtrading,settlement,clearingorotherservices,YoualsoauthorisetheParticipanttosupplyinformationaboutYou(thatthe

Participantmaycollectorholdfromtimetotime)totheReferreranditsrelatedbodiescorporate.Theinformationmayinclude,butisnotlimitedto,detailsofordersplacedandtradesenteredintobyYou,othertransactionsconductedbyYouthroughor inconnectionwiththeTradingSite,and otherinformationconcerningYouthattheParticipantmayreceivefromYouruseoftheTradingSiteoranyassociatedwebsite,butexcludingsecuritydetails.YouauthorisetheReferreranditsrelatedbodiescorporatetouseYourinformationtocalculateanycommissionsduetoitfromtheParticipantbasedontradesandservicesenteredintobyYouandtouseYourinformationinmarketingfurtherservicestoYou.

9.2 YouauthorisetheParticipantorReferrertoprovideinformationaboutYouandYourtransactionstoASX,ASTC,ASICand otherregulatorsasrequiredbyanyof themfromtimetotime.

9.3 YouauthorisetheParticipanttoproviderelevantinformationaboutYoutoacredit-reportingagencyinrelationtothe establishmentofYourAccountandinrelationtotherecoveryofanyoverdue payments.

9.4 Youconfirmeither: (a) youhavereadyaccesstothe

internet,andconsenttoreceivingtheParticipant’sandWestpacSecurities’FinancialServicesGuidesthroughtheTradingSiteorbyemail;or

(b) youhaveotherwisereceivedtheseFinancialServicesGuidesinpersonorbypost,faxoremail.

Ineithercase,YoufurtheracknowledgethatYouwillhavereadandunderstoodthoseFinancialServicesGuidescontainedontheTradingSitepriortoreceivinganyfinancialservicefromtheReferrerandParticipantandpriortomakinganydecisiontoinvest.YoumaycontactusatanytimetorequestacopyofthoseFinancialServicesGuidesbesenttoyoubypost,faxoremail.

9.5 YouacknowledgethatYouhavereadandunderstoodtheParticipant’sprivacypolicyandtheWestpacSecuritiesprivacypolicycontainedontheTradingSite.ByconductingatradethroughtheTradingSite,YouagreeandacknowledgethattheParticipantandWestpacSecuritiesmayexchangeanddealwithYourinformationinaccordancewiththeirrespectiveprivacypolicy(as amended fromtimetotime).

9.6 YouacknowledgethatYouhavereadandunderstoodtheParticipant’s‘FairGoPolicy’inclause14.0oftheOnlineAccessTermsandConditions.YouagreethatYouwillaccessandusetheTradingSiteinaccordancewiththeFairGoPolicy(asamendedfromtimetotime).In particular,byaccessingtheTrading

Site Youagreeandacknowledgethat: (a) allfreeaccesstotheTradingSite

andotherservicesissubjecttoreasonableusage;and

(b) ifatanytimetheParticipantinitsdiscretionconsidersacustomer’susagetobeunreasonable,theParticipantmaysuspendorrefuseaccesstoitsservices,includingthe TradingSite.

9.7 IfYouwishtodealinWarrants,Youagree that:

(a) YouhavereceivedandreadacopyoftheexplanatorybookletissuedbytheAustralianSecuritiesExchangeLimited(theASX)inrespectofWarrants.

(b) YouareawarethataWarranthasalimitedlifeandcannotbetradedafteritsexpirydate.

(c) YouareawarethatWarrantsdonothavestandardisedTermsofIssueandacknowledgethatitisYourresponsibilitytobecomeawareoftheTermsofIssueofanyWarrantin whichYouchoosetoinvest.

(d) YouareawarethatWarrantsmaybe subjecttoadjustmentsaftertheirinitialissue.YouacknowledgethatitisYourresponsibilitytobecomeawareofanyadjustmentswhichmayhavebeenmadetoanyWarrantinwhichYouchoosetoinvest.

(e) YouareawarethatadmissiontoTradingStatusofaWarrantdoesnotimplythattheASXortheSecuritiesExchangesGuaranteeCorporationsLimitedgivesanyguaranteeorwarrantyastotheviabilityoftheWarrant-IssuerorGuarantor;YouacknowledgethatfailureoftheWarrant-IssuerortheGuarantor(if applicable)tofulfiltheirobligationsdoesnotgiverisetoclaimagainstASX,handlingMarketParticipantsortheSecuritiesExchangesGuaranteeCorporationsLimited.

(f) YouacknowledgethataWarrantAgreementFormisrequiredtobecompletedandsignedasaprerequisitetotradinginWarrants.

10.0 Liability10.1Youacknowledgethatthesystemsused

inthemarketorattheParticipantarevulnerabletodisruptionsorfailure,whichmayresultinYourordernotbeingexecutedordelayedaccordingtoYourinstructions.YoureleasetheParticipantfromanyloss,damageorliabilitythatYoumaysufferorincurbyreasonoforinconnectionwithany suchdisruptionor failure.

10.2Tothemaximumextentpermittedbylaw,YouacknowledgethattheParticipantwillnotbeliabletoYouoranyoneelseforanylossordamage,whetherdirectorindirect,special,incidentalorconsequentialoreconomic(includinglossofprofits),

whetherornottheParticipantkneworcouldhaveknownofthepossibilityofsuchdamage,wherethatdamagearises from:

(a) delay,interruption,omission,failure,errororfaultintheexecutionofYourinstructions;

(b) delayintheexecutionofYourinstructionsarisingfromareviewofYourinstructionsbytheParticipant;

(c) anyerror,omissions,non-receiptorinvalidityinYourinstructions;

(d) anyfault,error,defectorengineeringoftheTradingSiteortheParticipant’scomputersystems,oranydelay,fault,failureinorlossofaccesstotheTradingSite;and

(e) anycausebeyondthereasonablecontroloftheParticipant,including,butnotlimitedto,failureofelectronicormechanicalequipmentorcommunicationlines,unauthorisedaccessorlabourproblems.

10.3Nothinginsub-clauses10.1,10.2and10.4shallexcludeanyimpliedconditionorwarrantyforyourbenefittheexclusionofwhichwouldcontraveneanystatuteorcauseanypartofthesetermsandconditionstobevoidorinvalid.

10.4Tothemaximumextentthatliabilitycanbelimited,YouagreethattheParticipant’sliabilityislimitedtothecost ofresupplyingitsservices.

11.0 Variation and termination11.1YoumayterminateYourAccountby

givingnotlessthanfiveBusinessDayswrittennoticetotheParticipant,subjecttoalloutstandingobligationsbeingdulydischarged.

11.2IfyouuseaWestpacCashInvestmentAccountforsettlementofsecuritiesandpaymentforservicesandyouchosetoterminateYourAccountinaccordancewithclause11.1,youagreetocloseyourWestpacCashInvestmentAccountpriortoterminatingYourAccount.

11.3YouacknowledgethatifyouceasetouseeitherWestpacCashInvestmentAccountoraWestpacDIYSuperWorkingAccountfor thesettlementofsecuritiesorpaymentforServices,thediscountedbrokeragerateasspecifiedbytheParticipantfromtimetotimewillnolongerapplytoYourAccount.

11.4TheParticipantmayterminateYourAccountatanytimeandwithoutpriornotice,subjecttoalloutstandingobligationsbeingfullydischarged.

11.5TheParticipantreservestherighttovarythesetermsandconditionsandtheservicestowhichtheyrelateto:





(d) correcterrors,inconsistencies,inadvertentomissions,inaccuraciesor ambiguities;





AnysuchvariationshallapplytoalldealingsbetweenYouandtheParticipantonandfromthedayonwhichthevariationtakeseffect.

IftheParticipantvariestheseterms,conditionsand/orservices,theParticipantwillgivenotlessthanseven(7)daysnoticetoyouatthepostalorelectronicaddresslastnotifiedtotheParticipantbyyou,orattheParticipant’swebsite.

Also,theParticipantmayuseourIVRfacilitytonotifyyouofamendment(s),andprovideinformationaboutwhereyoucanaccessfulldetailsoftheamendment(s).

11.6However,theParticipantdoesnotneedtogiveYouadvancenoticewhereanyvariationofthesetermsandconditionsisrequiredtocomplywithaprescribedrequirementorisnecessitatedbyanimmediateneedtorestoreormaintainthesecurityofthesystemor individual accounts.

11.7YoumaybynoticerequestthatwenovatetheseConditions,includinganyconditionsforotherserviceswhichweprovidetoyou(‘theseConditions’)toanotherServiceProvider(‘NewCompany’)andtheseConditionswillbetakentohavebeennovatedtotheNewCompanyandwillbebindingonallpartiesasif,onthedatespecifiedinthenotice:

(a) theNewCompanyisapartytotheseConditionsinsubstitutionforus;

(b) anyofourrightsaretransferredtotheNewCompany;and

(c) youreleaseusfromanyobligationsarisingonorafterthedatespecifiedinthenotice.

11.8Wewillactinrelationtoanylawfuldirectiongivenbyyoutoustotransferto theNewCompany(orsuchotherplaceyoudirect)anymoneyorpropertyweholdonyourbehalf.

12.0 Notice12.1Anynoticegiven,ordemandmade,by

theParticipantmaybemadebyfacsimile,bypostorbyemailtothelastnotifiedaddress,facsimilenumberoremailaddressasthecasemaybe.Suchnoticeordemandshallbedeemedtohavebeenreceived:

(a) ifgivenbypost,willbedeemedtohavebeenreceivedonthethirdBusinessDayfollowingposting;

(b) ifgivenbyfacsimile,willbedeemedtohavebeenreceiveduponproductionofatransmissionreportbythemachinefromwhichthefacsimilewassentwhichindicatesthatthefacsimilewassentinitsentiretytothefacsimilenumberof therecipient;

(c) whensentbyemail,onehouraftertheParticipantsendsit;and

(d) ifgiventousbyemail,willbedeemedtohavebeenreceiveduponbeingopenedby us.

12.2TheParticipantatitsdiscretionmaysendanyconfirmationinrelationtoany transactiononYourbehalfby:

(i) pre-paidposttoYourlastnotifiedaddress.SuchconfirmationshallbedeemedtohavebeenreceivedontheBusinessDayfollowingposting;or

(ii) email,facsimiletransmissionorelectronicdatainterchange(includingovertheWorldWideWeb)toYourlastnotifiedemailaddressorfacsimilenumberwhensuchaddressornumberisprovidedbyYou.YouacknowledgethatYouconsenttoreceivingYourconfirmationsbysuch electroniccommunication.

YoufurtheracknowledgethattheconditionssetoutinASXMarketRules8.9applytosuchconfirmations.AnyconfirmationsenttoYoubysuchelectroniccommunicationshallbedeemedtobereceivedonthedayit was sent.

13.0 Dispute resolution13.1AnydisputesbetweenYouandthe

14.0 Applicable law14.1ThisAgreementissubjecttothelaws

oftheStateofNewSouthWales,andthepartiesagreetosubmittothenon-exclusivejurisdictionofthecourtsofNewSouthWales,buttheParticipantmaycommenceproceedingsinanothercompetentjurisdiction.

15.0 Guarantee and indemnity15.1Ifyouareabodycorporate,you

acknowledgethatwereservetherighttorequestaguaranteefromalloranyoneofyourdirectorsinsuchformaswemayreasonablyrequirerelatingtoyourobligationsunderthesearrangements.

16.0 Anti-Money Laundering and Counter-Terrorism Financing Act 2006

16.1TheParticipantandtheReferrer(inthisclause16.0,‘we’,‘us’or‘our’)areboundbylawsrelatingtothepreventionofmoneylaunderingandthefinancingofterrorism,includingtheAnti-Money Laundering and Counter-Terrorism Financing Act 2006andtheAnti-MoneyLaunderingandCounter-TerrorismFinancingRulesInstruments(AML/CTFlaws)andhaveadoptedanAML/CTFprograminaccordancewiththerequirementsoftheAML/CTFlawsandthevariousguidelinesandpublicationsproducedbytheAustralianTransactionReportsandAnalysisCentre(theAML/CTF Programs).

16.2YoucannotopenasharetradingaccountunlessYouhaveprovidedsufficientidentificationandthatidentificationhasbeenverifiedinaccordancewiththeAML/CTFProgramandAML/CTFlaws.

16.3Byopeningandusingasharetradingaccount,Youagreethat:

(a) YoudonotacquiretheServiceunderanassumedname;

(b) anyproductsorservicesprovided,subjecttothesetermsandconditions,willnotbeusedinrelationtoanycriminalactivitiesoranyactivitieswhichbreachlawsorsanctions;

(c) ifweask,YouwillprovideuswithadditionalinformationwereasonablyrequireforthepurposesofAML/CTFlaws;

(d) wemayobtaininformationaboutyoufromthirdpartiesifwebelievethisisnecessarytocomplywithAML/CTFlaws;

(e) wemaydiscloseinformationwhichtheyholdaboutYouorYourconducttoourrelatedbodiescorporate;

(f) inordertocomplywithAML/CTFlaws,wemayberequiredtotakeaction,including:

(i) delayingorrefusingarequestforproductsorservices;or

(ii) monitoringYourconductinrelationtotheprovisionoftheproductorservices;or

(g) wemaydiscloseinformationthatweholdaboutYouorYourconducttoourserviceproviders,relevantregulatorsofAML/CTFlaws,orotherparties(whetherinoroutsideofAustralia),includingusandourrelatedbodiescorporate,andifwedosowemaybeobligedunderAML/CTFlawsnottoinformYouofthis;and

(h) wearenotliableforanyloss,claim,liabilityorexpenseYousufferorincur(includingconsequentialloss)asaresultofustakinganyactionreferredtoaboveandYouindemnifyusforanyloss,claim,liabilityorexpensewemaysufferorincur(includingconsequentialloss)fromexercisinganyrightunderthisclauseorfromanybreachbyYouofyouragreementinthisclause.

(a) thesecuritygoingex-dividend; (b) thesecuritybeingsubjecttoa

reconstructionofcapitalsuchasa sharesplitorconsolidation;or

(c) arightsissue.18. YoumayvaryorcancelaConditionalOrder

Instruction.Whenyoudo,wemayacceptorrejectitand,indoingso,weareentitledtorelyonthesetermsandconditionsasifthevariationorcancellationisanewConditionalOrderInstruction.

19. Wereservetherighttochargeafeefora cancellationorvariation.

20. YoumustapplytoustoreinstateaConditionalOrderInstructionafterithasbeencancelled.Whenyouapply,wewillapplyourrulesandpoliciesforacceptinganeworvariedConditionalOrderInstruction.Wemaychargeafeeforthereinstatement.

triggeredwhentheTriggerforthesecurity occurs.

22. WhentheConditionalOrderInstructionistriggered,weplaceanorderforthesecurityonthemarketatapricenotbelowtheLimit,inthecaseofasaleorder,andatapricenotgreaterthanthe Limitinthecaseofapurchaseorder.

23. Iftheorderistriggeredbyeventsasaresultoftheclosingpriceauction,theordermaybeplacedonthe marketthefollowingday,duringthe pre-open.

24. AConditionalOrderInstructionwillnotbetriggeredbynotionalvaluesorindicative prices.

25. WeplaceaConditionalOrderInstructionaccordingtothetimeprecedenceoftheConditionalOrderInstruction,butwecannotguaranteetheorderinwhichitis placedontothemarket.

26. Intheeventofsystemfailureormalfunction,wemaynothaveplacedordersinaccordancewiththeConditionalOrderInstruction.Uponresumptionfromanoutage,thesystemwillnotactoneventsthatoccurredduringthesystemfailureormalfunction.

27. Theplacementofanorderonthemarketdoesnotguaranteethattheorderwillbe filled.

28. Theorderremainsonthemarketinaccordancewiththetermsandconditions ofourShareTradingAccount.

29. WeuseourbestendeavourstoplaceanorderonthemarketfollowingaConditionalOrderInstructionbeingtriggered.However,wereservetherighttoreviewanorderthatresultsfromatriggeredConditionalOrderInstructionandtorefusetoplacethatorderonthemarket,forexampleifweconsiderthatplacingtheorderwouldnotbeconsistentwithafairandorderlymarket.Also,itmightnotbepossibleforustoplaceanorderonthemarket,forexample:

(a) wherethebasisforquotationforthesecurityhaschangedandyouhavenotvariedyourConditionalOrderInstruction;

(d) wherewebelievethattheinstructioncontravenesthesetermsorconditionsorthetermsandconditionsofourShareTradingAccount;or

(e) whereactingontheorderisinconsistentwithourlegalobligationsinrespectofthemaintenanceofanorderlymarket.

Also,wemayuseourIVRfacilitytonotifyyouofamendment(s),andprovideinformationaboutwhereyoucanaccessfulldetailsoftheamendment(s).

35. Yourobligationstousunderthisagreementareinadditiontoyourobligationstousunder:

(a) ourTermsandConditionsofOnlineAccess;

(b) rulesofCHESSsponsorship;and (c) theTermsandConditionsofour

ShareTradingAccount. Anorderthatisplacedpursuanttoa

ConditionalOrderInstructionissubjectto: (a) ourTermsandConditionsof

Online Access; (b) theTermsandConditionsofour

ShareTradingAccount;and (c) rulesofCHESSsponsorship.36. YouagreetouseConditionalOrder

Instructionsonlyinconnectionwithyourpersonalinvestmentactivities,andnotuseConditionalOrderInstructionsinconnectionwithanybusinessactivitiesortoholdormonitorsecuritytradingforanotherperson.

37. Youindemnifyusandreleaseusfromanyliabilityforlossordamage(includingconsequentialloss,lossofprofitandeconomicloss):

(a) thatweincurasaresultofyouruseoftheConditionalOrderInstructioninbreachofthesetermsandconditions,orinamanner,orforapurpose,notreasonablycontemplatedbyus;

(b) yousufferasaresultofdelaysinexecutingordersfollowingatriggeredConditionalOrderInstruction;

(c) yousufferasaresultofsystemfailure;and

(d) yousufferasaresultofatriggeredConditionalOrderInstructionnotbeingexecuteduponsubmissionto themarket.

38. Thesetermsandconditionsaresubjectto thelawsofNewSouthWales.

39. Ifthereismorethanoneaccountholder,orthereismorethanoneownerofaholding,yourepresenttousthatallaccountholdersandownersoftheholdinghaveread,andunderstood,andthattheyaccept:

2.0 Appointment2.1 TheParticipantSponsoredHolder

appointstheParticipanttoprovide,andtheParticipantagreestoprovide,transferandsettlementservicesasagentfortheParticipantSponsoredHolderinrelationtoSponsoredHoldingsonthetermsandconditionscontainedinthisAgreement.

3.0 Participant Rights3.1 WheretheParticipantSponsoredHolder

authorisestheParticipanttobuyfinancialproducts,theParticipantSponsoredHolderwillpayforthosefinancialproductswithinthreeBusinessDaysofthedateofpurchase.TheParticipantmayrequirepaymentoradepositbeforeitexecutestheParticipantSponsoredHolder’sinstructionstobuyfinancialproducts.

3.2 Subjecttoclause3.3,theParticipantisnotobligedtotransferfinancialproductsintotheParticipantSponsoredHolding,wherepaymentforthosefinancialproductshasnotbeenreceived,untilpaymentisreceived.

3.3 Whereacontractforthepurchaseoffinancialproductsremainsunpaid,aftertheParticipanthasmadeademandoftheParticipantSponsoredHoldertopayforthefinancialproducts,theParticipantmaysellthosefinancialproductsthatarethesubjectofthatcontractattheParticipantSponsoredHolder’sriskandexpenseandthatexpenseshallincludebrokerage,andstampdutyandanyothercostsincurredbytheParticipant.

3.4 WheretheParticipantclaimsthatanamountlawfullyowedtoithasnotbeenpaidbytheParticipantSponsoredHolder,theParticipanthastherighttorefusetocomplywiththeParticipantSponsoredHolder’sWithdrawalInstructions,butonlytotheextentnecessarytoretainfinancialproductsoftheminimumvalueheldinaParticipantSponsoredHolding(wheretheminimumvalueisequalto120%ofthecurrentmarketvalueoftheamount claimed).

4.0 Participant Sponsored Holder’s Rights4.1 SubjecttoClauses3.3and3.4

andRules 7.2.2(e)and7.2.2(f),theParticipantwillinitiateanytransfer,conversionorotheractionnecessarytogiveeffecttoWithdrawalInstructionswithintwoBusinessDaysofthedateofthereceiptoftheWithdrawalInstructions.

4.2 TheParticipantwillnotinitiateanytransferorconversionintooroutoftheParticipantSponsoredHoldingwithouttheexpressauthorityoftheParticipantSponsoredHolder.

4.3 TheParticipantisanAustralianFinancialServicesLicenseeandthereforeregulatedbytheAustralianSecurities&InvestmentsCommission(‘ASIC’)andsubjecttotheregulationsimposedbyASIC.Inaddition,asaParticipantoftheASXGroup,theParticipantisboundbytheASXMarketRules,ASTCSettlementRules,ACHClearingRulesandassociatedprocedures.TheParticipantSponsoredHoldercanobtainfurtherinformationastothestatusoftheParticipantfromeitherASIC,ASX,ASTCorACH.

4.4 TheParticipantSponsoredHoldermaylodgeacomplaintagainsttheParticipantwitheithertheASX,ASTC,ACHorFinancialOmbudsmanServiceasaresultofanycontraventionofthisagreement.AnyclaimforcompensationcanbelodgedwiththeNationalGuaranteeFundwhichoperatesasacompensationarrangementforinvestorswhomaysufferlossinthecircumstancesspecifiedunderPart7.5,Division4oftheCorporationsRegulationsinrelationtoequitiesandwarrantsandexchangetradedoptions.

5.0 Supply of Information5.1 TheParticipantSponsoredHoldershall

supplyallinformationandsupportingdocumentationthatisreasonablyrequiredtopermittheParticipanttocomplywiththeregistrationrequirements,asareinforcefromtimetotime,undertheASTCSettlementRules.

6.0 Exchange Traded Options, Pledging and Sub-positions

6.1 WheretheParticipantSponsoredHolderarrangeswithACHtolodgefinancialproductsinaParticipantSponsoredHoldingascoverforwrittenpositionsintheAustralianOptionsMarket,andinformstheParticipantofthearrangement,theParticipantSponsoredHolderauthorisestheParticipanttotakewhateveractionisreasonablyrequiredbyACHinaccordancewiththeRulestogiveeffecttothatarrangement.

6.2 WheretheParticipantSponsoredHolderarrangeswithanypersontogiveachargeoranyotherinterestinthefinancialproductsinaParticipantSponsoredHolding,theParticipantSponsoredHolderauthorisestheParticipanttotakewhateveractionisreasonablyrequiredbythepersoninaccordancewiththeRulestogiveeffecttothatarrangement.

6.3 TheParticipantSponsoredHolderacknowledgesthatwhere,inaccordancewiththisAgreementand/ortheParticipantSponsoredHolder’sinstructions,theParticipantinitiatesanyactionwhichhastheeffectofcreatingasub-positionoverfinancialproductsintheParticipantSponsoredHolding,therightoftheParticipantSponsoredHoldertotransfer,convertorotherwisedealwiththosefinancialproductsisrestrictedinaccordancewith thetermsoftheRulesrelatingtosub-positions.

6.4 NothinginthisAgreementoperatestooverrideanyinterestofACHinthefinancialproducts.

7.0 Fees7.1 TheParticipantSponsoredHoldershall

payallBrokeragefeesandassociatedtransactionalcostswithintheperiodprescribedbytheParticipant.TheapplicablefeesandchargescanbelocatedintheParticipant’sFinancialServicesGuide.

8.0 Notifications and Acknowledgements8.1 TheParticipantSponsoredHolder

acknowledgesthatiftheParticipantisnotaMarketParticipantofASX,thatneitherASX,noraRelatedPartyofASX,hasanyresponsibilityforsupervisingorregulatingtherelationshipbetweentheParticipantSponsoredHolderandtheParticipant,otherthaninrelationtotheRulesrelatingtoSponsorshipAgreements.

8.2 TheParticipantSponsoredHolderacknowledgesthatifatransferistakentobeeffectedbytheParticipantunderSection9oftheASTCSettlementRulesandtheSourceHoldingforthetransferisaParticipantSponsoredHoldingundertheSponsorshipAgreement,then:

(a) theParticipantSponsoredHoldermaynotassertorclaimagainstASTCortherelevantIssuerthatthetransferwasnotaffectedbytheSponsoringParticipantorthattheSponsoringParticipantwasnotauthorisedbytheParticipantSponsoredHolderto effectthetransfer;and

(b) unlessthetransferisalsotakentohavebeeneffectedbyaMarketParticipantofASXoraClearingParticipantofACH,theParticipantSponsoredHolderhasnoclaimarisingoutofthetransferagainstthe NationalGuaranteeFundunderPart7.5,Division4oftheCorporationsRegulations.

8.3 IntheeventthattheParticipantbreachesanyoftheprovisionsofthisAgreement,theParticipantSponsoredHoldermayreferthatbreachtoanyregulatoryauthority,includingASTC.

8.4 IntheeventthattheParticipantissuspendedfromtheSettlementFacility,subjecttotheassertionofaninterestinfinancialproductscontrolledbytheParticipantwheretheassertionismade,by eitheraliquidator,receiver,administratorortrusteeofthatParticipant:

(a) theParticipantSponsoredHolderhastheright,within20BusinessDaysofASTCgivingnoticeofsuspension,togivenoticetoASTCrequestingthatanyParticipantSponsoredHoldingsberemovedeither:

(i) fromtheCHESSSubregister;or (ii) fromthecontrolofthe

suspendedParticipanttothecontrolofanotherParticipantwithwhomtheyhaveenteredintoavalidSponsorshipAgreementpursuanttoRule 12.19.10;or

(b) wheretheParticipantSponsoredHolderdoesnotgivenoticeunderclause8.4(a),ASTCmayeffectachangeofControllingParticipantunderRule12.19.11andtheParticipantSponsoredHolderwillbedeemedtohaveenteredintoanewSponsorshipAgreementwiththesubstituteParticipantonthesametermsastheexistingSponsorshipAgreement.WhereaParticipantSponsoredHolderisdeemedtohaveenteredintoaSponsorshipAgreement,theParticipantmustenterintoaSponsorshipAgreementwiththeParticipantSponsoredHolderwithintenBusinessDaysofthechangeofControllingParticipant.

8.5 TheParticipantSponsoredHolderacknowledgesthatbeforetheParticipantSponsoredHolderexecutedtheAgreement,theParticipantprovidedtheParticipantSponsoredHolderwithanexplanationoftheeffectoftheSponsorshipAgreementto theParticipantSponsoredHolderandthe ParticipantSponsoredHolderunderstandstheeffect oftheAgreement.

8.6 TheParticipantSponsoredHolderacknowledgesthatintheeventofthedeathorbankruptcyoftheParticipantSponsoredHolder,aHolderRecordLockwillbeappliedtoallParticipantSponsoredHoldingsinaccordancewithRules 8.15.8to8.15.11,unlesstheParticipantSponsoredHolder’slegallyappointedrepresentativeortrusteeelectstoremovetheParticipantSponsoredHoldingsfromtheCHESSSub-register.

8.7 TheParticipantSponsoredHolderacknowledgesthatintheeventofthedeathoftheParticipantSponsoredHolder,thisSponsorshipAgreementisdeemedtoremaininoperation,inrespectofthelegallyappointedrepresentativeauthorisedtoadministertheParticipantSponsoredHolder’sestate,foraperiodofuptothreecalendarmonthssubsequenttotheremovaloftheHolderRecordLockpursuanttoclause 8.16.3,unlesstheParticipantSponsoredHolder’slegallyappointedrepresentativeelectstoremovetheParticipantSponsoredHoldingsfromthe CHESSSubregister.

8.8 (Joint Holdings Only) TheParticipantSponsoredHolder

acknowledgesthatintheeventofthedeathofajointParticipantSponsoredHolder,allHoldingsunderthejointHolderRecordmustbetransferredintonewHoldingsunderanewHolderRecordinthenameofthesurvivingParticipantSponsoredHolder,andtheSponsorshipAgreementremainsvalidforthenewHoldingsunderthenewHolderRecord.

8.9 (Joint Holdings Only) TheParticipantSponsoredHolder

acknowledgeswheretheSponsorshipAgreementisinrespectofajointParticipantSponsoredHolding,intheeventoftheBankruptcyofoneoftheHolders,theControllingParticipantwill:

(a) unlessthelegallyappointedrepresentativeofthebankruptParticipantSponsoredHolderelectstoremovetheHoldingsfromtheCHESSSubregister,establishanewHolderRecordinthenameofthebankruptParticipantSponsoredHolder,transfertheinterestofthebankruptParticipantSponsoredHolderintonewHoldingsunderthenewHolderRecordandrequestthatASTCapplyaHolderRecordLocktoallHoldingsunderthat HolderRecord;and


(b) establishanewHolderRecordinthename(s)oftheremainingParticipantSponsoredHolder(s)andtransfertheinterestoftheremainingParticipantSponsoredHolder(s)intonewHoldingsunderthenewHolder Record.

9.0 Change Of Controlling Participant9.1 IftheParticipantSponsoredHolder

receivesaParticipantChangeNoticefromtheControllingParticipantoftheParticipantSponsoredHoldingandtheParticipantChangeNoticewasreceivedatleast20BusinessDayspriortothedateproposedintheParticipantChangeNoticeforthechangeofControllingParticipant,theParticipantSponsoredHolderisundernoobligationtoagreetothechangeofControllingParticipant,andmaychoosetodoanyofthethingssetoutinclauses9.2or9.3.

9.2 TheParticipantSponsoredHoldermaychoosetoterminatetheAgreementbygivingWithdrawalInstructionsundertheASTCSettlementRulestotheControllingParticipant,indicatingwhethertheParticipantSponsoredHolderwishesto:

(a) transferitsParticipantSponsoredHoldingtoanotherControllingParticipant;or

(b) transferitsParticipantSponsoredHoldingtooneormoreIssuerSponsoredHoldings.

9.3 IftheParticipantSponsoredHolderdoesnottakeanyactiontoterminatetheagreementinaccordancewithclause 9.2above,anddoesnotgiveanyotherinstructionstotheControllingParticipantwhichwouldindicatethattheParticipantSponsoredHolderdoesnotagreetothechangeofControllingParticipantthen,ontheEffectiveDate,theAgreementwillhavebeentakentobenovatedtotheNewControllingParticipantandwillbebindingonallpartiesasif,ontheEffectiveDate:

(a) theNewControllingParticipantisapartytotheAgreementinsubstitutionfortheExistingControllingParticipant;

(b) anyrightsoftheExistingControllingParticipantaretransferredtothenew ControllingParticipant;and

(c) theExistingControllingParticipantisreleasedbytheParticipantSponsoredHolderfromanyobligationsarisingonorafterthe EffectiveDate.

9.4 Thenovationinclause9.3willnottakeeffectuntiltheParticipantSponsoredHolderhasreceivedanoticefromtheNewControllingParticipantconfirmingthattheNewControllingParticipantconsentstoactingastheControllingParticipantfortheParticipantSponsoredHolder.TheEffectiveDatemayasaresultbelaterthanthedatesetoutin the ParticipantChangeNotice.

9.5 TheParticipantSponsoredHolderwillbetakentohaveconsentedtotheeventsreferredtoinclause9.4bythedoingofanyactwhichisconsistentwiththenovationoftheAgreementtotheNewControllingParticipant(forexample,bygivinganinstructiontotheNewControllingParticipant),onoraftertheEffectiveDate,andsuchconsentwillbetakentobegivenasoftheEffectiveDate.

9.6 TheAgreementcontinuesforthebenefitoftheExistingControllingParticipantinrespectofanyrightsandobligationsaccruingbeforetheEffectiveDateand,totheextentthatanylaworprovisionofanyagreementmakesthenovationinclause9.3notbindingoreffectiveontheEffectiveDate,thentheAgreementwillcontinueforthebenefitoftheExistingControllingParticipantuntilsuchtimeasthenovationiseffective,andtheExistingControllingParticipantwillholdthebenefitoftheAgreementontrustfortheNewControllingParticipant.

9.7 Nothinginthisclause9.0willpreventthecompletionofCHESStransactionsbytheExistingControllingParticipantwheretheobligationtocompletethosetransactionsarisesbeforetheEffectiveDateandtheAgreementwillcontinuetoapplytothecompletionofthosetransactions,notwithstandingthenovationoftheAgreementtotheNewControllingParticipantunderthisclause9.0.

9.8 YoumaybynoticerequestthatwenovatethisAgreement,includinganyconditionsforotherserviceswhichweprovidetoyou(‘thisAgreement’)toanewControllingParticipant(‘NewControllingParticipant’)andthisAgreementwillbetakentohavebeennovatedtotheNewControllingParticipantandwillbebindingonallpartiesasif,onthedatespecifiedinthe notice:

(a) theNewControllingParticipantisapartytothisAgreementinsubstitutionforus;

(b) anyofourrightsaretransferredtotheNewControllingParticipant;and

(c) youreleaseusfromanyobligationsarisingonorafterthedatespecifiedinthenotice.

9.9 WewillactinrelationtoanylawfuldirectiongivenbyyoutoustotransfertotheNewControllingParticipant(orsuchotherplaceyoudirect)anymoneyorpropertyweholdonyourbehalf.

10.0 Claims For Compensation10.1AsaParticipantoftheASXGroupany

claimforcompensationcanbelodgedwiththeNationalGuaranteeFundwhichoperatesasacompensationarrangementforinvestorswhomaysufferlossduetothedefalcationbyParticipantsinrelationtoequitiesandwarrantsandexchangetradedoptions.

10.2IftheParticipantbreachesaprovisionofthisAgreementandtheParticipantSponsoredHoldermakesaclaimforcompensationpursuanttothatbreach,theabilityoftheParticipanttosatisfythatclaimwilldependonthefinancialcircumstancesoftheParticipant.

10.3IfabreachbyaParticipantofaprovisionofthisAgreementfallswithinthecircumstancesspecifiedunderPart 7.5,Division4oftheCorporationsRegulations,aParticipantSponsoredHoldermaymakeaclaimontheNationalGuaranteeFundforcompensation.(FormoreinformationonthecircumstancesinwhichaParticipantSponsoredHoldermaymakeaclaimontheNationalGuaranteeFundorforinformationontheNationalGuaranteeFundgenerally,contacttheSecuritiesExchangeGuaranteeCorporationLimited.)

10.4TheParticipantSponsoredHolderacknowledgesthattheParticipantshallnotberequiredtoprovideanexecutedcopyofthisAgreementtotheParticipantSponsoredHolderunlessrequestedbytheParticipantSponsoredHolder.

11.0 Termination11.1SubjecttotheASTCSettlementRules,

thisAgreementwillbeterminatedupontheoccurrenceofanyofthefollowingevents:

(a) bynoticeinwritingfromeithertheParticipantSponsoredHolderortheParticipanttotheotherpartytothisAgreement;

(b) upontheParticipantbecominginsolvent;

(c) upontheterminationorsuspensionoftheParticipant;or

(d) uponthegivingofWithdrawalInstructionsbyaParticipantSponsoredHoldertoaControllingParticipantinaccordancewithRule 7.1.10(c).

11.2TerminationunderClause11.1(a)willbeeffectiveuponreceiptofnoticebytheotherpartytotheAgreement.

12.0 Variation12.1Shouldanyoftheprovisionsinthis

AgreementbeinconsistentwiththeprovisionsintheASTCSettlementRules,theParticipantshall,bygivingtheParticipantSponsoredHoldernotlessthansevenBusinessDayswrittenNotice,varytheAgreementtotheextenttowhich,intheParticipant’sreasonableopinion,itisnecessarytoremoveanyinconsistency.

Direct Debit and Direct Credit Request Service Agreement ThisagreementandtheDirectDebit/DirectCreditRequestformsetoutdetailsofthetermsonwhichyouhaveauthorisedtheParticipanttoarrangeforamountsowingtoustobemadebydeductionfromyouraccountatyourfinancialinstitutionorforamountstobecreditedtoyouraccount.

1. TheParticipantwilladviseyou,inwritingorelectronically,intheformofaconfirmation,thedrawingdetailsthatincludesthesettlementamountdueandthesettlementdate.

2. Wherethesettlementdatefallsonanon-BusinessDay,theParticipantwilldrawtheamountonthefollowingBusinessDay.Pleasecontactyourfinancialinstitutiondirectifyouareuncertainwhenadebitwillbeprocessedtoyouraccount.

3. TheParticipantreservestherighttochargeadishonourfeeifanydebititemalreadydebitedfromyournominatedaccountisreturnedasunpaidbythefinancialinstitution.

4. TheParticipantwillkeepyourinformationaboutyournominatedaccountatthefinancialinstitutionprivateandconfidentialunlessthisinformationisrequiredbyyourFinancialInstitutiontoinvestigateaclaimmadeonitrelatingto anallegedincorrectorwrongfuldebt, orasotherwiserequiredbylaw.

5. Intheeventofadebitreturnedunpaid,theParticipantmayattemptaredrawon yournominatedaccount.

6. TheParticipantwilladviseyou14daysinadvanceofanychangestotheDirectDebit/Creditarrangements.

7. Ifyouprovideanincorrectbankaccountnumber,youmayincurafeeiftheParticipanthasprocessedatransactiontothataccount.

Your rights8. YoumayterminatetheDirectDebit/

Creditarrangementofyourtradeswithus;however,thisterminationmustbein writing.

9. Whereyouconsiderthedebit/creditisincorrectineithertheduedateoramountorboth,youshouldraisethematterwithus.

10. PleasecontacttheParticipantduringbusinesshoursforallmattersrelatingtotheDirectDebitandDirectCreditarrangements,includingtorequestadefermentorstoppingofdebits,questionsregardingtheamountsordatesofcreditsordebitsoralteringorstoppingthearrangement.YoucanalsocontactyournominatedfinancialinstitutiontorequestastoporcancellationoftheDirectDebitarrangementortodisputeadebittoyournominatedaccount.Wehaveadisputeresolutionprocessavailableifyouhaveacomplaintwhichwedonotresolve.FurtherinformationonthatprocessisintheFinancialServicesGuidewhichisavailableonlineorbycallingtheParticipant.

Your responsibilities11. Itisyourresponsibility:

– tocheckwiththeFinancialInstitutionwhereyouraccountisheldbeforecompletingtheDirectDebit/CreditRequest(‘DDCR’)asDirectDebiting/CreditingthroughBulkElectronicClearingSystem(‘BECS’)isnotallowedonthefullrangeofaccounts.Youshouldalsocompleteyouraccountdetails,includingBankStateBranch(‘BSB’)number,directlyoffarecentaccountstatementfromyourFinancialInstitution;

– toensuresufficientclearedfundsareavailableinthenominatedaccounttomeetthedebitontheduesettlementdateofyourtransactionsexecutedbytheParticipant;

– toensurethattheauthorisationtodebit/creditthenominatedaccountisinthesamenameastheaccountsigningtheinstructionheldbythefinancialinstitutionwheretheaccountisheld;

– toadviseusiftheaccountyouhavenominatedtodebit/creditistransferredorclosed;and

– toensurethatsuitablearrangementsaremadeiftheDirectDebit/Creditarrangementiscancelled:

– byyourself; – byyournominatedFinancial

Institution;or – foranyotherreason.
