Agreement Extending Time for Performance
THIS AGREEMENT dated as of Effective Date of Agreement (ie. July
1, 2000) between Nameof Party 1 as in Original Agreement (the 1st
Party) and Name of Party 2 as in OriginalAgreement (the 2nd
Party).
WHEREAS :
(A) By a Describe Agreement which is the subject matter of this
Extension Agreement (ie.Consulting Agreement) dated Date of
Agreement which is the subject matter of thisExtension Agreement
(the Original Agreement) the 1st Party and the 2nd Party
enteredinto an agreement relating to Brief Description of Nature of
Original Agreement (ie. theConsulting Services to be provided by
the 1st Party to the 2nd Party);
(B) The Original Agreement required that the 1st Party perform
the Describe obligation whichis being extended (ie. consulting
services) (the "Obligation") on or before Date on whichobligation
was originally due to be performed (ie. December 31, 2000);
(C) The parties wish to extend the time for performing the
Obligation to Extended Date onwhich obligation to be performed (ie.
August 1, 2001);
NOW THEREFORE in consideration of the premises and for other
good and valuableconsideration, the receipt and sufficiency of
which is hereby acknowledged, the parties agree asfollows:
1.The parties agree that the recitals above are true and correct
in all material respects.
2.The parties agree that the Original Agreement is hereby
modified and amended by extending thetime for performing the
Obligation to Extended Date on which obligation to be performed
(ie.August 1, 2001).
3.The parties hereby confirm that (i) all other terms and
conditions of the Original Agreement arein full force and effect,
unamended except as expressly provided in this Agreement; and (ii)
timeshall remain of the essence.
4.This Agreement may be executed in one or more counterparts,
each of which when so executedshall be deemed to be an original and
such counterparts together shall constitute one and the
sameinstrument.
5.The parties acknowledge that this Agreement may be negotiated
and transmitted between the parties by means of a facsimile machine
and that the terms and conditions agreed to are bindingupon the
parties. Upon the Agreement being accepted, copies of the facsimile
will be validated by
both parties forthwith.
