    Baker SPD has again introduced a new product design to upgrade old technology in angle pattern chokes.Giving you the angle pattern design, Baker has designed a new trim assembly for better versatility, withinterchangeability with our BTE valves. With this new design you are able to convert manual operation intoautomation with valve in service, or at a later date.

    Design Features and Advantages:

    • Kam-Lok wear sleeve/turning fork toinstall or remove complete trim in oneoperation.

    • Replaceable sized wear sleeve, turning fork,and orifice sleeves for added pressuredrops.

    • Impinging 180 degree flow characteristics.

    • Low torque.• Removable handle.

    • Cost effective.

    • Lubricated and built rugged for extendedservice life.

    • Dimensionally interchangable with mostmajor control valve/choke manufacturers.

    • Quarter-turn disc/turning fork valve.

    • Easily actuated.

    • Discs available in Ceramic, for standard serviceand Tungsten Carbide for extreme erosive service.

    • Bodies available in corrosion-resistant, high-strength Cast Steel or 316 Stainless Steel.

    • Standard trim in valves is 316 Stainless Steel.

    • Top entry enables replacement of internal partswhile in the well flow line.

    • Available with Tungsten Carbide wear sleeves forhigh-pressure drops.

    • Several orifice sizes available.

    • Manual adapter cap locking mechanism.

    • Unique two adjustable pressure drops.

    • Inhibits freeze-up for natural gas service withstaged pressure drops breaking up ice crystals.

    • Hammer and mandrel or metal bar.

    • Set of Allen Head Wrenches.

    • Adjustable wrench.• Torque, impact or socket wrench and sockets.

    • Flat Head Screw driver.

    • Pressure test facility and fixtures.

    • Grease gun and grease, molybdenum disulfide base.

    Assembly Procedure for option #1 and #3:

    See Illustrations on page 6 or 10.

    A. Install an O-Ring (12) into the top Bonnet O-Ring groove. Install Back-up Ring (13) into bottom O-Ring grooveand then install O-Ring (12) over the Back-up Ring. Install the Bonnet Seal (14) onto the O-Ring groove on bottomof Bonnet (2).

    B. Install Dowel Pins (15) 2 pieces into the inner diameter of the Wear Sleeve (20) and 2 pieces into the inner diameterof the Turning Fork (17). Install Stellite Insert (20A) into the Wear Sleeve (20) only for option #3. (This is notrequired for option #1.)

    C. Grease outer O.D. of Orifice Disc (18). Install into ID of Wear Sleeve (20). Install into ID of Turning Fork.

    D. Put the Thrust Washer (16) over the end of the Turning Fork. Next, slide the Orifice Sleeve (22) onto the TurningFork (17). (Orifice Sleeve only required in option #3.)

    E. Take the Wear Sleeve (20) and Turning Fork (17) and engage the Kam Lok. Grease O-Rings (21 & 14). InstallDowel Pin (15) into bottom of Bonnet.

    F. Install sub assembly into Bonnet (2). Align holes in Orifice Sleeve (22) with Dowel in bottom of the Bonnet. Slidesub assembly into Bonnet.

    G. Install Manual Adapter Cap (6) over the top of the Turning Fork (17). Secure the Manual Adapter Cap with 5/16Split Lock Washer (7) and 5/16 Cap Screw (8).

    H. Grease the Wear Sleeve O-Ring (21), Bonnet O-Ring (14) and ID of Body (1). Install sub assembly into Body withDowel Pin (15). Align with either slot or hole in Bottom of the Body (1) and align hole in Bonnet (2). Firmly pushthe Bonnet Assembly (2) into the Bonnet Bore of the Body (1) until the Bonnet (2) and Body (1) are touching onthe face of the Body (1).

    I. Screw the six Cap Screws (4) through the Bonnet (2) and into the Body (1). Torque to 89 Ft*Lbf for the 2” valve.Note the tightening sequence in diagram 1.

     J. Put the Handle (5) through the Manual Adapter Cap (6) to operate the choke. (Note: should open and closefreely. If not, install spacer 051969000 optional.) Install O-Ring (24) on Pressure Relief Screw (25). Install in Body(1) (option #3 only).

    K. Pressure test the Choke.• Retighten the Bonnet Cap Screws (4) after testing. Also be sure the Manual Adapter Cap is firmly

    locked in place on the Turning Fork.

    L. Attach Tag to Body with rivets. Attach Indicator Band (10) to Bonnet (2) with Machine Screws (3). InstallGrease Fitting (11) to Bonnet, then Grease Fitting.

    Assembly Procedure for option #2 and #4:

    See Illustrations on page 6 or 10.

    A. Install an O-Ring (12) into the top Bonnet O-Ring groove. Install Back-up Ring (13) into bottom O-Ringgroove and then install O-Ring (12) over the Back-up Ring. Install the Bonnet Seal (14) onto the O-Ringgroove on bottom of Bonnet (2).

    B. Install Dowel Pins (15) 2 pieces into the inner diameter of the Wear Sleeve (26) and 2 pieces into the innerdiameter of the Turning Fork (17). (Only for option #4. Not required for option #2.)

    C. Grease outer O.D. of Orifice Disc (18). Install into ID of Wear Sleeve (20 & 26). Install into ID of TurningFork (17).

    D. Put the Thrust Washer (16) over the end of the Turning Fork(17).

    E. Take the Wear Sleeve (20 & 26) and Turning Fork (17) and engage the Kam Lok. Grease O-Rings (21 & 14)

    F. Install sub assembly into Bonnet.

    G. Install Manual Adapter Cap (6) over the top of the Turning Fork (17). Secure the Manual Adapter Cap with5/16 Split Lock Washer (7) and 5/16 Cap Screw (8).

    H. Grease the Wear Sleeve O-ring (21), Bonnet O-Ring (14) and ID of Body (1). Install sub assembly into Bodywith Dowel Pin (15). Align with either slot or hole in Bottom of the Body (1) and align hole in Bonnet (2)Firmly push the Bonnet Assembly (2) into the Bonnet Bore of the Body (1) until the Bonnet (2) and Body(1) are touching on the face of the Body (1).

    Orders for rental equipment (“Equipment”), services (“Services”), and products(“Products”) to be provided by BAKER HUGHES INCORPORATED or any of its director indirect subsidiaries or divisions (“BAKER HUGHES”) to CUSTOMERS are subjectto acceptance by BAKER HUGHES, and any orders so accepted will be governed bythe terms and conditions stated in these terms and conditions and any additional termsproposed or agreed to in writing by BAKER HUGHES. Any additions to ormodifications of these terms and conditions, or any terms and conditions contained in

    CUSTOMER’S order inconsistent herewith, shall not bind BAKER HUGHES unlessaccepted in writing by an authorized representative of BAKER HUGHES.

    1. PAYMENT TERMS

    All charges, including applicable transportation costs, billed by BAKER HUGHESare payable within thirty (30) days of the date of invoice. At Baker Hughes’option, interest may be charged at the rate of ten percent (10%) per annum unlesssuch rate contravenes local law in which case the interest charged will be themaximum allowed by law.

    2. CANCELLATION

    Products: Orders for Products cancelled after acceptance by BAKERHUGHES will be subject to a twenty-five percent (25%) restocking charge,plus any actual transportation costs. Products specially built to CUSTOMERspecifications, or orders for substantial quantities manufactured specially forCUSTOMER , may not be cancelled. Credit for returned products will beissued for the quantity returned at the original purchase price provided thereturned products are in resaleable condition. No credit will be given fordrayage charges incurred by CUSTOMER . Credit will not be allowed forProducts returned without prior written authority.Equipment/Services : In the event CUSTOMER terminates an order for Servicesand/or Equipment, CUSTOMER shall be liable for all costs incurred byBAKER HUGHES in the mobilization/demobilization of people andEquipment, and any other reasonable termination costs incurred by BAKERHUGHES incident to such termination. In addition, a restocking charge of up to twenty-five percent (25%) of the original order may be applied atBAKER HUGHES’ sole discretion.

    3 . THIRD-PARTYCHARGES, TAXES

    CUSTOMER shall pay all third-party charges, as contained in BAKERHUGHES’ current price list, and any sales, use, rental or other taxes that may

     be applicable to transactions hereunder. CUSTOMER shall pay all applicablecustoms, excise, import and other duties unless otherwise agreed to byBAKER HUGHES. CUSTOMER shall provide necessary import licenses andextensions thereof.

    4. SHIPPING TERMS, TRANSPORTATION AND DELIVERY

    Shipping terms shall always be F.O.B. BAKER HUGHES’ point of origin. Allshipments will be packed for domestic delivery, unless otherwise specified by CUSTOMER or othe rwise requ ired under govern mental regu lations forsafe transport. Where applicable, skidding charges, and export or domesticpacking charges shall be for the account of CUSTOMER . All transportationcharges (from BAKER HUGHES’ point of origin to the wellsite or other pointof destination specified by CUSTOMER) shall be borne by CUSTOMER basedon common carrier rates. Unless otherwise specified, risk of loss, includingtransportation delays and losses shall pass to CUSTOMER as soon as theProducts or Equipment depart BAKER HUGHES’ point of origin.

    5 . TITLE AND SEC UR ITY

    Title to Products shall only pass to CUSTOMER when the purchase pricetherefor has been paid in full. Until such time, BAKER HUGHES shall retaina lien on the Products as security for payment of the purchase price, andCUSTOMER shall not permit further encumbrance by any other liens orsecurity interests. BAKER HUGHES may retain as liquidated damages anypayments made hereunder and may peaceably repossess the Products fromCUSTOMER’s premises without prejudice to any further claims. In the event

    that legal action is necessary to enforce BAKER HUGHES’ interests, BAKERHUGHES shall be entitled to recover from CUSTOMER all costs incurred inrespect of such legal action should it prevail.

    6. LIABILITIES, RELEASES AND INDEMNIFICATION

    A. In this Agreement, “Claims” shall mean all claims, demands, causesof action, liabilities, damages, judgments, fines, penalties, awards,losses, costs, expenses (including, without limitation, attorneys’ feesand costs of litigation) of any kind or character arising out of, or relatedto, the performance of or subject matter of this Agreement (including,without limitation, property loss or damage, personal or bodily injury,sickness, disease or death, loss of services and/or wages, or loss ofconsortium or society).

    B. Except to the extent caused by BAKER HUGHES’ negligence,CUSTOMER shall defend, indemnify and hold BAKER HUGHES, itsparent, subsidiary and affiliated or related companies, and its and their

    respective officers, directors, employees and agents (referred to in thisArticle 6. as “BAKER HUGHES INDEMNITEES”) harmless from andagainst all Claims asserted by or in favor of any person or entity, arisingout of or related to the performance of or subject matter of thisAgreement, in respect of damage to or loss or destruction of propertyand in respect of personal or bodily injury, illness, disease or death.

    C. Notwithstanding anything contained in this Agreement to the contrary,

    CUSTOMER shall release, indemnify, defend and hold BAKERHUGHES INDEMNITEES and BAKER HUGHES INDEMNITEES’subcontractors harmless from and against any and all Claims(including but not limited to Claims for damage to or loss ordestruction of property belonging to any person or entity, includingBAKER HUGHES INDEMNITEES, CUSTOMER and any thirdparties, and, to the maximum extent permitted under law, Claims forpersonal or bodily injury to, sickness, disease or death of any person,including BAKER HUGHES INDEMNITEES, CUSTOMER and anythird parties) resulting from: (i) loss of or damage to any well or hole,(ii) loss of or damage to BAKER HUGHES INDEMNITEES’ or theirsubcontractors’ equipment while such equipment is in use below therotary table, (iii) blowout, fire, explosion, cratering or any uncontrolledwell condition (including the costs to control a wild well and theremoval of debris), (iv) damage to any reservoir, geological formationor underground strata or the loss of oil or gas therefrom, (v) the use ofBAKER HUGHES INDEMNITEES’or their subcontractors’ radioactivetools or any contamination resulting therefrom (including retrievaland/or containment and clean-up), (vi) pollution or contamination of

    any kind (other than surface spillage of fuels, lubricants, rig sewage,garbage or waste material, to the extent attributable to the negligenceof BAKER HUGHES INDEMNITEES) including but not limited to thecost of control, removal and clean-up, and/or (vii) damage to or escapeof any substance from any pipeline, vessel or storage facility; arisingout of, or related to, the performance of or subject matter of thisAgreement from any cause whatsoever, including but not limited tothe negligence of BAKER HUGHES INDEMNITEES OR BAKERHUGHES INDEMNITEES’ subcontractors.

    D. Neither party shall be liable to the other for any indirect, special,punitive, exemplary or consequential damages, including withoutlimitation damages for lost production, lost revenue, lost product, lostprofit, or lost business opportunities, from any cause whatsoever,including but not limited to the negligence of either party, and eachparty hereby releases the other in this regard.

    E. The exclusions of liability, releases and indemnities set forth inparagraphs C. and D. of this Article 6. shall apply to any Claim(s)without regard to the cause(s) thereof including, without limitation,

    pre-existing conditions, whether such conditions be patent or latent,the unseaworthiness of any vessel or vessels, imperfection of material,defect or failure of equipment, breach of representation or warranty(express or implied), ultrahazardous activity, strict liability, tort, breachof contract, breach of statutory duty, breach of any safety requirementor regulation, or the negligence of any person (including theindemnified party), whether such negligence be sole, joint orconcurrent, active or passive, or any other theory of legal liability.

    7. WARRANTY

    It is recognized that conditions in and about any well or work may involvehazards to life and property and obstacles to the functioning of products andthe performance of services over which BAKER HUGHES has no control.Such conditions are not subject to inspection by BAKER HUGHES.Additionally, BAKER HUGHES will not be liable for concealed and unusualconditions at the work site, either above or underground, where suchconditions were not reasonably discoverable through normal visualinspection, not indicated by CUSTOMER, or where inadequate or incompleteinformation has been supplied by CUSTOMER.

    In the event such concealed or unusual conditions result in delays and extraexpense to BAKER HUGHES, an equitable adjustment shall be made in thecontract price and schedule. CUSTOMER will at all times have complete care,custody, supervision and control of the work and well and therecommendations of BAKER HUGHES are advisory only and withoutrepresentations as to results. Therefore, notwithstanding any other provisionherein to the contrary, it is understood by CUSTOMER that BAKER HUGHESdoes not warrant that its Services, Equipment or Products will accomplishany particular result and that the warranties offered by BAKER HUGHESare expressly limited to the following:BAKER HUGHES warrants thatServices, Equipment and Products provided pursuant to this Agreement shall

     be free from defects in workmanshi p and materials, comply with theapplicable scope of work document, conform to BAKER HUGHES’ publishedspecifications and shall otherwise be supplied in accordance with sound andgenerally accepted industry practice by competent personnel in a

    workmanlike manner. This warranty is exclusive of any other liability,particularly in respect of any damage suffered because of defective Productor Equipment. In the event that BAKER HUGHES’ Services, Equipment orProducts fail to comply with the foregoing standards, BAKER HUGHES shall(i) perform such corrective services of the type originally performed,provided that BAKER HUGHES is no tified thereof in writing by CUSTOMERprior to the departure of BAKER HUGHES from the worksite and/or (ii)

    repair or replace Equipment as may be necessary to correct any suchdeficiencies provided BAKER HUGHES is promptly notified in writingthereof and/or (iii) replace the Product returned for inspection and provento be defective. Liability will only be accepted if the Product concerned wasused for the purpose for which it was designed and was used in accordancewith BAKER HUGHES recommendations. This warranty expires thirty (30)days after the date of shipment of the Product from BAKER HUGHES’ stockpoint.

    BAKER HUGHES shall have no responsibility for the design and/orengineering of work performed hereunder, even though BAKER HUGHESmay have participated in its development, nor for any C USTOMER-furnishedmaterials. With regard to materials furnished by third-party suppliers,BAKER HUGHES’ liability shall be limited to the assignment of such third-party supplier’s warranty to CUSTOMER.

    In making interpretations of data, BAKER HUGHES’ employees will giveCUSTOMER the benefit of their best judgment as to the correct interpretation,

     but BAKER HUGHES cannot and does not guarantee the accuracy orcorrectness of these interpretations.

    THE PARTIES AGREE THAT ALL OTHER WARRANTIES, EXPRESS ORIMPLIED, INCLUDING WARRANTIES OF FITNESS FOR APARTICULAR PURPOSE AND MERCHANTABILITY ARE EXCLUDEDTO THE FULLEST EXTENT PERMISSIBLE BY LAW. ALL WARRANTIESAND OBLIGATIONS OF BAKER HUGHES SHALL TERMINATE IF: 1)CUSTOMER FAILS TO PERFORM ITS OBLIGATIONS UNDER THISOR ANY OTHER AGREEMENT BETWEEN THE PARTIES; 2)CUSTOMER FAILS TO PAY ANY CHARGES OTHERWISE DUE BAKERHUGHES; 3) CUSTOMER USES THE EQUIPMENT OR PRODUCTS FORAN UNAUTHORIZED OR UNINTENDED PURPOSE; 4) CUSTOMERALTERS OR REPAIRS THE EQUIPMENT OR PRODUCTS WITHOUTTHE PRIOR WRITTEN CONSENT OF BAKER HUGHES; OR 5) THEPRODUCTS ARE LOST OR CONTAMINATED WHILE ONCUSTOMER’S SITE DUE TO CUSTOMER’S NEGLIGENCE,VANDALISM, OR FORCE MAJEURE.

    8. INSURANCE

    Upon written request, each party shall furnish to the other party certificatesof insurance evidencing the fact that adequate insurance to support eachparty’s obligations hereunder has been secured. Such insurance policies andcertificates must provide that at least thirty (30) days prior written notice will

     be given to the affected party if the policies are materially changed orcancelled. To the extent of each party’s indemnity obligations hereunder, eachparty agrees that all such insurance policies shall (i) be primary to the otherparty’s insurance, (ii) include the other party, its parent, subsidiary andaffiliated or related companies, and their respective officers, directors,employees and agents as additional insured, and (iii) be endorsed to waivesubrogation against the other party, its parent, subsidiary and affiliated orrelated companies, and their respective officers, directors, employees andagents.

    9. CHANGE OF DESIGN

    BAKER HUGHES expressly reserves the right to change or modify the designand construction of any of its Products without obligation to furnish or installsuch changes or modifications on Products previously or subsequently sold.

    10. PATENTS

    BAKER HUGHES warrants that the use or sale of Equipment or Productshereunder will not infringe patents of others by reason of the use or sale of such Equipment or Products per se, and hereby agrees to hold CUSTOMERharmless against judgment for damages for infringement of any such patent,provided that CUSTOMER shall promptly notify BAKER HUGHES inwriting upon receipt of any claim for infringement, or upon the filing of anysuch suit for infringement, whichever first occurs, and shall afford BAKERHUGHES full opportunity, at BAKER HUGHES’ option and expense, toanswer such claim or threat of suit, assume the control of the defense of suchsuit, and settle or compromise same in any way BAKER HUGHES sees fit.BAKER HUGHES does not warrant that such Equipment or Products: (a) willnot infringe any such patent when not of BAKER HUGHES’ manufacture,or specially made, in whole or in part, to the CUSTOMER’s designspecifications; or (b) if used or sold in combination with other materials orapparatus or used in the practice of processes, will not, as a result of suchcombination or use, infringe any such patent, and BAKER HUGHES shall

    not be liable and does not indemnify CUSTOMER for damages or losses of any nature whatsoever resulting from actual or alleged patent infringementarising pursuant to clauses (a) and (b) above. THIS PARAGRAPH STATESTHE ENTIRE RESPONSIBILITY OF BAKER HUGHES CONCERNINGPATENT INFRINGEMENT.

    11. CONFIDENTIALITY

    BAKER HUGHES shall maintain all data and information obtained fromCUSTOMER in strict confidence, subject only to disclosure required by lawor legal process. The design, construction, application and operation of BAKER HUGHES’ Services, Equipment and Products embody proprietaryand confidential information. CUSTOMER shall maintain this informationin strict confidence and shall not disclose it to others.

    12. LIENS, ATTACHMENTS AND ENCUMBRANCES

    Should CUSTOMER commit a material breach of any terms and conditionsof this Agreement, become bankrupt, insolvent, go into receivership orshould any creditor or other person attach or levy CUSTOMER’s propertyor equipment, BAKER HUGHES shall immediately have the right, withoutnotice and without liability for trespass or damages, to retake and removeany of its Equipment wherever it may be found. CUSTOMER shall defend,indemnify and hold BAKER HUGHES harmless from any and all liens andencumbrances against Equipment furnished hereunder and sh all return samepromptly to BAKER HUGHES free of any liens or encumbrances.

    13 . F OR CE MAJEURE

    If either party is unable by reason of Force Majeure to carry out any of itsobligations under this Agreement, other than obligations to pay money, thenon such party giving notice and particulars in writing to the other partywithin a reasonable time after the occurrence of the cause relied upon, suchobligations shall be suspended. “Force Majeure” shall include acts of God,laws and regulations, government action, war, civil disturbances, strikes andlabor problems, delays of vendors or carriers, lightening, fire, flood,washout, storm, breakage or accident to equipment or machinery, shortageof raw materials, and any other causes that are not reasonably within thecontrol of the party so affected.

    14. INDEPENDENT CONTRACTOR

    It is expressly understood that BAKER HUGHES is an independentcontractor, and that neither BAKER HUGHES nor its principals, partners,employees or subcontractors are servants, agents or employees of CUSTOMER.

    15. APPLICABLE AND GOVERNING LAW

    Both BAKER HUGHES and CUSTOMER agree to be subject to all laws, rulesand regulations, whether federal, state or municipal, which now or in thefuture may be applicable to any work performed hereunder or are applicableto BAKER HUGHES’ or CUSTOMER’s business or employees engaged in orin any manner connected with its performance hereunder. THISAGREEMENT SHALL BE GOVERNED BY AND INTERPRETED INACCORDANCE WITH THE SUBSTANTIVE LAWS OF OKLAHOMA,EXCLUDING CONFLICTS OF LAW AND CHOICE OF LAW PRINCIPLES.

    16. GENERAL

    Failure of CUSTOMER or BAKER HUGHES to enforce any of the terms andconditions of this Agreement shall not prevent a subsequent enforcement of such terms and conditions or be deemed a waiver of any subsequent breach.Should any provision of this Agreement, or a portion thereof, beunenforceable or in conflict with governing country, state, province, or locallaws, then the validity of the remaining provision s, and portions thereof, shallnot be affected by such unenforceability or conflict, and this Agreement shall

     be construed as if such provisions, or portion thereof, were not containedherein. This Agreement contains all representations of the parties and

    supersedes all prior oral or written agreements or representations.CUSTOMER acknow ledges that it has not relied on any representations otherthan those contained in this Agreement. This Agreement shall not be varied,supplemented, qualified, or interpreted by any prior course of dealing

     between th e parties or by an y usage o f trade a nd may only be amended byan agreement executed by both parties.

    Products or Equipment depart BAKER HUGHES’ point of origin.

    5. TITLE AND SECURITYTitle to Products shall only pass to CUSTOMER when thepurchase price therefor has been paid in full. Until such

    time, BAKER HUGHES shall retain a lien on the Productsas security for payment of the purchagfCUSTOMER shallnot permit further encumbrance by any other liens orsecurity interests. BAKER HUGHES may retain asliquidated damages any payments made hereunder andmay peaceably repossess the Products from CUSTOMER’spremises without prejudice to any further claims. In theevent that legal action is necessary to enforce BAKERHUGHES’ interests, BAKER HUGHES shall be entitled torecover from CUSTOMER all costs incurred in respect of such legal action should it prevail.

    6. LIABILITIES, RELEASES AND INDEMNIFICATIONA. In this Agreement, “Claims” shall mean all claims,

    demands, causes of action, liabilities, damages,judgments, fines, penalties, awards, losses, costs,expenses (including, without limitation, attorneys’fees and costs of litigation) of any kind or characterarising out of, or related to, the performance of orsubject matter of this Agreement (including, withoutlimitation, property loss or damage, personal or bodilyinjury, sickness, disease or death, loss of services and/orwages, or loss of consortium or society).

    B. Except to the extent caused by BAKER HUGHES’negligence, CUSTOMER shall defend, indemnify andhold BAKER HUGHES, its parent, subsidiary andaffiliated or related companies, and its and theirrespective officers, directors, employees and agents(referred to in this Article 6. as “BAKER HUGHESINDEMNITEES”) harmless from and against all

    Claims asserted by or in favor of any person or entity,arising out of or related to the performance of or subjectmatter of this Agreement, in respect of damage to orloss or destruction of property and in respect ofpersonal or bodily injury, illness, disease or death.

    C. Notwithstanding anything contained in thisAgreement to the contrary, CUSTOMER shall release,indemnify, defend and hold BAKER HUGHESINDEMNITEES and BAKER HUGHES INDEM-NITEES’subcontractors harmless from and against anyand all Claims (including but not limited to Claims fordamage to or loss or destruction of property belongingto any person or entity, including BAKER HUGHESINDEMNITEES, CUSTOMER and any third parties,and, to the maximum extent permitted under law,

    Claims for personal or bodily injury to, sickness,disease or death of any person, including BAKERHUGHES INDEMNITEES, CUSTOMER and any thirdparties) resulting from: (i) loss of or damage to any wellor hole, (ii) loss of or damage to BAKER HUGHESINDEMNITEES’ or their subcontractors’ equipmentwhile such equipment is in use below the rotary table,(iii) blowout, fire, explosion, cratering or anyuncontrolled well condition (including the costs tocontrol a wild well and the removal of debris), (iv)damage to any reservoir, geological formation orunderground strata or the loss of oil or gas therefrom,(v) the use of BAKER HUGHES INDEMNITEES’ ortheir subcontractors’ radioactive tools or any

    contamination resulting therefrom (including retrievaland/or containment and clean-up), (vi) pollution orcontamination of any kind (other than surface spillageof fuels, lubricants, rig sewage, garbage or wastematerial, to the extent attributable to the negligence ofBAKER HUGHES INDEMNITEES) including but notlimited to the cost of control, removal and clean-up,and/or (vii) damage to or escape of any substance fromany pipeline, vessel or storage facility; arising out of,or related to, the performance of or subject matter ofthis Agreement from any cause whatsoever, includingbut not limited to the negligence of BAKER HUGHESINDEMNITEES OR BAKER HUGHES INDEM-NITEES’ subcontractors.

    D. Neither party shall be liable to the other for anyindirect, special, punitive, exemplary or consequentialdamages, including without limitation damages for lostproduction, lost revenue, lost product, lost profit, or lostbusiness opportunities, from any cause whatsoever,including but not limited to the negligence of either

    party, and each party hereby releases the other in thisregard.

    E. The exclusions of liability, releases and indemnities setforth in paragraphs C. and D. of this Article 6. shallapply to any Claim(s) without regard to the cause(s)thereof including, without limitation, pre-existingconditions, whether such conditions be patent orlatent, the unseaworthiness of any vessel or vessels,imperfection of material, defect or failure ofequipment, breach of representation or warranty(express or implied), ultrahazardous activity, strictliability, tort, breach of contract, breach of statutoryduty, breach of any safety requirement or regulation,or the negligence of any person (including theindemnified party), whether such negligence be sole,joint or concurrent, active or passive, or any othertheory of legal liability.

    7. WARRANTY

    It is recognized that conditions in and about any well orwork may involve hazards to life and property and obstaclesto the functioning of products and the performance of services over which BAKER HUGHES has no control. Suchconditions are not subject to inspection by BAKERHUGHES. Additionally, BAKER HUGHES will not be liablefor concealed and unusual conditions at the work site, eitherabove or underground, where such conditions were notreasonably discoverable through normal visual inspection,not indicated by CUSTOMER, or where inadequate orincomplete information has been supplied by CUSTOMER.

    In the event such concealed or unusual conditions result indelays and extra expense to BAKER HUGHES, an equitableadjustment shall be made in the contract price and schedule.CUSTOMER will at all times have complete care, custody,supervision and control of the work and well and therecommendations of BAKER HUGHES are advisory onlyand without representations as to results. Therefore,notwithstanding any other provision herein to the contrary,it is understood by CUSTOMER that BAKER HUGHES doesnot warrant that its Services, Equipment or Products willaccomplish any particular result and that the warrantiesoffered by BAKER HUGHES are expressly limited to thefollowing:

    BAKER HUGHES warrants that Services, Equipment andProducts provided pursuant to this Agreement shall be freefrom defects in workmanship and materials, comply withthe applicable scope of work document, conform to BAKERHUGHES’ published specifications and shall otherwise besupplied in accordance with sound and generally acceptedindustry practice by competent personnel in a workmanlikemanner. This warranty is exclusive of any other liability,particularly in respect of any damage suffered because of defective Product or Equipment. In the event that BAKERHUGHES’ Services, Equipment or Products fail to complywith the foregoing standards, BAKER HUGHES shall (i)perform such corrective services of the type originallyperformed, provided that BAKER HUGHES is notifiedthereof in writing by CUSTOMER prior to the departure of BAKER HUGHES from the worksite and/or (ii) repair orreplace Equipment as may be necessary to correct any suchdeficiencies provided BAKER HUGHES is promptly notifiedin writing thereof and/or (iii) replace the Product returnedfor inspection and proven to be defective. Liability will only

     be accepted if the Product concerned was used for the

    purpose for which it was designed and was used inaccordance with BAKER HUGHES recommendations. Thiswarranty expires thirty (30) days after the date of shipmentof the Product from BAKER HUGHES’ stock point.

    BAKER HUGHES shall have no responsibility for the designand/or engineering of work performed hereunder, eventhough BAKER HUGHES may have participated in itsdevelopment, nor for any CUSTOMER-furnished materials.With regard to materials furnished by third-party suppliers,BAKER HUGHES’ liability shall be limited to theassignment of such third-party supplier’s warranty toCUSTOMER.

    In making interpretations of data, BAKER HUGHES’employees will give CUSTOMER the benefit of their best

     judgment as to the correct interpretation, but BAKERHUGHES cannot and does not guarantee the accuracy orcorrectness of these interpretations.

    THE PARTIES AGREE THAT ALL OTHER WAR-RANTIES, EXPRESS OR IMPLIED, INCLUDINGWARRANTIES OF FITNESS FOR A PARTICULARPURPOSE AND MERCHANTABILITY ARE EXCLUDEDTO THE FULLEST EXTENT PERMISSIBLE BY LAW. ALLWARRANTIES AND OBLIGATIONS OF BAKERHUGHES SHALL TERMINATE IF: 1) CUSTOMER FAILSTO PERFORM ITS OBLIGATIONS UNDER THIS ORANY OTHER AGREEMENT BETWEEN THE PARTIES; 2)CUSTOMER FAILS TO PAY ANY CHARGESOTHERWISE DUE BAKER HUGHES; 3) CUSTOMER

    USES THE EQUIPMENT OR PRODUCTS FOR ANUNAUTHORIZED OR UNINTENDED PURPOSE; 4)CUSTOMER ALTERS OR REPAIRS THE EQUIPMENTOR PRODUCTS WITHOUT THE PRIOR WRITTENCONSENT OF BAKER HUGHES; OR 5) THEPRODUCTS ARE LOST OR CONTAMINATED WHILEON CUSTOMER’S SITE DUE TO CUSTOMER’SNEGLIGENCE, VANDALISM, OR FORCE MAJEURE.

    8. INSURANCE

    Upon written request, each party shall furnish to the otherparty certificates of insurance evidencing the fact thatadequate insurance to support each party’s obligationshereunder has been secured. Such insurance policies and

    certificates must provide that at least thirty (30) days priorwritten notice will be given to the affected party if thepolicies are materially changed or cancelled. To the extentof each party’s indemnity obligations hereunder, each partyagrees that all such insurance policies shall (i) be primaryto the other party’s insurance, (ii) include the other party,its parent, subsidiary and affiliated or related companies,and their respective officers, directors, employees andagents as additional insured, and (iii) be endorsed to waivesubrogation against the other party, its parent, subsidiaryand affiliated or related companies, and their respectiveofficers, directors, employees and agents.

    9. CHANGE OF DESIGNBAKER HUGHES expressly reserves the right to change ormodify the design and construction of any of its Productswithout obligation to furnish or install such changes ormodifications on Products previously or subsequently sold.

    10. PATENTSBAKER HUGHES warrants that the use or sale of 

    Equipment or Products hereunder will not infringe patentsof others by reason of the use or sale of such Equipment orProducts per se, and hereby agrees to hold CUSTOMERharmless against judgment for damages for infringement of any such patent, provided that CUSTOMER shall promptlynotify BAKER HUGHES in writing upon receipt of anyclaim for infringement, or upon the filing of any such suitfor infringement, whichever first occurs, and shall affordBAKER HUGHES full opportunity, at BAKER HUGHES’option and expense, to answer such claim or threat of suit,assume the control of the defense of such suit, and settle orcompromise same in any way BAKER HUGHES sees fit.BAKER HUGHES does not warrant that such Equipment orProducts: (a) will not infringe any such patent when not of BAKER HUGHES’ manufacture, or specially made, in wholeor in part, to the CUSTOMER’s design specifications; or (b)

    if used or sold in combination with other materials orapparatus or used in the practice of processes, will not, as aresult of such combination or use, infringe any such patent,and BAKER HUGHES shall not be liable and does notindemnify CUSTOMER for damages or losses of any naturewhatsoever resulting from actual or alleged patentinfringement arising pursuant to clauses (a) and (b) above.THIS PARAGRAPH STATES THE ENTIRERESPONSIBILITY OF BAKER HUGHES CONCERNINGPATENT INFRINGEMENT.

    11. CONFIDENTIALITYBAKER HUGHES shall maintain all data and informationobtained from CUSTOMER in strict confidence, subject onlyto disclosure required by law or legal process. The design,

    construction, application and operation of BAKERHUGHES’ Services, Equipment and Products embodyproprietary and confidential information. CUSTOMER shallmaintain this information in strict confidence and shall notdisclose it to others.

    12. LIENS, ATTACHMENTS AND ENCUMBRANCESShould CUSTOMER commit a material breach of any termsand conditions of this Agreement, become bankrupt,insolvent, go into receivership or should any creditor orother person attach or levy CUSTOMER’s property orequipment, BAKER HUGHES shall immediately have the

    right, without notice and without liability for trespass ordamages, to retake and remove any of its Equipmentwherever it may be found. CUSTOMER shall defend,indemnify and hold BAKER HUGHES harmless from anyand all liens and encumbrances against Equipmentfurnished hereunder and shall return same promptly toBAKER HUGHES free of any liens or encumbrances.

    13. FORCE MAJEUREIf either party is unable by reason of Force Majeure to carryout any of its obligations under this Agreement, other thanobligations to pay money, then on such party giving noticeand particulars in writing to the other party within areasonable time after the occurrence of the cause relied upon,such obligations shall be suspended. “Force Majeure” shallinclude acts of God, laws and regulations, governmentaction, war, civil disturbances, strikes and labor problems,delays of vendors or carriers, lightening, fire, flood,washout, storm, breakage or accident to equipment ormachinery, shortage of raw materials, and any other causesthat are not reasonably within the control of the party so

    affected.

    14. INDEPENDENT CONTRACTORIt is expressly understood that BAKER HUGHES is anindependent contractor, and that neither BAKER HUGHESnor its principals, partners, employees or subcontractors areservants, agents or employees of CUSTOMER.

    15. APPLICABLE AND GOVERNING LAWBoth BAKER HUGHES and CUSTOMER agree to be subjectto all laws, rules and regulations, whether federal, state ormunicipal, which now or in the future may be applicable toany work performed hereunder or are applicable to BAKERHUGHES’ or CUSTOMER’s business or employees engagedin or in any manner connected with its performancehereunder. THIS AGREEMENT SHALL BE GOVERNED

    BY AND INTERPRETED IN ACCORDANCE WITH THESUBSTANTIVE LAWS OF OKLAHOMA, EXCLUDINGCONFLICTS OF LAW AND CHOICE OF LAWPRINCIPLES.

    16. GENERALFailure of CUSTOMER or BAKER HUGHES to enforce anyof the terms and conditions of this Agreement shall notprevent a subsequent enforcement of such terms andconditions or be deemed a waiver of any subsequent breach.Should any provision of this Agreement, or a portionthereof, be unenforceable or in conflict with governingcountry, state, province, or local laws, then the validity of the remaining provisions, and portions thereof, shall not beaffected by such unenforceability or conflict, and thisAgreement shall be construed as if such provisions, orportion thereof, were not contained herein. This Agreementcontains all representations of the parties and supersedes allprior oral or written agreements or representations.CUSTOMER acknowledges that it has not relied on anyrepresentations other than those contained in thisAgreement. This Agreement shall not be varied,supplemented, qualified, or interpreted by any prior courseof dealing between the parties or by any usage of trade andmay only be amended by an agreement executed by bothparties.
