    In its first part, the course will introducethe notions o Bank, Banking, BankingSupervision. In its second part, the coursewill deal thoroughly with the law regulatingBanking Activities and Supervision, as well aswith the law o Banking Contracts, includingthe issue o Consumer Protection. Te coursewill ollow a comparative approach and ocuson Italian and English Law.

    Examination: Students attending the classeswill have to pass two written examinations,during the course.Other students: Oral examination

    Te course is designed to provide law students(with basic knowledge o public law, Dirittopubblico, Private law, Diritto privato I andDiritto privato II, Dirito dellUnione europea,European law, and Business Organizationlaw, Diritto commerciale) a more awareunderstanding o the basic corporate lawdoctrines, also by means o a comparativeapproach. opics o discussion will be, interalia, the oundations o the: limited liabilityrule (and exceptions thereo, e.g. piercingo the corporate veil); legal personality o

    the corporation; agency theory; corporatestructure. In addition there will be a discussiono selected issues on corporate governance,corporate debt and equity financing, officersand directors duties and liabilities andcorporate groups; special consideration willbe reserved to the discipline o Italian publiclyheld corporations. Cases will be presented romtime to time in order to urther explain thespecific problems at stake.

    Examination: Oral - However, students mayagree in advance with the Lecturer to submitand discuss an essay.

    Historical overview o Europes political andeconomic developments afer the SecondWorld War.

    Te process o the European integration;perspectives and problems o Europeanenlargement.

    EU specific policies such as:i) the Euro currency reorm;ii) fiscal policy and national debts;iii) single market in labor;iv) Common Agricultural Policy;iii) Competition Policy (state aid; mergers);

    iv) new Directives on Public Procurement;v) liberalisation in public utility markets.

    Te Course will deal with the law ointernational dispute settlement, startingwith an overall assessment o the role o theuniversal, regional and unctional disputesettlement systems. Its main ocus will be onthe law o international investments, on therole o ICSID, and on the principles developedthrough ICSID arbitration.

    Te course aims at describing and analyzingthe international legal regime on trade o goodsamong States (rectius: custom territories).Consequently, the course does not makereerence to transnational relationships amongprivate subjects, since such relationships aregoverned by the private international law.Initially, the analysis shall mainly ocus onthe development o the matter, starting romthe General Agreement on ariffs and rade(GA, 1947) to the establishment o theWorld rade Organization (WO, 1994) and

    the system o agreements related to it.Secondly and urther in detail, the programmewill examine and evaluate the obligationsresulting rom the relevant legal system. Underthis section, special attention shall be paidto the rules and procedures regarding thesettlement o disputes and related economicsanctions.Te course also aims to develop the studentsability to learn the matter through the direct

    use and discussion o the pertinent legal textsand cases.

    Te course intends to give participants thetools to understand the main eatures o WOand EU rules on international trade, and therelationships between the two systems o law.Modern International rade Law, moreover,cannot be correctly understood, or anyEuropean Lawyer, without considering alsothe EU Internal Market Law, including EUCompetition Law.Afer having introduced the main eatureso the WO legal order, the fields o tradein goods and services will be the object o

    consideration, through an analysis o theGA, the B and SPS Agreements, and theGAS.Ten, the ocus will be on how the EC and nowthe EU participate in the WO, taking intoaccount both organizational issues, and the roleo WO law in the EU legal system.Te main eatures o the EU commoncommercial policy will be urther made theobject o the study, as well as the main eatures

    o EU competition and internal market law,taking especially into account their significanceor international trade.

    Te Wake Forest Summer Program is a ourweeks Summer Program in Law jointly held bythe Wake Forest University School o Law (NC,USA), and the University o Padova School oLaw. Each year, one or two fields o the law areanalysed by Wake Forest University School oLaw Faculty, Padova School o Law Faculty, andExternal Guests, taking into account US Law,EU Law, and Italian Law.
