VICTOR A. VILAPLANA, for himself and on behalf of the Organization of

'arishes for the Roman Catholic Diocese of San Diego ("OPSD"), submits the following

esponse to the Court's April 9,2007 Order to Show Cause ("OSC").

On or about March 16,2007, Victor A. Vilaplana and the law firm of Foley &

,ardner LLP became proposed counsel to OPSD to represent it in the Chapter 11 case of

h e Roman Catholic Bishop of San Diego, a corporation sole (the "Diocese").

Initial Statement

It has been and is the understanding of Mr. Vilaplana and the OPSD that the issue

f whether the parish bank accounts are or are not property of the estate has not been

decided.' Further, it is and has been clear that no actions can be taken to in any way

deprive the Court of the ability to decide that issue. The Court's order of March 5 at

paragraph 9 is clear on this point. Neither OPSD nor Mr. Vilaplana acted or intended to

act in a way contrary to that order.

The parishes did not take any action with respect to the Alleged Parish Accounts

(as that term is defined in the OSC). The Alleged Parish Accounts listed on Item 14 of

the Diocese's Statement of Affairs (Attached hereto as Exhibit "A") are not the accounts

that the parishes were dealing with to obtain a new TIN. These accounts (the "Direct

Parish Accounts") are not accounts held by the Diocese but are the accounts itemized at

Exhibit 2 in the February 27,2007 declaration of Richard Mirando filed in support of

various first day motions in this case. (Attached hereto as Exhibit "B"). As Mr.

Mirando declares, "no one at RCBSD has access to or control over any of the Service

Recipients' accounts.. . ." Moreover, these accounts do not constitute "cash collateral";

the estate claims no interest in the accounts and neither does any creditor of the Chapter

11 debtor.

11. Taxpayer Identification Numbers for Parish Bank Accounts

On March 1, 2007, the Court held a hearing to consider the request of the debtor

Roman Catholic Bishop of San Diego, a corporation sole ("RCBSD") for authorization to

use its existing cash management system, including accounts assertedly belonging to the

parishes (the "Direct Parish Accounts") but containing the same Taxpayer Identification

Number ("TIN") as the RCBSD accounts. The Direct Parish Accounts were identified in

Exhibit 2 to the February 27, 2007 declaration of Richard Mirando, which was filed in

support of RCBSD's first day motions.

There was colloquy that day involving the Court, counsel to RCBSD, then-counsel

to the parishes, and proposed counsel to the Official Committee of Unsecured Creditors

(the "Committee") concerning the potential for confusion and burdensome reporting

arising from the fact that RCBSD's TIN appeared on the Direct Parish Accounts. Then-

counsel to the parishes, Mr. Davis, asserted that if the parishes had to report their account

information to the Office of the United States Trustee (as was required of the RCBSD), it

would be "an administrative nightmare." March 1 Tr. At p. 28, line 14. He further

argued that the parishes were not part of the debtor entity. In response, the Court

inquired whether it would be difficult to change the numbers on the Direct Parish

Accounts. Mr. Davis said he would look into it, and the Court responded that in any

event it was not going to decide then whether the money in the accounts belonged to the

parishes or the Debtor. Proposed counsel to the Committee had earlier stated that "[ilf

the service party wishes to get its own tax ID number, . . . they take it outside the

reporting obligation," and added that so long as the Debtors' TIN was on the accounts it

would be appropriate "to know what's going on in the accounts." Tr. at p. 19-20, lines 1-

3 and 8.

As the Declaration of Mr. Jeffry A. Davis submitted in connection with the

Court's Order to Show Cause ("OSC") makes clear, the impression Mr. Davis had (and

later conveyed to Mr. Vilaplana) was that new TINs were appropriate so long as the

3arties' rights to contest whether the accounts were property of the estate were reserved.

f i a t is exactly what transpired. These changes were not expected or intended to alter or

affect any parties' rights to assert that any of the Direct Parish Accounts were property of

he estate under 5 541 of the Bankruptcy Code.

The Court's Order approving the cash management system on an interim basis on

vlarch 5, 2007 expressly provided (paragraph 4) that financial institutions should honor

parish deposits and checks notwithstanding that such accounts may have the Debtors'

TIN. The March 5 Order also provided that it would be without prejudice to any creditor

x party in interest raising an issue with respect to whether the Direct Parish Accounts

jhould be considered property of the estate. The Order was, however, silent on the

pestion whether the parishes could change their TINs. In the circumstances and with the

statements of Mr. Davis and Ms. Boswell, we were left to conclude that such change was

desired, would be beneficial to the case by creating clarity and mitigating reporting

obligations, and would otherwise not prejudice any of the rights protected under the

March 5 Order.

My Firm, Foley & Lardner LLP, and I, became proposed counsel to the OPSD on

March 16, 2007. We were informed by Debtors' counsel and Mr. Davis that the Court

wished to have the TINS on the Direct Parish Accounts changed in order to avoid

confusion and mitigate reporting obligations. Our review of the March 1 transcript of

hearing appeared to be generally consistent with that view. All subsequent actions to

provide new TINS for the Direct Parish Accounts were done solely in reliance on the

foregoing, and solely for those purposes. There was no prejudice to any parties' rights in

respect of property of the estate.

We also emphasize that the actions taken were essentially clerical in nature, did

not in substance or intent alter or affect any parties' rights to argue that they are property

3f the estate, and did not seek to further any purpose other than the purpose of complying

with what was believed to be the preference of the Court and the parties for clarity of

record in the cash management system and reporting obligations.

111. Fr. Gallapher's Letter of March 17,2007

We have previously filed with the Court the OPSD's Reply to the Committee's

3pposition to the Diocese's Cash Management Motion, in which the OPSD

icknowledged that Fr. Gallagher's letter of March 17,2007 to the parishioners of his

:hurch contained some mistakes (principally a mistaken report of what this Court had

xdered). (OPSD also acknowledged such mistakes in a letter to the Committee's

:ounsel. Exhibit "C" attached hereto.) The letter is regrettable, but Fr. Gallagher

vas not authorized to speak for the OPSD, and to the best of our knowledge there was no

n-ejudice or negative consequence incurred as a result of the letter. The OPSD has taken

,teps since that time to ensure that communications about the case flow in a centralized

nanner from OPSD only. In addition, the OPSD sent "talking points" to all the parishes 4

containing information correcting the misstatements. (Attached hereto as Exhibit "D").

The OPSD is also prepared to take such other corrective measures as this Court may

recommend.

IV. Fr. Orsborn's Memorandum of March 29,2007

Fr. Orsborn's Memorandum directed the parishes to obtain new TINs, representin]

that it is "with the concurrence" of the bankruptcy court. Fr. Orsborn was acting in

accordance with his understanding of the March 1 hearing and transcript, and related

discussions. While the choice of words may not have been the best, it was understood by

OPSD that the Court colloquy with RBCSD and the Committee's proposed counsel was

implicit acceptance of such TIN changes in order to further the interests of the parties anc

the administration of the estate.

Fr. Orsborn suggested in his memorandum a variety of alternatives to address

potential refusals by banks to provide new TINS (again in the good faith belief he was

furthering the Court's views). It is important to view the memorandum in context. He

was attempting to distill and construct simple instructions that could be easily followed.

The instructions were believed to be consistent with the parishes' rights to have their own

TINS in furtherance of what was believed to be the views of the Court and the other

parties. If a bank refused to provide a new TIN, the alternatives were to either open a

new account at the same bank and transfer the funds, or transfer the funds to a new

account at another bank. That is all that was suggested, and viewed in the context of a

belief that new TINs were necessary for all the foregoing reasons, and further recognizing

that any of these methods was utterly transparent and non-prejudicial to any party, there

is nothing conspiratorial about them, and certainly no reason to believe there was any

thought of violating the Court's orders or any bankruptcy policy or rule. The accounts

were at all times identifiable, traceable and the transfers completely transparent. The

mere obtaining of a new TIN could not legally have altered the parishes' position in the

5 54 1 issue because of the Court's March 5 order, and was not intended to achieve any

such result.

The Court's OSC also highlights Fr. Orsborn's statements about payroll

processing. This was a direct response to the RCBSD representations to this Court that

the Diocese would no longer be "fronting" any payments for the parishes. The Diocese

had an automatic debit arrangement for the payroll services provided to the parishes. It

was thus important for Fr. Orsborn to remind the parishes to provide for new payroll

processing in the new parish bank accounts. This recommendation was a good faith

effort to comply with the Court's direction that the parishes would be on a "pay as you

go" basis.

V. Periodic Report

Although not directed to OPSD or its counsel, the Court has also raised a question

regarding parish reports submitted to the Diocese. The parishes submit annual financial

reports to the Diocese which include some information about the bank accounts. OPSD

has in the papers previously filed in connection with the continued cash management

motion on April 1 1 offered to provide the Committee copies of such reports.

VI. Conclusion

OPSD and its counsel has and will at all times abide by this Court's orders. The

ministerial actions taken in relation to the TINS for Direct Parish Accounts were not

intended to violate or otherwise offend any order of this Court. The Alleged Parish

Accounts were not touched in any way. Certain misstatements were made by Fr.

3allagher in the honest in the belief they were correct and in the belief they were in

Furtherance of this Court's wishes. Although they were in error, they were well-

ntentioned and caused no prejudice. Corrective information has been provided and steps

aken to assure that no such misstatements will be made again. All parties' rights in

mespect of the 9 541 issues are protected and preserved, and not in any way prejudiced by

what has transpired.

We regret that the manner in which these events and communications unfolded

required the Court's intervention by OSC. In all the circumstances, however, we

respectfully urge that the Court find that there is no basis for sanction or penalty, and

)thenvise accept our assurance of continued respect for the orders of this Court.

I, Rev. Bruce J. Orsborn, declare as follows:

I. I am the priest at Blessed Sacrament Parish in San Diego, California.

2. I am the chairperson of the five member executive committee of the

3rganization of Parishes of the Diocese of San Diego, a California unincorporated

issociation. The other four members are: Rev. Michael F. Murphy, Msgr. Richard F.

hncanson, Rev. John P. Dolan, and Rev. Nicholas Dempsey.

3. I distributed the March 29, 2007 special communication

communication") to the pastors of the various parishes. Prior to its distribution, I

:onsulted with OPSD legal counsel. The Communication was intended to clarify the

hree ways by which parishes could obtain a new taxpayer identification number ("TIN").

t was my understanding that new TINs would avoid unnecessary confusion and undue

ielays for the banks, parishes, and other non-debtor parties. By my Communication, I

lid not intend to deprive the bankruptcy court or any party in interest of any rights, nor

lid I intend or believe that any party would be prejudiced in connection with the

letermination of whether the bank accounts were property of the parishes. I am aware

hat this is an important issue which has not yet been decided by the Court. However, it

vas also my understanding that both the Unsecured Creditors' Committee and the Court

lid not object to the parishes obtaining new TINs so long as it was done without

rejudice to the rights of any parties.

4. Paragraph 5 of the Communication was intended to notify the parishes that

because the Diocese could no longer advance funds on the parishes behalf and payroll is

ompleted via an automatic debit arrangement, parishes should make automatic debit

rrangements with respect to any new account so as to avoid interrupting their payrolls. I

elieved that this was consistent with the various Court proceedings in this case.

5 . The OPSD did not have knowledge of Fr. Gallagher's letter of March 17 to

is parishioners until after it was sent. Shortly after learning of the letter, and the

iisstatements contained therein, the OPSD authorized Mr. Vilaplana to communicate 8

with Mr. Stang, counsel to the Committee, in order to acknowledge the errors in Fr.

3allagher's letter. We undertook to communicate with Fr. Gallagher to advise him of his

:rrors. OPSD is prepared to undertake any other corrective measures which the Court

nay recommend or require.

6. I do not intend and never intended to disregard any Order of this Court or

3pplicable law. At all times, I have acted consistent with the advice of legal counsel in

;onnection with this case.

7. By this Declaration, I do not intend to waive the attorney-client privilege.

DECLARATION OF VICTOR A. VILAPLANA

I, Victor A. Vilaplana, declare as follows:

1. I am an attorney licensed to practice in the state of California and admitted

to practice in various federal courts including this Bankruptcy Court for the Southern

District of California.

2. I am of counsel to the law firm of Foley & Lardner and have been such

since October 2006.

3. On or about March 13, I was invited to appear before the executive

committee of the Organization of Parishes for the Roman Catholic Diocese of San Diego

(OPSD) to present my and my firm's credentials in connection with representing OPSD ir

the Chapter 11 case of the Diocese. It is my understanding that three other firms were

similarly invited.

4. On or about March 16, I was informed that OPSD selected us as counsel

2nd I have been acting as its counsel since that day.

5. In my first days as counsel for OPSD, I was told by various persons who

lad appeared at the March 1 hearing before this Court that the Court had suggested or

nged the parishes to obtain their own TINS for their bank accounts ("Direct Parish

4ccounts"). The Direct Parish Accounts are defined as those accounts belonging to the

~arishes and listed on Exhibit 2 to Mirando's Declaration in Support of First Day

Gotions. Indeed, by the time I was first engaged many parishes had already prepared

heir SS-4 form, had submitted it to the Internal Revenue Service and had contacted their

)anks to make the changes to their accounts.

6. In my first days as counsel for OPSD, I learned that certain branches of the

Jnion Bank of California (UBOC), were not willing to replace the Diocese's TIN with

he new parishes' TIN on the Direct Parish Accounts, and were also not willing to open

rew bank accounts for the parishes with their new TIN absent a Court order. It was and is

ny opinion that no such order was necessary. This opinion is based on the March 5 order

)f this Court and that such actions would be carried out without prejudice to creditors. 10

7. It was at all times clear to me and to OPSD that whatever action was taken

by the parishes such action would not and could not deprive this Court of its ability to

decide at some later date whether the funds in the Direct Parish Accounts belonged to the

Diocese or to the parishes. The transactions concerning the Direct Parish Accounts were

at all times open, transparent, traceable and identifiable.

8. UBOC filed a motion for an order permitting it to replace the Diocese TIN

with the parishes' TIN to be heard on April 11. As a result of that motion and in the

interest of cooperating with UBOC, the parishes agreed to defer closing any Direct Parish

Accounts at UBOC and transferring the funds to some other bank in order to have this

matter presented to and decided by this Court on April 11. This agreement between the

parishes and UBOC was the reason UBOC withdrew its request that its motion be heard

on an expedited basis.

9. The basis for my opinion regarding the correctness of the recommendations

contained in the March 27 special communication was (a) the representations made to me

by trustworthy persons that such action had been suggested or urged (but never ordered)

by this Court, (b) my review of the Court orders which were entirely consistent with

these representations, and (c) the clear understanding that none of these actions were at

the expense or to the detriment of third parties such as creditors of the Diocese. During

these early days of my engagement, I did not have a copy of the transcript of the March 1

or any other hearing in this case. I requested a copy of the transcript from various parties

but no one seemed to have a copy. I contacted the court reporting service directly and

obtained a copy myself. On March 26,2007, I read the transcript of the March 1

transcript. I noted that the Court appeared to support the idea of obtaining new TINS (as

had been reported to me by Mr. Davis) and I also noted that there was no prohibition

sgainst taking such actions and that Mr. Stang appeared to endorse such actions.

10. To repeat, it was my understanding that obtaining new TINS for the Direct

Parish Accounts was without prejudice to third parties' rights. In short, the entire context

Nas completely consistent with the actions which the parishes were undertaking.

11. Based on all of the foregoing it was and still is my opinion that the March

27 communication is not a violation of the March 1 order and that it does not in any way

prejudice the rights of third parties. I believe there has been a misunderstanding

regarding the bank accounts for which the parishes seek to obtain new TINS. I form this

belief because the Court's OSC at p. 2, line 3-4 indicates that the 770 bank accounts are

reported in Item 14 of the Diocese's Amended Statement of Affairs as property held in

trust for others. That is not correct. The 770 bank accounts are not listed as property

held for others and are not scheduled in Item 14. As is evident from the declarations of

Fathers Orsborn, Dolan and Dempsey filed with OPSD's reply to the Committee's

Opposition to the Debtor's Cash Management Motion, the bank accounts which have

been the subject of the TIN actions are the Direct Parish Accounts as to which the

Diocese has no control or custody. OPSD took no action as to the Alleged Parish

Accounts listed in Item 14 of the Diocese's Amended Statement of Affairs.

I am in receipt of your March 29 email regarding Fr. Gallagher's letter to his parishioners. There are many contentions in your email with which I disagree but neither of us will be the ultimate decider of these questions, so I will not bother here to correct your statements. I do, however, agree that two of the six bullet points in Fr. Gallagher's letter were inaccurate although innocently so. Further, the errors are of no consequence since the court was made aware that the parishes would explore obtaining a new tax ID number and the court did permit the use of separately designated funds, although resewing any final decision on the ownership of those funds. In light of your Opposition to the Cash Management Motion, where you raise the issue of Fr. Gallagher's letter, any further reply to your March 20 email regarding this matter will be set forth in o w reply to your Opposition.

With respect to your request for all documents regarding communications between the Debtor and the parishes regarding certain actions purportedly described in Fr. Gallagher's letter, I will inquire regarding what, if any, documents exist, I can advise you, however, that a Joint Defense Agreement exists and may cover some or all of such documents, if any exist.

I had hoped that the "preliminary comments" of Judge Adler would guide the actions of all counsel in this case. However, judging from both your email and your Opposition, it appears that matters which can and should be handled expeditiously and economically will be handled adversarially and in a costly manner.

CHAPTER 11 REORGANIZATION AND THE ORGANIZATION PARISHES

There has been some question about Annual Catholic Appeal donations. These are considered desi~nated aifts and must be used for the purpose intended by the donor. Your contributions to the Annual Catholic Appeal are not part of the Chapter 11 process. So, continue to honor the pledges you made in January for this year. The same is true for donations to the Secondary Education Initiative for the new diocesan high schools. They are restricted for the purpose to which they were given. Funds that are designated for building or other parish projects are also restricted and, therefore, available for the purposes designated.

In the past, excess parish funds have been placed in a pooled trust account managed by the Diocese. These funds have been placed in trust - like a savings account 0 where we gain 4.5% interest on parish money. These are unavailable while the court decides to whom the money belongs. It is our position that the money belongs to the parishes and schools and is held in trust by the Diocese. The attorneys of the Official Creditors Committee disagree. Until this question is settled by agreement with the Committee or court ruling, these funds are unavailable to the parishes from which they originated. The timing for any such resolution is not known at this time.

A new trust account is being set up where current parish funds can be deposited and made available to the parishes when needed. This account will offer the same interest rate as the previous "pooled" account. This new account will also allow parishes, in need, to take out loans. Currently several parishes, in the middle of building projects, are in danger of not being able to make payrolls and construction costs. This new pooled account, into which all parishes will contribute, will prevent these parishes from defaulting of financial commitments.

The 98 parishes in the Diocese have established an Organization of Parishes of the Roman Catholic Diocese of San Diego. The Organization was formed "for the solepurpose -- of representing member parishes (including their various ministries) in and in connection with the Chapter 11 case" (from the Organizational Charter). The Organization has retained legal counsel to represent the interests of the parishes in the Chapter 11 proceedings. Five pastors were elected as an Executive Committee to oversee this organization on behalf of all the parishes. It is the Organization's goal to ensure that parish monies and property, which we believe legally belong to parishes, are used for the benefit of the parishes.

Finally, since our unrestricted funds in the Diocesan pooled account are unavailable, we have very little to draw on in case of a parish or school emergency. We only have what is in our local bank accounts for day to day operating expenses. If you can increase your weekly giving, it will help build up a surplus for emergencies. If you are in a position to make a substantial gift, that would also be appreciated. It is the goal of parish and school staff to be responsible stewards of your generosity and to keep costs down.

This situation was brought on by a few priests and church ministers over the last 60 years who violated the trust of Catholic families and their children. Yet, all of us are paying some price. In Christian charity, as a Christian family, we must care for those whose lives were deeply affected by betrayal. Our ministry must include reaching out to the victims and healing the wounds they have suffered. It is our desire that this Reorganization of the Diocese of San Diego will accomplish that. We believe that each gesture of patience and generosity on your part will not go un-rewarded. For God is never outdone in kindness.

Let us continue to pray for the victims of abuse and all who have suffered as a result. Let us also not forget to pray for the numerous faithful priests and ministers who selflessly give themselves to the mission of Christ and His church.^
