NOTE TO ALL CONTRACT USERS:

PRICE:

Price includes all customs duties and charges and is net, F.O.B. destination any point in New York State as designated by the ordering agency including delivery inside doors of receiving agencies receiving platform or inside doors of receiving area if a truck height receiving platform is not available. (An agency should note on purchase order that they do not have a receiving platform.) In addition, upon mutual agreement, delivery locations may be expanded per the "Extension of Use" clause. Price is expressed as a percentage discount or percentage upcharge to the Price List indicated herein for each Item Number (Product Line) and shall apply to products in the Price List that meet Detailed Specification requirements incorporated herein. When placing orders, the percentage discount or percentage upcharge shall be applied on the basis of one coloration of one carpet style. The Price List is firm for one year from contract issuance. Following the first year of the contract, the contractor may update the contract Price List a maximum of two (2) times during each subsequent year of the contract, to reflect manufacturer's price changes and the addition of new products as established by the manufacturer in their normal manner. During these times, we will also review for inclusion in the contract, new carpet and carpet tile backings that have become available during the contract. (We will also allow contractors to make changes in servicing dealers at these times if you so desire.) However, all percentage discounts or percentage upcharges bid shall remain firm (unchanged) for the duration of the contract. Contractors shall submit three (3) copies of their additions or updates to the Price List to the Office of General Services, Procurement Services Group, for review and approval. If approved, the updated (new) Price List and contract changes shall become effective within sixty (60) days of our receipt and a contract amendment will be issued accordingly by our office. Contractor upon request shall furnish without charge, brochures which fully describe the carpet on contract, samples of each color carpet available, and Price Lists identical to those accepted with bids (and accepted future updated Price Lists) to all state agencies, political subdivisions, and others authorized by law to purchase from this contract. All Price Lists, additions and updates shall be marked to indicate products covered by the contract and products excluded from the contract shall be marked by obvious indication. Upon request the contractor shall assist authorized users in the use of Price Lists.

REQUEST FOR CHANGE: Any request by the agency or contractor regarding changes in any part of the contract must be made in writing to the Office of General Services, Procurement Services Group, prior to effectuation.

CONTRACT PAYMENTS:

Payments cannot be processed by State facilities until the contract products have been delivered in satisfactory condition. Payment will be based on any invoice used in the supplier's normal course of business. However, such invoice must contain sufficient data including but not limited to Contract No., description of product, quantity, unit and price per unit as well as Federal Identification Number. State facilities are required to forward properly completed vouchers to the Office of the State Comptroller for audit and payment. All facilities are urged to process every completed voucher expeditiously giving particular attention to those involving cash discounts. If the contract terms indicate political subdivisions and others authorized by law are allowed to participate, they are required to make payments directly to the contractor. Prior to processing such payment the contractor may be required to complete the ordering non-State agency's own voucher form.

IMPORTANT NOTE TO CONTRACTORS - CONTRACT MONITORING:

We will be monitoring the contract to ensure purchases are only for contract product. It is the contractor's responsibility to make sure excluded products are not being sold under the contract. If contractors are found to be in deviation of contract terms and conditions, we shall pursue remedies available to us which may include cancellation of contract.

EXTENSION OF USE: These contracts may be extended to additional States or governmental jurisdictions upon mutual written agreement between New York State (the lead contracting State) and the contractor. Political subdivisions and other authorized entities within each participating State or governmental jurisdiction may also participate in any resultant contract if such State normally allows participation by such entities. New York State reserves the right to negotiate additional discounts based on any increased volume generated by such extensions.

MINIMUM ORDER:

Minimum order is as noted in each Item No. (Product Line). DELIVERY:

Delivery is expressed in number of calendar days required to make delivery after receipt of a purchase order. Delivery shall be made in accordance with instructions on Purchase Order from each agency. If there is a discrepancy between the purchase order and what is listed on the contract, it is the contractor’s obligation to seek clarification from the ordering agency and, if applicable, from the Office of General Services, Procurement Services Group.

ESTIMATED QUANTITIES:

See "Estimated/Specific Quantity Contracts" and "Participation in Centralized Contracts" in Appendix B, OGS General Specifications.

CONTRACT PERIOD AND RENEWAL:

The State may unilaterally cancel the contract on a monthly basis any time after the initial twenty-four (24) months by providing written notification at least three (3) months prior to the requested date of cancellation. Cancellation will become effective the first of the month following the 3-month notification. The minimum term of the contract shall be twenty-four (24) months. This provision does not affect the State's right of suspension or cancellation contained in the "Suspension of Work" and "Cancellation" clauses in Appendix B, OGS General Specifications.



CONTRACT PERIOD AND RENEWAL (cont'd): Discounts or Upcharges quoted are to be firm for the entire period of the contract. Discount reduction or Upcharge increase will not be allowed and are specifically excluded. Discount increases or Upcharge decreases are permitted at any time. If mutually agreed between the Procurement Services Group and the contractor, the contract may be renewed under the same terms and conditions for an additional period not to exceed twenty-four (24) months.

SHORT TERM EXTENSION:

In the event the replacement contract has not been issued, any contract let and awarded hereunder by the State, may be extended unilaterally by the State for an additional period of up to one month upon notice to the contractor with the same terms and conditions as the original contract including, but not limited to, quantities (prorated for such one month extension), prices, and delivery requirements. With the concurrence of the contractor, the extension may be for a period of up to three months in lieu of one month. However, this extension terminates should the replacement contract be issued in the interim.

CONTRACT MIGRATION:

State Agencies or any other authorized user holding individual contracts with contractors under this centralized contract shall be able to migrate to this contract award, effective on the contract begin date (retroactively, if applicable). Migration by an agency or any other authorized user to the centralized contract shall not operate to diminish, alter or extinguish any right that the agency or other authorized user otherwise had under the terms and conditions of their original contract.

WARRANTIES:

See "Warranties" and "Year 2000 Warranty" in Appendix B, OGS General Specifications. Also, in accordance with the "Edge Ravel" clause is the Detailed Specifications incorporated herein, a minimum ten-year edge ravel warranty against edge ravel is also required. Where accessories are to be supplied, they must be compatible with the rest of the product.

REPORT OF CONTRACT PURCHASES:

Contractor shall furnish report of purchases made from contract the fifteenth of the month following the end of each six month period. The reports shall be in the following format:

The report is to be submitted to the Office of General Services, Procurement Services Group, Tower Bldg., Empire State Plaza, Albany, NY 12242, to the attention of the individual shown on the front page of the Contract Award Notification and shall reference the commodity group number, the Invitation for Bids number, contract number, sales period, and contractor's name. Failure to submit the required report may be cause for disqualification of contractor for future contracts.

CONTRACT SALES:

We will be reviewing contract sales as an aspect for consideration of product line inclusion in future bid invitations. We will be seeking a minimum dollar sales of $100,000 per year of the contract.



EMERGENCY PURCHASING: In the event that a disaster emergency is declared by Executive Order under Section 28 of Article 2-B of the Executive Law, or that the Commissioner determines pursuant to his/her authority under Section 163(10)(b) of the State Finance Law that an emergency exists requiring the prompt and immediate delivery of commodities or services, the Commissioner reserves the right to obtain such commodities or services from any source, including but not limited to this contract, as the Commissioner in his/her sole discretion determines will meet the needs of such emergency. Contractor shall not be entitled to any claim or lost profits for commodities or services procured from other sources pursuant to this paragraph.

OVERLAPPING CONTRACT ITEMS:

Products available in this contract may also be available from other State contracts. Agencies will be advised to select the most cost effective procurement alternative that meets their program requirements and to maintain a procurement record documenting the basis for this selection.

"OGS OR LESS" GUIDELINES APPLY TO THIS CONTRACT: Purchases of the product(s) included in the Invitation For Bids and related Contract Award Notification are subject to the "OGS or Less" provisions of Section 163.3.a.v., Article XI, of the New York State Finance Law. This means that State agencies can purchase product(s) from sources other than the contractor provided that such product(s) are substantially similar in function, form or utility to the product(s) herein and are:

1. lower in price -and/or- 2. available under terms which are more economically efficient to the State agency (e.g. delivery terms,

warranty terms, etc.).

Agencies are reminded that they must provide the State contractor an opportunity to match the non-contract savings at least two business days prior to purchase. In addition, purchases made under "OGS or Less" flexibility must meet all requirements of law including, but not limited to, advertising in the New York State Contract Reporter, prior approval of the Comptroller's Office and competitive bidding of requirements exceeding the discretionary bid limit. State agencies should refer to Procurement Council Bulletin "OGS or Less Purchases" for complete procedural and reporting requirements.

DISCONTINUATION OF PRODUCTS:

Contractors shall provide 60 days notification of products, colors and patterns being discontinued.

NOTE TO AGENCIES: These contracts are intended to give New York State access to an array of products that will better serve the individual needs of the end users. Prior to purchase, agencies should review their needs to be prepared to justify their purchase based on form, function and utility of the product as it pertains to their agency. FUTURE BID INVITATIONS: Should the need arise, the state reserves the right to consider other product lines for future bid invitations. Furthermore, one aspect for consideration for inclusion shall be dollar sales of carpet and carpet tile. Vendor must document minimum dollar sales of $100,000 within the last year (from the time of our request) to New York State agencies, political subdivisions and others authorized by law to participate in contracts established by our office.



MINIMUM REQUIREMENTS: Commercial carpet and carpet tile offered must meet the following minimum requirements:

Minimum Weight: 22 oz. yarn weight per square yard.

Flammability: Class I Flooring Radiant Panel Test with a minimum critical radiant flux rating of .45 watts per square centimeter.

Smoke Density: NBS Smoke Chamber NFPA-258 - Less than 450 Flaming Mode.

Indoor Air Quality: Shall meet or exceed Green Label criteria for indoor air quality.

We will consider Green Label Certification or also test reports indicating products meet/equal or exceed the prescribed indoor air quality requirements.

Static Control: When tested in accordance with AATCC-134 at 70oF/20% Relative

Humidity, static propensity shall achieve a rating of 3.5 K.V. or less.

Edge Ravel: Minimum ten-year edge ravel warranty against edge ravel COLOR:

Manufacturer's normal range of colors and patterns shall be available. If contractor receives a purchase order for a color or pattern that has been discontinued, it is the contractor's responsibility to notify the ordering agency within three working days of receipt of purchase order to select an alternative color or pattern. If the agency cannot find a suitable substitute color or pattern, agency may elect to cancel the purchase order.

NOTE: When products become available on future Price Lists and contractor would like to propose these as additions to the contract as allowable under this contract, contractor must submit three (3) copies of the updated (new) Price List, three (3) copies of a list of the additions, Flammability certification, Indoor Air Quality certification, and Certified Standard Edge Ravel Warranty for each new product. This information shall be submitted to the NYS Office of General Services, Procurement Services Group, for our review and approval.

PRICE: Price includes all customs duties and charges and is net, F.O.B. destination any point in New York State as designated by the ordering agency including delivery inside doors of receiving agencies receiving platform or inside doors of receiving area if a truck height receiving platform is not available. (An agency should note on purchase order that they do not have a receiving platform.) In addition, upon mutual agreement, delivery locations may be expanded per the "Extension of Use" clause. When placing orders, the percentage discount or percentage upcharge shall be applied on the basis of one coloration of one carpet style. The Price List is firm for one year fro m contract issuance. Following the first year of the contract, the contractor may update the contract Price List a maximum of two (2) times during each subsequent year of the contract, to reflect manufacturer's price changes and the addition of new products as established by the manufacturer in their normal manner. During these times, we will also review for inclusion in the contract, new carpet and carpet tile backings that have become available during the contract. (We will also allow contractors to make changes in servicing dealers at these times if you so desire.) However, all percentage discounts or percentage upcharges bid shall remain firm (unchanged) for the duration of the contract. Contractors shall submit three (3) copies of their additions or updates to the Price List to the Office of General Services, Procurement Services Group, for review and approval. If approved, the updated (new) Price List and contract changes shall become effective within sixty (60) days of our receipt and a contract amendment will be issued accordingly by our office. Contractor upon request shall furnish without charge, brochures which fully describe the carpet on contract, samples of each color carpet available, and Price Lists identical to those accepted with bids (and accepted future updated Price Lists) to all state agencies, political subdivisions, and others authorized by law to purchase from this contract. All Price Lists, additions and updates shall be marked to indicate products covered by the contract and products excluded from the contract shall be marked by obvious indication. Upon request the contractor shall assist authorized users in the use of Price Lists.
