1. The bidders who are interested in bidding can download tender documents from http:eproc.rajasthan.gov.in

2. Bidders who wish to participate in this tender will have to register on http:eproc.rajasthan.gov.in, To participate in online tenders, Bidders will have to procure Digital Signature Certificate ( type III) as per Information Technology Act-2000 using which they can sign their electronic bids. Bidders can procure the same from any CCA approved certifying agency, i.e. TCS, safecrypt, Ncode etc. or they may contact e-procurement Cell, Department of IT & C, Government of Rajasthan for further assistance. Bidders who already have a valid Digital certificate need not procure a new Digital Certificate.

The facilities shall be inspected before opening of financial bid to check the suitability for milk chilling activities as per norms of Jaipur Milk Union. After technical inspection, financial bids of suitable facilities shall be opened. The date of opening of financial bid shall be informed at a later date.

c) A person, signing the tender form or any documents constituting an integral part of the contract, on behalf of another shall be deemed to warranty that he has authority to bind such other and if, on enquiry it appears that the person so signing has no authority to do so, the JZDUSSL may without prejudice to other civil remedies, terminate the contract and hold the signatory liable for the costs and damages.

GENERAL TERMS & CONDITIONS OF TENDER AND CONTRACT:

1 SUB MISS I ON O F T E N D E R : 1.1 Tender must be uploaded online for "FOR MAKING AVAILABLE MILK CHILLING FACILITIES ON OUT SOURCE

BASIS AT FOLLOWING PLACE: 1) WITHIN A RADIUS OF 20-70 KMs FROM JAIPUR DAIRY BETWEEN TONK ROAD AND AJMER ROAD

AND NEARBY AREAS (Capacity 50,000 KGPD TO 1,00,000 KGPD) The financial bids should be uploaded, according to the directions given in the tender document. Each page is to be marked with digital signature as a token of acceptance of the term & conditions.

1.2 No refund of tender form fee / processing fee shall be made for tenders not accepted or tenders not submitted.

1.3 The rate per unit should be quoted for the contract period of TWO YEAR from the date of commencement of chilling of milk, which can be further extended in full or part for a further period of ONE YEAR on satisfactory performance during the contracted period on mutual consent.

1.4 The counter terms & conditions will not be accepted and as such no additions / deletions or alternation in the tender form should be done. In such case tender document may be liable to be rejected.

1.5 The contractor shall be deemed to have carefully examined the terms & conditions, specifications, size, make and drawing etc. In case of any doubts as to the meaning of any portion of these conditions or of the specifications, drawing etc. he / she shall before filling the tender form and signing the contract, may refer to the competent authority and get clarifications.

1.6 The contractor shall, invariably, furnish complete address of the premises of his office/ milk chilling plant together with full name and complete address, telephone no., FAX no., Mobile no., E-mail address of the person/s who is to be contacted for the purpose. All correspondence sent on the given address/ email shall be deemed to be properly served to the contractor not withstanding that such correspondence may not in fact have been delivered. Any change in the address thereafter must be notified to the JZDUSSL, Jaipur and a copy in confirmation of JZDUSSL, Jaipur having recorded changes in address be obtained in writing from JZDUSSL, Jaipur. In absence of such confirmation the correspondence made on the address given herein shall be valid. Once the confirmation is issued by JZDUSSL, Jaipur subsequent correspondence shall be sent to the new notified address.

1.7 The TENDERER shall not sublet / transfer his contract or any substantial part thereof to any other agency / person / firm / establishment.

1.8 The TENDERER shall have to upload all related documents in case of firm / company like partnership deed / memorandum and articles of association, registration certificate, PAN no. etc along with this tender-form. Any change in constitution of the firm shall be intimated to JZDUSSLTD for approval.

1.9 The TENDERER should sign (Digital Signature) on the tender-form at each page at the end in token of the acceptance of all the terms & conditions of the tender.

1.10 The JZDUSSLTD reserve the right to accept any tender, not necessarily the lowest tender and reject any tender in whole or part without assigning any reason thereof. Order can be placed for whole or part of the job to the contractor at the absolute discretion of the JZDUSSLTD.

1.11 Any discrepancy in filling the tender / incomplete tender form shall make the tender liable to be rejected.

1.12 Successful tenderer shall have to become Nominal Member of the Sangh by depositing requisite fee 1.13 The service facilities like water/ Steam/ Electricity/ Manpower/Refrigeration should be sufficient to fulfill the

requirement of JZDUSS operation. Else penalties as described in next pages shall be imposed 1.14 The tenderer will have to submit the rates as Rupees per Kg of Milk Chilled. The service tax, if applicable, shall be

paid extra, but the contractor will have to submit proof of such deposition with the next bill. 1.15 In case if any other tax is levied by central/ state govt. during the currency of the agreement, the same shall be paid

by JZDUSS upon submission of relevant documents.

2 . 0 EARNEST MONEY DEPOSIT: 2.1 EMD of Rs. 1,00,000/- will have to be deposited as per schedule, in form of DD/Pay Order (CTC only) in the office

of Jaipur Dairy, in favor of JZDUSSL and digitally scanned copy is to be uploaded along with the Tender bid. 2.2 No interest shall be payable on the EMD. 2.3 The EMD will be refunded to the unsuccessful tenderer within one month of the final acceptance of the tender. However, the EMD of the successful contractor will be adjusted in the security deposit. 2.4 Request for adjustment of any other amount lying with JZDUSSLTD will not be considered. 2.5 The EMD will be forfeited if the tenderer modifies / withdraws the offer during the validity period from the date of

submission of bid. 2.6 In case successful tenderer fails to deposit the security money and execute the agreement in given time, the EMD will

be forfeited. 2.7 In any case, if deposited DDs are rejected by bank, the tender shall be rejected immediately at whatever stage of

tender process 3 .0 SECURITY DEPOSIT: 3.1 The successful tenderer shall have to deposit the security money within 10 days from the date of issuance of rate

approval letter. 3.2 The successful contractor has to deposit security amounting to Rs. 5,00,000/= (Rs. Five lac only) by Demand draft

only in favour of Jaipur Zila Dugdh Utpadak Sahakari Sangh limited, Jaipur. This is inclusive of EMD. 3.3 No interest shall be payable on security deposit. 3.4 In case, successful contractor fails to execute the agreement in given time / defaulter to work as per the terms &

conditions of contract agreement / any loss to JZDUSSL due to neglect, contravention on the part of contractor, etc., the security money will be forfeited.

3.5 The deposited security money will be refunded after Six months of the expiry of the contract to the Contractor after only on submission of "No dues certificate from the competent authority" of the JZDUSSL.

4.0 AGREEMENT: 4.1 The successful contractor will have to execute an agreement in the prescribed form on appropriate non-judicial

stamp paper within10 days from the date of acceptance of tendered rate in writing. 4.2 The expenses of the agreement shall be born by the contractor. 4.3 The terms & conditions of contract-agreement will be enforcing from the date of contract-agreement made.

However, the contract period of milk chilling for TWO YEAR and will start from the date of starting of milk chilling activities, it can be extended in full or part for ONE YEAR on same terms & conditions, if satisfactory services are provided by the contractor throughout the contracted period.

4.4 During the period of contract-agreement, if necessary, any condition can be modified / incorporated with an objective to provide better service to the JZDUSSLTD.

4.5 The JZDUSSLTD reserve the right to terminate the agreement by giving 30 days notice with or without assigning any reason thereof.

EXIT CLAUSE: I f , t h e contract agreement is discontinued during the contract period by mutual consent of both the parties i.e.

JZDUSS Ltd and the contractor, then the security deposit & the Bank Guarantee of the contractor will be refunded.

5.0 BANK GUARANTEE:

The contractor shall have to submit the bank guarantee of Rs. 10,00,000/= (Rs. ten Lac only) from the nationalized Bank / Schedule Bank, before commencement of work, so as to cover any loss to JZDUSSLTD due to the failure on the part of contractor or breach of contract left after forfeiture of security deposit and any payable amount of the contractor lying with JZDUSSLTD The validity of the bank guarantee initially will be for a period of two years plus six months from date of start of milk chilling operation. However, the bank guarantee will have to be extended by the contractor to cover the extended period if any plus six months.

6.0 SECRECY OF DOCUMENTS: All the documents and drawings supplied by JZDUSSLTD must be treated as "CONFIDENTIAL" and must neither

be copied, reproduced, transmitted in whole or part, modified nor used in any other way without consent of JZDUSSLTD in writing.

7.0 COMMENCEMENT OF WORKS: 7.1 The contractor failing to provide the facilities within stipulated time (15 days from date of work order or as mentioned

in work order) shall be penalized by way of reducing contract period equal to delay. In case facilities are not provided even after 15 days of expiry of stipulated time than JZDUSSL, Jaipur reserves the right to terminate / cancel the contract and forfeit the security deposit. Extension in period beyond 15 days not exceeding another 15 days may be considered on recommendation of the committee, which may assess performance status & damages.

7.2 In case, if contractor fails to provide the facilities on or before stipulated time, in such situation, in addition to above

(7.1), the deduction of Rs. 1,000/= per day will be made from his bills for the equal no. of days delayed. In case, if contractor provides the facilities before the stipulated time, the period so saved will be added in to the two years contract period.

7.3 The contractor shall intimate to JZDUSSL, Jaipur in writing that all facilities as per terms & conditions of contract

agreement have been created and is ready for inspection, thereafter, the JZDUSSL shall arrange the inspection of the facilities. After satisfying about the quality / facilities created by the contractor, the JZDUSSL, Jaipur shall conduct the trial and issue the necessary work order to commence the work of milk chilling.

7.5 No trial expenses will be payable till successful trial. 7.6 The contractor will be solely responsible for all obligations regarding fulfillment of the provisions of concerning acts

and rules made there under in respect of the paraphernalia and infrastructure with him for running the factory. Otherwise also being the principal employer / owner of his plant, it is obligatory on the part of a contractor to comply with all legal obligations regarding rules & regulations, accounts at his own level. In no case, JZDUSSL will be responsible for non-compliance of statutory laws by the contractor in this regard.

7.7 The contractor shall ensure for all safety of man & machinery, etc. of JZDUSSLTD in the premises. For any loss due to default of contractor representative or personnel or plant & machinery the contractor shall be solely responsible and all the loss shall be recoverable from the contractor.

8.0 ARBITRATION: All disputes and differences arising of or any way touching or concerning to agreement, whatsoever shall be referred

to the Chairperson, JZDUSSL, who shall be sole arbitrator . The decision of arbitrator shall be final and binding on both the parties.

9 .0 JURISDICTION:

All legal proceedings, if necessity arises, to be instituted by any of the parties shall have to be lodged in courts situated at Jaipur and not elsewhere.

10.0 In case of any mis-happening or accidents in the premises due to default of contractor or their representative, the contractor shall compensate the all losses (man/machine/material) fully and JZDUSSL shall not be responsible.

SCOPE OF WORK:

The minimum capacity of plant for mi l k chill ing should be as follows:

CIVIL CONSTRUCTION

1.0 The plot area should be suitable to accommodate below mentioned all requisite facilities and proper set-back as per norms. All the below specified section and plant layout must be as per dairy norms.

2.0 The plant site should be situated in areas as mentioned. The plant should be situated on road so as to facilitate the free movement of milk tanker of 35 MT capacity tanker trailer and milk collection route vehicles.

3.0 The tentative requirement of building / space, required for installation of requisite plant and machinery, to be constructed suitably for Dairy Food Hygiene as per ISO 9001-2008 and HACCP 15000.

3.1 Hard Pad: The area should suitable, depth made out of RCC of 155 mm on suitable base (stone soling).

3.2 RMRD: Suitable to run one/two lines for milk collection complete (one line may be having roller conveyor / chain conveyor, milk weigher, drip saver, can scrubber-2 nos. and enough space to keep empty cans/ lids of at least one route. Second line having motorized can conveyor for filled and empty cans, straight through can washer and allied equipments) at a time. One no. of pit area to accommodate 02 nos. of milk dump tank, one no. of curd tank and two nos. of milk chillers. The route vehicle parking area should be covered by canopy made of RCC/ AC sheet / fiber sheet.

3.3 Q.C. Lab.: The sizes must be suitable, covered by RCC with slab 2.5 ft (W) X suitable length at 2.5 ft above from floor level (top of slab should be made of granite) with covered shelves, finished with white glazed tiles on walls up to a height of 5 ft. and Mandana / anti skid tiles / kota stone flooring.

3.4. Process Hall: The suitable area, covered by RCC / AC sheets / fiber sheet, finished with white glazed tiles on wall up to 6 ft height and mandana stone / kota stone / tiles flooring & alcove for milk silo / tanks.

3.5 Silo milk tank: Suitable numbers of Silos and horizontal milk storage tanks (insulated and preferably outer SS) should be made available/ earmarked for storing raw chilled milk. SS Line should be provided to facilitate rechilling, if required.

3.6 Tanker filling area: The hard pad area for tanker filling should be approx. 200 sq. m, made out of RCC flooring of 155 mm on suitable base.

3.7 Dock office: Two nos, of suitable to accommodate all office equipments / furniture required, covered by RCC, with

Kota stone / tiles flooring. 3.8 Plant store: One no. of suitable size to keep all type of chemicals / machinery spares / etc. 3.9 Toilet facilities block: Suitable. 3.10 Security room of approx. 3 m X 3 m X 10 ft (h) size. 3.11 Suitable space for Steam boiler house. 3.12 Suitable space for refrigeration plant IBT & allied equipments. 4.0 In the existing plant the necessary modifications / alteration will have to be carried out by the contractor as may be

directed by JZDUSSLtd. 5.0 Contractor is required to get approval existing facilities if any the same shall be subject to approval of JZDUSSLtd.

OPERATIONAL CONDITIONS & INFRASTRUCTUTRE 6.0 The milk chilling is to be done as per the guidelines given by JZDUSSL representatives stationed at plant. 7.0 In the interest of milk producers / consumers, if any modification is required as suggested by JZDUSSL during the

contract period, the contractor will have to incorporate such suggested modifications in the system to improve the quality and quantity of milk chilling. It will be binding on contractor to incorporate those suggested equipments in the system at any time, whenever called during the contract period for which no separate charges will be admissible in any way.

8.0 The cleaning of milk tankers will be allowed by the contractor in the plant, which is transporting milk from MCC. 9.0 The temp. of milk will be kept at all times during storage and milk dispatch must be below 5 degree C. 10.0 The total hygiene, sanitation of plant, equipments & surroundings, offices, RMRD, Process, Laboratory, tanker filling

area and stores shall have to be maintained by contractor as per norms of food hygiene/FSSAI / ISO norms /HACCP and direction of the representative of JZDUSSL.

11.0 The contractor shall maintain proper records as specified and prescribed by the JZDUSSL from time to time and will

make them available as and when required by the JZDUSSL official(s) for inspection and /or retention for any duration. 12.0 The staff of the JZDUSSL shall have the right to inspect the contractor plant / office for checking quality of milk

chilling for JZDUSSL, maintenance of plant, operational parameters, and hygienic conditions in the plant or any other matter relating to work.

13.0 The operational norms / standards of installed equipment are to be maintained by contractor, failing to maintain

which will be liable for suitable deduction and deemed to be accepted by contractor. 14.0 The unloading /loading /cleaning /decanting of milk can sample drawing will be done by JZDUSSL. Following facilities wi l l have to be available for m i l k chilling: 15.0 The detailed list of plant & machinery is to be submitted for approval. However, the tentative list of equipment is

enclosed as annexure - II. The operational standards of milk chilling, can washing and other equipments are specified as annexure - I.

16.0 Chilled water at the temp. less than 0.5 degree C and brine at -5 deg. C shall have to be made available in sufficient

quantity so as to chill the milk below 5 degree C. The temp. of chilled water should not exceed 1 degree C or brine above 0 deg. C during the period of milk chilling at all time. In case, if the temp. of milk is not achieved below 5 degree C in first chilling, the milk shall have to be re-chilled to achieve the required temp. and no re-chilling charges shall be payable for such re-chilling.

17.0 In case of non-availability of chilled water for any reason, it shall be the responsibility of the contractor to make

available alternative resources immediately such as ICE in sufficient quantity to compensate the chilled water etc. So that the quality of milk does not spoil and proper temp. of milk is achieved.

18.0 Sufficient quantity of potable water required for various operations / process at adequate pressure and volume

shall have to be provided, approximately one lac lit. per day with a peak load of 20,000 lit. / hr. All the supply point should have min. pipe dia. of 1.5".

19.0 Steam boiler of sufficient capacity has to be provided by contractor to make available dry saturated steam at desired

pressure / temp. in required quantity at all requisite points. Failing to maintain the operating parameters of equipments on account of steam, the deduction @ of 3 paisa per lit. of milk shall be made for the quantity handled during that period from bills of contractor. To measure the time duration JZDUSSL, Jaipur will maintain the operational -log book for monitoring purpose.

20.0 The contractor shall manage for timely preventive maintenance of his plant & machinery duly in co-ordination of

the representative of JZDUSSL without affecting normal operations. 21.0 In-case of break down of any plant & machinery, the contractor shall arrange / manage alternative with Least down

time, failure / delay shall be liable for suitable deduction. 22.0 The contractor shall arrange consumables / spares / Man-power for operations / cleaning / maintenance of all

strategic plant & machinery within the plant premises like- Refrigeration, DG set, power & lighting, steam boiler, ETP, bore-well, all dairy equipment, etc. at their cost and also for preventive & break-down maintenance thereof.

23:0 The contractor will also provide electrical power for running of complete plant & machinery within the premises

(Inclusive of all dairy equipments), lighting and office equipments, the cost of which shall be inclusive in the chilling charges. No separate electricity connection shall be taken by JZDUSSL nor any elect. Charges will be payable by JZDUSSL to the contractor.

24.0 In case of power failure from Electricity Company, contractor shall make available the requisite power from DG set

(silent type must) and inverter for which no additional charges shall be admissible. 25.0 The management of effluent i.e. its treatment and disposal as per prevailing statutory regulation of pollution control

dept. and any revision during contract period shall be the responsibility of the contractor, JZDUSSL shall in no way be responsible in this regard.

26.0 The tankers filling shall be done through milk chiller and no separate chilling charges shall be paid for the purpose.

The temp. of milk at the time of dispatch should be below 5 degree C in tanker. 27.0 The JZDUSSL, Jaipur will arrange quality control equipments, apparatus, laboratory chemical & reagent only for

checking quality of milk as per norms of JZDUSSL, Jaipur. 28.0 All consumable like soda ash, teepol, acids, caustic soda, bleaching powder, etc. used for cleaning of various

equipments and maintaining plant hygiene will be arranged by the JZDUSSL, Jaipur. 29.0 The JZDUSSL, Jaipur shall provide the office furniture & office equipments for its staff only. 30.0 The staff of contractor engaged in plant operation should have minimum qualification of ITI and should be

competent to operate various machineries / equipments of chilling center or as norms of Govt. Contractor shall be solely responsible for his staff

STATUTORY REQUIREMENT

31.0 The contractor shall obtain and submit the copy of the necessary approval for operations plant from The pollution control department and chief Inspector of factory & boiler. In case of any challan of the plant under environment protection Act or for any other offences committed under any law for the time being in force or any other person/s or by the contractor, JZDUSSL shall not be liable for such liabilities imposed by any court of law / authority / State or local body or any other Statutory Authority for committing any violation of the law by the staff engaged by the contractor in the premises while plant is used for the work of JZDUSSL during the pendency of this agreement. All the legal formalities to keep the plant in running condition will be the responsibility of the contractor.

32.0 The contractor shall abide by all necessary and applicable statutory requirements for operations of the plant like

Factory Act, PF & ESI act, Child Labour Act/ Industrial dispute act, payment of minimum wages act, gratuity act, work-man compensation act etc. in connection with running the plant and office for milk chilling.

33.0 The contractor will be required to obtain FSSAI license (mandatory). The contractor is required to strictly follow the provision / requirements of the standards of weight & measure Act 1976 and the rules framed there under applicable from time to time and the responsibility to comply with the act shall rest with the contractor.

34.0 The contractor shall be required to submit the half-yearly medical check-up report of its employees. Medically unfit

employees will have to be withdrawn and replaced from the work place.

35.0 The contractor shall have to provide the liveries to its employees in accordance with the work-order.

BILLING:

36.0 The contractor will submit the bill for payment to JZDUSSL on ten days basis in triplicate copy with due verification of satisfactory job done from the competent authority of J.Z.D.U.S.S.LTD., Jaipur.

37 . 0 RATE REVISION OF MILK CHILLING ON ACOUNT OF REVISION IN ELECTRICITY TARIFF:

37.1 In case of any upward or downward revision in electricity tariff by the electricity company, the chilling charges shall be revised as per following formula:-

37.2 For calculation of increase/decrease in variable charges, the electricity bills wi l l be considered. The increase/

decrease shall be calculated considering bills of previous three months, where- ever necessary. 38.0 The temp. of milk at the time of dispatch should be below 5 degree C in tanker. In case the temp. of the milk in

tanker is above 5 degree C, but within acceptable limits (as defined by JZDUSSL from time to time ), the appropriate deduction shall be made for the difference of temp. without any loss to milk quality. The deduction from the payment on account of rise in temp. in tanker above 5 degree C (if the quality of milk does not get deteoriate) shall be made as per the formula given below:

39.0 In case of milk getting sour / curdled at chilling plant due to any shortcoming on the part of contractor or non

availability of service like water, electricity, steam, good condition of plant & machinery, chilled water at a proper low temp., following deductions shall be made from the chilling bills / security deposit / bank guarantee of the contractor (The such spoiled milk will be the property of JZDUSSL):-

80 % value of the landed cost of such spoiled milk.

40.0 In case of break down / closer of operations on account on the part of contractor, J.Z.D.U.S.S.LTD. May have to divert totally / partly milk to alternative arrangements, all expenses incurred on such arrangement / quantity / quality loss will be the liability of the contractor and subject to the recoverable from the contractor.

41.0 During the contract period, if the contractor fails to work as per the terms & conditions of the tender / agreement, the J.Z.D.U.S.S.LTD, shall be at liberty to arrange work done from alternative source at the risk & cost of the contractor. The competent authority of J.Z.D.U.S.S.LTD. may give notice in writing to the contractor to make good the loss due to his failure, neglect or contravention and if the contractor fails to comply the notice immediately, the loss shall be recoverable from the outstanding payment /security deposit and Bank guarantee. The legal proceedings may also be initiated for the recovery of any over dues / left over outstanding.

42.0 In case of major violation of terms & conditions of this agreement by the contractor, repeatedly not maintain the norms, good condition of plant & machinery or any other deviations the JZDUSSL shall have the right to terminate this agreement without any compensation, damages etc. and all deposited security money and bank guarantee will be forfeited. In case the contractor is adjudicated / insolvent or enters into any agreement with the creditors or being a company, is wound up voluntarily or otherwise unless it be for the purpose of reconstruction with prior approval JZDUSSL will recover from the party any loss resulting therefore.

43.0 In case of any deviation is found to maintain / meet out the terms & conditions as specified in tender

document/contract agreement shall be liable for suitable deduction which shall be deemed to be accepted by contractor. Incase repeatedly deviation is found the contract agreement will be terminated and all deposited security money and bank guarantee will be forfeited.

44.0 If, any of the employee of the contractor found involved in pilferages of milk or goods the value of such stolen

goods will be recovered from the contractor. In addition to this a penalty up to 10 times of value of goods shall also be imposed on contractor.
