1. SITTEL S.p.A.

registered office in Roma Via Francesco Pacelli, 14 zip 00165 and its headquarter in Roma Via Giuseppe

SITTEL SpA has been established in 2016 June 1st and represents the natural evolution of Mazzoni Pietro

SpA, company involving teleconmunnications and technologic services since 1973.

2. Mission

Our mission is to be a company leader in the market that respesents our core business:

Telecommunications and Technological Services. During last years, due to our performances and our

relationships, our company has created many important synergies among these business reaching

satisfying results both in revenues and customer satisfaction.

Why a new company? SITTEL SpA represents the evolution of the previous company in order to

face a fast increasing market which requires strong experience and, at the same time, flexibility which can

be achieved by a new company.

2.1. Telecommunications

2.1.1. Fibre Optics Networks

SITTEL is able to give to its customers a whole service of design, construction, test and maintenance of

networks.

Design is coordinated by Technical Office and made by our qualified technicians placed all around our

country; in more detail, design requires:

Technical choices such as network architecture, cables

type, suitable infrastrucures, installation technology to

be employed (dig, aerial, etc…);

Preparing the Final Design full of all the documents that

both Customer and Authorities requires;

Drawing all the cartographies both digital and paper.

Network Construction is made by our workforce provided with the best performing machinery and

tools; our company is capable of trencing, directional drilling or excavating; cable installation is carried out

by means of cable blowing (blown fiber) or mechanical traction. Furthermore, our technicians are provided



with up-to-date equipments such as splicers, OTDR and oscilloscopes.

2.1.2. UltraBroadBand Networks (B.U.L.)

Inside the chapter of Cable Networks, UltraBroadBand Networks represent today’s challenge in the national

landscape.

The project is well known as “EUROSUD” and was launched by the law Decreto Legge 2011 July 6th n. 98

“Disposizioni urgenti per la stabilizzazione finanziaria” che all’art. 30,

“Finanziamento della banda larga“, which says : ”In order to reach the goals

of European Agenda Digitale, concerning the right to access internet for all

the citizens with a connection speed greater than 30 mbps and at least 50%

greater than 100 mbps, Economical Development Ministry together with

installation companies and operators owners of a TLC Network both fixed and mobile, prepares a strategic

plan, based on the principle of horizontal subsidiarity and partnership public-private, that identifies works

finalized to build the UltraBroadBand and BroadBand TLC network infrastructure,…” and moreover “…To

perform the strategic plan whereof paragraph 1, can be used public investments also pertaining to projects

co-bankrolled by means of European Funds 2007/2013…”.

In the Report of the Economic Development Ministry dated 2011 dec 15th named “AGENDA DIGITALE

ITALIANA” it’s written “…The matter is a unique project for the whole italian coutry aimed to define possible



ways to employ public investments according to the Communication of European Commission 009/C 235/04

“European Leanings referring to the application of rules concerning State support related to the fast

development of braoadband networks” in order to carry out, within 2020, the most challenging aims of the

second mainstay of European Digital Agenda [COM(2010) 245] fast and super fast Internet.”

Infratel S.p.A. - company in house of Economic Development Ministry – having in charge Ultrabroadband

and broadband plans, farmed out sinca 2013 many calls for competitive bids regarding UltraBroadBand

networks (BUL).

2.1.3. FTTH Project

Commitments scheduled by European Digital Agenda

is managed in Italy by Italian Digital Agency which is

one of the seven ventures of Europe

2020 strategy fixing aims for European growth to be reached within 2020.

In this scenary, main players of TLC market gave their meaning to accomplishments according to their needs

and capabilities.

In details, Telecom Italia S.p.A. – main interlocutor – defined its own strategic plan 2016-2018 which

foresees (Fiber To The Home) cabling of some Italian cities FTTH considered attractive. Thus, at the



beginning of 2016, Telecom Italia S.p.A. published bids to assign its works “turn-key” involving design,

construction and testing. Sittel S.p.A. entered of the four set of companies computing undertaking contracts

for the following cities: Bergamo, Brescia, Monza, Prato, Padova, Trieste.

2.1.4. PDH, SDH, DWDM, MSAN

TLC devices ever evolve in order to increase the amount of data transmitted on the physical means (cables,

ecc.); technologies are coming one after another: PDH, SDH, DWDM, PON. SITTEL S.p.A. thinks strategic to

follow these technologies to be updated.

2.1.5. xDSL

xDSL technology allow to transmit speed data on copper cables. SITTEL S.p.A. is able to install xDSL devices

of many world constructors both for TLC operators or constructors themselves. Networks xDSL based can

perform services such as PLS, HYPERWAY e FRAME RELAY.

2.1.6. Cablaggi strutturati e reti LAN

LAN cabling and networking are considered by SITTEL S.p.A. a strategic business.

CABLING: Our workforce is capable of install all the techonologies of cables (copper

UTP, FTP, STP categories 5, 5E, 6, 6A e 7 and fibre multimode 62.5/125 m, 50/125 m

or 9/125 m monomode). Our company established a partnership with Brand-Rex being

a certificate installer of this brand.

NETWORKING: our technicians can deal with many devices of various

brand such as Cisco Systems, HP, Allied Telesis, Alcatel, Nortel,

Huawei, Avaya, 3COM, ZTE.

FIREWALLING: security of networks is a need which customer are requiring more

and more; SITTEL S.p.A. can supply many techonlogies to its customers; particularly,

we can provide CLAVISTER devices appreciated by our customers.

WIFI: WiFi networks are lately required by some customers in order to provide to

their user data services; tipically, these customers have wide sites such as hospitals, public offices, ecc.

Some examples of networks built by SITTEL S.p.A. are: Turin Court, Mauriziano Hospital in Turin, Defense

Ministry, Police, Foggia Hospital, University of Parma, WiFi Network of Bolzano, Bressanone, Vipiteno.

Our company is steady working for Telecom Italia S.p.A. since 2007 on so-called CONSIP LAN contract

which is the national contract for public administration networks.

2.1.7. Mobile Networks

One of the driving trends in TLC is the growth of mobile networks. It’s commonly known that phones has



become smartphones and apps for these devices are growing every day.

Technology must follow the spread of both of them and the standard now

available in 4G – LTE even if worldwide costructors are experimentating 5G whose availability is foreseen

within 2020.

Construction of sites for mobile newtorks can be shared out in two phases:

Site Acquisition

It consists of Site Location respecting mobile radio coverage parameters required by the operator; the site

must be also suitable to host a Radio Base Station (RBS) both considering existing infrastructures

(availability of power supply and connection to TLC networks, roads, ecc.) and rules (property approval,

law in the matter of civil works, ecc.).

SITTEL S.p.A. established a network of Engineering Offices alla around the country capable of Site

Acquisition.

Site Construction

Site Construction includes civil works, cables and devices installation, commissioning and radio testing.

SITTEL S.p.A. is capable of deliver a site “turn-key” performing approval of construction from authorites,

site design, steel structures supply and civil works, power supply, air conditioning, device installation,

commissioning and maintenance.

Main contracts now running are:

- ASP Ericsson Telecomunicazioni S.p.A.

- Backhauling Telecom Italia S.p.A.

- SRB 2016-2017 per Telecom Italia S.p.A.

2.1.8. Sistemi di Videosorveglianza

In order to widen our business, SITTEL S.p.A. has acquired experience on

videosurveillance (CCTV) considered by our company as a market driver in the

following years.

Our company has performed:

1) CCTV site connection to the network owing to our experience about fiber

optics

2) Control Room construction



3) CCTV site building based on our capability in Mobile sites realization.

By the way, MAZZONI PIETRO S.p.A. (now SITTEL S.p.A) has developed in 2008 a road closet provided with

power supply and air conditioning to host all the devices.

Main poroject in thi s field are:

Cliente Telecom Italia SpA: surveillance systems in the cities Catanzaro, Lamezia Terme, Vibo Valentia,

Tropea, Napoli (Vomero) and motoway A3 Napoli-Salerno.

Cliente Almaviva SpA: surveillance systems in the cities Reggio Calabria, Crotone, Villa San Giovanni, Locri,

Siderno.

Cliente Thales Italia SpA: surveillance systems for railway stations in Campania.



2.2 Global Service

Global Service is the answer that our company gives to our customer request to deal with only one company

to maintain its own sites plants ranging from offices to farms. Beneath this name are included electrical

networks, cooling, hydraulic plants, fire-extinguishing systems, smoke relevators, remote control,

videosurveillance, access control. It includes also these services: availability service H24, Help-Desk, to take

charge of law accomplishments (autorizzazioni ISPESL, CPI, DM 37/2008).

2.2.1 Power Supply

SITTEL S.p.A. deals for several years with design, construction and

maintenance of power supply systems both Alternate Current (AC) and Direct

Current (DC).

Our Engineering office submitted to an engineering long time experienced,

our company is able to design power supply systems even complex ones

thanks to our expertise on Power Supply and UPS of the most important

constructors such as Emerson, Eltek-Valere, Harmer & Simmons ora AEG

Power Systems, Riello UPS, Enerconv, Delta, Chloride, Bragamoro, ecc.); our workforce is skilled owing to

training given by these companies.

2.2.2 Power Generators

Our company deals with design of power or group generators used as a back-up

of power supply systems both indoor or outdoor.

Our company can certificate systems by the law (D.lgs. 152/2006).

Furthermore, SITTEL S.p.A. can also rent wheel poer generators, expecially for

mobile networks or natural disasters.

2.2.3 Electrical Wiring

SITTEL S.p.A. is able and certified to wire customer devices starting from the electrical substation (MV/LV);

activities included are electrical panels, batteries, power generators up to power outlet design and

installation.

2.2.4 Air Conditioning

Our company is capable of design, installation and maintenance of air conditioning systems. We know

systems supplied by various constructors such as Climaveneta, Hiross, RC Group, Stulz, ecc.).

Our Engineering Office includes an engineer skilled in these systems in order to design customer plants.

Our technicians are skilled both in hydraulic circuit or in cooling

equipments according to the law n. 43/2012 (European Rule CE 303/2008

and following).

Our service includes also the rental of mobile air condition systems even

most powerful ones.

2.2.5 Fire-Extinguishing

SITTEL S.p.A. has the ability to deal with both fixed and mobile Fire-Extinguishing systems. We can install

and check periodically according to the law fire-extinguishers, sprinkler, fire hydrant, smoke detectors.

Beside of this, our service includes also al the registrations needed by the law or required by the customer.

2.2.6 Global Service Contracts

SITTEL S.p.A. is working for several years on a contract for Telecom Italia S.p.A. in region North West; the

contract is about maintenance and constructions of plants both for fixed and mobile network.

In order to give a whole idea of the contents of the contract, activities performed are:

- Fixed Network Central Offices (C.O.), RBS inside the C.O., RBS outside:

• Construction, normal maintenance, corrective maintenance (failure) and exceptional

maintenance of electrical substations (MV/LV), DC systems (power supply, batteries,

copper cables or bars, electrical panels), AC systems (UPS), group generators, air

conditioning systems air or water based, control network (PLC);

- Fixed Network Central Offices (C.O.), RBS inside the C.O., RBS outside:

• Construction, normal maintenance, corrective maintenance (failure) and exceptional

maintenance of water heaters, fuel tanks, building, towers, ladders (SOLL, FABA,

SKYTAC), asbestos surveillance and annihilation (MCA - D.M. 6.9.1994), fire

extinguishers, remote control, alarm system, energy consumption control;

- Fixed Network Central Offices (C.O.), Offices: • Fuel supply and heaters management;

- Fixed Network Central Offices (C.O.), RBS inside the C.O., RBS outside

• Design, construction and maintenance of photovoltaic systems.

3 Struttura Organizzativa

Our market is evolving rapidly; therefore, our management need to evolve together with our environment

to face completion, customer requirements and market trends.

Even though being established in 2016, our company starts from the consolidated experience of Mazzoni

Pietro S.p.A. which in 2014 widened its management inserting some key people in order to grow company

skills. This operation was thought to face the business growth foreseen for years 2015-2020.

SITTEL S.p.A. organizational structure is described in the figure below:

Our management can be shared in two levels:

- Headquarter whose task is to define business plan and strategies, coordinate and manage

local offices, set the guide-line of the company and control their application and results;

- Local Offices (under the Operation Manager) whose task consist of develop teir business

according to guide-lines defined by the headquarter and respecting company’s targets. Each

of them is leaded by a manager called Responsabile di Filiale who coordinates a team of

technicians called Assistenti; each of them manages many workers gving them instructions

for their work, designs, ecc. and is responsible for his group of tasks assigned by the chief;

each local office has a logistic handler which is responsible for the management of the



warehouse, tools, equipments and vehicles.

electronical, heating and air conditioning, plumbing, gas, lifting installations according to the law D. M.
