adoption facilitation agreeMent

this adoption facilitation agreeMent the (“agreement”) is the written fee contract

that california law requires adoption facilitators to have with their clients. it is between UniqUe

adoptions, inc., (“Unique”) and John doe and Mary doe (“clients”).

1. conditions. this agreement will not take effect, and Unique will have no obligation to

provide adoption facilitation services, until clients return a signed copy of this agreement along with

payment in full of Unique’s fees as outlined in paragraph 5 of this agreement (“effective date”).

2. scope of services. clients are hiring Unique to act as clients’ advertising service by

advertising Unique’s services, gathering information from prospective birthmothers and passing on

to clients, their attorneys and/or licensed agencies that clients have chosen to represent their legal

interests in the adoption process. as an adoption facilitator, Unique may advertise for the purpose of

soliciting parties to an adoption or locating children for an adoption, and may act as an intermediary

between parties to an adoption.

clients have been informed and acknowledge that Unique has not and does not represent

itself as a private or publicly licensed adoption agency, licensed psychotherapist, counselor, attorney,

law firm, adoption service provider, investigator or social worker. Unique is not licensed by the state

of california to provide any of the aforementioned services and does not offer to provide said services

in these or any other capacities. however, Unique is bonded in the sum twenty five thousand dollars

($25,000.00) and maintains a valid business license.

3. dUration of agreeMent. this agreement shall be in force and effect for a period of two (2)

years from the effective date of this agreement or upon one (1) successful adoption, whichever event

occurs first.

4. clients’ dUties. clients agree to be truthful with Unique, to cooperate, to timely inform

Unique of any and all developments, whether personal, financial or otherwise, that may have a

tendency to impact the services to be rendered by Unique, to abide by this agreement, and to keep

Unique informed of clients’ address, telephone number and whereabouts.

5. fees. Unique’s fees for the services rendered pursuant to this agreement are fifteen

thousand five hundred dollars ($15,500.00) payable in full at the time clients’ retain Unique’s services.

these fees are non-refundable except as outlined in paragraph 6 of this agreement.

10. confidentiality of inforMation. clients acknowledge that any information provided

by any party is not confidential but that this waiver of confidentiality shall only apply to the parties

to the agreement, their attorneys, their designated agents, the department of social services or upon

order of a judge of the superior court.

11. arBitration. any controversy, claim or dispute arising out of or relating to this agreement or

the breach, termination, enforcement, interpretation or validity thereof, including the determination

of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in the

county of riverside, state of california, before a sole arbitrator in accordance with the laws of the state

of california for agreements made and to be performed in the state of california.

the arbitration shall be administered by JaMs pursuant to its streamlined arbitration rules.

the arbitration shall be conducted in the county of riverside, state of california. Judgment on the

award may be entered in any court having jurisdiction.

clients represent and warrant that they will not attempt to place any claims whatsoever

against Unique’s surety bond until such time as clients have participated in an arbitration proceeding

administered by JaMs, and obtained a valid arbitration award with a specific finding that Unique has

caused clients to be damaged as a result of fraud, misstatement, misrepresentation, unlawful act or

omission, or failure to provide the services as outlined in this agreement.

12. entire agreeMent. this agreement represents the entire agreement between the parties in

connection with the services contemplated hereby and the subject matter hereof and this agreement

supersedes and replaces any and all prior and contemporaneous agreements, understandings and

communications between the parties, whether oral or written, with regard to the subject matter

hereof. there are no oral or written agreements, representations or inducements of any kind existing

between the parties relating to this agreement which are not expressly set forth herein.

13. captions and headings. the captions and paragraph numbers appearing in this

agreement are inserted only as a matter of convenience and do not define, limit, construe, or describe

the scope or intent of this agreement.

6. right to cancellation. this agreement may be canceled or revoked by clients and/or

Unique for a period of up to seventy two (72) hours after the signing of this agreement. notice of

revocation or cancellation by any party to this agreement must be received in writing by the non-

canceling party within seventy two (72) hours after the signing of this agreement. in the event that

a party to this agreement provides written notification of cancellation within seventy two (72) hours

after the signing of this agreement, and clients have paid fees to Unique, clients will be entitled to a

refund of all fees paid, except for any reasonable fee actually earned by Unique that is supported by

written record or documentation.

7. non-transferaBility. this agreement is solely between clients and Unique, and

therefore cannot under any circumstances whatsoever be transferred, conveyed or sold to any other

individual, person, organization or entity that is not a party to this agreement.

8. disclaiMer of gUarantee. nothing in this agreement and nothing in any statements

made by Unique to clients will be construed as a promise or guarantee about the outcome of clients’

attempts to successfully adopt a minor child. Unique makes no such promises or guarantees. any

statements made by Unique about the outcome of clients’ attempts to adopt are expressions of

opinion, only. Unique will use its best efforts to fulfill the purpose and intent of this agreement

pending its duration as set forth in paragraph 3 of this agreement.

clients have been informed and acknowledge that there are inherent risks associated with

the adoption process. Birthmothers have been known to change their minds, either prior to or

subsequent to the birth of a child. adoptive parents may encounter financial and/or emotional

challenges that cause them to reconsider their decision to adopt.

9. BirthMother representations. Upon being contacted by a potential birthmother, Unique

requires the birthmother furnish a background questionnaire detailing all pertinent information

concerning her medical history, drug, alcohol and tobacco use, social history and information

relative to the birthfather. Unique also requests that the birthmother provide a verification of

pregnancy along with hiv testing. Unique does not act as an independent investigator and cannot

be responsible for the content of any information received by the birthmother. Unique makes no

representations or warranties, express or implied, as to the accuracy, completeness or truthfulness of

any information provided by a birthmother.
