Tianscripts a 2 Part r Deborah Nice to see you again, Mrs Osborne. Business is good, I hope? Miyo Not bad, notbad, thank you. I can't complain. Deborah Now youmentioned onthephone that you wanted to consult me onthequestion of changing thestructure of your business. How exactly can I help you? Miyo Well I'm thinking of getting into something new with mybusiness and l'd tike to discuss thetegal imptications with you. Deboroh Up titt now you've been operating asa sole trader since you started in zoor, haven't you? Miyo That's right. When | firstmoved here from lapan, I was setting Japanese goods from my own home. The business has done reatly well and I want to exoand into furniture and textiles. I feet thegrowth potential there is greater than in thefood and clothing sector. Deboroh I can't see any probtems with doing that with your business asit is.Or are you thinking of forming a separate company specializing in furniture and textiles? Miya Wett, thathad crossed mymind. But I am the only owner and manager at themoment, so l'mthinking of offering one or twoof the people who work with me, some sort of position aswe[[. That's fairly straightforward, isn't it? Deborah Well, it certainty doesn't have to be complicated. I think you should tett me a bit more about your plans and about thepeople you want to bring into thebusiness. Miya Fine. The main thing isthatI think we're going to need more capital in order to expand thebusineSs and this is where I need your advice. Part z Miya Let me explain. Every year since I started, my profits have gone up andI have used those profits to expand thebusiness. l've iust used profits and some money of my own thatI had in thebank. I'mreally proud thatI haven't had to ask anyone else formoney and even now thebusiness has nodebt at alt. The problem is that wenow need to expand. We need new premises forour showroom, we need new storage space , we need to invest in new lTequipment ...1've heard about an office in a great part of town andlcould easily convert it into a shop. lt'sgotalt the storage space we need too. We can't afford to miss this chance and wehave just enough cash in the bank to make anoffer forit right away. Deborah Hmmm.. I wouldn't recommend doing that without knowing a bit more. You said it'san office buitding at themoment? Welt, it's possibte that you'tl need permission from the locaI council to change theuse ofthe buitding and if you don't get thepermission, you won't beable to use it asa retail outlet. It'tt just bestanding empty. Inmy view it's too much of a risk to make anoffer for it at this stage: can you find outany more about it? Miyo Mmm. lt's notactually on themarket yet... butl'll tryand find outa bitmore. Deboroh Good. l'd strongly suggest talking to a property lawyer about this. I can ask someone from ourproperty department to give you a call about it. lsthat OK? Miya Yes, I'd appreciate that. Deborah And what about your colleagues? You said earlier that you wanted to bring one or two people into thebusiness? Miya Yes. Firstly, l'm really keen to reward the toyatty of two of mystaff. They've stayed with me since thebeginning and even turned down job offers from other companies in order to make this business succeed. I want to give them a share in thebusiness. Secondly, in a year or two from now I might want to give these twopeople some say in themanagement of thebusiness. They've supported me from thebeginning and so I could perhaps make them directors ofthe new company. Thirdly, asI said, thebusiness needs to expand, and forthat weneed a little more money. My accountant putmein touch with a possible investor who could contribute theamount that weneed. DeborohI see. Soforming a company really does seem to bethe best option foryou. Certainty if you want to bring in a new investor, I'd suggest incorporating thebusiness, and the investor witl probabty suggest doing that anyway. Miya Exactly. I assume thattheassets ofthe business wil[ be transferred from me personally into thenew company, once it's set uo. And then I'tt have shares in the company, together withthetwo staff, and the new investor. ls thatright? Deborah Yes, that's it. Butdoyouhave anymore details about theinvestor? And had you thought what would happen ifyou and he coutdn't agree? What would you do forfunds then? Miya Then I suppose it would mean going to the bank fora loan. But I reatty hope it won't come to that... I've heard that thebank coutd ask me to guarantee theloan personally, and maybe even ask for myhouse assecurity. Deborah Yes, exactly. The toan would beto the company, buttheperson guaranteeing the loan would be you. You have limited liability asa shareholder in thecompany, but untimited liabitity asa personal guarantor of theloan. That's normatly what banks ask for a t Transcripts
