It has been a tradition of the Grupo Protege to publish a Social and Environmental

Responsibility Report at the end of each year, 2012 being its seventh edition. Today,

we feature approximately 22,000 employees, present in every Brazilian region. Con-

sidering that scope and its implied responsibility, 2012 was a challenge in expanding

environmental, cultural and educational projects. The present report consequently

records all actions we performed in terms of social and environmental responsibi-

lity.

a Message froM the

President

We are pleased to present the seventh edition of Grupo Protege’s social and environmental balance, consolidating the results of our actions and projects in 2012, which took place in the areas we operate in.

As we defined the goals for 2012, environmental responsibility was in the spotlight, a fact that led us to seek new partnerships, which were added to those institutions the Grupo Protege already supports.

From a general point of view, the growth of our company has reached a historical hallmark, which becomes clear if we look at the number of our staff, currently counting 22,000 employees. Our directors and other company executives, along with the various management layers, and in particular those running our operations effectively, are responsible for that scenario that improves every year.

Our growth in 2012 included new operational bases in the state of Mi-nas Gerais, the refurbishment and modernization of various units, new trucks for our CIT transportation services, plus a strong investment in technology and training.

We also faced difficult times, which have been increasingly frequent in high-risk segments as ours, but mostly, we managed to turn tho-se issues into opportunities. We enthusiastically noted how volunteer activities grew in several operational bases, both for the benefit of the families of our employees and of institutions we supported through campaigns and special projects throughout the year.

In this regard, we emphasize the importance and our concern for envi-ronmental issues, which is why we disclose the present report on the work of all our staff. We reiterate our commitment for 2013, aiming to further expand our actions and projects.

We would like to share our joy with everyone and make clear that we will continue to serve our customers with excellence and total dedica-tion, always exceeding customer expectations regarding the services we perform.

The Grupo Protege has been developing fast to become a leader in the different segments it operates. We are proud to be Brazilian and to con-tribute to society by generating jobs and partnerships with customers, suppliers and social institutions.

The Grupo Protege took up its activities in 1971 under the name of Gel-re, operating exclusively in the field of Property Security.

In 1979, the company changes its name to Protege. In addition to in-vesting heavily in expansion and diversification of its services, it also started offering CIT Services, Cash Processing, Custody and Escrow of Valuables, among others.

From the 80’s, the company also began to expand into other regions of Brazil, marking its presence in the country’s major economic centers.

Today, the Grupo Protege ranks among the largest service providers in Brazil, combining quality and technology in all its activities and perma-nently investing in the development of its professionals.

Aiming to meet the demand and needs of the market, the Grupo Prote-ge currently includes the following companies:

The main goal of the “Projeto Aprender” is support employees who seek to continue their studies by supplying them with information on exam dates and locations, government programs that support young people and adults, and maintaining a textbook library.

The “Projeto Crescer” aims to encourage and develop the social and cul-tural practice among employees and their relatives. The project seeks to integrate participants into the company by means of special events that involve families in the work environment of employees.

aCtions aChieVed dUring the year:

sChooL hoLidays

This year’s event held during the July school holidays was attended by over 250 people, including employees and family members of the units located in the Metropolitan Region of São Paulo.

The event was held in the São Paulo Zoo and aimed to get the families of the employees closer to the company and nature.

father’s day

In the first week of August, the regional offices of Rio Grande do Sul and São Paulo held several Father’s Day events that included choirs and musicians honoring the Group’s employees who also are fathers.

indePendenCe day

Our Operational Base in Presidente Prudente held a drawing contest for the family members of employees. Gifts and souvenirs were distributed to highlight and honor the Independence Week.

ChiLdren’s day

To celebrate the Children’s Day, a wide range of activities were held in the following business units:

São José dos Campos, Campinas and Bauru campaigned for donations of toys to entities.

Presidente Prudente organized a competition featuring several games and launched actions for the protection of the environment with bro-chures on recycling and distribution of tree seedlings to employees and their children.

Porto Alegre not only organized a toy donation campaign, but employees and their families also spent an enjoyable day together that ended with a contest including many activities.

Salvador organized a trip to the Zoo with a biologist as a guide who made everyone aware of environmental issues.

In São Paulo, a gathering for employees and their children included a football tournament and a toy collection campaign.

Goiânia organized a program in partnership with SESI.

Rio de Janeiro organized a party in partnership with the SEST SENAT

With the support of employees, the Protege Solidarity Program has been helping institutions and communities in need on a permanent ba-sis through donations and differentiated actions.

In 2012, several campaigns were set up covering all regions of Brazil, namely: Coat Campaign, School Supplies Collection Campaign, Toy Col-lection Campaign, in addition to other actions related to the Christmas season.

In October, on Children’s Day, several units organized a Toy Collection Campaign. The toys were delivered to welfare institutions chosen by the respective units.

ChiLd footbaLL ChaMPionshiP

In October, the Grupo Protege organized an event that’s already be-come traditional. In the presence of employees and their families, the 2012 Child Football Championship was attended by several teams with players aged between six and fourteen years old, all children of em-ployees of the units of the Metropolitan Region of São Paulo.

PartnershiPs with teaChing institUtions

To support the growth and development of its employees, the Grupo Pro-tege has partnered with more than 60 institutions, such as universities, language schools, computer schools, among others, offering discounts to its employees and their families.

Library

The Grupo Protege has a library of over 1000 titles on a wide range of subjects, which can be borrowed by employees. Every month new books are purchased to keep that collection updated.

Our book lending system covers the entire company, regardless of em-ployees’ workplace location.

The books are periodically publicized, which includes reading sugges-tions made by employees.

trainee PrograM

The Trainee Program is in its fifth year and seeks to develop internal and external talents, undergraduates and/or graduates, to meet the company’s need for skilled manpower that is qualified enough to occupy leadership positions in Grupo Protege’s units. The program has pro-vided theoretical and practical learning opportunities and has formed many of our current managers.

In 2012, the program attracted more than 3,000 candidates. The finalists have been carrying out their activities with great success in all the main areas of the company and will soon be prepared to perform as profes-sionals.

inCLUsion of PeoPLe with disabiLities

The Grupo Protege aims to go beyond the requirements of the Article 93 of the Law 8.213 of 24/07/1991. It understands that, for ethical reasons, it plays an important role in hiring people with disabilities, as well as in inserting them into the productive system.

That’s why the Grupo Protege doesn’t discriminate those professionals in any way, but rather provides them with the same training and deve-lopment opportunities from the day they join the company.

heaLth and QUaLity of Life

In partnership with medical institutions and professionals, several units of the Grupo Protege offer health promotion programs and actions that contribute to a better quality of life. In 2012, the company organized talks that aimed to inform participants about healthy habits, promote behavio-ral changes, and advise them regarding prevention and early treatment.

Protege beM estar (Protege weLL being)

The Protege Bem Estar program consists of periodic newsletters that feature information on health, nutrition, physical activity, and sporting events.

The program’s main goal is to encourage and guide employees to achie-ve a balance between work, free time and practicing some physicalactivity

workPLaCe exerCise

The Grupo Protege has invested in a Workplace Exercise Program since 2007 to promote integration, motivation and well-being among its em-ployees.

Planned activities that are developed exclusively for the Grupo Protege by highly qualified professionals have contributed to improving the qua-lity of employees’ personal and professional lives.

Results show that the activities performed at the workplace improve the attitude and motivation of employees, provide integration among the te-ams, and contribute to improving the organizational climate.

Today, the program is already part of the daily routine at several Grupo Protege units; our objectives for 2013 include implementing workplace exercise into all the other units, as well..

organizationaL CLiMate sUrVey

The satisfaction survey has been an important people management tool. It collects data to analyze how our employees evaluate the internal environment of our organization.

In 2012, that process was transformed from paper, i.e., from filling-out a specific printed form, into a fully electronic version.

CoMPetenCy-based ManageMent

Competency-based Management is an assessment tool used to iden-tify the GAPs (points to be developed) of our employees, taking into account their different positions and functions within the company.

Among other features, this management tool develops employees through GAP Correction Training, teaching them as much as possi-ble the skills they need to perform their tasks in compliance with the company goals.

distanCe edUCation PrograM

The e-Learning methodology (via Web) has allowed the Grupo Protege to increase its investments in the personal and professional develop-ment of its employees.

In addition to maintaining a partnership with the Catho institution that in-cludes a course program that has already been used by over a thousand participants, the Grupo Protege took another important step in 2012, ac-quiring its own distance education platform.

That teaching methodology allows us to offer the same courses to diffe-rent units of the Group. In addition to that, the different company areas can develop a specific module according to their activities and needs.

Career PLan

In our segment, Career Plans have been a differential that value and recognize internal talents; they are favored over other methods to fill new vacancies that result from the growth of our company.

One of the features of the Grupo Protege is its vision on growth and internal opportunities. It shows in the articles HR has been publishing for over a year in its newsletter called “Success Stories”, which pre-sents several examples of employees who have grown in the company by means of a Career Plan. Today, many of them hold management positions.

training and PeoPLe deVeLoPMent

Training and development are two words that are part of Grupo Protege’s path. Our actions to this end are conducted based on an Annual Training Plan.

The importance that the company dedicates to training is directly related to its commitment to the quality of its services.

Employees need to feel apt to perform their respective tasks according to the expectations of our customers, so that we may always serve them at a top level of excellence.

The AACD – Deficient Child Care Association – has been operating since 1950 for the well being of physically disabled people, focusing on chil-dren and adolescents.

The institution was set up by Dr. Renato da Costa Bomfim, supported by a group of idealists, to develop a rehabilitation center featuring the same quality and performance of similar foreign institutions.

At the beginning, the AACD was exclusively operating in the city of São Paulo, in two rented two-story houses. But, with the help of one of the pioneering donors, AACD founded its first rehabilitation center on a pie-ce of land granted by the City Administration.

graaCC

GRAACC is a nonprofit organization set up in 1991, mainly to defend the right of children and adolescents suffering from cancer to receive digni-fied treatment and achieving healing through actions focusing on quality of life.

The GRAACC hospital currently makes approximately 2500 appoint-ments per month, including chemotherapy sessions, surgeries, consul-tations, etc.

In addition to diagnose and offer treatment against child cancer, the GRAACC also supports the developing process of researches

ação CoMUnitária (CoMMUnity aCtion)

Ação Comunitária is an organization that has developed social and edu-cational programs for over 40 years. Programs focus on the inclusion of children, adolescents and young adults from 42 communities located in the South of São Paulo.

The institution covers the southern area of the city of São Paulo and su-pports 22 organizations operating in that region through continued and integrated education.

Through strategic partnerships with neighborhood organizations, pri-vate, governmental and religious institutions, the Ação Comunitária has become a reference in the Third Sector.

The Grupo Protege is a partner who invests, supports and admires the work performed by the Ação Comunitária, since it aims at the social in-clusion of children and adolescents

institUto ayrton senna (ayrton senna institUte)

In partnership with the Grupo Líderes Empresariais/Empresários pelo Desenvolvimento Humano (LIDE/EDH) [Corporate Leaders/Entrepre-neurs for Human Development Group], the Grupo Protege supports the following programs developed by the Ayrton Senna Institute:

se liga [Get it] - helps pupils to become literate who, despite attending school, still cannot read and write

Acelera – [Speed Up] - allows pupils to attend the school year that’s closest to their age.

Circuito Campeão [Champion Circuit] - literacy policies and perfor-mance monitoring of primary education grade levels to eradicate illite-racy and increase the quality of education.

Gestão Nota 10 [Management Grade 10] - provides training and ma-nagement tools to education managers (school principals and staff of departments of education).

Casa de rePoUso LUiza de MariLLaC(LUiza de MariLLaC rest hoMe)

The Grupo Protege has supported the Luiza de Marillac Rest Home for several years. It is also known as the Casa Milla and is located in the city of Cotia - metropolitan region of São Paulo.

The institution is aimed at the elderly over 60 years of age; those are offered a wide range of activities, highlighting the work of professionals who work with the art of storytelling.

doUtores da aLegria (CLown doCtors)

The “Clown Doctors” organization was set up in September 1991. Its main goal is to cheer up both hospitalized patients and health professionals through clown art.

Today, the institution covers fourteen hospitals in the regions of São Pau-lo, Rio de Janeiro and Belo Horizonte and it supports cultural events in seven other hospitals in the state of Rio de Janeiro.

In addition to hospital events, the “Clown Doctors” have also worked on another two projects: “Clown Network” and “Junior Clown Training”, ai-ming at conveying culture to poor communities using circus language.

assoCiação soLidários aMigos de betânia (assoCiation of the soLidary friends of bethany)

The main goal of ASAB - Associação Solidários Amigos de Betânia - [Association of the Solidary Friends of Bethany] is to help homeless pe-ople recover their dignity and citizenship through education, job training, drug rehabilitation, improved self-esteem and health measures.

ASAB currently features 22 employees and 84 volunteers, having made 1,450 visits to homeless people, helping them in their social inclusion.

reCognition PrograM

The main goal of the Recognition Program is to support a special and di-fferent attitude held by employees at work, especially when customers wish to recognize their actions. The program also rewards employees who prevented or helped preventing casualties by defending people and property.

In addition to the awards ceremony held in the presence of the employee’s superiors, an internal newsletter is published to disclose the news.

sUggestions for iMProVeMents

The Suggested Improvements Program’s main objective is to encoura-ge employees to examine the company processes and services, identi-fying issues and/or opportunities, and to develop creative and innovative solutions that enhance our quality and credibility. Starting this year, the process has changed as follows: the entire idea registration process and approvals are done digitally; the program is now ongoing and prices are awarded for suggestions that are put into practice.

ProMinenCe of the year PrograM

The Prominence of the Year Program is an important tool of recognition and motivation for Grupo Protege’s internal public. Its goal is to select employees on a monthly basis who excel in performing their activities.

In a next step, the employee may be elected a Regional Prominence, get a personalized trophy and certificate of recognition for his/her excellent work throughout the year, and compete for the title of National Promi-nence.

At the end of the year, participants applying for National Prominence take part in an evaluation process and the 15 winners and honored and awarded prices at the Year End Party, along with employees who have completed 10, 20 or 30 years with the company.

year end Party

Grupo Protege’s Year End Party is a grand event, divided into three parts: employee award ceremony, special dinner and a piece of en-tertainment, providing a pleasant, relaxed and convivial atmosphere.

Participants include employees who have completed 10, 20 or 30 years at the Grupo Protege, the winners of the Prominence of the Year Pro-gram, company executives, as well as customers and special guests.

In 2012 the Grupo Protege invested even further in social and environ-mental causes and set up a special Responsibility Committee to treat those issues.

The creation of the Committee for Social and Environmental Respon-sibility aims to integrate, mobilize and encourage employees to adopt new habits and thus to effectively contribute to the preservation of the environment.

reCyCLing

The main goal of the Waste Recycling Project is to correctly pro-cess waste generated by the units of the Grupo Protege, such as: paper, plastics, glass, metal and organic materials, to support the environment.

It is noteworthy that this year, our project has expanded into new company units, encouraging our employees to get involved into the process of environmental education and citizenship.

sQUeeze ProjeCt

In 2012, the Grupo Protege intensified replacing the previously distribu-ted durable glasses launching the new squeeze plastic bottles to mini-mize the use of disposable glasses.

PoLLUtants eMission ControL

Concerned with the emission of pollutants, the Grupo Protege kept up the inspection and maintenance process of its fleet of vehicles, submit-ting their armored cars to several periodic reviews and pollutant emis-sion control.
