STATE CONSTRUCTION AGREEMENTBetween

LABORERS’ DISTRICT COUNCIL OF OHIOAn Affiliate of the

LABORERS’ INTERNATIONAL UNIONOF NORTH AMERICA

AndOHIO CONTRACTORS ASSOCIATION

LABOR RELATIONS DIVISION

1. THIS AGREEMENT ismade and entered into by andbetweentheLaborRelationsDivisionoftheOhioContractorsAssociation as the recognizedbargaining representative of itsmembers (hereinafter referred to asCONTRACTORS) as apartyofthefirstpartandtheLaborers’DistrictCouncilofOhiooftheLaborers’InternationalUnionofNorthAmerica(hereinaftercalledthe UNION),aspartyofthesecondpart.

2.ItisspecificallyunderstoodthatsaidLaborRelationsDivisionoftheOhioContractorsAssociationanditsNegotiatingCommitteeshallnotbeliablehereunderforanyreasonwhatsoever,including,butnotlimitedto,anyactsofitssubscribingmembers.

3. It is specifically understood and agreed that theLaborers’DistrictCouncilofOhio,asanentity,separateandapartfromtheLocalUnionsofwhich it iscomprised, shallnotbe liablehereunderforanyreasonwhatsoever,including,butnotlimitedto, acts ofLocalUnionswhich aremembers of theLaborers’DistrictCouncilofOhio.

4. It isfurtherunderstoodandagreedthat theliabilitiesof theContractorssubscribingheretoandtheLocalUnionssubscribingheretoshallbeseveralandnotjoint.

5. (a)ThesaidLaborRelationsDivisionoftheOhioContractorsAssociationagrees tofurnishto theUniona listofallpresentmembers subscribing to the termswithin theAgreement.TheLaborRelationsDivisionoftheAssociationwillcertifypromptlyto theUnion,Contractorswhoaffiliate subsequent to thedateof thisAgreement and suchLRDmembers shall be coveredand bound by the terms of thisAgreement.TheUnionmayrequest ameetingwith suchnewmember and theOCA‑LRDrepresentativeandsuchmeetingwillbeheldwithinfive(5)daysoftherequest.

(b)TheUnionmayextendthisAgreementtoContractorswhoarenotmembersof theLaborRelationsDivisionof theOhioContractorsAssociation and suchContractors shall be boundby the termsandprovisionsof thisAgreement.TheextensionAgreementtobesignedbyindividualContractorswillbeknownas“Acceptance of Agreement”formandshallbeattachedtothisAgreement.TheUnionwillgiveacopyoftheindividuallysigned“Acceptance of Agreement”formtotheOCA‑LRDpromptly.SuchContractorsshallbereferredtoasthe“Contractor.”

(c) ThisAgreementcoverstheentireunderstandingbetweenthepartieshereto.Nooralorwrittenrule,regulationorunderstandingwhichisnotmentionedorreferredtohereinshallbeofanyforceoreffectuponanypartyhereto.

ARTICLE ISCOPE

6.ThepurposeofthisAgreementistodeterminethehours,wagesand other conditions of employment, and to adoptmeasuresforthesettlementofdifferencesandmaintainingacooperativerelationshipsothattheContractorsmaysecuresufficientcapableemployees, and the employeesmayhave asmuch continuousemploymentaspossiblewithoutinterruptionbystrikes,lockouts,orotherlabortroubles.

7.Allmembers of theOhioContractorsAssociation, LaborRelationsDivision,andanyperson,firmorcorporationwhoasaContractorbecomessignatorytothisAgreementshallbeboundbyalltermsandconditionsofthisAgreementaswellasanyfurtheramendmentswhichmaybenegotiatedby theLaborRelationsDivisionoftheOhioContractorsAssociation,andtheUnion,andshallbeboundtomakeHealthandWelfare,Pension,TrainingandApprenticeship,(LECET)Laborers‑EmployersCooperation&EducationTrustandLIUNATri‑FundcontributionsandanyotherpaymentsasrequiredforallworkperformedwithintheworkjurisdictionoutlinedinArticle IIofthisAgreement.

8. (a) ThisAgreement shall cover “HighwayConstruction,”“Airport Construction,” “Heavy Construction,” “RailroadConstruction,” “Sewer,Waterworks,Utility Construction,”“Industrial andBuilding Site,” “Sewage Plant,Waste Plant,andWaterTreatmentFacilitiesConstruction,”“PumpingStationConstruction,” “Ethanol Plant Construction,” “Municipal,CountyandStateFacilityPoolConstruction,”“HazardousWasteRemoval,”and“LeadAbatement”workthatanyContractororSubcontractorperformsintheStateofOhio(eighty‑eight(88)counties) and the three (3) counties ofBoone,Campbell andKenton in theStateofKentucky,andwhichcomeswithin thejurisdictionoftheLaborers’DistrictCouncilofOhio,anaffiliateoftheLaborers’InternationalUnionofNorthAmerica,assetforthin Exhibit A.

(b) AnyContractorwhoisorbecomesboundbythetermsofthisAgreementbyitsmembershipintheLaborRelationsDivisionoftheOhioContractorsAssociationorwhobecomesboundasan individualContractor signatory to thisAgreement shall beboundbyalltermsandconditionsoftheAgreementorsubsequentAgreementsuntilorunlessproperterminationnoticeisgiven.

(c)TheContractorwillmakeassignmentsofworktoemployeesrepresented by theUnion in accordancewith the jurisdictionrecognizedtobethatofL.I.U.N.A.,bymergersandamalgamationoftheInternationalUnion.

ARTICLE I IDEFINITIONS

9. “Contractors” or“Subcontractors” where used in thisAgreementmeans any person, firmor corporation, bound bythetermsofthisAgreement,whoorwhichisamemberoftheOhioContractorsAssociation,LaborRelationsDivision, andanyperson,firmorcorporation,whoasaContractorbecomessignatorytothisAgreementandisengagedineither“HighwayConstruction,” “AirportConstruction,” “HeavyConstruction,”“Railroad Construction,” “Sewer,Waterworks andUtilityConstruction,” “Industrial andBuildingSite,” “SewagePlant,WastePlant,WaterTreatmentFacilitiesConstruction,” “PumpingStationConstruction,”“EthanolPlantConstruction,”“Municipal,CountyandStateFacilityPoolConstruction,” “HazardousWasteRemoval,”and“LeadAbatement”work,ashereinafterdefinedwithinthejurisdiction.

9. (a) “Union,” whereusedinthisAgreement,meansLaborers'DistrictCouncil and its affiliates. Affiliates orLocalUnionsshallbeconsideredpartiestothisAgreementandboundbyitstermsandconditions.

10. Theword “work” when used hereinmeans “HighwayConstruction,” “AirportConstruction,” “HeavyConstruction,”“Railroad Construction,” “Sewer,Waterworks andUtilityConstruction,”“IndustrialandBuildingSite,”“PumpingStations,EthanolPlants,andMunicipal,CountyandStateFacilityPoolConstruction,” “SewagePlant,Waste Plant,WaterTreatmentFacilitiesConstruction,”“HazardousWasteRemoval”and“LeadAbatement,”work as hereinafter defined comingwithin thejurisdictionoftheUnionassetforthinExhibit A.

11. (a) “Highway Construction” work is defined asworkperformed to provide a facility to accommodate vehicular orpedestrian traffic (except as limited herein) and includes theconstructionofallstreets,roads,expressways,turnpikes,bridges,drainagestructures,gradeseparations,parking lots, restareas,alleys,sidewalks,guardrails,highwaylighting,signallighting,soundbarriers,bridgerailsandfences.

(b) “Airport Construction” workisdefinedas includingsitepreparation,grading,paving,drainage,fences,runwaylighting,driveways, parking areas, and similarwork incidental to theconstructionofairfields.

(c) “Heavy Construction” work is defined as includingexcavation for underground garages, grade separations,foundations,abutments,retainingwalls,shafts,tunnels,subways,elevators,drainageprojects,floodcontrolprojects,reclamationprojects, reservoirs,water supplyprojects,water developmentprojects, hydroelectricdevelopment, utility transmission lines,including right‑of‑way clearing, locks, dams, dikes, levees,revetments,channels,channelcutoffs,intakes,dredgingprojects,jetties, breakwater, docks, harbors, irrigation systems and allmunicipalandutilityconstruction.

(d) “Railroad Construction” work is defined as includinggrading, drainage, placing of rails, crossties, ballast and theconstructionofbridges,andotherincidentalsforrailroads,streetrailwayconstructionprojectsandrapidtransitsystemprojects.

(e) “Sewer, Waterworks and Utility Construction” work isdefinedas includingconstructionofallstormsewers,sanitarysewers,supplyinganddistributingwaterlines,sewerrehabilitation,gaslines,telephoneandtelevisionconduit,undergroundelectricallines,andsimilarutilityconstruction.Mainwaterlineandtrunksewersconnectingwaterworksand/orsewagedisposalplantsareincludedwithinthisdefinition.

(f) “Industrial and Building Site” work is defined as theclearanceandexcavation,andincludingsidewalks,roads,streets,parking lots, bridges, drainage, sewer andwaterlineswithinpropertylinebutoutsideofthebuildingproper.

(g) “Sewage Plant, Waste Plant, Water Treatment Facilities Construction, Pumping Stations, Ethanol Plant Construction, and Municipal, County and State Facility Pool Construction”(except packaged plants) shall be allwork in construction ofpumpingstations,wasteandsewagedisposalplants,incineratorplants,water treatmentplants,filtrationplantsandsolidwastedisposalplants.

Allwork involved in layingand installationofprocesspipingoutsideofabuilding,structureorotherwork,regardlessofthematerialusedorsubstanceconveyed.

Allwork involved in layingand installationofprocesspipingbothoutsideandwithinsewagefiltration,watertreatmentplants,andethanolplants,including,butnotlimitedto,mechanicalandpressurizedpipewithin.

Allworkinconnectionwiththeconstructionofswimmingpools,including but not limited to, the installation and demolitionofwater filtration systems, atmunicipal, county and statefacilities.

(h) “Hazardous Waste Removal” Thisworkshallinclude,butnotbelimitedto,clearingbrushandtrees,installingfenceanderosioncurtains,buildingdikeswithsandbagsand/orsoilandliningwithplasticmaterials,siteclearingsuchasremovalofsteel,wood,trash,etc.;andlocatingburiedlines,sewers,anddrums,andestablishingtheircondition;overpacking,applyingabsorbentsto leakingmaterial, handling and riggingof allmaterials andgeneral clean‑up of leakedmaterials and chemicals; openingsampledrums,labelingandtransferringbulkliquidsfromdrumsintoothercontainers;decontaminatingalltools,equipmentandpersonnelonsite; lining truckbedswithplastic,andhandlingpumpsandaccessoriesnecessarytodrainorfillponds,lagoons,andslurrywalls.(i) “Lead Abatement” The demolition of structures or partsthereofcontainingleadandthedisposal,includingtheerectionand removal of any structure or structures for the removal,including the encapsulation and/or containment of lead.Theabatementprocessincludesremovingleadpaintbymeansofdryscraping,powersandingorscraping,heatguns,andbychemicalremovers.

(j) “Cathodic Protection Installations”Thisworkwillincludeallconstructionanddemolitionworkinconjunctionwithcathodicprotection including, but not limited to, all testing,welding,cleaning(byanymodeormethod);drillingofholes,installationof anchors andelectricalwire,mountingof rectifiers, runningconduit and pullingwires to connect toDC side of rectifier;installationof conductivepaste, sprayor roll‑on all necessarycoatingsorpaint,installinganodesandconductivegels;loading,unloading,transporting,handling,sizing,fittingandplacementofallmaterialsaswellasoperatinganyandallnecessaryequipmentforsame.

12.ThisAgreementandits termsandconditionsdonotapplytobuildingconstructionworkperformedbyaContractor. If adisputearisesconcerningtheapplicationofthisAgreementandwhethertheclassificationofbuildingconstructionshallbeappliedtotheworkinvolved,thenthedisputeshallbereferredforfinalandbindingdetermination in accordancewith the proceduresestablishedinArticle XIIIofthisAgreement.

13. Employees shall not include professional engineeringpersonnel, clerical employees, time‑keepers, superintendents,assistant superintendents nor any supervisory personnel, butshallincludeallotherpersonsemployedbytheContractorintheperformanceofanyofthevariousclassesofworkcoveredbythisAgreement,comingwithinthejurisdictionoftheUnionassetforthin Exhibit A,exceptingwhereaContractorfindsthatheneedsanexclusiveLaborerforeman.

ARTICLE I I IWORKING CONDITIONS

14. EmployeesshallbefreetoselecttheContractorforwhomtheydesiretowork,andtheContractorshallbefreetoselecttheemployeeswhomhedesirestoemploy,subjecttothetermsofthisAgreement.

15. EmployeesaretobepaidthewagesapplicabletotheworkperformedwithoutanydiscountandinreturntheContractorsaretoreceiveafairandhonestday’swork.

16. (a) TheContractoristobethesolejudgeastothesatisfactoryperformanceofworkbyanemployeeandmaydischargeforjustcauseanyemployeewhoseworkisunsatisfactoryorwhofailstoobservethesafetyprecautions,substanceabusepolicies,orotherrules and regulations prescribedby theContractor for health,safetyandprotectionofhisemployees.However,noemployeeshallbedischargedfordefendingtherightsofanyemployeeunderthetermsofthisAgreement.

(b)Further,noemployeecoveredherebymaybedischargedbyaContractorforrefusingtocrossalegalpicketline,whichpicketlinehasbeenauthorizedandsanctionedbyproperauthorities.Nojurisdictionalpicketlineshallberecognized.

DRUG AND ALCOHOL ABUSE PROGRAMS

(c) Theparties recognize theproblems thatdrugandalcoholabusehavecreatedwithin theconstruction industryandagreeonimplementingdrugandalcoholabusepreventionprograms,thatwillworktowardmaintainingasafeworkplace,freeofdrugsandalcohol.

Drug Testing:TheContractorandtheUnionarecommittedtoapolicythatpromotessafetyintheworkplace,employeehealth,andwell being. In considerationof this policy theUnion andtheContractoragree thatanyemployeefound tobeunder theinfluenceof,inpossessionof,engagedinthedistributionofdrugsoralcoholonthejobsiteshallbesubjecttodisciplinaryaction,uptoandincludingimmediatedischarge.

Within two (2)weeks of reporting to the job site, each newemployeemaybescheduledforadrugtest.Employeesusingaprescriptiondrugwhichmayimpairmentalormotorfunctionshallinformtheirsupervisorinwritingofsuchdruguse.

Employees’ involvementwith drugs and alcohol can adverslyaffectjobperformanceandemployeemorale.Intheconstructionindustry theconsequencesofdrugoralcoholuseor influencewhileonthejobsitecanbedisastrous.TheContractorandUnion,therefore,agreetothefollowingpolicytoinsureallemployeesofasafeandefficientjobsitefreefromtheeffectofdrugandalcoholuseorinfluence.

Alljobsitesorworkareasaresubjecttomassivedrugscreeningorrandomdrugscreening.Anyemployeewhoisinvolvedinanon‑the‑jobaccidentresultingininjurytoapersonorproperty,orwhoseobservedbehaviorraisesareasonablesuspicionofprobablecauseofillegaldrugoralcoholuseimpairmentwhileonthejobsite,mayberequiredasaconditionofcontinuedemploymenttosubmittoatestforalcoholand/orillegaldrugusewhichimpairedtheemployee’sabilitytosafelyperformhis/herdutiesonthejobsite. Such tests usually involve a samplingof the employee’sblood,urine,orbreath.Anyemployeewhoisaskedtosubmittosuchatestwillberequiredtosignaconsentform.Ifanemployeewhoisaskedtosubmittoatestrefusestodoso,orrefusestosignthenecessaryconsentform,thatemployeewillbesubjecttodisciplinaryactionuptoandincludingdischarge.

Alltestingwillbedonebyareliable,establishedlaboratory.Ifthisinitial testscreenresult indicatespositivefindings,furthertestingofthesamesamplemustbedonetoconfirmtheoriginalfindings before the laboratory can report positive findings.The confirmation testwill be conducted by an independent,accreditedNational Institute ofDrugAbuse or College ofAmericanPathologyLaboratoryandutilizethemorescientificGasChromatography/MassSpectrometryexamination(GC/MS).TheresultsofalltestswillbekeptconfidentialbetweentheemployeeandtheContractor.

The employee shall be paid his/her regular hourlywages andfringes for the time required for drug testingprovided resultsarenegative.

If theGC/MS test results are positive, the employeemaybegrantedaleaveofabsenceforthepurposeofdrugandalcoholrehabilitation. If the employee is eligible, such rehabilitationprogramsarecoveredunder theLaborers’ InternationalUnionofNorthAmericaHealth andWelfareProgramproviding theemployee confines himself/herself to a twenty‑four (24) hourlicensedrehabilitationmedicalfacility.

TheemployeeshallberemovedfromtheContractor’sjobsite.Uponpresentationofcertificationoftheemployee’ssuccessfulcompletion of the drug/alcohol rehabilitation program, theemployeemay be restored to his/her original jobwith theContractor.

Iftheemployeewasreinstatedhe/sheshallforthenextsucceedingtwelve(12)monthperiod,presenttothecompanyrepresentativemonthlycertificationofnegativedrug/alcoholtestresults;failuretodosowillresultindenyingtheemployeetherighttomaintainhis/heravailabilitytobesenttoajobsiteorifworking,toberemovedfromwork.

OSHA AND SAFETY

(d) In accordancewith applicable OSHA safety& healthstandardsrequiringsafetytrainingandeducation,theUnionshallmakeavailabletoeachUnionmemberthe16‑hourSTP“SafetyTrainingProgram”certifiedbytheU.S.DepartmentofLaborinits trainingandapprenticeshipprogram.TheContractorsshallbycompanypolicyencourageorrequiretheemployeetoobtainalltrainingavailable.Laborers’DistrictCouncilshallprovideallmembers training in recognition, avoidanceandpreventionofunsafeconditions in itsTrainingandApprenticeshipProgram.ItshallbetheresponsibilityofthemembertotakeadvantageoftheopportunitytoreceivesafetytrainingandLaborers’DistrictCouncilshallnotbeheldliableforhisorherfailuretodoso.

(e) EffectiveMay1,2011andthereafterallLaborersdispatched

toand/oremployedonaprojectarerequiredtohavesuccessfullycompletedthe16‑hourSafetyTrainingPassport(STP)programoranOSHA‑approved10‑hourconstructionsafetytrainingprogram.Comparablesafetytrainingshallberenewedandupdatedeveryfive (5) years or theLaborer shall be considered unqualified.Verification or valid, updated trainingmust be presented tothe employerupondispatch,hire, or request. TheUnionandContractorsareinmutualagreementthatshouldapplicationofthisprovisioncauseanunreasonablefinancialorschedulingburdenontheLaborers'Training&ApprenticeshipCenter,asdeterminedbytheDirector,theprovisionshallbetemporarilywaived.

17. ThenumberofmentobeemployedisatthesolediscretionoftheContractor,andthefactthatcertainclassificationsandratesareestablisheddoesnotmeanthattheContractormustemployemployeesforanyoneorallsuchclassificationsortomananyparticularpieceofequipmentthathappenstobeontheworksite,unlesstheContractorhasneedforsuchemployee.However,thisdoesnotrelievetheContractorsfromtheresponsibilityofproperlymanning any piece of equipment that is placed in operation.SubjecttothetermsofthisAgreement,theUnionwillbethesolebargainingrepresentativeofallemployeesemployedontheworkcoveredbythisAgreement.

18. (a)DuringthetermofthisAgreement,employeescoveredherebymaybeofferedtheopportunitybytheContractortoacceptemploymentonanyotherprojectoftheContractorcomingwithinthetermsandconditionsofthisAgreement,butsaidemployment,ifacceptedbytheemployee,issubjecttotheprovisionsofthisAgreement.

(b) AnemployeetobeeligiblefortransferunderthisprovisionmustbeamemberingoodstandingoftheUnionunderthetermsofthisAgreementandsuchemployeeisresponsibleforfurnishingproofthereofatthetimeoftransfer.

(c)An employee transferred under this provisionwho is notamemberof theUnion ingoodstandingwillbe immediatelyremovedfromthejobbytheContractoruponwrittennotificationfromtheUnion.

19. AContractorshallbedesignatedasalocalContractorwhenworkingintheareaofjurisdictionoftheLocalUnionwhichhasjurisdiction in the countywhere theContractor’s homeofficeislocated,orwherethecontractorhasestablishedadivisonorregionalofficewhichhasbeeninplaceforatleastone(1)year.

SuchlocalContractorshallemployLaborersusingthefollowingprocedures:

(a) AnyLaborerUnionmemberingoodstanding,whohasworkedfortheContractorduringthepastyearmaybehiredorrecalled.

(b) LocalContractorshiringadditionalhelpwillobtainatleastfifty percent (50%)of such additional employees through theLocalUnion.

20. AContractorshallbedesignatedasaTravelingContractorwhenworkingon a project locatedoutside of the jurisdictiondefinedforalocalContractor.

(a) TravelingContractorshallbefurtherdefinedandshallusethefollowinghiringandtransferprocedure.

(b)AnyTravelingContractorwhoisnotperformingthetypesofworkspecifiedinParagraph21willmanjobsonthefollowingbasis:

AnyTravelingContractorwhodoesnottransferemployeesfromanotherLocalUnionjurisdictionasprovidedherein,shallhireanyadditionalemployeesthroughtheLocalUnion.However,ifalocalUnionisnotabletofurnishqualifiedapplicants,theContractormayhireemployeesdirectlyfromanysource.

21. Contractor’s crews engaged in the performance of thefollowing types ofwork: curb, gutter,median‑strip paving,guardrailwork,fencinginstallations,signinstallations,seedingandlandscaping,asphaltanddeckpaving,electricalwork,shallmancrewsasfollows:

Specialty Contractors: Curbandgutter, concretepaving,tunnelingandboring,fenceinstallation,signinstallation,seeding,landscaping, paint striping, delineators, guardrail, electrical,cracksealing,slurryseal,underdrain,andwaterblasting.Bridgeworkonemillionfivehundredthousanddollars($1,500,000.00)orless.

statestatute.(Note:paragraph(b) isnotapplicabletoworkerstemporarilyhiredthroughthelocalunionhall.)

23.TheContractor shall furnish ample protective clothing,namely: raincoats, rainsuits, knee boots or over, headgear,etc.,whenemployeesarerequiredtoworkinmud,concreteorinclementweatheroranyotherwetconditions.Bootsshallbeissuedtotheindividualforthedurationofthejobandshallnotbereissueduntiltheyhavebeenthoroughlysterilizedanddried.Protectiveclothingissuedshallbechargeabletotheemployeeiflostordamagedbeyondordinarywearanddeterioration.

Sanitationmeasuresshallbetakenandwearingappareldisinfectedthatissubjecttospreadingdisease.

24. Whenspecialshoesand/orothersafetyapparelorequipmentisrequiredbyaContractor,itshallbeprovidedbytheContractoratnoexpensetotheemployee.

(a) Thefurnishingoftoolsorequipmentshallnotbeaconditionofemployment.Whenspecialsafetyequipmentisrequiredbycircumstancesunderwhichtheemployeeisworking(includingcommunication devices) it shall be the responsibility of theContractortofurnishsameatnocosttotheemployee.

25.AContractorshallnotbehinderedorpreventedfromusinganytypeorquantityofmachinery,tools,orappliancesandmaysecurematerialsorequipmentfromanymarketorsourceheseesfit,exceptprison‑madegoods.

26. “Tunnel Work”(CompensationforTravelWithinTunnel)TheindividualContractorshallpayemployeescoveredbythisAgreementworkingwithinthetunnel,adits,orshafts,onaportalto portal basis as follows:The hours of employment of suchemployeeshallcommenceattheportalofthetunnel,aditorshaftatwhichheisdirectedbytheindividualContractortoreportforworkonhisshiftandshallendatsuchportal.

Ifachangehouseislocatedmorethan1250feetfromaportal,aditorshaft,thenthetimeofworkshallstart,forpaypurposes,atthechangehouse.

27. ThisAgreementisnottoapplytoanyoperationsorbusinessinwhichanyContractorengagesexceptthatsetforthinArticle II and/or that comingwithin the jurisdiction of theUnion asdescribedinExhibit A, herein.

28.Theauthorized representativeof theUnionmayvisit jobsduringworkinghoursbutmustnothinderorinterferewiththeprogressofthework.

29. TheBusinessManagerinwhosejurisdictionajoborprojectis located shall have the right to appoint aSteward from theContractor’s or Sub‑Contractor’s employees on said job orprojectortosendaStewardtotheContractorwhenanadditionalemployee or employees are employed.TheSteward shall besubjecttothesametermsofemploymentasanyotheremployee.InrecognizingtheUnion’sdesiretohaverepresentationonthejoborprojectwhenLaborersareemployed,theStewardwillbeaffordedtheopportunitytoworkovertime,providedtheStewarddoesnotreplaceanotherLaborerfrompreviouslyassignedduties.

ThedutiesoftheStewardshallbetoseethatthisAgreementisstrictlyadheredtobybothparties,protecttheworkjurisdictionas outlined in thisAgreement, and represent theUnion onjurisdictionalproblemsthatarise.

TheContractorwillnotifytheappropriateLocalUnionBusinessManager forty‑eight (48) hours prior to laying off aUnionSteward, except no noticewill be required for discharge forsuchoffensesasdrunkennessonthejob,theft,substanceabuse,assaulting another person, etc.When it becomesnecessary tomakeapermanentlay‑off,theSteward,providedheisqualifiedtoperformtheavailablework,willbethelastmanlaidoff.

TheSteward,incaseofanemployeebeinginjuredonaproject,shallseethattheemployee’sfamilyisproperlynotifiedandhisbelongings taken care of, unless theContractor assumes theresponsibility.TheStewardshallnotbemadetosufferanylossofpaywhendischargingtheseresponsibilities.

The Union will notify the Contractor of the Steward soappointed.

Onaprojectoperatingtwoormoreshifts,attheoptionoftheBusinessManager, hewill appoint a Steward for each shift;however,saidStewardshallactinhisassignedcapacityforhisspecificshiftonly.

30.Onelectiondaysemployeesshallbeallowednottoexceedtwo(2)hours’timewithoutpayforthepurposeofvoting,providingtheemployeehasgivennoticetotheContractororhisagentandhasmadearrangementsnotlessthantwenty‑four(24)hoursinadvancetoreceivesuchtimeoff.

31. Employees leavingwork for treatment by a physicianbecauseofajobinjurywillbepaidfortheeight(8)hourworkday, providing the attendingphysician certifies inwriting theemployeeisunabletoreturntoworkduetotheinjuryreceivedonthejobsite.

32.TheContractor shall furnishsalt tabletsandcoldwater insanitarycontainerswithsanitarydrinkingcups.Watershallbeavailableonthejobnotlaterthanonehourafterstartingtime.

Adequatesanitarytoiletfacilitiesoneachprojectshallbeprovidedasrequiredbystateandfederalcode.

Flagpersonsshallbeentitled toadequate relief for theuseoftoiletfacilities.

33. The Contractor agrees to carry Ohio StateWorkers’CompensationInsuranceandKentuckyWorkers’CompensationInsuranceforthethreecountiescoveredhereinfortheprotectionoftheemployees.UponrequestoftheUnion,theContractorshallshowevidence of hisWorkers’Compensation Insurance.TheContractorshallcarryUnemploymentInsuranceasrequiredbyOhioorKentuckyandshowproofofsuchcoverage.

ARTICLE I VUNION SECURITY

34.TheContractorrecognizesandacknowledgesthattheLaborers’DistrictCouncilofOhiooftheLaborers’InternationalUnionofNorthAmerica, is the sole representative of all employees intheclassificationofworkunderitsjurisdictioncoveredbythisAgreement,forthepurposesofcollectivebargaining.TheUnionrecognizes theOhioContractorsAssociation,LaborRelationsDivision,as thesolebargainingagentfor thosemembers theyrepresent,forworkasdefinedthereinfortheareadefinedhereinandrecognizestheOhioContractorsAssociation,LaborRelationsDivision,asnegotiatingagentforitsmembersforallworkdefinedin Article IIfortheareaoutlinedinthisAgreement.

35. Subject to the provisions and limitations of theNationalLaborRelationsAct,asamended,allpresentemployeeswhoaremembersoftheUnionontheeffectivedateofthisAgreementshallcontinue theirmembership in theUnion for thedurationofthisAgreementtotheextentofpayinganinitiationfeeandmembershipduesuniformlyrequiredasaconditionofacquiringorretainingmembershipintheUnion.AllemployeeswhoarenotmembersoftheUnionandallpersonswhohereafterbecomeemployees shall becomemembersof theUnionon the eighth(8th)dayfollowingthebeginningoftheiremploymentorontheeighth(8th)dayfollowingtheeffectivedateofthisAgreement,whicheverislater,andshallremainamemberoftheUnion,totheextentofpayinganinitiationfeeandthemembershipduesuniformly required as a condition of acquiring or retainingmembershipintheUnion,wheneveremployedunderandforthedurationofthisAgreement.

TheContractorwillnotdiscriminateinhiringofemployeesandwillconformtolawswithrespecttohiring.ItisunderstoodtheContractorshallhavetherighttorejectanyemployeereferredforhirebytheUnion.AnyemployeereferredbytheUniontotheContractorattheContractor’srequestandthennotputtoworkshallbepaidreportingpayunlesstheemployeeisnotcapableorqualifiedtoperformtheworkrequired.

36.ItisaconditionofthisAgreement,agreedtobyboththeUnionandtheContractor,toprovideequalopportunityinemploymentfor all qualified persons, and to prohibit discrimination inemploymentbecauseofrace,creed,color,sex,ageornationalorigin.Thereshallbefullcompliancewithallapplicablefederaland state statutes, regulations, rules andorders of appropriatefederalorstateagencieshavingjurisdictionoverthesubjectmatterofdiscriminationinemployment.

37. TheUnionmaynotifytheContractorinwritingofanydefaultonthepartofanemployeetopayhisinitiationfeeandmembershipdues,andiftheemployeehasnotpaidhisinitiationfeeand/ormembershipdueswithinseven(7)daysfromthereceiptofwrittennotice,theContractorshalldischargesuchemployee,providedmembershipwasavailableunderthesametermsandconditionsgenerallyapplicable toothermembers.Further, all employeeswhofailtomaintaintheirUnionmembershipasaboveprovidedshallbedischargedbytheContractor.

ARTICLE VPRE‑JOB CONFERENCE

38. It isagreedthatupontherequestofeitherparty,apre‑jobconferencemustbeheldatleastfive(5)dayspriortocommencingworkwithaContractor representative inattendancewho is inchargeoftheproject.WhenaContractorisawardedacontractof$500,000ormore,theContractorwillnotifytheUnionatthetimeheisawardedsuchjob.ItisfurtheragreedthattheUnionmayrequestandholdapre‑jobconferencewithaContractoronanindividualUnionbasiswhereinthefollowingitemswillbediscussed:

(a) TheContractorwilladvise theLocalUnionrepresentativeoftheContractor’srequirementsofnecessaryemployeesintheclassificationsofworkunderthisAgreementandtheLocalUnionwilldetermineandadvisetheContractoroftheabilityoftheLocalUniontofulfillsuchrequirementswhenrequested.

(b) WorkSchedules.

(c)Questionsofjurisdictionandassignmentofwork.

(d) TheContractoragreesthatwhereverpossibleatsuchpre‑jobconferencehewillnotifytheUnionhavingjurisdictionovertheprojectofanysubcontractsletbytheContractor,thenamesoftheSubcontractors,andthenatureoftheworktobeperformedbytheSubcontractors.TheUnionmayrequestaSubcontractortomeetwiththeUnionpriortocommencingworkonaproject,iftheSubcontractordidnotattendtheoriginalpre‑jobconferencefortheproject.

(e) ThequestionofashelterhouseforLaborersshallbediscussedandagreedupon.

Itisunderstoodandagreedthatnoagreementmaybemadeatthepre‑jobconferencewhichwillchange,modify,orabrogatetheLaborAgreementineffectbetweenthetwopartieshereto.

39. Apre‑jobconferenceformwillbeusedatthepre‑conference.CopiesofthesignedformsfurnishedbytheUnionwillbesentto

40. IftheUnionrequestsinwritingaContractortoholdapre‑jobconferenceasoutlinedabove,andtheContractorfailstoholdthepre‑jobconference,theUnionmaywithholditslaborfromtheContractoruntilprovisionsofthisArticlearecompliedwith.

41. InconsiderationofthecovenantshereincontainedtheUnionagrees,whenrequested,toprovidesufficient,ableandefficientemployeestoproperlyperformthevariousclassificationsoflaborrequiredintheworkunderthisAgreement.

42. (a) TheContractoragreestodeductUniondues,theoriginalinitiation fee, any legal assessment, and/or deduction for anyemployeewho voluntarily and individually authorizes thededuction inwriting on forms furnishedby theUnion.SincethisAgreement covers the jurisdictionofmore thanone localUnion,theUnionagreesthatitwillfurnishtheContractorwithastandardizedauthorizationformwhichwillallowdeductionsto bemade throughout the jurisdiction of thisAgreement.Such deductionswill be forwarded by theContractor to theSecretary‑Treasurer of the LocalUnion having jurisdictionwhere thework isbeingperformedbyemployees coveredbythisAgreement, not later than thefifteenth (15th) day of themonthfollowingthemonthinwhichtheworkisperformed.TheUnionagreestonotifytheOhioContractorsAssociation,LaborRelationsDivision,ofanyincreaseordecreaseintheamountoftherequireddeductionforeachLocalUnionatleastthirty(30)dayspriortotheeffectivedateofsaidchange.

(b)ContractorscoveredbythisAgreementshallalsodeductfromthewagesofemployeeswhohaveauthorizedthesame,DistrictCouncilworkingduesassessment in theamountof thirty‑fivecents($.35)foreachhourworkedandshallremitthesamesodeductedwiththeFringeBenefitcontributionstotheLaborers’FringeBenefitOffice, P.O. Box 71‑1883, Columbus,Ohio43271,monthly,togetherwithanaccuratelistofemployeesfromwhosewagessaidworkingduesweredeductedandtheamountsapplicabletoeachemployee.Suchdeductionsshallbeforwardednolaterthanthefifteenth(15th)dayofthemonthfollowingthemonthinwhichtheworkisperformed.

(c)AnymemberoftheUnionwhoisworkinginanycapacity,including superintendents, assistant superintendents, or anysupervisory personnelANDwho is contributing to the fringebenefitfundsshallpaytheLaborers'DistrictCouncilduesandappropriateworking dues in the geographical area inwhichhe/sheisworking.

ARTICLE VII CONTRACTORS CONSTRUCTION

ASSOCIATION DUES

43.EachContractorboundbythisAgreementshallpayfortheContractorsConstructionAssociationduesfourteencents($.14)perhourforeachhourworkedbyemployeesoftheContractorswho areworkingwithin the bargaining unit therein. SuchpaymentsbycheckshallbemadepayabletotheOhioContractorsAssociation.Suchchecksshallbe transmittedwith theHealthandWelfare paymentsprovidedhereinortransmitteddirectlyto theOhioContractorsAssociationno later than thefifteenth(15th) day of themonth immediately following the calendarmonthinwhichtheworkwasperformed.ReportingFormsfortheContractorsConstructionAssociationdueswillbeprovidedbytheOhioContractorsAssociation.

(a) EachContractor bound by thisAgreement shall pay theOhioConstructionInformationAssociationfundforfivecents($.05) per hour for each hourworked by employees of theContractorwhoareworkingwithinthebargainingunittherein.SuchpaymentsshallbetransmittedwiththeHealth&Welfarepayments provided herein or transmitted directly to theOhioContractorsAssociationnolaterthanthefifteenth(15th)dayofthemonthimmediatelyfollowingthecalendarmonthinwhichtheworkwasperformed.

Administrative Fee

(b)EachContractorboundbythisAgreementwhoisnotanOCAmembershallpayanadministrativefeeofeightcents($0.08)perhourforeachhourworkedbyemployeesoftheContractorwhoareworkingwithin thebargainingunitherein.SuchpaymentsshallbetransmittedwiththefringepaymentsprovidedhereinortransmitteddirectlytotheOhioContractorsAssociationnolaterthanthefifteenth(15th)dayofthemonthimmediatelyfollowingthecalendarmonthinwhichtheworkwasperformed.

(c) It is futher understood and agreed by and between thepartiesthattheContractorsConstructionAssociation,oritsdulyauthorizedrepresentativeshallhavetheright,onwrittennotice,toauditthebooksandrecordsofanypartyobligatedunderthisAgreement to contribute thereto,with respect to all paymentobligationsdueinaccordancewithArticle VII.

ARTICLE V I I IWAGE RATES

44. All employees employed under thisAgreement shall beclassifiedinaccordancewithExhibit B,attachedhereto,andnootherclassificationoflaborofanykindwillberecognized.AnyquestionrelativetotheclassificationofanemployeewillbesettledbytheContractorandtheUnionrepresentativeandiftheyareunabletoreachamutualdecision,themattershallbereferredtotheGrievancesandArbitrationProcedures. TheContractormay classify such employeepending thefinal decisionof theGrievanceProcedure.

45. AnyemployeemaybetemporarilyshiftedbytheContractorfromoneclassificationofworktoanotherclassificationofwork,providedtheemployeeiscapableofperformingtheworkandispaidattherateofwagefortheclassificationworked.

47.ThefringebenefitprovisionscontainedhereinshallapplytoallContractormembersoftheLaborRelationsDivisionoftheOhioContractorsAssociation,allContractorswhobecomesignatoryorboundbythisAgreementandanyotherContractororContractorgroupswhobecomeapartytoanAgreementcoveringthefringebenefitprogramssetforthherein.

TheContractorandtheUnionrecognizethattheymustconfrontmany issuesofmutualconcernwhicharemoresusceptible toresolutionthroughlabor‑managementcooperationthanthroughcollectivebargaining.TheContractorandtheUnionalsorecognizethatworkersaswellasbusinessbenefitfromlabor‑managementcooperation.Toseekresolutionofthesemutualconcernsandtoadvancemutualintereststhroughlabor‑managementcooperativeefforts,theContractorandtheUnionagreetoparticipateinthelabor‑management cooperation trust funds described hereinknown as theOLDC‑OCACooperation andEducationTrustFund(LECET)andtheLIUNATri‑FundswhichareestablishedinaccordancewithSection302(c)(9)oftheTaft‑HartleyAct.

AllContractorsboundherebyagreetobeboundbytheAgreementandDeclarationsofTrust, asamended,establishing thePensionFund,HealthandWelfarePlan,OhioL.E.C.E.T.,TrainingandApprenticeship,andLIUNATri‑Funds,copiesofwhichallpartiesagreehavebeenfurnished to,andreadbyallContractorsboundherebypriortoexecutionofthisAgreement.ItismutuallyagreedthattheprovisionsofsaidAgreementsandDeclarationsofTrustandanyrules,regulationsorplansadoptedbytheTrusteespursuanttheretoshallbecomeapartofthisAgreementasthoughfullywrittenherein.AllContractorsboundhereby irrevocablydesignate theContractorTrusteesofsaidFundsandPlan,andtheirsuccessorsastheirrepresentativesforthepurposessetforthinsaidAgreementsandDeclarationofTrust.

ContractorsshallpayfringebenefitcontributionstotherespectiveFundsonbehalfofanyemployeeperformingworkwithin thejurisdictionofthisAgreementattheratesspecifiedinExhibit B forallhoursworked.

Notwithstanding the terms of any local union negotiatedagreement,aContractorsignatorytothisAgreementmaymakethe fringebenefit contributions for its “keyworkers” to otherLaborers'trustfundsapprovedbytheUnionanddesignatedbythe“keyworkers”astheirhometrustfundinaccordancewithproceduresestablishedbytheUnionoritsaffiliatedFundsandshallnotbeobligatedtocontributeforthe“keyworkers”toanyother trust funds, provided that the trust funds so designatedagreetoacceptthecontributionsandcreditthe“keyworkers”forthosecontributionsinaccordancewiththetrustfunds’rules.Thecontributionsshallbeatthecustomaryratessetbythehometrustfunds.The“keyworkers”forwhomcontributionsaremadeinaccordancewiththissectiontotheirdesignatedhometrustfundsshalllookonlytothosetrustfundsforbenefits.

ItisfurtherunderstoodandagreedbyandbetweenthepartiesthatdulyauthorizedrepresentativesofanyofsaidTrustFundsorPlanshallhavetheright,onwrittennotice,toauditthebooksandrecordsofanypartyobligatedunderthisAgreementtocontributethereto,withrespecttothehoursworkedbyandwagespaidtoallemployeesuponwhomtheContractorisobligatedtomakecontributions.

Reportsofemployeeswhohaveworked, thenumberofhoursthat theyhavebeenpaidand suchotherdataand informationasmayberequired,andallcontributionspayabletotheFundsorPlanshallbetransmittedtotheofficesoftheFundsorPlannolaterthanthefifteenth(15th)dayofthemonthimmediatelyfollowingthecalendarmonthinwhichtheworkwasperformed.Ifcontributionsarenotreceivedbythefifteenth(15th)dayofthemonth,followingthemonthinwhichtheworkwasperformed,theContractorwillbesubjectedtoandagreetopayliquidateddamagesoftenpercent(10%)plusonepercent(1%)permonthforeachmonththeContractorisdelinquenttocovertheadditionalcostandexpensesofcontinuingadministrationduringtheperiodof delinquency, interest and any and all costs of collectionincludingreasonableattorneyfees.

Intheeventsaidauditisrefused,reportsnotfurnishedorsaidcontributionsarenotpaid,asaforesaid,thefollowingremedies,inwholeorinpart,andinadditiontoallotherremedies,eitherinlaw,inequity,bycontractorauthorizedbytheaforementionedAgreementsandDeclarationsofTrust,shallbeavailable.

(a)AftertheTrusteesortheAgentofanyFundandPlanhavegiventhedelinquentContractortwenty‑four(24)hourswrittennoticeattheaddressshownintherecordsoftheFunds,PlanorUnion,theUnionshallhavetherighttotakesuchlegalandlawfulactionasitmaydeemnecessaryuntilsuchdelinquentpaymentsaremade,orsaidaudit ispermitted,suchactionincludingbutnotlimitedtotherighttostrikesuchContractorforaslongasthefailuretomakesuchcontributionsorauditcontinues,Article XIInotwithstanding.

(b)IntheeventeithertheUnionortheTrusteesofanyFundorPlanmaydecidetoutilizethegrievanceandarbitrationprocedureinthisparagraphtocollectdelinquentcontributionsandliquidateddamages, to enforce any audit, or to obtain any report, thefollowingprocedureshallapply.

1. UnlesstheissueisresolvedbetweentheContractorandthepartygivingnoticewithinfive(5)calendardaysafterdepositofwritten notice of delinquency and/or demand for audit and/orreportintheUnitedStatesmail,totheContractorattheaddressshown in the recordsof theFunds,PlanorUnion, suchpartymayreferthemattertoanarbitratortobenamedbytheLaborRelationsDivisionoftheOhioContractorsAssociation,andbytheLaborers’DistrictCouncilofOhiooftheLaborers’InternationalUnionofNorthAmerica,whosedecisioninwritingshallbefinalandbindingonallparties.Intheeventsuchpartiesareunabletochooseanarbitratorwithinten(10)daysafterwrittenrequesttherefore, theUnionor theTrusteesofanyFundorPlanmayrequestanarbitratoraccordingtotherulesandregulationsoftheAmericanArbitrationAssociationwhosedecisioninwritingshallbefinalandbindingonallparties.Thepartiestothearbitrationshalleachbearone‑half(1/2)ofthetotalcosts.

48. Innoeventshalltheforegoingprovisionsrelatingtofringebenefitsbe subject toor suitable forgrievanceandarbitrationunderArticle XIIIofthisAgreement.

AnyContractorwhoispartytothisAgreementwillberequiredtopostcashbondtoguaranteeFringeBenefitcontributions, initiationfees,dues, legalassessmentsand/ordeductions,exceptOCA‑LRDmemberswillnotberequired topostbondunlesssaidOCA‑LRDmemberhasbeendelinquent twice inany twelvemonthperiodandhasbeendeclareddelinquentbyactionoftheBoardofTrusteesofaFringeBenefitFund.

TheLaborers’DistrictCouncilofOhiomayinformtheOCA‑LRDthattheyconsideranOCA‑LRDmemberdelinquentinFringeBenefitcontributions,initiationfees,dues,legalassessmentsand/ordeductionsandthereforesubjecttothebondrequirement.IftheOCA‑LRDquestionsthatsaidOCA‑LRDmemberisdelinquentforpaymentof fringes, the twopartiesshallmeetandresolvetheproblemsbycheckingpaymentsmadetotheFringeBenefitprograms.

TheamountofbondrequiredforaContractorwillbedeterminedby the number of Laborers employed and the followingformula:

1‑5...Employeescoveredherein‑$10,000.00 6‑20...Employeescoveredherein‑$25,000.00 21‑40.... Employeescoveredherein‑$50,000.00

WhenaContractorwhoisrequiredtopostsuchbond,andsuchContractor requires over forty (40) covered employees, saidbondwill be determined at thePre‑JobConferencebut in noeventshalltheamountofsuchbondbelessthanthemaximumamountnotedabove.

TheUnionshallwithholdservicesandshallengageinastrikeagainstdelinquentContractors,orContractorsrefusingtoposttherequiredbond,untilarrangementsaremadetopaythedelinquentpayments and/or to provide the bond as required.Further, allContractorswhodefaultinanyoftheaforementionedshallbeassessedaliquidatedpenaltytocoverthetotalcostofcollectionandlegalandproperexpensesresultingfromsaiddefault.

49. Whenone shift isworked, eight (8) hours of continuousemployment,exceptfor lunchperiods,shallconstituteaday’swork andfive (5) days for forty (40) hours shall constitute aregularweek’swork.

50. Whentwo(2)shiftsareworked,eight(8)hoursshallconstituteaday’sworkforthefirstshiftandeight(8)hoursshallconstituteaday’sworkforthesecondshift.

Whenthree(3)shiftsareworked,eight(8)hoursshallconstituteaday’sworkforthefirstshift,sevenandonehalf(7‑1/2)hourswith eight (8)hourspay shall constitute the second shift, andseven(7)hoursworkwitheight(8)hourspayshallconstitutethethirdshift.

51. Forty(40)hoursshallconstituteaweek’swork.TheworkweekshallcommenceonMondaya.m.andshallendonFridayp.m.Allworkperformedbyanemployeeinexcessofeight(8)hoursinanyoneday,oroverforty(40)hoursinanyoneweek,oronSaturday, shallbepaidat the rateofoneandone‑half (1‑1/2)timestheregularrateofpay.

51(A).Afive(5)dayworkweekMondaythroughFridayofeight(8)hoursperdaywithSaturdayasavoluntarymake‑updaydueto inclementweatheronlyat straight‑time rateofpaymaybeutilizedonallprojectsprovidedthatitisnotaviolationoffederalorstatelawsorregulations.EachContractorshallelectsameoneachprojectandagreesthattheUnionshallbegivennotificationforty‑eight(48)hoursinadvanceofanychange.Suchchangeshallcontinuefornolessthanfive(5)workingdaysunlessapprovalisgrantedbytheUnion.

Intheeventmake‑uptimeistobeworked,notlessthananeight(8)hourdayshallbescheduled.

51(B).AContractorhastheoptionofschedulingafour(4)day,ten(10)hourweekatstraight‑timerates.AContractorschedulingaten(10)hour,four(4)dayweek,shallnotifytheLocalUnionandemployeesinwhoseterritorialareatheprojectislocatedbyWednesdayoftheweekbeforethechangeinschedule.EmployeesreportingtoworkonFridayasamake‑updayshallbescheduledfornolessthaneight(8)hours.

Timeandonehalf(1‑1/2)shallbepaidforallworkinexcessoften(10)hoursperdayandforSaturdaywork.Employeesnotreceivingforty(40)hoursshallreceivetimeandonehalf(1‑1/2)after10hoursofworkperday.

Employees shall not be required toworkmore thanfive (5)hourswithoutonehalf(1/2)hourmealperiod.Whenemployeesworkoverfive(5)hourswithoutbeingprovidedwithaonehalf(1/2) hourmeal period, they shall receiveonehalf (1/2) hourpay at the overtime rate.Mealtimemaybe staggered tomeetjobrequirements.

51(C). Where project owners establish specifications orrequirementsthatlimitthedaysorhoursinwhichworkmaybeperformed,orforsafetyreasons,theContractor,afteradvancenoticetotheUnion,maystarttheworkweekafter6:00P.M.onSundayatstraight‑timerates.Inapplyingtheschedule,Sunday,P.M.willbeconsideredMonday;thefollowingFridaywillbeconsideredSaturday,(paidattimeandone‑half)andSaturdaywillbeconsideredSunday(paidatthedoubletime).Allpremiumpayprovisionswillapply for thesixthandseventhdaysas toSaturdayandSundayrespectively.Thisscheduleshallbeappliedbytheweek.

52. WhenLaborersarecomplementingothertradesonpremiumand/orovertimework, theyshallbecompensatedonthesameovertime and/or premium conditions as the trade they arecomplementing.

53.ForalltimeworkedonSunday,NewYear’sDay,MemorialDay, IndependenceDay, LaborDay,ThanksgivingDay andChristmasDay,employeesshallbepaidatarateoftwo(2)timestheregularrateofpay.

Nowork shall be done on Labor Day except in extremeemergencies.

IfanyoftheholidaysmentionedabovefallonSunday,theyshallbeobservedontheMondayfollowing.IfanyholidaysmentionedabovefallonSaturday,theyarenotobservedexceptwhenyouareworkingthatSaturday.

54. Anemployeewhoreportsforwork,withoutpriornotificationnottoreport,shallbepaidtwo(2)hours’payforreporting.Anemployeewhocommencesworkandworksinexcessoftwo(2)hours, shall receivepay for theactual timeworked, includinganhour’spayforanyportionofanhourworked.Inordertobepaidthetwo(2)hours’reportingpay,theemployeemustreporttoworkatthestartingtimeoftheshiftandbeavailableforworkandremainonthejobsiteuptotwo(2)hours,unlessreleasedbytheContractor.

55. Employees shall be paid once aweek on the pay dayestablished by theContractor. Pay checks and the followinginformationwillbegiventotheemployees:

Foremployeesreceivinga“field”paychecknotlistingdeductions,theContractorshallmailtotheemployeeattheendofthepayperiod,astatementnotingthedeductionsandreasonsthereof.

AContractorwhose pay checks are returned for reason ofinsufficient funds shall thereafter pay employees in cash orcertifiedcheck.Acheckreturnedasaresultofthebank’serrorshallnotcause theContractor tomakecashorcertifiedcheckpayments.

56.Employeeslaidoffordischargedforanycause,exceptbadweatherorlackofmaterial,shallbepaidinfullimmediately.TheContractorshallpayeight(8)hoursatthestraight‑timeratetoeachlaid‑offemployeeforeachscheduledworkdaythatfallsbetweenthetimeoflayoffordischargeuntilsuchtimeasfinalpaymentismadetotheemployees.

57. Ifanemployeequitsonhisorherownaccord,heorsheshallwaitforhisorherpayuntilthenextregularpayday.

58. Employeeswhoreportfortheirpaycheckonadaywhenthereisnoworkbecauseofweatherorothercausesshallnotbeeligibleforreportingpay.TheemployeemayasktheContractortomailhisorherchecktohisorherhomeonnon‑workpaydaysandtheContractorwillmailcheckspriorto5:00p.m.onpayday.

60. Theparties agree that all differences that arise during thelifeof thisAgreementbetweenanyContractorandanyUnionormembers thereof, except as otherwise limited herein, areto be settled in accordancewith the grievance and arbitrationproceduresetforth.

AllemployeeorUnioninitiatedgrievancesmustbereportedtotheLocalUnionofficeassoonaspossible.Grievancesmustbefiled inwriting.Memberswho fail to reportgrievances to theBusinessManagerwithin fourteen(14)daysshall forfeit theirgrievance.TheBusinessManagerwill report thegrievance totheContractorwithinthree(3)daysafterreceipt.AllContractorinitiatedgrievancesmustbereportedtotheLocalUnionofficewithinfourteen(14)daysafteroccurrence.Failureoftheemployeeor theContractor tomeet the time limitsset forthaboveshallcause the grievance to be deemedwaived and not subject toarbitration.

61. In the event that differences arise during the termof thisAgreementconcerningitsinterpretationorapplication,aprompteffort shall bemade to settle employee orUnion initiateddifferencesatthesiteofthedispute,firstbetweentheContractorandtheLocalUnionanditsmembersinvolvedinthedispute.IncaseoftheContractorinitiatedgrievance,theefforttosettlesuchdifferenceshallbemadebetweentheContractorandtheLocalUnionBusinessManager.Inthecaseofeitheranemployee,UnionorContractorgrievance,theContractorandtheUnionhavethree(3)daystosettlethedifference.

62.Intheeventthatthefirststepoftheaboveprocessdoesnotresult in settlement after thefirstmeeting between theLocalUnionandtheContractor,eitherpartymaythenreferthematterinwritingwithinfive(5)daystotheBusinessManageroftheLaborers’DistrictCouncilandtotherepresentativeoftheOhioContractorsAssociation,LaborRelationsDivision.Theyshallmeetwithinten(10)daysafterreceiptofsuchnoticetoconsiderandresolvethedispute.

63. IntheeventthatthepartiesnamedinStep2areunabletosettlethedisputewithintheten(10)days,eitherpartymayreferthemattertoarbitrationbywrittennoticetotheotherpartywithinten(10)daysthereafter,forfinalandbindingdecisionbyasinglequalified arbitrator.TheUnion andContractor shall havefive(5)days toagreeuponanarbitrator tohearanddeterminethedispute, failingwhich itshallbesubmittedbyeitherparty,bywrittenrequesttotheAmericanArbitrationAssociationforthesubmissionofalistofnamesofseven(7)qualifiedarbitratorsfromwhichlistthepartieswillselectasole,qualifiedarbitrator.Afterreceiptofsuchalistthepartiesshallwithinfive(5)daysmeet to select thearbitrator, andproceedingby lotalternatelystrike names from the list of arbitrators until one (1) nameremains.Thenameofthepersonlastremainingshallbedeemedacceptabletobothpartiesandshallserveasthearbitratortohearanddecidethedisputewhichhasbeencertifiedtoarbitration.Eachpartyshallhavetherighttoexerciseoncewithinthefive(5)dayperiodinthecaseofeachdispute,torejectthelistsubmitted,inwhicheventanimmediaterequestwillbemadeforanotherlistofseven(7)arbitrators.

64. Thearbitratorselectedinthemanneraboveindicatedshallnot add to, subtract fromormodify any of the terms of theAgreement.HeshallnotchangeexistingwageratesestablishedinthisAgreement.Hisauthorityislimitedtomattersofdispute,differences,disagreementorcontroversyarisingconcerningtheinterpretation, constructionor applicationof the termsof thisAgreement.Anydecisionof an arbitrator involving an awardforbackpayshallbe limited to theamountofwages that theemployeeinvolvedshouldproperlyhaveearnedintheemployof theContractor, less anywage received for employmentacceptedinplaceofhisformeremployment,andunemploymentcompensationbenefitsreceived.Thearbitratorshalldecidethegrievanceordisputeinwritinganddeliveracopytoeachpartywithinthirty(30)daysfromthecloseofthearbitrationhearing.The fees and expenses of the arbitrator and of any technicalassistancerequiredbythearbitratorandallcostsofthehearingshallbedividedequallybetweentheparties.

It ismutually agreed that if anyclause, termorprovisionof thisAgreement is or is thereafter found to be illegal or incontraventionofanycourtruling,NationalLaborRelationsBoardrulingorrulingofanyotherboardoragencyhavingjurisdictioninthematter,suchclause,termorprovisionshallbeorbecomeinoperativeandofnoeffect,withoutdisturbingtheotherclauses,termsandprovisionsofthisAgreement,andtheremainingpartsofthisAgreementshallremaininfullforceandeffect.

Intheeventanyclause,termorprovisionofthisAgreementisfoundtobeillegalorincontraventionofanycourtruling,NationalLaborRelationsBoardrulingorrulingofanyotherboardoragencyhavingjurisdictioninthematter,saidclause,termorprovisionshallberenegotiatedtothemutualsatisfactionoftheparties;but,duringsuchrenegotiationthereshallbenointerruptionsofworkbylockouts,strikesorotherlabortroubles.

ARTICLE X V IDURATION

67. AlltermsandconditionsofthisAgreement,asamended,shallbeeffectiveasofthefirst(1st)dayofMay,2010,andshallremaininfullforceandeffectuntilthefirst(1st)dayofMay,2013,andshallcontinuetoremaininfullforceandeffectfromyeartoyearthereafter,unlesseitherpartynotifiestheotherpartyinwritingofitsintentiontoamend,modifyorterminatesaidAgreementatleastsixty(60)dayspriortoexpirationofthisAgreement.

68. It isagreedanydiversionofascheduledwageincreasetoa fringe benefit programmay bemade, provided theUniongiveswrittennoticetotheOhioContractorsAssociation,LaborRelationsDivisionatleastsixty(60)dayspriortothedatethewageincreaseistobeeffective.

69.ThereareareaswithinthescopeofthisAgreementforwhichthewagesandconditionscontainedhereinmaynotbeappropriateduetocompetitionorotherreasons.Insuchcasesadjustmentswill bemade in accordancewith principles agreed to by thepartiesduringnegotiations.Eitherpartycanrequestameetingwiththeotherpartytobeheldwithin15daysofnotificationtotheotherparty.

70. More Favorable Conditions. If theUnionshall furnishemployees toanyContractorwithin theareaof jurisdictionofthisAgreementforconstructionwork,asdefinedherein,uponanymorefavorableterms,conditions,orwageratesthanthosecontained herein, theUnion agrees that suchmore favorableterms,conditions,andwagesshallautomaticallybeextendedtoallContractorssignatorytothisAgreement.

ForZone4,thefollowingapplies:

(1)Forty(40)hoursshallconstituteaweek’swork.TheworkweekshallcommenceonMondaya.m.andshallendonSaturdayp.m.Allworkperformedbyanemployeeoverforty(40)hoursinanyoneweekshallbepaidattherateofoneandone‑half(1‑1/2)timestheregularrateofpay.

(2) Timeandone‑half(1‑1/2)shallbepaidafter10hoursinanydayandSundaysandHolidays.

(3) AContractorshallpayallfringebenefitswhendueaslistedinWageGroup1.

EXHIBIT CUSE OF APPRENTICES

1. TheOCA‑LRDandtheUnionamendtheLaborers’TrainingandUpgradingFundTrusttoprovideforApprenticeshiptraining.TheamendedFundisnowknownastheLaborers’TrainingandApprenticeshipTrustFundwhichwillestablishaprogramforthetrainingandutilizationofregisteredapprenticesonconstructionsites.TheprogramandcontributionstoitshallbeincompliancewiththeLaborManagementRelationsActandthefederalandstateManagementrequirementsforapprovedapprenticeshipprograms.Thetrustagreementprovisionsandtherulesforeligibilityandregulations created by theTrustees overseeing theLaborers’Training andApprenticeshipCommittee are incorporated byreferenceandwillbemadeavailableuponrequestbyanycon‑tributingContractor.

2. TheOCA‑LRDandtheUnionshalleachappointorre‑appointfourtrusteestoconstitutetheBoardofTrusteesoftheLaborers’TrainingandApprenticeshipTrustFund.Allregisteredappren‑ticesshallbeunderthedirectionandcontrolofthecommittee.

3. TheContractorcontributionto theamendedFundshallre‑mainunchangedandbeintheamountofcontributionrequiredfortheLaborers’TrainingandUpgradingFundsetforthinthisAgreement.

4.TheratioofapprenticestoLaborersshallbenolessthanonecompetentandqualifiedLaborertooneapprenticeforthefirstapprenticeonthejob,andfourcompetentandqualifiedLaborerstooneapprenticethereafter.Thereshallbenocomminglingofapprenticesontooneormorespecificjobsites,astheratiomustbemaintainedforeachproject.

5. Every employee of theContractorwho comeswithin thescopeof theAgreement shall be considered aLaborer unlessregistered as an apprentice under theLaborers’Training andApprenticeshipfund.

6. Apprenticesshallworkunderthesupervisionofcompetentandqualifiedworkersonthejob.Instructioninsafetyandsafeworkpracticeswillbepartofjobinstructioninadditiontothatincludedinrelatedoff‑jobinstruction.

7. Anypersonenteringbutfailingtomaintainandcompletehisorherapprenticeship,asdeterminedbytheJTACshallnotbeem‑ployedbytheContractorasajourneyworkerunderthisAgreementforthedurationoftheremainingapprenticeshipperiod.

8. TheamountofwagestobepaidtheapprenticeshallbeatapercentageorgraduatedwagescaleoftheLaborerfortheclassofworkandworklocationsetforthintheagreement,asfollows:

Theabovepercentagesarecalculatedonthebasewagerateonly.Theapprenticeshallreceivefullpaymentonhisorherbehalfintothefringebenefitprogramsat theratecalledforintheAgree‑ment.InnoinstanceshallthestartingratebelessthanthehourlyminimumoftheFairLaborStandardsAct.

9. TheOhioLaborers’TrainingandApprenticeshipTrustFundshallformulaterulesandregulationsnecessarytoadministertheapprenticeship program to govern eligibility, registration, andeducationtomeettheneedsandrequirementsoftheprogramandincompliancewithfederalandstateapprenticeguidelines.ThepurposeoftheprogramistosupplyapprenticestoContractorssignatory to theAgreement and the programwill requireAp‑prenticestrainedundertheprogramtocontinueintheemployofsignatorycontractorsduringandaftercompletionoftheprogram.Anyregisteredapprenticewhogoestoworkforanon‑signatoryContractorshallnolongerbeeligiblefortheprogramandshallrepaytotheOhioLaborers’TrainingandApprenticeshipFundthecostofanyschoolingortraininginanamountestablishedbytheFund.ThecostoftrainingshallberepaidtotheFundiftheindividualwhocompletesapprenticetraininggoestoworkforanon‑signatoryContractorwithinthenumberofyearsfollowingcompletionofthetrainingasestablishedbytheOhioLaborers’TrainingandApprenticeshipTrustFund.

10.AsignatoryContractortothisAgreementmayreferapplicantstotheOhioLaborers’TrainingandApprenticeshipTrustFundforproposedinclusionintheapprenticeprogramprovidedithasnoregisteredapprenticeon layoff.Unlessanduntilaccepted, thereferredapplicantshallnotbeeligibleforanapprenticerate.

11.AsignatoryContractormayrequestthelocalunionhavingjurisdictionovertheworkareacoveredbythespecificprojectforapprenticereferralswho,ifreferred,willserveastheemployeehiredthroughthelocalunion.

12.ForeachemployeewhoseLocalUnionhasestablishedorparticipatesinalocaljointapprenticeshipfund,theContractor,uponwrittennotificationfromtheLocalUnion,shalldivertfivecents($.05)perhourforeachhourworkedfromeachemployee’swagesandtransmitsaidmoniestothelocaljointapprenticeshipcommittee. Contributionsshallbedueandowingonthe15thof themonthfollowing themonthforwhichcontributionsaremade. Uponwritten notice to theContractor, the local jointapprenticeshipfund,oritsagent,shallbeauthorizedtoconductapayrollaudittodeterminecompliancewiththeprovision.

Inconsiderationof thebenefits tobederivedandothergoodandvaluableconsideration,theundersignedcontractoralthoughnotamemberofTheLaborRelationsDivisionoftheOhioContractorsAssociationdoesherebyjoinin,adopt,acceptandbecomeapartyto thecollectivebargainingagreementheretoforemadebyTheLaborerRelationsDivision,OhioContractorsAssociationwiththeLaborers’DistrictCouncilofOhio,includingalloftheprovisionsthereinpertainingtocontributionstoTrustFundsandagreestobeboundbyanyTrustAgreementhereafterenteredintobetweenthesepartiesandagreestomakecontributionsasrequiredandauthorizesthesepartiestonametheTrusteestoadministersaidFundsandratifiesandacceptssuchTrusteesandthetermsandconditionsoftheTrustsasifmadebytheundersigned.
