MEDIA BUSINESS TERMS:

Invoices are generated 30 days prior to the date when magazines are sent out and are due and payable upon receipt. All cheques are payable to the order of SharedXpertise Media LLC. Interest in the amount of 18% per annum will apply to late payments. This insertion order shall not be cancelled without the written consent of SharedXpertise Media LLC.

The advertiser acknowledges that any changes in the above specifications and/or schedule cancellations must be in writing. SharedXpertise Media LLC requires 90 days advanced notice from the ad copy closing date for all cancellations. A 10 percent short rate penalty per advertisement placed will apply to all cancellations. Advertisers who cancel after the notice period stated above will be billed for an amount equal to the published rate card. If this contract is not fulfilled for any reason whatsoever, Advertiser will be short rated, charged the highest applicable earned rate as published on HRO Today Global’s rate card for all advertisements contracted for in this agreement.

This agreement, and the rights and obligations of the parties hereto, shall be gov-erned by and construed and enforced in accordance with the substantive laws of the state of New Jersey, without regard to its principals of conflicts of laws. Both Parties consent to venue and personal jurisdiction over them in the courts of New Jersey, including the federal courts, for purposes of construction and enforcement of this Agreement.
