In ad­dillon. the SEC alleged, the plnnnedmerger of Fortuna and KodIak wasplanned from the beginning, but wasconcealed from Fortuna stockholders andtheSEC until only recently.

"Smith's Involvement and control wasmade possible because Kodiak wasdePendent on U.S. National Bank loans forits day to day survival," the suit alleged."Smith personally conceived, engineeredand arranged the financing for Kodiak'sacquisition of Swlland and Fortqna andlIrranged additional U.s. U.S. National Bank, with assets of $1.1billion was controlled by Smith at the timeit was forced into receivership by theFDIC in 1973 for Insolvency.

The first annllal meeting of the NewMexico chapter of the AmericanNeedlepoint Guild was held October 26 inLincoln. The theme for the meeting was"Tiempo Allegre" (happy timeS).

.A needlepoint workshop began at 9: 00a.m. and continued until noon when alunch was served at the Wortley Hotel.Following the luncheon. John Mlegs, wellMown artist, presented the program. HeShowed a needlepoint portrait of GeorgeWasliington circa 1840. Miegs is a collectorof antique needlepoint. During thepresentation he told the group ofneedlepoint enthusiasts that MarthaWaShington was a great advocator of thecrafl.

A needlepoint show was held ,. in themuseum and a wards were presented in ten<!ifferent categories: (I) Designed andworked by exhibitor; (2) Orlginaldesignedexpressly for exhibitor and worked byexhibitor; (3) Adaptations, work inspired11;- or adapted from Some medium otherthan needlepoint; (41 Design wo,'ked onqanvas painted by someone other than the
