REQUEST FOR PROPOSALS

October 8, 2021

The Board of Trustees of the St. Charles City-County Library District (the “Library”) requests thesubmission of Proposals (“Proposal” or “Proposals”) in response to this Request for Proposals fromqualified businesses to provide IT managed services to the Library as described in this Request forProposals (the “Project”). All Proposals must be received no later than 4:00p.m. C.T., onFriday, November 12, 2021 by:

A proposer shall complete the Proposal as required in this Request for Proposals and deliver thecompleted Proposal in a sealed envelope marked “Information Technology Managed ServicesRFP.”

The Library reserves the right to reject any and all Proposals and to waive formalities in the bestinterest of the Library.

BACKGROUND

The Library is a political subdivision of the State of Missouri. The Board of Trustees (“Board ofTrustees”) of the Library is a body corporate with all the powers and rights of like or similarcorporations serving more than 380,000 Library residents.

All management and control of the Library is vested in a Board of Trustees consisting of nineTrustees appointed by the County Executive of St. Charles County or Mayor of the City of St.Charles. The Trustees serve staggered three-year terms.

The Board of Trustees appoints a qualified librarian who holds that office at the Board of Trustees’pleasure as the chief executive and administrative officer (“Director”) of the Library.

GENERAL REQUIREMENTS

The Project is subject to all applicable laws of the State of Missouri governing the Library includingbut not limited to the following:

● Missouri law prohibits all employers from employing aliens unlawfully present in theUnited States to perform work within the State of Missouri, including the Project andproposers must comply with the provisions relating thereto in Section 285.530, RSMo., asamended.

● Every transient employer must comply with Sections 285.230 through 285.234, RSMo., asamended, when applicable.

● Pursuant to Sections 34.070 and 34.073, RSMo., the Library prefers to purchase thosematerials, products and supplies which are produced, manufactured, compounded, made orgrown, within the State of Missouri when they are found in marketable quantities and are aquality suited to the purpose intended, and can be secured without additional cost overout-of-state products. Quality and fitness of articles will be considered in making purchasesor letting contracts. Similarly, in letting contracts for the performance of any job or services,the Library prefers Missouri firms, corporations or individuals, or firms, corporations orindividuals which maintain Missouri offices, when the quality of performance promised isequal and the price quoted is the same or less.

Public entities, as well as the successful proposer, shall comply with these laws. Failure to complywith many of these laws constitutes a misdemeanor for the successful proposer. The purpose ofthese laws is to protect the taxpayers and ensure workplace safety.

In addition to the general requirements listed above, the successful proposer shall comply with alllaws, ordinances, regulations, applicable zoning and building requirements, and orders of federal,state, county, and local governing authorities pertaining and applicable to each Library Location, thesuccessful proposer and/or the Library.

Applicable insurance coverage must be provided by the successful proposer before any work can bestarted on the Project.

These general requirements, this Request for Proposals, the Proposal and any specifications,drawings, schedules and instructions of the Project shall be incorporated in the contract and/orpurchase order signed by the parties should the proposer be awarded a contract under this Requestfor Proposals.

As a condition to the contract award, each selected firm (or firms) is required to enter into acontract with the Library substantially in the form of the Network Support and Managed ITServices Contract, attached hereto as Exhibit A, and made a part hereof.

SCOPE OF WORK

The Library intends to engage a qualified business to provide Information Technology ManagedServices as described herein as directed by the Board of Trustees and the Director. The successfulproposer will utilize a co-managed service approach to support the ongoing operation of theLibrary’s infrastructure environment, including servers and storage systems as well as networkcomponents.

Information Technology at the Library is currently managed by an IT Department consisting ofeight (8) full-time employees, as below:

● Director of Technology Services● IT Computer Systems Administrator● Integrated Library System (ILS) Administrator● IT Programmer/Analyst● Library Technology Coordinator● Three (3) IT Support Specialists

We are seeking a managed services solution with expertise in systems and networking to support theLibrary’s IT infrastructure and services.

IT Environment Summary● The IT Department staff and the Data Center are located in the Library’s Administration

building. The Administration building and adjacent Spencer Road branch are linked via aprivate fiber circuit and are interconnected with the other branches over a private 100 MbpsWAN leased from Spectrum Enterprise. Internet service is from MOREnet, which providesconnectivity to Missouri’s public sector entities. Public Internet access is available at allLibrary facilities on provided wired networked devices and over a WiFi network. The DataCenter houses 4 Dell Power-Edge servers hosting approximately 70 virtual servers. Thenetwork is composed of mostly Cisco switches, pfSense firewalls, and the wireless networkis made up of HP Aruba devices. We also have a variety of security cameras installed at theLibrary’s branch locations.

● The device inventory includes 260 staff desktops and laptops, all running Windows 10, 350lab and public access computers running Windows 10 and a modified version of Windows 7,70 staff printers and multifunction devices, 10 public printers, multiple receipt printers,barcode scanners and hot spots, and 4 iPad labs.

● Our Library district operates 7 days a week, including evenings, so we may need assistanceduring that period of time.

Required IT Maintenance Services● Use of an RMM will not be allowed due to ongoing security risks and vulnerabilities.● Regularly maintain all virtual servers in a specified “maintenance window” to patch

Windows and other key systems.

● Proactively manage all systems, including servers, storage devices, and networkcomponents, providing services necessary to ensure the performance, security, reliability,availability, and recoverability of all systems.

● Continuously evaluate and assess the network environment for vulnerabilities andopportunities for improvement, and provide consultation and recommendations forenhancement.

● Monitor and review event logs for all servers, storage devices, network devices and services(ISP, email, web-filtering, etc.)

● Ensure that all systems are regularly backed up, that backups are performed on a regularschedule, and that files are restored as needed.

Required IT Support Services● In order for the internal IT staff to complete current projects and tasks, we expect to need an

average of 15 hours per week of assistance with server and network administrationassistance.

● Please propose a solution that will:○ Provide on-site and/or remote administration and troubleshooting capabilities○ Provide 24x7 emergency response - indicate the expected response time○ Provide guidance and recommendations for opportunities to improve

● Coordinate repair and maintenance work with the Director of Technology Services andensure repairs are conducted in a timely fashion.

● Document all changes made to the Library’s environment.

New Larger IT Projects● In addition, we have new larger projects that will need to be done, including a

review/redesign of the wireless networks and infrastructure, a review/redesign of the wirednetworks infrastructure, and a review/redesign of the virtual server infrastructure. For thesenew projects, and in collaboration with the Director of Technology Services, we will definethe scope of work needed, along with project plans with detailed timelines and associatedcosts.

PROPOSAL REQUIREMENTS

1. REQUIREMENTS

(a) The Proposal must arrive not later than 4:00 p.m. C.T. on Friday, November 12, 2021. NoProposal will be accepted after this time and any Proposal arriving after this time will bereturned unopened.

(b) The Proposal must be addressed as follows and delivered to the following address:

(c) The Proposal must bear the following legend:

Information Technology Managed Services RFPfor the St. Charles City-County Library District

(d) Proposals must be on eight-and-one-half inch (8 1/2”) by eleven inch (11”) white paperprinted on one side. [Sheets containing graphic images may fold out to eleven inches (11”)by seventeen inches (17”).] The Proposal must clearly and easily identify the individual orfirm and contain the name, address, and a telephone number of its principal spokesperson,which may be released by the Library as public information as required by applicable lawand/or Library policy. Colored and/or tabbed divider sheets may be used to delineatediscrete sections. Each proposer must submit five (5) complete copies of each Proposal withoriginal signatures.

(e) Alternatively, the proposer may submit one (1) complete printed copy of each Proposal withoriginal signatures as defined above AND an electronic copy on a flash drive that isphysically delivered in the box/envelope along with the hard copy.

(f) Any proposer desiring an explanation or interpretation of the Request for Proposals mustrequest it in writing no later than 4:00 p.m. C.T. on Friday, October 22, 2021. Oralexplanations or instructions given before the award of the contract will not be binding. Anyinformation given to a proposer concerning a solicitation will be furnished to all otherproposers as an amendment of the Request for Proposals, if that information is necessary insubmitting offers or if the lack of it would be prejudicial to any other prospective proposers.Such an amendment will be published on Monday, November 1, 2021.

(g) If this Request for Proposals is amended, then all terms and conditions, which are notmodified, remain unchanged. Proposers shall acknowledge receipt of any amendments tothis solicitation by: (i) signing and returning the amendment; and (ii) identifying theamendment number and date in the space provided for this purpose. The Library mustreceive the acknowledgement by the time specified for receipt of Proposals.

(h) No Proposal shall be withdrawn for a period of 90 days subsequent to the opening of theProposals without prior written consent of the Library.

(i) The Library is not liable for any cost incurred by the proposer prior to issuance of a legallyexecuted contract by the Library and/or purchase order authorized by the Library.

(j) All materials submitted by the proposer in response to this Request for Proposals becomethe sole property of the Library upon receipt. The material contained in these Proposals willbe appended to the final contract, further defining the contractual responsibilities of theproposer.

2. COVER LETTER(a) Cover Letter must indicate that the signer is authorized to bind the proposer contractually

and must identify the title or position of the signer. The letter shall also contain thefollowing:

(i) The name of the proposer, street address, telephone number, and emailaddress.

(ii) A statement that (a) the proposer is willing and able to provide the goods andservices required for a successful engagement; (b) the proposer has read andunderstands the Request for Proposals; (c) the proposer has visited andexamined each Library Location; and (d) the Proposal is made in accordancewith the Request for Proposals and is based upon the materials, products,systems and equipment required by the Request for Proposals.

(iii) The name of the individual within the proposer, who will be the primarycontact concerning this engagement.

(b) An unsigned submission shall be rejected.

3. PROPOSAL CONTENT. The Proposal shall contain the following information at aminimum:

(a) General Information About the Proposer. Please provide a brief description of theindividual or firm.

(b) Experience. The Proposal must clearly identify the individual or firm’s qualifications,competence and relevant experience in providing services for the Project described in thisRequest for Proposals.

(c) Personnel. Please indicate the name, location, telephone number, fax number and emailaddress of the primary contact person for the proposer. Please identify the individualsproposed to serve the Library, specify their capacity and roles, and include a brief resume foreach. If the proposer is required to give an oral presentation as part of the selection process,only those individuals listed will be invited to participate.

(d) Managed Maintenance Services Included. Please outline and describe the services thatwould be included in the managed maintenance services that you propose. Indicate thetimeframe for the regular maintenance recommended and the workflow to accomplish themaintenance.

(e) Response Time Expectations. Please indicate the response time that your firm wouldguarantee we could expect when we have a need for service or maintenance assistance. Ifthis varies based on the level of urgency of the issue, please specify the various levels ofresponse time we would expect.

(f) References. Please provide at least 3 references from similar sized contracts pursuant towhich your company has provided similar services within the last 3 years

(g) Conflict of Interest. If the proposer believes that a conflict of interest may arise, describethe nature of the conflict and the proposed resolution of the conflict. Further, pleasedescribe whether the firm or any of its employees has any interests or relationships whichmight conflict with or compromise the expectations of the Library in providing the servicesset forth in this Request for Proposals.

(h) Financial Interest. Please disclose any professional or personal financial interests whichcould be a possible conflict of interest in contracting to perform services for the Library.

(i) Cost Proposal. Proposer must submit the monthly/quarterly/annual cost for the maintenanceservices, as well as a schedule of fees or regular cost for the server and network services thatwould be charged to assist internal IT staff with projects. If hourly rates vary based on levelof expertise needed and/or specific personnel involved, please identify the various rates.

(j) Other. Discuss any other firm characteristics which your firm believes should be consideredby the Library.

SELECTION PROCEDURES

1. Proposals will be opened and referred to and reviewed by a Selection Committee composedof representatives of the Library named by the Director.

2. Proposals that fail to adhere to the requirements of this Request for Proposals may result inthe Proposal being disqualified as non-responsive.

3. In determining the best Proposal, among other factors, the Library may consider all factorsin this Request for Proposals including, but not limited to the capacity and capability ofproposer to perform the work in question within the time limitations required; proposer’spast experiences with references for comparable work; location of the proposer; and thereasonableness of the fee for the type of work required.

In particular, we will use the following Evaluation Criteria to award this contract:

Cost proposed 25%

Related project and industry experience 10%

References for such projects 10%

Approach, methodology and expertise ofthe key personnel identified for ourcontract

30%

Accessibility of the key personnel tosupport the internal IT staff

25%

4. The Selection Committee will make a recommendation to the Director who will make arecommendation to the Board of Trustees.

AWARD

1. The right is reserved by the Board of Trustees to cancel this Request for Proposals, to rejectany and all Proposals, to split awards or make multiple awards, or to waive formalities in thebest interest of the Library.

2. Subject to the rights reserved by the Library, an award will be made by the Board ofTrustees to the proposer determined to have the best Proposal.

3. All proposers will be notified of the Library’s selection as soon as possible.

4. The successful proposer will be issued a Notice of Award. Within ten business days, thesuccessful proposer shall provide the following documentation:

(a) Proof of the appropriate insurance coverage:

(i) Worker’s Compensation & Employers Liability – statutory amounts

(ii) Commercial General Liability – $1,000,000/occurrence$2,000,000/aggregate.

(iii) Automobile Liability Insurance – $1,000,000

(iv) Professional Liability – $1,000,000

(v) Umbrella Liability Insurance – $5,000,000/occurrence.

(b) Federal Identification Number.

(c) Evidence that the successful proposer is authorized to do business in Missouri.

(d) Copies of all license(s) from applicable governing authorities evidencing that thesuccessful proposer is licensed to do business at each Library Location.

(e) All proposers on Library contracts for services in excess of $5000 must provide theLibrary with documentation and a sworn affidavit, with respect to employeesworking in connection with the contracted services, affirming enrollment in a FederalWork Authorization Program (“FWAP”). The affidavit shall also provide that theproposer does not knowingly employ any person in connection with the contractedservices who is an unauthorized alien. Such affidavits must be provided with aProposal. Subcontractors must provide similar affidavits to its general contractorswhen the general contractor hires the subcontractor. A contractor or subcontractor isnot required to perform an electronic verification check on employees hired beforeJanuary 1, 2009.

5. The successful proposer is expected to enter into a written contract with the Library.Approval of a final contract between the Library and the successful proposer, pursuant tothis Request for Proposals and the proposer’s response, is subject to approval by the Boardof Trustees. The successful proposer would be expected to commence the services on orabout January 1, 2022.

EXHIBIT A

ST. CHARLES CITY-COUNTY LIBRARY DISTRICTNETWORK SUPPORT AND MANAGED IT SERVICES

CONTRACT

This NETWORK SUPPORT AND MANAGED IT SERVICES CONTRACT (“Contract”) ismade and entered into as of the XX day of XXXXX, 2021, by and between the ST. CHARLESCITY-COUNTY LIBRARY DISTRICT (“Library”) and ____________________ (“Contractor”).

WITNESSETH:

WHEREAS, the Library issued a Request for Proposals for Network Support and ManagedIT Services (“Project”), a copy of which is attached hereto as Exhibit A, and made a part hereof(“RFP”);

WHEREAS, specifications of the RFP cover a scope of work for all Library branchesdescribed in the RFP (collectively the “Library Locations”);

WHEREAS, the Board of Trustees of the Library awarded the contract to Contractorpursuant to Contractor’s Proposal for Network Support and Managed IT Services, a copy of whichis attached hereto as Exhibit B, and made a part hereof (“Proposal”); and

WHEREAS, the Library and Contractor desire to enter into this Contract setting forth theterms by which Contractor will perform Project services described herein on behalf of the Library atthe Library Locations, subject to the terms and conditions set forth in this Contract;

NOW THEREFORE, in consideration of the mutual promises and covenants containedherein and for other good and valuable consideration, the receipt and sufficiency of which arehereby acknowledged by the parties, the parties agree as follows:

1. Scope of Work. Pursuant to this Contract, Contractor shall perform the scopeof work (collectively the “Contractor Services”) described in the RFP and the Proposal. Contractorshall perform the Contractor Services and all duties incidental or necessary thereto diligently andcompletely, consistent with the professional skill and care ordinarily exercised by members of theprofession practicing under the same or similar circumstances, and as expeditiously as is consistentwith such professional skill and care. All Contractor Services shall be coordinated with_______________________, _______________________, representative of the Library.

2. Term. This Contract shall commence on ____________________ andterminate _________________________, unless sooner terminated as provided in this Contract.The parties may extend the period of the Contract for supplemental periods of twelve (12) months,upon mutual written agreement.

3. Fiscal Funding. Notwithstanding any provision herein to the contrary, theterm of this Contract is subject to and conditioned on, the appropriation, availability and budgetingof sufficient funds by Library. For any fiscal year of Library during the term hereof, in the eventthat sufficient funds are not available to Library, are not able to be appropriated by Library orcannot be budgeted by Library for the services hereunder, Library shall have the right to terminatethis Contract upon thirty (30) days prior written notice to Contractor.

4. Contractor Insurance. [CONFIRM] During the term of this Contract,Contractor shall procure and maintain the following insurance coverage and limits:

(1) Worker’s Compensation & Employers Liability—Statutory Amount (Mandatory);

(2) Automobile Liability for vehicles used—$1,000,000;

(3) Commercial General Liability—$1,000,000; and

(4) Professional Liability—$2,000,000.

The policies of insurance shall be in such form and shall be issued by such company or companiesreasonably satisfactory to the Library. The Library shall be named as additional insured with dutyof defense on all general liability and automobile insurance policies required hereunder. Copies ofContractor’s certificates of insurance showing coverage during the term of this Contract as requiredin this Contract shall be provided to the Library upon execution of this Contract. All insurancepolicies required by this Section, or of or on behalf of the Library required in this Agreement shallcontain the following language: “This insurance policy does not apply to any claim or suit which isbarred by the doctrines of sovereign immunity or official immunity but we will have the right andduty to defend any suit. No provision of this endorsement or of the policy, to which it is attached,shall constitute a waiver of our right, or the right of any of our employees in the course of theirofficial duties, or the right of any insured, to assert a defense based on the doctrines of sovereignimmunity or official immunity for any monetary amount whatsoever.”

5. Independent Contractor. Contractor shall perform all Contractor Services asan independent contractor and not as an employee of the Library. The Library shall not assume anyliability for the direct payment of any salary, wage, workers compensation, income tax withholding,or any other type of compensation to Contractor for the Contractor Services. Contractor shallobtain as necessary and pay for all permits, fees, licenses and taxes applicable to Contractor and theContractor Services at the Library Locations.

6. Compliance with Laws. In performing the Contractor Services, Contractorshall comply with all federal, state, county and local laws, ordinances, statutes, codes, rules, andregulations, zoning, building requirements and orders pertaining and applicable to the LibraryLocations, Contractor and/or the Library, all general requirements and other requirements contained

in the RFP, and all policies and procedures of the Library applicable to Contractor and the LibraryLocations.

7. Indemnity. Contractor shall and hereby does indemnify, defend and hold theLibrary and the Library’s board members, officers, directors, servants, employees, agents,successors or assigns harmless from and against any and all actions claims, demands, damages,losses, liabilities and expenses (including, without limitation, reasonable attorneys' fees andexpenses) asserted against, imposed upon or incurred by the Library arising out of or resulting fromthe acts, errors or omissions of Contractor in the performance of this Contract.

8. Breach and Termination. Contractor shall be in breach of this Contract at anytime for failure to perform any of the terms, covenants, conditions or agreements of Contractor inthis Contract for 10 days after written notice from the Library and upon the occurrence of a breachby Contractor, the Library may, at its option: (a) by written notice to Contractor, terminate thisContract; or (b) pursue any other right or remedy available at law or in equity. Notwithstanding anyother provision of this Contract, the Library may terminate this Contract for any reason byproviding at least 30 days prior written notice to the Contractor. In the event of a termination of theContract, Library shall be responsible for payment only for Contractor Services provided up to thedate of termination.

9. No Waiver. No failure on the part of either party at any time to require theperformance by the other party of any term hereof shall be taken or held to be a waiver of such termor in any way affect such party’s right to enforce such term, and no waiver on the part of eitherparty of any term hereof shall be taken or held to be a waiver of any other term hereof or the breachthereof.

10. Severability. If any clause or provision of this Contract is illegal, invalid orunenforceable under present or future laws effective during the term of this Contract, then and inthat event, it is the intention of the parties hereto that the remainder of this Contract shall not beaffected thereby, and it is also the intention of the parties to this Contract that in lieu of each clauseor provision of this Contract that is illegal, invalid or unenforceable, there be added as a part of thisContract a clause or provision as similar in terms to such illegal, invalid or unenforceable clause orprovision as may be possible and be legal, valid and enforceable to the extent same can beaccomplished without distorting the intent of the parties.

11. Entire Agreement. This Contract and the Exhibits contain the entireunderstanding between the parties with respect to the subject matter herein. This Contract shall notbe amended, modified or supplemented without the written agreement of the parties.

12. Governing Law, Jurisdiction. This Contract shall be governed, construed andinterpreted under Missouri law, and shall be deemed executed and performed in the County of St.Charles, Missouri. Any legal action arising out of, or relating to this Contract shall be governed bythe laws of the State of Missouri, and the parties agree to the exclusive exercise of jurisdiction andvenue over them by a state court located in the County of St. Charles, Missouri, or federal courtlocated in the City of St. Louis, Missouri.

13. Captions. The captions herein are for convenience and identification purposesonly, are not an integral part hereof, and are not to be considered in the interpretation of any parthereof.

14. Notices. All notices and other communications hereunder shall be in writingand shall be deemed to have been duly given (a) when delivered if by personal delivery, (b) on thenext business day if sent by overnight delivery, or (c) two business days after sent by certified mailor registered mail, return receipt requested, postage prepaid, addressed as follows: (i) to the Library,77 Boone Hills Drive, St. Peters, Missouri, 63376, Attention: _________________,____________________; (ii) to Contractor, _______________________________________,Attention: _________________, ____________________; and (iii) or to such other address as shallbe furnished in writing by either party to the other party.

15. No Joint Venture. With respect to the matters set forth in this Contract, theLibrary and Contractor are not and shall not be deemed to be, for any purpose, partners or jointventurers with each other.

16. Counterparts. This Contract may be executed in separate counterparts, eachof which when so executed shall be an original, but all of such counterparts shall together constitutebut one and the same instrument.

17. Assignment. This Contract shall not be assigned or otherwise transferredwithout the prior written consent of the Library, in its sole discretion and judgment.
