The wise man wins before he fights. Here is an old lesson in the art of combat and the tenth principle

that completes the learnings of judo.

At first glance, the words seem like they belong to the Far East rather than mirroring our Western upbringing. We are taught from childhood that our road in life must lead to ever higher peaks and that our youthful aspirations must

closely serve our plans for the future.

We define ourselves in line with our ambitions, which makes yielding to a greater force an impossibilty. That would imply throwing the battle away. It would have us put out the burning flames that feed our victory with the

help of a bucket of cold water. But the wise man knows that there is a perfect moment to strike for the win, and that such a moment comes through intense training of the soul and mind.

I will not run out of cowardice and I will not turn my back to uncertainty.

As crusaders in search of achievement, we have to deal with tough choices every day. In our role as specialists in the risk assessment business, we know that life can be as unpredictable as it is manageable.

For the reasons above and many more, we sketch the blueprint of success in our professional and personal lives just as fighters do. Their strengths – power, energy, mobility, coordonation and resistance- match ours.

Their drive echoes in us.

This year, the apprehension pushed our report far beyond the limits of corporate communication. It took our mission to the battleground where we demand nothing more than a fair and noble chance

at being the best in our line of work.

The report serves as a guide to remind us of our capacity for imagining the unimaginable.

Last year, OMNIASIG has proved once again its PROFESSIONALISM and PASSION, not only in terms of the registered result, but also by consolidating its entire business, by enhancing the capabilities and skills of its employees, as well as the quality of the services offered to clients and partners.

Three competitive advantages make our company stand out and help us acquire an optimum position for building a long-term success: the ambition to be NUMBER 1 IN THE BUSINESS-TO-BUSINESS SECTOR, the desire to cherish CLIENTS’ RECOMMENDATION AS THE HIGHEST DISTINCTION and the

desire to carry out our business at THE HIGHEST QUALITY STANDARDS.

Our results in 2017 stand as proof of our instinct for performance and puts us in a leading position in the top of general insurance companies: the total volume of gross written premiums amounting to lei 1.06 billion, our market share of 13.77% (on the general insurance market), a very small number of days in which we pay our MTPL claims and a profit of lei 20.09 million (according to the IFRS reporting standards for consolidation purposes).

We do not want only to pursue the long-term economic success of our company, but also to be sustainable from all points of view. A responsible company is at a crossroads between its involvement in the community, social development, respect for the environment and economic performance. Our mission, in terms of social responsibility, is clear: to promote road safety and a responsible driving behaviour, to protect the environment and pursue a responsible consumption of resources, to help disadvantaged children and young people and prevent and prepare the reaction in case of major disasters or different accidents. This mission is grounded on the main role of insurance: risk transfer and management.

We are also prepared to face the challenges of the year 2018. We manage business with the aim of

obtaining better results and we focus on the development of innovating services, shaped according to the needs, desires and expectations of clients. The Customer is the core of our concerns and we prioritize the enhancement of the quality of the services we offer, in order to consolidate sustainable relations with our clients and partners. I am convinced that the actions planned during the process of digitalization will help us climb even higher in the top of Romanian insurers.

On behalf of the entire Management Board, I would like to thank you for the sustained trust in our Company and we assure you that we will continue to approach our initiatives with enthusiasm and confidence that our strategy will be successful and that we will bring added value to our employees, customers, partners and shareholders! We have a common interest: to support the performance of OMNIASIG!

2017 was another dynamic year full of challenges on the Romanian insurance market, due to the series of amendments of the law, rules and regulations.

In order to face these challenges and to adapt to a constantly changing environment, Vienna Insurance Group aimed at applying its sustainable development strategy for 2020 and correlated the digital transformation with the assistance services, IFRS 17 with the Auto Insurance Management and, especially, shaped a clear set of Values, Vision and Mission of the Group, all officially launched in 2017. We focussed on our employees, shareholders and partners, in order to achieve a sustainable development, because only together we can become market leaders.

According to the group’s mission of being the customers’ first choice, our stakeholders to see us as a stable and reliable partner, to consolidate our leadership position in Central and Eastern Europe, VIG reaffirms its commitment towards OMNIASIG and, therefore, puts the consolidation of profitability as one of the strategic priorities of the company.

We believe in diversity and we promise our clients to protect what matters for them, by providing services at the highest standards.

In 2017, OMNIASIG adopted

prudent measures for portfolio management and registered a significant profitability growth. I congratulate all the employees of OMNIASIG, as well as the management team for the results obtained and for placing the company in the top of Romanian insurers.

SHORT HISTORY

OUR PRINCIPLES

OMNIASIG Vienna Insurance Group S.A. (hereinafter referred to as “OMNIASIG” or “the Company”) is a company member of the Vienna Insurance Group (VIG). The diversity of the service portfolio, the guarantee of prompt claims services and its affiliation to the group enabled OMNIASIG to reach the current top position on the Romanian insurance market.

Vienna Insurance Group (VIG) is the leading insurance specialist in Austria as well as in Central and Eastern Europe. About 50 companies in 25 countries form a Group with a long-standing tradition, strong brands and close customer relations. VIG has close to 200 years of experience in the insurance business. With more than 25,000 employees, Vienna

Insurance Group is the clear market leader in its Austrian and CEE markets. It is therefore excellently positioned to take advantage of the long-term growth opportunities in a region with 180 million people. The listed Vienna Insurance Group is the best-rated company of ATX, the leading index of Vienna Stock Exchange; its share is also listed on the Prague Stock Exchange.

Over the years, the Company had several stages of development, until it has become what it is today.

OMNIASIG operates on the Romanian insurance market since 1995, and in 2005 it was taken over by WIENER STADTISCHE Group.

Moreover, BCR Asigurări, a member of the BCR Group, founded in 2001, was taken over by

Vienna Insurance Group in 2009.

On May 1, 2012, the new OMNIASIG was born from the merger between BCR Asigurări and the former OMNIASIG, thus becoming a strong and stable company on the Romanian insurance market.

Our vision is to be the best insurance company in Romania in the business-to-business sector and implicitly in the rest of the insurance sector. Besides, the Company’s mission is to achieve the operational excellence through the services and products provided to our clients. A professional risk management and an excellent claims management system are among the major capabilities of OMNIASIG.

Ever since the beginning, the most

important principle around which we built our set of values was to make our partners and customers happy and satisfied with our products and services. Our values are: INTEGRITY, PROFESSIONALISM and PASSION, RESPECT, TRUST, RESPONSIBILITY.

We put a special emphasis on how we connect with our customers, the value they put on our recommendation being the greatest distinction we aspire to and we try to guide all our actions according to the highest

The company has calculated the legal reserve (5% from the result of the year) and the profit in the amount of 2,923,036 lei, remaining after the legal reserve, will be carried forward.

Starting with January 1st, 2016, the provisions of Law 237/2015 on the authorization and supervision of the insurance and reinsurance activity entered into force and inserted the requirements of the Solvency II regime into the local legislation and the principles of Directive 2009/138 / EC of the European Parliament and of the Council from 25 November 2009 and Delegated Acts published

by the EC on 10 October 2014, as the basis for the implementation of Solvency II.

On December 31st, 2017, based on the calculations and estimates made of the Solvency Capital Requirement (SCR) and the Minimum Capital Requirement (MCR) determined in accordance with the requirements of Solvency II, the Company complies with Solvency II Capital Requirement and has sufficient funds for the next 12 months, based on the Company’s projected budget.

Maintaining in 2017 the positive trend of our turnover started in 2015,

as well as the constant concern for improving the results of the motor portfolio, led to a positive result for the third year in a row.

The premiums written in 2017 were in value of 1.058 billion lei, compared to 1.083 billion lei in 2016, registering a decrease of 24.31 million lei, which represents 2.24% less compared to the previous year;

At the same time, the gross paid claims in 2017 were worth 626.1 million lei compared to 566.5 million lei in 2016, representing 59.67 million lei more than in the previous year (10.53% increase).

As presented in the financial statements prepared according to the Financial Supervisory Authority Norm

41/2015, the company closed the year 2017 with a profit of 3,076,880 lei.

We have always thought that this is very important and, as a member of the VIG group, we have paid a high attention to social and environmental protection issues, by actively participating in various actions in this regard.

This year we extensively described our involvement in social, environmental protection actions, anti-corruption matters, aspects that are required by the

European Directive 05/2014 as it is transposed in the national law. Given that OMNIASIG has always been transparent, open to new and innovating products and observed all the legal requirements, the inclusion of this non-financial data only strengthened our determination to present all these aspects.

We want to grow every year and, hence, to present all our non-financial reporting actions.

We are very pleased to include, as from this year, besides the financial data, also our non-financial data.

ORGANIZATIONAL STRUCTURE

PERSONAL DATA PROTECTION

The entry into force on May 25, 2018 of the European Regulation 679/2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data was treated seriously and responsibly by OMNIASIG.

Organizationally speaking, new specialized units were created. It

was also created a data protection department in this new entity and a personal data protection officer was appointed at the company’s level.

The preparation of the data protection policy and of the set of subsequent documents was another step towards complying with the requirements of the Regulation, on one hand, and protecting the

personal data of our customers and employees, on the other hand. Currently, the company is in full process of harmonization of the IT resources used in the insurance business with the requirements of the Regulation and of training the entire staff on new working methods, the documents used, their tasks and responsibilities related to personal data protection.

OMNIASIG thinks that a responsible and effective management is essential, aimed at developing trust among partners and customers. For this purpose, the Company has established an organization structure that provides the highest quality all the time, being managed in dualist

system by the Managing Board and the Supervisory Board, in order to enhance its corporate governance.

A unified structure and corporate identity was created within the headquarters of the Company, by different Divisions and departments,

such as: Direct Sales Division, Human Resources Division, Claims Division, Controlling Division, Financial Division, Anti-fraud Division, Motor Corporate and Leasing Underwriting Division, Brokers Division, Prevention and Protection Department and others.

Communication with the stakeholders is an important aspect of our reporting process and, therefore, our aim is that, in this non-financial report, to satisfy our stakeholders’ expectations.

We relied on several criteria for a correct determination of the groups of stakeholders for consultation and prioritization, among which: the direct or indirect dependence of the stakeholders to our activity, the impact created by our Company in the community, the impact of our services on a certain target group of stakeholders, the legal commitments undertaken, the ethical and anti-corruption policies that shape the services we provide.

After an internal analysis, we

identified 8 distinct categories of stakeholders (internal and external), namely: employees, shareholders, intermediaries, public authorities, mass-media, providers, NGOs. In the period of 2-13 of April we organized a questionnaire survey with a response rate of 226 external respondents and 235 internal respondents.

After this public consultation process, we identified and described the priority areas underlying our non-financial report.

Below, we approach the subjects according to Directive 95/2014/UE transposed in the national law. In this process, we also relied on GRI G4 (Global Reporting Initiative). As regards the meaning, we focus on the relevant terms of our business

model and we review the most important aspects, according to their impact on the process.

The subjects identified for this purpose were split on themes based on the answers to the questionnaires given to the internal stakeholders (employees, management staff) and to the external stakeholders (clients, providers, analysts, NGOs, experts, legal authorities in the field).

The results are conveyed in the materiality matrix. The two axes, „the relevance of the stakeholders” (external employees and stakeholders) and „business relevance” (management), provide a clear image of the Company’s paramount sustainable topics, but also from the stakeholders’ point of view.

The objective of OMNIASIG is to ensure a pleasant work environment for its employees, which allows them to develop successfully, both professionally and personally. Hence, the Company implements training and enhancement measures, by organizing professional and personal development courses on various topics, such as sales, insurance, information technology, customer and employee satisfaction (the number of training hours in 2017 was of 68,816 h, the equivalent of 8,602 days).

The training and development needs are identified at the end of each calendar year for next year, by the Human Resource team, based on: the annual assessment of individual performance, the succession plan of the Company, the projects developed involving the Company’s employees, including those who are part of the VIG Group of Experts.

We are aware that the involvement and motivation of employees are at the base of achieving the Company’s long-term objectives and, this is why we want to avoid limitations at the workplace. Because promotion is a strong motivating factor for employees, OMNASIG allows them to apply for the vacant positions published on the Company’s Intranet, by also ensuring a transparent promotion of employees. Regarding the vacant management positions, the Managing Board can nominate a person from the same area of activity to promote on that position, increasing the retention within the organization of the most valuable employees, and ensuring the continuity of the management structure. As a matter of fact, in the Company, internal recruitment takes priority over external recruitment.

To ensure the continuity of the management direction, the retention of the most

valuable employees within the organization, and to encourage individual professional evolution, the Company has developed a succession plan. This relies on the result of the individual performance evaluation, which is based on the evaluation of the capabilities and the achievement of individual objectives.

In 2017, OMNIASIG had 1,171 employees in all its offices throughout Romania, of which 63.54% of the total employees were women, the percentage of male employees being of only 36.46%. Employees work full time or part time (4h or 3h) due to the flexibility that the Company promotes. Nevertheless, in 2017, the staff fluctuation reached 12.74%.

From the point of view of the professional training, on December 31, 2017, 82.32% of the employees had a higher education degree and only 17.68% of these had a high-school degree.

BENEFITS FOR EMPLOYEES

OMNIASIG grants various benefits to the employees for developing the organizational culture and their quality of life.

The remuneration packages includes the monthly wage, the meal tickets and various bonuses given in the form of gift vouchers on different occasions (e.g.: birthday, 8th of March, Easter, Christmas, 1st of June, etc.) or allowances for various social events from the employees’ life (e.g. birthday, marriage, retirement, death, etc.).

In addition, employees can benefit

of health insurance, discounts for products/services offered by the Company, discounts at OMNIASIG partners as part of the OMNIBenefits program, the possibility to participate in development courses, but also a work-life balance program promoted by OMNIASIG (pilates sessions, participating in a semi-marathon/marathon in Bucharest, the Company’s football team, seminars to maintain a balanced lifestyle, Christmas party dedicated to the employees’ children etc.).

Regarding the remuneration policy, the Company wants

clear, transparent and effective remuneration rules, and the observance of the national and EU law. By these remuneration practices, OMNIASIG makes sure that the Company has the appropriate human resources and that the actions of its employees are aligned and observed in accordance with the Company’s objectives.

Regarding the maternity leave, this is granted in accordance with the law in force. Besides, in 2017, 78 employees requested and received a maternity leave (16 employees) and a child raising leave (62 employees).

THE WORKING ENVIRONMENT AND INTERNAL COMMUNICATION RELATIONSHIP WITH SUPPLIERS

OMNIASIG values the opinions of its employees and is open for communication, which, in our opinion, is the key to a motivating work environment. Hence, the Company creates easy and accessible communication channels, e.g. an Intranet portal, direct meetings etc. Through the internal Intranet platform and the satisfaction questionnaires for employees, the Company enables an internal communication and allows them to suggest ideas of improvement and to share opinions regarding their professional life. For example, the last employee satisfaction study was performed with the Managing Board’s approval, within the period of May 23 – June 17, 2016, after identifying the need of the organization in this regard. The study had a 64% success rate and its purpose was to evaluate the level of involvement, loyalty and efficiency of the employees, to create a motivating working environment that had a positive impact on the Company’s results, and to evaluate the connection between the employees’ opinions and the Company’s business results.

In order to improve the quality of life of its employees, OMNIASIG promotes through its policies and guides the observance of human rights. This is why the Company continues to invest in its human resources, in order to develop them, by maintaining a balance between professional life and private life. In order to achieve this balance, it is important to comply with the working time, the leave and free days at all times.

The Company also offers a working environment based on principles of equal opportunities, discouraging

discrimination and encouraging diversity among the employees. For this purpose, OMNIASIG has implemented a diversity principle applied at the level of the entire VIG group that promotes gender, nationality and age diversity.

These are reflected in the international mobility, training and education programs. For this purpose, the Supervisory Board

reflects the principle of diversity, made up of two women, one of them being the President of the Supervisory Board and five men. Although there are no women in the Managing Board at the moment, at the Company level, 48% of the management positions of the internal structures and territorial units are occupied by women. Therefore, we encourage diversity in all directions within our Company.

A very important aspect for the development of our business is the relationship with suppliers. In order to support economic and social development, the Company promotes sustainable and responsible business practices in its procurement chain.

Our aim is to raise the environmental protection standards among suppliers and to provide high quality goods and services to the customers, in terms of people and nature. For the successful fulfilment of this objective, the Company has a more thorough process of selection.

For this purpose, according to the purchase value, providers are selected by the internal units / Logistics Division / Procurement Department, together with the initiating Division. The selection is made by checking them on the websites of public authorities (Ministry of Public Finances), by obtaining references from

collaborators, partners and written and electronic media, as applicable. After the stage of selection of suppliers/providers, the invitations to the tender are sent, as applicable, the tender documentation or the request for tender.

The tender documentation/request for tender contains all data regarding:

a detailed description of products/services;

the quality and quantity of delivery/provision;

the delivery/provision price and terms;

the delivery/provision term; the terms of payment; other technical requirements; the deadline for tender

submission; the validity of the tender, etc.

Subsequently, if the necessity reports are initiated by the branch representatives, approved by the Regional Manager/Sales Divisions and Logistics Division

for procurement of local services, the request for tender will be sent by them. The companies to which the request for tender will be sent will be selected by the branch that prepared the necessity report, by choosing from the list of potential suppliers of products or services (at local level), those who can fulfill the terms set in the request for tender.

Each file for procurement of goods or conclusion of service provision contracts must contain at least three offers for the same technical specifications, fewer offers are also accepted if there are no specific suppliers or providers at local level.

National suppliers and local suppliers are selected according to the type of goods/services, the works to be procured. The main awarding criteria depend on the most economically advantageous tender, the guarantee offered, the term of delivery, the term of execution and implementation.

OUTSOURCED SERVICES RELATIONSHIP WITH CUSTOMERS

We want to fulfill the market requirements as effectively as possible and to loyalize our customers in order to expand and fulfill our objectives.

OMNIASIG offers its Motor-hull insurance products nation-wide, covering also the events that occur outside the country. If these events occur and repairs must be made abroad, a correspondent – loss adjuster must be involved, who is able to act at the level of several European countries.

Moreover, for the claim services associated to motor insurance, we created partnerships with the representative workshops with a wide territorial network, repairing a wide range of vehicle brands from the portfolio of OMNIASIG.

Also, due to the development of the maritime insurance portfolio, H&M, P&I, Cargo, the objectives that must be inspected, the requests of reinsurers for maritime objectives (under reinsurance), the claim reports and the risk reports drawn up according to the international practice increased, and a part of the claim and risk inspection activity in the maritime field was outsourced

and partnerships were created with companies with international acclaimed expertise.

For agricultural insurance, the claim ascertaining services were partially outsourced, through a collaboration with external suppliers, specified in this field. This occurred because the damage needed to be evaluated as close as possible to the risk event by going onsite and performing technical expertise to establish the most likely causes and circumstances of the events alerted for non-motor goods.

Given the particularities of voluntary health insurance that involves the contribution of a specialized staff with medical training, but also our desire to develop this business line on the Romanian insurance market, the partnership with a supplier of such services has proven to be much needed.

Also in the context of outsourcing, an archiving measure was taken due to the large volume of documents received and issued by the company, and the obligation to observe the regulations of the National Archives in the sense of keeping the documents in good conditions and in dedicated deposits.

For an optimal operation of workstations and the development of the activity under maximum efficiency conditions, to remove the business interruption risks, to use adequate and required technologies for the company’s profile, a part of the specific IT activities were outsourced to specialized companies, with resources and certificates dedicated to this field, thus ensuring the IT maintenance, IT infrastructure, data hosting and other services that allow an increased productivity and the use of advanced knowledge in the field.

Moreover, in 2017, the Legal Division has partially outsourced the legal consultancy activity in the field of competition law and punctually in the real estate field. The need for these outsourcing operations was determined on one hand by the need to help the Company in the specific procedures of the Competition Council, so that the rigors of competition law enjoy a high level of objectivity, but also for the complexity of the provisions of the law in force, that requires a high level of specialization in the field, and on the other hand, a significant work volume and the lack of specialization of the human resources available to be allocated during the project.

Solid corporate governance policies and practices are important to create value for shareholders and to preserve the trust of customers and of investors. The company’s practices are compliant with the legal requirements.

OMNIASIG developed policies in each area of interest, to define the general framework of the activities regarding the organization, responsibilities assigned and guidance principles.

POLICY ON PREVENTING MONEY LAUNDERING AND TERRORISM FINANCING

ANTI-CORRUPTION POLICY

In order to carry out our activity based on our mentioned values, OMNIASIG has developed the “Code of ethics and compliance” that sets forth the procedures related to the business conduct, the conduct at the workplace and also environmental protection and social responsibility policies and procedures. The code observes the law, human rights, non-discrimination, prevention of market abuse, corruption and bribery, money laundering and financial terrorism, data and environmental protection.

The code of conduct applies to all employees regardless of their position in the company. Regarding the behaviour towards colleagues, the Code stipulates that the employees will not discriminate or allow other persons to discriminate persons based on sex, ethnicity, age, nationality, religion, sexuality, invalidity, civil status or any other characteristic that does not have an objective connection with the working conditions or whose consideration is forbidden by the governing law. Moreover, the Code of Conduct defines the responsibilities of employees regarding the standards of professional and personal behaviour to ensure that the employees act with integrity in matters regarding the Company (e.g. protecting the company’s assets, confidentiality and data

protection, conflicts of interests). At the level of our Company, we took all measures to prevent any non-competitive policies or actions that breach our policies at the level of the group.

The context of business behaviour refers to fighting money laundering and preventing financing terrorism, anti-corruption and commitment towards human rights and towards the environment.

One of the Company’s priorities is to act with integrity beyond professional competence and to maintain a working environment based on responsibility and trust.

OMNIASIG does not tollerate any form of corruption or bribery in any of its activities. Therefore, the Company wants to contribute, through its activities, to the company’s progress and sustainable development.

By promoting and implementing anti-corruption measures, the aim is to raise the awareness level regarding the corruption risks faced by employees, but also by persons from the executive management or insurance agents representing the company.

Corruption can be mentioned as being conveyed by the limitative actions regulated by the law, and bribery, extortion, influence peddling representing illegal activities conducted for obtaining material or moral advantages, high social or political positions. Therefore, the following preventive measures are implemented at the level of the company:

OMNIASIG has developed these policies in line with current legislation, and supports national efforts to prevent and combat various risks related to business conduct, workplace conduct, or environmental protection and social responsibility procedures. Promoting and implementing these policies aims at raising employees’ awareness of the risks that may be encountered in the workplace to minimize them.

Moreover, the Company reports annually to the Financial Supervisory Authority on a detailed situation regarding claims files, internal and / or external fraud cases, as well as internal procedures under which anti-fraud investigations are conducted and measures are taken necessary to combat it.

OMNIASIG has established, by this policy, requirements for the necessary activities to ensure the prevention of money laundering and terrorism financing in all the Company’s organizational units (divisions, departments, branches, agencies, working points) that are part of its scope.

Money laundering is defined as the introduction of goods from criminal activities or participating in such financial activities, to hide their true origin.

On the other hand, terrorism financing means the supply or collection of funds with the intention or knowledge that can be used fully or partially for terrorism purposes.

In order to prevent and fight these illegal actions, the Company established certain measures and internal regulations based on the company’s risk exposure. Besides, we request to the employees to observe these measures, and also to our business partners.

Among the products that approach an environmental issue, we include insurance of goods, civil liability insurance or loss insurance generated by business suspension. The products that approach a social problem can be exemplified by travel insurance, household insurance or

Due to the regional partnership established between Erste Group (the group from which BCR Bank is member of) and Vienna Insurance Group, OMNIASIG provides to its customers access to integrated financial solutions, our products being available in the BCR offices, covering a wide range of risks: household insurance, facultative motor insurance (CASCO), travel insurance etc.

PRODUCT

The insurance of goods is a facultative insurance concluded by an individual or legal entity for covering specific risks, as well as natural disasters, extreme phenomena, accidental pollution, etc. These can be classified as:

Insurance of goods: fire and other risks for buildings and their content, construction, farming machines or other special machines, valuables (including for cases of burglary of couriers); accidental damages to machines and installations (MB);

Insurance of construction-assembly works (including the builder’s/assembler’s responsibility and loss of the profit in advance) (CAR - EAR);

All-risk insurance of electronic equipment (EEI); Business interruption insurance (BI): covering the

damages consisting of losses of profit or expenses for reducing losses as a result of the partial or total suspension of the business of the Insured, for a period of time after the occurrence of the insured events covered by the policies for goods

Facultative household insurance: products with a different coverage structure – “modular” with a FLEXA coverage; disjoint “risk packages” coverage; “monoblock risk package” coverage and “all risks” coverage; moreover, OMNIASIG is an authorized insurer to issue the mandatory insurance against natural disasters (PAD) for and on behalf of PAID;

Insurance of goods purchased by card, dedicated to the bancassurance channel, being an auxiliary component of banking products (the damages that occur within max. 100 days from procurement, due to any risk/situation that is not excluded shall be covered).

Guarantee insurance for IATA: the payment to the

IATA Beneficiary is covered unconditionally and irrevocably for the guarantee at the receipt of the written request of payment from it, in case of non-fulfilment of the payment obligations by the Insured;

Insurance of contractual guarantees (participation at the auction; good performance of the contract; reimbursement of the advance, maintenance)

Guarantee insurance for travel agencies: the payments made by tourists or on their behalf are covered, as long as these services contracted are not given because the travel agency is in a financial difficulty, defined according to the insolvency law and the repatriation costs, if the tourist contracted transportation services through the travel agency.As regards the reinsurance system, the Company has a complex program that covers all the important portfolios subscribed and allows the transfer of risks to specialized international markets, thus contributing to strengthening the company’s financial stability. Among the enterprises from the world top of reinsurers participating in our company’s reinsurance contracts, we mention:

Gen Re (rating AA+ Standard&Poor’s), Hannover Re (rating AA- Standard&Poor’s), Beazley (rating A+ Standard&Poor’s), R+V Versicherung AG (rating AA- Standard&Poor’s), Partner Re (rating A+ Standard&Poor’s), Sindicate Lloyd’s (rating A+ Standard&Poor’s), VIG Re (rating A+ Standard&Poor’s), Mapfre Re (rating A Standard&Poor’s), Deutsche Re (rating A+ Standard&Poor’s).

OMNIASIG makes constant efforts to improve performance for the current activity. For this purpose, starting from 2015, the quality level of claims services provided to customers is evaluated through the Net Promoter Score (NPS) measurement system validated internationally. Therefore, customers who had claims file at OMNIASIG are asked to evaluate their experience and the instrumentation of the claim, the satisfaction of the insured and the quality of the services provided being measured in an effective system, on a scale from 1 to 10. The general NPS result was of 85.28% in 2017, 10.3% higher compared to 2016.

Insurance of vessels, including liability derived from the use thereof and/or carrier’s responsibility:

Vessel insurance (H&M): damages or losses related to vessels are covered, the contribution to expenses for common damage and rescue, responsibility for accidents with other vessels, port installations or other fixed or floating objects and related costs.

P&I insurance – protection and indemnification: several civil liabilities of shipowners are covered, for example (without limitation): responsibilities towards persons (other than the members of the crew), responsibility towards the goods, collision with other vessels, risks of pollution;

Insurance of ship builders; Liability insurance of the carrier for the damages

caused to the travelers by navigation accidents. Insurance of the liability of the vessel repairer: it is

mainly covered the loss or deterioration of any ship or vessel under the care, custody or control of the Insured;

Insurance of ports and terminals: mainly covers the physical damages to the property or goods caused by an Accident. It also covers the civil liability of the owner/operator of the port terminal;

Insurance of the risk of non-payment of the Romanian navigating crew embarked on Romanian or foreign vessels (CREWING): this mainly covers the risks of non-payment by the freighters of monetary compensation owed for a period of no more than 2 (two) months and repatriation costs for navigators who are in the situation described above and abandoned outside Romania;

(including motor liability for the use of terrestrial vehicles and the carrier’s responsibility)

In 2017, OMNIASIG took various actions to expand its business and to protect the environment. For this purpose, we can mention The Best Workforce Involvement prize won at the Gala Safety Awards for the brand, responsibility and sustainable development campaign “OMNIASIG for OMU”.

The project consisted of ensuring of the trails to Omu Peak and was conducted in four months, being implemented in four main phases, at the completion of which the Bușteni – Pichetul Roșu – Mălăiești and Gura Diham – Poiana Izvoarelor trails became safer for tourists. The purpose of the project was to increase the safety level for those

climbing to Omu Peak on the trails starting from Busteni and Gura Diham area. The figures for the “OMNIASIG for OMU” campaign were: 17 kilometers of a safer journey, 90 volunteers (including members of the OMNIASIG Managing Board), 40 liters of paint used for marking the trails, 150 meters of chain replaced on the mountain, approx. 300 kg of metal, and also more than 200 hours of work by which the Company along with Râșnov Mountain Rescue and the Travel Association for Nature Oxigen, ensured routes leading up to Omu Peak, the highest permanent inhabited place in Romania.

Moreover, OMNIASIG was appointed “the Insurance Company of the Year”

at the Media XPRIMM Insurance Awards Gala and the Best company on the financial market in the field of non-life insurance, by the “Financial Market” magazine. Also, we received the award “Fair play in the relationship with brokers” at the UNSICAR Award Ceremony.

Regarding the local development activities, in 2017, we opened a branch – Gorj Branch, starting from the results registered from the sale of retail policies; currently the Company has 33 branches.

Also in 2017, we closed 8 agencies, the number of agencies decreasing from 81 agencies on January 1st, 2017 to 73 agencies on December 31st, 2017.

PLANS FOR 2018

2017 was a very important year for our company, when we achieved our strategic objectives. This is precisely why we want in 2018 to also fulfill the proposed objectives, by maintaining a top position on the Business-to-Business segment.

Since we want to be the customers’ first choice for insurance, in 2018 we will focus on developing innovating services, shaped according to the customers’ needs, desires and expectations. In order

to achieve these purposes, we want to maintain and improve sustainable relationships with customers, partners and stakeholders, putting our services’ quality increase first.

An important element is given by the balance of the portfolio on the motor vs. non-motor segments, by developing added value products, leading to a sustainable development exceeding the market average.

Moreover, we maintain a prudent risk underwriting policy, maintaining the level of our financial liquidity and solvency indicators at a high and safe level.

Regarding the sphere of processes’ digitalization, we continue to develop our systems, since we want that the experience of our customers and partners in the relationship with OMNIASIG to be always positive and to obtain their recommendation.

INVOLVEMENT IN THE COMPANY AND ENVIRONMENTAL RESPONSIBILITY

Beyond the objective of development of its products and implicitly of the business, for OMNIASIG it is important to contribute to the company’s well-being. Therefore, in 2017, the Company got actively involved and conducted a very wide range of social responsibility activities which targeted many of the objectives mentioned by the Company for this purpose, for example:

reaction in case or major disasters or different accidents

At international level, Vienna Insurance Group has a very solid partnership with Erste Group, so that in Romania, OMNIASIG has an equally solid partnership with BCR Group, ever since the merger. Therefore, in the context of the existing partnership between OMNIASIG, BCR and BCR Leasing,

our company made the first steps towards facilitating for its employees a more effective, simpler and more responsible environmental approach to business travelling in the Capital, through the direct involvement in a new electric car sharing service, BCR e-GO, launched in 2017. In this project, OMNIASIG is a partner and an insurer and has two 100% electric BMW i3 vehicles, marked with OMNIASIG special branding, together with BCR. These two vehicles can be used by the company’s employees daily, during working hours, for business meetings.

For promoting a healthy lifestyle, volunteer actions were taken through projects that target the active support offered to socially disadvantaged categories and activities that increased the quality of life of everyone by active involvement in environmental protection. The campaign “Food for souls, food for smiles – Food bank”, developed in partnership with the Romanian Red Cross, involved the collection, by donations made by the company’s employees from the entire country and sponsorships from OMNIASIG, of resistant food and distribution of the food to persons from disadvantaged areas.

In particular, through this campaign, our employees donated money and meal vouchers, as well as food, hygiene objects, clothes, toys and books for the

Social Community Center of Șendreni and the Day Center for Children from families in difficulty, both in Galați County.

Also, the colleagues from Sibiu Branch donated furniture and computers to the PAPAGENO Hermannstadt Association to support the activity of this association.

The BCR e-GO project is an electric car sharing service addressed to BCR customers, based on a mobile application and includes 20 BMW i3 100% electrical cars.

This project, which is available at the moment only in Bucharest, wants to promote a responsible consumption of resources and the reduction of the pollution level in our capital city.

From the point of view of sustainable activities in the real estate sector, in 2017, we implemented “The branch standardization project” by which the Company’s offices benefit, among others, from new equipment, devices and installations with a low energy and water consumption, thermal rehabilitation and “green

wall”. We also participated in thermal rehabilitation projects of apartment buildings through the local authorities and owners’ associations and we succeeded to rent office buildings with a good energy performance level, selective collection for certain branches (e.g.: Branches from Iași, Cluj, Prahova, etc.).

In addition, OMNIASIG places a particular emphasis on financial education and on providing the necessary instruments so that this type of education to be appropriately provided. For this purpose, the Company collaborated with the Financial Supervisory Authority (FSA) within the Global Money Week educational program where children learn about the financial environment.

Moreover, through the campaign developed together with FSA as part of Global Money Week, “We give with all the trust!”, we supported the development of education. Therefore, for two weeks, we conducted an internal campaign in which we collected approx. 500 books (donated by the employees and also acquired by the Company) which were then donated to the library of Titu

Maiorescu Gymnasium School in Iași. Another measure to support financial education consisted of the participation of 9 employees of our Company from the entire country as lecturers in the program “Let’s talk about the non-banking financial market”, initiated by FSA and developed in Romanian schools and high schools in the school year 2017-2018.

For environmental protection, OMNIASIG organized several internal and external actions and pro-actively contributed to these activities. Among these, we mention the following:

The project RECICLETA – started in 2014, in collaboration with Viitor Plus Association, and is conducted in several OMNIASIG offices.

Among the objectives pursued by the company from the beginning are: developing a responsible behaviour towards the environment among employees, the reduction of the quantity of waste, the reduction of the number of trees cut, the use of a non-polluting recycling means of transportation (cargo-bike, with which the paper gathered in our offices is collected) or supporting new workplaces generated by the project. 2017 brought an extension of the

project “Recicleta” in Bucharest, so that at the end of the year, the employees of OMNIASIG from Bucharest collected 5,604 kilograms of paper and cardboard, the equivalent of approx. 84 mature trees and helped reduce CO2 emissions; employees from the territorial branches from the country also collected 5,675.10 kg of paper. In the future, we want to extend the paper recycling project in several offices throughout the country.

The project “We plant with all the trust” – reached its second edition already, an event to which, in 2017 approx. 70 volunteers participated, including Board

Members. At this project, 1,000 beech saplings were planted, contributing to the foresting of an area with one of the most beautiful views of Bucegi Mountains.

Environmental protection and responsible resource consumption is one of the main directions of OMNIASIG’s CSR strategy. At the basis of our actions lies a responsible environmental conduct.

We are aware of the impact that our Company has on the social and environmental domain, and that is why we are looking for ecological and social benefits from our projects. We commit to ensuring an environmental protection

and a sustainable economic development. The methods and instruments of all the CSR objectives of OMNIASIG are directed towards ensuring the sustainability of the Company’s activity, the careful use of natural resources, preventing the degradation of the quality of the environment and the involvement in and supporting the community.

The efficiency use of resources

is important for all our activites and we always observe the environmental rules and standards.

For this purpose, OMNIASIG has created the “Guide to respect and responsibility towards the environment”, printed on recycled paper, that contains advices and means of protecting the environment by daily actions at work and at home. This was sent to all the employees and was also posted on the Intranet.

In the recent years, the Company’s environmental performance has grown significantly and continues to be an important part of our activity, by ensuring a balance between the two.

OMNIASIG focuses on a sustainable use of resources but also on the reduction of resources and mainly refers to energy, water and paper consumption. As a matter of fact, our properties have modern devices for

monitoring the utility consumption.

The efficiency of all the measures adopted is reflected in the annual consumptions, which reduce year after year to a significant extent.

One of the strategic directions of OMNIASIG related to environmental protection is to streamline the energy consumption, of any type – electrical, gas or thermal energy.

For this purpose, we adopted various activities, such as the purchase of low energy consumption equipment, systems and devices (class A+, A++, A+++), the purchase and mounting of thermal energy meters or the

purchase of LED light systems. The life of a LED light system is five times longer than the life of a classical one, and the energy consumption is much lower for the same light intensity. This type of LED lighting system was also adopted for the new branding elements mounted at the offices across the country.

Thermal isolation works were also conducted for the buildings, as well

as the repair or replacement of the external joinery or the automation for heating installations.

For achieving the objectives, our car park was resized and we purchased vehicles with low fuel consumption, in operational leasing system. We also arranged electric vehicle charging stations after the implementation of the project for use of such vehicles.

From a desire to reduce the quantity of resources used for developing our activity, OMNIASIG implemented a paper recycling and selective collection project among

its employees. Therefore, in 2017, with our colleagues’ help, we set to increase the quantities of waste we collect selectively in agencies, as well as in central offices and

regional branches. For 2018, we plan to implement a unitary selective collection system in the company’s offices across the country.
