ADMITTANCEDURINGNON-SHOWHOURS:Boothrepresentativesarenotpermittedtoentertheexhibithalluntil1hourbeforethescheduledopeningtimeeachdayoftheShowandwill not be permitted to remain in the hall after hours,with the exception of the final night (duringmove-out). Exhibitors having specialcircumstancesthatrequireadditionaltimeshouldcheckwithIFMAthepreviousday.

ALCOHOL,FOOD&BEVERAGES:Dispensing,distributing,usingalcoholicbeveragesorprovidingfoodintheShowisstrictlyprohibited.

BOOTHCONSTRUCTION:Booths will comply with the International Association for Exhibition Management booth standards and the Convention Center rules andregulations.Alldisplaymaterialsincluding,butnotlimitedto,showcases,displayandstorageunits,electricalfixtures,wires,conduits,signs,etc.willnotexceedamaximumboothheightof10feetforislandboothsand10feetforinlinebooths.InstallationanddismantledateswillbespecifiedintheExhibitorManual.Construction,setuporarrangingofboothswillnotbepermittedduringShowhours.

BOOTHDECORATION:Backgroundsurfacesandsidedividersmusthavefinishedexposedsurfaces.IFMAwillinstructthedecoratortofinishanyunfinishedsurfacesatExhibitor’sexpense.Electronicflashersandneonsignsarenotpermitted.Allexhibitorsmustprovidefloorcoveringintheirbooth.

BOOTHREPRESENTATIVES:Exhibitorboothrepresentativesmustbeaminimumof18yearsoldandshallberestrictedtotheexhibitingcompany’sfull-timeemployees.They must wear name badges provided by Show management at all times and booths must be staffed during the published hours. AllExhibitors’staffotherthanthoseworkingintheboothmustregisterasattendeestoattendtheShow.Representativeswillatalltimeconductthemselvesinabusinesslike,professionalmanner.Lewd,obscene,disruptiveorotherinappropriatebehaviormayresultinarepresentativebeingbanned from thebooth and/or thehall or in the shut-downof the exhibit.Normay Exhibitors display or distribute lewd, obscene,pornographicorotherwiseoffensivematerialsintheirboothsorthehall.IFMAshallbethesoleandfinaljudgeofwhatdoesordoesnotfallintoacceptableorunacceptablebehaviorand/orcontent. Inparticular,undernocircumstanceswillIFMAtolerateharassmentofanyof itsemployeesbaseduponlegallyprotectedcategoriessuchasrace,gender,age,disability,etc.

CANCELLATION:CancellationswillbehonoredonlywhenpresentedinwritingonorbeforeSeptember30,2015.Afterthatdate,theexhibitorisresponsibleforpaymentofall invoicedfees.AllpaymentsmadetoIFMAafterSeptember30,2015isnotrefundable.IFMAreservestherighttocancel

Colour themethisagreementatany time, if it learns that theexhibitorhasmadeanymaterial falseormisleadingstatements,hasomittedanymaterialinformationinobtainingthiscontract,orhasviolatedanyofthetermsandconditionsofthisagreement.NorefundswillbemadeintheeventofcancellationbyIFMA.

CONTRACTFORSPACE:(1)Intheeventoffire,strikesorotheruncontrollablecircumstancesbeyondIFMA’scontrolrenderingtheexhibithallunavailableorcausingtheexhibittobecanceledwillrelieveExhibitorandIFMAofanyobligationsunderthecontract.(2)Ifthetotalcostofboothspaceisnotpaidasagreed,IFMAhastherighttocancelthespacewithoutfurthernoticeandExhibitorwillforfeitallpaymentsmade.

COSTUMEPROMOTIONS:Booth representativeswearingdistinctive costumes, carrying banners or signs separately, or as part of their apparel,must remain in theirbooth.Demonstrationsanddiscussionsarelimitedtotheboothspaceonly.Clothingmaynotbelewd,obscene,indecent,sexuallydegradingorotherwiseinappropriate.IFMAshallbethesolejudgeofwhetherclothingispermissibleornot.BoothrepresentativesfoundtobewearinginappropriateclothingwillbeaskedtochangeorleaveandIFMAwillnotbeliablefordamageofanykindifsuchactionresultsintheboothbeingunattended.

CO-ORDINATIONWITHLEASE:Exhibitorherebyagreestoindemnify,defendandholdharmlessIFMAtothesameextentthatIFMAmaybeobligedtoindemnifytheownerofthebuildingaslesseeorlicenseeoftheexhibithallorspace.IfthereareanyinconsistenciesbetweenIFMA’sleaseorlicensefortheexhibithall or space and this agreement, the terms of the lease or license shall govern. If there are additional rules, regulations or terms orconditions that IFMAmust comply with under its lease or license, to the extent theymay be applicable to the Exhibitor’s booth, thoseadditionalrules,etc.areherebyincorporatedhereinbyreferenceandtheExhibitoragreestocomplywiththem.

DAMAGETOPROPERTY:ExhibitorsareliableforanydamagecausedbythemortheiragentstothebuildingorpropertyofotherExhibitors.Exhibitorsmaynotapplypaint,lacquer,adhesiveorothercoatingtobuildingcolumnsandfloorsortostandardboothequipment.

DEFAULTOFOCCUPANCY:Exhibitorsfailingtooccupycontractedspacearenotrelievedofobligationtopayfullspacerentalfees.IFMAhastherighttoreassignorusesuchspace inanymannerdeemed fit ifnotoccupiedby theset timemaking itavailable tootherExhibitorswithout releasing theoriginalExhibitorfromitscontractedobligations.

ELIGIBLEEXHIBITS:Exhibitsarelimitedtocompanieswhoseproductsandservicesareofspecificinteresttoattendees.IFMAhastherighttodetermineeligibilityofacompanyorproductforinclusionandmayrejectanyorallapplications.IFMAmayprohibit,close,correct,removeoreliminateanexhibitoranypartofanexhibitthatitdeterminesisnotsuitableto,orinkeepingwith,theShow’scharacter.

EXHIBITADMITTANCE:IFMA has the sole control over the admissions policy and the sole right to refuse admission to anyone. No one under 18 years of age ispermittedintheShowunlessaccompaniedbyanadult.

EXHIBITORAPPOINTEDCONTRACTORS:Exhibitorsmay, with priorwritten approval by IFMA, hire outside contractors for installation and dismantling of booths. Exhibitorsmustemploymembersofappropriatetradeunionswhererequired.EAChousesmustsupplyproofofliabilityinsurancecertificatesandlettersofintenttoShowmanagement.

INDEMNIFICATION:(1)Exhibitoragreestoindemnify,defendandprotectIFMAandthebuildingownersandholdthemharmlessfromanyclaims,demands,suits,liability,damages,loss,costs,attorneyfeesandexpensesofwhateverkindwhichresultfromanyaction,orfailuretoact,ornegligencebytheExhibitor or any officers, agents, employees and representative, including but not limited to claims or personal injury, damage or loss ofproperty;(2)ExhibitorherebyassumestheriskofagreestoindemnifyandsaveIFMA(includingitsagents,servantsandemployees)andthebuilding owners harmless against all liability, damages, expenses, attorneys’ fees and cost for injuries to and deaths of personswhomsoever,anddamagestoanddestructionofpropertywhosesoever,includingpropertyofIFMAandthebuildingowners,growingoutof,incidentto,orinanymannerresultingfromtheconstruction,maintenance,operationandpresenceoftheExhibitor’sbooth,regardlessofIFMA’sorthebuildingowners’negligence;(3)ExhibitorfurtherassumestheriskofandagreestoindemnifyandholdharmlessIFMA,thebuilding owner and any officer, agent, employee or other representative thereof for any damage, loss, harm or injury to person or anypropertyof theExhibitororanyof itsofficer,agents,employeesorother representatives, resulting fromtheft, fire,water,accidentoranyother cause, regardless of IFMA’s or the building owners own negligence and neither IFMA, nor the owners of the building will obtaininsuranceagainstanysuchdamage,loss,harm,orinjury.

INSURANCE:ExhibitorsandtheirAppointedContractorsshallobtainadequateinsuranceagainstlossattheirowncost.

PHOTOGRAPHY:Photography and camera equipment in the Show is strictly prohibited. Only professional, paid photographers paid by the exhibitor areallowedonthefloor.

SAFETYDEVICES&FIREPROTECTION:Exhibitorsarefullyresponsibleforcomplyingwithnational,stateandcityregulationsinprovisionandmaintenanceofadequatesafetydevicesand conditions to operate machinery and equipment. Flammable devices, fluids, decorations or display fixture coverings are prohibited.Fabrics, decorativematerials, table covers or risers shall be flameproof and subject to FireMarshal inspection. Fire hose cabinets, serviceentrancesandexitsignsmustbeaccessibleandinfullview.Smokingisnotpermitted.

SHOWCLOSING:Exhibitsmustbe removed from thebuildingat theendof theShowno later than the time indicatedby IFMA.Exhibitorswill be liable forstorageandhandlingchargesresultingfromfailuretoremovematerialsattheendofinstallationanddismantlingperiods.

SHOWRULES:AnymattersnotspeciallyaddressedshallbesubjectsolelytothedecisionofIFMA.

SPECIALNEEDS:ExhibitorsshallnotifyIFMAofanyspecialrequirementspertainingtotheirboothsuchastelephone,drains,waterandpowersoManagementmayassistwiththeboothposition.

SUBLEASING:SubleasingorspacesharingisnotpermittedwithoutthewrittenpermissionofIFMA.NoExhibitorshallexhibitorexhibitintheirboothspaceanymerchandiseotherthanthatspecifiedintheapplication.

JURISDICTION:Exhibitorsmustcomply,attheirexpense,withalllocalandstatelaws,rules,regulationsandordinancesinforce.Inparticular,Exhibitorsmustcomplywith, state and/or local lawwith respect to non-discrimination and accommodationof personswith disabilities as places of publicaccommodation.Alldisputesare subjecttothejurisdictionofthecourtsofBangalore.TheClientCompanyagreestopaycostsofcollectionofdues,legalexpensesandinterestchargesintheeventoflegalactionbeinginitiated.
