NOTICE INVITING eTENDER
Tender EnquiryNo. IISERB/S&P/2019-20/144 Dated:26-06-2019
Indian Institute of Science Education and Research (IISER), Bhopal, is an autonomous Institute established
under Ministry of HRD, Government of India. Institute would like to procure Thermodynamic Laboratory
Equipments and for this purpose e-Tenders are invited from the reputed & bonafide manufacturers and au-
thorised dealers/distributors. The potential bidders are required to visit the website
www.tenderwizard.com/IISERBfor submission of tender.
1. Brief details of item(s)/material
Thermodynamic laboratory equipments The detailed technical specifications of the material to be procured under this tender are given separately in
Annexure – I (a).
2. The bidders are requested to give detailed tender in two parts, i.e.,
Part-I: Techno-commercial bid.
Part-II: Price bid.
Detailed procedure for submission of bids/offers is given in Annexure –III.
I. Techno-commercial bid
(a) Provide complete information in Annexure-II. This part of the tender shall contain company
profile and commercial terms & conditions of contract for the supplies to be made and ser-
vices to be rendered.
(b) No brochures/leaflets etc. should be submitted in loose form. Please indicate page nos. on
your quotation.
(c) Submission of compliance sheet as per Annexure–I(b) and I(c) is essential part of Techno-
commercial Bid. If there is any deviation in specifications of material/items, record with
complete details. Attach separate sheets wherever required.The Institute reserves the right to
decide on such deviation/s. (d) The technical offer should not contain any price information.
II. Price Bid
(a) The price bid shall contain rates the items. The price should be FOR Destination/FOB Inter-
national Airport (in case of foreign manufacturer) and be quoted indicating the basic price,
discount on basic price, taxes and duties as applicable.
(b) In case of any discrepancy in the rates indicated in the Price bid either in figures or words,
the rates in words will be considered for evaluation. (c) Format of price bid is enclosed with document and annexed as Annexure-IV.

4. Submission of bids:
(a)Bid must be submitted only through e-tendering mode on www.tenderwizard.com/IISERB.
(b)Bid submission through any other mode will not be accepted. EXCEPT in case of foreign bidders with-
out having Indian agents can submit sealed offers to Stores & Purchase office and without EMD by duly
enclosing an undertaking to this effect on or before the date & time of submission of tender.
(c) Bidder must submit printouts of the technical documents uploaded on the portal and any other literature
except for price bid before due date and time. In case of any discrepancy, the online submitted details will
be considered.
(d)Bidder should submit details of physical/actual EMD on or before the closing time and date of closing
date of online tender and upload the copies of thereof on the website. IISER Bhopal will not be responsible
for any postal delay or delivery at wrong address. The tenders of bidders whose physical EMD is not re-
ceived in time, are liable to be rejected as per the decision of the institute.

• The tender shall be awarded on the basis on overall L-1 Considering all items together amongst the
technically qualified bidders only.
• All the venders who have participated and quoted all the items are requested to be present for
technical presentation of the quoted instruments on 8th
July 2019 at 10 AM in Academic Build-
ing-I, IISER Bhopal.
• Opening of part-II (price) will be intimated later to technically qualified tenderers after scrutiny of
techno-commercial part.
5. Instructions to bidders:
(a) If the bid is submitted by authorized dealer/distributor for branded makes, an authorization let-ter from principals clearly indicating that the vendor is authorized to sell and provide services for the items mentioned in the scope of supply given in tender documents shall be produced.
(b) Purchase orders if any, for identical equipments supplied to other IISERs/IITs/Central Universi-ties etc. for the preceding three years should be given together with the prices eventually or fi-nally paid.
(c) Copy of CST/VAT/TIN No./GSTIN No. and PAN No. allotted by the concerned authorities should be enclosed.
(d) In case of foreign quote, the address of Principal‟s/Manufacturer‟s and their banker‟s details should be furnished along with certificate.
(e) All pages of the tender document shall be invariably signed by the authorized personnel and company‟s rubber stamp affixed. Photocopies of all certificates shall be self-attested by the au-thorized personnel. There shall be no corrections or overwriting in the tender document. Cor-rections, if any, should be made clearly and countersigned.
(f) The makes/brand and name and address of the manufacturer, country of origin and currency in which rates are quoted are to be clearly mentioned.
(g) Period of delivery, period of warranty should be mentioned specifically. (h) Training charges (if any) be quoted separately. (i) Authorized dealer can submit bid on behalf of only one principal/OEM in the same tender for
the same item/product. (j) Either the authorized dealer on behalf of the principal/OEM or principal/OEM itself can bid but
both cannot bid simultaneously for the item /products in the same tender.
(k) Bidders are required to mention INR value on the date of submission of tender, in case of for-eign currency quotes. This INR value should remain the same during the validity period of bid. However, any downward revision is to be passed on to IISER Bhopal.
6. Other Terms and Conditions
1. IISER, BHOPAL reserves the right to accept or reject any bid in part or full without assigning any rea-
son whatsoever. The Institute will not hold any responsibility for postal loss or delay of any bid. 2. Period of validity of bids:Bids shall be valid for a minimum period of 90 days from the date of opening
of the techno-commercial bid. 3. Delivery period: The required quantities of material have to be delivered and installed by 20 August
2019. 4. In case your quote is Ex-works basis, estimated insurance coverage charges may please be indicated. 5. In case of foreign quote, the mode of dispatch should be by Air/Post parcel. The approximate dimen-
sions of the packages and weight of consignment are to be indicated. 6. In case of INR bids, the price quoted should be on F.O.R., IISER Bhopal. Govt. levies like excise duty,
sales tax, octroi, WCT etc., if any, shall be paid at actual rates applicable on the date of delivery. Rates should be quoted accordingly giving the basic price, excise duty, VAT/central sales tax etc. Please note that IISER Bhopal is exempted from payment of Central Excise duty vide Govt. Notification No.10/97-Central Excise dated 1
st March, 1997.
7. Being an educational and research institute, IISER, BHOPAL is exempted from payment of custom duty vide Govt. Notification No.51/96-Customs dated 23rd July, 1996. The Institute shall provide standard exemption certificate on request by the vendor and certificate in any other format may be issued on spe-cific request solely based on discretion of the Institute. Any other commercial terms & conditions men-tioned by the vendor will not be binding on the Institute in any way unless agreed specifically before-hand by the Institute in writing.
8. For imported items, the agency commission payable to Indian agent may be indicated. Agency commis-sion will be paid in INR after satisfactory commissioning and acceptance of the item.
9. Bidder shall provide duly signed certificate as enclosed at Annexure-V with techno-commercial bid. 10. EMD of Rs. 38,000/-(Thirty eight thousand only) should be in the form of online bank transfer (SBI I-
collect) or through challan at the campus branch of SBI, IISERB only. For details logon https://www.onlinesbi.com/prelogin/icollecthome.htm. Except in case of foreign bidders without having Indian agents may be exempted for EMD by enclosing an undertaking.
11. Completely filled up Integrity Pact placed at Annexure -VII is to be enclosed. The submission of bid in response to this NIT shall be deemed to be in compliance with all terms and conditions of the tender in-cluding integrity agreement by the bidder.
12. The Techno-commercial bids must accompany details of EMD payment. No interest shall be paid on earnest money deposited. Bidders having valid registration with NSIC for tendered item and value will be considered for exemption from EMD amount as per extant rules.
13. In accordance with the Ministry of Finance Office memorandum No F 20/2/2014 PPD (Pt) dated25th Ju-
ly 2016 the institute may relax condition of prior turnover and prior experiences for Startups and MSMEs subject to meeting of quality and technical specifications on case to case basis.
14. Penalty for delayed supply and installation: Time is the essence of the contract and the supplier shall pay or allow the Institute to realize the sum equivalent to 01 (one) percent of the total order value per week, subject to a maximum limit of 10% of the order value, as agreed compensation for delay for the period during which the supply and installation shall remain incomplete beyond the offered time of comple-tion/execution or beyond the time duly extended in writing by the institute. The institute may deduct such damages from any money due to the supplier.
15. Payment terms: 15.1 For indigenous items:90% payment shall be made against satisfactory delivery and acceptance and
balance 10%after successful installation & commissioning subject to submission of S.D. of 10% in form of D.D. / B.G upto warranty period. Bank Guarantee from the Nationalised Bank as per the format enclosed at Annexure-VI.
15.2 For imported items: (a) 100% payment shall be made by wire/telegraphic transfer after delivery and acceptance.
OR
(b) 100% payment shall be made by Irrevocable Letter of Credit, out of which 90% will be paid
against submission of following documents:
1. Air way Bills– 2 copies 2. Packing List – 2 copies 3. Invoice for shipping– 4 copies
Balance 10 % will be paid after installation and satisfactory commissioning of item by
purchaser.
Note. I. All bank charges outside India shall be borne by the supplier.
II. LC will be opened on receipt of unconditional acceptance of purchase order. III. Accepted term of payment shall be clearly indicated in tender / offer document
16. Warranty: Warranty period will start from the date of installation and satisfactory commissioning un-
less mentioned otherwise.
17. Jurisdictions
The disputes, legal matters, court matters, if any, shall be subject to Bhopal Jurisdiction only.

Technical Specifications for Thermodynamic laboratory equipment

Separating Chamber of Compatible capacity should be made of Stainless Steel
304 Grade and insulated with Ceramic wool with water level indicator. Throt-
tling Chamber should be of Compatible capacity provided with gauge to meas-
ure inlet Pressure before throttling.
Heat Exchanger should be provided for condensing steam. Steam Generator
should be of Compatible capacity and made of Stainless steel 304 grade, thick-
ness of the sheet is 3 mm and side wall thickness is 8mm, with digital tempera-
ture controller to control the temperature inside the steam generator.
Differential pressure measurement should be done by manometer. Steam pres-
sure measurement should be done by Pressure gauge (Glycerin feed, SS
Gauge). One ceramic bare sensor must be welded on test directly. There should
be no other material in between ceramic sensor and test specimen to avoid any
losses. Photo graphs and line diagram should be attached with tender docu-
ments. The whole set-up should be well designed and arranged on a rigid struc-
ture painted with industrial PU Paint. Operating/instruction manual and sample
calculations should be provided along with the tender documents. The demon-
strated results should be repeatable within ±5% of the sample calculations pro-
vided.
Equipment should be capable of performing following experiment :
To find the dryness fraction of steam.
2 Orsat gas apparatus
It Should be consists of a water-jacketed measuring burette, connected in se-
ries to a set of three or four absorption pipettes should be connected, through
stopcocks.
The other end should be provided with a three way stopcock, the free end of
which is further connected to a U-tube packed with glass wool (for avoiding
incoming of any smoke particles etc.).
The graduated burettes should be surrounded by a water jacket to keep the
temperature constant of gas during the experiment.
The lower end of the burette should be connected to a water reservoir by
means of long rubber tubing.
3 Vapor compression cycle
trainer
A Hermitically sealed, Reciprocating type compressor of Capacity 1/3 Ton,
Emerson Copeland make should be provided with Refrigerant R-134-A. Air
cooled type Condenser should be provided with Condenser Cooling Fan of
Compatible capacity with permanent lubricated motor. Evaporator should be
made of stainless steel 304 Grade and insulated with ceramic wool/P.U.F.
Capillary Tube Expansion Devices and agitator of compatible capacity, Two
Calibrated Pressure Gauges for suction & discharge pressure measurement and
Rota meter with 6-60 LPH range should be provided. Overload and over cur-
rent protectors for compressor and Time delay circuit with Low/high voltage
auto-cut for safety control.
Temperature Sensors RTD PT-100 type with Temperature Indicator with mul-
ti-channel switch. Control Panel should comprises of Digital Voltmeter (0-500
V), Digital Ammeter (0-19.99 Amp) with mains indicator, Standard make On-
off switch etc. All Other accessories like Hand shut off valves, filter drier and
Thermostat (Danfoss make) should be provided. Photographs and line diagram
should be attached with tender Documents. The whole set-up should be well
designed and arranged on a rigid structure painted with industrial PU Paint.
Operating/instruction manual and sample calculations should be provided
along with the tender documents. Equipments must be demonstrated at Insti-
tute site, results should be repeatable within ±5% of the sample calculations
provided.

To study the Vapor Compression refrigerator cycle.

Data Logging Facility
VCR Single cylinder, four stroke, vertical water cooled, crank start and self
start diesel engine(Brand New) should be of Kirloskar (Model: TV1) and pro-
vided with Eddy Current dynamometer. RPM & Crank angle Speed should be
Max. 6000 rpm with TDC Pulse, Working Temperature range should be: -
20ºC to +70ºC, Resolution should be 1°. Fuel Measurement should be done by
Fuel Flow Transmitter, Range 0-1000mm of WC, Air measurement should be
done by Air box (made of SS) Calibrated Orifice & Air DPT range 0-250 mm
of water column. Cylinder pressure sensor should have pressure range 100 bar,
sensitivity (±0.5%) 40mV/bar, Frequency range (-3dB) 0,016 Hz to 20,000
Hz, Linearity <±1 % FSO. Fuel Tank Capacity should be 20 to 30 Liters with
glass fuel metering column. Water Flow sensor should be provided for flow
measurement For Engine and calorimeter.
RPM sensor having resolution of Minimum 0.0001428 & least count Mini-
mum 0.00857 rpm and MTTF of 200 years with digital display. Load cell
should be Strain gauge type, The output of the load cell transmitter should be
connected to the USB port through a Interface card, Full Scale Output should
be 2.999 mV / volt. An Exhaust Gas Calorimeter made of Stainless Steel in-
cluding the body & the tube for cooling water circulation and designed to get
maximum temperature difference. The body of the calorimeter should be insu-
lated on all sides to prevent heat losses due to radiation. Temperature Sensors
RTD PT-100 and J Type Thermocouple should be provided, calibration certif-
icate should be provided along with the Set Up. Data Acquisition system
should have 16 Inputs, 16-bit, 250 kS/s samples, Multifunction I/O, compact
DAQ card. Software should have these features Online measurement, perfor-
mance analysis, Pθ-PV plots, performance plots and tabulated results, Data
logging, editing, printing and export. High speed data acquisition system for
acquisition & post analysis of cylinder pressure data. Suitable Tools for chang-
ing the compression ratio should be provided with the setup. The whole set-up
should be well designed and arranged on a rigid structure painted with indus-
trial PU Paint. Operating/instruction manual and sample calculations are to be
provided along with the tender documents. Equipments must be demonstrated
at Institute site and results should be repeatable within ±5% of the sample cal-
culations provided.

5 Double stage air compres-
sor test rig
Double Stage Double Cylinder Compressor of Capacity 6.9 CFM (max.),
Working pressure 7 kg/cm² max should be driven by 1 HP Swinging Field
type motor, Crompton/Standard make.
Dial type Spring Balance of 10 kg. Flow Measurement should be done by Cal-
ibrated Orifice meter with Manometer. RPM measurement should be done by
RPM Indicator with Proximity sensor. Air Tank of Capacity 150 Liters. with
safety valve, shut off valve and Bourdon Type Pressure Gauge. Energy meas-
urement should be done by Electronic Energy meter, L&T make. Intercooler
Should be provided.
Temperature measurement should be done by Temperature Sensors of RTD
PT-100 type. Control panel should be comprises of L&T make DOL Starter,
Mains Indicator and MCB for overload protection. The whole set-up should be

6 Boyle -marriotts law appa-
ratus
Cylinder Should be 200 mL. Cylinder Made of Aluminum with manually oper-
ating Piston. Pressure Transmitter should be provided range (0-5 Bar). Temp
Sensor should be RTD PT-100 type. Measuring scale should be provided to
measure the distance moved b y the piston. Photo graphs and line diagram
should be Attached with tender documents. Operating/instruction manual and
sample calculations should be provided along with the tender documents.
Equipments must be demonstrated at Institute site, results should be repeatable
within ±5% of the sample calculations provided.

To establish the relationship between pressure and volume at isothermal con-
dition.
7 Saturation pressure unit
Cylinder Should be 200 mL. Pressure Vessel should be 2 Liters made of stain-
less steel properly insulated by ceramic wool. Heater Should be band type
/Nicrome wire. Temp Sensor should be RTDPt-100 Type. Control Panel Com-
prising should be Digital Panel indicator 0-5 bar, Heat Input should be con-
trolled by Dimmer stat (0-230 V), 2A. Digital temp indicator should be 0-
199.90c with multi channel switch. Safety valve should be provided for safety
under high pressure. One ceramic bare sensor must be welded on test directly.
There should be no other material in between ceramic sensor and test specimen
to avoid any losses. Photo graphs and line diagram should be Attached with
tender documents. The whole set-up should be well designed and arranged on a
rigid structure painted with industrial PU Paint. Operating/instruction manual

To Determine the relationship between pressure and temperature of saturated
steam in Equibrium with water.
8 Ball mill with variable
speed
Ball Mill should be fitted on a sturdy MS frame having Dia. 275 mm, Length
350 mm & Thickness 4 mm and drive by 1 HP motor coupled to reduction
gearbox. Feed size:6mm and product size:200 mesh , Product receiver should
be of stainless steel 304 grade. Steel Balls 15 kg to be provided. Discharge
chute should be of suitable size. Control panel should comprises of non-contact
type digital RPM indicator with proximity sensor for RPM measurement, MCB
for overload protection and electronic energy meter for power measurement.
The set-up should be fitted with required guards. The whole set-up should be
well designed and arranged on a rigid structure painted with industrial PU
Paint. Operating/instruction manual consisting of experimental procedure,
block diagram etc. and sample calculations should to be provided along with
the tender documents. Equipments must be demonstrated at Institute site and
results should be repeatable within ±5% of the sample calculations provided.
Equipment should be capable of performing following experiment :
To study effect of RPM on the power consumption of a Ball Mill.
To determine the efficiency of a Ball Mill for grinding a material of known
work index (Wi).
To find the critical speed of ball mill.
9 Gyratory sieve shaker
Sieve assembly should be Compatible to 6-7 sieves of dia. 20-cm and driven
by 0.5 HP Motor. Special arrangement should be provided for setting time for
shaking. Control Panel should be comprised of Standard make on off switch,
Mains Indicator etc. The whole set-up should be well designed and arranged on
a rigid structure painted with industrial PU Paint. Operating/instruction manual
consisting of experimental procedure, block diagram etc. and sample calcula-
tions should to be provided along with the tender documents. Equipments must
be demonstrated at Institute site and results should be repeatable within ±5% of
the sample calculations provided.

To demonstrate the working of Gyratory sieve shaker.
To perform screen analysis.
Annexure-I(b)
Eligibility Criteria
11.. All the items must be delivered on or before 20/08/2019.
22.. All the instruments must have a warranty period of minimum 5 years. The warranty shall commence
only upon successful completion of the Acceptance Test or commissioning.
33.. All the items must be quoted (with individual price of the items), otherwise bid will be rejected. Ten-
dered price should include delivery, installation, commissioning and training at customer‟s location.
44.. Reference Order of same equipments, performance reports from the IITs, NITs, Govt. Institutions hav-
ing net value exceeding 10 Lakhs on a single purchase order.
55.. Operating/instruction manual and sample calculations are to be provided along with the tender docu-
ments.
66.. Equipments have to be demonstrated at Institute site/installation location, results should be repeata-
ble within ±2% of the sample calculations provided.
77.. Complete support for equipments during the warranty period. This shall include the following at no ex-
tra cost: (i) Travel and labor expenses of customer engineer, (ii) Service parts used for repairs.
88.. All water tanks should be made of SS 304 Grade or higher with minimum 1.2 mm thickness.
99.. Equipment should be upgradable for Data Logging Facility in future.
1100.. Bidder must have experience to supply of at least 80% similar items to different Govt Institutions/
PSUs/ private Institutions in last 3 years.
1111.. In house facility of CNC Machine with manufacturer.
1122.. Licensed CAD & CAM Software like Solid work CATIA, PROE, NXEtc (Proof of the same should be
attached along with the Tender Document).
1133.. The vendor should provide the satisfactory training to our technical staff after installa-
tion/commissioning. The trainer should be a regular employee of the company with a minimum of 3
years experience in demonstrating of such equipments. The details about the training programs and a
brief bio-data of the trainer should be submitted along with the technical bid.
1144.. Original catalogue (not a photocopy) of the quoted model duly signed by the principals must accompa-
ny the quotation. The model quoted should be highlighted in the catalogue enclosed with the quotation.
Merely copying the specifications in the quotation without any proof shall not make the parties eligible
for consideration of the quotation.
1155.. ISO Certificate should be attached along with the Tender Document.
1166.. The firm must have the capability for uninterrupted supply of spares, accessories for a period of 5 years
(60 months) from the date of acceptance to avoid any operational problem due to obsolesce.
1177.. Photographs and line diagram should be provided for each and every equipment
1188.. Vendor to provide a copy of Site-Preparation checklist.
1199.. Liquidated damages: Being an educational Institute time is essence of the order. Date of the delivery
should be strictly adhered to, otherwise, this Institute reserves the right not to accept the delivery in
part or full. The liquidated damages @ 1% per week subject to a maximum of 10% value of the order
can be imposed.

1.1.2. A.PART-I (TECHNO-COMMERCIAL) This part of the tender shall include/contain all technical de-

commissioning work as is envisaged in the Purchaser‟s tender document, testing charges, third party

1.2. TECHNICAL CLARIFICATIONS
1.1.1. After opening the Part-I (Techno-Commercial) of the tender, if it becomes necessary for the technical
authorities/user department to seek clarification from the tenderers, the same will be sought for from
the tenderers by the Technical authorities/user departmentin such an event, the tenderer shall-
(1.1.1.i) Furnish all technical information/clarification to the concerned technical authority directly in
the sealed envelope to reach on or before the due date, and time fixed by the technical author-
ities in an ordinary envelope indicating the Purchaser‟s tender reference. If the technical clari-
fication/details sought for by the technical authorities from the tenderers do not reach them on
or before the due date and time fixed for its receipt, such tenders will be liable for rejection at
the discretion of purchaser.
(1.1.1.ii) Have an option to modify the price based on the technical clarifications or discussion the ten-
derers had with the user department. In case they wish to make any revision in the price, they
should communicate such a revision in price in sealed cover within due date.
1.3. OPENING OFTENDERS
1.1.1. Part-I (Techno-Commercial) of the tender will be opened at the first stage on the due date and time
indicated for opening in the tender notice. While the Part-II (Price) will be opened at the second stage
on the date and time as intimated after scrutiny of Part-I (Techno-Commercial).
1.1.2. While all the tenderers who submit tenders online on e-tendering website within the due date and time
specified for its receipt will be permitted to participate in the opening of Part-I (Techno-Commercial)

1) ThePrincipal/Ownercommitsitselfto takeallmeasuresnecessary topreventcorruptionandtoobservethe followingprinciples:
(a) NoemployeeofthePrincipal/Owner,personallyorthroughanyofhis/herfamilymembers,willin connec-
tionwiththe Tender,ortheexecutionoftheContract,demand,takeapromisefororaccept,forself or third
person,anymaterialorimmaterialbenefitwhich the personis notlegally entitled to.
(b) ThePrincipal/Ownerwill,duringtheTenderprocess,treatallBidder(s)withequityandreason.The Prin-
cipal/Ownerwill,inparticular,beforeandduringtheTenderprocess,provide toallBidder(s)thesame in-
formationandwillnotprovidetoanyBidder(s)confidential/additionalinformationthroughwhichthe
Bidder(s)could obtainan advantage in relationto theTenderprocess orthe Contractexecution.
(c) The Principal/Ownershallendeavour toexclude fromthe Tenderprocessany person,whoseconduct in the pasthas been ofbiased nature.
2) IfthePrincipal/Ownerobtainsinformationontheconductofanyofitsemployeeswhichisacriminal of-
fenceundertheIndianPenalcode(IPC)/PreventionofCorruptionAct,1988(PCAct)orisinviolation
oftheprincipleshereinmentionedoriftherebeasubstantivesuspicioninthisregard,thePrincipal/Owner
willinformtheChiefVigilanceOfficerandinadditioncanalsoinitiatedisciplinaryactionsasperits inter-
nallaid down policiesand procedures. Article2: Commitment of theBidder(s)/Contractor(s)
1) It is required thateach Bidder/Contractor(includingtheirrespective officers, employees and
agents)adhere tothehighestethicalstand-
ards,andreporttotheGovernment/Departmentallsuspectedactsoffraudor corruptionorCoercionorCol-
lusionofwhichithasknowledgeorbecomesaware,duringthetendering process and throughout thene-
gotiation orawardofa contract. 2) TheBidder(s)/Contractor(s)commithimselftotakeallmeasuresnecessarytopreventcorruption.He
commitshimselftoobservethefollowingprinciplesduringhisparticipationintheTenderprocessand dur-ingthe Contractexecution:
a) TheBidder(s)/Contractor(s)willnot,directlyorthroughanyotherpersonorfirm,offer,promiseorgiveto
anyofthePrincipal/Owner‟semployeesinvolvedintheTenderprocessorexecutionoftheContractorto
anythirdpersonanymaterialorotherbenefitwhichhe/sheisnotlegallyentitledto,inordertoobtainin ex-
changeanyadvantageofanykindwhatsoeverduringtheTenderprocessorduringtheexecutionofthe Con-
tract. b) TheBidder(s)/Contractor(s)willnotenterwithotherBidder(s)intoanyundisclosedagreementor under-
standing,whetherformalor informal. Thisapplies in particularto prices, specifications, certifica-
tions,subsidiarycontracts,submissionornon-submissionofbidsoranyotheractionstorestrict competi-
tivenessorto cartelize inthe biddingprocess. c) TheBidder(s)/Contractor(s)willnotcommitanyoffenceundertherelevantIPC/PCAct.Furtherthe Bid-
der(s)/Contract(s)willnotuseimproperly,(forthepurposeofcompetitionorpersonalgain),orpasson
toothers,anyinformationordocumentsprovidedbythePrincipal/Owneraspartofthebusiness relation-
ship,regardingplans,technicalproposalsandbusinessdetails,includinginformationcontainedor trans-
mitted electronically.
d) TheBidder(s)/Contractor(s)offoreign originshalldisclosethenamesand addressesof
agents/representatives in India,ifany. Similarly, Bid-
der(s)/Contractor(s)ofIndianNationalityshalldisclose namesandaddressesofforeign-
agents/representatives,ifany.EithertheIndianagentonbehalfofthe foreignprincipalor theforeignprin-
cipaldirectly couldbidinatenderbutnotboth.Further,incaseswhere anagentparticipate in a ten-
deronbehalfofone manufacturer,heshall notbe allowedto quote on behalfof anothermanufacturera-
longwiththefirstmanufacturerin asubsequent/parallel tenderforthesame item.
e) TheBidder(s)/Contractor(s)will,whenpresentinghisbid,disclose(witheachtenderasperproforma en-
closed)anyandallpaymentshehasmade,iscommittedtoorintendstomaketoagents,brokersorany other intermediariesinconnection withtheawardof the Contract.
3) TheBidder(s)/Contractor(s)willnotinstigatethirdpersonstocommitoffencesoutlinedaboveorbean ac-
cessoryto such offences. 4) TheBidder(s)/Contractor(s)willnot,directlyorthroughanyotherpersonorfirmindulgeinfraudulent
practicemeansawillfulmisrepresentationoromissionoffactsorsubmissionoffake/forged docu-
mentsinordertoinducepublicofficialtoactinreliancethereof,withthepurposeofobtaining un-
justadvantagebyorcausingdamagetojustifiedinterestofothersand/ortoinfluencethe procure-
mentprocess tothe detrimentofthe Governmentinterests.
5) TheBidder(s)/Contractor(s)willnot,directlyorthroughanyotherpersonorfirmuseCoercivePractices
(meanstheactofobtainingsomething,compellinganactionorinfluencingadecisionthrough intimida-
tion,threatortheuseofforcedirectlyorindirectly,wherepotentialoractualinjurymaybefall upon a per-
son, his/herreputation orpropertytoinfluence theirparticipationinthetenderingprocess).
Article3: Consequences of Breach
WithoutprejudicetoanyrightsthatmaybeavailabletothePrincipal/OwnerunderlawortheContractorits estab-
lished policies andlaid down procedures,the Principal/Ownershallhave the followingrightsin case
ofbreach ofthisIntegrityPactbytheBid-
der(s)/Contractor(s)andtheBidder/Contractoracceptsandundertakestorespect and upholdthe Princi-
pal/Owner‟s absoluteright: 1) IftheBidder(s)/Contractor(s),eitherbefore award orduring execution ofContracthascommitted a
transgressionthroughaviolationofArticle2aboveorinanyotherform,suchastoputhisreliabilityor cred-
ibilityinquestion,thePrincipal/Owneraftergiving14daysnoticetothecontractorshallhavepowers
todisqualifytheBidder(s)/Contractor(s)fromtheTenderprocessorterminate/determinetheContract,if
alreadyexecutedorexcludetheBidder/Contractorfromfuturecontractawardprocesses.Theimposition
anddurationoftheexclusionwillbedeterminedbytheseverityoftransgressionanddeterminedbythe
Principal/Owner. Such exclusion maybe foreverorfora limited period asdecidedbythe Princi-
pal/Owner.
2) Forfei-
tureofEMD/PerformanceGuarantee/SecurityDeposit:IfthePrincipal/Ownerhasdisqualified
theBidder(s)fromtheTenderprocesspriortotheawardoftheContractorterminated/determinedthe
Contractorhasaccruedtherighttoterminate/determinethecontractaccordingtoArticle3(1),the Princi-
pal/Ownerapartfromexercising any legalrightsthatmay haveaccruedto thePrincipal/Owner,may in-
itsconsideredopinionforfeittheentireamountofEarnestMoneyDeposit,PerformanceGuaranteeand
SecurityDepositofthe Bidder/Contractor.
3) CriminalLiability:IfthePrincipal/OwnerobtainsknowledgeofconductofaBidderorContractor,orof
anemployeeorarepresentativeoranassociateofabidderorContractorwhichconstitutescorruption
withinthemeaningofIndianPenalCode(IPC)/PreventionofCorruptionAct,orifthePrincipal/Ownerhas
substantivesuspicioninthisregard,thePrincipal/Ownerwillinformthesametolawenforcingagencies
forfurtherinvestigation.
Article4:Previous Transgression
1) TheBidderdeclares thatno previoustransgressionsoccurredin thelast5yearswithany otherCompany
in any country confirming totheanticorruptionapproach orwithCentralGovernmentorStateGov-
ernmentor anyotherCen-
tral/StatePublicSectorEnterprisesinIndiathatcouldjustifyhisexclusionfromtheTender process.
2) IftheBiddermakesincorrectstatementonthissubject,hecanbedisqualifiedfromtheTenderprocessor
actioncanbetakenforbanning ofbusinessdealings/holiday listing oftheBid-
der/Contractorasdeemedfit bythe Principal/Owner.
3) IftheBidder/Contractorcanprovethathehasresorted/recoupedthedamagecausedbyhimandhas in-
stalledasuitablecorruptionpreventionsystem,thePrincipal/Ownermay,atitsowndiscretion,revoke the
exclusion prematurely.
Article5: EqualTreatment ofallBidders/Contractors/Subcontractors
1) TheBid-
der(s)/Contractor(s)undertake(s)todemandfromallsubcontractorsacommitmentinconformity
withthisIntegrityPact.TheBidder/Contractorshallberesponsibleforanyviolation(s)oftheprinciples
laid downin thisagreement/Pactbyanyofits Subcontractors/sub-vendors.
2) The Principal/Ownerwillenterinto Pacts onidenticalterms asthis one withallBidders and Contrac-
tors.
3) The Principal/Ownerwilldisqualify Bidders,who donotsubmit, thedulysignedPactbetweenthe
Principal/Ownerandthebidder,alongwiththeTenderorviolateitsprovisionsatanystageoftheTender
process,fromtheTenderprocess. Article6- Durationof thePact
ThisPactbeginswhenboththepartieshavelegallysignedit.ItexpiresfortheContractor/Vendor12monthsafter
thecompletionofworkunderthecontractortillthecontinuationofdefectliabilityperiod,whicheverismoreand
forallotherbidders, tilltheContracthasbeenawarded. Ifanyclaim ismade/lodgedduringthetime,thesameshallbebindingandcontinuetobevaliddespitethelapseof this Pactsas specified above, unlessitisdischarged/determined bythe CompetentAuthority, IISER Bhopal. Article7-OtherProvisions
1) ThisPactissubjecttoIndianLaw,placeofperformanceandjurisdictionistheHeadquartersofthe Divi-sionofthe Principal/Owner, who has floatedtheTender.
2) Changes and supplementsneedto be made in writing. Side agreements have notbeen made.
3) IftheContractorisapartnershiporaconsortium,thisPactmustbesignedbyallthepartnersorbyoneor
morepartnerholdingpowerofattorneysignedbyallpartnersandconsortiummembers.Incaseofa Com-
pany, the Pactmustbesigned bya representativedulyauthorized byboardresolution.
4) ShouldoneorseveralprovisionsofthisPactturnouttobeinvalid;theremainderofthisPactremains valid.
In thiscase, the parties willstrive tocome to anagreement totheiroriginal intensions.
5) Itisagreedtermandconditionthatanydisputeordifferencearisingbetweenthepartieswithregardtothe
termsofthisIntegrityAgreement/Pact,anyactiontakenbytheOwner/Principalinaccordancewiththis In-
tegrityAgreement/Pactor interpretation thereofshallnotbe subjecttoarbitration. Article8- LEGALANDPRIOR RIGHTS
Allrightsandremediesofthepartiesheretoshallbein additiontoall theotherlegalrightsandremediesbelonging
tosuchpartiesundertheContractand/orlawandthesameshallbedeemedtobecumulativeandnotalternativeto
suchlegalrightsandremediesaforesaid.Forthesakeofbrevity,boththePartiesagreethatthisIntegrityPactwill
haveprecedenceovertheTender/ContactdocumentswithregardanyoftheprovisionscoveredunderthisIntegrity
Pact.
