Selama 33 tahun beroperasi, Perseroan telah mendapatkan berbagai macam penghargaan dan sertifikasi. Hal ini menjadi bukti nyata bahwa Perseroan telah diakui prestasi dan kualitas produknya.

Pada tahun 1996, Perseroan menerima penghargaan Primaniyarta dari Presiden Republik Indonesia atas keberhasilannya meningkatkan penjualan ekspor produk non migas.

Pada tahun 1998, Perseroan memperoleh setifikat ISO 9001:1994 dan terakhir diperbaharui menjadi ISO 9001:2008 pada tahun 2010.

Pada tahun 2010, Perseroan memperoleh Sertifikat TÜV (Techniscer Uberwachungs-Verein) Jerman dan SEMA (Specialist Equipment Market Association) USA.

Pada tahun 2013, Perseroan memperoleh sertifikat SNI untuk kategori pelek mobil yang diterbitkan oleh B4T-LSPr (Balai Besar Bahan dan Barang Teknik – Lembaga Sertifikat Produk).

Pada tahun 2015, 2016, dan 2017, Perseroan memperoleh penghargaan dari Bank Indonesia sebagai salah satu penyaji data terbaik bagi kepentingan analisa ekonomi makro Indonesia.

Penghargaan & SertifikasiReward & Certification

During 33 years of operation, the Company has received multiple awards and certifications. This was clear evidence that the Company has recognized the achievements and the quality of its products.

In 1996, the Company received an award from the President of the Republic of Indonesia Primaniyarta for its success in increasing sales of non-oil exports.

In 1998, the Company acquired the ISO 9001:1994 certificates and was last updated to ISO 9001:2008 in 2010.

In 2010, the Company obtained a Certificate TÜV (Techniscer Uberwachungs-Verein) Germany and SEMA (Specialist Equipment Market Association) USA.

In 2013, the Company acquired the certificate of ISO for alloy wheels for automobile published by B4T-LSPr (Balai Besar Bahan dan Barang Teknik – Lembaga Sertifikat Produk).

In 2015, 2016, and 2017, the Company was awarded by Bank Indonesia as one of the best data presenters for the benefit of Indonesia’s macroeconomic analysis.

Para pemegang saham dan pemangku kepentingan yang terhormat,

Puji syukur ke hadirat Tuhan Yang Maha Kuasa senantiasa kita panjatkan atas segala perlindungan dan petunjuk-Nya. Karena hanya atas kebesaran-Nya semata, kita dan PT Prima Alloy Steel Universal Tbk masih diberi kekuatan untuk mengarungi samudera bisnis sampai dengan saat ini.

Selanjutnya, ijinkan saya sebagai Presiden Komisaris perseroan, untuk membacakan laporan dewan komisaris atas pengawasan jalannya Perseroan selama tahun 2017.

Kondisi Perekonomian

Tahun 2017 banyak dipengaruhi oleh faktor non-ekonomi atau lebih khususnya faktor politik, yang disadari atau tidak telah mengakibatkan iklim bisnis dunia kurang begitu bagus.

Kebijakan proteksionisme yang dijalankan oleh pemerintahan Donald Trump di Amerika, telah menimbulkan ketegangan perdagangan internasional. Ditambah lagi isu nuklir Korea Utara ikut menambah ketegangan di negara-negara sekitar yaitu Korea Selatan, China, dan Jepang, maupun negara adidaya Amerika.

Di dalam negeri, pertumbuhan ekonomi tidak mencapai target, yaitu hanya tercapai 5,05% dari target semula 5,2%. Hal ini menunjukkan adanya penurunan kinerja sektor riil dan dari sisi konsumsi hal ini berarti adanya penurunan daya beli masyarakat.

Dear shareholders and stakeholders,

Praise to the presence of God Almighty always we pray for all His protection and guidance. Because only on His greatness, we and PT Prima Alloy Steel Universal Tbk are still given the power to navigate the ocean of business until today.

Furthermore, allow me as President Commissioner of the Company, to read the report of the Board of Commissioners on the supervision of the Company’s road during 2017.

Economic Conditions

The year 2017 is much influenced by non-economic factors or more especially the political factors, which have not realized or not have resulted in less good business world climate.

The policy of protectionism run by the Donald Trump government in America, has led to international trade tensions. In addition, North Korea’s nuclear issue has added tension in the neighboring countries of South Korea, China and Japan, as well as to American superpowers.

Domestically, economic growth did not reach the target, reaching only 5.05% of the original target of 5.2%. This indicates a decrease in the performance of the real sector and in terms of consumption this means a decrease in purchasing power.

Penilaian Atas Kinerja Direksi

Direksi dan jajaran manajemen telah berupaya keras dengan manuver-manuvernya yang luar biasa dalam menghadapi kondisi bisnis tahun 2017.

Strategi memacu penjualan velg dengan margin profit yang besar merupakan sebuah langkah yang sangat brilliant di tengah-tengah menurunnya pasar mobil di Amerika. Perluasan jaringan di Eropa menunjukkan bahwa manajemen tidak berpuas diri dengan jaringan penjualan Eropa yang sudah cukup baik selama ini. Upaya untuk memperluas jaringan di Australia maupun Asia, termasuk penjualan lokal juga secara serius dilakukan oleh manajemen. Langkah dan strategi yang dilakukan terbukti mampu menjaga nilai penjualan hanya turun 5% walaupun situasi dan kondisi bisnis tidak begitu bagus.

Efisiensi production cost yang sudah dilakukan pada tahun-tahun sebelumnya, tetap dilakukan oleh manajemen secara konsisten dan terencana. Sehingga pemborosan-pemborosan biaya diharapkan dapat semakin berkurang di masa mendatang.

Dewan Komisaris menilai bahwa upaya-upaya maupun terobosan yang dilakukan oleh Direksi dan jajaran manajemen selama 2017 sudah sangat baik untuk menjaga jalannya Perseroan tetap “on the track”.

Pengawasan Terhadap Implementasi Strategi Perusahaan

Dalam menjalankan strategi Perusahaan, Direksi selalu melakukan monitoring dan evaluasi efektifitas strategi yang telah dilakukan. Laporan monitoring dan evaluasi ini menjadi salah satu bahasan dalam rapat rutin antara Direksi dan Dewan Komisaris. Sehingga Dewan Komisaris dapat memberikan saran/ masukan dan juga pengawasan terhadap efektifitas penerapan strategi Perusahaan.

Prospek Usaha

Penjualan velg berbanding lurus dengan penjualan mobil. Sehingga selama penjualan mobil meningkat, maka diharapkan penjualan velg juga akan meningkat.

Disamping itu, keunikan sifat produksi perusahaan velg juga menjadi kekuatan tersendiri, yang menjadikan usaha ini sangat sulit untuk dimasuki oleh pemain baru. Perlu keahlian, kecermatan, dan pengalaman yang memadai untuk dapat menghasilkan velg berkualitas tinggi, tanpa meninggalkan aspek safety yang dibutuhkan.

Semakin meningkatnya jumlah penduduk kelas menengah dengan life style menengah ke atas dan bertambahnya jumlah kendaraan roda 4 semakin memperbesar peluang bisnis maupun prospek usaha produk ini.

Penerapan Tata Kelola Perusahaan

Direksi dan manajemen selalu melakukan evaluasi atas fungsi-fungsi organisasi di dalam Perusahaan. Hal ini merupakan hal positif dan menunjukkan komitmen manajemen untuk selalu menjadi lebih baik. Disamping itu, komitmen manajemen atas akurasi dan kecermatan pelaporan juga patut diapresiasi. Hal ini menegaskan bahwa proses tata kelola yang dilakukan di dalam Perusahaan, semakin hari semakin baik.

Assessment on the performance of the Board of Directors

The Board of Directors and management personnel have been working hard with their outstanding maneuvers in dealing with business conditions in 2017.

The strategy to spur velg sales with a large profit margin is a very brilliant step in the midst of the declining auto market in America. Network expansion in Europe shows that management is not complacent with European sales network that has been good enough for this. Attempts to expand networks in Australia and Asia, including local sales are also seriously undertaken by management. Steps and strategies undertaken proved able to keep the value of sales only down 5% despite the situation and business conditions are not so good.

Efficiency of production cost that has been done in previous years, still done by management consistently and planned. So the waste-wasting costs are expected to decrease in the future.

The Board of Commissioners considers that the efforts and breakthroughs made by the Board of Directors and management in 2017 are excellent for keeping the Company on track.

Supervision on Implementation of Corporate Strategy

In executing the Company’s strategy, the Board of Directors shall always monitor and evaluate the effectiveness of the strategies that have been undertaken. This monitoring and evaluation report becomes one of the discussions in regular meetings between the Board of Directors and the Board of Commissioners. So that the Board of Commissioners can provide advice and also supervise the effectiveness of the Company’s strategy implementation.

Business prospect

Velg sales are directly proportional to car sales. So as long as car sales increase, it is expected sales of wheels will also increase.

In addition, the unique nature of the company’s production of wheels also becomes its own power, which makes this business very difficult to enter by new players. Need expertise, accuracy, and sufficient experience to be able to produce high quality wheels, without leaving the required safety aspects.

The increasing number of middle-class population with upper middle-class life and the increasing number of 4-wheel vehicles increasingly enlarge the business opportunities and business prospects of this product.

Implementation of Corporate Governance

Directors and management always evaluate the organization’s functions within the Company. This is a positive thing and shows management’s commitment to always be better. In addition, management’s commitment to accuracy and accuracy of reporting also deserves appreciation. This confirms that corporate governance processes within the Company are getting better and better.

Kinerja Komite Dibawah Dewan Komisaris

Kinerja komite audit kami pandang cukup baik, dengan selalu memberikan masukan secara aktif kepada manajemen, baik dalam rapat bulanan bersama seluruh jajaran manager Perusahaan maupun dalam rapat dengan Dewan Komisaris dan Direksi.

Cara komunikasi komite audit dengan seluruh jajaran manajemen di Perusahaan juga kami pandang sangat bagus, karena selain melakukan fungsi pengawasan dan evaluasi, komite audit juga mampu melakukan fungsi layaknya konsultan untuk memberikan saran solusi bagi kelancaran jalannya Perusahaan. Sehingga hubungan komite audit dengan manajemen sangat akrab tanpa mengurangi sikap kritis dan independensi komite audit.

Komunikasi Antara Dewan Komisaris Dengan Direksi

Dewan Komisaris telah mengadakan rapat formal selama 6 kali dalam tahun 2017, dan kesemuanya dihadiri oleh semua Direksi. Kinerja perusahaan, isu-isu yang berkembang, maupun strategi Perusahaan telah dibahas dalam rapat-rapat tersebut.

Selain rapat formal di atas, anggota Dewan Komisaris dan Direksi juga telah melakukan pertemuan maupun komunikasi secara informal, baik di dalam maupun di luar kantor Perusahaan.

Apresiasi Dan Penutup

Berkaitan dengan Laporan Keuangan Perseroan tahun 2017, Dewan Komisaris dapat menerima dan menyetujui Laporan Keuangan tahun 2017 yang telah diaudit oleh Kantor Akuntan Publik Habib Basuni & Heryadi dengan pendapat Wajar Tanpa Pengecualian.

Sebagai penutup, saya sebagai Presiden Komisaris, mewakili Dewan Komisaris, menyampaikan terima kasih dan penghargaan yang setinggi-tingginya kepada Direksi, jajaran manajemen, dan seluruh karyawan Perusahaan atas kinerja yang positif di tahun 2017.

Tak lupa pula kami sampaikan apresiasi yang setinggi-tingginya kepada mitra bisnis serta pemangku kepentingan yang lain, atas kerja sama yang baik yang telah kita lakukan selama ini.

Performance of the Committees Under the Board of Commissioners

The performance of our audit committee is well-regarded, always providing active feedback to management, both in monthly meetings with all of the Company’s managers as well as in meetings with the Board of Commissioners and the Board of Directors.

The audit committee’s communication with all levels of management in the Company is also very good, because in addition to performing monitoring and evaluation functions, the audit committee is also capable of performing the functions of a consultant to provide advice on solutions for the smooth running of the Company. So the audit committee’s relationship with management is very familiar without compromising the critical attitude and independence of the audit committee.

Communication Between Board of Commissioners and Board of Directors

The Board of Commissioners has held formal meetings for 6 times in 2017, and all of them are attended by all Directors. Company performance, growing issues, and Company strategy have been discussed in these meetings.

In addition to the above formal meetings, members of the Board of Commissioners and Board of Directors have also conducted informal meetings and communications, both within and outside the Company’s offices.

Appreciation And Closing

In relation to the Company’s Financial Report 2017, the Board of Commissioners may receive and approve the 2017 Financial Statements audited by the Public Accounting Firm Habib Basuni & Heryadi with Unqualified opinion.

In closing, I as the President Commissioner, representing the Board of Commissioners, expresses our deepest gratitude and appreciation to the Board of Directors, management, and all employees of the Company for its positive performance in 2017.

Tidak berlebihan kiranya apabila kita selalu memanjatkan puji syukur ke hadirat Tuhan Yang Maha Agung, atas segala nikmat, karunia, petunjuk, dan perlindungan-Nya, sehingga PT Prima Alloy Steel Universal Tbk, Perseroan yang kita cintai bersama, masih tetap mampu berdiri dan menjalankan aktivitasnya.

Tiga dekade bukanlah waktu yang pendek bagi Perseroan kita, untuk menunjukkan kiprahnya baik saat kondisi bisnis menggembirakan maupun ketika kondisi bisnis dalam keadaan surut. Dalam waktu yang panjang itu, kita telah melewati segala tantangan bersama agar Perseroan tetap eksis dan semakin maju.

Pada kesempatan yang baik ini, saya sebagai Presiden Direktur Perseroan menyampaikan Laporan Direksi atas pengelolaan dan kinerja kita selama tahun 2016.

Kondisi Ekonomi Dunia

Perkembangan ekonomi global dalam beberapa tahun terakhir sangat dipengaruhi oleh gejolak, baik di bidang ekonomi maupun non ekonomi.

Dampak negative lesunya ekonomi global yang terjadi pada periode 2008-2009 dan 2013-2014 sudah mulai mengendur. Dalam laporannya, Perserikatan Bangsa-Bangsa (PBB) menyatakan bahwa pertumbuhan ekonomi global pada 2017 mencapai 3%. Hal ini ditandai dengan meningkatnya produktifitas sektor riil dan lalu lintas perdagangan internasional.

Namun faktor non-ekonomi seperti konflik antar negara dan ketegangan politik di kawasan Timur Tengah maupun uji coba senjata nuklir oleh Korea Utara yang memicu konflik dengan Jepang, China, dan Korea Selatan, dan terakhir konflik antara China dan Amerika, sedikit banyak telah mempengaruhi pertumbuhan ekonomi secara negatif.

It is not an exaggeration if we always say thanksgiving to the presence of God Almighty, for all His favors, gifts, guidance and protection, so that PT Prima Alloy Steel Universal Tbk, the Company we love together, is still able to stand and run its activities.

Three decades is not a short time for our Company, to show its good performance when business conditions are uplifting and when business conditions are receding. In that long time, we have passed all challenges together so that the Company still exist and progress.

On this good occasion, I as the President Director of the Company submits the Report of the Board of Directors for our management and performance during 2016.

World Economic Conditions

The development of the global economy in recent years is strongly influenced by turmoil, both in the economic and non-economic sectors.

The negative impact of the global economic downturn that occurred in the period 2008-2009 and 2013-2014 has begun to slacken. In its report, the United Nations (UN) states that global economic growth in 2017 reached 3%. This is marked by increasing productivity of the real sector and international trade traffic.

But non-economic factors such as inter-state conflicts and political tensions in the Middle East region as well as North Korea’s nuclear weapons testing that sparked conflict with Japan, China and South Korea, and the recent conflict between China and America, have at least influenced economic growth negatively.

Pada tahun 2018, PBB memperkirakan bahwa pertumbuhan ekonomi dunia akan tetap stabil di angka 3%. Pertumbuhan ekonomi 2018 akan banyak ditunjang oleh peningkatan investasi. Hal lain yang mempengaruhi kondisi ekonomi global adalah kebijakan Amerika Serikat yang bersifat proteksionisme, sedikit banyak akan berpengaruh negatif terhadap lalu lintas perdagangan internasional.

Strategi Dan Implementasi

Penjualan mobil baru di Eropa tahun 2017 adalah sebanyak 15,1 juta unit atau naik 2,3% dari tahun sebelumnya. Dan pada tahun 2018 diprediksi akan mencapai 15,6 juta unit atau naik 3,3%.

Sementara penjualan mobil di Amerika Serikat turun 2% pada tahun 2017 menjadi 17,2 juta unit dan diperkirakan akan turun 3% pada tahun 2018. Artinya akan terjadi penurunan sebanyak 500 ribu unit mobil.

Di dalam negeri, data Gabungan Industri Kendaraan Bermotor Indonesia (Gaikindo) menyatakan bahwa penjualan kendaraan roda empat di tahun 2017 mencapai 1 juta unit atau naik 1,6% dibandingkan tahun lalu. Di tahun 2018, Gaikindo memperkirakan penjualan mobil akan mencapai 1,1 juta unit atau naik 10%.

Data-data tersebut menunjukkan bahwa manajemen harus bekerja lebih keras dan bermanuver lebih dinamis untuk merebut “kue” yang ada di pasar Eropa dan Amerika sebagai pasar utama Perseroan. Penetrasi dan perluasan jaringan di negara Eropa dan Amerika harus lebih ditingkatkan. Strategi profit margin yaitu meningkatkan penjualan velg dengan size besar harus terus dilakukan untuk mendongkrak nilai penjualan. Value added pada produk alloy wheel Perseroan harus terus didengungkan kepada customer. Dari sisi production cost, efisiensi dan penurunan reject ratio harus terus dijalankan.

Untuk pasar domestik, peningkatan penjualan mobil dari tahun ke tahun harus mampu dimanfaatkan untuk meningkatkan penjualan alloy wheel kita. Edukasi pasar tentang safety produk alloy wheel kita akan kita tingkatkan. Disamping itu, penambahan jaringan customer baru tentunya akan dapat meningkatkan angka penjualan di tahun 2018.

Kinerja Perusahaan

Tahun 2017 bukanlah tahun yang menggembirakan bagi Perseroan. Penurunan penjualan sebesar 5% sudah cukup menjadi bukti bahwa tidak mudah menghadapi situasi bisnis di tahun 2017. Perseroan telah melakukan strategi profit margin dalam menghadapi kondisi bisnis ini dengan meningkatkan penjualan velg dengan size besar, sehingga nilai penjualan tidak sampai menurun signifikan.

Di sisi biaya produksi, terjadi efisiensi biaya produksi yang ditunjukkan dengan kenaikan laba kotor sebesar 2% dibandingkan tahun lalu. Hal ini sesuai komitmen manajemen untuk selalu menjaga reject ratio dan mengurangi pemborosan bahan baku produksi semaksimal mungkin.

Selama tahun 2017 terjadi beberapa kali ganggungan pasokan gas, yang tentunya hal ini sangat mengganggu kelancaran proses produksi maupun output produksi, disamping hal ini juga menjadi salah satu penyebab meningkatnya reject ratio produksi.

By 2018, the UN estimates that world economic growth will remain stable at 3%. Economic growth in 2018 will be supported by increased investment. Another thing that affects global economic conditions is the protectionist United States policy, will at least negatively affect international trade traffic.

Strategy and Implementation

Sales of new cars in Europe by 2017 were 15.1 million units, up 2.3% from a year earlier. And in 2018 is predicted to reach 15.6 million units or up 3.3%.

While car sales in the United States fell 2% in 2017 to 17.2 million units and is expected to fall 3% by 2018. This means there will be a decrease of 500 thousand units of cars.

In the country, data from the Association of Indonesian Automotive Industries (Gaikindo) stated that the sales of four-wheeled vehicles in 2017 reached 1 million units, up 1.6% compared to last year. In 2018, Gaikindo expects car sales to reach 1.1 million units, up 10 percent.

These data suggest that management must work harder and more dynamically maneuver to seize the “cake” that exists in the European and American markets as the main markets of the Company. Penetration and network expansion in European and American countries should be further improved. Profit margin strategy is to increase sales of wheels with large sizes must continue to be done to boost sales value. Value added on the Company’s alloy wheel products must continue to be echoed to the customer. In terms of production cost, efficiency and decrease in reject ratio must continue to run.

For the domestic market, the increase of car sales from year to year should be able to be utilized to increase our alloy wheel sales. The market education about the safety of our alloy wheel products will be improved. In addition, the addition of new customer networks will certainly be able to increase sales figures in 2018.

Company performance

The year 2017 is not an exciting year for the Company. A sales decline of 5% is sufficient to prove that it is not easy to deal with the business situation in 2017. The Company has conducted a profit margin strategy in dealing with this business condition by increasing the sales of large-size wheels, resulting in the value of sales not decreasing significantly.

On the production cost side, there is a production cost efficiency which is indicated by gross profit increase of 2% compared to last year. This is in accordance with the commitment of management to always maintain the reject ratio and reduce waste of raw materials of production as much as possible.

During 2017 there are several gas supply stages, which of course is very disturbing the smoothness of production process and production output, in addition this is also one cause of the increasing reject ratio of production.

Prospek Usaha

Potensi pasar alloy wheels berbanding lurus dengan prospek penjualan kendaraan. Artinya, semakin banyak penjualan kendaraan, maka potensi untuk meningkatkan penjualan alloy wheels juga semakin besar.

Disamping itu, bagi beberapa negara dengan 4 musim (dingin, semi, panas, gugur), terdapat kewajiban bagi pemilik kendaraan untuk mengganti roda setiap pergantian musim. Dan sudah menjadi karakter masyarakat 4 musim tersebut, apabila mengganti roda maka akan sekalian mengganti velg-nya. Hal ini tentunya juga menjadikan bisnis ini selalu memiliki prospek.

Khusus Indonesia, keluarga kecil golongan menengah saat ini telah menjadikan kendaraan roda empat sebagai “kebutuhan aktualisasi diri”. Hal ini juga menjadi pasar yang sangat potensial untuk digarap, karena velg yang dihasilkan oleh Perseroan memiliki banyak model dan cenderung untuk tujuan “fashion” bagi pemilik kendaraan.

Tata Kelola Perusahaan

Penataan kembali struktur organisasi Perseroan agar lebih sesuai dengan kebutuhan dan efisien telah selesai dilakukan di tahun 2017. Diharapkan hal tersebut dapat mendukung peningkatan kinerja Perseroan.

Fungsi monitoring dan evaluasi, terutama terhadap cost produksi, telah di integrasikan dengan system SAP maupun penunjukan personal khusus untuk tujuan tersebut. Hal ini ditujukan sebagai langkah antisipasi terhadap persaingan ke depan, dimana pemenang kompetisi akan ditentukan oleh efisiensi cost produksi maupun efisiensi organisasi.

Corporate governance

Analisa dan Pembahasan Manajemen

Tahun 2017 adalah tahun yang penuh dengan tantangan bagi Perusahaan. Di dalam Perusahaan, mesin-mesin baru seharusnya sudah bisa “lepas” dari proses trial. Namun banyak hal tak terduga yang memperlambat selesainya proses trial. Di luar Perusahaan, gangguan pasokan gas beberapa kali terjadi. Hal ini menjadikan output produksi terganggu dan reject ratio meningkat.

Dari sisi pasar, Amerika sebagai salah satu pasar utama Perusahaan mengalami penurunan permintaan. Sementara pasar domestic tidak menunjukkan grafik penjualan yang menggembirakan.

Laba

Penjualan selama tahun 2017 tercatat 348 milyar rupiah, atau turun 5% dibandingkan tahun lalu. Penurunan permintaan pasar Amerika sangat berpengaruh walaupun di saat yang sama permintaan dari Eropa mengalami kenaikan.

Laba kotor mengalami kenaikan 2%. Hal ini menunjukkan adanya penurunan biaya produksi yang juga berarti bahwa efisiensi cost telah berjalan dengan baik, walaupun terdapat gangguan pasokan gas yang sangat mempengaruhi proses produksi.

Management Discussion and Analysis

The year 2017 is a year full of challenges for the Company. Inside the Company, new machines should be able to “escape” from the trial process. But many unexpected things slow down the completion of the trial process. Outside the Company, gas supply disruption occurs several times. This results in disrupted production output and increased reject ratio.

From the market side, America as one of the main markets of the Company has decreased demand. While the domestic market does not show an encouraging sales chart.

Profit

Sales during 2017 was recorded at 348 billion rupiah, down 5% compared to last year. The decline in US market demand is very influential although at the same time demand from Europe has increased.

Gross profit increased 2%. This indicates a decrease in production costs which also means that cost efficiency has been running well, although there is a disruption of gas supply that greatly affects the production process.

Likuiditas, Kolektibilitas dan Solvabilitas

Likuiditas Perseroan pada tahun 2017 tercatat relatif sama dibandingkan tahun lalu. Hal ini menunjukkan bahwa walaupun rasio hutang dibanding modal Perseroan meningkat, namun Perseroan masih mampu mengelola likuiditasnya dengan baik.

Prospek Usaha

PT Prima Alloy Steel Universal Tbk telah memiliki jaringan pasar ekspor di semua benua, terutama di benua Eropa dan Amerika. Penjualan mobil baru di Eropa pada tahun 2017 mengalami kenaikan 2,3% menjadi 15,1 juta unit dibanding tahun lalu (data Association des Constructeurs Europeens d’Automobiles/ ACEA). Hal ini merupakan jumlah penjualan terbesar sejak tahun 2007. Sementara penjualan mobil baru di Amerika turun 2% menjadi 17,2 juta unit pada tahun 2017.

Data dari German Association of the Automotive Industry (VDA) menyatakan bahwa pada tahun 2018 penjualan mobil baru di Eropa diprediksi akan mencapai 15,6 juta unit dan penjualan mobil baru di Amerika diprediksi sebanyak 16,8 juta unit. Khusus Amerika, penurunan ini dipicu oleh kebijakan the Fed yang akan menaikkan suku bunga hingga 3 kali lipat selama 2018. Hal ini diprediksi akan membuat konsumen untuk beralih membeli mobil seken dibandingkan mobil baru dengan skema kredit yang pasti lebih memberatkan.

Dengan melihat data tersebut, Perusahaan tetap optimis bahwa penjualan velg ke Eropa dan Amerika tetap memiliki prospek yang bagus mengingat bagi masyarakat Eropa dan Amerika, mobil termasuk salah satu “kebutuhan utama” dan velg telah bergeser dari sekedar “pelengkap” mobil menjadi “fashion” bagi mereka.

Dari sisi biaya produksi, adanya kebijakan pemerintah Amerika untuk mengenakan tarif impor hingga 10% dan di sisi lain terjadi over kapasitas aluminium di China, diprediksi akan membawa tren harga aluminium di London Metal Exchange (LME) cenderung menurun. Tentunya ini dapat dipandang sebagai peluang adanya penurunan biaya produksi.

Di pasar dalam negeri, terjadi kenaikan 1,7% penjualan mobil di tahun 2017 (2016 – 1.062 ribu unit; 2017 – 1.079 ribu unit). Data dari Gabungan Industri Kendaraan Bermotor Indonesia (Gaikindo), diprediksi penjualan mobil di tahun 2018 mencapai 1,1 juta unit. Artinya di dalam negeri pun peluang penjualan velg masih tetap menjanjikan dan menjadi tantangan tersendiri bagi Perusahaan untuk melakukan edukasi mengenai pentingnya safety dari sebuah velg dan tentunya tanpa meninggalkan sisi “fashion” dari velg tersebut.

Kebijakan Dividen

Pada tahun 2017 Perseroan masih bergelut dengan kondisi ekonomi yang kurang menguntungkan, sehingga Perseroan memutuskan untuk tidak membagikan dividen.

Liquidity, Collectability and Solvency

Liquidity of the Company in 2017 was relatively the same compared to last year. This shows that although the debt ratio compared to the Company’s capital increase, but the company is still able to manage liquidity well.

Business Prospect

PT Prima Alloy Steel Universal Tbk has a network of export markets in all continents, especially in continental Europe and America. Sales of new cars in Europe in 2017 increased 2.3% to 15.1 million units compared to last year (Association des Constructeurs Europeens d’Automobiles / ACEA) data. This is the largest number of sales since 2007. Meanwhile, new car sales in the United States fell 2% to 17.2 million units in 2017.

Data from the German Association of the Automotive Industry (VDA) states that in 2018 new car sales in Europe are predicted to reach 15.6 million units and new car sales in America is predicted as much as 16.8 million units. By looking at the data, the Company remains optimistic that velg sales to Europe and America still have good prospects considering that for Europeans and Americans, the car is one of the “main needs” and the wheels have shifted from just “complementary” cars to “fashion” they.

In terms of production costs, the US government’s policy to impose import tariffs up to 10% and on the other hand over-capacity aluminum in China, is predicted to bring the trend of aluminum prices on the London Metal Exchange (LME) tends to decline. Surely this can be viewed as an opportunity for a decrease in production costs.

In the domestic market, there was a 1.7% increase in car sales in 2017 (2016 - 1,062 thousand units, 2017 - 1,079 thousand units). Data from the Association of Indonesian Automotive Industries (Gaikindo), predicted car sales in 2018 reached 1.1 million units. Riwayat Perusahaan

Perseroan didirikan pada tanggal 20 Pebruari 1984 berlokasi di Jl. Muncul No. 1 Gedangan - Sidoarjo, Jawa Timur. Perseroan bergerak dalam bidang industri velg kendaraan bermotor roda empat yang terbuat dari bahan aluminium alloy yang umumnya dikenal sebagai velg racing atau aluminium alloy wheels.

Perseroan mulai produksi komersial tahun 1986 dengan kapasitas awal 6.000 unit perbulan.

Perseroan telah memenuhi standard kualitas internasional serta mendapatkan sertifikat JWL-VIA (Japan Wheel License - Japan Vehicle Inspection Assosiation) sejak 1987. Sehingga pada tahun 1987 Perseroan telah berhasil menembus pasar ekspor ke beberapa negara.

Pada tahun 1990, Perseroan melakukan penawaran saham perdana dan mencatatkan sahamnya di Bursa Efek Jakarta dan Bursa Efek Surabaya, yang kemudian diikuti dengan meningkatkan kapasitas produksi serta memperbanyak varian produk.

Pada tahun 1996, Perseroan menerima penghargaan Primaniyarta dari Presiden Republik Indonesia karena berhasil mendukung program pemerintah untuk meningkatkan ekspor produk non migas. Pada tahun 1998 Perseroan memperoleh setifikat ISO 9001:1994 dan terakhir telah diperbaharui menjadi ISO 9001:2008 pada tahun 2010. Pada tahun 2010, Perseroan juga memperoleh Sertifikat TÜV (Techniscer Uberwachungs-Verein) Jerman dengan sertifikat nomor 49 02 0341007 dan SEMA (Speciality Equipment Market Association) USA. Pada tahun 2013 Perseroan memperoleh sertifikat SNI untuk kategori pelek mobil yang diterbitkan oleh B4T-LSPr (Balai Besar Bahan dan Barang Teknik- Lembaga Sertifikat Produk).

Perseroan berdiri di atas tanah dengan luas 60.000 m² dan luas bangunan 45.000 m² yang pada tahun 2002 telah menjadi Kawasan Berikat. Jam operasional Perseroan adalah 24 jam sehari dan 7 hari seminggu.

Saat ini, Perseroan memiliki kapasitas produksi 100.000 unit per bulan, mulai ukuran diameter 13 inch sampai dengan 24 inch dengan varian produk antara lain: full painted, front copy, dan milling. Produk Perseroan telah diekspor ke seluruh dunia dengan merk dagang Panther®, PCW®, Devino®, Akuza® , Incubus®, Ballistic®, Menzari®, dan Viscera®.

Company History

The Company was established on 20 February 1984 located on Jl. Muncul No. 1 Gedangan - Sidoarjo, East Java. The Company engaged in manufacturing automobiles wheels made of aluminum alloy which is commonly known as a racing wheel or aluminum alloy wheels.

The commercial production began since 1986, with its initial capacity 6,000 wheels per month.

The Company has met the international quality standards and obtain a certificate-VIA JWL (Japan Wheel License - Japan Vehicle Inspection Association) since 1987. So in 1987 the Company has successfully penetrated the export market to several countries.

In 1990, the Company made the initial public offering and listed its shares on the Jakarta Stock Exchange and Surabaya Stock Exchange, which is then followed by increasing production capacity and increase product variants.

In 1996, the Company received an award from the President of the Republic of Indonesia Primaniyarta for successfully supporting government programs to increase non-oil exports. In 1998 the Company acquired the ISO 9001:1994 certificates and the last has been updated to ISO 9001:2008 in 2010. In 2010, the Company also obtained a Certificate TÜV (Techniscer Uberwachungs-Verein) Germany with certificate number 49 02 0341007 and SEMA (Speciality Equipment Market Association) USA. In 2013 the Company acquired SNI certificate for alloy wheels for automobile issued by B4T-LSPr (Balai Besar Bahan dan Barang Teknik- Lembaga Sertifikat Produk).

The company was built on 60.000 m² land and has 45.000 m² total building area. In the year 2002 has become a bonded area. The Company operation is 24 hours a day and 7 days a week.

Currently, the Company has a production capacity of 100,000 units per month, ranging in size from a diameter of 13 inch to 24 inch with product variants include: full painted, front copy, and milling. The Company’s products have been exported to all over the world under the trademark Panther®, PCW®, Devino®, Akuza®, Incubus®, Ballistic®, Menzari®, and Viscera®.

Sumber daya manusia adalah suatu komponen vital bagi suatu organisasi, karena sumber daya manusia menjadi pelaksana utama aktivitas manajerial dan operasional di perseroan

Oleh karena itu peningkatan kompetensi SDM secara berkesinambungan menjadi hal yang mutlak dilakukan.

Sumber daya manusia (SDM) yang berkualitas merupakan kunci penggerak organisasi Perseroaan. Dengan adanya SDM yang mampu menggerakkan perseroan dengan baik, maka suatu perseroan akan mampu berkembang dan melakukan pekerjaannya dengan efektif dan efisien.

Perseroan memiliki beberapa program berkaitan dengan kompetensi sumber daya manusia, yaitu:

1 Rekrutmen

Mendapatkan SDM yang tepat merupakan kunci sukses bagi setiap organisasi. Perseroan sangat memperhatikan sistem menempatkan SDM didalam organisasi, mulai dari tahap seleksi, wawancara sampai dengan penempatannya, sehingga SDM yang direkrut adalah benar-benar memiliki kemampuan dan kompetensi yang sesuai dengan kebutuhan organisasi (tepat staffing)

2. Pengembangan Kompetensi

Karyawan sebagai sumber daya manusia memiliki peran penting dalam keberhasilan perseroan. Untuk mengukur prestasi kerja karyawan, perseroan menerapkan sistem penilaian kinerja. Tujuan dari penilaian adalah untuk mengevaluasi kinerja, mengembangkan dan memotivasi karyawan. Faktor-faktor yang dinilai di dalam penilaian ini adalah Perilaku dan kedisiplinan kerja, kualitas kerja, produktivitas kerja dan kemampuan memimpin. Penilaian ini dilakukan secara berkala setiap tahun oleh masing-masing atasan dan Manajemen. Hasil dari penilaian tersebut akan digunakan sebagai dasar pertimbangan untuk pengembangan karir karyawan dan menentukan kenaikan remunerasi tahunan. Disamping itu, apabila dari hasil penilaian didapati kinerja karyawan yang belum optimal, akan ditingkatkan melalui program training yang disusun sesuai dan berdasarkan kebutuhan. Selain penyusunan program training, promosi merupakan salah satu bentuk pengembangan kompetensi yang dilakukan berdasarkan hasil evaluasi kinerja.

Qualified human resources (HR) is the key to the organization of Perseroaan. With the existence of human resources capable of moving the company well, then a company will be able to develop and do its work effectively and efficiently.

The Company has several programs related to the competence of human resources, namely:

1. Recruitment

Getting the right HR is the key to success for any organization. The Company is very concerned about the system of placing human resources within the organization, starting from the selection stage, the interview up to the placement, so that the recruited human resources are really have the ability and competence in accordance with the needs of the organization (appropriate staffing)

2. Competence Development

Employees as human resources have an important role in the success of the company. Business dynamics demands and tight competition among business actors, this requires the Company to continuously develop employees’ competence through education & training. In addition to supporting the effectiveness of the role of supervisor, employees are also given leadership training stock.

3. Performance and Development Assessment

To measure employee performance, the company implemented a performance appraisal system. The purpose of the assessment is to evaluate performance, develop and motivate employees. Factors assessed in this assessment are Behavior and work discipline, quality of work, work productivity and leadership ability. This assessment is conducted on a regular basis each year by each supervisor and Management. The results of these assessments will be used as a basis for consideration for employee career development and determine the annual remuneration increase. In addition, if the results of the assessment found employee performance is not optimal, will be enhanced through training programs are prepared according to and based on needs. In addition to the preparation of training programs, promotion is one form of competence development conducted based on the results of performance evaluation.

Pada tahun 1990, perseroan melakukan penawaran umum perdana 2.000.000 lembar saham perusahaan dan penjualan 1.000.000 lembar saham milik pihak yang memiliki hubungan istimewa dengan nilai nominal Rp 1.000 per lembar saham.

Pada tahun 1994, pemegang saham menyetujui pembagian satu lembar saham bonus dari setiap lembar saham yang dimiliki.

Pada tahun 1997, para pemegang saham menyetujui perubahan nilai nominal saham dari Rp 1.000,- per lembar saham menjadi Rp 500,- per lembar saham, pembagian dividen saham sebanyak dua lembar saham dengan nilai nominal Rp 500,- kepada setiap pemegang 10 lembar saham dengan nilai nominal Rp 1.000,- per lembar saham dan pembagian saham bonus sebanyak delapan lembar saham dengan nilai nominal Rp 500,- per lembar saham kepada setiap pemegang lima lembar saham dengan nilai nominal Rp 1.000,- per lembar saham.

Pada tahun 2005, pemegang saham menyetujui perubahan nilai nominal saham dari Rp 500,- menjadi Rp 100,- per lembar saham (stock split).

Pada tahun 2013, pemegang saham menyetujui konversi utang menjadi saham sebanyak 113.043.478 lembar saham dengan nilai nominal Rp 100,- per lembar saham.

Manajemen RisikoRisk Management

Complex business activities of the company carries the consequence of increasingly risks to the company’s internal and external environment. As a precaution against this, the company has designed and implemented risk management measures to anticipate all possibilities that will happen so that these risks can be managed properly.

Competition Risk

The products of the company has penetrated the export market in the last 30 years. This proves the high level of confidence of consumers world on wheels produced by the company. With increasing competition in the wheel business, the company is aware of the need to perform maneuvers to maintain market confidence. Among them is the use of new technologies on production machines to improve the capacity and quality of the resulting alloy. This new technology is also able to increase the efficiency of production costs, which in turn is able to widen profit margins as a tool to compete with competitors. Coupled with the company’s reputation has been recognized worldwide, the company is very confident of being able to compete in both the domestic market and international market.

Financial Risk

In the course of its business, the company also faces financial risks. Changes in the rupiah against the U.S. dollar is very influential on the cost of production and sale of the company, considering there are some production materials must go through the import process and the majority of the company’s sales are exports . In addition, the possibility of uncollectible receivables is also a risk of congenital of a business activity. Partial funding of the company is derived from third parties may also affect the capital structure of the company is to be managed properly.

Kegiatan bisnis perseroan yang semakin kompleks membawa konsekuensi adanya risiko-risiko bagi lingkungan internal maupun eksternal perseroan. Sebagai langkah antisipasi terhadap hal ini, perseroan telah merancang dan mengimplementasikan tindakan manajemen risiko untuk mengantisipasi segala kemungkinan yang akan terjadi sehingga risiko-risiko tersebut dapat dikelola dengan baik.

Risiko Persaingan

Bukan hal mudah untuk dapat memenangkan persaingan di pasar ekspor velg. Dibutuhkan kerja keras untuk membangun jaringan. Produk perseroan telah menembus pasar ekspor dalam 30 tahun terakhir. Hal ini membuktikan tingkat kepercayaan yang tinggi dari konsumen dunia terhadap velg yang dihasilkan oleh perseroan. Dengan semakin ketatnya persaingan bisnis velg ini, perseroan menyadari harus melakukan manuver-manuver untuk tetap menjaga kepercayaan pasar. Diantaranya adalah dengan penggunaan teknologi baru pada mesin produksi untuk meningkatkan kapasitas maupun mutu velg yang dihasilkan. Teknologi baru ini juga mampu meningkatkan efisiensi biaya produksi yang pada akhirnya mampu memperlebar margin laba sebagai alat untuk bersaing dengan competitor. Ditambah lagi dengan reputasi perseroan yang sudah diakui dunia, maka perseroan sangat yakin mampu untuk bersaing baik di pasar domestik maupun pasar internasional.

Risiko Keuangan

Dalam menjalankan kegiatan bisnisnya, perseroan juga menghadapi risiko keuangan. Perubahan nilai tukar Rupiah terhadap US Dollar sangat berpengaruh pada biaya produksi maupun penjualan perseroan, mengingat ada beberapa material produksi harus melalui proses impor dan mayoritas penjualan perseroan adalah ekspor. Selain itu, adanya kemungkinan piutang yang tidak tertagih juga merupakan sebuah risiko bawaan dari suatu kegiatan bisnis. Sebagian pendanaan perseroan yang berasal dari pihak ketiga juga dapat mempengaruhi struktur permodalan perseroan yang harus dikelola dengan baik.

Perseroan telah menjalankan beberapa tindakan untuk meminimalkan risiko keuangan tersebut. Pengadaan material produksi dilakukan berdasarkan hasil analisa nilai tukar Rupiah terhadap US Dollar sehingga kerugian nilai tukar dapat diantisipasi, walaupun potensi kerugian tersebut pasti dapat ditutupi dengan potensi margin laba penjualan ekspor yang tentunya lebih besar. Analisa umur piutang secara rutin juga dilaksanakan sebagai langkah pencegahan potensi piutang tak tertagih. Dengan demikian pengelolaan cashflow perseroan untuk mengembalikan dana pihak ketiga dapat berjalan dengan baik sesuai jadwal yang telah ditentukan. Perseroan juga selalu melakukan analisa pengelolaan struktur permodalan melalui ratio hutang terhadap modal, dimana hasilnya tercatat semakin bagus dari tahun ke tahun.

Risiko Regulasi

Velg mobil merupakan produk yang harus lulus uji keamanan tingkat tinggi. Perseroan akan menghadapi tuntutan hukum apabila terdapat produk cacat yang mengakibatkan kecelakaan bagi pemakainya.

Melakukan proses produksi dan menghasilan barang dengan kualitas ekspor sudah merupakan komitmen perseroan sejak perseroan didirikan pada 1984. Sehingga sejak awal berdirinya, proses produksi maupun produk yang dihasilkan oleh perseroan telah menggunakan standar keamanan internasional. Berkaitan dengan hal ini, perseroan telah diuji dan dinyatakan lulus uji oleh beberapa lembaga sertifikasi yaitu TUV Jerman, JWL Jepang, SEMA USA, SNI maupun ISO. Sertifikasi yang telah diperoleh perseroan telah diuji ulang setiap tahun dan perseroan selalu dinyatakan lulus uji. Sehingga penggunaan produk perseroan telah dijamin keamanannya.

Risiko Sumber Daya Manusia

Perseroan secara berkala melakukan training yang berkaitan dengan teknis pekerjaan maupun soft skill sehingga diharapkan potensi karyawan dapat terus digali dan berkembang. Beberapa karyawan dikirim ke Jepang, Jerman, dan Taiwan untuk belajar mengenai penggunaan teknologi baru dalam proses produksi velg. Selain itu, perseroan juga mengundang tenaga ahli dari Italia maupun Jerman untuk memberikan training teknologi baru kepada karyawan perseroan.

Sebagai wujud rasa tanggung jawab sosial Perseroan kepada masyarakat khususnya dalam hal penyediaan lapangan kerja dan menciptakan sumber daya manusia yang handal, berkualitas dan berjiwa pemimpin, Perseroan menjalin kerjasama dengan beberapa lembaga pendidikan maupun pihak Instansi Pemerintah penyedia tenaga kerja untuk memberikan kesempatan/peluang berkarir bagi siswa/mahasiswa yang telah lulus untuk mengikuti Program Magang di Perseroan.

Didalam program magang ini peserta yang telah lolos dalam seleksi akan diberikan kesempatan mengikuti pendidikan dan pelatihan baik secara teori maupun praktek kerja. Pendidikan dan pelatihan yang diberikan meliputi: perilaku kerja, ketrampilan kerja dan kepemimpinan.

Peserta yang berprestasi dan lolos ujian dalam pendidikan dan pelatihan tersebut akan diprioritaskan dan diberikan kesempatan bekerja di Perseroan sebagai Management Trainee yang selanjutnya akan dididik dan ditempa untuk menjadi seorang pemimpin yang handal didalam Perseroan.

Sedangkan Kebijakan Perseroan dalam memberikan prioritas terhadap masyarakat sekitar area Perseroan untuk mengikuti seleksi dan penerimaan menjadi karyawan perseroan masih tetap dijalankan, termasuk ikut aktif dalam kegiatan sosial di lingkungan sekitar Perseroan.

Rapat Umum Pemegang Saham

Pada tanggal 16 Juni 2017 telah dilaksanakan Rapat Umum Pemegang Saham Tahunan (RUPS-T) yang dihadiri oleh Dewan Komisaris dan Direksi, dengan kehadiran sebanyak 94,51% dari seluruh pemegang saham Perusahaan. Dalam RUPS tersebut diputuskan hal-hal sebagai berikut:

1. Rapat dengan suara bulat menerima baik Laporan Tahunan Direksi dan Laporan Tugas Pengawasan Dewan Komisaris tahun 2016

2. Menerima baik serta persetujuan atas Neraca dan Perhitungan Laba Rugi Perseroan tahun buku 2016 yang telah diperiksa Kantor Akuntan Publik

3. Melimpahkan wewenang kepada Dewan Komisaris Perseroan untuk menunjuk Akuntan Publik untuk melakukan audit tahun buku 2017

4. Melimpahkan wewenang kepada Dewan Komisaris untuk menetapkan besarnya remunerasi bagi Dewan Direksi dan Dewan Komisaris

5. Memberikan wewenang kepada Dewan Komisaris untuk menetapkan remunerasi bagi Dewan Komisaris, dengan ketentuan tidak melebihi 30 % dari remunerasi Dewn Direksi.

Pada tanggal 16 Juni 2017 telah dilaksanakan Rapat Umum Pemegang Saham Luar Biasa (RUPS-LB) yang dihadiri oleh Dewan Komisaris dan Direksi, dengan kehadirian sebanyak 94,51% dari seluruh pemegang saham Perusahaan.

Dalam RUPS-LB tersebut diputuskan bahwa rapat dengan suara bulat menyetujui untuk memberikan wewenang kepada Direksi dan Dewan Komisaris untuk mencari fasilitas tambahan pembiayaan berupa kredit investasi dan kredit modal kerja kepada Bank atau institusi finance non bank atau sumber kredit lainnya, dengan menyerahkan jaminan asset perusahaan atas tambahan fasilitas tersebut yang dipandang baik Direksi oleh Dewan Komisaris.

Dewan Komisaris

Dewan Komisaris berfungsi sebagai wakil pemegang saham, melakukan pengawasan atas kebijakan Perseroan, serta memberi nasehat kepada Direksi.

2. Receive both and approval of Balance Sheet and Income Statement of the Company for the fiscal year 2016 that has been examined by the Public Accounting Firm

3. To delegate authority to the Board of Commissioners of the Company to appoint a Public Accountant to audit the book year 2017

4. To delegate authority to the Board of Commissioners to determine the amount of remuneration for the Board of Directors and Board of Commissioners

5. Provide authority to the Board of Commissioners to determine remuneration for the Board of Commissioners, provided that it does not exceed 30% of Dewn’s remuneration.

On June 16, 2017, an Extraordinary General Meeting of Shareholders (RUPS-LB) was attended by the Board of Commissioners and the Board of Directors, with the presence of 94.51% of all shareholders of the Company.

In the RUPS-LB it was decided that the meeting unanimously agreed to authorize the Board of Directors and Board of Commissioners to seek additional financing facilities in the form of investment credit and working capital credit to Bank or other non-bank finance institution or other credit source by submitting asset guarantee the additional facilities which are considered by the Board of Directors by the Board of Commissioners.

The commissioners serve as a representative of shareholders, supervise the management policies and provide advice to the directors.

The board of commissioners has held meetings in 6 times with 100% attendance rate in the year 2017.

Direksi

Direksi berfungsi menjalankan manajemen Perseroan sesuai dengan maksud dan tujuan dibentuknya Perseroan, dalam batas yang ditentukan oleh Anggaran Dasar dan Peraturan Perundang-undangan.

Dalam tahun 2017, Direksi telah melakukan pertemuan sebanyak 12 kali dengan tingkat kehadiran 100 %.

Etika Perusahaan

Perseroan telah memiliki dan menjalankan kode etik dalam menjalankan aktivitasnya yang dirangkum dalam “Jiwa Prima” dan berlaku bagi seluruh anggota perseroan termasuk Dewan Komisaris, Dewan Direksi, Organ Pendukung Perseroan, maupun karyawan perseoran, yaitu:

1. Standar Individu

Dalam menjalankan setiap aktivitas, kami senantiasa memegang teguh kejujuran, menjalankan tugas dengan penuh tanggung jawab, menegakkan kedisiplinan, dan mematuhi seluruh peraturan maupun kebijakan perusahaan.

2. Standar Interaksi

• Pihak Internal Dalam menjalankan setiap aktivitas, kami senantiasa

menghormati hak azasi manusia, menjaga hubungan baik antar anggota perusahaan, dan menciptakan lingkungan kerja yang aman dan nyaman, serta berpartisipasi aktif terhadap setiap upaya perbaikan perusahaan.

• Pihak Eksternal Dalam menjalankan setiap aktivitas, kami senantiasa

menghormati hak azasi manusia, menjaga hubungan baik dengan pihak ketiga, menjaga nama baik dan kepentingan perusahaan, serta mematuhi ketentuan hukum yang berlaku.

Komite Audit

Komite Audit bertugas untuk memberikan pendapat kepada Dewan Komisaris terhadap laporan atau hal-hal yang disampaikan oleh Direksi kepada Dewan Komisaris.

Selain itu, Komite Audit juga mengidentifikasi hal-hal yang memerlukan perhatian Komisaris, dan melaksanakan tugas–tugas lain yang berkaitan dengan tugas Dewan Komisaris, antara lain meliputi penelaahan laporan keuangan, penelaahan ketaatan Perseroan atas peraturan perundangan, penelaahan pelaksanaan pemeriksaan auditor internal, dan melaporkan kepada Komisaris berbagai risiko yang dihadapi Perseroan dan pelaksanaan manajemen risiko oleh Direksi.

Directors

The board of directors run the company operation, to pursue the company objectives, in accord with company’s article of association and legal regulations .

In the year 2017 the directors have held meeting 12 times with 100% attendance rate.

Corporate Ethic

The Company has been owned and run code of ethics in carrying out its activities, which are summarized in the “ Jiwa Prima “ and applies to all members of the company, including the Board of Commissioners, Board of Directors, Organ Support Company, as well as employees of the company, namely:

In carrying out any activity, we always uphold honesty, running tasks with full responsibility, enforcing discipline, and comply with all regulations and company policies.

2. Interaction standards

• The Internal In carrying out any activity, we always respect human

rights, maintaining good relations between members of the company, and create a working environment that is safe and comfortable, as well as participate actively against any efforts to improve the company.

• The External In carrying out any activity, we always respect human

rights, maintaining good relations with a third party, maintain the good name and interests of the company, and to comply with applicable law.

Audit Committee

Audit Committee to give an opinion to the Board of Commissioners of the report or matters submitted by the Directors to the Board of Commissioners.

Besides, the Audit Committee identifying matters that require attention of the Commissioner, and carry out other tasks related to the duties of the Board of Commissioners, include the review of financial report, the review of the Company’s adherence to laws and regulations, the review of the implementation of the internal auditor, and report to the Commissioner of the various risks faced by the Company and the implementation of risk management by the Directors.

Laporan Kegiatan Komite Audit Tahun 2017

Sepanjang tahun 2017 Komite Audit telah melakukan pertemuan sebanyak 6 kali guna mendiskusikan beberapa hal berikut:

Sistem pencatatan dan pelaporan, laporan keuangan tahunan tahun 2017 dan laporan keuangan interim, guna memastikan bahwa laporan keuangan tersebut telah disusun dan disajikan sesuai dengan prinsip akuntansi yang berlaku di Indonesia.

Sehubungan dengan pengendalian internal perseroan, Komite Audit telah melakukan pembahasan atas rencana kerja Bagian Internal Audit perusahaan, yang meliputi efektivitas pengendalian dan keamanan internal. Melakukan pembahasan atas semua kewajiban pelaporan, dan ketaatan terhadap peraturan dan perundang-undangan di Pasar Modal serta perundangan lain yang terkait dengan kegiatan Perseroan.

Semua hasil dan temuan Komite Audit telah dilaporkan kepada Dewan Komisaris, dan telah disetujui oleh Direksi. Secara keseluruhan Komite Audit tidak melihat adanya permasalahan signifikan yang dapat mempengaruhi jalannya kegiatan operasional perusahaan.

Audit Committee Report 2017

Throughout the year 2017 the Audit Committee met 6 times to discuss the following:

Recording and reporting system, the annual financial statements in 2017 and interim financial statements, to ensure that the financial statements have been prepared and presented in accordance with accepted accounting principles in Indonesia.

In connection with the company’s internal controls, the Audit Committee conducted a discussion of the work plan company’s Internal Audit Section, which includes the effectiveness of internal controls and security. Doing the discussion of all reporting obligations, and compliance with regulations and legislation in the Capital Market and other legislation related to the activities of the Company.

All the results and findings of the Audit Committee reported to the Board, and has been approved by the Board of Directors. Overall the Audit Committee does not see any significant issues that may affect the course of the company’s operations.

Sekretaris Perusahaan adalah pintu depan Perseroan dalam menjalin komunikasi antara manajemen dengan pihak luar, yaitu pemodal dan pemangku kepentingan lainnya.

Lebih detail fungsi Sekretaris Perusahaan mencakup diantaranya mengikuti perkembangan pasar modal serta memberi masukan kepada Direksi untuk mematuhi undang-undang pasar modal dan peraturan pelaksanaannya, memberikan pelayanan kepada masyarakat atas setiap informasi yang dibutuhkan pemodal yang berkaitan dengan kondisi Perseroan, dan sebagai penghubung antara Perseroan dengan Otoritas Jasa Keuangan (OJK) dan masyarakat.

Selama tahun 2017, Perseroan telah melakukan berbagai kegiatan keterbukaan informasi, diantaranya public expose 1 kali, menerbitkan laporan keuangan kuartalan 3 kali dan tahunan 1 kali, dan pengumuman terkait rangkaian RUPS 1 kali.

Corporate Secretary

The Company Secretary is the front door of the Company in establishing communication between management and outside parties, namely investors and other stakeholders.

More details of which includes the Corporate Secretary function to keep track of the stock market as well as provide input to the Directors to comply with capital market laws and implementing regulations, provide the public with any information needed by investors relating to the condition of the Company, and as a liaison between the Company and the authority financial services (OJK) and society.

During 2017, the Company has undertaken various information disclosure activities, including 1 time public expose, published quarterly financial statements 3 times and annual 1 times, and a series of related announcements of RUPS 1 times.

Sejak tahun 2009, Perseroan telah membentuk Unit Audit Internal, yaitu kegiatan yang bertujuan untuk meningkatkan nilai dan memperbaiki operasional perusahaan, melalui pendekatan yang sistematis, dengan cara mengevaluasi dan meningkatkan efektivitas manajemen risiko, pengendalian, dan proses tata kelola perusahaan.
