Claim has been made that the 2019 AGM is not valid or properly notified:

1. In accordance with MCC club rules, Committee nominations were postedon the notice board up to 4pm on the 6th of September, then scrutinised forvalidity, collated onto a single notice of nominations and replaced onnotice board.

2. 15th September MCC Club Manager and Flags Officers were emailed byPast Commodore Paul Mackay. Paul advised that two of the RearCommodore nominations included a preference for house or yard roles,that these nominations were “incorrect and therefore potentiallymisleading” and that He removed the posted notice of all nominations.

3. Committee disagreed with this view however received an email on 16th

September stating “If necessary, I will challenge your view at the AGM”.

4. Two Past Commodores further advised that failure to follow propernomination notification procedure may invalidate this AGM,recommending Committee seek legal advice.

5. The following legal advice from MCC Honorary Solicitor was received:

a. “Nothing in the rules precludes candidates from stating whetherthey wish to be considered for ‘yard’ or ‘house’.”

b. “It is suggested that this has become a convention or establishedprotocol at the Club. Whether it has or it has not, as above, there isnothing in the rules precluding or preventing that. For clarity,nothing in Rule 4 prevents this.”

6. MCC rule 6 states;

a. “the Annual General Meeting may elect a member or memberswithout prior notice”.

7. Following review of MCC rules and MCC Solicitor’s advice, thisCommittee’s resolved that the 2019AGM notification process is valid, andthis AGM continues.

A minute's silence was called for those members.

A paper vote was taken and two members Steve Voulairre and Eleanor Barrettvolunteered as scrutineers. The results of the voting were returned with the followingoutcome

Ted Coates contribution to the MCC Yard operation and in particular the Travel Liftrefurbishment was recognised by the award of Honorary Life Membership of the ManaCruising Club

Asked why there was no Proxy votes? Allan Davidson advised it was not allowed for inMCC Rules, this would require a motion as an AGM or GM for the Rules Committee tobe mandated to consider this, and it would then need to be voted for at an AGM.

Asked if Postal Votes could be allowed?Allan Davidson advised the same process wouldapply as for having Proxy votes allowed, however this was a good idea given low AGMattendance and already a process adopted by regional Government.

PC Trevor Burgess: Point of Order, asked for show of hands to gauge member interest inPostal or Proxy Votes, clear minority of hands in room in favour of these suggestions.

PC Mike Quayle advised his view is that people should attend AGMs to vote.

Expresses concern over events that had dropped off the social calendar, examples beingthe Easter Cruise, Xmas Party at Ships Cove, Calcutta, he would like to see thesereintroduced. Allan Davidson advised these events were missed and part of the ClubManager’s role to work with Committee in reintroducing events.

Asked if trailer boat membership had been capped as discusses at last year’s AGM?Allan Davidson advised this was still under review as part of the Option 3 Yard

Restructure and the sub committees managing this process would advise theirrecommendations. Option 3 was on the drawings handed to attendees.

Asked for an update on the harbour entrance MCC transit mooring relaying? AllanDavidson advises the components were in the yard and it was a Committee’s goal to havethis re-laid for this summer’s cruising season.

Is there a timeline for commencement of the new ramp? Allan Davidson advised thedesign was only at preliminary stage as mandated at theAugust GM, that the current goalwas to have preliminary work to achieve a basic ramp only as Stage 1 in time for the2020/21 summer boating season, with whole East yard project completed over 3 years.

It was also stated that all Regular Members paid the same annual fee however trailer boatowners pay nothing to use the ramp whereas moored craft owners have to pay extra feesfor hard stand facilities. Allan Davidson advised that there nearly equal membershipbetween trailer boat and moored craft members, that last year the launch ramp costsMCC approximately $15k for water and maintenance, while moored craft owners largelyhave sole use of the MCC mooring which cost MCC $14k pa and in the same periodwaste water treatment from Travel lift Water blasting was $14k pa, plus power, water andthe significant upgrade costs of the TL and facilities

Nils Snopko advised that there were some large trailer boats also using moorings.

No other General Business was discussed.

I have much pleasure in presenting my report for the year ending 31 July 2020.

First, I note with sadness the passing of the following members Barry Sherman andLindsay King.

Whilst the Club is in good health financially and in terms of members numbers, we havehad a challenging year.

The impact of the Covid-19 has been felt across the entire community, the Club included.As well as closing down our Club operations for six weeks this year, the impact on futureyears is not yet clear. In the light of this, we have reviewed our wardroom and restaurantopening nights and reduced these from five to three. I expect we will be able to reviewthis when the overall Covid impact becomes clearer later in the year.

Tony O’Connor decided to move on from the role of Club Manager, giving us theheadroom to employ Rob Hall as Functions Manager. This has proved to be a verysuccessful change of focus, evident in the increased activity we see around the Club nowthat we are back in operation.

Moorings have continued to be a key asset for the Club, with our three local mooringsbeing certified on the same cycle as our moorings in the Sounds. The ongoing investmentin maintaining and increasing our mooring stocks is very important for the future of ourClub.

Our annual fishing comp was again successful, it remains a key engagement day for awide range of members and their families and was again extremely strongly supportedby our Club sponsors. Be sure to think first of these firms when looking to spend moneylocally.

Our plans to address health and safety risks by separating our hard stand and trailer boatoperations across the two yards needed to be adjusted based on advice from anIndependent Engineer. The report (published to all members earlier in the year)recommended hard stand operations be carried out in the Eastern yard and the trailer boatramp be left where it is today. We expect to have a survey of the viability of this optionfor the Eastern yard soon. Marty Scott is heading up the team looking at this.

Our social calendar was naturally impacted by Covid. A very successful and wellpatronised mid-winter Christmas function marked the end of the original lock-down, itwas a great night and thoroughly enjoyed by all who attended.

Winter sailing (Relling and Mark Ellmers) has again had a good season, a wide varietyof conditions and the usual enthusiasm from the sailing membership.

As a result of the Covid required changes, the Committee have had a lot of work to doon your behalf. Paul MacKay left during the year due to work commitments as a result,with Alex Tollenaar stepping in to fill the vacancy. As requested at the last AGM, the

Chair of the Marina Company has also been actively engaged with the Committee thisyear.

Finally, I would like to thank our staff and my Committee for their efforts this year. Ourvalued sponsors have again helped the Club maximise what it does for our members,thank you, and as always the members who spend their time and efforts helping aroundthe Club are greatly appreciated.

The yard is performing well even though it was shut down over the Covid-19 lock downperiod.

We have installed a Barrier arm at the entrance to the West yard.

The East yard is waiting on a surveyor's report so we can get costings.

The yard continues to be profitable and with our travel lift operator retiring we will belooking at a new position so the yard and travel lift will continue to do well.

I have been fortunate to have the help of Ted Nation and Alex Tollenaar assisting mewith the running of the yards.

We now have an on-line booking system that is mostly working well. There have beena few hiccups on the way, as would be expected with any new system. For most of thetime bookings have gone smoothly.

I hope the yard will keep improving and running profitably in the future.

Firstly, I would like to thank the club members and sponsors for helping us enhance theevents held throughout the year.

I took up the roll of Rear Commodore just before Covid-19 hit, so not too many eventswere forthcoming. However, we managed to put together a Midwinter Dinner on the18th of July which was a great success.

As always, if you have any ideas or suggestions for boating events, activities, please letus know. And keep an eye on the events board and web site to keep up to date on theupcoming activities.

A great addition to our team is having both Robert Hall, as the Club Restaurant andFunctions Manager, and Shazeena Nisha as Head Chef. We have seen a welcomedimprovement to the dining experience of the Porthole Bistro restaurant. They have beenserving an excellent choice of quality menu items. A great thanks to Robert andShazeena!

The MCC clubrooms have been busy with several community and private groupfunctions, coming in almost daily. This is an excellent use of the clubrooms, as not onlydo we help bring the local community together, it helps fund all the MCC activities wehave!

Thank you all for your support throughout the year, I look forward to the coming yearwith a bit more Covid freedom and getting our lives back to normal!

BASIS OF REPORTING

Mana Cruising Club Incorporated has elected to apply PBE SFR-A (NFP) Public Benefit Entity Simple FormatReporting - Accrual (Not -For-Profit) on the basis that it does not have public accountability and has total annualexpenses of equal to or less than $2,000,000. All transactions in the Performance Report are reported using theaccrual basis of accounting. The Performance Report is prepared under assumption that the entity will continue tooperate in the foreseeable future.

GOODS AND SERVICES TAX (GST)

Mana Cruising Club Incorporated is registered for GST. All amounts are recorded exclusive of GST, except forDebtors and Creditors which are stated inclusive of GST

EVENTS SUBSEQUENT TO BALANCE DATE

There were no events that have occurred after balance date that would have a material impact on the PerformanceReport. (Prior year - nil).

FIXED ASSETS AND DEPRECIATION

All fixed assets are stated at historical cost except for;- the Club House and Ground Improvements which are shown at 2005 indemnity value.- the section of the Breastwork purchased from Mana Marina Paremata Ltd for $1 and revalued at 31st July 04 toreflect fair value. The revaluation was based on the original construction cost in 1992 less depreciation.- moorings - Mana CC owns 4 moorings outright, a 50% share of 24 moorings with Pelorus BC, a 50% shareof 26 moorings with Waikawa BC, and a 33.3% share of 22 moorings with Pelorus and Waikawa.A value of $3,422 each has been applied for our equivalent full ownership of 36.33 mooringsDepreciation is calculated on a straight line basis as follows:

INVENTORY

Stocks are valued at cost on an Average Cost basis.

COVID 19

Covid 19 has had an impact on the bar and restaurant operations. Other operations have continued as usual and theexecutive believe that the club will continue to operate for the foreseeable future.

Covid wages subsidy received of $ 77,877 is disclosed under “ Other Income". Allocation to Individual areas has asignificant impact on Net Operating results.
