MEMORANDUM OF UNDERSTANDING

This MOU is entered between Sunrise Agriland Development & Research Pvt.Ltd.

having its office at 301.Mahaveer Nagar-II, Maharani Farm, Durgapura, Jaipur

(Raj.)-302018; represented by its Director Mr. Atul Gupta herein referred to as

the BUYER

AND

PARTY/COMPANY registered under ACT, having its registered office at

ADDRESS represented by President/Director CONTACT PERSON NAME

hereafter referred to as the SELLER.

Whereas the SELLER is the grower and is also involved in the activity of the

contractual farming of STEVIA leaves and the BUYER is in the business of trading of

Dry STEVIA leaves.

The Seller is desirous of undertaking cultivation of Stevia at farms of its registered

farmers in the UP State. Buyer hereby guarantees the Seller through this agreement to

buy back. The complete produces of the same, subject to following

TERMS and CONDITIONS:

1) The SELLER will sell Dry STEVIA Leaves at Rs 100/Kg irrespective of stevioside content.

2) The SELLER will sell the leaves only grown at its registered farms.

3) The cultivation will be done under organic agriculture practices which will be certified by SHG

Organic Certification agency or any other certification agency approved by the APEDA, Govt of

India. The seller will provide the Transfer certificate issued by the certification agency with the

delivery of the material.

4) The leaves must be green in color and well dried

5) The 50% payment will be made in advance and balance 50 % will be paid on or before 15 Days

from the date receiving of the supply by the purchaser. The SELLER will dispatch the leaves

within 7 Days from receiving the advance payment.

6) If any problem occurs at the time of harvesting at SELLERs side it will be informed 10 days in

advance in written to the BUYER.

7) The SELLER will adopt high technology methods as discussed with the BUYER in order to

maintain the stevioside content.

8) Al the activities of growing STEVIA from land preparation to drying and packaging of dry STEVIA

leaves will be conducted under the supervision of BUYER.

9) The rate of dry STEVIA leaves will not be reviewed before 3 years between the parties.

10) The BUYER will be liberty to sell the dry STEVIA leaves to anyone, at anywhere. The SELLER

will be no claim on the supplied item or margin.

11) It will be responsibility of the SELLER to deliver the dry STEVIA leaves to warehouse located at

Jaipur or NCR within agreed time, the SELLER will assure that under no circumstances, the

supplies will not be disrupted or delayed. . The transportation charges will be borne by BUYER.

12) All the matters will be subject to Jaipur Jurisdiction Only.
