SECTION ONE – INTRODUCTION

The Leander Independent School District ("LISD" or the "District") is soliciting for Architectural and Engineering ("A/E") firms for our 2019 bond program and a pool of Architectural and Engineering ("A/E") firms for our routine needs.

1.1. Invitation

Leander Independent School District (known herein as “LISD or the District”) is accepting Proposals from vendors, referred to as Proposers prior to award and Consultant after award, to provide professional architecture and engineering services in accordance with the instructions, terms and conditions, and requirements contained in this solicitation. This solicitation is issued per Texas Government Code Chapter 2254.

1.2. Background

1.2.1. LISD has an ongoing need for professional architecture and engineering services. The needed services are to support various facilities maintenance and construction projects. The project delivery methods vary depending on the specifics of the work and include delivery methods such as Job Order Contracting, Competitive Sealed Proposal, Design-Build and Construction Manager-at-Risk.

1.2.2. To meet this ongoing need for services, LISD seeks to award a multi-year pool of qualified Consultants. During the term of the award, LISD intends to utilize the awarded Consultants as the primary source of architecture and engineering services; however, LISD reserves the right to contract for these services by other means, at its sole discretion.

1.2.3. LISD intends to utilize the pool of awarded for projects with an estimated construction value of less than $1,000,000. For larger projects, LISD intends to issue a separate solicitation just for that project.

1.2.4. LISD intends to make multiple awards (Pool of Consultants) in each of the following discipline categories:

1.2.5. The exact number of awards in each discipline category will be determined by LISD based on the competition received. Given the varied and unknown projects that may be required by LISD, LISD intends to make multiple awards in each discipline category.

1.3. District Facts and Statistics

1.3.1. LISD covers an area of approximately 200 square miles and is located in Williamson and Travis Counties.1.3.2. The District currently operates 27 elementary schools with grades PK-5; 8 middle schools with grades 6-

8; 6 high schools with grades 9-12; and 2 alternative educational facilities.1.3.3. LISD has an enrollment of approximately 41,000 students districtwide.1.3.4. LISD employs approximately 6,000 staff, which covers teachers and administrators at all of the schools.1.3.5. LISD is comprised and governed by seven (7) trustees. Trustees of LISD are elected by residents to

at large positions, by place. One trustee is elected to represent each of the seven (7) places, to representthe entire district, for a four (4) year term of office. The terms are staggered so that the board maintains a number of veteran trustees as new members are elected.

1.3.6. LISD has eleven (11) cabinet level positions.1.3.7. More detailed information concerning LISD (including maps, listing of staff, etc.) can be found on the

District’s website at www.leanderisd.org.

SECTION TWO – SOLICITATION INSTRUCTIONS

2.1. Solicitation Terms

2.1.1 Responses for the Request for Qualifications for Architectural and Engineering Services shall be submitted in an envelope marked on the outside with the firm’s name, address and RFQ number (RFQ #AE19JD) to:

2.1.2. RFQ responses will be received at the above address until December 5, 2019 at 1:30pm. 2.1.3. SUBMITTAL FORMAT: SIX HARD COPIES PLUS ONE PDF/ELECTRONIC COPY (FLASH DRIVE). 2.1.4. LISD will not accept late Proposals. 2.1.5. LISD will only accept Proposals delivered to address listed in 2.1.1. above. No emailed or faxed Proposals

will be accepted.2.1.6. Any explanation desired by a Proposer regarding the meaning or interpretation of this solicitation, or any

forms included herein, must be requested in writing no later than Friday, November 15, 2019 at 11:00 a.m. CST.

2.1.8. All answers to the submitted questions will be emailed to all proposers. Any interpretations, corrections or changes of or to the Proposal documents made in any other manner will not be binding upon LISD, and Proposers may not rely thereon.

2.1.9. By submitting a Proposal, Proposer acknowledges and accepts all addenda, questions and answers provided by LISD.

2.1.10. Proposer shall only contact LISD regarding this solicitation. Proposer shall not contact anyone else with LISD until after award or specifically authorized by the LISD. Failure to comply with this requirement may be grounds for rejection of a Proposal, at LISD’s sole discretion. Proposers that currently have projects with LISD are allowed to discuss ongoing LISD projects with LISD staff.

2.1.11. LISD reserves the right to accept or reject any or all offers, to waive all technicalities, and to accept the Proposal or Proposals that are determined to be the most favorable to LISD.

2.1.12. LISD reserves the right to verify the accuracy and completeness of all responses by using information available to it without regard to whether such information appears in the submitted response to this solicitation. If, in the course of the solicitation process, LISD determines that a Proposer has made a material misrepresentation or omission, the Proposer may be disqualified from consideration for award.

2.1.13. LISD reserves the right to not make an award, to reissue the solicitation or to procure the goods and/or services by other means.

2.1.14. LISD reserves the right to issue addenda to this solicitation. 2.1.15. LISD reserves the right to require additional information and conduct interviews/demonstrations as it

deems necessary. 2.1.16. LISD reserves the right to negotiate any terms, conditions, or pricing with a Proposer prior to an award.2.1.17. LISD reserves the right to reject any Proposal containing exceptions to any portion of the solicitation.2.1.18. Interested Parties Disclosure – For Agreements that are valued in excess of $1,000,000 or require an action

or vote by the Leander ISD Board of Trustees, the Contractor must file a disclosure of interested parties (Form 1295) with the Texas Ethics Commission and provide a copy to the District. Form 1295 must be completed on the Texas Ethics Commission website, printed, and signed by the authorized agent of the Contractor with acknowledgment that disclosure is made under oath and under penalty of perjury. The District will submit the “Certificate of Interested Parties” to the Texas Ethics Commission within 30 days of receipt from the Contractor. If Form 1295 is required for this Agreement, the District will notify the Contractor, prior to Contract execution. 2.1.19. Proposers must have a complete Vendor Registration Profile, including associated attachments, on file with LISD prior to award. The Vendor Registration Profile is available at https://www.leanderisd.org/purchasing

under Vendor Information.

2.2. Open Records Policy

LISD is a government body subject to the Texas Public Information Act (TPIA). Proposer acknowledges that LISD is subject to the TPIA. As such, upon receipt of a request under the TPIA, LISD is required to comply with the requirements of the TPIA. For purposes of the TPIA, "public information" is defined as information that is written, produced, collected, assembled, or maintained under a law or ordinance or in connection with the transaction of official business:

1. by LISD; or2. for LISD and LISD

a. owns the information; orb. has a right of access to the information; orc. spends or contributes public money for the purpose of writing, producing, collecting,

assembling, or maintaining the information; or3. by an individual officer or employee of LISD in the officer's or employee's official capacity and the

information pertains to official business of LISD.

Proposer is expected to fully cooperate with LISD in responding to public information requests. This includes, but is not limited to, providing LISD with requested documentation. In the event that the request involves documentation that Proposer has clearly marked as confidential and/or proprietary, LISD will provide Proposer with the required notices under the TPIA. Proposer acknowledges that it has the responsibility to brief the Attorney General's Office on why the documents identified as confidential and/or proprietary fall within an exception to public disclosure. Responses submitted to LISD as a result of this solicitation are subject to release as public information after contracts are executed or the procurement is terminated.

2.3. Conflict of Interest Disclosure

2.3.1. Local Government Officials are the Superintendent, Board Members or any agent/employee of the District who exercises discretion in the planning, recommending, selection or contracting of a vendor.

2.3.2. Any individual or business entity that contracts or seeks to contract for the sale or purchase of property, goods, or services with Leander ISD must file a Conflict of Interest Questionnaire with the LISD Purchasing Office in accordance with Texas Local Government Code Chapter 176, no later than the 7th business day after the recipient becomes aware of facts that require filing.

2.3.4. Disclosure is required if:

2.3.4.1. The person has an employment or other business relationship with the local government officer or a family member resulting in the officer or family member receiving taxable income more than $2,500; or

2.3.4.2. The person has given the local government officer or family member one or more gifts (excluding food, lodging, transportation, and entertainment) that have an aggregate value of more than $100 in the twelve-month period preceding the date the officer becomes aware of an executed contract or consideration of the person for contract to do business with the district; or

2.3.4.3. The person has a family relationship with a local government officer that is either 3rd degree of consanguinity (blood) or 2nd degree affinity (marriage).

2.3.4.4. The local government officer holds an ownership interest of 1% or more in the vendor's business.

2.3.5. This requirement applies to a person who is an agent of Proposer in the Proposer's business with the District.

2.3.6. Forms, failure penalties and additional information are available at http://www.ethics.state.tx.us/filinginfo/conflict_forms.htm.

2.3.7. A Proposer commits an offense if the vendor knowingly violates Section 176.006, Local Government Code. An offense under this section is a misdemeanor.

2.3.8. If LISD learns that Proposer did not properly disclose, LISD can terminate the Contract.

2.3.9. District Employees

In reference of LISD Policies CH (Local) Purchasing and Acquisition, and DBD (Local) Employment Requirements and Restrictions, all Respondents must disclose the name of any LISD employee who owns, directly or indirectly, an interest in the Proposer’s firm or any of its branches. Failure to provide such information may be grounds for disqualification of the response or cancellation of a contract resulting from this request. Purchase of services or equipment from a business owned in whole or in part by a District employee shall be permitted only when approved by the Chief Financial Officer. Services that might be provided by the employee as an extension of the employee's regular job responsibilities shall not be considered.

2.4. Timeline

2.5. Public Opening

LISD will publicly open and read aloud the names of the Proposers. Proposers, and any other members of the public, may attend this Public Opening. The Public Opening will occur at approximately 1:45pm on the Proposal Due Date at 204 W. South Street, Leander, TX 78646. Attendees shall check in with the receptionist at the main entrance. At 1:45pm, an LISD representative will escort all present attendees to the room of the Public Opening. LISD will not allow late attendees and will not repeat the Public Opening.

SECTION THREE – EVALUATION & AWARD

3.1. Per the Government Code 2254.004, the District shall consider the following in determining demonstrated competence and qualifications and to whom the contract may be awarded for architect and/or engineering services:

The District will evaluate each response submitted to determine which firms to be included for Architectural and Engineering ("A/E") firms for our 2019 bond program and a pool of Architectural and Engineering ("A/E") firms for our routine needs. Award of contract, if made, will be to the A/E firms who receive the highest overall points based on the following criteria:

50 points Firm's Experience: The verifiable experience of successfully completed educational facilities, Texas Public School District Elementary School, Middle School, and/or High School designs, demonstrated by the A/E firm.

50 points Experience of Firm’s Personnel: The level of experience, educational, certification and licensing profiles of the principal(s) and key personnel of the A/E firm proposed for LISD projects.

40 points Innovative Design / Concepts: The A/E shall clearly demonstrate the firm's approach to innovative Texas Public School District Elementary School, Middle School, and/or High School designs.

40 points Project Approach: The A/E shall clearly demonstrate its approach to the Texas Public School District Elementary, Middle School, and/or High School designs and the construction process. The A/E must demonstrate the ability to render high quality design services required by the District.

40 points Project Budget: The A/E shall clearly demonstrate that their firm has the ability to bring projects in on budget, including change orders during construction.

40 points Project Schedule: The A/E shall clearly demonstrate their firm has a sufficient capacity of available resources to meet the schedule and program requirements of the project(s)

3.3. LISD reserves the right to conduct interviews with short-listed Proposers. LISD does not anticipate that interviews will be applicable in this process; however, LISD may do so at its sole discretion.

3.4. Award Process

3.4.1. LISD’s initial evaluation consists of verifying compliance with the minimum requirements of the solicitation. If a Proposer does not meet a minimum requirement or is otherwise rejected by LISD, then LISD will email Proposer a Non-Responsive Notification stating the reasons that LISD will not consider Proposer for award. Proposer will not be considered by LISD for points-based evaluation.

3.4.2. LISD will evaluate all Proposals that meet the minimum requirements of the solicitation and score each according to the evaluation categories and relative weights as stated in this solicitation, resulting in the Evaluation Matrix. If applicable, LISD will incorporate interviews/demonstrations/clarifications into the evaluation. The Proposers receiving the highest total score represents the best value to LISD and will be recommended for award.

3.4.3. LISD will seek approval from the LISD Board of Trustees and if approved, LISD will notify all Proposers of LISD’s award decision through an email notification. Proposers may request Award Documents by emailing the Buyer. The Award Documents will include an Award Notification and Evaluation Matrix. The Evaluation Matrix will show the names of Proposers and points awarded to each Proposer for each of the evaluation criteria listed above. The Evaluation Matrix represents the final evaluation decision of LISD.

3.4.4. LISD will attempt to negotiate an Agreement with the recommended Proposer. If a satisfactory Agreement cannot be negotiated, LISD shall formally end negotiations with that provider and attempt to negotiate a contract with the next highest evaluated Proposer. LISD shall continue this process until an Agreement is executed by both parties.

3.5. Agreement Process

3.5.1. For the pool of Consultants, an Agreement resulting from this solicitation will be drafted by LISD using the template labelled “Agreement – Resulting from RFP”. The Agreement is LISD’s formal acceptance of the Proposal, incorporating the Proposal, solicitation and any negotiated or clarified content, if applicable. LISD intends that the solicitation and Proposal comprise all of the content in the Agreement, with additions only incorporated as necessary to clarify points of negotiation. The Proposal should include all content that Proposer requires in the resulting Agreement, such that if the Proposal is acceptable to LISD, no negotiated or clarified content will be applicable.

3.5.2. The Agreement referenced in 3.5.1. is LISD’s formal acceptance of the Proposer into the awarded pool of Consultants. As LISD engages Consultant for a specific project, Consultant and LISD will develop and execute a specific contract.

3.5.3. LISD will develop and execute a specific contract for Projects listed in 1.2.6.

SECTION FOUR – STATEMENT OF WORK

4.1. The pool of Consultants may be used by LISD on an as-needed basis for various projects that arise during the term of the Agreement. As LISD has a need for these services, LISD will engage the Consultant that it deems the most highly qualified provider of those services on the basis of demonstrated competence and qualifications.

4.1.1. Once the pool is awarded, the point totals on the Evaluation Matrix may be used by LISD for reference; however, LISD is not obligated to engage firms based on the point totals. Use of any particular firm is at LISD’s sole and exclusive discretion.

4.1.2. The scope of the project may encompass multiple disciplines. LISD may choose to enter into contracts with multiple Consultants or to contract with a single Consultant for the entire project.

4.1.2.1. If a project will require that Consultant engages sub-consultants, Contractor shall disclose so to LISD and be fully responsible for the sub-consultants. LISD shall have no direct contractual relationship with any of Consultant’s sub-consultants.

4.2. LISD will attempt to negotiate a contract for a specific project with Consultant at a fair and reasonable price. If a satisfactory contract cannot be negotiated with the selected Consultant, LISD shall formally end negotiations with that Consultant, select the next most highly qualified Consultant, and attempt to negotiate a contract with that Consultant at a fair and reasonable price. LISD shall continue this process until a contract is executed by both parties.

4.3. LISD endeavors to utilize this pool of Consultants for most projects during the term of the Agreement; however, LISD reserves the right to obtain these services outside of the pool, at its sole and exclusive discretion, after LISD Board approval.

4.4. LISD will attempt to negotiate a contract for the projects listed in 1.2.6 above with an architect at a fair and reasonable price. If a satisfactory contract cannot be negotiated with the selected architect, LISD shall formally end negotiations with that architect, select the next most highly qualified architect, and attempt to negotiate a contract with that architect at a fair and reasonable price. LISD shall continue this process until a contract is executed by both parties.

SECTION FIVE – PROPOSAL FORMAT AND CONTENT

5.0. Standard Forms –Proposer shall return the following Standard Forms with their Proposal:

5.7.1. Architect/Engineer Selection Questionnaire. Questionnaire is to include the information requested in this questionnaire in the sequence and format prescribed. Each selection criteria are associated with certain questions and will be evaluated based on this sequence and format. Failure to respond in this sequence and format may result in the reduction of points and/or disqualification.

Contractor Criminal History and Fingerprinting Certification Form

Introduction: Texas Education Code Chapter 22 requires entities that contract with school districts to provide services to obtain criminal history and fingerprinting record information regarding covered employees. Contractors must certify to the District that they have complied. Covered employees with disqualifying criminal histories are prohibited from serving at a school district.

Definitions:

Covered Employees: Employees of a contractor or subcontractor who have or will have continuing duties related to the service to be performed at the District and have or will have direct contact with students. The District will be the final arbiter of what constitutes direct contact with students.

Disqualifying Criminal History: Any conviction or other criminal history information designated by the district, or one of the following offenses, if at the time of the offense, the victim was under 18 or enrolled in a public school: (a) a felony offense under Title 5, Texas Penal Code; (b) an offense for which a defendant is required to register as a sex offender under Chapter 62, Texas Code of Criminal Procedure; or (c) an equivalent offense under federal law or the laws of another state.

Direct Contact: The contact that results from activities that provide substantial opportunity for verbal or physical interaction with students that is not supervised by a certified educator or other professional district employee.
