To the Board of Directors of theNMMI Alumni Association, Inc.101 West College BoulevardRoswell, New Mexico 88201I have audited the accompanying statement of financial position of the NMMI Alumni Association, Inc. (the"Association"), a nonprofit organization, as of June 30, 2011, and the related statements of activities, functional expenses and cash flows for the year then ended. These financial statements are the responsibilityof the Association's management. My responsibility is to express an opinion on these financial statementsbased on my audit.lconducted my audit in accordance with auditing standards generally accepted in the United States ofAmerica and the standards applicable to financial audits contained in Government Auditing Standards. Those standards require that I plan and perform the audit to obtain reasonable assurance about whether thefinancial statements are free of material misstatement. An audit includes consideration of internal controlover financial reporting as a basis for designing audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the Association's internal controlover financial reporting. Accordingly, I express no such opinion. An audit includes examining, on a testbasis, evidence supporting the amounts and disclosures in the financial statements, assessing the accountingprinciples used and significant estimates made by management, as well as evaluating the overall financialstatement presentation. I believe that my audit provides a reasonable basis for my opinion. In my opinion, the financial statements referred to above present fairly, in all material respects, the financialposition of the Association as of June 30, 2011, and the changes in its net assets and its cash flows for theyear then ended in conformity with accounting principles generally accepted in the United States ofAmerica. In accordance with Government Auditing Standards, I have also issued my report dated October 18, 2011,on my consideration of the Association's internal control over financial reporting and my tests of itscompliance with certain provisions of laws, regulations, contracts and grant agreements and other matters. The purpose of that report is to describe the scope of my testing on internal control over financial reportingand compliance and the results of that testing, and not to provide an opinion on the internal-control overfinancial reporting or compliance. That report is an integral part of an audit performed in accordance withGovernment Auditing Standards and should be considered in assessing the results of my audit.

October 18,2011REPORT ON INTERNAL CONTROL OVER FINANCIAL

REPORTING AND ON COMPLIANCE AND OTHER MATTERS BASEDON AN AUDIT OF FINANCIAL STATEMENTS PERFORMED

IN ACCORDANCE WITH GOVERNMENT AUDITING STANDARDSTo the Board of Directors of theNMMI Alumni Association, Inc.101 West College BoulevardRoswell, New Mexico 88201I have audited the financial statements of the NMMI Alumni Association, Inc. ("the Association"),as of and for the year ended June 30, 2011, and have issued my report thereon dated October 18,2011. I conducted my audit in accordance with auditing standards generally accepted in the UnitedStates of America and the standards applicable to financial audits contained in Government AuditingStandards, issued by the Comptroller General of the United States.Internal Control Over Financial ReportingIn planning and performing my audit, I considered the Association's internal control over financialreporting as a basis for designing my auditing procedures for the purpose of expressing my opinionon the financial statements, but not for the purpose of expressing an opinion on the effectiveness ofthe Association's internal control over financial reporting. Accordingly, I do not express an opinionon the effectiveness of the Association's internal control over financial reporting.A deficiency in internal control exists when the design or operation of a control does not allowmanagement or employees, in the normal course of performing their assigned functions, to preventor detect and correct misstatements on a timely basis. A material weakness is a deficiency, or acombination of control deficiencies, in internal control such that there is a reasonable possibility thata material misstatement of the entity's financial statements will not be prevented or detected andcorrected on a timely basis. My consideration of internal control over financial reporting was for the limited purpose describedin the first paragraph of this section and was not designed to identify all deficiencies in internalcontrol over financial reporting that might be deficiencies, significant deficiencies, or materialweaknesses. I did not identify any deficiencies in internal control over financial reporting that Iconsider to be material weaknesses, as defined above.

Compliance and Other MattersAs part of obtaining reasonable assurance about whether the Association's financial statements arefree of material misstatement, I performed tests of its compliance with certain provisions of laws, regulations, contracts, and grant agreements, noncompliance with which could have a direct andmaterial effect on the determination of financial statement amounts. However, providing an opinionon compliance with those provisions was not an objective of my audit, and accordingly, I do notexpress such an opinion. The results of my tests disclosed no instances of noncompliance that arerequired to be reported under Government Auditing Standards. This report is intended solely for the information and use of the Board of Directors and managementof the Association and is not intended to be and should not be used by anyone other than thesespecified parties.
