1. Interpretationanddefinitions 1.1 Unless a contrary intention is evident or the context requires otherwise, words or
expressions contained in this constitution shall bear the same meaning as in theNationalHealthServicesAct2006asamendedbytheHealthandSocialCareAct2012.
1.2 Words importingthemasculinegenderonlyshall includethefemininegender;wordsimportingthesingularshallimportthepluralandvice-versa.
1.3 Inthisconstitution:
The2006Act means the National Health Service Act 2006 asmay beamendedorsubstantiallyre-enactedfromtimetotime;
The2012Act is the Health and Social Care Act 2012. “Accounting
Officer” “means the person who from time to timedischarges the functions specified in paragraph 25(5) ofSchedule7tothe2006Act”
Accountingofficer meansthepersonwhofromtimetotimedischargesthe
functions specified inparagraph25 (5) of Schedule7 tothe2006Act
AnnualMembersMeeting isdefinedinparagraph10oftheconstitutionAuditor meansthepersonappointedtoaudittheaccountsofthe
FoundationTrust,whoiscalledtheauditorinthe2006ActBoardofDirectors meanstheBoardofDirectorsasconstitutedinaccordance
withthisconstitutionConstitution meansthisconstitutionandallannexestoitCo-optedGovernor meansthosegovernorsappointedbypartnersofthe

StaffGovernor meansaGovernorelectedbythemembersofoneofthe
classesofthestaffconstituency 2. Name
2.1 The name of this foundation trust is Northumbria Healthcare NHS Foundation Trust
(theTrust). 3. Principalpurpose
3.1 The principal purpose of the trust is the provision of goods and services for the
purposesofthehealthserviceinEngland. 3.2 The trust does not fulfil its principal purpose unless, in each financial year, its total
income from the provision of goods and services for the purposes of the healthservice in England is greater than its total income from the provision of goods andservicesforanyotherpurposes.
3.3 Thetrustmayprovidegoodsandservicesforanypurposesrelatedto—
3.3.1 Theprovisionofservicesprovidedtoindividualsfororinconnectionwiththe
prevention,diagnosisortreatmentofillness,and
3.3.2 Thepromotionandprotectionofpublichealth 3.4 The trust may also carry on activities, other than those mentioned in the above
paragraph, for the purpose of making additional income available in order better tocarryonitsprincipalpurpose.
4. Powers
4.1 Thepowersofthetrustaresetoutinthe2006Act.
4.2 ThepowersofthetrustshallbeexercisedbytheBoardofDirectorsonbehalfofthe
trust. 4.3 Anyofthesepowersmaybedelegatedtoacommitteeofdirectorsortoan
executivedirector. 5. Membershipandconstituencies
5.1 The Trust shall have members, each of whom shall be a member of one of the
followingconstituencies:
5.1.1 Apublicconstituency

5.1.2 Astaffconstituency 6. Applicationformembership
6.1 An individualwho iseligible tobecomeamemberof the trustmaydosoon
applicationtothetrust. 7. PublicConstituency
7.1 An individual who lives in an area specified in Annex 1 as an area for a public
constituencymaybecomeorcontinueasamemberofthetrust. 7.2 Thoseindividualswholiveinanareaspecifiedasanareaforanypublicconstituency
arereferredtocollectivelyasthePublicConstituency. 7.3 TheminimumnumberofmembersineachareaforthePublicConstituencyis
specifiedinAnnex1. 7.4 MembershipofapublicconstituencyissubjecttoSection9(Restrictionon
membershipandTerminationofMembership). 8. StaffConstituency
8.1 Anindividualwhoisemployedbythetrustunderacontractofemploymentwiththe
trustmaybecomeorcontinueasamemberofthetrustprovided:
8.1.1 He/she isemployedbythe trustunderacontractofemploymentwhichhasnofixedtermorhasafixedtermofatleast12months;or
8.1.2 He/she hasbeen continuously employed by the trust under a contract
ofemploymentforatleast12months 8.2 Individuals who exercise functions for the purposes of the trust otherwise than
underacontractofemploymentwiththetrust,maybecomeorcontinueasmembersof the staff constituency provided such individuals have exercised these functionscontinuouslyforaperiodofatleast12months.
8.3 Those individuals who are eligible for membership of the trust by reason of thepreviousprovisionsarereferredtocollectivelyastheStaffConstituency.
8.4 The Staff Constituency shall be divided into nine descriptions of individuals who areeligible for membership of the Staff Constituency, each description of individualsbeing specified in Annex 2 and being referred to as a class within the StaffConstituency.
8.5 The minimum number of members in each class of the Staff Constituency is
specifiedinAnnex2.

8.6 Anindividualwhois:
8.6.1 eligibletobecomeamemberofthestaffConstituency;and
8.6.2 invitedbythetrusttobecomeamemberoftheStaffConstituencyanda
memberoftheappropriateclasswithintheStaffConstituency,shallbecomeamemberofthetrustasamemberoftheStaffConstituencyandappropriate class within the Staff Constituency without an applicationbeing made,unlesshe/sheinformsthetrustthathe/shedoesnotwishtodoso.
8.7 MembershipofthestaffconstituencyissubjecttoSection9(Restrictionon
membershipandTerminationofMembership). 9. RestrictiononmembershipandTerminationofmembership
9.1 An individualwho is amember of a constituency or of a classwithin a constituency,
may not whilemembership of that constituency or class continues, be amember ofanyotherconstituencyorclass.
9.2 AnindividualwhoceasestoresideinanyareaspecifiedinAnnex1shallceasetobeamemberoftheconstituency.
9.3 ApersonmaynotbecomeorcontinueasamemberoftheTrustifhe/she;
9.3.1 isunder12yearsofage;
9.3.2 isdetainedatoneofHerMajesty’sprisons;
9.3.3 hashadhis/hernameaddedtoandnotremovedfromalistpreparedunder
theSexualOffendersAct1997;
9.3.4 failsorceasestofulfilthecriteriaformembershipofanyoftheconstituencies;
9.3.5 hasbeeninvolvedinanactofviolenceagainststafforothermembersoftheTrustoranactofdamageagainstitsproperty;
9.3.6 hasbeenidentifiedasavexatiouscomplainantagainsttheTrust;
9.3.7 doesnotupholdthevaluesoftheTrust;and
9.3.8 hasbeenpreviouslyexpelledfrommembershipandhasnotbeensubsequently
re-admittedbytheCouncilofGovernors. 9.4 TheTrust’sdecisionisfinalastowhetherornotanindividualqualifiedformembership
oftheconstituency.
9
9.5 AmemberoftheTrustwillceasetobeamemberifhe/she;
9.5.1 resignsbynoticetotheMembershipOfficer;
9.5.2 failstodemonstratethattheywishtocontinueasamemberfollowingenquiries
madeinaccordancewithaprocessapprovedbytheCouncilofGovernors;
9.5.3 dies;
9.5.4 isexpelledfrommembershipbyaresolutionoftwo-thirdsoftheCouncilofGovernors.Onceexpellednopersonwillbere-admittedasamemberunlessaresolutiontothateffectisapprovedbyaresolutionofmorethanhalfoftheCouncilofGovernors.
9.6 Itistheresponsibilityofeachmembertoensurethattheyareandremaineligiblefor
membershipoftheTrustandifamemberbecomesawareoftheirineligibilitytheyshouldinformtheTrustassoonaspracticable.However,iftheTrustisonnoticethatamembermaybedisqualifiedfrommembership,theTrustshallmakereasonableenquiriestoestablishthecase.
9.7 An individualwho satisfies the criteria formembership of the Staff Constituencymay
not become or continue as a member of any constituency other than the StaffConstituency.
10. AnnualMembers’Meeting
10.1 TheTrustshallholdanannualmeetingofitsmembers(‘AnnualMembers’Meeting’).
TheAnnualMembers’Meetingshallbeopentomembersofthepublic. 11. CouncilofGovernors–composition
11.1 The trust is to have a Council of Governors, which shall comprise both elected and
appointedGovernors. 11.2 ThecompositionoftheCouncilofGovernorsisspecifiedinAnnex3.
11.3 ThemembersoftheCouncilofGovernors,otherthantheappointedmembers,shallbe
chosen by election by their constituency or, where there are classes within aconstituency, by their classwithin that constituency. The number of Governors to beelected by each constituency, or, where appropriate, by each class of eachconstituency,isspecifiedinAnnex3.
12. CouncilofGovernors-electionofGovernors 12.1 Elections for electedmembers of the Council of Governors shall be conducted in
accordancewiththeModelRulesforElections.

12.2 TheModel Rules for Elections, as published from time to timeby theDepartment ofHealth,formpartofthisconstitution.TheModelElectionRulescurrentatSeptember2018areattachedatAnnex4.
12.3 A subsequent variation of the Model Election Rules by the Department of Health
shall not constitute a variation of the terms of this constitution for the purposes ofparagraph41oftheconstitution(amendmentoftheconstitution).
12.4 Anelection,ifcontested,shallbebysecretballot.
13. CouncilofGovernors–tenure
13.1 AnelectedGovernormayholdofficeforaperiodofupto3years.
13.2 AnelectedGovernorshallbeeligibleforre-electionattheendofhis/her3-yearterm.
13.3 AnelectedGovernorshallceasetoholdoffice ifhe/sheceasestobeamemberof
theconstituencyorclassbywhichhe/shewaselected. 13.4 AnappointedGovernormayholdofficeforaperiodofupto3years.
13.5 AnappointedGovernorshallbeeligibleforre-appointmentattheendofhis/herterm.
13.6 An appointedGovernor shallceasetohold office if the appointing organisation
withdrawsitssponsorshipofhim. 14. CouncilofGovernors-disqualificationandremoval
14.1 The following may not become or continue as a member of the Council of
Governors:
14.1.1 A person who has been adjudged bankrupt or whose estate has beensequestratedand(ineithercase)hasnotbeendischarged;
14.1.2 A person in relation to whom a moratorium period under a debt relieforderapplied(underPart7AoftheInsolvencyAct);
14.1.3 Apersonwhohasmadeacompositionorarrangementwith,orgranteda
Trustdeedfor,his/hercreditorsandhasnotbeendischargedinrespectofit;
14.1.4 a personwhowithin the preceding five years has been convicted in the
British Isles of any offence if a sentence of imprisonment (whethersuspended or not) for a period of not less than three months (withouttheoptionofafine)wasimposedonhim.
14.1.5 FailstoattendthreegeneralmeetingsoftheCouncilofGovernorsina12month

period,unlesstheCouncilofGovernors issatisfiedthattheabsencesweredueto reasonable causes and that attendance at futuremeetingswill begin againimmediatelyorwithinareasonableperiodoftime.
14.1.6 Hasbeendismissedwithintheprecedingtwoyears,otherwisethanbyreasons
ofredundancy,fromemploymentwithapublicbody(paidorotherwise);
14.1.7 Is appointed as an executive or non-executive Director of the Trust or aGovernor,non-executiveDirector,ChairmanorChiefExecutiveofanotherNHSorganisation;
14.1.8 Is thespouse, partner,parentor child of a Governor;
14.1.9 IsamemberofaLocalAuthority’sScrutinyCommitteecoveringhealthmatters;
14.1.10 Is a person who is a medical practitioner and who has been removed
from the register of medical practitioners held by the General MedicalCouncil inaccordancewiththeMedicalAct1983,orhasbeensuspendedfromthatregister,andnotsubsequentlyhadhis/hernamereturnedtothatregister;
14.1.11 Isincapablebyreasonofcontinuingmentalincapacity,illnessorinjuryof
managingandadministeringhis/herpropertyandaffairs;
14.1.12 Hasrefusedtosignadeclaration intheformspecifiedbythenominatedMember’sOfficeoftheparticularsoftheirqualificationtovoteasamemberandthattheyarenotpreventedfrombeingamember;
14.1.13 Hasrefusedtoundertakewithoutreasonablecauseanytrainingthatthe
CouncilofGovernorsrequiresallGovernorstoundertake;
14.1.14 HasfailedtosignanddelivertotheNominatedOfficerastatementintheprescribedformconfirmingacceptanceoftheCodeofConductforGovernors;
14.1.15 Hasanyconflictsofinterestthatmaymakethemunsuitable
14.1.16 Fails todiscloseanyconflictof interest requiredtobedisclosed inmeetingsof
theCouncilofGovernors
14.1.17 IsapersonwhosenamehasbeenaddedtoandnotremovedfromalistpreparedundertheSexualOffencesAct1997
14.1.18 Is no longer eligible to be a member of a constituency or if appointed, that
personisnolongersponsoredbytherelevantorganisation.
14.1.19 Has had their name removed from a relevant list of medical practitionerspursuant to Paragraph 10 of the National Health Service (Performers Lists)Regulations2004orSection151ofthe2006Act(orsimilarprovisionelsewhere),andhasnotsubsequentlyhadtheirnameincludedinsuchalist

14.1.20 Is subject to disqualification under the CompanyDirectorsDisqualificationAct
1986
14.1.21 Has been convicted of an offence under the Bribery Act 2010, the modernSlaveryAct2015oracrimeinvolvingdishonesty
14.2 Governorsmust be at least 16 years of age at the date that they are nominated for
electionorappointment.
14.3 AGovernormayresign fromofficeatanytimeduringhis/her termofofficebygivingnoticeinwritingtotheChairmansuchnoticespecifyingthedateofresignation.
14.4 A Governor may be removed from office by resolution of two-thirds of governorspresentataCouncilofGovernorsGeneralMeetinginthefollowingcircumstances:
14.4.1 Foranyofthereasonslistedinsection14.1above;14.4.2 He/sheisfoundtoactinwaywhichcontravenestheCodeofConduct14.4.3 He/she acts in a way that is incompatible with the values of the Trust or is
prejudicialtothereputationoftheTrustortheNHSorfailstodischargehis/herresponsibilitiesasaGovernor.
14.5 A staff Governor who is suspended from staff duties for any reason will also be
suspendedfromtheirroleasaGovernorforthedurationoftheirsuspension.WhilstastaffGovernor is under suspension, he/she cannot attendmeetings of the Council ofGovernors in any capacity, butmissing anymeetingsof theCouncil ofGovernorswillnotcountasfailuretoattendforthepurposeof14.1.5above
15. AppointmentofaLeadGovernor
15.1 TheTrustmayappointaLeadGovernor.
15.2 ThedutiesoftheLeadGovernorshallbe:
15.2.1 To lead the Board of Governors only in circumstances where it is not
appropriate for the Chairman, the Vice-Chairman, Senior IndependentDirector or other non-executiveDirectortodoso.
15.2.2 To act as the point of contact for the regulator in circumstances where it
wouldinappropriatefortheregulatortocontacttheChairman. 15.3 TheLeadGovernorshallhavenootherdutiesunlessagreedotherwisebytheBoardof
DirectorsandtheCouncilofGovernors. 15.4 TheLeadGovernorshallnormallyholdofficeforaperiodoftwoyears

16. CasualVacancies 16.1 A casual vacancy is a vacancy that arises because aGovernor does not complete
his/herterm of office for any reason. A vacancy that arises because the termofoffice of agovernorhasexpired andhe/shehasnotbeen re-electedor re-appointedisnot a casualvacancy.
16.2 The validity of any act of theCouncil of Governors is not affected by any vacancy
amongsttheCouncilofGovernorsorbyanydefectintheappointmentofanyGovernor. 16.3 WherethereisacasualvacancyoftheCouncilofGovernorsforwhateverreason:
16.3.1 Where the vacancy is for an appointed Governor, the appointing organisation
willberequestedtoappointareplacementtoholdofficefortheremainderoftheterminaccordancewiththeagreedappointmentprocesses;and
16.3.2 WherethevacancyisforanelectedGovernor,thenexthighestpollingcandidate
atthemostrecentelectionstofilltheseatwillbeinvitedtotakeuptheseatfortheremainderoftheperiodofofficeatwhichtimehe/shemayseekre-election.
17. Indemnity
17.1 MembersoftheCouncilofGovernorswhoacthonestlyandingoodfaithwillnothaveto
meetoutoftheirpersonalresourcesanypersonalcivilliabilitywhichisincurredintheexecutionorpurported execution of their official functions, savewhere they haveacted recklessly.Anycosts arising in this way will be met by the Trust. The Trustmay purchase and maintaininsuranceagainst this liability for itsownbenefit and forthebenefit of themembersof theCouncilofGovernors.
18. Disputeresolutionprocedure18.1 The Trust is to establish a dispute resolution procedure in respect of any disputes
arisingbetweentheCouncilofGovernorsandtheBoardofDirectorsthatshallbeapprovedbyboththeCouncilofGovernorsandtheBoardofDirectors.

19. CouncilofGovernors–dutiesofGovernors 19.1 ThedutiesoftheCouncilofGovernorsassetoutintheamendmentstothe2006Act
madebythe2012Actare:
19.1.1 to hold the non-executive directors individually and collectively toaccountfortheperformanceoftheBoardofDirectors.RefertotheTermsofReferencefortheCouncilofGovernorsforfurtherdetailonthemechanismswhichenabletheNon-ExecutiveDirectorstobeheldtoaccount
19.1.2 to represent the interestsof themembersof the trust asawholeand the
interestsofthepublic 19.2 ThedutiesoftheCouncilofGovernorsassetoutinthe2006Actare:
19.2.1 To appoint or remove the chairman and the other non-executivedirectorsatageneralmeeting
19.2.2 Decide the remuneration and allowances, and the other terms andconditions of office, of the non-executive directors at a generalmeeting
19.2.3 Appointorremovetheauditoratageneralmeeting
19.2.4 Approvetheappointmentofachiefexecutive
19.2.5 Receivetheannualaccounts,anyreportoftheauditorrelatingtotheannualaccounts,andtheannualreportatageneralmeeting
19.2.6 ProvidetheirviewstotheBoardofDirectorsinrelationtotheforwardplanfortheTrust
19.2.7 Approvesignificanttransactions
19.2.8 Approvemergers,acquisitionsordissolutions
19.2.9 Considerandvoteonamendmentstotheconstitution
19.3 TheTrustmusttakestepstosecurethattheGovernorsareequippedwiththeskills
andknowledgetheyrequireintheircapacityassuch. 20. CouncilofGovernors-meetingsofGovernors
20.1 Thechairmanofthetrust(i.e.thechairmanoftheBoardofDirectors,appointedin
accordance with the provisions of paragraph 24) or, in his/her absence, the ViceChairman (appointed in accordance with the provisions of paragraph 25), shallpresideatmeetingsoftheCouncilofGovernors.
20.2 Meetings oftheCouncil of Governorsshallbe opentomembersof the public.
Membersofthepublicmaybeexcludedfromameetingforspecialreasons. 20.3 For the purposes of obtaining information about the trust’s performance of its
functions or the directors’ performance of their duties (and deciding whether

to propose a vote on the trust’s or directors’ performance), the Council ofGovernorsmayrequireoneormoreofthedirectorstoattendameeting.
20.4 ThestandingordersforthepracticeandprocedureoftheCouncilofGovernors,as
maybevariedfromtimetotime,areattachedatAnnex5. 21. CouncilofGovernors-travelexpenses
21.1 TheTrustmaypaytravellingandotherexpensestomembersoftheCouncil
ofGovernorsatratesdeterminedbytheBoardofDirectors. 22. BoardofDirectors–composition
22.1 TheTrust istohaveaBoardofDirectors,whichshallcomprisebothexecutive
andnon-executiveDirectors. 22.2 TheBoardofDirectorsistocomprise:
22.2.1 Anon-executiveDirectorChairman
22.2.2 Amaximumofeightothernon-executiveDirectors;and
22.2.3 AmaximumofeightexecutiveDirectors
22.3 TheChiefExecutiveshallbetheAccountingOfficer
22.4 OneoftheExecutiveDirectorsshallbethefinanceDirector
22.5 OneoftheExecutiveDirectorsistobearegisteredmedicalpractitionerora
registereddentist(withinthemeaningoftheDentistsAct1984). 22.6 OneoftheExecutiveDirectorsistobearegisterednurseoraregisteredmidwife.
22.7 TheBoardofDirectorsshouldincludeanappropriatecombinationofExecutiveand

32.1 The Trust Secretary will be responsible for making arrangements for additions and

33. Registers-inspectionandcopies 33.1 The Trust shall make the registers specified in paragraph 31 above available for
inspection by members of the public, except in the circumstances set out atparagraph34orasotherwiseprescribedbyregulations.
33.2 The Trust shall notmake any part of its registers available for inspection by
membersofthepublicwhichshowsdetailsof:
33.2.1 AnyothermemberoftheTrust,ifhe/shesorequests. 33.3 Sofarastheregistersarerequiredtobemadeavailable:

36. Auditcommittee 36.1 The Trust shall establish a committee of non-executive Directors as an Audit
Committee to perform such monitoring, reviewing and other functions as areappropriate.
37. Annualaccounts
37.1 TheTrustmustkeepproperaccountsandproperrecordsinrelationtotheaccounts. 37.2 MonitormaywiththeapprovaloftheSecretaryofStategivedirectionstotheTrust
astothecontentandformofitsaccounts. 37.3 TheaccountsaretobeauditedbytheTrust’sauditor 37.4 TheTrustshallprepareinrespectofeachfinancialyearannualaccountsinsuchform
asMonitormaywiththeapprovaloftheSecretaryofStatedirect. 37.5 ThefunctionsoftheTrustwithrespecttothepreparationoftheannual

(b) theirdeclarationofinterestsasrequiredunderrule11,istrueandcorrect,and
(c) theirdeclarationofeligibility,asrequiredunderrule12,istrueandcorrect.
13.2 Wherethereturnofnominationformsinanelectronicformatispermitted,thereturningofficershallspecifytheparticularsignatureformalities(ifany)thatwillneedtobecompliedwithbythecandidate.14. Decisionsastothevalidityofnomination14.1 Whereanominationformisreceivedbythereturningofficerinaccordancewiththeserules,thecandidateisdeemedtostandforelectionunlessanduntilthereturningofficer:

(b) thedeclaredinterestsofeachcandidatestanding,
asgivenintheirnominationform.
15.3 Thestatementmustlistthecandidatesstandingforelectioninalphabeticalorderbysurname.
15.4 Thereturningofficermustsendacopyofthestatementofcandidatesandcopiesofthenominationformstothecorporationassoonasispracticableafterpublishingthestatement.
16. Inspectionofstatementofnominatedcandidatesandnominationforms
16.1 Thecorporationistomakethestatementofthecandidatesandthenominationformssuppliedbythereturningofficerunderrule15.4availableforinspectionbymembersofthecorporationfreeofchargeatallreasonabletimes.
16.2 Ifamemberofthecorporationrequestsacopyorextractofthestatementofcandidatesortheirnominationforms,thecorporationistoprovidethatmemberwiththecopyorextractfreeofcharge.
17. Withdrawalofcandidates
17.1 Acandidatemaywithdrawfromelectiononorbeforethedateandtimeforwithdrawalbycandidates,byprovidingtothereturningofficerawrittennoticeofwithdrawalwhichissignedbythecandidateandattestedbyawitness.
18. Methodofelection
18.1 Ifthenumberofcandidatesremainingvalidlynominatedforanelectionafteranywithdrawalsundertheserulesisgreaterthanthenumberofmemberstobeelectedtothecouncilofgovernors,apollistobetakeninaccordancewithParts5and6oftheserules.

19. Polltobetakenbyballot
19.1 Thevotesatthepollmustbegivenbysecretballot.
19.2 ThevotesaretobecountedandtheresultofthepolldeterminedinaccordancewithPart6oftheserules.
19.3 Thecorporationmaydecidethatvoterswithinaconstituencyorclasswithinaconstituency,may,subjecttorule19.4,casttheirvotesatthepollusingsuchdifferentmethodsofpollinginanycombinationasthecorporationmaydetermine.
19.4 Thecorporationmaydecidethatvoterswithinaconstituencyorclasswithinaconstituencyforwhomane-mailaddressisincludedinthelistofeligiblevotersmayonlycasttheirvotesatthepollusingane-votingmethodofpolling.
19.5 Beforethecorporationdecides,inaccordancewithrule19.3thatoneormoree-votingmethodsofpollingwillbemadeavailableforthepurposesofthepoll,thecorporationmustsatisfyitselfthat:
(a) ifinternetvotingistobeamethodofpolling,theinternetvotingsystemtobeusedforthepurposeoftheelectionis:
(i) configuredinaccordancewiththeserules;and
(ii) willcreateanaccurateinternetvotingrecordinrespectofanyvoterwhocastshisorhervoteusingtheinternetvotingsystem;

(c) thenumberofmembersofthecouncilofgovernorstobeelectedfromthatconstituency,orclasswithinthatconstituency,
(d) thenamesandotherparticularsofthecandidatesstandingforelection,withthedetailsandorderbeingthesameasinthestatementofnominatedcandidates,
(e) instructionsonhowtovotebyallavailablemethodsofpolling,includingtherelevantvoter’svoterIDnumberifoneormoree-votingmethodsofpollingareavailable,
(f) iftheballotpaperistobereturnedbypost,theaddressforitsreturnandthedateandtimeofthecloseofthepoll,and
(g) thecontactdetailsofthereturningofficer.
20.3 Eachballotpapermusthaveauniqueidentifier.
20.4 Eachballotpapermusthavefeaturesincorporatedintoittopreventitfrombeingreproduced.
21. Thedeclarationofidentity(publicandpatientconstituencies)
21.1 Thecorporationshallrequireeachvoterwhoparticipatesinanelectionforapublicorpatientconstituencytomakeadeclarationconfirming:
(a) thatthevoteristheperson:
(i) towhomtheballotpaperwasaddressed,and/or

(ii) towhomthevoterIDnumbercontainedwithinthee-votinginformationwasallocated,
(b) thatheorshehasnotmarkedorreturnedanyothervotinginformationintheelection,and
(c) theparticularsofhisorherqualificationtovoteasamemberoftheconstituencyorclasswithintheconstituencyforwhichtheelectionisbeingheld,(“declarationofidentity”)
andthecorporationshallmakesucharrangementsasitconsidersappropriatetofacilitatethemakingandthereturnofadeclarationofidentitybyeachvoter,whetherbythecompletionofapaperform(“IDdeclarationform”)ortheuseofanelectronicmethod.
21.2 Thevotermustberequiredtoreturnhisorherdeclarationofidentitywithhisorherballot.
21.3 Thevotinginformationshallcautionthevoterthatifthedeclarationofidentityisnotdulyreturnedorisreturnedwithouthavingbeenmadecorrectly,anyvotecastbythevotermaybedeclaredinvalid.

48.1 If,atanystageofthecount,twoormorecandidateshavesurpluses,thetransferableballotdocumentsofthecandidatewiththehighestsurplusshallbetransferredfirst,andif:
(a) Thesurplusesdeterminedinrespectoftwoormorecandidatesareequal,thetransferableballotdocumentsofthecandidatewhohadthehighestrecordedvoteattheearliestprecedingstageatwhichtheyhadunequalvotesshallbetransferredfirst,and
(b) thevotescreditedtotwoormorecandidateswereequalatallstagesofthecount,thereturningofficershalldecidebetweenthosecandidatesbylot,andthetransferableballotdocumentsofthecandidateonwhomthelotfallsshallbetransferredfirst.

49.1 If:

(b) subjecttorule50,oneormorevacanciesremaintobefilled,
thereturningofficershallexcludefromtheelectionatthatstagethecandidatewiththethenlowestvote(or,whererule49.12applies,thecandidateswiththethenlowestvotes).
9.2 Thereturningofficershallsortalltheballotdocumentsonwhichfirstpreferencevotesaregivenforthecandidateorcandidatesexcludedunderrule49.1intotwosub-parcelssothattheyaregroupedas:
(a) ballotdocumentsonwhichanextavailablepreferenceisgiven,and

63. Publicityaboutelectionbythecorporation
63.1 Thecorporationmay:
(a) compileanddistributesuchinformationaboutthecandidates,and
(b) organiseandholdsuchmeetingstoenablethecandidatestospeakandrespondtoquestions,
asitconsidersnecessary.
63.2 Anyinformationprovidedbythecorporationaboutthecandidates,includinginformationcompiledbythecorporationunderrule64,mustbe:
(a) objective,balancedandfair,
(b) equivalentinsizeandcontentforallcandidates,
(c) compiledanddistributedinconsultationwithallofthecandidatesstandingforelection,and
(d) mustnotseektopromoteorprocuretheelectionofaspecificcandidateorcandidates,attheexpenseoftheelectoralprospectsofoneormoreothercandidates.

1. STATUTORYAUTHORITY 1.1. NorthumbriaHealthcareNHSFoundationTrustisapublicbenefitcorporation
establishedundertheNHSAct2006andauthorisedbyMonitoron1stAugust2006toactasanNHSFoundationTrust.
1.2. TheConstitutionrequirestheCouncilofGovernorstoadoptStandingOrdersfor
theregulationofitsproceduresandbusiness.TheseStandingOrdershavebeenagreedbytheBoardofDirectorsandtheCouncilofGovernorsandhavebeenapprovedbyMonitor.
1.3 GovernorsarerequiredtocomplywiththerequirementsoftheseStandingOrders
atalltimes. 2. INTERPRETATION
2.1 Saveaspermittedbylaw,atanymeetingtheChairmanoftheTrustshallbethe
final authority on the interpretation of Standing Orders (on which he/sheshouldbeadvisedbytheChiefExecutiveandTrustSecretary).
2.2 Words importing the masculine gender only shall include the feminine gender
andwordsimportingthesingularshallimportthepluralandvive-versa. 2.3 Any expression to which a meaning is given in the Health Service Acts or in
theRegulations or Orders made under the Acts shall have the same meaningin thisinterpretationandinaddition:
a) ACCOUNTABLE OFFICER shall be the officer responsible and
accountable for funds entrusted to the Trust. He/she shall beresponsible for ensuring the proper stewardship of public funds andassets.ForthisTrustitshallbetheChiefExecutive.
b) BOARD means the Board of Directors, formally constituted in
accordancewith this Constitution and consisting of a Chairman, andNon-executive Directors, appointed by the Council of Governors andthe Executive Directors, appointed by the Non-executive Directorsand (except for his/herownappointment)bytheChiefExecutive.
c) BUDGETshallmeanaresource,expressed in financial terms,proposed
bytheBoardforthepurposeofcarryingout, foraspecificperiod,anyorallofthefunctionsoftheTrust.
d) CHAIRMAN is the person appointed by the Council of Governors as a
Non-Executive Chairman to lead the Board of Directors, and Councilof Governors, to ensure it successfully discharges its overallresponsibilityfortheTrustasawhole.

e) CHIEFEXECUTIVEshallmeantheaccountableofficeroftheTrust.
f) COMMITTEEOFTHECOUNCILOFGOVERNORSmeansacommitteeformedbythe Council of Governors with specific Terms of Reference, chair andmembership.
g) COMMITTEE OF THE BOARDmeans a committee formed by the Boardwith
specificTermsofReference,ChairandMembership.
h) DIRECTORmeansapersonappointedtotheBoardofDirectors
i) DIRECTOR OF FINANCE shall mean the Chief Finance Officer of the TrustwhowillensurecompliancewithStandingFinancialInstructions.
j) FUNDSHELDON TRUST shallmean those fundswhich the Trust holds at its
date of incorporation, receives on distribution by statutory instrument, orchooses subsequently to accept under powers derived under Schedule 3and4para14.1cNationalHealthServiceAct2006.Suchfundsmayormaynotbecharitable.
k) GOVERNOR means a person elected or appointed to the Council of
Governors.
l) COUNCIL OF GOVERNORS means the Council of Governors, formallyconstituted in accordance with this Constitution meeting in public andpresidedoverbytheChairman.
m) MEMBER means a person registered as a member of one of the
constituenciesoftheTrustasoutlinedinthisConstitution.
n) MONITOR isthebodycorporateknownasMonitor,asprovidedbySection61of the Health and Social Care Act 2012.While the statutory body known asMonitorstillexists,theregulatorisnowreferredtoasNHSImprovement
o) MOTIONmeansaformalpropositiontobediscussedandvotedonduringthe
courseofameeting.
p) NOMINATED OFFICER means an officer charged with the responsibility fordischargingspecifictaskswithinStandingOrdersinlinewiththe2006Act.
q) NON-EXECUTIVE DIRECTOR is a person appointed by the Council of
Governors to be a member of the Board of Directors. This includes thechairmanoftheTrust.

3. COMPOSITIONOFTHECOUNCILOFGOVERNORS
3.1 ThecompositionoftheCouncilofGovernorsshallbeinaccordancewiththeTrust’s
Constitution. 3.2 RoleoftheChairman
The Chairman shall not be a member of the Council of Governors however, inaccordance with the regulatory framework; he/she will preside over meetings oftheCouncilofGovernors.
3.3 RoleoftheVice-Chairman
InrespectofmeetingsoftheCouncilofGovernors,wheretheChairmanhasdiedorhas otherwise ceased to hold office or where he/she has been unable toperform his/her duties as a Chairman owing to illness, absence from England andWales or any other cause, references to the Chairman shall, so long as there isno Chairman able to perform his/her duties, be taken to include to the Vice-Chairman.
3.4 RemovaloftheChairmanorVice-ChairmanoftheCouncilofGovernors
It shall be for the Council of Governors to determine the period of office for theChairman and Vice-Chairman, which shall normally be for a period of up to threeyears after which the Council of Governors shall review the appointment. ShouldtherebetherequirementtoremovetheChairmanorVice-ChairmanoftheCouncilofGovernorsthisshallbecarriedoutinaccordancewithSO4.9.6.
4. MEETINGSOFTHECOUNCILOFGOVERNORS
4.1 FrequencyofMeetings
TheCouncilofGovernorswillmeetinageneralmeetingonnolessthanfour

occasionseachyearattimesandplacesthattheCouncilofGovernorsmaydetermine.

4.2 DurationofMeetings
Thebusinessofmeetingswillbeconductedefficientlyandinatimelymannerandwillnotlastlongerthanthreehours.Anybusinessnotconductedwithinthreehourswillbeadjourneduntilthenextmeeting.
4.3 AdmissionofthePublicandPress
4.3.1 Meetingsshallbeopentomembersofthepublicandthepress.Membersof
thepublicandpressshallberequiredtowithdrawfromthemeetingupontheCouncilofGovernorsresolvingasfollows:
“thatrepresentativesofthepressandothermembersofthepublicbeexcludedfromtheremainderofthismeetinghavingregardtotheconfidentialnatureofbusinesstobetransacted,publicityonwhichwouldbeprejudicialtothepublicinterest.”
4.3.2 TheChairmanshallgivesuchdirectionsashe/shethinksfitinregardtothe
arrangementsformeetingsandaccommodationofthepublicandthepresssoastoensurethatthebusinessoftheCouncilofGovernorsisconductedwithoutinterruptionanddisruption.Withoutprejudicetothepowertoexcludeonthegroundsoftheconfidentialnatureofthebusinesstobetransacted,thepublicwillberequiredtowithdrawupontheCouncilofGovernorsresolvingasfollows:
“Thatintheinterestsofpublicorderthemeetingadjournfor*theperiodspecified]toenabletheCouncilofGovernorstocompletebusinesswithoutthepresenceofthepublic.”
4.3.3 TheChairmanmayexcludeanymemberofthepublicfromameetingofthe
CouncilofGovernorsiftheyareinterferingwithorpreventingthereasonableconductofthemeeting.
4.3.4 NothingintheseStandingOrdersshallrequiretheCouncilofGovernorsto
allowmembersofthepublicorpresstorecordproceedingsinanymanner,otherthaninwriting,ortomakeanyoralreportofproceedingsastheytakeplacewithouttheprioragreementoftheCouncilofGovernors.
4.3.5 TheCouncilofGovernorsmayinvitetheChiefExecutiveandDirectorsofthe
TrusttoattendanymeetingoftheCouncilofGovernorstorespondtoquestionsfromGovernorsontheaffairsoftheTrust.
4.4 CallingMeetings
Notwithstandingsection4.1above,theChairmanmaycallameetingoftheCouncilof

Governorsatanytime.IftheChairmanrefusestocallameetingafterarequisitionforthatpurpose,signedbyatleastone-thirdofthewholenumberofGovernors,hasbeenpresentedtohim,orifwithoutsorefusing,theChairmandoesnotcallameetingwithinfourteendaysaftersuchrequisitiontodoso,suchone-thirdormoreGovernorsmaycallameetingforthwith. ArequisitionfromGovernorsunderthissectionmaybesubmittedelectronicallyprovidedthatsuchrequisitionincludesthenamesandelectronicsignaturesoftheGovernorsissuingit.
4.5 NoticeofMeetings
4.5.1 BeforeeachmeetingoftheCouncilofGovernors,anoticeofthemeeting,
specifyingthebusinessproposedtobetransactedatitandsignedbytheChairmanorbyanofficeroftheTrustauthorisedbytheChairmantosignonhis/herbehalf,shallbedeliveredtoeveryGovernororsentbyposttothenormalplaceofresidenceofsuchGovernortoarriveatleastfiveclearworkingdaysbeforethemeeting.
4.5.2 LackofserviceofthenoticeonanyGovernorshallnotaffectthevalidityof
themeeting.
4.5.3 InthecaseofameetingcalledbytheGovernorsindefaultoftheChairman,thenoticeshallbesignedbythoseGovernorsandnobusinessshallbetransactedatthemeetingotherthanthatspecifiedinthenotice.
4.5.4 BeforeeachmeetingoftheCouncilofGovernorsapublicnoticeofthetime
andplaceofthemeeting,alongwiththeagenda,shallbeavailableontheTrust’swebsite,atleastsevendaysbeforethemeeting.
4.6 SettingtheAgenda
4.6.1 TheCouncilofGovernorsmaydeterminethatcertainmattersshallappearon
everyagendaforameetingoftheCouncilofGovernors.
4.6.2 AGovernorwhowishesforanitemtobeincludedonanagendaforameetingoftheCouncilofGovernorsshallmakeawrittenrequesttotheChairmanatleasttenclearworkingdaysbeforethemeeting.RequestsmadelessthantenclearworkingdaysbeforeameetingmaybeincludedontheagendasolelyatthediscretionoftheChairman.
4.6.3 TheCouncilofGovernorswillagreeanannualscheduleofworkproposedby
theBoardofDirectorstoensurethattheCouncilofGovernorsdischargetheirstatutoryresponsibilitiesasGovernors.

4.7 ChairmanoftheMeeting
4.7.1AtanymeetingoftheCouncilofGovernors,theChairman,ifpresent,shallpreside.IftheChairmanisabsentfromthemeeting,orifhe/sheisdisqualifiedfromparticipatingbecauseofadeclaredconflictofinterest,theVice-Chairman,ifhe/sheispresent,shallpreside.IfboththeChairmanandVice-Chairmanareabsentordisqualified,theCouncilofGovernorsmaychooseanappropriateindividualfromamongtheremainingnon-executiveDirectorsortheLeadGovernortopreside.
4.8 NoticeofQuestions
4.8.1 GovernorsmayasktheChairman,aNon-ExecutiveDirector,another
GovernororExecutiveDirectorquestionsaboutmatterswhicharedirectlyinrelationtoamatteroverwhichtheCouncilofGovernorshaspowersordutiesorwhichaffectstheareacoveredbytheTrust.
4.8.2 AGovernormayonlyaskaquestionunderparagraph4.8.1ifeither;
a) theyhavegivenatleast14workingdays’noticeinwritingofthequestiontotheTrustSecretary.ForthepurposesofthisStandingOrder,receiptofanysuchquestionsviaelectronicmeansisconsideredacceptable;
b) thequestionrelatestourgentmatters,theyhavetheconsentofthepersontowhomthequestionistobeputandthecontentofthequestionisgiventotheCompanySecretaryby10.00amonthedayofthemeeting(ifthemeetingisscheduledfortheafternoon)orby2.00pmontheprecedingday(ifthemeetingisscheduledforthemorning). UrgentisdefinedasamatterwhichwilladverselyaffecttheTrustwithinthenextsevendays.
4.8.3 AGovernormayaskanyquestionthroughtheChairmanwithoutnotice
uponareportfromanExecutiveDirector,orotherofficeroftheTrust,whenthatitemisbeingreceivedorunderconsiderationbytheCouncilofGovernors. UnlesstheChairmandecidesotherwisenostatementswillbemadeotherthanthosewhicharestrictlyessentialtodefinethequestion,whichshouldlastnolongerthanthreeminutes.TheChairmanmayrejectanyquestionfromanyGovernorifinhis/heropinionthequestionissubstantiallythesameasthequestionwhichhasalreadybeenputtothemeetingorapreviousmeetingoftheCouncilofGovernors.
4.8.4 Ananswermaytaketheformofadirectoralanswer;wherethe
desiredinformationisinapublicationoftheTrustorotherpublishedwork,areferencetothatpublication;wherethereplycannotconvenientlybegivenorally,awrittenanswercirculatedlatertothequestioner;orabrieforalanswersupplementedbyawrittenanswercirculatedlatertotheGovernor

whohasraisedthequestion.
4.8.5 AGovernoraskingaquestionunderparagraphs4.8.1abovemayaskonesupplementaryquestion(lastingnolongerthanthreeminutes)withoutnoticeofthepersontowhomthefirstquestionwasasked.Thesupplementalquestionmustarisedirectlyoutofthereply
4.9 NoticesofMotion
4.9.1 AGovernoroftheTrustdesiringtomoveamotionshallsendawrittennotice
thereofatleasttencleardaysbeforethemeetingtotheChairman,whoshallinsertintheagendaforthemeetingallnoticessoreceivedsubjecttothenoticebeingpermissibleundertheappropriateregulations.Thisparagraphshallnotpreventanymotionbeingmovedduringthemeeting,withoutnoticeonanybusinessmentionedontheagenda,subjecttoSO4.5.
4.9.2 Amotionoramendmentoncemovedandsecondedmaybewithdrawnby
theproposerwiththeconcurrenceoftheseconderandtheconsentoftheChairman.
4.9.3 Noticeofmotiontoamendorrescindanyresolution(orthegeneral
substanceofanyresolution),whichhasbeenpassedwithintheprecedingsixcalendarmonths,shallbearthesignatureofthemembersoftheCouncilofGovernorswhogiveitandalsothesignatureoffourothermembersoftheCouncilofGovernors.WhenanysuchmotionhasbeendisposedofbytheCouncilofGovernorsitshallnotbecompetentforanymemberoftheCouncilofGovernors,otherthantheChairman,toproposeamotiontothesameeffectwithinsixmonths.
4.9.4 Themoverofamotionshallhavearightofreplyatthecloseofany
discussiononthemotionoranyamendmentthereto.Themoverofamotionshallhavestrictlynomorethanfiveminutestomoveamotionandstrictlynomorethanthreeminutesforarightofreply.
4.9.5 Whenamotionisunderdiscussionorimmediatelypriortodiscussionitshall
beopentoamemberoftheCouncilofGovernorstomove:
a) Anamendmenttothemotion.
b) Theadjournmentofthediscussionorthemeeting.
c) Thatthemeetingproceedstothenextbusiness.

Suchamotion,ifseconded,shallbedisposedofbeforethemotionwhichwas

theGovernorspresentandvotingonthequestionwiththeexceptionofadecisiontoremovetheChairmanoranon-executiveDirectorwhichrequirestheapprovalofthree-quartersoftheGovernorspresentandvoting.
4.11.2 Inthecaseofanequalityofvotes,thepersonpresidingoverthe
meetingshallhaveasecondorcastingvote.
4.11.3 Allquestionsputtothevoteshall,atthediscretionoftheChairmanofthemeeting,bedeterminedbyoralexpressionorbyashowofhands.ApaperballotmayalsobeusedifamajorityoftheGovernorspresentsorequest.

4.13 SuspensionofStandingOrders
4.13.1 Exceptwherethiswouldcontraveneanystatutoryprovision,anyoneor

5. ARRANGEMENTSFORTHEEXERCISEOFFUNCTIONSBYDELEGATION
5.1 EmergencyPowers
5.1. ThepowerswhichtheCouncilofGovernorshasretainedtoitselfwithintheseStanding
OrdersmayinemergencybeexercisedbytheChairmanafterhavingconsultedatleastfiveelectedmembersoftheCouncilofGovernors.TheexerciseofsuchpowersbytheChairmanshallbereportedtothenextformalmeetingoftheCouncilofGovernorsforratification.
5.2 AppointmentofCommittees
5.2.1 TheCouncilofGovernorsmayappointcommitteesconsistingwhollyof
Governors.
5.2.2 TheStandingOrdersoftheCouncilofGovernors,asfarastheyareapplicable,shallapplywithappropriatealterationtomeetingsofanycommitteesorsub-committeesestablishedbytheCouncilofGovernors.
5.2.3 Eachcommitteeshallhavesuchtermsofreferenceandpowersandbe
subjecttosuchconditionsastheCouncilofGovernorsshalldetermine.SuchtermsofreferenceshallhaveeffectasifincorporatedintotheStandingOrders.

7 DECLARATIONSOFINTERESTSANDREGISTEROFINTERESTS
7.1 DeclarationofInterests
IfaGovernorhasapecuniary,personalorfamilyinterest,whetherthatinterestisactualorpotentialandwhetherthat interest isdirector indirect, inanyproposedcontractorothermatterwhichisunderconsiderationoristobeconsideredbytheCouncilofGovernors,theGovernorshalldisclosethatinteresttothemembersoftheCouncilofGovernorsassoonashe/shebecomesawareofit.
7.1.1 Interestsreferredtoin7.1whichshouldberegardedas“relevantand
material”includebutarenotrestrictedto:
a) Directorships,includingnon-executivedirectorshipsheldinlimitedcompanies(withtheexceptionofdormantcompanies);
b) Ownership,part-ownershipordirectorshipsofcompanies,businesses

7.1.2 IfGovernorshaveanydoubtabouttherelevanceofaninterest,thisshouldbediscussedwiththeChairmanorTrustSecretarywhowilladviseonwhetherornottheinterestshouldbedisclosed.
7.1.3 Fortheavoidanceofdoubt,theaboverelevantandmaterialinterestsextend
tothespouseorpartnerofaGovernoranddeclarationofsuchinterestswillberequired.
7.1.4 AtthetimeGovernors’interestsaredeclared,theyshouldberecordedinthe
minutesoftheGovernorBodymeetings. Anychangesininterestsshouldbedeclaredatthenextboardmeetingfollowingthechangeoccurring.
7.1.5 Duringthecourseofameeting,ifaconflictofinterestisestablished,the
Governorconcernedshouldwithdrawfromthemeetingandplaynopartintherelevantdiscussionordecision.
7.2 RegisterofInterests
7.2.1 TheChiefExecutivewillensure thataRegisterof Interests is established to
record formally declarations of interests of Governors. The Register willincludedetailsof alldirectorshipsandother relevantandmaterial interestswhichhavebeendeclaredbyGovernors,asdefinedinSO7.1.
7.2.2 Governorsmustnotify theTrust Secretaryof any changes to their declared
interests.SuchnotificationmustbemadetotheTrustSecretarywithinsevendaysofthechangebecomingknown.
7.2.3 TheTrustSecretarywill ensurethat suchnotificationsareentered into the
Registerwithinsevendays.
7.2.4 TheTrustSecretarywillconductanannualreviewoftheRegisterandreporttheoutcometotheCouncilofGovernors
7.2.5 TheRegisterwillbeavailableforinspectionbymembersofthepublicatthe
Trust’sheadquarters. 8. DISABILITY OF GOVERNORS IN PROCEEDINGS ON ACCOUNT OF PECUNIARY
INTEREST 8.1 Subject to the following provisions of this Standing Order, if a Governor has any
pecuniary interest, direct or indirect, in any contract, proposed contract or othermatterandispresentatameetingoftheCouncilofGovernorsatwhichthecontractorothermatter is thesubjectof consideration,he/sheshallat themeetingandassoonaspracticableafteritscommencementdisclosethefactandshallnottakepartin the consideration or discussion of the contract or othermatter or vote on anyquestionwithrespecttoit.

8.2 TheTrustshallexcludeaGovernorfromameetingoftheCouncilofGovernorswhileany contract, proposed contract or othermatter in which he/she has a pecuniaryinterest,isunderconsideration.
8.3 ForthepurposeofthisStandingOrderaGovernorshallbetreated,subjecttoSO8.4,
as having indirectly a pecuniary interest in a contract, proposed contract or othermatter,if:
o He/she, or a nominee of his/her, is a Director of a company or other body,
notbeingapublicbody,withwhichthecontractwasmadeor isproposedtobemade orwhich has adirectpecuniary interest in theothermatterunderconsideration;or
o He/she is a partner of, or is in the employment of a person with
whom thecontractwasmadeor isproposedtobemadeorwhohasadirectpecuniaryinterestintheothermatterunderconsideration;and
o in the case of married persons living together the interest of one spouse
shall, if known to the other, be deemed for the purposes of this StandingOrdertobealsoaninterestoftheother.
8.4 A Governor shall not be treated as having a pecuniary interest in any contract,
proposedcontractorothermatterbyreasononly:
o ofhis/hermembershipofacompanyorotherbody,ifhe/shehasnobeneficialinterestinanysecuritiesofthatcompanyorotherbody;
o ofaninterestinanycompany,bodyorpersonwithwhichhe/sheisconnected
as mentioned in SO 7.3 above which is so remote or insignificant that itcannot reasonably be regarded as likely to influence a director in theconsideration or discussion of or in voting on, any questionwith respect tothatcontractormatter.
8.5 WhereaGovernor:
o has an indirect pecuniary interest in a contract, proposed contract or other
matter by reason only of a beneficial interest in securities of a company orotherbody,and
o the total nominal value of those securities does not exceed 5% of the total
nominalvalueoftheissuedsharecapitalofthecompanyorbodyand
o ifthesharecapitalisofmorethanoneclass,thetotalnominalvalueofsharesofanyoneclassinwhichhe/shehasabeneficialinterestdoesnotexceedone-hundredthofthetotalissuedsharecapitalofthatclass,
o this Standing Order shall not prohibit him from taking part in the

2. THEBOARDOFDIRECTORS 2.1 AllbusinessshallbeconductedinthenameoftheTrust.2.2 AllfundsreceivedinTrustshallbeinthenameoftheTrustasCorporateTrustee. In
relation to funds held on trust, powers exercised by the Trust as Corporate TrusteeshallbeexercisedseparatelyanddistinctlyfromthosepowersexercisedasaTrust.
2.3 The Trust has the functions conferred on it by the NHS Act 2006 and by its
Authorisation.2.4 The Board of Directors is the Corporate Trustee for the Charity. Accountability for
charitable funds held on trust is to the Charity Commission and to the Secretary ofState for Health. Accountability for non-charitable funds held on trust is only toMonitor.
2.5 The Trust has resolved that certain powers and decisionsmay only be exercised or
made by the Board in formal session. These powers and decisions are set out in"Reservation of Powers to the Board" and have effect as if incorporated into theStandingOrders.
2.6 The Board of Directors will function as a unitary Board. The Board is collectively
responsible for discharging the powers and for the performance of the Trust.Executiveandnon-executiveDirectorswillhave jointresponsibility foreverydecision

oftheBoardregardlessoftheirindividualskillsorstatus.2.7 TheRoleofDirectors 2.7.1 TheroleoftheDirectorsasmembersoftheBoardistosetthedirectionofthe

2.7.2 The executive Directors will exercise their authority in accordance with the
termsoftheseStandingOrders,theTrust’sStandingFinancialInstructions,theReservationofPowerstotheBoardandtheSchemeofDelegation.
2.7.3 TheChiefExecutiveisresponsiblefortheoverallperformanceoftheexecutive
functions of the Trust. He/she is the Accounting Officer for the Trust and isresponsible forensuring that the requirementsof theNHSAccountingOfficer Memorandumaremet.
2.7.4 The ExecutiveDirector of Finance is responsible for the provision of financial
advicetotheTrustandforthesupervisionofsystemsforfinancialaccountingandcontrol.
2.7.5 The non-executive Directors will not be granted nor seek to exercise any
individual executive powers on behalf of the Trust. They may exercise authoritywhen acting asmembers of, orwhen chairing, a committee of the Trustwhichhasdelegatedpowers.
2.7.6 TheChairman is responsible for theoperationandperformanceof theBoard
andwill chairmeetingsof theBoardwhenpresent.TheChairmanhascertain delegatedpowersandmustactwithin the termsofhis/herappointment, the Standing Orders and the Standing Financial Instructions in exercising those powersandcarryingouthis/herduties.

2.13TheroleoftheSeniorIndependentDirector
2.13.1 TheSeniorIndependentDirector(‘SID’)isaroleundertakenbyoneoftheTrust’sindependentNon-ExecutiveDirectors.TheSIDshouldbeavailabletoallstakeholders,particularlygovernorsandmembers,shouldtheyhaveconcernswhichtheyfeelunabletoresolvevianormalchannels,suchasthroughcontactwiththeChairorChiefExecutive,orincircumstancesinwhichsuchcontactwouldbeinappropriate.
2.13.2TheSeniorIndependentDirectorshallmeetwiththeTrustChairatleastannuallytoevaluatehis/herperformance,aspartofaprocess,whichshouldbeagreedwiththeBoardofGovernors,forappraisingtheTrustChairandonsuchoccasionsasaredeemedappropriate.
2.14 JointDirectors WheremorethanonepersonisappointedjointlytoapostintheTrustwhichqualifies
theholderforexecutivedirectorshiporinrelationtowhichanexecutiveDirectoristobeappointed,thosepersonsshallbecomeappointedasanexecutiveDirector jointly,andshallcountasonepersonforthepurposeofStandingOrder2.9.
3 MEETINGSOFTHEBOARDOFDIRECTORS3.1 TheBoardwillmeetatsufficientintervalstoproperlydischargeitsduties.Meetingsof
theBoardwillbeheldinpublicunlesstheBoarddeterminesotherwise.3.2 Thepublicandrepresentativesofthepressshallbeaffordedtheopportunitytoattend
allformalpublicmeetingsoftheBoardofDirectorsbutshallberequiredtowithdrawupontheBoardresolvingasfollows:
3.2.1 Thatrepresentativesofthepressandothermembersofthepublicbeexcluded

3.2.3 That in the interests of public order, themeeting adjourn for (the period) to

3.3 Nothing in these Standing Orders shall require the Board to allowmembers of the
public or representatives of the press to record proceedings in any mannerwhatsoever,otherthanwriting,ortomakeanyoralreportofproceedingsastheytakeplacewithouttheprioragreementoftheBoard.
3.4 Where the public is invited to attend a meeting of the Board, the Chairman may
exclude anymember of the public from thatmeeting if they are interferingwith orpreventingtheproperandreasonableconductofthemeeting.
3.5 Attendanceatmeetingsbymembersofthepressorpublicdoesnotconferanyrightto
askquestionsor otherwiseparticipate in themeetingunless invited todo soby theChairman.
3.6 CallingMeetings 3.6.1 MeetingsoftheBoardshallbeheldatsuchtimesandplacesastheBoardmay
determine.
3.6.2 The Chairmanmay call ameeting of the Board at any time. If the Chairmanrefusestocallameetingafterarequisitionforthatpurpose,signedbyatleastone-thirdof thewholenumberofDirectors,hasbeenpresented tohim,or ifwithout so refusing, the Chairmandoes not call ameetingwithin seven daysaftersuchrequisitionhasbeenpresentedtohim,attheTrust’sHeadquarters,suchonethirdormoreDirectorsmayforthwithcallameeting.
3.7 NoticeofMeetings 3.7.1 Before each meeting of the Board, a notice of the meeting, specifying the
businessproposedtobetransactedatit,andsignedbytheChairmanorbyanofficeroftheTrustauthorisedbytheChairmantosignonhis/herbehalfshallbedeliveredtoeveryDirector,orsentbyposttotheusualplaceofresidenceofsuch Director, so as to be available to him at least five clear working days

beforethemeeting.
3.7.2 Lack of service of thenotice on anyDirector shall not affect the validity of ameeting.
3.7.3 In the case of a meeting called by Directors in default of the Chairman, the
noticeshallbesignedbythoseDirectorsandnobusinessshallbetransactedatthemeetingotherthanthatspecifiedinthenotice.
3.7.4 FailuretoservesuchanoticeonmorethanthreeDirectorswill invalidatethe
meeting.Anoticeshallbepresumedtohavebeenservedatthetimeatwhichthenoticewouldbedeliveredintheordinarycourseofthepost.
3.7.5 Apublicnoticeofthetimeandplaceofthemeetingshallbedisplayedonthe
Trust'swebsiteatleastfiveworkingdaysbeforethemeeting.3.7.6 Beforeholdingameeting,theBoardofDirectorswillsendacopyoftheagenda
ofthemeetingtotheCouncilofGovernors.Assoonaspracticableafterholdinga meeting, the Board of Directors must send a copy of the minutes of themeetingtotheCouncilofGovernors.
3.8 SettingtheAgenda 3.8.1 TheBoardmaydetermine that certainmatters shall appear on every agenda
forameetingoftheBoardandshallbeaddressedpriortoanyotherbusiness beingconducted.
3.8.2 A director desiring amatter to be included on an agenda shallmake his/her
request inwriting to theChairmanat least tenclearworkingdaysbefore the meeting, subject to Standing Order 3.6. Requests made less than ten days before a meeting may be included on the agenda at the discretion of the Chairman.
3.9 ChairmanofMeeting 3.9.1 At any meeting of the Board, the Chairman, if present, shall preside. If the
Chairman is absent from themeeting the Vice-Chairman, if there is one andhe/sheispresent,shallpreside.IftheChairmanandVice-Chairmanareabsentsuchnon-executiveDirectorastheDirectorspresentshallchooseshallpreside.
3.9.2 If the Chairman is absent from a meeting temporarily on the grounds of a
declaredconflictof interesttheVice-Chairman, ifpresent,shallpreside. If theChairmanandVice-Chairmanareabsent,oraredisqualifiedfromparticipating,suchnon-executiveDirectorastheDirectorspresentshallchooseshallpreside.

3.10 AnnualMembersMeeting 3.10.1 The Trustwill publicise and hold an annualmembersmeeting, in accordance
withthetermsoftheConstitution.3.11 NoticesofMotion 3.11.1 A Director desiring to move or amend a motion shall send a written notice
thereofat leasttencleardaysbeforethemeetingtotheChairman,whoshallinsertintheagendaforthemeetingallnoticessoreceivedsubjecttothenoticebeingpermissibleunder the appropriate regulations. This paragraph shall notprevent anymotion beingmoved during themeeting,without notice on anybusinessmentionedontheagendasubjecttoStandingOrder3.6.
3.12 WithdrawalofMotionorAmendments A motion or amendment once moved and seconded may be withdrawn by the
proposerwiththeconcurrenceoftheseconderandtheconsentoftheChairman.3.13 MotiontoRescindaResolution Noticeofmotiontoamendorrescindanyresolution(orthegeneralsubstanceofany
resolution)whichhasbeenpassedwithintheprecedingsixcalendarmonthsshallbearthe signature of the Director(s) who gives it and also the signature of four otherDirectors. WhenanysuchmotionhasbeendisposedofbytheBoard, itshallnotbecompetentforanyDirectorotherthantheChairmantoproposeamotiontothesameeffectwithinsixmonths
3.14 Motions 3.14.1 Themoverofamotionshallhavearightofreplyatthecloseofanydiscussion
onthemotionoranyamendmentthereto. 3.14.2 Whenamotionisunderdiscussionorimmediatelypriortodiscussionitshallbe

3.15 Chairman’sRuling StatementsofDirectorsmadeatmeetingsoftheBoardshallberelevanttothematter
underdiscussionatthematerialtimeandthedecisionoftheChairmanofthemeetingonquestionsoforder,relevance,regularityandanyothermattersshallbeobservedatthemeeting.
3.16 Voting 3.16.1 Everyquestionatameetingshallbedeterminedbyamajorityofthevotesof
the Directors present and voting on the question and, in the case of anyequality of votes, the person presiding shall have a second or casting vote.
3.16.2 Thearrangements for thecastingofvotesby jointDirectors is setout in3.17 below
3.16.3 All questions put to the vote shall, at the discretion of the Chairman of the
meeting, be determined by oral expression or by a show of hands. A paper ballotmayalsobeusedifamajorityoftheDirectorspresentsorequest.
3.16.4 Ifatleastone-thirdofthevotingDirectorspresentsorequest,thevoting(other
than by paper ballot) on any question may be recorded to show how eachDirectorpresentvotedorabstained.
3.16.5 IfaDirectorsorequests,his/hervoteshallberecordedbynameuponanyvote
(otherthanbypaperballot). 3.16.6 InnocircumstancesmayanabsentDirectorvotebyproxy.Absenceisdefined
asbeingabsentatthetimeofthevote. 3.16.7 An officer who has been appointed formally by the Board to act up for an
executive Director during a period of incapacity or temporarily to fill anexecutiveDirectorvacancy,shallbeentitledtoexercisethevotingrightsoftheexecutive Director. An officer attending the Board to represent an executiveDirector during a period of incapacity or temporary absence without formalactingupstatusmaynotexercisethevotingrightsoftheexecutiveDirector.Anofficer’sstatuswhenattendingameetingshallberecordedintheminutes.
3.16.8 CorporateDirectorsontheBoardofDirectorswillhavenoformalvotingrights
on a decision nor the personal accountabilities associated with full Boardmembership.
3.16.9 Noresolutionshallbepassedifitisopposedbyallthenon-executiveDirectors
presentorbyalloftheexecutiveDirectorspresent.

3.17 Joint Directors - Where a post of executive Director is shared by more than one
person: 3.17.1 BothpersonsshallbeentitledtoattendmeetingsoftheTrust; 3.17.2 Either of those persons shall be eligible to vote in the case of agreement
betweenthem; 3.17.3 Inthecaseofdisagreementbetweenthemnovoteshouldbecast; 3.17.4 Thepresenceofeitherorbothofthosepersonsshallcountasonepersonfor
thepurposesofdeterminingthequorumofthemeeting.3.18 Minutes 3.18.1TheMinutesoftheproceedingsofameetingshallbedrawnupandsubmitted
for agreement at thenext ensuingmeetingwhere theywill be signedby the personpresidingatit.
3.18.2 Nodiscussionshalltakeplaceupontheminutesexceptupontheiraccuracyor
wheretheChairmanconsidersdiscussionappropriate.Anyamendmenttotheminutesshallbeagreedandrecordedatthenextmeeting.
3.18.3 Minutes shall be circulated in accordance with the wishes of the Board and
madeavailabletothepublic.3.19 SuspensionofStandingOrders 3.19.1 Exceptwhere thiswould contravene any statutory provision or any direction
madebyMonitor,anyoneormoreoftheStandingOrdersmaybesuspended at any meeting, provided that at least two-thirds of the Board are present, including one executive Director and one non-executive Director, and that a majorityofthosepresentvoteinfavourofsuspension.
3.19.2 AdecisiontosuspendStandingOrdersshallberecordedintheminutesofthe
meeting. 3.19.3 A separate record of matters discussed during the suspension of Standing
OrdersshallbemadeandshallbeavailabletotheDirectors. 3.19.4 NoformalbusinessmaybetransactedwhileStandingOrdersaresuspended. 3.19.5 TheAuditCommitteeshallrevieweverydecisiontosuspendStandingOrders.

3.20 VariationandAmendmentofStandingOrders 3.20.1 TheseStandingOrdersshallbeamendedonlyif: AnoticeofmotionunderStandingOrder3.11hasbeengiven; No fewer than half the total of the Trust’s non-executive Directors vote in
favourofamendment; Atleasttwo-thirdsofthevotingDirectorsarepresent; Thevariationproposeddoesnotcontraveneastatutoryprovisionorprovisionof
theauthorisationoroftheConstitution3.21 RecordofAttendance ThenamesoftheDirectorspresentatthemeetingshallberecordedintheminutes.3.22 Quorum 3.22.1 NobusinessshallbetransactedatameetingoftheBoardunlessatleastone-
thirdofthewholenumberofthevotingDirectorsarepresentincludingatleastoneexecutiveDirectorandonenon-executiveDirector.
3.22.2 AnofficerinattendanceforanexecutiveDirectorbutwithoutformalactingup
statusmaynotcounttowardsthequorum. 3.22.3 If aDirectorhasbeendisqualified fromparticipating in thediscussiononany
matterand/orfromvotingonanyresolutionbyreasonofthedeclarationofaconflictof interest (seeStandingOrder6and7)he/she shallno longer counttowardsthequorum.Ifaquorumisthennotavailableforthediscussionand/orthe passing of a resolution on anymatter, thatmattermay not be discussedfurtherorvoteduponatthatmeeting.Suchapositionshallberecordedintheminutesofthemeeting.Themeetingmustthenproceedtothenextbusiness.Theaboverequirementforat leastoneexecutiveDirectortoformpartofthequorum shall not apply where the executive Directors are excluded from ameeting(forexample,whentheBoardconsiderstherecommendationsoftheRemunerationandTermsofServiceCommittee).
3.22.4 TheChairmanmayadjournameetingoftheBoardif a quorum is either not
presentwithinthirtyminutesoftheappointedtimeofcommencementorisnotmaintainedforthedurationofthemeeting.
4. ARRANGEMENTSFORTHEEXERCISEOFFUNCTIONSBYDELEGATION4.1 GeneralProvision

Subject to a provision in the authorisationor theConstitution, theBoardmaymakearrangements for the exercise, on behalf of the Trust, of any of its functions by acommitteeorsub-committee,appointedbyvirtueofSO5beloworbyaDirectororanofficeroftheTrustineachcasesubjecttosuchrestrictionsandconditionsastheBoardthinksfit.
4.2 EmergencyPowers ThepowerswhichtheBoardhasretainedtoitselfwithintheseStandingOrders(SO2)
mayinemergencybeexercisedbytheChiefExecutiveandtheChairmanafterhavingconsulted at least two non-executive Directors. The exercise of such powers by theChiefExecutiveandtheChairmanshallbereportedtothenextformalmeetingoftheBoardforratification.
4.3 DelegationtoCommittees TheBoardshallagreefromtimetotimetothedelegationofexecutivepowerstobe
exercised by committees or sub-committees, which it has formally constituted. Theconstitutionandtermsofreferenceofthesecommittees,orsub-committees,andtheirspecificexecutivepowersshallbeapprovedbytheBoard.
4.4 DelegationtoOfficers–SchemeofDelegationandReservationofPowers 4.4.1 ThosefunctionsoftheTrustwhichhavenotbeenretainedasreservedbythe
Board or delegated to an executive committee or sub-committee shall beexercised on behalf of the Board by the Chief Executive. The Chief Executiveshall determine which functions he/she will perform personally and shallnominateofficers toundertake the remaining functions forwhichhe/shewillstillbeaccountabletotheBoard.
4.4.2 The Chief Executive shall prepare a Scheme of Delegation identifying his/her
proposalswhichshallbeconsideredandapprovedbytheBoard,subjecttoanyamendmentagreedduringthediscussion.TheChiefExecutivemayperiodicallypropose amendment to the Scheme of Delegationwhich shall be consideredandapprovedbytheBoardasindicatedabove.
4.4.3 Nothing in the Scheme of Delegation shall impair the discharge of the direct
accountability to the Board or the Director of Finance or other executiveDirectorstoprovide informationandadvisetheBoard inaccordancewithanystatutoryrequirements.
4.4.4 ThearrangementsmadebytheBoardassetoutinthe"ReservationofPowers
totheBoardandDelegationofPowers"shallhaveeffectas if incorporated intheseStandingOrders.

5. COMMITTEES5.1 AppointmentofCommittees 5.1.1 SubjecttoSO2andsuchdirectionsasmaybegivenbytheregulator,theTrust
mayand, ifdirectedbyhim,shallappointcommitteesof theTrust,consistingwholly or partly of Directors of the Trust or wholly of persons who are notDirectorsoftheTrust.
5.1.2 AcommitteeappointedunderSO5.1.1may,subjecttosuchdirectionsasmay
be given by the regulator or the Board appoint sub-committees consistingwholly or partly ofmembers of the committee (whether or not they includeDirectorsoftheTrust)orwhollyofpersonswhoarenotmembersoftheBoardcommittee(whetherornottheyincludeDirectorsoftheTrust).
5.1.3 TheStandingOrdersoftheBoard,asfarastheyareapplicable,shallapplywith
appropriate alteration to meetings of any committees or sub-committeeestablishedbytheBoard.
5.1.4 Eachsuchcommitteeorsub-committeeshallhavesuchtermsofreferenceand
powersandbesubjecttosuchconditions,astheBoardshalldecide.SuchtermsofreferenceshallhaveeffectasifincorporatedintotheStandingOrders.
5.1.5 Committees may not delegate their executive powers to a sub-committee
unlessexpresslyauthorisedbytheBoard. 5.1.6 TheBoardshallapprovetheappointmentstoeachofthecommitteeswhichit
has formally constituted.Where theBoarddetermines thatpersons,whoareneitherDirectorsnorofficers,shallbeappointedtoacommittee,thetermsofsuchappointmentshallbedeterminedbytheBoard.
5.1.7 Where the Board is required to appoint persons to a committee and/or to
undertakestatutoryfunctionsasrequiredbytheSecretaryofStateorMonitor,andwheresuchappointmentsaretooperate independentlyoftheTrustsuchappointmentshallbemadeinaccordancewiththeregulationslaiddownbytheSecretaryofState.
5.1.8 Without prejudice to the formation of any other committees or sub-
committees as the Board may see fit, the following committees shall beestablishedbytheBoard:

5.2 Confidentiality
5.2.1 Amemberofacommitteeshallnotdiscloseamatterdealtwithby,orbroughtbefore, the committeewithout its permission until the committee shall havereportedtotheBoardorshallotherwisehaveconcludedonthatmatter.
5.2.2 A Director of the Trust or a member of a committee shall not disclose any
matter reported to the Board or otherwise dealt with by the committee,notwithstanding that the matter has been reported or action has beenconcluded,iftheBoardorcommitteeshallresolvethatitisconfidential.
6. DECLARATIONSOFINTERESTSANDREGISTEROFINTERESTS6.1 DeclarationofInterests 6.1.1 IfaDirectorhasapecuniary,personalorfamilyinterest,whetherthatinterest
is actual or potential and whether that interest is direct or indirect, in anyproposed contract or other matter which is under consideration or is to beconsideredbytheBoard,theDirectorshalldisclosethat interesttotheBoardassoonashe/shebecomesawareofit.
6.1.2 Interestswhichshouldberegardedas"relevantandmaterial"are:
a) Directorships,includingnon-executivedirectorshipsheldinlimitedcompanies(withtheexceptionofdormantcompanies);
b) Ownership,part-ownershipordirectorshipsofcompanies,businessesorconsultanciesthatcarryoutorarelikelytocarryoutbusinesswiththeTrust;
c) MajorityorcontrollingshareholdingsinanorganisationthatcarriesoutbusinesswiththeTrustorislikelytocarryoutbusinesswiththeTrust;
d) ApositionofauthorityinacharityorvoluntaryorganisationinthefieldofhealthorsocialcarethatcarriesoutbusinesswiththeTrustorislikelytocarryoutbusinesswiththeTrust;
e) Anyconnectionwithavoluntaryorotherorganisation contractingorlikelytocontractforTrustservices; f) Totheextentnotcoveredabove,anyconnectionwithan organisation,entityorcompanyconsideringenteringintoor havingenteredintoafinancialarrangementwiththeTrust, includingbutnotlimitedto,lendersorbanks.
6.1.3 IfDirectorshaveanydoubtabouttherelevanceofaninterest,this
shouldbediscussedwiththeChairman. 6.1.4 AtthetimeDirectors'interestsaredeclared,theyshouldbe
recordedintheboardminutes.Anychangesininterestsshouldbe declaredatthenextboardmeetingfollowingthechangeoccurring.

6.1.5 Boarddirectors'directorshipsofcompanieslikelyorpossiblyseekingto
dobusinesswiththeNHSshouldbepublishedintheboard'sannual report.
6.1.6 Duringthecourseofaboardmeeting,ifaconflictofinterestis
established,theDirectorconcernedshouldwithdrawfromthemeeting andplaynopartintherelevantdiscussionordecision.
6.2 RegisterofInterests 6.2.1 The Chief Executive will ensure that a Register of Interests is established to
recordformallydeclarationsof interestsofDirectors.TheRegisterwill includedetailsofalldirectorshipsandotherrelevantandmaterialinterestswhichhavebeendeclaredbyDirectors,asdefinedinSO6.1.
6.2.2 Directors must notify the Trust Secretary of any changes to their declared
interests. Such notification must be made to the Trust Secretary within ten daysofthechangebecomingknown.
6.2.3 The Trust Secretary will ensure that such notifications are entered into the
Registerwithinsevendays. 6.2.4 The Trust Secretary will conduct an annual review of the Register and will
reporttheoutcometotheBoard. 6.2.5 The Register will be available for inspection by the public at the Trust’s
headquarters.7. DISABILITYOFDIRECTORSINPROCEEDINGSONACCOUNTOFPECUNIARYINTEREST7.1 Subject to the following provisions of this Standing Order, if a Director has any
pecuniary interest, direct or indirect, in any contract, proposed contract or othermatterandispresentatameetingoftheBoardatwhichthecontractorothermatteristhesubjectofconsideration,he/sheshallatthemeetingandassoonaspracticableafteritscommencementdisclosethefactandshallnottakepartintheconsiderationordiscussionofthecontractorothermatterorvoteonanyquestionwithrespecttoit.
7.2 The Board shall exclude aDirector from ameeting of the Boardwhile any contract,
proposedcontractorothermatter inwhichhe/shehasapecuniary interest, isunderconsideration.
7.3 ForthepurposeofthisStandingOrderaDirectorshallbetreated,subjecttoSO7.4,as
havingindirectlyapecuniaryinterestinacontract,proposedcontractorothermatter,if:

He/she,oranomineeofhis/her,isadirectorofacompanyorotherbody,notbeingapublicbody,withwhichthecontractwasmadeorisproposedtobemadeorwhichhasadirectpecuniaryinterestintheothermatterunderconsideration;or
He/she is a partner of, or is in the employment of a personwithwhom thecontractwasmadeor isproposed tobemadeorwhohasadirectpecuniaryinterestintheothermatterunderconsideration;and
inthecaseofmarriedpersonslivingtogethertheinterestofonespouseshall,ifknowntotheother,bedeemedforthepurposesofthisStandingOrdertobealsoaninterestoftheother.
7.4 ADirectorshallnotbetreatedashavingapecuniaryinterestinanycontract,proposed
contractorothermatterbyreasononly:
ofhis/hermembershipofacompanyorotherbody,ifhe/shehasnobeneficialinterestinanysecuritiesofthatcompanyorotherbody;
of an interest in any company, body or person with which he/her is connected asmentionedinSO7.3abovewhichissoremoteorinsignificantthatitcannotreasonablyberegardedaslikelytoinfluenceadirectorintheconsiderationordiscussionoforinvotingon,anyquestionwithrespecttothatcontractormatter.
7.5 WhereaDirector:
hasanindirectpecuniaryinterestinacontract,proposedcontractorothermatterbyreasononlyofabeneficialinterestinsecuritiesofacompanyorotherbody,and
the total nominal valueof those securities doesnot exceed5%of the total nominalvalueoftheissuedsharecapitalofthecompanyorbody,and
ifthesharecapitalisofmorethanoneclass,thetotalnominalvalueofsharesofanyone class inwhich he/her has a beneficial interest does not exceed 5% of the totalissuedsharecapitalofthatclass,
7.6 StandingOrder7appliestoacommitteeorsub-committeeoftheBoardasitappliesto
theBoarditselfandappliestoanymemberofanysuchcommitteeorsub-committee(whetherornothe/herisalsoaDirectoroftheTrust)asitappliestoaDirectoroftheTrust.
8. STANDARDSOFBUSINESSCONDUCT8.1 AllstaffmustcomplywiththerequirementsoftheTrust’sPolicyonBusinessConduct
andEthicalStandardsforCommercialSponsorship.Thefollowingprovisionsshouldbereadinconjunctionwiththisdocument.
8.2 If itcomestotheknowledgeofaDirectororanofficeroftheTrustthatacontractin

which he/her has any pecuniary interest not being a contract to which he/her ishimselfaparty,hasbeen,orisproposedtobe,enteredintobytheTrusthe/hershall,at once, give notice in writing to the Chief Executive of the fact that he/her isinterested therein. In the case of married persons [or persons] living together aspartners,theinterestofonepartnershall,ifknowntotheother,bedeemedtobealsotheinterestofthatpartner.
8.3 AnofficermustalsodeclaretotheChiefExecutiveanyotheremploymentorbusiness
or other relationship of his/her, or of a cohabiting spouse, that conflicts, or mightreasonablybepredictedcouldconflictwiththeinterestsoftheTrust.
8.4 The Chief Executive will ensure that the interests, employment or relationships
declared by staff shall be entered in a register of interests of staff. The Register ofInterestsofStaffwillbemaintainedbytheTrustSecretary.
8.5 CanvassingofDirectorsoftheTrustormembersofanycommitteeoftheTrustdirectly
or indirectly for any appointment under the Trust shall disqualify the candidate forsuch appointment. The contents of this paragraph of the Standing Order shall beincludedinapplicationformsorotherwisebroughttotheattentionofcandidates.
8.6 ADirectoroftheTrustshallnotsolicitforanypersonanyappointmentundertheTrust
or recommendanyperson forsuchappointment:but thisparagraphof thisStandingOrder shall not preclude a Director from giving written testimonial of a candidate'sability,experienceorcharacterforsubmissiontotheTrust.
8.7 Informaldiscussionsoutsideappointmentspanelsorcommittees,whethersolicitedor
unsolicited,shouldbedeclaredtothepanelorcommittee.8.8 Candidatesforanystaffappointmentshallwhenmakingapplicationdiscloseinwriting
whether theyarerelatedtoanydirectoror theholderofanyofficeunder theTrust.Failure to disclose such a relationship shall disqualify a candidate and, if appointed,renderhimliabletoinstantdismissal.
8.9 TheDirectors andeveryofficerof theTrust shall disclose to theChief Executive any
relationshipwithacandidateofwhosecandidaturethatdirectororofficerisaware.Itshall be the duty of the Chief Executive to report to the Trust any such disclosuremade.
8.10 Onappointment,Directors(andpriortoacceptanceofanappointmentinthecaseof
executiveDirectors)shoulddisclosetotheTrustwhethertheyarerelatedtoanyotherDirectororholderofanyofficeundertheTrust.
8.11 Where the relationshipof anofficeror anotherdirector toaDirectorof theTrust is
disclosed,theStandingOrderheaded`DisabilityofDirectorsinproceedingsonaccountofpecuniaryinterest’(SO7)shallapply.

9. CUSTODYOFSEALANDSEALINGOFDOCUMENTS9.1 TheCommonSealoftheTrustshallbekeptbytheTrustSecretaryinasecureplace.9.2 TheSealoftheTrustshallnotbefixedtoanydocumentsunlessthesealinghasbeen
authorisedbyaresolutionoftheBoard,orofacommitteethereof,orwheretheBoardhasdelegateditspowers.
9.3 Before any building, engineering, property or capital document is sealed itmust be
approvedandsignedbytheDirectorofFinance(oranofficernominatedbyhim)andauthorisedandcountersignedbytheChiefExecutive(oranofficernominatedbyhimwhoshallnotbewithintheoriginatingdirectorate).
9.4 An entry of every sealing shall be made and numbered consecutively in a book
providedforthatpurpose,andshallbesignedbythepersonswhoshallhaveapprovedandauthorisedthedocumentandthosewhoattestedtheseal.AreportofallsealingshallbemadetotheTrustat leastquarterly. (Thereportshallcontaindetailsof thesealnumber,thedescriptionofthedocumentanddateofsealing).
10. SIGNATUREOFDOCUMENTS10.1 Where the signature of any documentwill be a necessary step in legal proceedings
involving the Trust, it shall be signed by the Chief Executive, unless any enactmentotherwiserequiresorauthorises,ortheBoardshallhavegiventhenecessaryauthoritytosomeotherpersonforthepurposeofsuchproceedings.
10.2 The Chief Executive or nominated officers shall be authorised, by resolution of the
Board,tosignonbehalfoftheTrustanyagreementorotherdocument(notrequiredtobeexecutedasadeed)thesubjectmatterofwhichhasbeenapprovedbytheBoardor committee or sub-committee to which the Board has delegated appropriateauthority.
11. MISCELLANEOUS 11.1 ItisthedutyoftheChiefExecutivetoensurethatexistingDirectorsandofficersandall
newappointees are notified of andunderstand their responsibilitieswithin StandingOrders and SFIs. Updated copies shall be issued to staff designated by the ChiefExecutive. New designated officers shall be informed in writing and shall receivecopieswhereappropriateofSOs.
11.2 StandingFinancialInstructionsandReservationofPowerstotheBoardandDelegation
ofPowersshallhavetheeffectasifincorporatedintoStandingOrders.11.3 StandingOrdersshallbereviewedannuallybytheTrust.Therequirementforreview
extendstoalldocumentshavingtheeffectasifincorporatedinStandingOrders.
