Preamble

At the time of the Event and in that context, Arctic Race of Norway AS(ARN) offers Businesses and/or Local Authorities (the Customer) publicrelations services (the Services) in an area (the Reception Area) that isnot open to the public (the Program). The Customer wishes to purchasethe Services described in the Commercial Offer. For this purpose, ARNand the Customer (hereinafter the Parties) have decided to enter intoan agreement for the provision of public relations services (hereinafterthe Agreement).

In descending order of precedence, the Agreement consists of theorder form (hereinafter the Order Form), of these general conditions ofsale of public relations services (hereinafter the General Conditions)and of the Commercial Offer, which together form an indivisible whole.In the event of contradiction between the contractual documents, theOrder Form will prevail over the General Conditions.

The Agreement, of which this Preamble forms an integral part, governsthe relationship between the Parties as regards the subject-matter ofthis Agreement, to the exclusion of any other document or agreement,whether in writing or oral; it also replaces any oral or writtenagreement exchanged between the Parties prior to the conclusion ofthis Agreement and relating to its subject-matter.

2. Price and terms of payment

2.1 In consideration of the Services, the Customer will pay ARN thefixed sum stipulated in the Order Form in NOK. This sum will be subjectto VAT at the rate in force, or to any other tax that may be payable onthe date of payment.The whole payment must be made in NOK inclusive of taxes uponsubscription, accompanied by the Order Form and by the GeneralConditions, initialled and signed.

2.2 Any payment delay or default will constitute a breach by theCustomer unless it can prove the existence of an event of forcemajeure, and will automatically result in the immediate termination ofthe Agreement without judicial formality, without prejudice to anydamages.

2.3 The Customer will not be entitled to claim any compensation orfinancial payment in the event that, for any reason, all or part of theServices are not used.

3. ARN’s obligations

ARN undertakes to provide the Customer with the Services, whetherdirectly or through the third party services providers to which it mayhave entrusted all or part of the Services.The Reception Area will be arranged and made available to theCustomer in accordance with the provisions of the Order Form.

4. The Customer’s obligations

4.2.1 Access to the Reception Area

No invitation issued by the Customer may be regarded as valid foraccess to the Program or to the Event. Only persons wearing awristband issued by ARN may access the Reception Area.

The Customer and its guests, employees, officers and/or agents (thePersons) agree to be filmed and/or photographed and to have theirimage thus reproduced freely exploited by ARN or its licensees orassignees during the broadcast and promotion of the Program and ofthe Event.

ARN reserves the right to refuse any person access to the ReceptionArea or to expel them from the Reception Area, if their behaviour islikely to embarrass other Customers or to disrupt the proper running ofthe Program or of the Event.

4.2.2 The Customer must ensure that it and the Persons comply withthe following provisions:The exploitation of photos or films representing all or part the Programor the Event, in any form and for whatever purpose other than forstrictly private purposes, is prohibited;The distribution and/or sale to the Persons and/or to any third partiesof any products and/or services in the Reception Area, and moregenerally at the Event, is prohibited;The deployment within the Reception Area or at the Event of any signssuch as advertising streamers, billboards, clothing, or voluminousobjects of an advertising nature bearing any brand, is prohibited.

4.2.3 The Customer undertakes not to sell, lease, share, lend and/orsub-lease all or part of the Reception Area to any person and/or thirdparty, whether for valuable consideration or free of charge.

5. Secrecy and confidentiality

The Customer undertakes not to make any statement that mightundermine the image of ARN, of the Event or of the Program.The Customer undertakes to observe strict confidentiality and to refrainfrom disclosing to any person, for any reason whatever, any informationthat might come to its attention pursuant to this Agreement in relationto the Event, or, more generally, ARN.

Any references to the Program and to the Event, and any use by theCustomer of the Event’s and/or if applicable of the Program’s logo or ofany other distinctive sign relating to the Event or to ARN, or any use ofterms such as “Supplier”, “Partner” or “Sponsor” of the Event or of theProgram, are strictly prohibited. Breach of this provision may result inthe immediate termination of this Agreement and in the immediatepayment of fixed compensation equal to 1/10th of the sums stipulated inthe Agreement, without prejudice to any additional compensation thatARN might claim to compensate the losses incurred.

However, if necessary, the Customer may refer to the Program in orderto publish invitations, on condition that it submits a mock-up thereoffor ARN’s prior agreement in writing.

6. Liability of the Customer and insurance

Throughout the term of the Agreement, the Customer will be liable forits acts or those of the Persons within the Reception Area or where theEvent takes place.

The Customer will be liable for any damage or deterioration of theReception Area found by ARN after it is made available to the Customer.Consequently, the Customer undertakes to reimburse to ARN ondemand and upon the provision of supporting documents, any expensesthat it may have had to incur in order to restore the Reception Area.

The Customer must inform ARN without delay of any incident or injury,physical and/or material damage of any kind occurring in the ReceptionArea.

In addition, the Customer undertakes at its own expense to take outinsurance covering its civil liability and that of the Persons for any kindsof damage (physical, material or consequential, injury …) caused directlyor indirectly by its acts or those of the Persons, to prove to ARN that ithas done so, on request, and to maintain such insurance in forcethroughout the term of the Agreement.

7. Termination

In the event of breach by the Customer or by the Persons of any of theobligations provided for herein, the Agreement may be terminatedautomatically by ARN without judicial formality, after the Customer hasfailed to comply with a formal notice to remedy the breach, served byany proven means, without prejudice to any claim by ARN for damages.This formal notice may require compliance by a specified timedepending on the nature of the default or breach.

8. Force Majeure

The Parties expressly agree that ARN may not be held liable if the Eventand/or the Program has to be cancelled or interrupted due to an eventof force majeure.For the purposes of this Agreement, the Parties agree to treat thefollowing events as events of force majeure: fire, climatic or politicalconditions making the holding of the Event impossible or very difficult,and in particular: flood, epidemic, terrorist attack, hurricane, tornado,gale, storm, frost or hail unfavourable to the holding of the Event,earthquake, war, civil war, requisition, stoppage of work, lock-out orstrike by personnel and/or sportsmen necessary for the holding of theEvent or for the conveyance of competitors or spectators, revolution,riots, crowd trouble, legal moratorium, government fiat, withdrawal orsuspension of federal authorisations, withdrawal or suspension ofauthorisations to occupy the sites where the Event is to take place, theftof all or part of the equipment necessary for the holding of the Event,loss of electrical power, interruption or delay in transport ortelecommunications, impossibility to broadcast the Event by terrestrialtelevision, cable or satellite, conditions rendering it impossible or verydifficult to maintain the safety of participants in the Event or ofspectators, or a substantial defection of participants in the Event.

9. Cancellation or interruption of the Program and/or of theEvent

The cancellation and/or interruption of the Program and/or of theEvent for any reason whatever will be regarded by the Parties as eventsof force majeure.The Customer acknowledges that ARN will not be obliged to reimbursethe sum stipulated in the Order Form or to pay the Customer anycompensation by reason of the interruption or total cancellation of theEvent and/or of the Program, and the Customer hereby waives anyliability claim against ARN for damages on such grounds.

10. Intuitu personae

This Agreement is entered into between the Parties in consideration oftheir respective identities. The rights and obligations of the Customercannot be assigned, delegated or transferred to any third party,whether in whole or in part, and by any means whatever, without theexpress prior consent in writing of ARN

11. Applicable law and jurisdiction

This Agreement has been drafted in English, which will be regarded asthe sole authentic language of the Agreement. All the provisions of thisAgreement are governed by Norwegian law.Any dispute concerning the validity, interpretation, performanceand/or termination and/or expiry of this Agreement will be subject tothe exclusive jurisdiction of the competent courts under the jurisdictionof the Oslo Court of Appeal, notwithstanding any third party and/orindemnity claims or plurality of defendants.

12. Miscellaneous

No tolerance on the part of ARN, even if repeated, shall constitute awaiver by ARN of any of the provisions of this Agreement.In the event that any of the provisions of this Agreement is invalid, theParties will seek in good faith to agree equivalent valid provisions. Inany event, the other terms and conditions of this Agreement willremain in force.
