SPARK MINDA, Ashok Minda Group, led by Group
CEO Mr. Ashok Minda is pleased to announce that it
has established a Joint Venture with a highly successful
automotive firm in China.
Minda ktSn plastic Solutions gmbh &
co. kg (subsidiary of Minda Corporation Limited, a
leading automotive component and flagship company -
NSE: MINDACORP, BSE: 538962) will acquire 50% in
the new venture which will be established with the aim
of expanding business operations in China and target
global leading OEMs companies such as VW, BMW,
Daimler etc in future.
The partner firm Shandong beiqi hai hua
automobile parts co., Ltd – “Sbhap”
(subsidiary of BAIC Group, China) has signed a
contract with Minda KTSN under which it will continue
its existing business activities. SBHAP is located in
Boshan District of Zibo City, Shandong Province.
The total investment amount of the JV shall be USD
12,500,000. The total registered capital of the JV shall
be USD 5,000,000, of which, Minda KTSN & SBHAP
shall contribute for 50 % of the equity interest in the
JV from both parties.
The JV Company will be called Minda china
plastic Solutions Ltd, which aims to start
production in 12 to 15 months and target to serve
BAIC group and its companies at the start. BAIC
group produces 2.5 million cars and 0.5 million trucks
in 2016 for China.
Salient Features of Minda china plastic
Solutions ltd Joint venture:
• With entry into china market through this JV, Minda
KTSN can deliver the parts across all the continents.
• Relationship with BAIC group / BHAP can give Spark
Minda an opening to many new products.
• BHAP also want to enter into Indian market where
in it could be an advantage for Spark Minda in the
domestic Indian market.
• JV company initially to focus on following products
within BAIC group companies (FOTON Cummins)
° Oil Pan
° Cylinder Head Cover
• In 2016-17 (2nd half )- To expand the product group
marketing for other interior products of Minda KTSN
within BAIC group
• JV has the rights for production and marketing of
Minda KTSN products within China.
Speaking on the occasion, Mr. ashok Minda,

group said, “India and China are today the fastest

done, much has been achieved but I honestly believe
the best is yet to come. Our two economies are
becoming engines of economic growth and we must
use our natural and human resources, technology

officer said ” The Joint Venture shall initially focus
on producing and selling products such as plastic
oil pans and cylinder head covers along with other
plastic under-bonnet / interior parts. The new JV shall
also have the rights for production and marketing
of Minda KTSN products within China. This Joint
Venture actually marks the foray of Spark Minda,
Ashok Minda Group in China with its products. We
shall be targeting global orders of leading OEMs such
as VW, BMW and Daimler as these OEMs have their
manufacturing plants in China.”
The Joint Venture will further strengthen our strategic
presence as we reach out to OEs to supply quality
automotive components and also offer state of art
& future technological solutions to our esteemed

Spark Minda, Ashok Minda Group has entered into
strategic alliances and technical collaborations with
leading international companies and has taken major

expanding footprints to other parts of the World.
In the past, the group has made many fruitful and
successful relationships with the best of the automotive
industry players around the world in the domain of
designing and manufacturing namely; Stoneridge of
USA, Vast of USA, SILCA of Italy, Furukawa of Japan
and UzAvto of Uzbekistan as their JV partners. The
Spark Minda, Ashok Minda Group also boast of its
Customers it serve wholeheartedly, which are infact
Global Lead Players such as VW Group, BMW,
Daimler, Nissan and so on. The Indian Lead OEM’s
includes names such as TATA motors, Maruti Suzuki,
Bajaj Auto, Yamaha, TVS etc. The group’s growth
oriented initiatives and relationships with some of the
most reputed OEM manufacturers have enabled them
to report strong growth over the year. Last year the
turnover of Spark Minda, Ashok Minda Group was
approx. Rs 3000 crs (US $450 Million).
Over the past few years, Spark Minda have done
strategic acquisitions in alignment with its Customers
objective mainly in Europe and now have their plants
in Germany & Poland along with a green-field project
in Czech Republic. The Group has recently acquired
100% equity of Panalfa Autoelektrik Limited, a leading
manufacturer of Gear Reduction Starter Motors and
Alternators for Tractors OEM’s at Bawal, Haryana.
The Group is also in the process of setting up another
green-field plant at Queretaro, Mexico for plastic

LoCK BoDy ASSEMBLy UNIT UNDER BUSINESS INTEGRATED CSR
INAUGURATED AT AURANGABAD CENTRAL PRISoN
Spark Minda, Ashok Minda Group has set-up a new
facility inside Aurangabad Central Prison, Maharashtra.
The unit will manufacture automotive lock parts within
the premises of jail.
The inauguration of the unit was held at Aurangabad
Central Prison on 4th November, 2016. The ceremony
commenced with unveiling of the foundation stone
followed by ribbon cutting of the inventory area by
Chief Guest - Mr. Rajendra Dhamle - DIG, Aurangabad
Central Prison & Mrs. Sarika Minda, Chairperson
- Spark Minda Foundation. This was followed by a
tour of the inventory where Mr. Sachin Patil, Head -
Operations, MCL - Aurangabad guided all the guests
to understand the machinery and manufacturing
processes. After this, Mr. R R More - Superintendent
of Police gave a welcome address for all followed by a
detailed presentation on this initiative by Mr. Lalitendu
Samanta, GCHRO. Mrs. Sarika Minda thanked all the
inmates and the guests from Bajaj Auto Limited (BAL),
without whose support this project would not have
been possible.
Mr. Sudhir Kashyap, CEO, MCL - SSD also shared
his words of wisdom with all the inmates and spoke
of expanding this unit by engaging more inmates
very soon. Mr. Mohite & Mr. Kulkarni from BAL also
addressed those who were present and expressed
their happiness on being a part of this noble initiative.
Towards the end of the program, Mr. Rajendra
Dhamle, DIG addressed all the women inmates and
encouraged them for putting in their best and making
the most of this lucrative opportunity. His enthusiasm
and confidence on the inmates instilled a level of
confidence and added a lot of motivation to all those
present at the gathering.

This activity initiated in collaboration with Aurangabad
Central Prison Authority, Maharashtra and aims to impart
skills and provide employment to women jail inmates
of Aurangabad. The product thus manufactured (Lock
Body Assembly Unit) will be used in the final product to
be made in our company at Pune and will be supplied
to our 'Principal' customer Bajaj Auto Limited (BAL). In
this regard, an MOU was signed between Aurangabad
Central Prison and Minda Corporation Ltd (Security
Systems Division) on July 27, 2016.

Under this project, MCL has been allocated 500 Sq.
feet of space within the jail premises and this area will
be used for all the activities related to manufacturing,
production, testing, inspection, storage of finished
goods and dispatch. The facility will be run by jail
convicts under the supervision of Minda Corporation
Ltd., Security and System Division. At the new facility
in Aurangabad, Spark Minda will be conducting the
induction training program for the jail inmates who
will be working in the facility. Further, they will have
to go through on-job training and will work under
the supervision of Spark Minda, Ashok Minda Group
representative for a given period of time. These
training sessions will help inmates in understanding the
minute details of production and manufacturing. With
these trainings, inmates will be also given a special
training certificate which will help them to work and
earn outside the jail authority after their jail term ends.

To ensure the discipline of Jail, the raw material entry
and the dispatch of finished product has been kept
under our Group’s control for smooth execution of
work. To facilitate this entire process, few employees
are fully deployed at the Jail; thus smoothing up
the complete coordination and assuring Quality
process. The management team will also visit this
unit on a frequent basis to ensure the system &
policy deployment in accordance with the company's
requirement.
In the past, similar initiatives have been taken up by our
Group through similar ventures at Tihar Jail, New Delhi
in 2014, Yerwada Jail, Pune in 2015, and another one at
Dresden Jail, Germany since 2005.

The only point of having ideas is to share & exchange
them among your team so that they can nourish
into successful plans. With such thought was the
second finance conference in Spark Minda, Ashok
Minda Group was held from 17th-19th November,
2016 in Udaipur with the motto “Together towards
Excellence”.
With the great vision of group CFO Mr. D.C Sharma
and support of Group legal head Mr. Ajay Sancheti,
the conference was declared success with participation
of all the finance heads along with their teams from
all across the world. Welcoming the delegates of the
conference, Mr. Ajay Sancheti took everyone with
nostalgia as he began the welcome address with some
glimpses of 2004 & 2015 Finance meet in Noida &
Jaipur respectively.
With his inspirational words, Mr D.C Sharma
marked the opening of conference by motivating the
participants and sharing valuable insights about the
group. He briefed everyone about the growth of
the group in past years and what future potential the
group possess. He also talked about the performance
of the Minda Corporation Limited in capital markets in
the recent months.
The conference was planned in such a manner that
along with interaction of all the group companies,
there were sessions planned on topics like Goods
& Service Tax (GST) and IND-AS from the speakers
of KPMG.
Delegates from KPMG gave an interactive session on
IFRS vs. IND-AS and shared valuable insights about
the topic. KPMG touched the different aspects that will
be covered under IND-AS in future and things that
finance people should be cautious of while preparing

(GST) and how important is it for manufacturing
sector to study it carefully along with impact analysis
on different transactions. Both the sessions witnessed
active participation from whole of the group.
All the business CFO’s briefly explained about their
units, the good practices being followed, the challenges
faced and the way forward to tackle them which was
duly appreciated by the judging panel comprising of
Mr. D.C Sharma, Mr. Ajay Sancheti and Mr. Sanjiv Jain.
Best presentation was awarded to Minda Automotive
Solutions and Runner’s Up for Best Presentation was
awarded to Minda VAST. The whole idea was of this
conference was to discuss on important topics which
are coming as a major change in the area of finance as
well as to help different units interact and understand
each other better. At the end of second day, an open
house was conducted by Group CFO in which he took
all the suggestions, ideas & queries of different units
and also discussed the way forward.
It was a fun filled session along with great learning for
the people on teamwork and how they can contribute
in a team. It helped people open up amongst each
other with great creative ideas coming from all of
them.

On 19th May, 2016, our Group Chief Marketing

German Embassy at New Delhi. The event – Launch

PLANT VISIT oRGANIzED FoR EqUITy CAPITAL MARKET PRoSPECTSAs part
of Investor Relations initiative, Group Corporate
Finance team (MMSL) organised plant visits at our
various Group Companies in Pune for equity capital
market participants.
The visit was organized on 08 July, 2016. There were
22 meeting attendees (including potential investors and
research analysts) from many reputed firms like SBI,
Edelweiss, Anand Rathi, Phillip Capital, Motilal Oswal,
Karvy, HSBC, Nirmal Bang, Prabhudas Lilladhar, IIFL,
KR Choksey, Equirus, Elara and Macquarie etc. These
delegates came from Mumbai and visited the plants
of our business group companies Minda Stoneridge
Instruments Limited, Minda Corporation Limited - SSD,
Pune, Minda Corporation Limited - Die Casting Division
and Minda VAST Access Systems Private Limited.
