Psychic Link Enterprises (PLE) mailing address is PO BOX 262 LOS ANGELES, CA 90078. Whereas Psychic Link Enterprises has developed a promotional campaign, which is designed to generate telephone calls to a telephone Psychic Network and whereby each caller will be invited to speak with the person answering the call to the telephone number _____________ Whereas Psychic Link Enterprises desires to retain the Contractor to answer such telephone calls to converse callers for Psychic Reading Services with such callers. The Contractor agrees to provide these services subject to the terms set forth below. Therefore, in consideration of the mutual covenants contained herein, it is agreed:

1. TERM OF ENGAGEMENT Psychic Link Enterprises hereby retains the services of the Contractor, and the Contractor agrees to provide Psychic readings “the services” consistent with the Contractor's particular specialized skills, training, and experience in providing the same as set forth in the Request For Proposal form attached hereto and incorporated herein, with results reasonably satisfactory to the Company set forth at the beginning of the post-marked date of issuance of the Contractor login information.

2. SERVICE LOCATION / JURISDICTION/ GOVERNING LAW The Services to be provided by the Contractor under this Agreement shall be performed at the Contractor's place of business such as a home office. Should arbitration, litigation, mediation, and all other legal matters arise, it shall be set in the county of Los Angeles under the state of California; hence the jurisdiction of this agreement.

3. DUTIES OF CONTRACTOR The Contractor shall answer all calls to the 800-numbers and shall listen to and converse with all callers requesting services. The Contractor represents and warrants the performance of The Contractor responsibilities and duties under this agreement. The Contractor will not now and will not in the future violate any contractual rights, trade secrets of other governmental payments and obligations.

4. EQUIPMENT AND EXPENSES The parties recognize that the Contractor may incur ordinary and reasonable expenses in carrying out the Services contemplated by this Agreement. The Contractor shall be responsible for all business expenses incurred. Specifically, at all times during the term of this Agreement, the Contractor shall provide, at the Contractor's sole cost and expense, all of the equipment, materials, supplies and premises necessary to the performance of the Services including, but not limited to, all telephone equipment which shall include a separately designated, touch-tone telephone line and, office supplies.

5. LICENSES/ NO TRAINING The Contractor shall, at his or her sole cost and expense, secure and maintain in effect continuously throughout the term hereof any licenses necessary for the provision of the Services according to this Agreement. The Contractor represents and warrants, and the Company recognizes and acknowledges, that the Contractor has unique and specialized skills, training and experience in providing Psychic readings, and therefore the Company has not provided and will not provide any training or instructions to the Contractor. 6. SERVICES FOR THIRD PARTIES Subject to the compliance by the Contractor with the provisions of Paragraph 9 of this Agreement, The Contractor shall provide the specified services on a non-exclusive basis. Nothing contained herein shall be deemed to prohibit or prevent the Contractor from engaging in other employment or consulting activities as long as such activities do not unreasonably interfere with the Contractor's performance according to the terms of this Agreement. Client’s (callers) received from the Company are not to be solicited. Solicitation will result in immediate termination. All calls are recorded and monitored on an ongoing basis.

7. MONITORING AND COMPLIANCE WITH LAWS To ensure compliance with all applicable federal, state and local laws, regulations, ordinances, and other standards of professional and ethical conduct including, but not limited to, any laws regarding unfair or deceptive practices, the Telephone Consumer Protection Act ("TCPA"), and the Telephone Disclosure and Dispute Resolution Act ("TDDRA") (collectively, "all applicable laws"), the Company, through the Network, reserves the right, and the Contractor acknowledges the Company's right, to monitor and/or record the Contractor while the Contractor is providing the Services. The Company shall and will monitor and record the Contractor for the substance of the Services provided. The Contractor acknowledges the duty to comply with all applicable laws and warrants that he or she shall provide the Services in accordance with all applicable laws, regulations, ordinances and other standards of professional and ethical conduct applicable thereto. The Contractor further consents to the Company's monitoring and/or recording of the Contractor's provision of the Services.

8. WARRANTIES The Contractor represents and warrants that he or she has the unencumbered right and authority to perform the obligations under this Agreement. The Contractor further represents and warrants that the Contractor's services are performed with the usual thoroughness and competence of the profession in accordance with the standard for professional services at the time those services are rendered. Moreover, the Contractor represents, warrants, and agrees that the provision of the Services will not violate any contractual rights, trade secrets, or other rights of any third party.

9. RESTRICTIVE COVENANTS: NONDISCLOSURE AND NON SOLICITATION The Contractor shall not directly or indirectly disclose to any person other than a representative of the Company at any time either during the term of this Agreement or following the termination or expiration thereof, any confidential or proprietary information pertaining to the Company, including but not limited to Customer information, customer lists, contacts, financial data, sales data, supply sources, business opportunities for new or developing business, plans and models, or trade secrets. Furthermore, the Contractor agrees that while providing the Services to the Company and for a period of three (3) years following the termination of the provision of Services, the Contractor shall not directly or indirectly solicit or attempt to solicit any callers, clients, any other customers, suppliers, Independent Contractors, partners, or employees of the Company other than on behalf of the Company. If, in any judicial proceeding, a court shall refuse to enforce Paragraph 10 either because the time limit it too long or because the restrictions contained herein are more extensive (whether as to geographic area, scope of business or otherwise) than is necessary to protect the business or goodwill of the Company, it is expressly understood and agreed between the parties hereto that this paragraph is deemed modified to the extent necessary to permit the greatest restriction possible to be enforced in such proceedings. The Contractor agrees that if the Contractor violated any of the provisions herein, the Company shall be entitled, in addition to any other appropriate relief, to an accounting and disgorgement of all profits, compensation, commissions, remuneration, or other benefits that the Contractor directly or indirectly has realized and/or may realize as a result of, or growing out of, or in connection with, any such violation. These remedies shall be in addition to, and not in limitation of, injunctive relief or other rights or remedies to which the Company is or may be entitled to at law or in equity under this Agreement. 10. INDEMNIFICATION OF THE COMPANY The Contractor shall indemnify the Company against any all liability, loss or damages, including consequential and incidental damages, and against all claims or actions based on or arising out of damage or injury (including death) caused by or sustained in connection with the performance by the Contractor of the Services, or based on any violation of any statute, ordinance, regulation or contract, and the defense of any such claims or actions including attorneys fees. The Contractor shall also indemnify the Company against any all liability and loss in connection with, and shall assume full responsibility for, payment of all federal, state and local taxes or contributions imposed or required under unemployment insurance, social security and income tax laws, with respect to the Contractor's provision of the Services under the terms of this Agreement.

11. REMEDIES FOR BREACH In the event of a breach of this Agreement by the Contractor, the Contractor agrees that the Company may exercise any remedy available at law or in equity, each of which shall be cumulative and may be exercised at any time. For any breach of the restrictions contained in Paragraph 9 of this Agreement, money damages would not be a sufficient remedy and the Company shall be entitled to specific performance and injunctive relief as a remedy for the Contractor's breach thereof, in addition to all other remedies available at law or in equity.

12. ENTIRE AGREEMENT/AMENDMENTS/SEVERABILITY/HEADINGS This Agreement contains the entire understanding of the parties concerning for all matters referred to herein and may not be changed, amended, modified or waived orally except by a written agreement signed by all of the parties hereto. There are no restrictions, agreements, promises, warranties, covenants, or undertakings between the parties concerning the subject matter herein other than those expressly outlined in this Agreement. The parties are not relying upon any oral or written representations or agreements in addition to or inconsistent with those outlined in the Agreement, fraudulent or otherwise. This Agreement supersedes any all previous agreements made between the parties herein. If any provision in this Agreement is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remaining provisions shall nevertheless continue in full force and effect. The headings to the paragraphs of this Agreement are for reference only and shall not affect its construction or interpretation.

13. PAYMENT SCHEDULE Psychic Link Enterprises will pay the Contractor per TABLE A. First of the Month through -15th of the Month (Midnight EST) payable on the 25th of the Month. 16th of the Month through the last day of the Month (Midnight EST) payable on the 10th of the month. Should the 25th or 10th of the Month occur on a Sunday or USA defined Holiday, payroll will be distributed the next business day. Should a phone reading commence before the cut off (Midnight EST, the minutes thereafter Midnight EST will roll over into the new pay period.) PLE offers Contractor the opportunity to be paid via paypal.com, a secure online direct deposit service. Though Paypal.com has been proven for reliability, PLE does not define the structures set forth by paypal.com. Paypal.com uses ACH (American Clearing House) process, which may take 4 business days for funds to clear into IC’s account. PLE does not control this process. PLE is not responsible for these 3-4 business days set by Pay pal’s jurisdiction. PLE will always send payment out on time by midnight Eastern. 14. TERMINATION Either party (PLE and Contractor) may terminate this agreement without cause. With cause, PLE may terminate this agreement without notice for any cause including but not limited to the occurrence of failure to perform and/or be by the phone and available while logged in, improper performance of duties, including contractual violation such as divulging private contact information to client including but not limited to: Real Name, Email address, Cell phone number, pager or telephone number, fax machine, Web site address etc…No personal contact information is to be divulged to clients. Failure to comply will result in immediate termination.

15. INDEPENDENT CONTRACTOR STATUS/NON EMPLOYEE The Contractor shall not be entitled to receive any worker’s compensation insurance, paid vacations, paid holidays, pension, profit-sharing, or Social Security on account of the Contractor work for Psychic Link Enterprises. The Contractor understands and agrees that Psychic Link Enterprises is not providing him/her with a prepared text, or scripts to use. The Contractor will be instructed to greet the caller with the structured format: “Network, ___ speaking, extension____, may I have your name and date of birth?” Contractor is an Independent Contractor and NOT an employee of Psychic Link Enterprises and its Psychic Networks. Contractor releases Psychic Link Enterprises from the liability and/or obligation of paying and/or withholding any of the FICA, FEDERAL, STATE, INTERNATIONAL, AND ANY OTHER TAXES. Contractor fully understands that all amounts paid by Psychic Link Enterprises will be reported to the IRS at the end of each calendar year for which Contractor shall receive a 1099 form per IRS requirement of $600 or more. I have reviewed and agree to the Independent Contractor Agreement. I swear, under penalty of perjury that I possess Psychic/Clairvoyant talents and I have experience as an Intuitive Counselor, Psychic, Tarot reader, and/or Astrologer. TABLE A. PAYSCALE

Readers can choose to do Chat or Telephone Readings or do both under the provision it is defined in the contract and remains in effect. A reader cannot sign up for both and only be logged on for one division and not the other. Therefore, you will need to choose now and abide by it. If circumstances change, then notify the Network and note this page will need to be re-signed/re-submitted.

All readers are required to log in 18 hours per network week 9 hours are rotational and 9 hours are committed. If you exceed the regular 18 hours, the below per minute rate is compensated as by the extra hours you log in. Network week defined as follows: a) 1st of the month – 7th of the month b) 8th of the month – 15th of the month c) 16th of the month – 22nd of the month d) 23rd of the month – last day of the month

Psychic Link Networks

Memo To: NEW READERS Date: August 4, 2009 Re: Additional Bonuses PLE helps make your experience successful by showing you how to make the most of your potentials. After all, if you aren’t making your desired level of income, neither is PLE. All readers on the Network are unique. They have been carefully screened and selected. PLE hires about two new readers a month.

PLE encourages you to get creative with login times as many clients call throughout the day. If a client ends their day before you usually login; the 2 of you will miss each other every time. Experiment and see what happens by logging in at different hours and days. We are at a 24-hour /7 day a week business. If you find yourself stagnant with talk time, experiment by getting creative in hours and days, you may find yourself surprised at the results. The readers earning the highest have given PLE a fair amount of time and figuratively speaking have “paid their dues.” For example, “Sheila” had determination when she started on PLE. She was an incredible reader, but her start was slow. It took clients a while to develop trust in her. Sometimes this happens as a result of clients waiting for a manifestation after the reading. That is when they will call back and tell you “You know ... you told me and guess what? It happened – you were right!” She logged in every day and maximized the enhanced pay scale. After 3 months, she finally started developing more follow up and popularity. Currently, she earns between $1800-$2150 each pay period. However, she logged in every day to maximize the enhanced pay scale and shifted her consciousness in terms of how she views her work. Once this changed, she attracted more calls. But please hang in and do not give up. Many bonus incentives could be maximized. Please remember, PLE does not send you calls; instead, clients select you from a list of available readers. Finally, PLE has made a change to monthly bonus and added additional bonus incentives as follows (this can change at any time) 1) $150 awarded to the reader with the most talk time 2) $50 awarded to the reader with the most LOGIN TIME. 3) $350 awarded to the reader with that can break the highest talk time record set at 6 hours 47 minutes. Psychic Link Networks

Memo To: ALL READERS & NEW HIRES Date: April 1, 2007 / rev . March 17, 2016 / September 3, 2019 Re: Missed Called Prevention Tips/ NO MISSED CALLS ALLOWED A missed call is when the Psychic is logged onto the system, and it dials out the Psychic with the reading call coming back as an unanswered or busy signal. It includes the Psychic picked up and hung up on the client. The system has a small number of “forgivable” missed calls before it wipes out the extension. If the system wipes out an extension, Headquarters will not reset the extension. We recommend the following tips, so you do not get a missed call. 1) Log off for short breaks. Even if it’s a quick 2-minute break, please logoff. It is fine to log on/off/on/off than

play roulette with your extension. We prefer a reader’s logon/off be: on/off/on/off like Swiss cheese!

2) No Sleeping while being logged on: Never stay logged on while sleeping. If clients hear a “groggy” voice answering the phone, it represents the Network poorly and grounds for dismissal.

3) No “Marathons.” A marathon is more than 18 hours of login time within a 24-hour window. If you have the

energy to stay logged on this long, take a break by logging out and then login again. Any reader found doing a marathon, will be deemed as a missed call even if the phone did not ring.

4) Answer immediately when the phone rings. It will only ring for 3-4 times. Only 1 attempt is made.

Use your NON-system phone to make personal calls. If you use your system phone while you are logged on, be cautious about relying on call waiting. The call may wind up going to voicemail, or it may take time to release the non-reading call to answer the reading call. If you pick up the call too late – it’s a missed call.

5) If you miss a call, the system will log you out and will receive a written warning by Headquarters.

6) System Admin logouts: If the system admin notices you have been logged on for a marathon, it will lead to a write up which is similar to a missed call. Headquarters does not tolerate having to micro-manage this.

7) Only the reader can answer the phone when logged on. The greeting is “Network, this is ____

extension____ may I have your name and date of birth? “

8) Do not rely on caller ID. The system has many different carriers, and the call(s) may come from different phone numbers.

should be free of charge.) This will help test your system phone AUDIBILITY and may help discover a challenge that may quickly be remedied before logging in.

2) Pick up System Phone and verify dial tone. This will help readers with multiple phone jacks on the system phone.

Verify there isn’t a handset off the hook.

During a Call 1) If a client is not responding or was disconnected, quickly verify if the client is on the phone with a “Hello?” or

“Hello, are you there?” Should the client not respond, immediately place your phone back on the receiver. The client may be re-trying while your extension has busy signal.

2) All calls may last until the client hangs up. Once the reading is done, place the phone back onto the receiver, either the same or different client may be trying to contact your extension.

the other. Even if you need to log out for a quick 2-minute bathroom break, it is strongly encouraged that you log off. Be sure you are aware of your telephone while multi-tasking.

2) You need to pick up the system phone no later than 3 rings. Picking up the phone by the last ring will be

considered a missed call. The system will try to ring you for 5 times (29 seconds.) When you are logged on, you must be ready to do readings.

3) Review the items in the contractual agreement. It is always available for re-downloading. All readers are

responsible for compliance with all terms. The suggestions such as “Do not log while in bed drowsy, etc.” are pertinent tips purposely illustrated to demonstrate how to work on the Network and avoid a missed call.

During Log Off 1) Make sure you use your NON-system phone to dial the 800-number to log your SYSTEM NUMBER

off the Network.

2) Verify you received the prompt confirming, “YOU ARE NOW LOGGED OFF.” General Optional Suggestions: 1) Owning a spare phone may salvage a last-minute emergency. Remember, your telephone is your work equipment.

2) Place your telephone number for free on the National Do Not Call Registry to avoid receiving telemarketing calls

on your system line. http://www.donotcall.gov. This may spare your phone line from a busy signal which may result in a missed call.

3) If your phone keeps unplugging from the wall, get a new cord or new phone ASAP. If you are using a cordless

telephone, do note that 2 cordless phones on 2 different phone numbers in 1 household will NOT work. Use a corded phone that you can hear while you are in other rooms. If you move around your home and cannot hear your phone ring, it can lead to a missed call. If using a cordless phone, make sure it has enough battery charge! If it runs out of battery while logged on, the call is missed.

4) Headsets are not recommended. However, if you notice the call gets lengthy (after 60 minutes,) to spare neck and

shoulders complications, the Network will allow the usage of a corded headset. Cordless and/or blue tooth headsets are not allowed. Dropped calls due to headsets are missed calls.

5) Two cordless telephones in 1 household will NOT work.

6) When Logging out, make sure you are logging out from your NON-System line. Should a call be in the queue to

you while logging out, it is interpreted as a missed call. Log out from your NON-SYSTEM phone line. If this non-system phone line is a cell phone, please be extra attentive to hearing the prompts accordingly. The most important thing you will need to verify carefully is the “YOU ARE NOW LOGGED OFF” confirmation prompt. If you have not heard the confirmation, redial the login telephone number from your non-system line to verify you are indeed logged out.

7) Never rush the logon or logoff process. Even if you know the menus well, the system may not have caught

up. Example: A reader attempted to log on and rushed her way through the menus. She thought she was logged on, but the system never logged her in. The system needs a few seconds to do its’ thing and prompt. Worse, when logging out, if rushing it, it may not log you out properly – hence a missed call!

Memo To: ALL READERS & NEW HIRES Date: July 12, 2019 Re: Cell Phone & VOIP Phones Tips We understand all readers use different types of telephones. In efforts to give some successful tips, we provided information collected from our experience in efforts to help. If the voice quality from the device used by the reader is poor, the reader’s extension will be removed. Make sure your phone is of good quality. Clients cannot be subjected to a poor quality connection as they will need to hear you clearly. Even if these tips do not apply for you right now, we need you to know them in case your circumstances change. Cell phone battery tips: If you rely on a cell phone while logged on, the following optional tips will help:

1) Avoid heavy-duty APP’s while logged on as they will waste the battery. “Force shut” APP’s in the settings. There are APP’s that will drain a battery super fast. Get to know them before you are logged on so that you won’t be surprised if the battery drops considerably within minutes. Remember, this is your work equipment. Watching movies on your phone while logged on will not only drain your battery but will also delay the ring from coming in. It’s best to watch videos on a separate device.

2) If you need to check email or surf the internet, the Network recommends using a separate device to preserve the battery.

3) Consider keeping the data turned off when you are logged on. Keeping data off will give you more battery life.

4) Monitor how much battery life your phone has when you log on. If you need to charge the phone while you are using it, you will get a faster charge with the data turned off.

5) Avoid driving while logged on. A client can tell if a reader is driving while giving a reading which will create upset.

6) Never use a wireless headset, including blue tooth devices as they cause static and connectivity issues. Remember, the client needs to hear you.

VOIP tips: These phones are internet phones (bundled packages from an internet provider) and/or they are telephone APP’s on cell phones. These phones will only work when an internet connection is available. Though these devices have improved over the years, the problem is that if the internet goes down, so will the telephone line. The reader may not realize there is an internet outage. Since we have a “no missed call policy,” it is crucial to be aware that if the internet is down, you will miss a call. Though VOIP phones (including SKYPE) are not forbidden, the reader is accountable for a missed call. Choose your equipment wisely. However, this type of phone is not recommended due to challenges. Readers would be better off using a cell phone instead of a VoIP phone. Cell phone technology is far better than VOIP. However, cell phone APP’s that provides a separate phone line is the worst and even less reliable than VOIP and even more strongly discouraged. 3) Combat Fraud: 90% of Networks in our industry have established a chargeback/disputed charge policy whereby they deduct those minutes from the Psychic’s paycheck. Our Network doesn’t do this. However, the only way we can combat fraud is by having these backups should they be needed. The recordings of the readings are held for a brief amount of time before they are deleted to make room for the newer readings. If a call comes back as fraud, the supervisor will telephone you to get the information. If the reader doesn’t have the information, then the minutes are deducted from the reader’s paycheck.

4) Must be kept on Eastern Time (New York Time.)

5) Keep it in a notebook. Do not keep it on a computer. When clients hear the sound of a keyboard, it throws

them off. They do not want to listen to a keyboard sound. Remember, they are calling a Psychic Network, NOT a customer service department.

6) If you are off for 4 (four) or more days, let us know. We must have the journals either faxed, emailed (via transcription or scan.) If you have legible handwriting and a good camera, feel free to photograph/attach it via email. Let us know ahead that you will be off and we will remind you. When the Network receives a notice of these disputed charges, it becomes an emergency to get an immediate response. If the reader is away, the Network cannot wait days for an answer. It must be submitted before taking off for 4 (four or more days.)

This is an honest answer for those that use Numerology or receive a Psychic impression (“vibe”) from a name. However, if the client is still adamant, hang up. If you do not capture the client’s first name and/or date of birth and the charge is reversed, minutes will be retroactively deducted from your check. MISUNDERSTANDING INDEPENDENT CONTRACTOR WORK

Definition: Working from your home, making your hours. The right to participate in working away from PLE. Independent Contractor work is not a reliable source of revenue. Many approach the market in the wrong way. To approach the market correctly, it requires KNOWING the market and LOGGING IN with the market to suit your professional goals better.

Independent Contractors are free to work for whomever, whenever etc… So to make the best of both worlds, Independent Contractors that build a long-term relationship with a Network know this and do things for them to preserve a long-lasting relationship.

Independent Contractors often do not have a backup income. If you rely on just one company, that company may shut their doors down tomorrow- examples: Psychic Friends Network, Walter Mercado, and numerous other Networks.

We have heard from some readers “I only want to work for one company.” Technically speaking, you are not an employee. You are an Independent Contractor. If pressing a button to login and out becomes extensive, you should evaluate the stability you will accrue.

Another mistake is not grasping the reality of how Psychic Networks operate. Since clients select you, you should be on other Networks that have the same procedure. If it’s slow on one Network, you have a backup. Also, many of our readers have outside jobs. Other reader’s multi-task by logging in on other Psychic Networks. One of our readers can do her other work (also from her home) while waiting for readings. We recommend you do the same; there is a bonus incentive for idle time. It will preserve burn out. IMPROVING YOUR READINGS - READING TIPS

1) Lapse of silence during shuffling – Sure, you need to tune in, shuffle your cards, etc. If you don’t say anything while shuffling such as “concentrate with me" clients are going to distract you by saying “hello, are you there?” Tell them that you’re tuning in. If you get them to tune in or concentrate with you, it will relax the client. 2) Cure for vagueness - Look more in-depth into your cards, images, or vibrations. Deeply trust yourself to get beyond. For example, if you are picking up on a family member, maybe if you look deeper, you can get an age or whether it’s male or female. Just look more in-depth at your cards. 3) Nervousness Relax - Practice, relax, 3 deep breaths before doing it, or whatever works for you. Pretend you’ve read the person a million times. Be friendly, as if you were sitting across the table and it wasn’t on the phone. 4) Jump right in! Ask them straight out,"Love life?" When you ask a client, "What is your question," it may put the client off. 95% of readings are love readings. 5% of readings are work-related. Some readers joke around to break the ice and say things like "Our favorite topic, Love?" 5) Types of Readings - If they tell you, “I want a general reading," the two popular topics are love and money. Some readers instantly ask "Love life?" because they know from their collective experiences that love life is the most common topic. "What else do you see?" Keep shuffling, re-tune, and tell them, "Sure, let’s check." Whether this means finding solutions to a crisis and/or offering spiritual guidance, there are ways to make improvements for everyone. We recommend injecting more awareness of your energy before you start your day. There are many tools in the market. The more you grow as a reader, the better your readings become, and the more you will grow as a soul. 8) Daily Clients: Some clients may inquire about their particular love interest daily. For some Psychics, this may seem difficult to perform. But in reality, it is much easier than anticipated. Treat these requests as if you were reading the daily energy similar to a horoscope. Being able to step back and provide that type of detail would help you handle these special requests without feeling drained.
