Confidentiality Agreement

This Confidentiality Agreement (the "Agreement”) is entered into on this day as stated above by and between Derby City Hospitality located at 18420 Standwick Drive, Louisville Kentucky 40245 (the” Disclosing Party”), and (the “Recipient” or the “Receiving Party”) as stated above. During these discussions, Disclosing Party may share certain proprietary information with the Recipient. Therefore, in consideration of the mutual promises and covenants contained in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows:

1. Recipient' will not disclose information received by the 'disclosing party' to any individuals or parties outside of the recipients' organization without the 'disclosing parties' prior approval.

2. Recipient' will not contact or solicit employees, owners, management, construction crews or lenders of the subject property without the 'disclosing parties' prior approval.

3. Recipient' may not use the information disclosed to them through this agreement to directly compete with the subject property.

This agreement shall be governed in accordance with Kentucky law with Kentucky courts having exclusive jurisdiction over any disputes arising.

Recipient agrees that this agreement will be in effect for a 2 (two) year term from the date acknowledged by the recipient below.
