CONSULTING FOR TESTING AND ENVIRONMENTAL SERVICES

RFP CLARIFICATION QUESTIONS FROM VENDORS

1. Can we include in our DBE schedule a WBENC-certified WBE even if they are not PAUCP certified because the TES is not a federally funded contract?

To comply with SEPTA’s DBE requirements, all firms must be certified as adisadvantaged business enterprise by the Pennsylvania Unified Certification Program(PA UCP) prior to being listed on the DBE Participation Schedule.

2. Also can we include in our DBE schedule a WBENC-certified WBE even if they are notPA UCP certified but are in the process of getting PA UCP certified?

See response to Question 1.

3. Due to the TES being a Task order/ IDIQ type of contract vehicle. It is impossible toassign accurate percentages to the Subcontractors on the DBE and NON- DEParticipation Schedule. Can the “Total DBE Agreed price to be credited to DBE goal” bemarked “to be determined”?

The “Total DBE Agreed Price to be Credited to the DBE Goal” on the DBE ParticipationSchedule must be populated with a percentage. Once the project gets started, the Primecan add/remove DBEs based on tasks as long as the DBE Goal is achieved. The Primewill need to submit Commitment Confirms, Sub-contracts/Purchase Agreements foradditional DBEs added to the project.

4. Does SEPTA have ISO 14001 Certification and if so what locations or operations arecertified?

Yes, at Wayne and Berridge.

5. How long is the SEPTA Roadway worker training? How often and what time of day isthe training available to vendors?

SEPTA Roadway worker training is 8 hours initially and annually completed as a testonline.

6. Will any of the remedial activities be conducted under PA USTIF requirements?

Yes.

7. How often are the regulatory updates provided under the Scope of Services Section 1: b.Compliance Training provided?

Depends at minimal quarterly

8. What type of projects are the Quality Assurance and Testing Services used for?

Compliance audits, remediation, industrial hygiene etc.

9. How many above ground and underground tanks currently receive Tank Testing andMaintenance Inspections under this contract?

Currently, none. All Tank Testing and Maintenance Inspections are conducted under aseparate contract. On occasion, and likely related to a release event or some otherimmediate need, some storage tank inspection or maintenance may occur under the TEScontract. Primarily the tank work conducted under the TES contract includes removals andinvestigations in relation to potential releases.

10. The RFP requires that subcontractors have the same insurance as the Prime. If asubcontractor, including a DBE, does not have the required insurance will SEPTA grant awaiver?

It is not SEPTA’s practice to review the insurance for the subcontractor of the Prime.

11. On the Waste Disposal Price Schedule, transportation unit costs are only being requestedfor Drum Disposal. How should transportation costs be presented for Soil andWastewater Disposal?

See revised “Waste Disposal Unit Price Schedule”.

12. On the Construction Equipment Unit Price Schedule, unit costs for various vehiclesincluding dump trucks, tractors and vac trucks are being requested on a per mile basiswhile unit costs for similar equipment on the Emergency Response Equipment Unit PriceSchedule are being requested on an hourly basis. Should they be consistent? Typically,these unit costs would be presented on an hourly or daily basis.

Yes, see revised “Contractor Equipment Unit Price Schedule”.

13. Please identify the six (6) Act 32 sites and the one TSCA site that SEPTA identifiedduring the Prebid Meeting as being priorities on this contract.

Callowhill, Comly, Germantown, Wayne, Victory, Frankford Transportation Center, andAllegheny.

14. Can SEPTA provide the price schedule for the previous successful bidder?

No.

15. Are there any active remedial systems the consultant will be responsible for operating,maintaining, or monitoring? How many and what type(s) of systems?

Yes, the consultant will be responsible for operating, maintaining, or monitoring 2 activeremedial systems at Callowhill and at Frankford. They are LNAPL and groundwaterrecovery and SVE systems

16. For stormwater benchmark compliance monitoring (i.e., industrial NPDES), what is theanticipated frequency of live storm event sampling (i.e., annual, semi-annual, quarterly)?We understand this may vary by permit between outfalls. What is the approximatenumber of regulated outfalls the consultant will be responsible for monitoring?

SEPTA has 5 industrial permit locations and approximately 20 outfalls where we sampleevery 6 months and inspect quarterly.

CONTRACT MODIFICATIONS

Per Part I, Article IV.E of the above referenced RFP, requests the following minor modifications to the terms of the proposed contract. Strikeouts and additions are provided in bold, italics, and red.

Article 3. Engaging of Contractor/Consultant

SEPTA hereby agrees to engage Contractor/Consultant to perform, and Contractor/Consultant hereby agrees to perform, all the services hereinabove referenced and hereinafter described and more fully set forth in Attachments 1 through 11. Neither party shall be under any obligation in relation to the performance of any services for any task order under this Contract.

Denied.

Article 4. Time of Performance

b. Contractor/Consultant shall commence performance promptly upon the effective date stated inSEPTA's Notice to Proceed. Time is of the essence in the performance of services under the Contract.

Contractor/Consultant shall perform the services in accordance with the degree of professional skill, quality, and care ordinarily exercised by members of the same profession practicing in the same location at the same time under comparable circumstances and providing services of a similar nature.

Denied.

Article 5. Data Available to Contractor/Consultant

All SEPTA maintained information, reasonably available and necessary for carrying out the services required to be performed under the Contract, shall be furnished to Contractor/Consultant. Contractor/Consultant shall familiarize itself with SEPTA operations and with the Project to the extent necessary to furnish the services required under the Contract. SEPTA acknowledges that Contractor/Consultant shall be entitled to reasonably rely upon such information provided by SEPTA without independent verification by Contractor/Consultant of their completeness and accuracy.

Article 12. All Information and Findings to Remain Confidential

Contractor/Consultant agrees that all information relating to research investigations (patentable or unpatentable), specifications and other evaluations, drawings, tracings, plans, and other data which have been obtained by Contractor/Consultant from SEPTA or are evolved or developed by Contractor/Consultant (or by others under his direction or supervision) in connection with the performance of the Contract or the efforts in conjunction with employees of SEPTA shall be deemed to be confidential information belonging solely to SEPTA. Further, during the term of the Contract and thereafter for a minimum period of three (3) years after the services, Contractor/Consultant shall not use or disclose such information for any purpose (or permit its usage or disclosure by others under Contractor/Consultant's supervision or direction) except to the extent necessary to perform services under the Contract, unless Contractor/Consultant can demonstrate to the satisfaction of SEPTA that such information was actually known to Contractor/Consultant prior to the Contract or was independently and properly obtained or developed by Contractor/Consultant apart from any connection with SEPTA or its employees, directly or indirectly, without breach of any confidential relationship or was publicly available or was lawfully acquired by Contractor/Consultant from a third party not under an obligation of confidentiality to SEPTA. Contractor/Consultant, through the use of employment contracts and other legally acceptable methods, shall ensure that during the term of the Contract and for three (3) years after the services, none of its employees or former employees accept any employment or assignment which uses any of the information developed in connection with this Project.

Article 13. Data to Become Property of SEPTA

All data, notes and other works developed in the performance of the Contract shall become the sole property of SEPTA upon payment in full by SEPTA to Contractor/Consultant for such data, notes and other works and may be used on any other Project without additional compensation to Contractor/Consultant, provided, however, Contractor/Consultant shall not be liable for any use of the data, notes, or other works other than that which they were intended and such use shall be at SEPTA's sole risk. Contractor/Consultant agrees not to assert or authorize others to assert any rights nor establish any claim under the design patent or copyright laws. Contractor/Consultant, for a period of three years after completion of the Project, agrees to furnish all retained works on the request of SEPTA's Project Representative. Unless otherwise provided in the Contract, Contractor/Consultant shall have the right to retain copies of all works beyond such period.

Article 22. Termination of Contract for Cause

If Contractor/Consultant fails to remedy to SEPTA's satisfaction the breach or default of any of the terms, covenants, or conditions of the Contract within ten (10) calendar days after receipt by Contractor/Consultant of written notice from SEPTA setting forth the nature of said breach or default and/or if the Contractor/Consultant is suspended or debarred by any federal agency or by the Commonwealth of Pennsylvania, SEPTA shall have the right to terminate the Contract without any further obligation to Contractor/Consultant. Any such termination for cause shall not in any way operate to preclude SEPTA from also pursuing all available remedies against Contractor/Consultant.

In the event that SEPTA elects to waive its remedies for any breach by Contractor/Consultant of any covenant, term or condition of the Contract, such waiver by SEPTA shall not limit SEPTA's remedies for any succeeding breach of that or of any other term, covenant, or condition of the Contract.

In the event that it is ultimately determined by SEPTA that the Contractor/Consultant was not in default or that the failure to perform arose out of causes beyond the control and without fault of the Contractor/Consultant, the termination shall be treated as one of convenience and the Contractor/Consultant's sole rights and exclusive remedies shall be those set forth in Paragraph 21.

Contractor/Consultant may terminate this Contract for cause by written notice given to SEPTA least thirty (30) days before the effective date of such termination if SEPTA, at any time, commits a material breach of this Contract.

Article 23. Indemnification

In addition to all other obligations of Indemnification specified herein, Contractor/Consultant agrees to release and be liable for and to defend, indemnify and save harmless SEPTA, its Board members, officers, agents, servants, workers, employees, subsidizers and indemnities, the Pennsylvania Department of Transportation, the City of Philadelphia and any and all government funding agencies providing funds or services in connection with this Project (hereinafter collectively referred to as “SEPTA”), from and against any and all loss, cost, damage, liability and expense, including consequential damages, reasonable counsel fees, whether or not arising out of any claim, suit or action at law, in equity, or otherwise, of any kind or nature whatsoever, including negligence, arising out of the performance of the work by reason of any accident, loss or damage of property, including the work site, property of SEPTA and Contractor/Consultant, or injury, including death, to any person or persons, including employees of SEPTA, Contractor/Consultant, which may be sustained either during the term of the Contract, or upon or after completion of the Project, whether brought directly by these persons or by anyone claiming under or through them including heirs, dependents and estates, to the extent any such claim, loss, cost, damage, liability or expense was caused by the negligence or willful misconduct of Contractor/Consultant.

Contractor/Consultant also agrees for itself and on behalf of its agents, servants, subconsultants/ subcontractors, materialmen and employees to defend, indemnify and hold harmless SEPTA from and against any and all claims of any kind or nature whatsoever regarding subconsultants/subcontractors and materialmen and agrees to assume the defense of SEPTA to any such suit at its cost and expense. The Contractor/Consultant further assumes the risk of loss and damage to materials, machinery and equipment to be incorporated in the Work at all times prior to delivery to the Project site or while in the possession or under the control of the Contractor/Consultant.

Contractor/Consultant, for itself and its employees, Board members, officers, agents, servants, workers, contractors/consultants, subconsultants/subcontractors, licensees and invitees , or any other person working on Contractor/Consultant’s behalf, hereby releases and agrees to be liable for and to defend, indemnify and save harmless SEPTA, even if SEPTA is negligent in whole or in part, for any claims made by an employee, Board member, officer, agent, workman or servant of the Contractor/Consultant’s or any other person working on Contractor/Consultant’s behalf, including claims for compensation or benefits payable to any extent by or for Contractor/Consultant under any workers’ or similar compensation acts or other employee benefit acts, and Contractor/Consultant expressly waives its statutory protection under §303, as amended, of The Pennsylvania Workers’ Compensation Act, 77 P.S. §481 (b).

In addition, Contractor/Consultant shall indemnify SEPTA for any fines and reasonable legal fees incurred because employees, agents, or workers supplied by Contractor/Consultant are not authorized to work in the United States.

In no event shall either party or their parent companies, affiliates, and subsidiaries, and their respective directors, officers, and employees, be liable to the other party for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind or character, including, without limitation, lost profits, loss of revenue, loss of use, or interruption of business, arising from or relating to this Contract, even if advised of the possibility of such damages.

However, SEPTA will only accept “reasonable” – see below

Article 24. Insurance c.

c. Named Additional Insureds

Contractor/Consultant shall include as an "Additional Insured" Southeastern Pennsylvania Transportation Authority in addition to any parties identified below to be designated on the policies for each respective type of insurance (except Workers Compensation and Professional Liability):

Article 24. Insurance e. (1) e. Types of Insurance and Limits of Liability

Contractor/Consultant shall, as an express condition of payment under the Contract, provide and maintain at its own cost and expense, the following types of insurances with the stated, or greater, respective limits of liability. (1) Workers Compensation Insurance

Not Less than $1,000,000 per Accident.

Article 24. Insurance e. (2)(a)

(a) Limits of Liability Coverage under this policy shall have limits of liability of not less than $1,000,000 ($1M) per occurrence, combined single limit for bodily injury (including disease) and property damage and not less than $2,000,000 ($2M) in Annual Aggregate.

Article 24. Insurance e. (4) (4) Professional Liability/Errors & Omissions Insurance

Covering the liability of Contractor/Consultant for any and all errors or omissions committed by Contractor/Consultant in the performance of the work, regardless of the type of damages. Contractor/Consultant may elect to satisfy this requirement through the addition of endorsement CG2279 “Incidental Professional Liability” to its General Liability policy. The coverage shall be maintained during the period of the Work and for at least three (3) years following completion thereof.

(a) Limits of Liability Coverage under this policy shall have limits of liability of not less than $1,000,000 ($1M) per claim.

Denied.

Article 24. Insurance f. f. Payment of SEPTA Claims Against Contractor/Consultant’s Insurance

Contractor/Consultant shall require its insurance carrier(s) to make checks in payment for claims payable to SEPTA.

SEPTA must be provided with true copies of declaration pages and policies of insurance upon request.

Accepted.

SEPTA is to be listed as an additional insured on all applicable liability policies excluding

Workers Compensation and Professional Liability.

Workers Compensation must provide a waiver of subrogation.

Each policy (except Workers Compensation and Professional Liability) shall state that the insurance provided to the additional insureds is primary and noncontributory to any other insurance available to the additional insured.

Accepted.

SEPTA must be the certificate holder on all applicable liability coverage with respect to this project and it should be noted on the insurance certificate and policies.

SEPTA must be provided with proof of insurance that demonstrates compliance with these requirements as well as all limits and other mandated aspects of coverage.

There may be times when we will need other Additional Insured’s such as AMTRAK, CSX, etc.

Risk Management is only authorized to approve Self Insurance Retention (SIR) of $50,000 or less.

Contractor/Consultant shall be solely responsible for any self-insured retention relating to insurance required by this.

Article Requested to be Added:

44. Force Majeure

Neither SEPTA nor Contractor/Consultant shall be responsible for a delay in its respective performance under this Contract if such delay is caused by acts of God, fire, flood, extraordinary weather conditions, natural catastrophes, unanticipated or differing site conditions, explosion, war, terrorist attacks, sabotage, computer viruses, strikes, lockouts, industrial disturbances, requests, acts, or intervention of a governmental agencies or authorities, court orders, labor relations, accidents, delays, the inability to obtain materials, equipment, fuel, or transportation, or other events or circumstances beyond the reasonable control of the claiming party.

Denied. See SEPTA’s revised language below.

44. Force MajeureIf Contractor shall be delayed in the completion and performance under the Contract Documents by any of the following circumstances which are not due to an act or omission of Contractor or any Subcontractor (each, a "Force Majeure Event"): labor disputes or disturbances involving SEPTA employees; vandalism; fire; explosion; severe weather; fire; earthquake; flood; acts of God; war or other hostilities; terrorism; civil, unrest; acts of a governmental body; interruption of electricity or other utilities; communication or transportation, but excluding any event or circumstance if its sole effect on Contractor is economic, then the time herein specified for completion of contract performance may be extended, without penalty, at the reasonable discretion of SEPTA, by such time as shall be fixed by SEPTA in writing. During Force Majeure Events, Contractor shall implement its business continuity/disaster recovery plans in accordance with its standard business practices to limit the impact of such events.

If Contractor desires to apply for an extension of time pursuant to the terms stated above, Contractor shall, within fourteen (14) days after becoming aware of the possibility of delay, notify SEPTA of such possibility, any reasons for the delay and its estimated duration.

45. Pre-Existing Conditions

SEPTA acknowledges that Contractor/Consultant has neither created nor contributed to the creation or existence of any air, subsurface, ground, or other environmental hazards, contamination, or pollution or the presence of toxic or hazardous substances or materials, whether latent or patent, or the release thereof or the violation of any law, regulation, rule, or order relating thereto, at any site that occurred prior to the date on which performance of services under this Contract (“Pre-Existing Conditions”). Contractor/Consultant assumes no title, ownership of, or liability or responsibility for the creation, existence, or presence of any Pre-Existing Conditions.

45. Pre-Existing Conditions

Contractor/Consultant assumes no title, ownership of, or liability or responsibility for the creation, existence, or presence of any Pre-Existing Conditions.

Article Requested to be Added:

46. Waste Disposal

Title to, ownership of, and legal responsibility and liability for Waste (as defined herein) shall at all times remain with SEPTA or the applicable third party. As used herein, "Waste" means any hazardous, non-hazardous, radioactive, toxic, flammable, explosive, infectious, dangerous, or other waste, substances, or materials existing on any project site or generated by SEPTA or a third party prior to the date that the services commenced. Where required by a task order, Contractor/Consultant shall assist SEPTA in the proper handling, storage, transportation, and delivery for disposal of Waste in accordance with applicable country, federal, state, and local laws or regulations, but Contractor/Consultant shall not make any independent determination relating to the selection of a treatment, storage, or disposal facility nor subcontract such activities through transporters or others and the final selection of any disposal site to which Waste will be delivered shall be made by SEPTA. SEPTA shall provide United States Environmental Protection Agency, State Generator I.D., or other appropriate numbers for all Waste and shall sign all necessary manifests for any Waste to be removed from any site for disposal. If SEPTA requests (1) Contractor/Consultant to sign any manifests for the transport or disposal of Waste or (2) Contractor/Consultant to hire, for SEPTA, a Waste transportation, treatment, or disposal contractor, then for these two purposes, Contractor/Consultant shall be considered to act as SEPTA’s agent for this limited purpose so that Contractor/Consultant will not be considered to be a generator, transporter, or disposer of such Waste or considered to be the arranger for disposal of Waste. SEPTA shall defend, indemnify, and hold Contractor/Consultant harmless from and against any claims, demands, losses, liabilities, causes of action, actions, suits, damages, costs, penalties, fines, and expenses, including reasonable attorneys’ fees, of any kind or character arising from or relating to such signing, except to the extent that the claims, demands, losses, liabilities, causes of action, actions, suits, damages, costs, penalties, fines, and expenses are caused by the negligence or willful misconduct of Contractor/Consultant.

D. Consultant and subcontractors must comply with all applicable regulatory agencies including, but not limited to, OSHA, EPA, NESHAPs, Pa Dept. Labor and Industry, Pa DEP, PennDOT, and the City of Philadelphia, including AMS. Consultant and subcontractors shall make all required notifications, and obtain all necessary permits, certificates, and approvals prior to commencing work. Wastes removed from the site shall be transported and disposed in accordance with all applicable regulations by contractors possessing current and proper licenses, certifications, and/or permits. Work plans must meet the approval of the SEPTA Project Manager.

A. Provide details for two disposal facilities for each type of material (soil, drums, bulk wastewater) in the spaces above. Pricing is for non-Hazardous materials unless specified.B. All waste, including RCRA and TSCA, must be disposed at a SEPTA-approved facility. No waste may be disposed without prior authorization.

C. For drum disposal costs, assume non-hazardous, non-RCRA drummed waste (e.g. soil cuttings, purge water, spent sorbents, etc.). Transportation costs to include all pickup, loading, and disposal charges. Overpack cost is to be a fully-loaded per drum cost for handling and disposal of a drum which requires an overpack - do not enter as a premium over the standard per drum cost.
