4. PAYMENT PROCEDURE 4.1. Contractor shall submit an invoice to
the Buyer, based on the Service Acceptance Certificate (hereinafter
referred to as the Acceplance Certificate) signed by tl:ie Buyer
an_d ti:ie approve.cl Report. (para-graph 5.5, 5.6. of the
Contract).
4.2. Payments for the provided Services shall be effected
according to the Contractor"s invo_ice within rs (fifteen) days
since the Service Acceptance Cert_ificate bei_ng signed an_d the
Report being approved b~· the Buyer. The payment date is the date
of transfer of funds to the account of the Contractor,. proved by a
SWIFT confirmation. Bank fees and expenses incurred in Ukraine are
charged to. the Buyer. whereas those incurred outside Ukraine - to
the Contractor ..
4.3. The- .Buyer shall accept Service Acceptance Sertific_ates
and pay for the Services rendered by the Contactor upon the
approval of NJSC Naftogaz anmml financial plan for the current year
or a relevant decision of the Government that \VOU!d enable
payments .u.nder the Agreement; or when the System of Internal
Controls is in place as stipulated in NJSC Naftogaz Corporate
Goveman:ce Acti_on Plan.
S. PROVISION OF SERVICES 5.1. The Services shall be provided
from the date of the conclusion of this Contract untii 3 I of
December 2018, considering the requirement of paragraph 4.3. of the
Agreement.
5.2. The location for provision of the Services shall be the
territory of-the·US. unless otheris agreed _by-the Parties.

5.4. The Contr~~.C?.r shall obligatorily receive the 3aMoBHHKOM

releasing such materials to the pub_! ic on th_e Buyer's behalf.
The Buyer shall provide the Contractor with sign-off within 5
(five) busin_ess days, to ens1,1re the;Services schedule is
maintained.
5.5. During the duration of the Contract. the ·Contractor shall
·provide·thc-Buyer on· a· monthly basis with a report on
the-actually rendered Services (if they were rendered during the
reporting period), which shall include a description and cost of
the Services rendere.d (hereinafter referred to as the RepQrt) and
the Service Acceptance Certificate. The Service Acceptance
Certif-icate and the Report shall be submitted by the Contrac-tor
to the Buyer in Ukrainian and English.
5.6. Services shall be considered accepted and du.ly provided at
the date when the Service Acceptanc.e Cer-tificate is signed and
the Report is approved by the Buyer. The corresponding monthly
invoice shall be sent to the Buyer after the Services are
accepted.
5.7. Provided that paragraph 4.3. of the Contract is fulfilled.
the Buyer shall sign the Acceptance Certifi-cate and approve the
Report or provide a substantiated refusal to accept all or some of
the Services within 3 (three) business days starting from the day
following the date of receipt of the Acceptance Certificate and the
Report by the Buyer. The Report is assumed approved and the
Acceptance Certificate signed if no refusal letter is sent to the
Contractor within 3 (three) business days starting from the day
following the date of receipt of the Acceptance Certificate and the
Report by the Buyer. Within the mentioned term. the Buyer shall
send a refusal letter to the Con_tractor•s e-mail address ·give_n,
below and a harooopy shall be additionally soot. if re-qIJested by
the Cm:,trac_tor. pursu:a·nt to the procedure described in
paragraph 5.10.
5 .8. Should there be any faults in the Services provided, the
Buyer shait submit reasonable remarks to tl)e Contra_ctcir a_long
with the refusal letter In this case. the Co_ntrac_tor sha_ll,
within 5 (five) busine.ss days of receq,t of the refusal lener a.nd
remarks, remedy tile mentioned faults. After the faults are

9. GOVERNING LAW AND DISPUTE SETTLEMENT

the Parties by means of mutual negot_iat_ions and
consOltations.
9.2. If the Parties fail to settle their d.isp,,ie in accordance

shall be resolved by arbitration in _accordance with the Rules of

the date on Which the Notice of Arbitration is submitted in
accordance with these Rules.
9.3. Arb_i_tration board shall be constitut~d _by three
arbiters; each Party shall appoint one arbite"r. The arbiters
appointed by the Parties shall .. elect the third arbiter who shall
be the head arbiter of the arbitration board. 9.4. The applicable
law -of-dispute settlement shall be that of Ukraine. ·
9.5. The .. arbitral proceedings shall take place in Paris,
France. The arbitral proceedings shall be conducted in English.
19. TERM OF THIS CONTRACT I 0.1. This Contract shall enter into
force upon signing by the authorized representatives of the
Parties, and shall be valid until 31 ·ofDeccmber 201·8 in·terms of

writ_ten conse_rit of the other Party: disdose any Confidential
Information in full or i_n part; give •DY written or verbal
com_menrs with respect to th~ Services and/or this Contract. If any
Party violates t_he conflden_tialicy provisions h_ereof an.d sUch
vto~ation leaps to loss~s in~urred by the oth_er Party. such Party
at fault shall coriipensa_t_e for such losses incu-rred. The
Contractor sh:a1_1 have t_he right to d_isc10:se in_formation about
th_e official nam_e of th_e Buyer and provi_de a sh_ort description
of th_e_ Services for marketing purposes, pro\,iMd that i_t Ms
rece_ived a prior written consent from the Buyer. The
confidentiality .provisions hereof shall remain effective for two
yea:rs after th:e expiration ofthis Contract.

that may affect the performance of this Contract and the
