Aurora Pharmacies Close Deal on Copps Pharmacy Units STEVENS POINT, Wis. (October 15, 2001) -- As previously reported by SN, Milwaukee-based Aurora Pharmacies completed the acquisition of Copps Corp.’s 12 pharmacy locations on Friday, Oct. 5, according to David Busch, corporate vice president of administration for Roundy's, Pewaukee, Wis. The decision to convert the food retailer's pharmacy business to Aurora Pharmacies was ultimately a "win-win" situation for the consumer, said Busch, because the acquisition joins Copps' supermarket knowledge and Aurora Pharmacies' healthcare know-how together. He told SN, "With the aspect of being two entities together, we create for the consumer the ability to profit from both our expertise." Busch declined to comment on specific financial terms, including whether the retailer receives a percentage of Aurora's pharmacy sales. Jeff Squire, director of communications for Aurora Pharmacies, said, "This was an opportunity that came our way - we have expertise in operating pharmacies, and we were pleased they came to us." Aurora now operates 36 pharmacies in stores owned by Roundy's, Squire said. -- Stephanie Loughran. http://www.supermarketnews.com/xref.cfm?&ID=2696&xref=pharmacy

Aurora Pharmacies Takes Over Copps Pharmacy Units MILWAUKEE (October 2, 2001) -- Aurora Pharmacies here told SN yesterday that it is close to acquiring Copps Corp.'s 12 pharmacy locations. Stevens Point, Wis.-based Copps, a 21-unit chain acquired earlier this year by Roundy's, Pewaukee, Wis., expects to complete the transaction with Aurora and convert its 12 pharmacy locations by the end of the week, according to Jim Krahn, marketing and communications coordinator for Aurora. He declined to discuss the terms of the acquisition. Aurora Pharmacies, which operates 105 pharmacies — both freestanding and inside Pick 'n Save supermarkets — plans to retain any Copps pharmacy personnel who wish to stay, said Krahn. Officials at Roundy's and Copps were not available for comment. -- Stephanie Loughran. http://www.supermarketnews.com/xref.cfm?&ID=2696&xref=pharmacyThe divisions and subsidiaries were found under a variety of web sites most of which are located under Figure 1.4 in the appendix.

Some of these servers are running Novell (Figure 7.0) running at least Novell 4.1 as of 1997. This is for the Westville division, but is probably pretty close to Corporate standards. They have Client32 and EtherExpress Pro/10 PCI cards, Novell Client/32 software for Windows 95 and NT Workstation 4.0 (SP2), running nprinter on a workstation across a 56K WAN link. It's pretty safe to assume that each division has a WAN link of 56K.

Roundy's uses web enabling application Advantage Gen COM Proxy. Web enable an application using COM Proxy. Re-use of the backend is achieved. Attack methods specific to COM Proxy may be available and allow access to order and financial information. Roundy's has several divisions that have their own servers that may be used as a front door to the divisions systems and to Roundy's corporate systems.

Roundy’s has several sites that are supported by smaller vendors like the Spin Group that could leave them open to attack because vendors typically will provide minimal extra expense in the way of security.

Main DNS servers are run by Time Warner which can be good since their business is networks and they should have a robust security scheme, however if there is a hole in Time Warner security it would allow access to many systems as well as Roundy's.

Roundy’s zone transfer (Figure 7.0) told me the addresses of their applications servers and email servers. Using this information I was able to obtain several application signon screens. This will allow me to use password guessing software to try and gain access.

The Roundy’s web site provided phone numbers for voice and fax as well as email addresses. You can assume that the email addresses would probably tell you what signon addresses would be available. If you can associate signon addresses with names, you can probably guess what kind of passwords would be used, especially for executives.

Roundy's employees use listservs to ask technical questions and also provide much information on what Roundy's uses in the way of hardware and software as well as giving an

Appendix of Figures

Figure 0.3 Court CasesRuling to Come in March Concerning Claims against Wisconsin Grocery WholesalerFebruary 16, 2002 3:16amFeb. 16--A judge's decision isn't expected until March on whether a former Roundy's Inc. executive can go public with his allegations of mismanagement at the company.

Roger Alswager, who was fired last March as Roundy's vice president of real estate, wants to provide information about alleged mismanagement to shareholders.

Roundy's, a Pewaukee supermarket wholesaler and Pick 'n Save grocery operator, claims that Alswager's information includes trade secrets. Roundy's has asked Waukesha County Circuit Judge Robert Mawdsley to issue a restraining order that would bar Alswager from releasing what the company considers confidential business information. Mawdsley listened to testimony Friday from Alswager, who contends the information is already well-known and not confidential. The judge also heard testimony from Roundy's President and Chief Executive Officer Gerald Lestina and others before telling attorneys he would issue a ruling March 1.

Roundy's is primarily a supermarket wholesaler owned mainly by its roughly 100 Wisconsin supermarket customers. Roundy's owns Copps Food Centers and Pick 'n Save stores, and supplies groceries to independently owned Pick 'n Save stores and other supermarkets.

Separately, Alswager sued Roundy's for defamation, invasion of privacy and breach of contract after he was fired. In that pending lawsuit, Alswager claims that Lestina told others that he was fired following the latest in a series of drunken driving arrests.

Alswager pleaded no contest to the drunken driving charge in January, according to court records. He has not yet been sentenced. Wisconsin Supermarket Wholesaler Faces Misconduct Claims by Former ExecutiveFebruary 15, 2002 7:40pmFeb. 15--A former Roundy's Inc. executive claims the Pewaukee operator of Pick 'n Save supermarkets engaged in misconduct, including preferential treatment for a large customer.

Roger Alswager, fired by Roundy's after a drunken driving arrest last March, wants to send information that outlines his claims to Roundy's shareholders. That information is supported by secretly recorded conversations with Alswager's former bosses.

Roundy's executives deny Alswager's allegations, which they say include trade secrets that would harm the company if revealed.

It has about $3.7 billion in annual sales throughout the Midwest. The dispute between Roundy's and Alswager, the company's former vice president of real estate, went public Thursday during a hearing before Waukesha County Circuit Judge Robert Mawdsley.

Roundy's wants Mawdsley to order Alswager not to disclose what the company considers confidential business information. Roundy's attorney James Greer took the unusual step of asking Mawdsley to conduct the court hearing in private -- a request the judge denied.

Alswager is bitter about his firing, Greer said, and is running a "smear campaign" aimed at Roundy's President and Chief Executive Officer Gerald Lestina and Vice President of Sales and Development Michael Schmitt. Separately, Alswager sued Roundy's for defamation and invasion of privacy after he was fired. In that pending lawsuit, Alswager claimed that Lestina told others that Alswager was fired following the latest in a series of drunken driving arrests.

Alswager was charged with drunken driving last March. He pleaded no contest to the charge in January, according to court records. He has not yet been sentenced. Greer told Mawdsley that Roundy's is not trying to ban Alswager from contacting shareholders with his allegations. "If (Alswager) wants to make a presentation, he can do so, subject to defamation laws," Greer said. "Can we just eliminate some of the information that's going to do harm to the company?"

Alswager's attorney, Christopher Hale, said the company's trade secrets claim is a ruse. "Roundy's doesn't want its own shareholders to know of allegations of misconduct," Hale said. "They are trying to insulate management from shareholder scrutiny."

Pewaukee, Wis. - Today two of Wisconsin's oldest and most successful wholesale and retail food companies confirmed their plans for acquisition. Gerald F. Lestina, President and CEO of Roundy's, Inc. and Michael W. Copps, Chairman and CEO of The Copps Corporation, jointly announced that Roundy's intends to acquire 100 percent of the stock of The Copps Corporation. The parties have signed a letter of intent and the transaction is expected to be finalized in mid-2001.

"The opportunity to put our two companies together recognizes the culmination of similarly traveled paths through Wisconsin history," said Lestina. "The cultures and values of our two companies are shared examples of success through honesty, loyalty, hard work and respect for the Wisconsin consumer," he added. "As both of our companies enter a third century of business, the future looks bright in the face of competition - competition that includes multinational corporations which continue to exert their influence on our Wisconsin economy. This acquisition is a statement of our commitment to the employees and customers of The Copps Corporation as well as the stockholders, customers and associates of Roundy's, Inc. We are indeed excited about what the future will bring."

Also looking to the future, Michael Copps expressed his excitement about the upcoming merger: "Our family has recognized that, to secure the future of The Copps Corporation, we needed to join with an organization that could provide the systems, resources and capital necessary to expand in the market areas we serve. I join with Jerry in celebrating this announcement as a new day in both of our futures."

The Copps Corporation is one of the leading wholesale and retail food distributors in Wisconsin. It currently operates 22 corporate retail stores in 15 markets, and is a wholesale supplier for 37 independent retail stores in Wisconsin and eight in Michigan. The Copps Corporation employs approximately 6,000 employees and had sales of approximately $625 million in 2000.

Copps started in business in 1892, when E. M. Copps began selling food and grain to loggers, river men and farmers. The company incorporated in 1912, and built a 50,000 square foot warehouse to meet growing demands. In 1944, Copps joined the Independent Grocer's Alliance (IGA) and, two years later, directly entered food retailing with its first store in Black River Falls, Wisconsin. The company continues to be owned and operated by the Copps family. Roundy's, Inc. was founded in Milwaukee as Smith, Roundy & Company in 1872. In 1953, the company was incorporated as Roundy's, Inc., a retailer-owned cooperative company. Today, Roundy's, Inc. is one of the nation's largest food wholesaler/retailers with annual sales of approximately $3 billion. Roundy's, Inc. owns and operates 43 stores in Wisconsin, Michigan, Indiana and Ohio and serves over 800 stores in 12 states. Roundy's, Inc. has eight distribution centers in five states and employs approximately 10,000 associates. It is Wisconsin's third largest privately held company.

April 9, 2001 To All Our Suppliers and Brokers:In today's day and age of E-Commerce everyone is looking for a more efficient way of doing business. EDI has been a comparable solution for many of our suppliers and brokers, but the cost has kept many smaller companies from utilizing the technology. In an effort to work with the smaller supplier community we have established a relationship with E-Com Systems, Inc. out of Gaithersburg, Maryland. Simply put, E-Com is an alternative to traditional EDI. Costs are incurred on a per document basis, rather than large monthly bills. The only technology needed is a personal computer and an Internet provider.Beginning June 18, 2001, Roundy's will no longer fax Purchase Orders (PO's) directly or accept mailed invoices for our business partners. Instead Roundy's will offer the following three alternatives:1) Traditional EDI2) EC Forms (supplied by E-Com Systems Inc.) $50 per month (65 documents) plus: 66 - 300 @ 65¢ each 300+ @ 50¢ each (A transaction is equal to 1 Purchase Order, 1 Invoice or 1 Acknowledgement. Acknowledgements are sent after every PO and invoice for confirmation of receipt.)3) EC Fax via the Internet (supplied by E-Com Systems Inc.) $50 per month @ 45¢ for the first page and 10¢ each additional pageEach supplier will have until June 1 to decide what route they will take to comply with these standards. On June 18, 2001 a $100.00 non-compliance charge will be assessed to every purchase order not transmitted by one of the listed options. This charge is in order to help offset the cost of the manual process. If one of the above solutions is not communicated to Roundy's by June 1, 2001 Roundy's will automatically deduct $100.00 for every document not transmitted electronically. Roundy's is more than willing to work around the dates with each vendor, as long as we are contacted prior to June 1, 2001. We are willing to work with all of our suppliers to find a cost-effective solution for everyone. Please not that we are not requiring anyone to use a particular EDI solution, yet we are offering to work with those choosing the E-Com solution. Please contact Kim Healey at the numbers listed below to communicate what option will best suit your company. If you are interested in finding out more information about E-Com, they can be located on the web at www.ecomtoday.com.We look forward to assisting you and answering any questions you may have.Sincerely, Noel SaubersCorporate Director of Procurement & [email protected] HealeyEDI [email protected]

I recently downloaded the Novell Client/32 software for Windows 95 and NT Workstation 4.0 (SP2) and am having problems with either

Page 39: Reconnaissance - OoCities - Geocities Archive / … · Web viewThere is potential for SPAM through Roundy's email servers Appendix of Figures Figure 0.3 Court Cases Ruling to Come

client and machines with 95 or NT. The machines were running the Microsoft client and were working normally with Intel EtherExpress Pro/10 PCI NICs. After installing Client32 neither the 95 or the NT machine would login to my 4.1 server. The Pro/10 is a "Plug and Pray" card so the setup diskette would not let me change the configuration. The driver on the diskette is the same version as the driver on the 95 OEM SR2 CD so loading it did not help either. After I removed the EPro/10 and installed an ISA NE2000 both machines work normally.

I downloaded the latest drivers from Intel's FTP site, to no avail.

Has anyone else had this problem or have any ideas on how to fix it?Thanks,Steve WoodLAN ManagerRoundy's Westville Divisionscwood@crown.icongrp.com--------------------------------------------------------------------------------Next message: Alessandra Barea: "LanWorkGroup 4.12, Windows NT and Netware 4.10" Previous message: Bob Brown: "Re: 3.12 to 4.11"http://www.nbd.dk/nov-lst/1997_03/1137.html
