Driven by environmental and climate change concerns, the world is witnessing dramatic moves toward renewable energy and sustainability, particularly in Taiwan. The government has passed various measures aimed at promoting manufacturing, power generation and transportation related to solar, onshore wind, offshore wind, biomass, hydro and other eco-friendly sources. Nuclear power generation is decreasing, as the nation works to phase it out completely and increase energy from renewable sources to 20 percent by 2025. Taiwan’s renewable industries face challenges from project finance to U.S. tariffs to price competition from China, but the nation boasts many accomplishments. It is the world’s second largest producer of photovoltaic cells, onshore and offshore wind farms are expanding, and green energy companies, manufacturing, industrial parks, smart grid metering and liberalization of the energy market are all on the rise. REPRESENTATIVE MATTERS Represented a Taiwan company in the development, operation and sale of several solar power projects in Europe, Asia and the U.S., including two 10Mwp projects in Italy and a 1.2Mwp project in Germany. Represented a Taiwan company in bidding to provide EPC services on 1.2Mw solar project in California and services on a 50Mw solar project in Texas. Represented a Taiwan company in resolving disputes concerning alleged microcracks, corrosion and other defects in solar modules purchased from a China company for US$18 million, including assisting with root cause analysis, demands and arbitration. Represented a Taiwan company in cooperation agreement with European company for the development and manufacture of power-generating technology for electric buses and trucks. Represented German wind power developer EAB New Energy GmbH concerning a wind project in Mui Dinh, Vietnam, with total investment of US$100 million. Advised Greencells Group, an EPC provider of turnkey solar PV power plants based in Germany, on the establishment of a commercial presence in Vietnam and implementing solar power projects there. Advised a foreign investor on the cross-border acquisition of two solar power plants and a project company in Myanmar worth in excess of US$500 million. Represented an Italian developer and private IPP operator concerning the regulatory framework and issues related to setting up a long-term joint venture, as well as implementation of solar power projects, in Vietnam. Advised Sembcorp Utilities Limited as lead sponsors on the implementation of a 225MW gas-fired power plant on BOT basis in Myingyan, Myanmar, the first internationally tendered power project in the country and its biggest gas-fired power station. Represented a French CAC 40 company in a structured finance transaction in which Veolia provided guarantees for a certain portion of a credit facility entered into by its indirect affiliate, Ridgeline Energy, LLC. Ridgeline, a U.S.-based wind-energy project developer, will use the credit facility to finance its Goshen Phase II wind-energy project in Idaho. Duane Morris provided a legal opinion regarding the guarantees for the banks that provided the credit facility.
