To whom it may concern,

Tyler is pleased to present our response to your RFP #06-19.

We understand that Region 14 Education Service Center (“Region 14 ESC”) is looking to include student transportation management software and hardware in its state-wide bidding contract. More than that, however, you are looking to partner with a single system provider that offers solutions to help you maximize tax payer investments and improve service to your community.

To be successful, districts need to be able to route safely and efficiently, schedule and track field trips, organize and report on fleet maintenance needs, and many other functions.

For these reasons, Tyler is proposing our Versatrans suite of products, our Tyler Telematic hardware, and our web-based management solution, Traversa®. In this proposal, we have included detailed product descriptions for each solution. Tyler will require that a separate agreement be executed for each member district licensed for Tyler software.

Selecting the right partner for your state is one of the most important decisions you will make as leaders. Tab 1 - Master Agreement General Terms and Conditions

♦ Customer Support ► The vendor shall provide timely and accurate technical advice and sales support. The

vendor shall respond to such requests within one (1) working day after receipt of the request

♦ Disclosures ► Respondent affirms that he/she has not given, offered to give, nor intends to give at any

time hereafter any economic opportunity, future employment, gift, loan, gratuity, special discount, trip, favor or service to a public servant in connection with this contract

► The respondent affirms that, to the best of his/her knowledge, the offer has been arrived at independently, and is submitted without collusion with anyone to obtain information or gain any favoritism that would in any way limit competition or give an unfair advantage over other vendors in the award of this contract

♦ Renewal of Contract ► Unless otherwise stated, all contracts are for a period of three (3) years with an option to

renew for up to two (2) additional one-year terms or any combination of time equally not more than 2 years if agreed to by Region 14 ESC and the vendor.

♦ Funding Out Clause ► Any /all contracts exceeding one (1) year shall include a standard "funding out" clause. A

contract for the acquisition, including lease, of real or personal property is a commitment of the entity's current revenue only, provided the contract contains either or both of the following provisions:

► Retains to the entity the continuing right to terminate the contract at the expiration of each budget period during the term of the contract and is conditioned on a best efforts attempt by the entity to obtain appropriate funds for payment of the contract

♦ Shipments (if applicable) ► The awarded vendor shall ship ordered products within seven (7) working days for goods

available and within four (4) to six (6) weeks for specialty items after the receipt of the order unless modified. If a product cannot be shipped within that time, the awarded vendor shall notify the entity placing the order as to why the product has not shipped and shall provide an estimated shipping date. At this point the participating entity may cancel the order if estimated shipping time is not acceptable.

♦ Tax Exempt Status ► Since this is a national contract, knowing the tax laws in each state is the sole responsibility

of the vendor.

♦ Payments ► The entity using the contract will make payments directly to the awarded vendor or their

affiliates (distributors/business partners/resellers) as long as written request and approval by NCPA is provided to the awarded vendor.

♦ Adding authorized distributors/dealers ► Awarded vendors may submit a list of distributors/partners/resellers to sell under their

contract throughout the life of the contract Vendor must receive written approval from NCPA before such distributors/partners/resellers considered authorized.

► Purchase orders and payment can only be made to awarded vendor or distributors/business partners/resellers previously approved by NCPA.

► Pricing provided to members by added distributors or dealers must also be less than or equal to the pricing offered by the awarded contract holder.

► All distributors/partners/resellers are required to abide by the Terms and Conditions of the vendor's agreement with NCPA.

♦ Pricing

► AH prjcin,: submitted shall include the administrative fee to be remitted to NCPA by the awarded vendor. It is the awarded vendor's responsibility to keep all pricing up to date and on file with NCPA.

► All deliveries shall be freight prepaid, F.0,8. destination and shall be included in all pricing offered unless otherwise clearly stated in writing

♦ Warranty ► Proposals should address each of the following:

• Applicable warranty and/or guarantees of equipment and installations including any conditions and response time for repair and/or replacement of any components during the warranty period.

• Availability of replacement parts • Life expectancy of equipment under normal use ■ Detailed information as to proposed return policy on all equipment

♦ Indemnity ► The awarded vendor shall defend, indemnify and hold harmless Region 14 ESC from and

against any and all direct claims, losses, liabilities, damages, costs and expenses (including reasonable attorney's fees and costs) for personal injury or property damage arising from the awarded vendor's negligence or willful misconduct; or the awarded vendor's violation of a law applicable to the awarded vendor's performance under the contract Region 14 ESC must notify the awarded vendor promptly in writing of the claim and give the awarded vendor sole control over its defense or settlement. Region 14 ESC agrees to provide the awarded vendor with reasonable assistance, cooperation, and information in defending the claim at the awarded vendor's expense.

♦ Franchise Tax ► The respondent hereby certifies that he/she is not currently delinquent in the payment of

any franchise taxes.

♦ Supplemental Agreements ► The entity participating in this contract and awarded vendor may enter into a separate

supplemental agreement to further define the level of service requirements over and above the minimum defined in this contract i.e. invoice requirements, ordering requirements, specialized delivery, etc. Any supplemental agreement developed as a result of this contract is exclusively between the participating entity and awarded vendor .

♦ Certificates of Insurance ► Certificates of insurance shall be delivered to the Public Agency prior to commencement of

work. The insurance company shall be licensed in the applicable state in which work is being conducted. The awarded vendor shall give the participating entity a minimum of thirty (30) days notice prior to any cancellation or non-renewal of policies. The awarded vendor shaU require all subcontractors performing any work to maintain coverage as specified.

♦ Legal Obligations ► It is the Respondent's responsibility to be aware of and comply with all local, state, and

federal laws governing the sale of products/services identified in this RFP and any awarded contract and shall comply with all while fulfilling the RFP. Applicable laws and regulation must be followed even if not specifically identified herein.

♦ Protest ► A protest of an award or proposed award must be filed in writing within ten (10) days from

the date of the official award notification and must be received by 5:00 pm CST. Protests shall be filed with Region 14 ESC and shall include the following:

• Name, address and telephone number of protester • Original signature of protester or its representative • Identification of the solicitation by RFP number • Detailed statement of legal and factual grounds including copies of relevant

documents and the form of reliefrequested ► Any protest review and action shall be considered final with no further formalities being

considered.

♦ Force Majeure ► If by reason of Force Majeure, either party hereto shall be rendered unable wholly or in

part to carry out its obligations under this Agreement then such party shall give notice and full particulars of Force Majeure in writing to the other party within a reasonable time after occurrence of the event or cause relied upon, and the obligation of the party giving such notice, so far as it is affected by such Force Majeure, shall be suspended during the continuance of the inability then claimed, except as hereinafter provided, but for no longer period, and such party shall endeavor to remove or overcome such inability with all reasonable dispatch.

► The term Force Majeure as employed herein, shall mean acts of God, strikes, lockouts, or other industrial disturbances, act of public enemy, orders of any kind of government of the United States or any civil or military authority; insurrections; riots; epidemics; landslides; lighting; earthquake; fires; hurricanes; storms; floods; washouts; droughts; arrests;

restraint of government and people; civil disturbances; explosions, breakage or accidents to machinery, pipelines or canals, or other causes not reasonably within the control of the party claiming such inability. It is understood and agreed that the settlement of strikes and lockouts shall be entirely within the discretion of the party having the difficulty, and that the above requirement that any Force Majeure shall be remedied with all reasonable dispatch shall not require the settlement of strikes and lockouts by acceding to the demands of the opposing party or parties when such settlement is unfavorable in the judgment of the party having the difficulty

♦ Prevailing Wage ► It shall be the responsibility of the Vendor to comply, when applicable, with the prevailing

wage legislation in effect in the jurisdiction of the purchaser. It shall further be the responsibility of the Vendor to monitor the prevailing wage rates as established by the appropriate department of labor for any increase in rates during the term of this contract and adjust wage rates accordingly.

♦ Miscellaneous ► Either party may cancel this contract in whole or in part by providing written notice. The

cancellation will take effect 30 business days after the other party receives the notice of cancellation. After the 30th business day all work will cease following completion of final purchase order.

♦ Open Records Policy ► Because Region 14 ESC is a governmental entity responses submitted are subject to release

as public information after contracts are executed. If a vendor believes that its response, or parts of its response, may be exempted from disclosure, the vendor must specify page-by­page and line-by-line the parts of the response, which it believes, are exempt. In addition, the respondent must specify which exception(s) are applicable and provide detailed reasons to substantiate the exception(s).

► The determination of whether information is confidential and not subject to disclosure is the duty of the Office of Attorney General (OAG). Region 14 ESC must provide the OAG sufficient information to render an opinion and therefore, vague and general claims to confidentiality by the respondent are not acceptable. Region 14 ESC must comply with the opinions of the OAG. Region14 ESC assumes no responsibility for asserting legal arguments on behalf of any vendor. Respondent are advised to consult with their legal counsel concerning disclosure issues resulting from this procurement process and to take precautions to safeguard trade secrets and other proprietary information.

Process Region 14 ESC will evaluate proposals in accordance with, and subject to, the relevant statutes, ordinances, rules, and regulations that govern its procurement practices. NCPA will assist Region 14 ESC in evaluating proposals. Award(s) will be made to the prospective vendor whose response is determined to be the most advantageous to Region 14 ESC, NCPA, and its participating agencies. To qualify for evaluation, response must have been submitted on time, and satisfy all mandatory requirements identified in this document.

♦ Contract Administration ► The contract will be administered by Region 14 ESC. The National Program will be

administered by NCPA on behalf of Region 14 ESC. ♦ Contract Term

► The contract term will be for three (3) year starting from the date of the award. The contract may be renewed for up to two (2) additional one-year terms or any combination of time equally not more than 2 years.

► It should be noted that maintenance/service agreements may be issued for up to (5) years under this contract even if the contract only lasts for the initial term of the contract. NCPA will monitor any maintenance agreements for the term of the agreement provided they are signed prior to the termination or expiration of this contract.

• Contract Waiver ► Any waiver of any provision of this contract shall be in writing and shall be signed by the

duly authorized agent of Region 14 ESC. The waiver by either party of any term or condition of this contract shall not be deemed to constitute waiver thereof nor a waiver of any further or additional right that such party may hold under this contract

• Products and Services additions ► Products and Services may be added to the resulting contract during the term of the

contract by written amendment, to the extent that those products and services are within the scope of this RFP.

♦ Competitive Range ► It may be necessary for Region 14 ESC to establish a competitive range. Responses not in

the competitive range are unacceptable and do not receive further award consideration. ♦ Deviations and Exceptions

► Deviations or exceptions stipulated in response may result in disqualification. It is the intent of Region 14 ESC to award a vendor's complete line of products and/or services, when possible.

♦ Estimated Quantities ► The estimated dollar volume of Products and Services purchased under the proposed

Master Agreement is $10 - $15 million dollars annually. This estimate is based on the anticipated volume of Region 14 ESC and current sales within the NCPA program. There is no guarantee or commitment of any kind regarding usage of any contracts resulting from this solicitation

♦ Evaluation ► Region 14 ESC will review and evaluate all responses in accordance with, and subject to,

the relevant statutes, ordinances, rules and regulations that govern its procurement practices. NCPA will assist the lead agency in evaluating proposals. Recommendations for contract awards will be based on multiple factors, each factor being assigned a point value based on its importance.

♦ Formation of Contract ► A response to this solicitation is an offer to contract with Region 14 ESC based upon the

terms, conditions, scope of work, and specifications contained in this request, except as modified by, taken exception to, and as otherwise provided in the awarded vendor's Proposal. A solicitation does not become a contract until it is accepted by Region 14 ESC. The prospective vendor must submit a signed Signature Form with the response thus, eliminating the need for a formal signing process.

♦ NCPA Administrative Agreement ► The vendor will be required to enter and execute the National Cooperative Purchasing

Alliance Administration Agreement with NCPA upon award with Region 14 ESC. The agreement establishes the requirements of the vendor with respect to a nationwide contract effort.

♦ Clarifications / Discussions ► Region 14 ESC may request additional information or clarification from any of the

respondents after review of the proposals received for the sole purpose of elimination minor irregularities, informalities, or apparent clerical mistakes in the proposal. Clarification does not give respondent an opportunity to revise or modify its proposal, except to the extent that correction of apparent clerical mistakes results in a revision. After the initial receipt of proposals, Region 14 ESC reserves the right to conduct discussions with those respondent's whose proposals are determined to be reasonably susceptible of being selected for award. Discussions occur when oral or written communications between Region 14 ESC and respondent's are conducted for the purpose clarifications involving information essential for determining the acceptability of a proposal or that provides respondent an opportunity to revise or modify its proposal. Region 14 ESC will not assist respondent bring its proposal up to the level of other proposals through discussions. Region 14 ESC will not indicate to respondent a cost or price that it must meet to neither obtain further consideration nor will it provide any information about other respondents' proposals or prices .

♦ Multiple Awards ► Multiple Contracts may be awarded as a result of the solicitation. Multiple Awards will

ensure that any ensuing contracts fulfill current and future requirements of the diverse and large number of participating public agencies.

♦ Past Performance ► Past performance is relevant information regarding a vendor's actions under previously

awarded contracts; including the administrative aspects of performance; the vendor's history of reasonable and cooperative behavior and commitment to customer satisfaction; and generally, the vendor's businesslike concern for the interests of the customer.

Evaluation Criteria

♦ Pricing ( 40 points) ► Electronic Price Lists

• Products, Services, Warranties, etc. price list • Prices listed will be used to establish both the extent of a vendor's product lines,

services, warranties, etc. available from a particular bidder and the pricing per item.

♦ Ability to Provide and Perform the Required Services for the Contract (25 points) ► Product Delivery within participating entities specified parameters ► Number of line items delivered complete within the normal delivery time as a percentage

of line items ordered. ► Vendor's ability to perform towards above requirements and desired specifications. ► Past Cooperative Program Performance ► Quantity of line items available that are commonly purchased by the entity. ► Quality of line items available compared to normal participating entity standards.

♦ References (15 points)

► A minimum of ten (10) customer references for product and/or services of similar scope dating within past 3 years

♦ Technology for Supporting the Program (10 points) ► Electronic on-line catalog, order entry use by and suitability for the entity's needs , Quality of vendor's on-line resources for NCPA members. ► Specifications and features offered by respondent's products and/or services

Tab 2 - NCPA Administration Agreement This Administration Agreement is made as of __________ __, by and between National

Cooperative Purchasing Alliance ("NCPA") and Tyler Technologies. Inc. ("Vendor") .

Recitals

WHEREAS, Region 14 ESC has entered into a certain Master Agreement dated _______ _, referenced as Contract Number _______ ~ by and between Region 14 ESC and Vendor, as may be amended from time to time in accordance with the terms thereof (the "Master Agreement"), for the purchase of Transportation Software;

WHEREAS, said Master Agreement provides that any state, city, special district, local government, school district, private K-12 school, technical or vocational school, higher education institution, other government agency or nonprofit organization (hereinafter referred to as "public agency" or collectively, "public agencies") may purchase products and services at the prices indicated in the Master Agreement;

WHEREAS, NCPA has the administrative and legal capacity to administer purchases under the Master Agreement to public agencies;

WHEREAS, NCPA serves as the administrative agent for Region 14 ESC in connection with other master agreements offered by NCPA

WHEREAS, Region 14 ESC desires NCPA to proceed with administration of the Master Agreement;

WHEREAS, NCPA and Vendor desire to enter into this Agreement to make available the Master Agreement to public agencies on a national basis;

NOW, THEREFORE, in consideration of the payments to be made hereunder and the mutual covenants contained in this Agreement, NCPA and Vendor hereby agree as follows:

♦ General Terms and Conditions ).- The Master Agreement, attached hereto as Tab 1 and incorporated herein by reference as

though fully set forth herein, and the terms and conditions contained therein shall apply to this Agreement except as expressly changed or modified by this Agreement.

► NCPA shall be afforded all of the rights, privileges and indemnifications afforded to Region 14 ESC under the Master Agreement, and such rights, privileges and indemnifications shall accrue and apply with equal effect to NCPA under this Agreement including, but not limited to, the Vendor's obligation to provide appropriate insurance and certain indemnifications to Region 14 ESC.

► Vendor shall perform all duties, responsibilities and obligations required under the Master Agreement in the time and manner specified by the Master Agreement

► NCPA shall perform all of its duties, responsibilities, and obligations as administrator of purchases under the Master Agreement as set forth herein, and Vendor acknowledges that NCPA shall act in the capacity of administrator of purchases under the Master Agreement.

► With respect to any purchases made by Region 14 ESC or any Public Agency pursuant to the Master Agreement, NCPA (a) shall not be construed as a dealer, re-marketer, representative, partner, or agent of any type of Vendor, Region 14 ESC, or such Public Agency, (b) shall not be obligated, liable or responsible (i) for any orders made by Region 14 ESC, any Public Agency or any employee of Region 14 ESC or Public Agency under the GJ

Master Agreement, or (ii) for any payments required to be made with respect to such order, and (c) shall not be obligated, liable or responsible for any failure by the Public Agency to (i) comply with procedures or requirements of applicable law, or (ii) obtain the due authorization and approval necessary to purchase under the Master Agreement. NCPA makes no representations or guaranties with respect to any minimum purchases required to be made by Region 14 ESC, any Public Agency, or any employee of Region 14 ESC or Public Agency under this Agreement or the Master Agreement.

► The Public Agency participating in the NCPA contract and Vendor may enter into a separate supplemental agreement to further define the level of service requirements over and above the minimum defined in this contract i.e. invoice requirements, ordering requirements , specialized delivery, etc. Any supplemental agreement developed as a result of this contract is exclusively between the Public Agency and Vendor. NCPA, its agents, members and employees shall not be made party to any claim for breach of such agreement

♦ Term of Agreement ► This Agreement shall be in effect so long as the Master Agreement remains in effect,

provided, however, that the obligation to pay all amounts owed by Vendor to NCPA through the termination of this Agreement and all indemnifications afforded by Vendor to NCPA shall survive the term of this Agreement.

• Fees and Reporting ► The awarded vendor shall electronically provide NCPA with a detailed monthly or

quarterly report showing the dollar volume of all sales under the contract for the previous month or quarter, excluding travel expenses incurred by the awarded vendor in the provision of implementation services, taxes for which the participating entity is responsible for reimbursing the awarded vendor, and ongoing annual services, such as maintenance & support and disaster recovery (as these are sole sourced directly from the awarded vendor). Reports shall be sent via e-mail to NCPA offices at [email protected]. Reports are due on the fifteenth (15th) day after the close of the previous month or quarter. It is the responsibility of the awarded vendor to collect and compile all sales under the contract from participating members and submit one (1) report. The report shall include at least the following information as listed in the example below:

► Supplier shall maintain an accounting of all purchases made by Public Agencies under the Master Agreement NCPA and Region 14 ESC reserve the right to audit the accounting relating directly to the contract once per year on one week's advance written notice, for a period of four (4) years from the date NCPA receives the accounting. In the event of such an audit, the requested materials shall be provided at the location designated by Region 14 ESC or NCPA, at the expense of the auditor. In the event such audit reveals an underreporting of Contract Sales and a resulting underpayment of administrative fees, Vendor shall promptly pay NCPA the amount of such underpayment, together with interest on such amount and shall be obligated to reimburse NCPA's costs and expenses for such audit.

♦ General Provisions

► This Agreement supersedes any and all other agreements, either oral or in writing, between the parties hereto with respect to the subject matter hereof, and no other agreement, statement, or promise relating to the subject matter of this Agreement which is not contained herein shall be valid or binding.

► Awarded vendor agrees to allow NCPA to use their name and logo within website, marketing materials and advertisement, provided that NCPA shall obtain the awarded vendor's prior written approval of each use of the name and/ or logo of the awarded vendor. Any use of NCPA name and logo or any form of publicity regarding this contract by awarded vendor must have prior approval from NCPA.

► If any action at law or in equity is brought to enforce or interpret the provisions of this Agreement or to recover any administrative fee and accrued interest, the prevailing party shall be entitled to reasonable attorney's fees and costs in addition to any other relief to which such party may be entitled.

► Neither this Agreement nor any rights or obligations hereunder shall be assignable by Vendor without prior written consent of NCPA, provided, however, that the Vendor may, without such written consent, assign this Agreement and its rights and delegate its obligations hereunder in connection with the transfer or sale of all or substantially all of its assets or business related to this Agreement, or in the event of its merger, consolidation , change in control or similar transaction. Any permitted assignee shall assume all assigned obligations of its assignor under this Agreement.

Our standard payment terms are broken down into four categories below which include perpetual license contracts, SaaS contracts, Hardware, and expenses.

For perpetual license contracts:

Tyler has a large, well-trained technical support (help desk) staff based in Latham, NY. Tyler users receive toll-free technical support for many extended hours year-round as a part of their annual support and maintenance agreement. Our regular calling hours of Monday through Friday 7:30AM EST to 7:00PM EST provide an eleven-and-a-half-hour window to reach us during the day. During the busy month of August, Technical Support is also available on Saturdays from 9:00AM EST to 3:00PM EST, so clients can get the help they need when they need it most. There are no tiers of support; all clients get all of our best. Clients can also email their technical issues to our Technical Support Team. It is important to us that users have a lifeline in times of duress – and reliable assistance if a question or a problem comes up that needs to be resolved quickly. • Green Initiatives

As our business grows, we want to make sure we minimize our impact on the Earth’s climate. We are taking every step we can to implement innovative and responsible environmental practices throughout NCPA to reduce our carbon footprint, reduce waste, energy conservation, ensure efficient computing and much more. To that effort we ask respondents to provide their companies environmental policy and/or green initiative.

Tyler makes every effort to avoid printing when possible. We encourage recycling and place recycling bins conspicuously in our Latham, NY office. Occasionally, notifications of electronic recycling days are sent out to employees and we make an effort to use recycled paper and environmentally-friendly cleaning supplies.

Additionally, Tyler’s transportation software can aid school districts in becoming greener. The Tyler Drive on-board tablet can reduce the amount of paper that is being consumed printing driver directions. This is only one of the many examples,

Tyler’s other offices participate in overall green initiates. Some examples include the following in the Yarmouth, ME office:

THE DATABASE – A SOLID FOUNDATION Versatrans Routing & Planning is built upon the scalable, flexible Microsoft database structure. As a result, the system is extremely scalable. Clients who have 1-5 concurrent users can install the system using the Microsoft Standard Database Engine, which comes standard with the Microsoft Windows operating system. For those users who require more concurrent users, the system can be implemented on a Microsoft SQL Database server to provide more processing power and concurrent user capabilities.

THE MAP – DETAILED, UPDATEABLE, DEPENDABLE Each client’s map is prepared from the best map data sources available. Each map is then customized by experts on our GIS staff to include everything from house numbers to road safety hazards to distances and travel speeds. These detailed maps provide our clients with the most up-to-date and accurate information available. Versatrans Routing & Planning also provides the user with easy-to-use tools to update the map as things change within the District. The map can be saved as an image file for reference outside of the system, and is truly updateable – map updates do not replace the entire map. Rather, they apply changes to the existing map, preserving all previous updates.

A FLEXIBLE AND ROBUST STUDENT FILE Versatrans Routing & Planning stores extensive information on students, and seamlessly integrates student and map. That data integration saves users time and money by eliminating manual data entry. Student data can be updated via an automatic upload process.

Once updates are completed, users have options to automatically locate those students on the map (for new students) and to automatically process updates to existing routes based on the student file updates. In addition, map data can be accessed and updated from the student record. Bell Time Modeling

With Versatrans’ Fleet Schedule (included at no extra cost), users can simply enter new bell times for any set of routes with a change, and in a matter of minutes, the software will:

• Adjust route time going to the affected buildings

• Reassign routes to vehicles in the most efficient matter possible

One-Touch Routing

In One-Touch Routing (OTR), a Tyler-exclusive feature included at no extra cost, users can set up any number of route alternatives in a few clicks to compare efficiencies. Users can also set customizable parameters with OTR so a given area is deemed as “rural,” “suburban,” or “urban,” optimizing all runs based on characteristics for the geography. In other words, in a rural area, the focus for efficiency would be based on saving time (resulting in the fastest route), and in an urban area, the focus is would be on bus capacity (resulting in the shortest route). This feature is optional and customizable.

In this screenshot, a user run OTR in a what-if scenario to cut 3 routes from the morning Adams ES routes, a potential savings of tens of thousands of dollars over the course of a school year. Right from this screen, the user can review the routes on the map, make any necessary changes, and chose to use them in the live routes.

5.1.1 ELECTRONIC ROLLOUT SHEET™ (Available at no cost with purchase of Versatrans Routing & Planning)

Our Electronic Rollout Sheet (ERS) provides comprehensive data for dispatching. In addition to the standard information needed, the rollout shows the status of the day’s needs. The Electronic Rollout Sheet uses planned data from Versatrans Routing & Planning including vehicle and driver information. The application can be accessed via a desktop browser or mobile device.

By incorporating the data from Versatrans Routing & Planning, this provides a way for a dispatcher to monitor the status of the day’s drivers and vehicles as they prepare to pick up students. Rollout presents a list of routes and planned leave times during the day. A dispatcher can mark that a driver has checked in, or enter substitutions for drivers that have called out sick, as well as swap out vehicles that won’t start. Rollout works in real-time to present relevant information that helps a dispatcher get their drivers and vehicles out on the road.

5.2 VERSATRANS E-LINK™

The telephone in the transportation office rings constantly. The callers and the questions vary, but the answers usually come from the same place: Versatrans Routing & Planning. Answering, researching and responding to these calls takes time and time is precious in a busy transportation office.

Versatrans e-Link is a web-browser-based product that allows approved users to access Versatrans Routing & Planning data via the intranet or the Internet. Parents, realtors, school personnel, district personnel or staff outside of the office can use their own mobile devices or computers to obtain answers to questions about bus routes, times, bus stops, and other transportation information. Parents can do this all on their own without assistance or a time investment from district staff.

COST SAVINGS THROUGH AUTOMATION Implementing Versatrans e-Link can help save time and money by:

Tyler Telematic GPS (TTGPS) hardware is a compact, GPS telematics unit providing not only GPS data, but engine diagnostics and driver behavior data. The Tyler TTGPS unit is the most sophisticated unit available for the school market.

Tyler Telematic GPS is the leading solution for telematics and GPS in the industry today. It provides a unique combination of location, fleet diagnostic, and the dynamics of an accelerometer, all combined for information which allows transportation professionals to better perform tasks that can help improve transportation options in a positive manner.

Tyler has also quoted professional installation services. The Tyler installation teams are led by ASE-certified master mechanics who have installed more than 1 million Geotab GPS units. We know that districts have very qualified, but incredibly busy, mechanics who may not have time to do the installations themselves. We have found that our districts value the quality of the installation service provided by Tyler’s installers and the assurance that they will be able to start realizing a return on their GPS investment shortly after the purchase has been made.

In addition to tracking and reporting, the system has an innovative ability to proactively communicate information. The Tyler Telematic GPS system automatically wakes up during the night, checks the vehicles health and measures the battery voltage. If the voltage falls below a user-defined level, an email can be sent with an alert that the vehicle will not start. This kind of proactive information saves time and money.

LOCATION DATA With the active (cellular) communication method proposed herein, the system provides for live indications of the position, navigation and timing of a given vehicle, a selected group of vehicles, or an entire fleet of vehicles or any subset of vehicles a user may define. Along with position, navigation and timing data, the user can create geofences in the map which trigger alerts as the vehicle enters or exits those geofences. Geofences can be tagged to a given vehicle, a selected group of vehicles, or an entire fleet of vehicles. The system can also indicate that a driver has stopped at a bus stop, arrived at a school, congregated with other buses, entered into a restricted area, or has left or arrived back at their designated overnight parking location.

KEY PERFORMANCE INDICATORS Tyler Telematic GPS provides the most intelligent view of idle data available in the student transportation industry today. Vehicle idling may be divided into two categories, manageable and unmanageable. Unmanageable idling occurs when the vehicle is stopped in traffic, or when it is loading or unloading students. The vehicle idles during these events, but that is necessary to the function for which we are using the vehicle. Manageable idle times on the other hand are truly just unnecessary idle events. Tyler Telematic GPS has a unique process for determining the difference between manageable and unmanageable idles, and for reporting on them, by segregating the manageable from the unmanageable idle times.

MyGeotab software also offers as an industry first, the ability to assign idle time to the person or group responsible. For example, technicians, drivers, and fuelers are all groups which use the vehicle and could cause the vehicle to idle. MyGeotab separates the manageable from unmanageable idle times and also separates the group (or persons) responsible for the idle time. The resulting data can prove that some drivers should not be held responsible for idle time when someone else starts the vehicle.

ACCURATE MILEAGE The algorithms in Tyler Telematic GPS track mileage more accurately than most vehicle odometers. The wear or retreading of tires can alter the accuracy of mileage if recorded by the turning of the wheels, or even on the engine data. Processing mileage through GPS tracks actual vehicle movement with a smaller degree of error.

ACCIDENT RECREATION DATA The unique ability to pin and store pre-accident data has an additional value in that it has been accepted as admissible in court and civil actions.

CONCURRENT USERS MyGeotab software is web-based and designed to handle a large number of simultaneous users. There are installations currently using MyGeotab which are supporting hundreds of users.

FUEL MONITORING The on-board diagnostic (OBD) portion of Tyler Telematic GPS can track fuel levels, indicating when and how much fuel was added, regardless of whether the fuel was obtained internally or externally from the District’s fueling station.

DRIVER SCORECARD Tyler Telematic GPS provides a unique capability to capture driver behavior patterns. These include speed profiles, records of excess acceleration or hard braking, miles per gallon of fuel consumption and specific idle time attributable to the driver. The data is combined to create a driver scorecard to provide the District with valuable information on how to improve driver performance based on the best practices of the highest rated drivers. Additionally, Tyler Telematic GPS offers a proactive tool for drivers to help them operate within their fleet’s operating practices. Before any driver exceeds, or breaks a rule, Tyler Telematic GPS will give the driver an audible warning that a rule is about to be broken. For those times when a little “over rule” is acceptable, the system allows for a user-defined number of seconds before an alert is logged as a broken rule.

THE SOFTWARE Tyler has built its reputation on providing industry-leading software specifically for transporting students to and from school. Tyler’s software programs are known across North America, not only for a user-friendly experience, but also a seamless integration of programs with each other. There are two software components with Tyler Telematic GPS; MyGeotab and Versatrans Onscreen, each of which are described on the following pages.

Tyler’s software is known for its open architecture and Tyler Telematic GPS is no different. Our GPS solution works with software and hardware from most other manufacturers.

REAL TIME LOCATION OF EACH BUS Tyler Telematic GPS provides patented, intelligent interval timing. The GPS unit is recording GPS data in 1 second intervals but only transmitting data when it is needed. When an action occurs, like a turn, a braking incident, or a change of lanes, the system senses the change and will send data in smaller (down to 1 second) intervals while the vehicle is engaged in some action. Tyler Telematic GPS is managing the quantity of data sent without compromising on the important GPS information.

However, the user can ping the vehicle at any time and get a real time update on the vehicle’s speed, heading and positon.

GPS INTEGRATION Tyler Telematic GPS is the only solution that can provide significant cost savings in these four operational areas: Driving Training and Risk Management, Productivity, Fleet Maintenance and Regulatory Compliance.

GPS FLEETVISION INTEGRATION By purchasing Versatrans Fleetvision and Tyler Telematic GPS, the District would be able to automatically generate work orders in Fleetvision based on engine status and diagnostic codes generated by the vehicle. Since Versatrans Routing & Planning also completely integrates with Fleetvision, the District will be leveraging their investment with all of the routing data close at hand.

MYGEOTAB The MyGeotab software solution comes with the purchase of the Telematic GPS unit. MyGeotab is a comprehensive AVL software package which provides features such as real-time GPS vehicle tracking, trips and activity reporting along with other features which will help the District reduce fuel costs by controlling idling, speeding and miles driven. MyGeotab also includes an administrator’s interface into the GPS data and hardware which allows the user to administer certain functions of the unit. Training and technical support will be supplied for the accompanying AVL system.

This is the window into the engine of every vehicle in the District’s GPS-equipped fleet. MyGeotab monitors the status of many of the internal functions of the engine, every second, giving mechanics advanced notice of mechanical issues, thus preventing breakdowns and costly repairs.

MyGeotab will also send alerts on battery voltage levels, low fuel, oil pressure and more. On those cold mornings, the District will know which vehicles are not going to start before even heading to the garage.

THE HARDWARE Our Tyler Telematic GPS hardware is manufactured by Geotab, Inc. Since 1997, Geotab has been manufacturing powerful, end-to-end telematics solutions and has become the resource management system of choice by leading local and international organizations. Geotab’s telematics technology creates a solution that gives customers the tools and data they need to improve efficiencies, reduce waste, build service levels, making real business improvements that cut costs and increase revenues. Geotab has deployed over 500,000 devices worldwide that serve the diverse needs of organizations who wish to measure so they can manage more efficiently.

Tyler’s proposed TTGPS system is based on Geotab’s GO8 technology (or GO8 in some areas). The GO8 is the world’s only small form factor (.91 X 1.97 X 2.95 inches) expandable hardware. With the expandable IOX solutions for hard wiring of auxiliaries, and also to accommodate other 3rd party hardware, the GO8 is unmatched in the industry worldwide. Data collected by the GO8 is sent to a store and forward server and then directed to the District’s own specific database where it is stored for immediate and future use. Cellular technology incorporated into the GO8 is used to transfer data from the vehicle to the store and forward on to the server.

The Tyler Telematic GPS units quoted in this proposal are new GO8 units, not used or refurbished and do not require the District’s own cellular plan. TTGPS units do not require an external antenna, eliminating the need to drill holes in any vehicle’s roof. Many of the new buses models do not require any special wiring during installation to capture events from auxiliary devices, like 8-way flasher and door closers. This portability makes the unit easy to transfer from one bus to another as the need dictates.

The failure rate in the first 30 days is less than 1% with the failure rate after 30 days being below 0.25%. When installed properly in a protected area, many years of use can be expected.

GPS REPORTS We have many stock reports to choose from to analyze the data collected from the District’s GPS units. These reports can be exported to multiple formats including Microsoft Office compatible formats Word, Excel and ASCII.

Tyler also includes a Report Writer which can take the GPS-sent information and provide custom reporting as desired. Such reports can be created without any special programming knowledge from district personnel.

Some reports may be automatically generated and sent to district personnel via email or cell phone. Other reports are designed to be seen on the screen or printed.

VEHICLE IDLE REPORT AND SCHOOL ARRIVAL REPORT Our Vehicle Idle Report is an important tool for isolating the location, duration and cost associated with an idling vehicle. This report has helped many districts save thousands of dollars each year by providing insight in the overall costs associated with excessive fleet idling.

Our School Arrival Report provides the times, early or late, for all buses to the selected school. The report also provides driver information, anchor time and delay (in minutes) of each vehicle. On the following page are examples of the Idle Report and School Arrival Report.

SPEED INFORMATION To our knowledge, TTGPS is the only hardware/software combination that allows for speed comparisons to the posted speed limits and not to just a single set speed threshold. Our Speed Graph Profile reports when a vehicle has exceeded the posted speed limit, the amount by which it was exceeded, along with the time which it was exceeded.

FUEL USAGE REPORT Fuel and distance data are available in different reports within MyGeotab. The “Fuel Usage Report” is the most appropriate report to use for checking distance and fuel used. The report can be sorted several ways and can easily sort by specific weeks, months or between certain dates. The reports function allows for an easy Excel download of the data. For the Fuel Usage Reports to work, the data must be available. Some older vehicles (without an Electronic Gas Gauge) cannot provide downloadable data to MyGeotab.

OFF PATH REPORT Functionality from Onscreen includes monitoring off path deviations from planned routes and generating Off-Path reports to identify specific vehicles and compliance issues.

With the Off-Path Report, the system examines the actual and planned paths of the buses and presents the user with a list of those drivers who have deviations and the percentage of off-path time. When selected, the operator sees the planned route and the actual route clearly indicated on the screen.

EXCESSIVE IDLING REPORTS Excessive idling reports are provided in MyGeotab. It is also important to understand that the way in which the TTGPS units report idle time provides a way to measure controllable idle rather than all idle. For example, idling at a red light is not controllable idle, where idling in a school yard is controllable. The system can distinguish between the two and provide more accurate reporting and analysis.

EXCEPTIONS The Exceptions Report is based on the rules created by the District’s transportation personnel. Anytime a rule is broken, it creates an “exception” which we can then share that information through the reporting. Exceptions like excessive speed, harsh braking, and location reports can all be compiled in this report. The District can know which bus an exception is occurring, when it is occurring, who is driving when a rule is broken and be able to click on a link to see exactly where it happened on a map.

ENGINE DIAGNOSTIC DATA Tyler Telematic GPS tracks vital engine information and diagnostics. The system has an innovative ability to proactively communicate information. For example, the system automatically wakes up during the night, checks the vehicles health and measures the battery voltage. If the voltage falls below a user-defined level, an email can be sent with an alert on the vehicle that will not start. This kind of proactive information saves both time and money.

In MyGeotab, these engine data faults can be queried and/or exception rules can be created for specific faults or engine conditions when desired. A bus-generated automatic alert will be sent to one or more staff members.

PROACTIVE MAINTENANCE One of Tyler’s clients received a new fleet of buses from their dealer, and Tyler Telematic GPS immediately reported a number of engine faults (screenshot below). Notice especially the fault for a malfunctioning ABS brake.

At no cost to this district, the dealer had to come to the bus location and fix these issues under warranty. Tyler Telematic GPS warned the maintenance staff before the vehicles even had plates!

PRE-TRIP INSPECTION DATA One of the many tangible benefits of our telematics and engine data is vehicle tracking information to warn of potential bus and safety issues. Another benefit is to provide the historical data for safety and liability reporting in the event of an accident. Our TTGPS units provide districts with actual bus information before it leaves the garage. The pre-trip data, giving a district the ability to track and report on the bus condition in the event of an accident. This data is not logged in by human hands or using an expensive scanning device, but is automatically transmitted by the telematics and accelerometer. In the event of a possible accident, the unit will immediately email the last 72 seconds of information from the unit, giving the transportation office immediate feedback on what may have occurred.

GEOFENCING In Versatrans Onscreen, the user has the capability to create geographical boundaries, and geofences, that trigger alerts when a specified vehicle enters or leaves the area. The system can also indicate that a driver has stopped at a bus stop, arrived at a school, entered into a restricted area, or has left or arrived back at their designated overnight parking location.

We know that student safety and route efficiencies are the two top priorities of every school district.

Transportation personnel will spend weeks and months planning and testing routes to ensure that they are the most efficient they can be. From the office, it can be frustrating not knowing what the buses are doing out in the field. We’ve had transportation directors ask us, “How can I check on my buses and know where they are?” Tyler created a solution to help customers monitor each and every bus in the fleet, day in and day out, to verify that things go smoothly and safely.

Versatrans Arrival Board allows users to monitor vehicle departures/arrivals from various locations throughout their district in real-time. School staff can monitor drop-offs and pickups throughout their school district from the staff’s location using a mobile device such as a tablet.

The following screen shows the Arrival Board, a real-time indication of vehicles that are running late. Rather than a simple alert or simply indicating that a vehicle was late, this information provides the actual route arrival time frame. The vehicle’s location is automatically updated every five seconds* and the ETA is recalculated to accommodate any delays due to traffic while in route.

5.7 VERSATRANS STUDENT TRACKING™

Tyler has researched numerous technologies for tracking the loading and unloading of students from a bus including fingerprint and other biometric reader technologies, low frequency and high frequency radio frequency identification (RFID), passive and active RFID. Through these efforts, Tyler has determined that the best value for student tracking is an RFID reader/writer mounted in the stairwell area at the front of the bus. This allows students to present their tags or cards as they enter and exit the bus. Students in many districts are already using RFID tags or cards for lunch point-of-sales systems and library systems and are familiar with the process of presenting their tags or cards to perform certain tasks at school on a daily basis.

Tyler supports industry standard Near Field Communication (NFC) cards with our readers. We recommend cards that use the MIFARE® Ultralight chipset and the NTAG213 chipset. If the school is using existing RFID cards that are not NFC, please let us know, and we can probably support them.

Student Tracking can be added later, as needed. It is not necessary to add RFID readers at the same time as installing TTGPS. The same unique harness which allows an easy connection of the RFID reader/writer to the TTGPS hardware also ensures that when the TTGPS 97db buzzer sounds, a RFID tag has been read and the data is queued for transmission. This technique provides for a very high read rate which is not seen by other RFID student tracking systems in the K-12 transportation industry. RFID scans are processed in real-time by Tyler Drive and near real-time for TTGPS.

5.8 NEAR FIELD COMMUNICATION AND DRIVER TRACKING

The Tyler Telematic GPS solution adds the ability to have a key fob for drivers, aides and monitors on the bus. With the Near Field Communication (NFC) touch pad on the bus, the driver “logs” in or out. The time of that action is recorded by Tyler Telematic GPS. Similarly, when a monitor or aide “logs” in or out at any point during the run, the time of that event is recorded. The driver, aide or monitor information is uploaded to and collected by a data collector and then transmitted to Tyler’s Onscreen AVL application. Tyler is able to report on time accumulated between scans for use in timekeeping purposes, tracking purposes and associating job classifications with pay rates for those classifications. Onscreen then provides a report that can be imported into Tyler Munis software as well as other payroll software solutions.

Field trips are enjoyable outings for students, but many times administrative nightmares for school officials, transportation departments and providers. Field trips often involve much more planning, scheduling and management time than any one-time event reasonably should. Versatrans Triptracker takes the pain out of this planning. It is a Web-based solution for managing all aspects of the field trip process, from the initial request through invoicing.

With many powerful features such as automated driver selection and a user-defined approval process, Triptracker provides school districts with the tools necessary to manage and track field trip activity. Triptracker automatically presents key information when users log in to the system. Requesters will see current trips and status. Transportation clerks will see all activity for the day or week, including trips that need to be assigned, billed, approved and paid. Drivers will see their upcoming trips, view and print detailed trip information and directions. Schedulers can easily assign drivers to trips based on specific criteria and eliminate hard-to-manage paper trails for trip requests.

5.10 VERSATRANS FLEETVISION®

Versatrans Fleetvision provides accountability and overall control of fleet maintenance operations. Fleetvision empowers users and ensures that their operations are as efficient as possible. It is designed to help school districts manage their equipment, service and track the costs of that service including; inventory and shipment of parts, work orders and preventative maintenance schedules, fuel shipments, logs, vehicle maintenance records, vendor and customer records, purchase orders, and employee certification schedules.

Fleet maintenance can be greatly enhanced with the use of Tyler Telematic GPS hardware and software. This solution collects valuable engine data automatically through the vehicle’s On-Board Diagnostic (OBD) port. If an engine fault is reported, the data will instantly be transmitted to Versatrans Onscreen through a GPS cellular connection. The Collector deciphers the fault code and sends it to Fleetvision where a work order request is automatically created.

For our hosted clients, software is hosted on Cisco’s Unified Computing Solution in a SSAE 16 certified data center located in Yarmouth, Maine. The Cisco UCS is highly redundant and instantly and infinitely scalable. Additionally, Tyler maintains a second collocated data center in Dallas, Texas. In the unlikely event of a catastrophic physical loss of the primary data center, a secondary environment can be made available within hours in the alternate data center. Both data centers consist of redundant hardware, battery backup, generator backup power, and redundant internet connectivity provided by two providers entering/exiting two separate locations of the data center building.

OPERATIONAL TASKS Tyler’s ASP operations team is dedicated solely to our hosted services. The team performs a number of ongoing proactive steps to ensure the best possible performance and stability — many of which are unique to our configuration, and highly technical. The operations team also performs routine maintenance and administration to the system. The tasks include, but are not limited to:

REDUNDANCY Virtually every potential point of failure has been addressed. Each hardware device has a failover component that will take over in the event of a failure. Tyler strives for 99% availability during normal service hours. In the unlikely event of a total facility failure or a catastrophic event at the production hosting environment resulting in unavailability of the hosted solution, a secondary hardware environment located in another Tyler location will be made available, and the previous night’s backup will be restored and made available for the district’s use while the production environment is being repaired.

Tyler utilizes multiple internet service providers (ISPs) with routes coming from different internet hub locations. An uninterruptible power supply (UPS), as well as a diesel generator, provide alternative power, and the disk sub-system uses fully-redundant drive arrays that prevent downtime due to a failed disk drive. All nightly backup tapes are stored off-site, and monitoring software constantly monitors the performance of the system and alerts operations staff of any irregularities.

A recent audit of Tyler’s data center, sponsored by one of Tyler’s hosted clients, was performed by IBM Global Services. The audit was conducted to formally document the redundancy and fault tolerance capabilities of the data center and its operational procedures. The following is an excerpt from that audit:

“The... corporation facility and data center are well maintained. Single points of failure have been eliminated. The facility has dual telecommunications feeds with separate entry points into the building. Backups are performed nightly and backup tapes are sent off-site to a secured, environmentally controlled vault...”

Our professional staff is trained and knowledgeable in all aspects of administration, our facility is state-of-the- art, and our attention to our clients is unrivaled.

BACKUPS AND AVAILABILITY Data backup are automated and performed nightly to a backup appliance located remotely from the production hosting environment. The district will be able to access the hosting environment from 6:00 a.m. eastern time to 9:00 p.m. eastern time with 99.0% availability, as measured over the typical week. Support of our applications, however, will remain as detailed below. A toll free support number will be provided for ASP customers in need of assistance accessing the hosting environment in the time outside of standard Versatrans® application support hours.

HOSTING SECURITY Hosting Operations follow security best practices dictated and defined by the three assurance audits that Tyler is subject to: SOX-404 Financial and IT General Controls, PCI Security Council PA-DSS/PCI- DSS, and the AICPA SSAE-16 SOC 1 Type 2. Tyler Technologies has no history of data loss or security breach. At Tyler, we take hosting operations security and protocol extremely serious.

In Versatrans Routing & Planning, this provides fairly granular control, including the ability to set functions at the read-only or edit level. The district may create as many user groups as might be needed. The various system users are added into the user groups and therefore receive only those rights as indicated for that group. Each user has a username and password combination that will allow them access to the software. There should always be a system administration group that allows members of that group access to all functionality in the system.

VERSATRANS E-LINK™ AND VERSATRANS MY STOP™ SECURITY Security in Versatrans e-Link makes it easy to provide data security and privacy by offering privilege- based user access. A user’s access is controlled by privileges associated with each user’s account.

Administrators have full control over who can access the systems, the screens they can access and the actions each user can perform. The program administrator can also control the data that the user sees on a given screen based on his user profile. In other words, school and transportation personnel can be granted access to different student information than parents or other types of users.

Versatrans My Stop requires each parent e-Link username and password to obtain bus arrival information.

Versatrans Routing & Planning and Versatrans e-Link both support Active Directory integration with single sign-on. This is achieved by enabling Active Directory integration in both applications and mapping Active Directory groups to the user groups in the software. In any given district, many independent software systems may contain common data elements: a transportation routing and planning system, a library system, a student information system and more. 5.13 RUN BUILDING

With Run Building, Tyler staff builds routes on-site for you with the assistance of District staff to provide critical local geographical and operational direction and insight. Routes will be created to reflect the District’s existing routes as provided by the District, at the time of the project. The purpose for creating existing routes is to ensure a smoother transition toward and adoption of Tyler’s solution for automated routing and planning. District staff will then be able to work with familiar data as they continue to learn the system.

Tyler will attempt to build all quoted routes using existing district route sheets. It is possible that inaccurate or out of date route sheets could impede the Run Building process. Tyler’s approach is to build route paths and then allows the District to use tools within Versatrans Routing & Planning to assign students to stops. These steps follow the student data preparation process covered in the initial training sessions and is usually an automated process. Tyler defines a route as one trip that begins with an empty bus picking up a group of school children during a designated timeframe and dropping them off at their assigned destination, leaving an empty bus. (i.e. One AM route begins at the first bus stop and ends after all the children have been dropped off at their assigned school, leaving the bus empty). In this proposal, we have not included costs for building routes for special needs, midday, or out-of-district routes, because such routes change frequently and would likely become outdated before the project is complete.

The District will be required to review, approve and sign off on all routes built by Tyler staff. The Tyler Project Manager will oversee the Run Building process to confirm that all resources, District and Tyler, are performing assigned tasks satisfactorily and to monitor project progress and assess any project risks.

Additionally, Versatrans Routing & Planning automatically geocodes students, either individually or in batch, and even includes a customizable list of street “aliases” to account for situations in which a road is known by more than one name (e.g. Congress Ave vs. Congress Av, Main St vs. Route 146, etc.). A student using one of the legitimate alias names will still be located correctly on the map.

A further, more tailored, solution for on-going support is Tyler’s Consulting Services. With more than 25 years of experience, our Consultant, Merle Winn, is a very qualified individual to lead the District in implementing new changes and would provide assistance for further development as needs arise. While initial project oversight would be conducted by Implementation and Project Management, Mr. Winn would be a follow-up to assist the District in analyzing and developing efficiencies in student transportation throughout the course of the District’s relationship with Tyler.

MERLE WINN’S RESUME Merle is a University of Rochester graduate with a B.A. in Geology. Since joining the company in 1987, he has served in a variety of roles, including sales, data preparation, client training, and technical support. The close contact and correspondence with customers throughout those experiences have given Merle a unique perspective on their diverse business processes and on the industry at large.

For the past 12 years of his career at Tyler, Merle has provided consulting services for clients facing transportation issues to help them find the most effective methods of routing and to maximize routing efficiencies. Student data including their stop times and stop addresses can also be sent to third-party GPS systems for integration with third-party parent apps or onboard tablets. Route data is not available for export. How a third-party software consumes and displays said data will depend on the capabilities of that software.

TRAVERSA AND SAAS Tyler has been offering hosting services since 1999, and the transportation solutions suite (Versatrans Routing & Planning and more recently Traversa) has been available for hosting by Tyler since 2010.

For Tyler’s hosted clients, the software is hosted on Cisco’s Unified Computing Solution in two SSAE 16 certified data centers. Both data centers consist of redundant hardware, battery backup, generator backup power and redundant internet connectivity provided by two providers entering/exiting two separate locations of the data center building.

Each hardware device has a failover component that will take over in the event of a failure. Tyler strives for 99% availability during normal service hours. Tyler utilizes multiple internet service providers (ISPs) with routes coming from different Internet hub locations.

Tyler Technologies has no history of data loss or security breach. At Tyler, we take hosting operations security and protocol extremely serious.

Tyler’s Hosting Operations follow security best practices dictated and defined by the three assurance audits that Tyler is subject to: SOX-404 Financial and IT General Controls, PCI Security Council PA-DSS/PCI-DSS, and the AICPA SSAE-16 SOC 1 Type 2.

5.15.3 RIDE 360™ Traversa’s parent portal, Ride 360, gives parents secure web and mobile access to routing information, which can include the bus stop, route, and bus number. Parents register for the portal themselves, so there is no time-consuming user creation for districts. The sign-up process is secure, and the district creates parameters whereby parents access only their child(ren)’s routing information. The district can configure how much information to show, and parents can even send messages to the district through the portal, as an email to whomever the district prefers.

5.15.5 ELECTRONIC ROLLOUT SHEET™ Traversa’s Electronic Rollout Sheet (ERS) provides comprehensive data for dispatching. In addition to the standard information needed, the rollout shows the status of the day’s needs. The Electronic Rollout Sheet uses planned data from Traversa including vehicle and driver information. The application can be accessed via a desktop browser or mobile device.

This provides a way for a dispatcher to monitor the status of the day’s drivers and vehicles as they prepare to pick up students. Rollout presents a list of routes and planned leave times during the day. A dispatcher can mark that a driver has checked in, or enter substitutions for drivers that have called out sick, as well as swap out vehicles that won’t start. Rollout works in real-time to present relevant information that helps a dispatcher get their drivers and vehicles out on the road.

5.15.6 MULTI-DISTRICT MODEL Information relating to Tyler’s Multi-District Model and contained in this section is strictly proprietary and confidential.

Historically, even the most robust routing and planning systems catered to the single school district. They were not designed for distributed transportation operations or large, regional service providers.

Early in the research and development of Traversa, we made a conscious effort to reverse this trend. We aimed to preserve capabilities that resonate with our users while also providing opportunities to take transportation management solutions to the next level. We soon realized that other providers lacked both the capability and the technical wherewithal to introduce a true enterprise-class transportation management solution—a first in the industry.

There are obvious examples of this: vehicles, drivers, employees, parts, users, but also other items that could be used by different sites like routes or buildings. Almost any item used in transportation operations could be set for use by multiple sites, or may be limited to just one.

REPORTING/VIEWING INFORMATION

At certain levels of the organization in a Multi-District Model, information will need to be viewed and reported on for one or more school districts. This may include information visible within the application, individual reports, or information presented on reports. Corporate level users will be able to report on each school district, as well as combining information from multiple school districts. This may be to compare or contrast data points like student ride time, driver absenteeism, or route costs. Or it may be to simply gather totals across their organization for route costs, part costs, or vehicle mileage. OVERVIEW Tyler Drive is an on-board solution built specifically for the K-12 student transportation industry. Tyler Drive solves many of the challenging and unique needs of student transportation operators including school districts, service providers and school bus contractors who must manage a largely unsupervised employee base. Using the latest and most secure Android platform, Tyler Drive encompasses all of the critical elements of a transportation system: route planning, timekeeping, GPS, AVL, and turn-by-turn navigation. Furthermore, Tyler Drive delivers an in-vehicle tablet solution which leads the industry in price and performance. Your District can now acquire best- in-class technologies from a single provider with one number to call when help is needed. Tyler is the sole developer of all proposed software products, so there are no third parties to interact with and no multi-party data integrations to worry about.

TYLER DRIVE: DRIVE THE ROUTES YOU ACTUALLY PLANNED Two of the major problems with existing mobile data terminal (MDT)/tablet solutions are the map source and the routing algorithms. When the mapping data and routing algorithm used by the planning system differ with those of the MDT, the school bus could be navigated in a manner which is different from what the route planners designed. Tyler Drive is the only solution available which uses the same routing map on the MDT or tablet as the routers in the office. Competing systems have

historically been incapable of navigating the bus on the planned path. This is a significant differentiator that Tyler brings to the table.

As explained elsewhere in this proposal, when implementing Versatrans Routing & Planning or Traversa, Tyler works with customers to create a map in the software which is capable of routing a school bus. Our GIS department works with each customer to prepare that data then makes that map data available for any of Tyler’s systems: Versatrans Routing & Planning, Versatrans Onscreen, Traversa, or Tyler Drive. This means that the same map that was used to plan your routes in Versatrans Routing & Planning or Traversa is used as the navigation map in Tyler Drive. Using the same map means Tyler Drive can dynamically, and correctly, route the driver when a bus stop is skipped or missed.

A RUGGEDIZED ANDROID TABLET DEVICE School buses are unique. Tyler realizes this. School budgets are also unique, and Tyler realizes that a mobile data terminal that will both withstand the rigors of the school bus operating environment yet be affordable enough to meet tight budgets is of utmost importance. The Tyler Drive tablet has been designed to meet both needs.

The Tyler Drive tablet is a semi-rugged device specifically for the school bus environment which is positioned in between the mass produced consumer grade varieties and the highly rugged military-grade devices. Key technical aspects of the Tyler Drive Tablet include:

• Tyler Drive runs in Kiosk mode – Users do not need to know how to use an Android device • Multiple/gang charging solutions available

IN-VEHICLE NAVIGATION Turn-by-turn navigation – Tyler Drive uses the planned path for the bus run that is built by either Versatrans Routing & Planning or Traversa and presents that exact path, with all the stops and stop descriptions, to the driver.

Runs always current - All runs associated with the driver are refreshed every time the driver logs into Tyler Drive. The driver can also request a refresh of their runs at any time, giving dispatch the ability to update runs during the day or even during a run. In the event a run is not serviced, for example, routers can split the run between two drivers, and both drivers can update their tablets and conduct one half of the run with little confusion or delay.

Off route - If the bus goes off route, Tyler Drive will reroute the driver back onto the planed route and navigate the drive to the next unserviced stop. Tyler Drive will not skip a stop unless the driver opts to do so.

Missed stop - If a stop is missed, Tyler Drive will continue to navigate based on the planned path and will present the driver with a notification that a stop has been missed. The driver is presented with an option to skip the stop or to be rerouted back to the missed stop. After the missed stop is serviced, Tyler Drive returns the driver to the planed run and routes the bus to the next planned stop.

Motion Lock - Tyler Drive offers an optional Motion Lock setting that limits the tablet’s display while the bus is moving. Motion Lock can be activated in two modes:

1) All Screens – the device display will be dark, but audible directions will still be provided to the driver. When the bus comes to a complete stop, the map and bus stop information will reappear.

2) Map Only – only the map display will be shown while the bus is in motion, still with audible directions. No other screens will be accessible until the bus comes to a complete stop, at which point the bus stop information will appear.

TIMEKEEPING Drivers don’t just drive buses. Aides and monitors, too, have responsibilities that are not necessarily connected to being on a school bus. Whether they are coming in for training, to fuel multiple buses, for meetings, or anything else not connected to a specific vehicle, your drivers still need to clock in and get paid. Timekeeping is an important part of any operation and it needs to be accurate.

STUDENT RIDERSHIP ACCOUNTING (STUDENT TRACKING) Current Tyler Drive functionality includes ridership manifests with student pictures. Tyler already has student ridership accounting functionality in Versatrans Onscreen. The solution consists of an RFID reader mounted on the bus and connected to the Tyler Drive mount.

AVL (AUTOMATIC VEHICLE LOCATION) To fulfill the basic need of knowing where your buses (and students) are at any given time, Tyler Drive contains AVL (Automatic Vehicle Location) capabilities. The Tyler Drive tablet already consists of a high-resolution GPS receiver, and the unit simply sends periodic and on-demand GPS location information back to the AVL system in the office. The data will allow you to know where your buses have been, what scheduled bus stops have been performed, and if a driver has traveled off the planned route.

ELECTRONIC VEHICLE INSPECTIONS A safe vehicle is a fundamental requirement of any transportation operator. Streamlining and recording that process are of utmost importance. Tyler has taken a highly pragmatic approach to this and is currently designing a highly intuitive Electronic Vehicle Inspection application that is available as an integrated function of Tyler Drive. Tyler’s vehicle inspection does away with the costly, purpose-built handhelds currently on the market and remedies the flaws inherent in those systems. We put the onus on the employee performing the inspection to perform that inspection correctly and to require an electronic signature certifying that they performed the inspection.

5.17 PROJECT MANAGEMENT

Depending on the size and scope of a project, a dedicated project manager may be assigned to the District’s project. Typically, a project manager is assigned for a range of 5-10 days based on the project guidelines and the agreed upon project schedule.

For our project management methodology, we’ve taken the successful approach to implementation we’ve used over 25 years and integrated it with the principles of the Project Management Institute (PMI), a globally recognized organization dedicated to the project management profession. As a result, our clients receive an implementation method tailored to meet their specific needs.

PMI’s PMBOK® (Project Management Body of Knowledge) Guide proposes that there are five process groups to every project: Initiating, Planning, Executing, Controlling, and Closing. As part of Tyler’s commitment to incorporating the PMI principles into our implementation process, we have integrated these proven technologies of the PMI process with Tyler’s implementation experience, to yield a proven approach that is tailored to the public sector.

Our project managers are trained to maintain the professional standards of PMI. Through the institute, our project managers earn Project Management Professional (PMP) certification, a qualification program that signifies a professional has met very stringent guidelines.

Tyler’s project management process emphasizes the importance of cultural change management. This is how we guide our clients through the changes that accompany implementation of a new software system and help to provide a smooth transition to the new system. For Tyler clients, the proof of our approach is in the outcome—a successful implementation.

Success can be achieved with communication, proper planning, implementing and constant assessments. All projects start with a Tyler’s project manager communicating with the client in a kick- off meeting. This meeting is to introduce, identify the team members and schedule an onsite project planning meeting. We have included a proposed project schedule and are committed to successfully completing the project in a timely manner. Tyler will make every effort to complete the proposed project within the timeline provided in our proposal. Due to the shared nature of responsibilities between the District and Tyler, there may be circumstances beyond Tyler’s control that can result in changes in the timeline, therefore the project schedule provided may change.

PRODUCT TRAINING (VERSATRANS ROUTING & PLANNING) To ensure we collect the right data to add to the map, we get the District involved in the implementation process as quickly as possible. Versatrans users receive an orientation to the software and the map, along with the following training that occurs throughout the implementation process.

DATA PREPARATION TRAINING Data preparation training is typically performed online via GoToMeeting™, an Internet-based conference, training, and support tool. Using this tool, our trainers provide instruction and demonstration on how to use system functionality to prepare the data for use in building routes, including, but not limited to, instruction on:

• Managing student data to include addressing any school, grade, program errors, student location issues and to identify special needs students

• Editing the various elements of the map • Defining map restrictions • Classifying bus stops • Defining school and district boundaries

During data preparation training, a Tyler Implementation Consultant helps users identify what adjustments may need to be made to their data before the District’s staff can start building routes and gets the District’s staff started on making corrections. In certain cases, onsite training for this portion may be required.

ROUTING TRAINING Routing training is conducted for a maximum of five people onsite, using client data, maps and computers. “We use the customers’ data and computing resources because we know they learn better in their own environment using real and specific, rather than hypothetical and generalized situations,” says Jane Majovski, Training Manager. “We usually train two to five people at a time in a very hands-on, personal manner.”

Routing training covers training on how to build routes and how to use the functionality to automate daily operations. Anyone who may use the software is encouraged to attend - from superintendents to bus drivers. Training often includes a wide variety of user levels, ranging from novices to power users. “Versatrans Routing & Planning performs a wide range of functions,” says Jane Majovski. “It’s important that users learn to do the things that matter to them, and that they learn in a non-threatening, empathetic environment.”

We also offer Run Building as a service at an additional charge.

GPS/AVL GPS is required for AVL training. Training will be conducted for districts that choose to implement this portion of the software. Training will include tracking vehicles on the map in real time. It also collects and monitors data such as speed, location, and heading. Additionally, it can be used to retrieve historical coordinates (i.e. paths) for individual vehicles, set up geofences, and alerts.

FLEET MAINTENANCE AND WORK ORDER TRACKING Training will take place to monitor maintenance that occurs in the transportation department. Examples include recording work orders with details of what vehicles are to be worked on, the work that is being done, which parts are used and who is doing the work. Track preventative maintenance for each vehicle; see what maintenance is scheduled to occur, and how long the work will take to complete.

ACTIVITY TRIP MANAGEMENT Training will be conducted to track field trips, plot the path on a map, and specify who is driving and being transported on that field trip or other activity trips.

5.20 TYLER TELEMATIC GPS IMPLEMENTATION

Implementing Tyler Telematic GPS hardware, MyGeotab and Versatrans Onscreen software is a different experience with Tyler than with other software vendors. In addition to offering the most feature rich, easy-to-use, powerful software applications available, we provide services that help the District’s staff harness the power of the system and the underlying data that resides.

Implementation of Tyler Telematic GPS begins with confirmation of district vehicles and the shipment of the units to the client location. Tyler is recommending that the District have their hardware installed by our professional installation group. Tyler partners with several different installers for professional GPS and Student Tracking hardware installations.

GPS PROFESSIONAL INSTALLATION TRAINING Tyler’s expert installers have over 120 years of industry experience combined, working with all years, makes and models of buses and other school fleet vehicles in the United States and Canada. They have also installed more than 150,000 Geotab GPS units.

During the professional installation process, the professional installer will also conduct a training session on the maintenance and installation of the hardware for up to five district staff. Rates for professional installation includes travel expenses for the installer to visit the client location.

Tyler’s installers will require access to the District’s fleet, including some district personnel to drive and move buses. This may include access during evening hours and on weekends depending on the size of the fleet, the amount of accessories chosen and the timeline parameters. Installation during school attendance days are scheduled to cause the least amount of bus schedule interference.

TYLER TELEMATIC GPS INSTALLATION, TRAINING AND SUPPORT OVERVIEW After award, contract signing and shipping of the Tyler Telematic GPS units, an Implementation Specialist will contact the District with detailed information on what to expect with installation and training. Tyler’s Implementation Specialist will provide all of the information needed and is the initial support person before installation and training begins.

By following the guidelines below, Tyler will provide instruction and dedicate the maximum amount of time to provide instruction for the District’s hardware:

• Limiting class sizes to five (5) people, including shop foreman and mechanics • Ensuring that all trainees have a working knowledge of school bus and district vehicles • Organizing the trainee’s day so that they spend 7.5 contact hours per day training, excluding

lunch and short morning and afternoon breaks. • Having vehicle(s) available for the installation training (prefer one of each type if possible)

SELF-INSTALLATION TRAINING As part of the self-installation training, district staff members will perform installation of GPS devices and related accessories, under the direction of Tyler’s installers. Training should take place in a shop or bus yard, whichever is conducive of current, local, weather conditions.

The self-installation training will concentrate on, but is not limited to the following topics as applicable:

• Installation of the Tyler Telematic GPS units in client vehicles • Connecting auxiliary inputs • Testing the hardware unit after installation • Recording installation • Once the GPS units are installed and we can collect at least one week of data from the

District in preparation for training. • Training on MyGeotab Software and Versatrans Onscreen • Tyler’s training department will schedule a training overview for Geotab and Versatrans

Onscreen. Training will consist of 4 separate sessions, totaling 6 hours of training, allowing one week or more in between sessions:

• MyGeotab overview totaling 90 minutes* • Follow up Q&A totaling 90 minutes* - This session also includes implementation assistance

and customized training based on the District’s needs. • MyGeotab report overview totaling 90 minutes. • Onscreen overview totaling 90 minutes. Transportation staff should attend this session.

*Shop foreman, lead technicians, and transportation staff should attend these training sessions.

ANCILLARY SOFTWARE IMPLEMENTATION: VERSATRANS ONSCREEN & MYGEOTAB Depending on the software product, clients will either receive an email with instructions to download the software from our website or be contacted to schedule installation with a member of Tyler’s technical staff. Technical support is available immediately to assist with installation.

ANCILLARY SOFTWARE TRAINING: VERSATRANS ONSCREEN & MYGEOTAB Most ancillary software products come with a day of online training for up to five users. The training covers most of the functionality that will be used in the day-to-day operation of the software.

Versatrans Onscreen has a combined Installation and System Orientation session that is provided a short time after the initial install has taken place. The delay allows for the software to be installed and populated with GPS data, which is then used for training purposes. Tyler has had great success with this approach due to the focus on relevant vehicle and location data. Since Versatrans Onscreen is purchased along with Tyler Telematic GPS, the orientation will also include functionality included with the MyGeotab software.

Contractor Requirements

Contractor Certification Contractor's Employment Eligibility

By entering the contract, Contractor warrants compliance with the Federal Immigration and Nationa1ity Act (FINA), and all other federal and state immigration laws and regulations. The Contractor further warrants that it is in compliance with the various state statues of the states it is will operate this contract in.

Participating Government Entities including School Districts may request verification of compliance from any Contractor or subcontractor performing work under this Contract. These Entities reserve the right to confirm compliance in accordance with applicable laws.

Should the Participating Entities suspect or find that the Contractor or any of its subcontractors are not in compliance, they may pursue any and all remedies allowed by law, including, but not limited to: suspension of work, termination of the Contract for default, and suspension and/or debarment ofthe Contractor. All costs necessary to verify compliance are the responsibility of the Contractor.

The offeror complies and maintains compliance with the appropriate statutes which requires compliance with federal immigration laws by State employers, State contractors and State subcontractors in accordance with theE-Verify Employee Eligibility Verification Program.

Contractor shall comply with governing board policy of the NCPA Participating entities in which work is being performed

Fingerprint & Background Checks •

If required to provide services on school district property at least five (5) times during a month, contractor shall submit a

full set of fingerprints to the school district if requested of each person or employee who may provide such service.

Alternately, the school district may fingerprint those persons or employees. An exception to this requirement may be

made as authorized in Governing Board policy. The district shall conduct a fingerprint check in accordance with the

appropriate state and federal laws of all contractors, subcontractors or vendors and their employees for which

fingerprints are submitted to the district. Contractor, subcontractors, vendors and their employees shall not provide

services on school district properties until authorized by the District.

The offeror shall comply with fingerprinting requirements in accordance with appropriate statutes in the state in which

the work is being performed unless otherwise exempted.

Contractor shall comply with governing board policy in the school district or Participating Entity in which work is being

performed

Tab 10 EXCEPTIONS Exceptions to the Region 14 Education Service Center Request for Proposal for Transportation

Software Tyler’s contract negotiation philosophy is to balance the rights and responsibilities of both Tyler and the Region 14 ESC, taking into account issues of special importance to each party. We reserve the right to negotiate any and all terms to the mutual satisfaction of the parties. Indemnity (Master Agreement General Terms and Conditions): Tyler shall defend, indemnify and hold harmless the Region 14 ESC from and against any and all direct claims, losses, liabilities, damages, costs and expenses (including reasonable attorney's fees and costs) for personal injury or property damage arising from Tyler's negligence or willful misconduct; or Tyler’s violation of a law applicable to Tyler’s performance under the contract. The Region 14 ESC must notify Tyler promptly in writing of the claim and give Tyler sole control over its defense or settlement. The Region 14 ESC agrees to provide Tyler with reasonable assistance, cooperation, and information in defending the claim at Tyler’s expense. Certificates of Insurance (Master Agreement General Terms and Conditions): Tyler will notify the participating entity at least thirty days prior to cancellation or non-renewal by Tyler’s insurance carrier. Formation of Contract (Process): Tyler’s Proposal is an offer to contract with the Region 14 ESC based upon the terms, conditions, scope of work, and specifications contained in the RFP, except as modified by, taken exception to, and as otherwise provided in Tyler’s Proposal. NCPA Administration Agreement

Fees and Reporting: Tyler expects for the administrative fee not to be charged on travel expenses incurred by Tyler in the provision of implementation services, taxes for which the participating entity is responsible for reimbursing Tyler, and ongoing annual services, such as maintenance & support and disaster recovery (as these are sole sourced directly from Tyler). Tyler’s books and records relating directly to the contract may be audited once per year on one week’s advance written notice, and at the expense of the auditor. General Provisions: Any use of Tyler’s name and/or logo by NCPA requires Tyler’s prior written approval.

Any additional background checks for Tyler personnel providing onsite services must be mutually agreed to by Tyler and the participating entity. Sections 5 and 6: Tyler shall retain ownership of all (i) software products licensed to participating entities; and (ii) proprietary information contained in all deliverables. Tyler does not agree to work for hire provisions.
