What is a Gaviota Spa?

Gaviota Spa & Clinic (GSC), is not a clinic, neither is it a traditional spa. However, it does perform the basic functions

of these establishments. It is a center to promote health, prevent illness and restore the normal functions of the

body. This spa is where you will be able to learn how to live a healthy life. It combines the functions of both Spa and

Clinics.

The combined therapy will be offered at Clinic’s Spa-Gaviota’s. This treatment is based on the research of Garis

Silega, MD who is a specialist in Rehabilitation and Physical Medicine with more than 30 years of study in

Thermalism, Climatology and Spa Management.

The results are self-evident and cause a cellular hydration and appearance that will make your skin and face look

10 to 20 years younger.

The Therapy also causes hormonal stimulation, with an increase of sexual appetite, greater vaginal lubrication and

good erections for men. Other processed natural and physical stimulants can also be used to achieve this result.

This therapy also includes certain natural products based on herbs and roots in the form of infusions to create a

treatment complex that increases the organism's functional capacity. This is why it is already recommended for

high performance athletes and reduces the duration of muscular injuries with rapid recovery. In some cases they

can be combined with trips to health tourist centers where their natural therapeutic effects are indicated.

In the quest for a better quality of life among the elderly, this revolutionary cellular therapy could be indicated for

the prevention of cerebral ischemia’s, cerebrovascular accidents, and degenerative diseases of the nervous system

such as Parkinson's and Alzheimer's, among others.

These rejuvenating wellness services include several types of massages, facials, hydration treatments, red light

therapy, US, magneto therapy, seaweed therapy and other techniques of oxygen therapy, weight management

treatments, UV therapy, tannings, Thermalism, hidropinoterapia and a wide range of skincare and nutrition

products all bundled together to help customer achieve their total skincare, wellness and stress relief goals.

If you are in search of the Fountain of Youth as a personal treatment, or if you would like to offer this treatment to

others; Gaviota Spa & Clinic is your solution

Medical and Spa Services together are Not an Extravagance

With the help of a spa, you can keep yourself fresh and rejuvenate your mind, body and soul. Even if you get very tired after sight-seeing the whole day, visiting the spa for just few minutes will get you back to normal. In a spa, a wide range of therapies are performed which have specific target regions. Also, you can undergo other therapies such as aromatherapy, acupuncture etc., which have great benefits. There are many procedures for mental wellness as well and these procedures are very effective in maintaining a mind which is free from tension.

The emergence and development of Spa Gaviota is a necessity of modern society. Much has been said about the diseases modern society faces and the risks they bring; Spa Gaviota has become a vehicle to find the most effective weapon against these diseases.

Gaviota Spa’s therapeutic program comes complete with different massage therapy, breathing exercises and relaxation for asthmatics, hydrotherapy, mud packs, herbal bath, heliotherapy, quartz lamps treatments, seawater inhalations, aromatic and medicinal herbs, etc.

A Day Spa for the Crowds

Enormous Potential

A Gaviota Spa is a neighborhood wellness center, a one-stop, membership spa that provides

unlimited access to services for a monthly fee.

All the services are in private rooms. Wellness treatments include facials, a detoxifying

sauna, rejuvenating hand therapy, oxygen therapy, guided meditation, therapeutic

massage, weight management treatments and spray tans, UV therapy and so much more.

The spas also carry a number of proprietary and national nutrition, skincare and take-home

spa products lines.

Page 9: Spagaviotafranchise38

The Gaviota Spa concept connects with customers because it delivers what they want:

•Convenient, less expensive services

•Somewhere to relax and recharge

•Innovative technology

•Reciprocal membership-based offering

•A place to escape the everyday routine

The Thermalism, Thalassotherapy are alternatives therapies and are the base the Spa Gaviota. The economic and social impact of hydrotherapy and thalassotherapy are important: - The sector contributes to strengthening not inconsiderable supply of tourist facilities (hotels, restaurants, cafes ...) - Also contributes to job creation in disadvantaged regions: for every 100 customers create four permanent jobs and temporary jobs in June (taking into account the seasonality of the thermal and thalassotherapy activities The spa has experienced uneven development in Europe. Only Germany and Italy are ahead of France, receiving in their establishments to four and three times more customers, respectively, that the French spas.

Page 10: Spagaviotafranchise38

One Gateway Center. PO Box 32534. Newark. NJ 07102 “In the beginning everything was like it”

Each country has a tradition and a Hydrotherapy conception of its own: - Italian Hydrotherapy structure is similar to the French, both from the therapeutic point of view and from the point of view of its dependence on the reimbursement of social agencies is (85% of patients are covered by social security). But it should be noted a difference: the share of foreign patients is 20% in Italy, while in France is less than 1%). - Spanish establishments are little specialized medically speaking. More than two thirds are actually thermal hotels. The modern Thalassotherapy is a purely French product. With its extensive experience, French professionals have managed to export its "savoir-faire" to three main areas: - Around the Mediterranean (Morocco, Tunisia, Spain, Portugal, Cyprus, Greece ...), where French companies have created a large number of facilities. - The countries of Latin America. There are ongoing negotiations between countries such as Brazil, Colombia or Argentina and French operators such as Accor hotel group. - The Far East. Accor and Aqua Medic have exported their "savoir-faire" to Japan (Shima), and Indonesia (Bali). According to estimates by the CNAMTS (Caisse Nationale de l'AssuranceMaladie), the total amount of expenses discharged in thermal cures amounted to over 1.3 billion dollars. This lump sum can be divided into two parts according to principles derived directly or not spending thermal treatment itself: ISPA estimates that one of every four people has been to a spa. Men now make up more than 30 percent of spa -goers. The so-called Millennial, born in the 1980s, are making spas a regular part of their lives. In the United States, 78 million baby boomers are getting ready to hit their 60s. As this group ages, the need for Gaviota Spa services will skyrocket. We may be getting older, but who says we have to look and feel it?

Forecast of Future Financial Performance

The following representations are a forecast of future financial performance, with a particular emphasis on expenses.

The expenses identified below are not the only expenses that you will incur in connection with your operation of your

business. Average operating expenses are based on worksheets that franchisees have provided to GSC. You may incur

other additional expenses including, but not limited to, insurance, legal, accounting, interest on debt service,

depreciation/amortization, property taxes, other taxes and licenses. These figures are only estimates of what we think

you may earn. Your individual results may vary. You and your advisors should consider this in your due diligence and

preparation of your business plan.

Category Monthly Annual Comments

Rent $5,000 $50,000 Based on 1400 sq. ft.

This does not include other items your tax advisor would write off as a business expense. *This does not include the principal paid on debt service.

The assumptions are based on a 1,400 square foot location generating $300,000 in annual revenues.

1) The target for payroll should be 25% of revenues. This can be impacted by an owner being the manager therefore reducing payroll by taking a capital gain disbursement in lieu of a salary.

2) Bank charges can vary based on the amount of business you do with credit cards. 3) Insurance can be impacted by the amount of coverage your Lender or Landlord requires above the

coverage’s listed in the FDD. 4) Maintenance covers facility and equipment. This number will vary based on age and usage of the

equipment. .Preventative maintenance varies by unit and you should follow the manufacturer’s guidelines to protect the lifetime of the unit.

5) Operating supplies include bathroom and cleaning products. Other items include distilled water, session additives and session supplies.

6) COGS (“Cost of Goods Sold”). This is based on the Spa generating 25% of total revenue in retail sales ($300,000 x .25 = $75,000) $75,000 x .4 = $30,000 COGS

Actual results will vary from franchise to franchise and we cannot estimate the results of any particular franchise. We do not represent that any franchisee can expect to obtain the above revenue levels. You must accept the risk that your actual numbers may or may not reach or exceed these reported calculations. You are responsible for developing your own business plan for your business, including capital budgets, financial statements, projections and other elements appropriate to your particular circumstances. GSC encourages you to consult with your own accounting, business, and legal advisors in doing so. In developing the business plan, you are cautioned to make necessary allowance for changes in financial results to income, expenses, or both, that may result from operation of your business in different geographic areas or new market areas, or during periods of, or in areas suffering from, economic downturns, inflation, unemployment, or other negative economic influences. In addition, historical costs do not necessarily correspond to future costs because of factors such as inflation, changes in minimum wage laws, location, financing, real estate-related costs and other variables. Finally, prospective franchisees must bear in mind that a newly opened business cannot be expected to achieve sales volumes or maintain expenses similar to those of an established outlet. Your ultimate success will be a function of the following: (i) your skill and experience; (ii) the effort that you devote to your franchised business; (iii) your business acumen; (iv) the growth or shrinkage of the population in your territory; (v) prices you charge for products and services; (vi) the number and skill of the sales consultants you use; (vii) the amount you expend on advertising and promotion; (viii) general economic conditions; (ix) the enthusiasm of the population in your territory towards automated spa services; (x) the relative affluence of the population in your territory; (xi) other factors affecting supply and demand; and (xii) other factors affecting profitability, like your operating expenses, general and administrative expenses and other variables. Written substantiation for these representations will be made available to a prospective franchisee upon reasonable request. How much money does it take to start up a Gaviota Spa franchise? Below is our Item 7 of our Franchise Disclosure Document. This table gives the ranges for typical startup costs.

Note 1. Estimates are based on a single unit Spa. Square footage is approximately 1400. These spas feature one (1) spray tanning unit, automated spa services and UV services as determined by GSC. Note 2. You must pay us an initial franchise fee of $39,950. In some states, the initial franchise fee will be placed in an escrow account (or deferred) until the Spa opens. Note 3. All Spas are required to have a minimum of one (1) approved sunless spray, one (1) approved massage unit, one (1) approved facial unit, one (1) approved body treatment unit, one (1) approved weight loss treatment unit and one (1) approved UV therapy unit. The high estimate represents the current twelve (12) unit required Gaviota Spa Service Mix. This amount may vary depending on shipping and installation costs. This amount does not include taxes. You must check with your state to determine if there are taxes due. Note 4. The high estimate is based on a Spa with an estimated 1400 square foot space with significant landlord participation (in the form of actual landlord improvements performed or tenant improvement allowance) from a standard retail “vanilla shell.” This estimated range will vary depending on the location, necessary leasehold improvements and landlord participation. This estimate also includes an allocation for space plans, architectural and engineering drawings. Note 5. Owner Furnished Items (OFIs) consist of millwork (including service stand and consultation station), lighting, flooring, interior branding components/signage, exterior signage, and furniture. Note 6. High estimate is based on a security deposit equal to one (1) month’s minimum rent at $4000 per month. Some landlords may require a deposit of first and last month’s rent. Deposits on utilities will also vary. Deposits will vary based on the market rental rates for your market. Note 7. You will need to obtain Commercial General Liability ($1 Million Minimum Coverage) insurance, Worker’s Compensation, Business Interruption insurance, Flood, Life Insurance (equal to amount borrowed) and Construction Coverage insurance. Note 8. Low estimate includes hardware and required software. The high estimate includes the costs for one (1) CPU, one (1) cash drawer, one (1) receipt printer, one (1) signature pad and two (2) iPads or similar device. This estimate also includes allocation for installation of phone and Internet. . Note 9. You are required to invest this amount in marketing during your Pre-sale and through the initial opening of your Spa. You may spend additional amounts with GSC approval. This estimate also includes an allocation for initial office supplies. Note 10. You will be required to purchase a specified amount of wholesale goods for the initial inventory of products to be offered for sale based on the size of your Spa. A selection of GSC’s proprietary products and national brand products must be stocked. Note 11. Zero dollars as a “Low” because not all Spas can accommodate a utility room due to size or layout restrictions. Therefore, the washer and dryer are optional. Note 12. This figure includes inspection fees, occupational licenses and legal fees associated with Corporation set-up and lease review. Note 13. GSC requires that you must achieve a minimum of $12,500 membership draft before you can open for operation. This figure does not necessarily mean that you will “break even” or that you will

Page 16: Spagaviotafranchise38

One Gateway Center. PO Box 32534. Newark. NJ 07102 “In the beginning everything was like it”

reach any certain financial position. The high estimate includes an allocation for payroll during the one hundred and twenty (120) day presale period. The high estimate also includes expenses associated with attending Franchisee School as well as travel and accommodations for the required on-site training. .. Note 14. GSC relied on its experience to compile these estimates. You should review these figures carefully with a business advisor before making any decision to purchase the franchise. Note 15. If you sign a Single Unit Franchise Agreement, your initial investment for your first Spa should be within the range disclosed in this Item 7 chart. The Initial Franchise Fee for each subsequent Spa is set forth in Item 5. You also should be aware that your initial investment for your second and subsequent Spas likely will be higher than the above estimates for your first Spa due to inflation and other economic factors that may vary over time. Note 16. All payments are non-refundable. Neither GSC nor its affiliates provide financing for any part of these investments.

How Do I Finance my Gaviota Spa?

Need help financing your Gaviota Spa?

We're here to help.

Unlike a lot of franchise companies, we are here to walk you through the process as you prepare your financials

and seek out potential lending sources.

Financing a franchise is much easier than funding a startup business and we put our expertise to work for

you. Today's lending market is vastly different than it was before the recession: the Small Business

Administration (SBA) is still a major lending source and smaller, regional and local banks have stepped up

to replace lending in the absence of lending by larger banks.

Smaller banks may not have franchising experience and you'll need to come fully prepared with an

explanatory packet that helps a banker understand a Gaviota Spa.

Here are some points you'll need to consider:

• Key measurable: Liquid assets, net worth, credit score

• Net Worth equal to or greater than total investment, $350K

+

Candidate Minimal Requirements: FICO Score 650 or better, favorable income to debt ratio

Based on 3rd party lending, the banks are going to want to see 20-30% cash injection, $65K+ in

cash/liquid assets

biggest advantage is aggressive training and support. A franchise is a systematized way of doing business and

the training and support helps you coax out revenue gains by following a preset system.

Gaviota Spa & Clinic Gaviota Spas. "We have a wide range of resources for our franchise owners and it all

begins long before they first open their doors and continues long after."

Gaviota Spa & Clinic Gaviota Spa support staff work with franchisees on training and marketing strategy from

the very beginning, usually several weeks or even months before the spa opens. There's always a lot of

legwork to be done: signing a real estate lease, generating leads for pre-sales, learning the ins and outs of

equipment, staffing, products and computer systems. Of course, that's only the beginning. Once the spa

opens, there are ongoing and ever - changing needs.

The Gaviota Spa & Clinic Gaviota Spa team is there to help with all the twists and turns opening and running

a business entails.

Help comes in the form of online trainings, live weekly seminars, private telephone consultations, on-

site visits, yearly regional conferences, manuals and newsletters. New equipment and retail products are

backed up with substantial training and support. Plus, all the critical information needed, including

procedure manuals and a large archive of educational webinars, are available at any time online.

Once a lease has been signed, franchisees are able to attend Gaviota Spa's Franchise and Manager

School, a four-day intensive training program at corporate headquarters. They immerse in a variety

of topics, including management, skincare, marketing, customer service and employee relations.

When it comes time for the much-anticipated grand opening week, franchisees can work with an on-

site specialist for five consecutive days.

Whether you're opening your first franchise or want to expand your existing business experience, we're the

perfect franchise for growth. We offer the opportunity for single unit ownership and the opportunity to

become a multi-unit owner with two or more locations.

New Skin Therapy Defies Age & Increases Sex Drive

USA- New York, NY | Nov 23 2012 | (22:58:22 - EDT)

Clinics Spa-Gaviota is revolutionizing the aesthetic world with the combined use of seaweeds,

magneto therapy, mud therapy, Thermalism and thalassotherapy, creating a unique

combination that is already being called "The Fountain of Youth".

The United States is leading the world for aesthetic treatment in this year of the celebration

of Miss Nature International, with the combined use of physical natural agents for the

stimulation and oxygenation of tissues.

The combined therapy will be offered at Clinics Spa-Gaviota, and has been developed by Dr.

Garis L Silega, President of the American Society of Thermalism. The results are self-evident

and cause a cellular hydration and appearance that will make your skin and face look 10 to

20 years younger.

The first Spa-Clinic will open in New York City in Midtown Manhattan in December, and other

Spas will be opening in Los Angeles and Miami. A franchise for training staff and obtaining the

Gaviota Medical-Spa seal has been created.

The Therapy also causes hormonal stimulation, with an increase of sexual appetite, greater

vaginal lubrication and good erections for men. Other processed natural and physical

stimulants can also be used to achieve this result.

This therapy also includes certain natural products based on herbs and roots in the form of

infusions to create a treatment complex that increases the organism's functional capacity.

This is why it is already recommended for high performance athletes and reduces the

duration of muscular injuries with rapid recovery.

Samples of these will be sent to major professional athletic clubs to be tried. In some cases

they can be combined with trips to health tourist centers where their natural therapeutic

effects are indicated.

In the quest for a better quality of life among the elderly, this revolutionary cellular therapy

could be indicated for the prevention of cerebral ischemia’s, cerebrovascular accidents, and

degenerative diseases of the nervous system such as Parkinson's and Alzheimer's, among

others.

If you are in search of the Fountain of Youth as a personal treatment, or if you would like to

offer this treatment to others, please write to [email protected]. Videos on this subject will be

available at the New York Tourism International Film Festival, and the clients treated will be

presented at Miss Nature International 2014.
