Notice for Inviting tender

From Reputed vendors for Redhat LINUX & JBoss Subscription and

JBoss Administrator Resource to SUD Life Insurance Company Ltd

Star Union Dai-ichi Life Insurance Company Ltd. (SUD Life) is a joint venture between Bank of India &

Union Bank of India, India's leading public sector banks and Dai-ichi Life Insurance, one of the top ten

world leaders in insurance which has been incorporated with the primary objective of carrying out life

insurance business in India.

This Request for Proposal (RFP) is to invite proposals from Bidders for Redhat Linux & JBoss Subscription

and JBoss Administrator Resource for Star Union Dai-ichi Life Insurance (SUD Life) at Mumbai. Detailed

requirement of support subscription and JDs for the JBOSS Admin Resource have been given in section 2

of this document.

subsequently to bidder(s) or applicants whether verbally or in documentary form by or on behalf of SUD

Life is provided to the bidder(s) on the terms and conditions set out in this RFP document and all other

terms and conditions subject to which such information is provided. This RFP is neither an agreement

nor an offer and is only an invitation by SUD life to the interested parties for submission of bids. The

purpose of this RFP is to provide the bidder(s) with information to assist the formulation of their

proposals. This RFP does not claim to contain all the information each bidder may require. Each bidder

should conduct its own investigations and analysis and should check the accuracy, reliability and

completeness of the information in this RFP and where necessary obtain independent advice. SUD Life

makes no representation or warranty and shall incur no liability under any law, statute, rules or

regulations as to the accuracy, reliability or completeness of this RFP. SUD Life may in its absolute

discretion, but without being under any obligation to do so, update, amend or supplement the

information in this RFP.

SECTION 1 - ELIGIBILITY CRITERIA

1.1 Eligibility

The bidder should either have its own IT Services or it should have a consortium to provide an

arrangement with an IT Resource service provider for providing such services.

The bidder should submit a certificate from Redhat allowing it to provide necessary subscription

services to SUD Life as mentioned in Section 2.

The bidder should have yearly turn over not less than Rs. 50 Lakhs.

The bidder must be registering profits for the last three years.

The bidder should have permanent office in Mumbai.

Financial statements i.e. Audited Balance sheet and Profit & Loss accounts for last three years of

the bidder and consortium partners, if any will have to be submitted.

All systems and related services to be supplied under the Contract shall have their origin in

countries allowed as per Import Trade Control Regulations in India.

“Origin” means the place where the products are produced or the place from which the related

services are supplied.

SECTION – 2

PART – A: Red HAT Linux & JBoss Support Subscription

SUD Life has developed many In-House applications on JAVA Technologies which are currently running

on JBoss Application Server. Additional to the in-house applications there are structured products which

are deployed through JBoss Application Server hosted on Linux OS. Current SUD Life Applications

running on JBOSS Application Server are:

1) Group Insurance System

2) Expense Management System

3) AML System

4) Intranet

5) Agency Receipting System

6) RRB Receipting

7) E-Statement

8) HR Online Recruitment system

9) SMS System

10) IJP & others (IT Procurement Management/VSS/Project Management tool)

Total RedHat Subscription Required:

1) JBoss Enterprise Application Platform with management, 16 core standard : 2 nos.

2) Red Hat Enterprise Linux Server, Standard (1-2 sockets) upto 1 guest : 3 nos.

Period: 1 year (One Year)

NOTE : The Subscription Services should be enabled in two phases.

Phase 1: September 2012

1) JBoss Enterprise Application Platform with management ,16 core standard : 1 no.

2) Red Hat Enterprise Linux Server, Standard (1-2 sockets) upto 1 guest : 1 no.

Phase 2: March 2013

1) JBoss Enterprise Application Platform with management ,16 core standard : 1 no.

2) Red Hat Enterprise Linux Server, Standard (1-2 sockets) upto 1 guest : 2 nos.

PART – B: JBoss Admin Resource

SUD Life will require one Middleware Solutions Consultant with broad experience in the design,

development, deployment, and support of enterprise Java applications. Middleware consultant should

have good understanding of J2EE/JEE and supporting technologies with experience applying those

technologies to solve real-world problems.

JBOSS Administrator Profile:

1. Technical responsibilities include problem identification, system architecture definition,

hardware/software specification and/or design, implementation, testing and deployment.

2. Day to day operations reporting includes project status, issues and time reporting.

3. Uses skills as a seasoned, experienced professional with a full understanding of industry

practices and company policies and procedures; resolves a wide range of issues in imaginative as

well as practical ways.

4. Works on problems of diverse scope where analysis of data requires evaluation of identifiable

factors. Exercises judgment within generally defined practices and policies in selecting methods

and techniques for obtaining solutions.

5. Typically requires a minimum of 2 years of related experience.

Required Skills & Experience:

1. Should know Standard Java Programming (J2SE/JSE APIs like JDBC, JNDI, etc.) knowledge.

2. Deployment on J2EE/JEE App Servers ( JBoss Enterprise Application Platform).

3. Experience of implementing multi-tiered applications.

4. Ability to constantly learn about new technologies and apply those concepts to customers’

needs.

5. Java J2EE Application Architecture and Design.

6. Performance Monitoring and Tuning.

7. Should be familiar with Red Hat Enterprise Linux.

Responsibility of Consultant:

1. Assist with installation and configuration of JBoss products and related technologies within the

Client's environment;

2. Assist with developing a framework for deploying JBoss related technologies using the JBoss

Operations Network ;

3. Assist with migration of Java application code to JBoss environment;

4. Assist with configuration of JBoss Clustering services and failover capability;

5. Assist with troubleshooting code migrated from other environments to JBoss and performance

testing of the code;

6. Perform status check on JBoss environment;

7. Perform testing regarding security of Jboss environment; and

8. Provide general knowledge transfer and documentation to SUD Life.

SECTION 3 - INSTRUCTIONS TO BIDDERS

Cost of Bidding

The Bidder shall bear all costs associated with the preparation and submission of its Bid, and Star Union

Dai-ichi Life Insurance will in no case be responsible or liable for these costs, regardless of the conduct

or outcome of the Bidding process.

Submission of Proposals (Methodology)

The Proposal shall be submitted in two separate envelopes – Part I covering the Technical, and Masked

Commercial and Qualification aspects hereinafter referred to as “Technical Proposal” and Part II

covering only the price schedules hereinafter referred to as the “Price Proposal”. The two parts should

be in two separate covers each super scribed with the name of the Project “Redhat LINUX & JBoss

Subscription and JBoss Administrator Resource” as well as “Technical Proposal” and “Price Proposal”

as the case may be. Both the Technical and Commercial proposals’ sealed envelopes to be submitted

within a single sealed envelope super scribed with the name of the Project “Redhat LINUX & JBoss

Subscription and JBoss Administrator Resource “

Documents comprising the Technical Proposal Envelope, should:

Comply with the TCC (Section 4).

Comply with the Technical Specifications of each item (Section 2).

Provide details of with respect to the Service and Support details (Section 2).

Be accompanied by duly filled in Proposal Form (FORM-1). The form must be duly signed by the

vendor.

Masked price – Form 3 (containing all the information except the prices).

Note: Any Technical Proposal not containing the above will be rejected.

Any Technical Proposal containing any price information will be rejected.

Price Proposal Envelope should be accompanied by duly filled in Proposal Forms (FORM 2 AND FORM

3). The vendor must duly sign the forms.

The vendors shall seal the “Technical Proposal” and “Price Proposal” separately and the same shall:

Be addressed to SUD Life at the address given; and

Bear the Name “Proposal for RedHat LINUX & JBoss Subscription and JBoss Administrator

Resource”.

Both sealed Proposals, Technical and Commercial envelops respectively, within a single sealed envelope

must be received by SUD Life at the address specified, not later than the date & time specified in

Request for Proposal.

SECTION 4 - TERMS AND CONDITIONS OF CONTRACT (TCC)

1. Definitions

In this Contract, the following terms shall be interpreted as indicated:

“SUD Life” means the Star Union Dai-ichi Life Insurance Company Ltd.

“The Services” means those services any other incidental services, such as installation,

commissioning, provision of technical assistance, training and other such obligations of the

Supplier covered under the Purchase Contract;

“TCC” means the Terms and Conditions of Contract contained in this section;

“The Supplier” or “the Vendor” means the individual or firm supplying or intending to supply the

Goods and Services under this Contract; and

“The Project Site” means corporate office/Head Office/various administrative offices of SUD.

2. Country of Origin

All Services and related services to be supplied under the Contract shall have their origin in

eligible source countries, as per the prevailing Import Trade Control Regulations in India.

For purposes of this clause, “origin” means the place where the Services are produced, or the

place from which the related services are supplied.

3. Standards

The Services supplied under this Contract shall conform to the standards mentioned in the

Technical Specifications, and, when no applicable standard is mentioned, to the authoritative

standards appropriate to the country of origin. Such standards shall be the latest issued by the

institution concerned.

4. Use of Contract Documents and Information

The Supplier shall not, without SUD prior written consent, discloses the Contract, or any

provision thereof, or any specification, plan, drawing, pattern, sample or information furnished

by or on behalf of SUD in connection therewith, to any person other than a person employed by

the Supplier in the performance of the Contract. Disclosure to any such employed person shall

be made in confidence and shall extend only as far as may be necessary for purposes of such

performance.

The Supplier shall not, without SUD Life’s prior written consent, make use of any document or

information enumerated in this document except for purposes of performing the Contract.

Any document, other than the Contract itself, shall remain the property of SUD Life and shall be

returned (in all copies) to SUD Life on completion of the Supplier’s performance under the

Contract, if so required by SUD Life.

5. Delivery and Documents

IT Services shall commence within 4 weeks from the date of purchase Order. The following documents

are required

1. 2 copies of Bidder’s invoice showing contract number, goods description, quantity, and unit

price and total amount.

2. Delivery note or acknowledgement of receipt of goods from the Consignee or in case of goods

from abroad, original and two copies of the negotiable, clean, on-board bill of lading marked

freight prepaid and two copies of non-negotiable bill of lading.

3. Packing list identifying contents of each package.

The above documents shall be received by SUD Life before arrival of Goods (except where it is handed

over to the Consignee with all documents) and, if not received, the Bidder will be responsible for any

consequent expenses.

6. User Training

The supplier will provide the necessary user training required for proper usage of the software

to their IT Resource and required personnel of SUD Life.

7. SLA

I. Detailed SLA will be defined mutually at the time of award of contract.

II. Expected uptime for JBOSS application services is 99% on yearly basis. It is expected that

the average downtime of the Application Server will be less than 4 hours and the maximum

downtime will be less than 8 hours (for reasons which are in direct control of the bidder).

Failure to meet the maximum downtime allowed will lead for penalty of Rs.500/- per day

per item till the problem is resolved. The amount of penalty will be recovered from the

balance payable amount for goods supplied, during warranty and/or annual maintenance

charges and/or by lodging a claim against the Supplier, as the case may be. In the event of

Balance Payable amount not sufficient to set off the liability of the Supplier under this head

SUD Life shall be at liberty to proceed against the Supplier for recovery of the balance as

may be advised

8. Payment Schedule

Payment shall be made in Indian Rupees, in the following manner:

9. Prices

Prices payable to the Supplier as stated in the Contract shall be firm and not subject to adjustment

during performance of the Contract, irrespective of reasons whatsoever, including exchange rate

fluctuations, changes in taxes, duties, levies, charges etc.

Service Tax & VAT will be paid extra.

10. Change Orders

10.1 SUD may, at any time, by a written order given to the Supplier, make changes within the general

scope of the Contract in any one or more of the following:

The Services to be provided by the Supplier.

10.2 If any such change causes an increase or decrease in the cost of, or the time required for the

Supplier’s performance of any provisions under the Contract, an equitable adjustment shall be made in

the Contract Price or delivery schedule, or both, and the Contract shall accordingly be amended. Any

claims by the Supplier for adjustment under this clause must be asserted within 7 days from the date of

Supplier’s receipt of SUD Life`s changed order.

11. Taxes and Duties

Tax deduction at Source: Wherever the laws and regulations require deduction of such taxes at the

source of payment, SUD shall effect such deductions from the payment due to the Supplier. The

remittance of amounts so deducted and issuance of certificate for such deductions shall be made by

SUD Life as per the laws and regulations in force. Nothing in the Contract shall relieve the Supplier from

his responsibility to pay any tax that may be levied in India on income and profits made by the Supplier

in respect of this contract.

12. Award Criteria

The SUD will award the Contract to the successful Bidder, out of the Bidders who have responded to

SUD's Request for Proposal, who has been determined to qualify to perform the Contract satisfactorily,

and whose Bid has been determined to be substantially responsive, and is the lowest evaluated Bid.

Contract will applicable for one year only.

13. Repeat Orders

After a Purchase Contract is awarded to a Supplier, SUD may, at his discretion, award further Purchase

Contracts to the same Supplier for all/some of the Services originally quoted by him at the

same/reduced prices up to a period of one year from the date of the first Purchase Contract without

calling for fresh quotations

14. SUD Life’s Right to Reject Any or All Bids

SUD reserves the right to accept or reject any Bid, and to annul the Bidding process and reject all Bids at

any time, without thereby incurring any liability to the affected Bidder or Bidders or any obligation to

inform the affected Bidder or Bidders of the grounds for SUD Life’s action.

15. Termination

SUD reserves the right of termination of contract by giving a notice period of 30 days only.

SECTION 5 - TECHNO-COMMERCIAL SCORING

The commercial bid of the technically shortlisted bidders will be opened and the bidders will be ranked

as L1, L2, L3, etc on the basis of their prices offered (final offered price will be calculated on the basis of

weighted average of prices for various items mentioned in Section 2, Part A & B).

There would be a weight-age of 60% to the Technical score and 40% for the Commercial price. The

maximum marks (Total score) for Technical and Commercial proposals would be 100. It would be

normalized as under for each bidder:-

Total Score = 0.6 x T (s) + 0.4 x F(s)

Where;

F(s) = (LP / BP) x 100

Acronyms:

T(s) stands for technical score out of 100 for the bidder.

F(s) stands for percentage of a bidder’s commercial price compared to the lowest quoted price

among the bidders whose commercial bids are opened.

BP stands for Bidder’s price.

LP stands for lowest price among all the bidders.

The proposals will be ranked in terms of Total Scores arrived at as above. The proposal with the highest

Total Score will be considered first for award of contract and will be invited for price and contract

negotiation.

The bidders are requested to note the following:

(i) Strictly conforming to the specifications as mentioned in the Tender should be quoted.

(ii) Total unit cost to SUD will be decided on the basis of unit cost of IT Resources.

(iii) All standard (default) items / components and optional items / components, if any, should be

separately and clearly mentioned. Detailed cost breakup should be furnished in the Price

Schedule as per the format prescribed.

(iv) Technical specifications of the Services offered (against the requirements specified) as well as

the Technical Details (in the prescribed format) should be furnished along with the Bid, for all

the standard and optional items if any offered. Otherwise the offer would be treated as Non-

responsive.

(v) Detailed supporting documentation (in English language) specific to the solution and other

optional/dependent components should be submitted along with the offer. Otherwise the offer

would be treated as Non-responsive.

(vi) Any deviation from the services offered should be separately brought out explicitly, in the

column provided for this purpose.

(vii) SUD Life reserves the right to accept or reject in part or full, any or all the offers without

assigning any reasons thereof.

Sub: RFP for Redhat LINUX & JBoss Subscription and JBoss Administrator Resource

1. We, the undersigned are duly authorized to represent and act on behalf of [Bidder Name ]

(“Bidder”) in terms of the enclosed RFP.

2. Having reviewed and fully understood all information provided in the Request for

Proposal Document dated 31/08/2012 (“RFP”) issued by the Company, *Bidder Name] is hereby

tendering the Bid. As required we are enclosing the following:

a. Bid as per the RFP;

b. Other details and supporting documents (as applicable) in response to the requirements outlined in the RFP.

3. Our Bid is unconditional, valid and open for acceptance by the Company up until 90 days from the last date of submission of the RFP.

4. We undertake that we shall make available to the Company any additional information / clarification

it may find necessary or require to supplement or authenticate the Bid.

5. We hereby agree, undertake and declare as under: a. We have examined and have no reservations in respect of the RFP document. b. Our Bid is, in all respects, in compliance with the requirements of the RFP. Without prejudice to

the foregoing, notwithstanding any qualifications or conditions, whether implied or otherwise, contained in our Bid, we hereby represent and confirm that our Bid is unqualified and unconditional and is without any deviations, conditions or any assumptions in all respects;

c. Notwithstanding any qualifications or conditions, whether implied or otherwise, contained in our Bid, we hereby agree and undertake to keep this Bid valid and open for acceptance without

unilaterally varying or amending its terms for the period, including any extended period, as specified in accordance with the RFP;

d. We declare that in the event that the Company discovers anything contrary to our above declarations, it is empowered to forthwith disqualify us and our Bid.

e. We undertake that in case due to any change in facts or circumstances or applicable law during the Bidding process, we are disqualified in terms of the RFP, we shall intimate the Company of the same immediately.

f. We further declare that we have not been declared ineligible for corrupt or fraudulent practices in any bid process in the past five years and have not been blacklisted by any governmental or regulatory authority or stock exchange in the past five years;

g. We confirm that the Company and its authorized representatives are hereby authorized to conduct any inquiry or investigation to verify the veracity of the statements, documents, and information submitted in connection with this Bid and to seek clarifications from our advisors and clients regarding any financial and technical aspects.

h. We hereby irrevocably waive any right which we may have at any stage at law or howsoever otherwise arising to challenge or question any decision taken by the Company in connection with the selection of the Bidder, or in connection with the Bidding process itself, in respect of the above mentioned Proposed Tie-up and the terms and implementation thereof.

6. We understand that: a. All information submitted under this Bid shall remain binding upon us; and b. The Company may in their absolute discretion reject or accept any Bid, cancel the Bidding

process for the Proposed Tie-up and reject all Proposals. c. We acknowledge the Right of the Company to reject our Bid without assigning any reason or

otherwise and hereby waive our right to challenge the same on any account whatsoever. d. The Company is not bound to accept any Bid that it may receive pursuant to the RFP;

7. We acknowledge that the Company will be relying on the information provided in the Bid and the

documents accompanying such Bid for selection of the Bidders and we declare that all statements made by us and all the information pursuant to this letter are complete, true and accurate to the best of our knowledge and belief.

9. This Bid shall be governed by and construed in all respects according to the laws of India. Courts in Mumbai, India, shall have exclusive jurisdiction in relation to any dispute arising from the RFP, this Bid and the Bid process.
