Request for Quotation for Contract of Handling and Storage of material at Stockyard

I - Introduction

JSW Steel Limited, (JSW) the flagship company of the JSW Group, is the largest integrated private steel

manufacturer in India in terms of installed capacity. JSW Steel Limited offers the entire gamut of Steel

products, Pellets, Slabs, HR Coils/ Sheets, HR Plates, CR Coils, Galvanized Coils/ Sheets, Colour Coated

Coils/Sheets. JSW Steel Limited operates through country wide network for the marketing and

distribution of steel product being produced at different plants. In order to have better customer

service, a state of the art stockyard infrastructure facilities and processes are required to be

developed.

Accordingly,

1. Request for Quotation from interested parties are invited subject to acceptance of the terms

and conditions of this RFQ.

2. Sealed Tenders are invited from persons / firms / companies capable of handling steel

materials on the company letter head (Facilities requirements given in Annexure VI).

3. Participants are requested to quote consolidated rate for 3 major operations i.e. unloading,

stacking and loading. Rates to be quoted shall be exclusive of service tax, education cess etc.

4. The estimated quantity regarding receipt and delivery of material as indicated under would be

considered only for the purpose of evaluation of the price bid, the same should not be

construed as a guarantee of the actual quantity to be handled.

5. The respective bid will be accepted subjected to the submission of documents duly filed

(Annexure III, IV, and V) with judicial government authorities, complying all the rules and

regulations laid down under applicable laws of tax etc.

6. The JSW reserves the right to accept or reject the bid/tender in full or part without assigning

any reason thereof and is not bound to accept the lowest tender.

II - Scope of work

1. Validity of the contract:

The Contract to be entered with the successful Bidder/Contractor shall be valid for 2 years ,

from the date of execution of the Contract subject to terms & conditions appearing therein..

However periodic reviews shall be held on the performance of obligations with the Contractor

and also to discuss implications of techno-economic factors such as variation in tonnage to be

handled, product mix, customer requirements etc. The Contract may be extended or renewed

at the discretion of JSW on mutually agreed terms and conditions.

3. Product Mix:

The “Steel products” to be handled and maximum product weights for each product is given

as under:

4. Manpower Resource Planning:

The Contractor will be required to provide adequate manpower resource in the stockyard on a

whole time basis, to carry out various stockyard operation activities like Security, Invoicing,

MIS, Supervision, Loading, Stacking, Crane Operation and Coordination. The manpower should

be adequately trained and competent to carry out duties and perform the function in relation

to the provision of the services in an efficient, safe and environmentally conscious manner and

to take directions from time to time from JSW officers, employees, representatives and agents

as the case may be. (Minimum number of various manpower required are given in Annexure -

VI).

5. MIS and Reports:

The Contractor should send the regular and periodic MIS reports on receipt & delivery of

material, inventory, damage, shortage and greater than 60 days stocks to designated officer or

employees of JSW.

6. Control of greater than 60 days stock:

The process followed for Inventory > 60 days at stockyard: -

a) Daily consolidation and e-mail of greater than 60 day’s stock in prescribed format.

b) Check-up for physical condition of material at regular intervals.

c) Take up with designated officer, employee or representative of JSW for disposal.

7. Statutory Requirements:

The Contractor will assist and facilitate JSW in getting all the necessary Registrations,

Certifications, Licenses, Permissions and other Statutory Approvals for uninterrupted

stockyard operation.

8. Procedure for receipt of the material:

a) The Contractor will be required to assume full responsibility on behalf of the JSW in regard

to claiming and clearance of consignment arrived by Rail/Road.

b) In case of RRs are not available, the Contractor should intimate the details of such wagons

to the stockyard incharge for taking delivery based on Indemnity Bond on Stamp Paper or

comply with formalities for taking delivery.

c) If the consignments are not received in the original wagon due to trans-shipment enroute,

the Contractor shall arrange to get them linked with the original RR and claim the content

on behalf of the JSW after re-weighment.

d) Before unloading, the Contractor must satisfy themselves that the seals and rivets are

intact in respect of covered wagon, the packing wires/straps, lashing chains and seals are

intact in respect of open wagon and make suitable remark in the wagon arrival report.

e) Shortage/ Pilferage of Material: Incase any sign of tampering /pilferage, the matter is to

be brought to the notice of the stockyard incharge and take up the matter suitably with

the concerned railway for opened delivery and reweighment to obtain a Shortage

Certificate.

f) Weighment of all incoming steel products (particularly when Railway siding is outside the

yard or when the receipt is by road) are necessarily to be done in house or outside weigh

bridge, in case there is no weigh bridge inside the stockyard. Deviations, if found any, is to

be reported by the Contractor to JSW officials immediately in writing i.e., letter / email/

fax. The Contractor shall calibrate the weighbridge periodically as per the standard

practice and submit a copy of the Calibration Certificate to JSW. If any abnormality in the

material is found, Contractor should refrain from any kind of processing (e.g.

Cutting/Sheering) until such instructions are received in writing from JSW.

g) Contractor’s authorized representatives are required to endorse the comment on the

Lorry Receipt with a countersign from the Truck/ Trailer driver, before releasing the

vehicle.

h) Unloading of steel products from vehicles will be done at the respective predetermined

bay. Stockyard handling Contractor is to unload the vehicles as early as possible without

any detention. Material released from the plants and the materials received from service

centers/other processing units should be stored/ stacked in such a way that the materials

are not damaged or mixed up in any case. For detail please refer Annexure 1.

i) Marking for identification for all the products suitably based on the consignment advice /

invoice generated at the plant such as wagon/ vehicle number, date of arrival, name and

quality of the product, size and thickness etc. Then a final tally report stating the tonnage

and condition of material as received with full details of identification is to be submitted

to the concerned person of JSW at the stockyard. While making such report, material test

certificate may be referred to, if available.

j) For loose materials, similar/same identification is to be painted on the residual stocks

remained at the stockyard in order to avoid mixing with other lot and facilitating smooth

stock verification as an when done.

9. Procedure for Delivery of material from stockyard:

a) The Contractor has to ensure availability of vehicles on time for the outward movement

of material from the stock yard, by suitable co-ordination with transporter for the given

assignment.

b) The Contractor has to ensure that material has to be dispatched on FIFO (first in first out)

basis.

c) Before loading, the Contractor should ensure that Tare weight of the vehicle is already

taken by checking the weighment slip. Then loading of the material would be done as per

the loading slip which has been generated based on Delivery Order (DO). Then the gross

weighment would be taken for the loaded vehicle.

d) In case of multiple loading of flat products, Tare and gross weight has to be taken

separately for each coil/packet.

10. Procedure for Invoicing of material:

Based on the net weighment (Gross weight – Tare weight), the Challan cum invoice would be

generated for the loaded vehicles. Invoice copy should be attached with the copy of

weighment slip and the test certificate, which has to be handed over to vehicle driver. The

loaded vehicle would be finally released by the Security at the gate after cross checking with

invoice cum challan (available with the driver) in all respect with the material loaded in the

vehicle. If the weight difference is beyond 0.5%, identification of the coil/packet would be

cross check with the pertaining test certificate and the same to be informed to the warehouse

manager immediately.

11. Control of Quality complaint returned material/ scrap generated in service centre/ damaged

material:

Quality complaint returned material/ scrap generated in service centre/ damaged material

should be kept in designated bay with proper identification. Record to be maintained and

periodic report of the above should be sent to stock yard manager.

12. Stock Verification:

Physical stock verification will be done once in a quarter and anytime in between is to be done

as per the instruction of JSW.

13. Shortage:

If the difference between the received stock and delivered stock is greater than 0.5 %, as

compared to the actual receipt of the material, the liability would be on the Contractor.

14. Vehicle Detention:

The Contractor has to ensure that loaded/empty vehicles should not be detained abnormally.

15. Equipment, Accessories and Facilities:

Following equipment, accessories and facilities has to be provided in the stockyard prior to the

start of the operation (Please refer Annexure VI for specific requirements):-

a) Boundary Wall: There should a boundary wall of minimum 6 feet height with a wire fences

over it, around the stockyard.

b) Main Gate: There should be a main gate of minimum 20 feet wide, suitable for movement

of big trailers.

c) Weigh Bridge: Weigh Bridge of 80- 100 mt capacity shall be provided inside the stockyard.

d) Straightening, Cutting Facility: Straightening and Cutting facilities are to be provided by

the as per the branch requirement.

e) Strapping Facility: Suitable Strapping Equipments to ensure re-strapping if required.

f) Power Supply: Diesel Generator, Transformer, Electricity Board connection etc to be

arranged.

g) Lighting: Sufficient lighting both for the security and night deliveries should be made. The

covered shed should be well lighted, sufficient to carry out operations throughout 24

hours a day and there should be no dark spots inside the stockyard. This would facilitate

identification of the product and ensure correct deliveries. Number and position of lights

needs to be provided based upon the layout of the open area and covered sheds. All lights

in the yard (high-mast / pole) are to be checked and cleaned periodically.

h) Material storage and Handling Facility: The material to be stored in covered or open area

as per the table given in Product Mix Table given above.

h.1) The Contractor should ensure that the base of any material should not touch the

ground.

h.2) Separate storage area for different product category of materials with boards for

easy identification. It’s important that the stacking bay should be accessible from

the sides, for identification of materials, loading operations, as also the fact that

deliveries on FIFO basis can be done.

h.3) TMT/Rounds/Flat Springs/structural and any other long products of length greater

than 6 meters are to be stacked on the bin of carrying capacity approximately 60 mt.

The tentative design of the storage bin is enclosed in annexure 2.

h.4) HR coils has to be stored on the Dunnage of Steel Rail/Billets on the hard top.

h.5) CR Coil should be stored strictly in the covered shed on the wooden/polymer

saddle.

h.6) HR Sheet packets should be kept on fabricated stools so as not to touch the ground.

h.7) CR sheet Galvanized products and colored coated products are necessarily to be

kept in the covered shed on the fabricated stool so as not to touch the ground. HR

sheet also to be stacked in the similar fashion but may be kept on the open space.

h.8) Alloy/special products to be necessarily stored in the shed.

For detail Handling and stacking SOP please refer annexure 1.

i) Specification for Covered Shed:

i.1) EOT Cranes: The Covered shed should be equipped with EOT Cranes (min of 35 mt

capacity) suitable to handle the required volume as per the annexure VII.

i.2) Height of Covered Shed: The Covered shed should be 25 feet high and EOT should

be 17 feet High.

i.3) Surfacing: There should be a RCC base for covered shed. It should be suitable for

stacking CR Coils/GP etc. The base should be strong enough to sustain the weight of

multi layer stacking of CR Coils (approx 50 MT) and should not damage the material

while unloading or loading.

i.4) Drainage system: There should be proper drainage system inside the shed but the

base should not have a gradient of more than 5 degrees (Slope). The covered shed

should be completely closed from all sides, to protect material from Rain, Water,

Dust, Moisture and Humidity. Covered Shed should have proper ventilation facility

for inflow of fresh air.

j) Specification for Open Area:

j.1) Mobile Cranes: Stock yard should have mobile cranes or Hydra cranes as per the

requirement of volume being handled inside the stockyard as per the annexure VII.

j.2) Surfacing: The open area will be Hard leveled Top which will store heavy HR Coils,

Long products etc. So that it should be suitable enough to sustain weight of approx

60 MT. Ideally the hard top in open area should have a combination of different

layers of hardening i.e. earthling, stones/ boulders and metal hardening etc.

Stockyard should have periodic maintenance to avoid any water clogging anywhere.

j.3) Drainage system: There should be proper drainage system across the stockyard. The

base should not have a gradient of more than 5 degrees (Slope) anywhere.

k) Handling and Stacking of material: The Contractor should ensure that the base of any

material should not touch the ground.

l) Storage Bays: There should be separate storage area for different product category of

materials with boards for easy identification. It’s important that the stacking bay should

be accessible from the sides, for identification of materials, loading operations, as also the

fact that deliveries on FIFO basis can be done.

m) Yard mapping: shall be displayed at a prominent place. Grid Map should show clearly the

areas earmarked for stacking of various categories of products. Each stock location should

have an alpha-numeric index (e.g. A-1, A-2 etc., which should be marked on floor /

building columns)

n) Parking area: There should be designated parking spaces inside/ outside the stockyard for

the loaded/empty trucks.

o) House Keeping: Pedestrian /vehicular passageways to be segregated and marked where

possible, and kept clear of obstructions. Work and storage area to be clearly defined.

Maintenance of all work areas in debris free condition. Provision of suitable storage

facilities for equipment. Zero damage, safety posters, Dos and Don’ts etc should be

displayed at several prominent locations in the yard and also in the covered shed.

p) Office and Utility Facilities: Fully furnished and air-conditioned office facility as required by

JSW to be provided along with the amenities such as – adequate office space with the

required seating capacity and communications arrangements (telephones, internet, 24

hour power back-up for office facility etc.). The office should be ergonomically sound. All

toilets are to be easily accessible, clean, ventilated and illuminated. Record room should

be clean, airy and termite proof. Please refer Annexure VIII for office infrastructure

guidelines.

16. Safety Norms:

a) All ground personnel involved with handling and loading operations must wear Helmets,

Gloves, and boots while on the work. The cutting operations group must have glasses for

cutting operations.

b) First-Aid boxes should be kept at prominent and easily accessible points.

c) Fire extinguishers should be kept at all vulnerable places.

d) The Contractor shall ensure that material handling equipments are of good quality, ISI

approved and regularly checked and maintained so as to avoid any kind of accidents.

e) The Contractor shall also take care of necessary workmen compensation for their staff /

employee / deployed workmen etc at their cost and expense and furnish the details of the

same to JSW.

f) The Contractor shall submit a quarterly report of compliance on the same regularly during

currency of the contract.

g) The Contractor shall take necessary insurance for their equipments, materials / property

at their own cost.

h) All other applicable safety regulations and directions given by JSW from time to time to

be followed by the Contractor.

17. Security:

The Contractor shall ensure 24 hrs. Security of the entire stockyard premises which include

office along with “Steel Products” stocked at its own cost and responsibility; The Contractor

should ensure 24 hrs power supply back up both in the open and covered areas including

office area. Any loss, theft, pilferage or damage shall be borne by the Contractor in respect of

which he shall duly and adequately compensate JSW.

18. Record keeping:

The Contractor shall maintain Stocks Register and physically verify stocks quarterly, half-

yearly, annually as well as any time in between when requested by JSW and report actual

status. The Contractor shall maintain and submit to JSW regularly and at all times as may be

desired by JSW, statements / reports in respect of opening stock, receipt, dispatches and

closing stock on a daily basis.

19. Retrieval of Unitization material:

The Contractor shall ensure that all the unitization materials (structural + straps + woods +

plastic sheets) should be retrieved from the railway siding and to be stocked separately, if the

railway siding is inside the stockyard. Record to be kept for various unitization materials

recovered.

20. The scope of work broadly described herein above includes ancillary services required in

connection with the completion of work whether specifically mentioned herein or not and

rendering such services will not entitle the Contractor to charge any additional charge,

fees or price in as much as the same are included in the payment terms payable to the

Contractor.

III – CONTRACTING PROCESS

1. Letter of Award of Contract to be issued after the completion of all the formalities like

submission of Performance Bank Guarantees, Leave and License Agreement or Lease Deed

other approval or permission and any other requirements that may be required to be

complied with to suit local condition.

2. The successful bidder/tenderer shall execute a formal Contract on non judicial stamp paper.

The advertisement of tender, terms and condition etc any other letters agreed in writing

meant to be form part and parcel of the Contract exchanged with the successful

bidder/tenderer shall form part of the Contract.

IV - COMMERCIAL TERMS AND CONDITIONS:

1. Title of Ownership of Land:

The land provided by the Contractor must have a clear title of ownership or a long lease

without any encumbrance, mortgage etc. A copy of the Title of Ownership / the Lease Deed

for at least 10 years should be submitted to JSW.

2. Payments:

Payments shall be made based on total tonnage of steel products delivered from the stock

yard during the corresponding month. (Total delivered qty. as mentioned in the respective

invoices). Deductions under any law shall be deducted at the source from the amount payable

to the Contractor.

3. Payment Terms:

100% payment shall be made against monthly RA Bills (Running Account Bills) duly certified by

JSW’s authorized personnel within 30 days from the date of submission of bills. All the Bills of

previous month to be submitted once in a month by 10th

of the current month. Copy of the

invoices and weighment slip of outward movement may have to be submitted for the

verification.

4. Taxes & duties:

Service tax (net of any input credit available to the contractor) shall be reimbursed by us at

actual against submission of relevant documents. TDS as applicable will be deducted at source

and the same will be borne by the Contractor. Any other taxes, duties, levy what so ever shall

be borne by the Contractor.

5. Security Deposit:

Contractor shall submit a Performance Bank Guarantee of Rs 10 Lakhs to JSW and a Bank

Guarantee of 1% of the average monthly stock value, as a security deposit from a Nationalized

scheduled bank acceptable to JSW as per JSW’s prescribed Format (to be provided later) valid

for a period of one year plus two months (claim period) within 15 days from the date of award

of Contract.

6. Compliance to Statutory Norms:

The Contractor shall complete all the legal formalities as well as all statutory obligations for

the stockyard operations and submit a compliance declaration to JSW before execution of the

Contract.

Nothing shall be deemed to constitute any privity of contract between JSW and the personnel

engaged by the Contractor. The Contractor shall pay its personnel, remuneration at the

rates, if any, prescribed by the Government from time to time. The Contractor shall also

comply with the provisions of all applicable laws including but not limited to the Provident

Fund Act, Workmen’s Compensation Act, Labor Laws and other Acts and Statues and maintain

all the books and records as required under any applicable law.

The Contractor shall obtain and maintain all licenses, clearances, consents, approvals and

permissions from the Government or other appropriate authorities required or desirable for

the performance of its obligations under the Contract including any clearances which are

required or desirable to be obtained in the name of the JSW under law and relating to

performance of its obligations under this Contract.

The Contractor shall be solely liable and responsible for any accident and the cost and

consequences thereof. JSW shall not be liable in that regard whatsoever.

7. Risk Purchase / Penalty for non-performance:

In the event of failure of the Contractor to make necessary arrangements for storage, dispatch

of “Steel Products” out of stockyard as per JSW’s requirement, then JSW shall have the right

to make alternate arrangements for the same either by themselves or through any other third

party (ies) at Contractor’s cost and consequences including incidental expenses.

8. Loss/ Pilferage/ Damage of material inside stockyard:

In the event of loss, damage of material inside the stockyard, the Contractor shall be

responsible and will compensate JSW for the loss or the damage caused thereby. JSW shall in

that event have the right to withhold an appropriate amount or compensation from the

charges payable to the Contractor.

9. Vehicle Detention charges:

The detention charges, if any, as charged by the transporter will be borne by the Contractor.

10. Quantity Variation:

Quantities mentioned in the contract / Price Bid format are indicative subject to actual

requirement during the contractual period. The existing / prevailing unit rates as mentioned in

the contract remain same for the increased quantity.

11. Changes in firm ownership:

The Contractor shall not enter into dissolution, termination of partnership or form a new

partnership without intimating JSW and obtaining its formal written approval.

12. Working for JSW competitors:

The Contractor shall not enter into any agreement, compromise, adjustment or compounding

with JSW’s competitors without the specific written approval from JSW.

13. Termination of Contract:

JSW will monitor the performance of the Contractor regarding material / fundamental

obligations (including COC, safety etc.) and in case, if the Contractor fails, a caution notice will

be issued to them for improvement. Subsequent to issue of caution notice, if the Contractor’s

performance does not improve within a month, JSW may terminate this Contract with a 30

days notice in writing. JSW shall be entitled to loss / damage suffered by it due to such

termination but not including consequential damages/losses. In the event of such termination

the Contractor shall not claim any compensation / damage from JSW towards loss of business

/ profit. JSW may terminate this Contract upon serving 30 days prior written notice to the

Contractor without assigning any reason. Contractor may also terminate this agreement upon

serving 90 days prior written notice to JSW without assigning any reason.

14. Force Majeure:

The Contract shall be terminated if either parties –

a) is prevented from discharging its obligations under this agreement by force majeure, civil

commotions, riot, insurrection, strikes, lockouts, riots, accidents, fire, flood, tempest,

earthquake or other natural calamities or any other cause(s) beyond the control of the

parties.

b) JSW is prevented discharging its obligations on account of interference with production

due to power restrictions or inadequate supply of inputs or restrictions or the booking of

movement by roadways, non-availability of trucks / trailers for dispatches, prohibitions,

institutions of quota and/or other measures or acts of any government, or agency

thereof in such events the contract shall be extended/terminated based on the mutual

agreement.

15. Governing Laws and Jurisdiction:

In the event of any dispute or difference arising out of or in connection with this Contract, the

same shall be resolved amicably in good faith. Failing amicable resolution of such disputes or

differences within 30 days, such dispute or differences shall be referred to the Arbitration of

three arbitrators. Each of us shall appoint one arbitrator and two arbitrators so appointed

shall appoint a third presiding arbitrator. The arbitration shall be conducted in English as per

the Arbitration and Conciliation Act, 1996 as amended from time to time. The arbitrators shall

give reasoned award. The venue of Arbitration shall be Mumbai. The Courts in Mumbai shall

have the exclusive jurisdiction in relation to the interim measures as provided under the

Arbitration and Conciliation Act, 1996.

16. Contract progress and monitoring:

Once the Contractor commenced work, the stockyard incharge is to supervise and ensure

smooth operation on day to day basis. The performance of obligations by the Contractor

regarding receipt, stacking, delivery, and dealing with Railways for re-weighment of wagons

on apprehension of shortage etc. has to be closely and regularly supervised. It should be

ensured that the shortage certificate in case of re-weighment is obtained and the Contractor

gives details of wagons not received within stipulated time.

17. Title to Goods & Materials (Steel products)

The title in the Goods at all stages of work and at all time shall exclusively remain with JSW.

No right of ownership in the same vests in the Contractor. The Contractor shall have no lien or

otherwise any interest in such Goods and shall not be entitled to pledge, hypothecate etc. or

otherwise create any interest or part with the possession of the same.

18. No Assignment

The Contractor shall neither sub-contract nor assign obligations under this Contract, either in

whole or in part, to any third party without the prior written consent of JSW.

19. Indemnity

The Contractor shall be liable for any of the obligations and liabilities whatsoever the

Contractor has towards any of its sub-contractor, employee(s), its deployed workmen/labor or

any other third party either in relation to these Contracts or otherwise which shall be settled

directly by the Contractor without any recourse to JSW. The Contractor shall indemnify and

keep indemnified JSW, its successors or assignees for and against any and all claims, suits,

damages, losses, actions, demands, costs, charges and expenses arising out of any act of

omission or commission of the Contractor.

Annexure I

Material Handing & Stacking Procedure

The purpose of this procedure is to use correct material handling equipments and tools and lay down guidelines for correct

storage of materials. This covers all Stockyards/ Hubs / CAs / Handling Agent, who are responsible for implementation of this

procedure.

Goods when received should be identified for “covered” or “open” stacking.

a) Material when received, to be handled at Railway siding and Yard for particular product group as per guidelines

tabulated below.

b) All materials have to be stacked on dunnage, so that they are not in the direct contact with the ground.

c) CR coils are to be stored on saddles /standardized wooden dunnage, stacked in maximum double high in

designated stacking points in the covered shed 2 meter away from lighting switch.

d) Rubber packing shall to be provided in between two CR coils to avoid metal to metal contact
