COMMITMENT

We hereby commit if our offer is accepted, to undertake the following: -

1- To provide all the basic specifications needed to Alexandria Container & Cargo Handling Co.

(ACCHCO.) to purchase the spare parts from its original manufacturers as follows:-

A- Main components (Engine,Transmission, Drive axle,Spreader,Pumps, Hyd. Controls & valves)

installed in the REACH STACKER (R.S.) must be provided with its original manufacturer

name plate (in English language) .

B- Submit the required copies of complete spare parts and workshop manuals (in English

language) of the main components for each equipment from its original manufacturer,

including the requisition form of spare parts, quantity of parts and codes in equipment ( see

the form of attached spare parts list ) as well as CD (compact disc ) registering these

information .

C- Submit the basic specification for all standard parts installed in the R.S. or in its components

so as to be purchased by (ACCHCO. ) from any local or foreign supplier.

2- To ensure and guarantee that no constraints for (ACCHCO.) to get the spare parts from any of the

sub - suppliers (Even during the warranty period) and that would not make any deals with the sub -

suppliers to refuse supplying any required parts for (ACCHCO.),or to raise its prices than the usual

market prices.

3- The supplier under takes that the prices of the attached & recommended lists spare parts will be

fixed during guarantee period (two years).

4 - Tenderer must assure and provide a guarantee for the continuous production of the R.S. main

components ( engine, transmission , axles;….etc) and their spare parts at least for the coming ten

years and that their local agents can supply at any time the required spare parts and programs to

repair and maintain the equipment’s in good working conditions from the date of final acceptance .

CHAPTER I

1 – General

1.1 Object of the tender

Tenderers are invited by Alexandria Container and Cargo Handling Company (ACCHCo.)

branch (private free zone) for delivery and commissioning of the following:-

- Four in number (two for Alexandria terminal + two for Dekhila terminal) brand-new REACH

STACKERS (R.S. ) capacity not less than 45 ton under twist lock .

- The required RS will be able to handle 20` to 40` ISO containers on terminal tractor’s trailer and

stacking the container by the spreader to a height of five ( 5 ) stacking high cube containers of 9`6"

height in stacking areas.

- The maximum height under twist lock must be not less than 14.8 mt.

- The Reach stacker must be made in USA, Japan ,Great Britain, European Union not under license

(under license will be rejected).

- R.S. painting colour & ACCHCO logo will be determined during commissioning stage.

1.2 Lift capacity

- S.W.L. under twist locks not less than 45 ton for five ( 5 ) stacking high cube containers of 9`6"

at the first row& 35 ton for four ( 4 ) stacking at the second row &not less than 18 ton for (3)

stacking at third row.

1.3 Climatic conditions

The R.S. must be designed and guaranteed by the manufacturer to operate under the following

climatic conditions:

1. Sea water spray and in general a marine atmosphere.

2. Temperature up to 50º C.

3. Relative humidity of 100 %.

4. Area full of smooth dust(Presence of fine sands, and coal dust) .

1.4 Standards and codes

The R.S. must be designed for the heavy – duty operation conditions. New and of the latest

model, robust construction and high reliability to meet the international design standards for this

particular duty (design standards and classes should be mentioned).

The original manufacturer must prove in his experience list that his company has already manufactured in

a wide range the same type of R.S. not be less than 50 trucks of the same R.S. offered,

working in mutli international terminals and of standard series and not of special design to meet

the required specifications the experience list must be registered and stamped from the chamber of

commerce in the manufacturer country.

1.5 Technical service

Tenderers must assure and provide guarantees for the continues production of spare parts for the R.S. at

least for the next ten years and that their local agents can at anytime supply the spare parts required to

maintain the equipment in a good working condition. Further assurance is required that the local agents

can provide technical staff to give technical assistance as may be requested by A.C.C.H.CO for

maintaining and repairing this equipment.

1.6 Spare parts

Tenderers must submit the attached spare parts list (1) and the recommended spare parts list(2)

Prices will be evaluated with the R.S. prices .

Tenderers must submit itemized recommended spare part list(2) for two years. List must

include the determined spare parts in the list in addition to any other spare parts the

manufacturer recommends for safe operating performance .

The supplier under takes that the prices of the attached &recommended spare parts will be

fixed during guarantee period(two years).

The financial evaluation include the attached spare parts and recommended spare parts prices.

Tenderers must indicate their own sub suppliers / manufacturers for main components in R.S.

Tenderers must submit a commitment and guarantee direct supply of spare parts by the

specified sub-suppliers to ACCHCO. without any constraint or overhead additional cost;

Tenderers must state the basic specifications, manufacturers, and codes for main components

installed in the R.S. in order to be purchased by ACCHCO. from any local or foreign suppliers;

All mechanical and electrical components to be installed in the R.S. must be of the standard

production models / types of their original manufacturer (unique, modified and special products

must be avoided).

Tenderers must provide all components with their original manufacturer name plates, specially

for the following:

- Engine,

- Transmission,

- Drive, Steer axles,

- Spreader,

- Hydraulic pumps/motors

1.7 Documents :

The manufacturer must furnish each equipment with 1 copy of the following documents (must be in

English language-all the provided documents and technical charts must be for the offered model and not

generic ):-

Full specification, manual including the name plate data for the R.S. and its different components.

Operating& maintenance manual.

OEM descriptive workshop manual (assembly& disassembly) for engine, transmission, drive axle and

spreader from their original manufacturers .

Hydraulic and electric charts &outlay of connecting plugs for the whole equipment( copy must be

submit in the technical offer)

OEM Spare parts manual for each main component ( engine, transmission, drive axle, spreader )

from their original manufacturers including quantities of parts installed

Spare parts manual from the R.S’s manufacturer with part no. and remarks.

Original fault codes lists must be provided for engine, transmission .

Lubrication and greasing charts for all moving and rotating parts including the recommended and

alternative types of oils and grease covered by our local market ( Shell, Esso, and Mobil products ) .

1.8 Software and hardware

The successful tenderer must submit the following items:-

For each R.S an electric screen sheet (Tab) well-known brand device with display not less than 9.6

inch, octa core processor with software package of engine, transmission.

Eight flash memories include software database for spare parts, maintenance instruction, manual

instruction for all R.S. components (engine, transmission, hydraulic system, control system

,…etc).

1.9 Training and inspection

The manufacturer have to submit training program for two weeks for each of:

Maintenance engineers, technicians and drivers, on site during receiving stage ( primary test).

ACCHCO has the right to send Four Engineers and four technicians at

manufacturer firm for two weeks, air tickets and accommodation and internal

transportation will be on behalf of contractor The manufacturer must submit in the

offer an intensive training course proposal in english language within two weeks at

manufacturer firm, training will be for engine &transmission ,hydraulic , electric

wiring,…etc maintenance, repair, analyzing, faults diagnostic, loading software

program practically on the R.S., ACCHCO will review and evaluate the training

course proposal .

ACCHCO has the right to send four (4) engineers for two weeks for inspection and

testing R.S. performance in the manufacturer factory , air tickets and

accommodation and internal transportation will be on behalf of contractor.

1.10 Factory and site tests:

- Test load under twist locks (handling and maneuvering) must be 45 ton for five ( 5 ) stacking at the

first row& 35 ton for four ( 4 ) stacking at the second row &not less than 18 ton for (3) stacking at

third row .

- Tenderers must submit the factory test certificates for all main components installed in the

R.S.(Engine, axles, transmission, spreader, …etc) .

- Inspection and final tests in tenderer’s factory should be carried out under the supervision of one of

the international societies (LR,GL,ABS,BV) and in the presence of ACCHCO inspectors .

- The stamped certificates by one of the above mentioned international societies should be submitted

at the receiving stage

– All performance tests on site, is bidder’s responsibility and on his account to prepare all facilities

for performance test in primary acceptance .

– Charges due to supervision of the international society in tenderer’s firm will be on the tenderer’s

account .

CHAPTER II

2- R.S. requirements and performance :

2.1 Chassis & boom:

- Main frame must be heavy duty steel construction and of torsion resistant in accordance to the

acceptable international design standards to give maximum durability, rigidity and long service

life.

- The manufacturer must state the material and the chassis construction type.

- The boom must be telescopic box shape section the tenderer must submit full dimentions of the

boom(length, width& thickness) for both inner and outer boom .

- The boom must have a suitable construction to withstand high lateral and torsional stresses in

accordance to relevant international design standards.

- Design standards and classes should be mentioned.

2.2 Engine:

1. The diesel engine must be Volvo or Cummins( Volvo is preferable); new and latest model

;environment adapted of industrial type (Tier III emission compliant) without UREA.

2. The diesel engine must be heavy duty, four stroke in line cylinders arrangement with direct

injection, water cooled and equipped with direct mounted cooling fan and tropical heavy duty

radiator, the engine maximum power without fan must be not less than 350Hp at rated rpm.

3. Fresh air intake to engine must be through a suitable air cleaner with renewable air filter element.

4. Fuel /water-trap separator assembly and must be equipped with water drain system (done from

the cabin is preferable) .

5. The exhaust system must be of heavy duty type mounted in an up-swept position, completely

shielded with suitable expanded metal grill and must incorporate a rain cap or trap.

6. The engine must be protected with a shut-off device in case of mal-function,limphome (low oil

pressure and high water cooling temperature) . it will be checked at factory firm during inspection.

7. R.S shall be equipped with an automatic and adjustable delay shutdown time for engine after

ignition switch off.

8. R.S must be equipped with an automatic shutdown device to stop the engine after adjustable

certain time when the engine working in idle speed without any movement.

9. The engine production year must be the recent year of the offer.

10. The engine must be made by the original manufacturer (USA /G.B./ Western Europe /Japan) not

under license (under license will be rejected).

2.3 Transmission:

- The transmission system must be of a well known standard type, robust, and rated to transmit the

maximum engine torque, the transmission must be heavy-duty power shift with torque converter

suitable for the engine power,

- Number of speeds by gear selector with automatic shift not less than 3 forward and 3 reverse.

- The transmission must be equipped with protection device against sudden direction change.

- Tenderer must prove with a certificate from the transmission manufacturer for the compatibility of

the offered transmission with the offered engine accomplish with the related calculations & curves

to be evaluated.

- The fixation between torque converter and engine must be flexible steel plates (Ring gear will be

rejected).

2.4 Front (drive) axle:

Front drive axle must be Kessler Germany :wider type(not less than 4000 mm) -high strength, heavy-

duty rigid type with dual reductions through drives head and planetary gears in wheel hub.

All front wheel should be mounted on the drive axle .

2.5 Rear (Steer) axle:

Steering axle with extra-wide operational range. Full hydro static power steering single cylinder/ double

acting type, steering shafts must have an ability for greasing. The bidder must submit all detailed

information about the axle (manufacturer, capacity , ……. etc. ).

2.6 Hydraulic system:

- Hydraulic system must consist of pumps,hyd.motors, filters, valves. safety valves must be

incorporated in the speed limiting system for both telescoping , lifting and lowering. Relief valves

must be provided and fitted to the hydraulic system and also safety valves that prevent boom in and

boom lowering in case of hydraulic system failure . Hydraulic oil cooling system must be fitted.

Filters must be fitted in the hydraulic return line.

- Separated hydraulic tanks for brake oil and working hydraulics.

- Adequate number of pressure checking points must be provided at suitable positions as

recommended by the manufacturer.

- The hydraulic system design must have the proper protocol and components that ensure

that no uneven lifting of the RH and LH cylinders that can lead to boom torsion.

2.7 Brake system

- The brake system must be suitable and durable to perform its function. Bidder has to indicate the

manufacturer and specify the system.

- Service brake and parking brake must be separate as follows:-

a. Service brake ( wet disc brake) on drive axle fully enclosed and maintenance free ; actuated from

the cabin by pedal.

b. Parking brake must be actuated from cabin;consists of disc brake on the universal drive shaft.

Preferable to be between universal drive shaft and differential, actuated by a powerful spring and

released hydraulically.

2.8 Steering system:

- Full hydro static power steering single cylinder type . Bidders are requested to specify and submit full

information about the system and manufacturer of its components.

-Steering valve (orbitrol)should be outside the cabin.

2.9 Greasing System

- The R.S. should be equipped with 2 separate automatic greasing units with tank capacity not less

than 6 kgs /unit , to grease and cover all movable & rotating parts (steering, boom ,spreader lifting

cylinders, ..etc).

- Greasing unit must have the ability to setup its pause and operating time.

2.10 Tyres and wheels

- Heavy-duty type interchangeable front and rear wheels pneumatic tyres BAIS type.

- Tyre size must be not less than 1800x33 .

- Bidder must indicates the manufacturer and specifications of tyres and rims .

- Preferable : Bridgestone––Yokohama.

- Drive axel wheels should be four ( 4 ).

- Steer axel wheels should be two ( 2 ).

2.11 Spreader

- Must be telescopic provided with 2 hydraulic extension cylinders (chain type not acceptable) and

high mounted , adjustable for 20 and 40-feet (ISO standard) containers and flats (ELME

INNOVATION is preferable) . Spreader must be equipped with 4 floating/pendular twist locks

and relevant indicators, electric cable and hoses for cylinder of twist lock must be inside spreader

beam.

- Spreader signal lights indicating spreader function status, must be provided on the spreader and

in driver’s cab and must be easily visible by driver for all spreader positions.

- Rotation not less than +190/-95 degree.

- Side shift of spreader must be not less ± 800 mm in both directions.

- The spreader must be able to mechanically pile slope.

- The spreader must be equipped with 2 rotation motors.

The Spreader must be provided with the following safeties:-

a- Safety device preventing container locking, when all twist locks are not correctly seated,

b- Safety device preventing container lifting when all twistlocks are not correctly locked. (no lock no

lift ),

c- Safety device preventing, container unlocking, when all twistlocks are not correctly seated,

d- Safety device preventing, spreader down when twist locks are seated,

e- Safety device preventing spreader extension when spreader is locked,

f- Safety device preventing spreader extension when spreader is seated.

g- Safety device preventing boom extension when spreader is seated.

h- Each twistlock is protected individually against unwanted rotation (mechanical interlocking against

faulty locking and unlocking) .

2.12 Cabin.

1. Must be safe, comfort.

2. Provide wide visibility range for the driver to do his job easily; and has interior mirror.

3. The front shield glass must be safe type(Semi flat is preferable) and equipped with wipers.

4. Cabin must be able to be slide electrically or hydraulically.

5. Two sides’ movable safety glass windows( up to down is preferable).

6. Noise proof, heat insulated and has efficient ventilation.

7. Provided with suitable fire fighting extinguishers (2 x 6 kg powder) From Egyptian local

market to meet the traffic regulations.

# The cabin must be equipped with:-

1- Indicators for the following functions:

a. Spreader correctly seated on the container.

b. Spreader twist locks closed.

2- A multifunctional display must has and indicates :

a- Parker IQAN control or equivelant ( Parker IQAN is preferable ).

b- Written and readable faults (engine, transmission, hydraulic system).

c- Transmission‎ calibration needed must be done from the display.

d- Maintenance intervals must be shown in display (preferable pop up/splash screen) .

e- Lift height ,boom angle & boom length .

f- Engine Cooling temperature

g- Engine RPM.

h- Engine Oil Pressure gauge.

i- Fuel level.

j- Transmission oil temperature and pressure.

k- Hour meter.

l- Container actual weight and total number of the handled containers.

m- Safety override by pass key switch for spreader (preferable done from the display) .

n- Safety over load by pass key switch .

o- Access steps/ladder to the cabin with hand rail must to be from both sides.

3- Multifunction joystick to control hydraulic functions and spreader

4- Control gear shift selector is preferable to be separate .

5- Warning indicators for:-

a. Battery Charging.

b. Low oil pressure for engine.

c. Parking brake.

d. Low oil pressure for brake system.

e. low engine coolant level.

f. Direction indicator.

2.13 Stability

R.S. must be stable at full operating parameters, and protected against tipping .

Stability factor must comply with international standards (standards must be mentioned).

2.14 Performance

Tenderer must submit in his offer:

1 - Boom full out/in time (laden, empty) .

2 - Boom full lifting/lowering time (laden, empty).

3 - Combination time for boom telescopic and derricking.

4 - Spreader telescopic time.

5 -Maximum traveling speed for R.S. with / without load

6 Acceleration rate with / without load.

2.15 Safeties

In addition to the previously stated safeties for hydraulic system stated in item (2 – 6), safeties for

spreader stated in item (2 – 12), and for cabin in item (2-13)

The R.S. must be equipped with:-

1- Anti - tipping device to prevent boom out and lowering the load when the design limits of the

machine have been reached .

2- An audible and visible warning must be fitted to warn the driver when approach 90% of the

max. load.

3- Automatic twist locks locking activation for spreader when are seated.

4- Camera at rear/back up and camera at boom nose with LCD coloured monitor inside the cabin.

5- Transmission protection against sudden change of direction.

6- Rotating beacon on boom.

7- Acoustic back up warning alarm with back up LED light, direction and rear stops indicators

8- Extra working LED (not less than 3000 lumin) under front of outer boom .

9- LED spot lights on spreader (not less than two).

10- LED spot lights(position,reverse,brake and the mudguards.

11- Rear view mirrors in both mudguard sides

12- Maintenance free batteries in a suitable place.

13- Extra external analogue operating hour meter.

The R.S. Is preferable to be equipped with:-

1- Automatic thermal fuses (circuit breaker) .

seat.

3- An external oil dipstick for both engine & transmission.

4- Spot light in electric control box.

2.16 Guarantee:

- The manufacturer must guarantee the R.S with all components manufactured

for a period of two years with unlimited operating hours against 10% of the total value

of the contract.

- After these two years, an additional two years for both boom and chassis guarantee

against 5% from the total value of the contract

The guarantee will be started from primary acceptance /start up date at

ACCHCO site.

B) TOTAL PRICE SHOULD BE WRITTEN IN FIGURES AND IN WORDS. THE UNIT PRICE FOR EACH ITEM

SHOULD BE SPECIFIED IN THE PRICE LIST.

C) NO ERASURES OR CROSSING SHOULD BE MADE IN THE PRICE LISTS.

IN CASE OF ANY DIFFERENCE BETWEEN THE UNIT PRICE AND THE TOTAL PRICE, THE UNIT PRICE

WILL BE CONSIDERED CORRECT.

ART. 3- ORIGIN OF ARTICLES:

IT SHOULD BE MENTIONED CLEARLY IN THE TENDERS THE ORIGIN OF EACH ITEM AND MUST NOT BE UNDER

LICENSE. FALSE INFORMATION GIVEN WILL ENTAIL REFUSAL OF THE ARTICLE. THE TENDERER SHOULD BE

SUBMIT A CERTIFICATE OF ORIGIN LEGALIZED BY A.R.E REPRESENTATION WITH SHIPPING DOCUMENTS.

ART. 4-CUSTOM DUTIES AND TAXES:

PRICES QUOTED BY TENDERERS SHOULD COMPRISE: ALL RIGHT CHARGES, STAMP DUTIES AND ALL OTHER

TAXES ACCORDING TO THE TENDERERS COUNTRY LAW AND FEES TO BE PAID ABROAD ACCORDING TO

THEIR LAWS AND REGULATIONS.

ALL STAMP DUTIES AND TAXES TO BE PAID IN ACCORDANCE WITH LAWS OF THE ARAB REPUBLIC OF EGYPT

(A.R.E.) SHOULD BE BORN BY THE BRANCH OF ( ACCHCO.) - PRIVATE FREE ZONE .

CUSTOMS CLEARANCE WILL BE CARRIED OUT BY THE SUPPLIER ON HIS RESPONSIBILITY AND ACCOUNT

(INCLUDING DOCKAGE & WHARFAGE CHARGES, UNLOADING, LOCAL TRANSPORTATION, AND STORAGE

CHARGES IN A.R.E).

ART. 5-VALIDITY OF TENDERS:

TENDERS MUST BE VALID FOR 90 DAYS FROM THE DESIGNATED DATE OF OPENING ENVELOPE (A).

AT THE EXPIRE DATE OF TENDER VALIDITY, THE TENDERER MAY WITHDRAW HIS PROVISIONAL DEPOSIT,

AND IN THIS CASE THE TENDER BECOMES NULL AND INEFFECTIVE.

IF THE TENDERER WITHDRAWS HIS TENDER BEFORE THE DESIGNATED DATE OF UNSEALING TENDERS, THE

PROVISIONAL DEPOSIT WILL BE FORFEITED TO THE COMPANY WITHOUT NEED FOR ANY NOTICE OR

RECOURES TO COURTS.

IF HE DOES NOT WITHDRAW HIS DEPOSIT, HE WILL BE DEEMED TO REMAIN BOUND BY HIS TENDER UNTIL

TENDERS SUBMITTED BY AGENTS REPRESENTING CONTRACTORS MUST BE ACCOMPANIED BY A POWER OF

ART. 7- PAYMENT TERMS:

THE CONTRACT VALUE SHALL BE PAID BY AN IRREVOCABLE & DIVISIBLE LETTER OF CREDIT AND PAYMENT

TERMS WILL BE AS FOLLOWS:

20% OF THE VALUE OF THE CONTRACT AS ADVANCE PAYMENT AGAINST AN IRREVOCABLE BANK

LETTER OF GUARANTEE OF THE SAME VALUE AND CURRENCY WITHOUT ANY CONDITIONS OR

RESERVATIONS TO BE SUBMITTED BY THE CONTRACTOR AND ACCEPTED BY THE COMPANY VALID FOR

A PERIOD NOT LESS THAN TWO MONTHS AFTER THE DATE OF ACCEPTANCE OF THE TRUCKS ( AS PER

ATTACHED FORM ) .

THE SAID VALUE SHALL BE TRANSFERRED AGAINST A SIMPLE NOTIFICATION FROM THE COMPANY TO

THE BANK.

70% OF THE VALUE OF THE CONTRACT AFTER RECEIVING, COMMISSIONING AND ACCEPTING THE R.S.

10 % OF THE VALUE OF THE CONTRACT AGAINST A CERTIFICATE ISSUED BY THE COMPANY

CONFIRMING THE TERMINATION OF THE TRAINING ON SITE. THE TRAINING PROGRAM SHOULD BE

TWO WEEKS FROM THE DATE OF HANDING OVER AND THE PRELIMINARY ACCEPTANCE OF THE

TRUCKS AFTER CONCLUDING PERFORMANCE TESTS ON SITE.

- IF THE TENDERER DESIRE TO PROPOSE AN ALTERNATIVE PAYMENT TERMS SHOULD BE NOTED THAT ANY

ADVANCE PAYMENT (BEFORE RECEIVING ON SITE) WILL BE AGAINST AN IRREVOCABLE BANK LETTER OF

GUARANTEE OF THE SAME VALUE AND CURRENCY WITHOUT ANY CONDITIONS OR RESERVATIONS.

- IF THE SUPPLIER NEEDS TO CONFIRM THE L/C, THE CONFIRMATION FEES WILL BE BORN BY HIMSELF.

ART. 8 THE PROVISIONAL DEPOSIT:

TENDERS MUST BE ACCOMPANIED BY A PROVISIONAL DEPOSIT LE 1000000 OR EQUIVALENT.

ART. 9 - PAYMENT OF PROVISIONAL DEPOSIT:

THE PROVISIONAL DEPOSIT MAY BE PAID BY EITHER ONE OF THE FOLLOWING:

A) DEPOSIT IN CASH MAY BE PAID INTO THE COMPANY TREASURY AGAINST AN OFFICIAL RECEIPT

WITH NO INTEREST CALCULATED ON DEPOSIT , A COPY OF THE RECEIPT TO BE ATTACHED WITH

THE TENDER .

B) LETTER OF GUARANTEE ISSUED BY ONE OF THE AUTHORIZED LOCAL BANKS WITHOUT ANY

CONDITIONS OR RESERVATIONS, THE BANK MUST GIVE DECLARATION TO PAY IT IN FULL

IMMEDIATELY TO THE COMPANY ON FIRST DEMAND WITHOUT ANY OPPOSITION OF THE CONTRACTOR

(AS PER ATTACHED FORM ) , THE LETTER OF GUARANTEE MUST BE VALID UP TO 60 DAYS AFTER THE

END OF VALIDITY DATE OF THE TENDER .

IN CASE OF SUBMITTING CONDITIONAL L/G, THE TENDER WILL BE CANCELLED.

ART.10. REIMBURSEMENT OF THE PROVISIONAL DEPOSIT :

THE PROVISIONAL DEPOSIT IS TO BE REIMBURSED TO NON-SUCCESSFUL TENDER WITHOUT APPLICATION

AFTER EXPIRATION OF THE SPECIFIED DATE OF TENDER VALIDITY OR IF THE FINAL DEPOSIT OF

SUCCESSFUL TENDER HAS BEEN RECEIVED , WHICH EVER COMES FIRST .

SUCH REIMBURSEMENT IS TO BE MADE AGAINST WITHDRAWAL OF RECEIPT GIVEN FOR CASH

PAYMENTS. IF THE GUARANTEE IS A LETTER FROM A BANK, THE LETTER OF GUARANTEE WILL BE

RETURNED TO THE BANK ITSELF.

ART 11 - THE FINAL DEPOSIT:

THE TENDERER WHO'S OFFER HAS BEEN ACCEPTED MUST SUBMIT 10% OF THE TOTAL VALUE OF HIS

TENDER AS A FINAL DEPOSIT IN SAME CURRENCY WITH MAXIMUM 20 DAYS CALCULATED FROM THE DAY

OF TENDER ACCEPTANCE NOTIFICATIONS (SUPPLY ORDER) AND NOT ALLOWED TO EXTEND THIS PERIOD.

i.e. : IN CASE OF DELAY IN SUBMITTING THE FINAL DEPOSIT WITHIN THE SAID PERIOD THE COMPANY HAS

THE RIGHT TO CANCEL THE CONTRACT, AND PROJECT TO BE PERFORMED ON HIS ACCOUNT BY THE

FOLLOWING TENDERER.

SUCH DEPOSIT WILL BE A SECURITY FOR THE FULFILLMENT OF THE CONDITIONS OF THE CONTRACT, AND

FINAL ACCEPTANCE.

THE FINAL DEPOSIT WILL BE A LETTER OF GUARANTEE ISSUED BY ONE OF THE AUTHORIZED LOCAL

BANKS WITHOUT ANY CONDITIONS OR RESERVATIONS, THE BANK MUST GIVE DECLARATION TO PAY IT IN

FULL IMMEDIATELY TO THE COMPANY ON FIRST DEMAND WITHOUT ANY OPPOSITION OF THE

CONTRACTOR ( AS PER ATTACHED FORM ) , THE LETTER OF GUARANTEE MUST BE VALID 30 DAYS AFTER

THE GUARANTEE PERIOD .

N.B. ALL LETTERS OF GUARANTEE MUST BE ISSUED AND CONFIRMED BY FIRST CLASS BANK IN EGYPT,

PREFERABLE NATIONAL BANK OF EGYPT.

ART. 12 - NOT LODGING THE FINAL DEPOSIT:

IF THE TENDERER DOES NOT LODGE THE FINAL DEPOSIT WITHIN THE PRE-DESCRIBED PERIOD FIXED FOR

LODGING THAT DEPOSIT, BY NOTIFICATION WITHOUT NEED FOR OTHER MEASURES, OR HAVING RECOURSE

TO COURTS THE COMPANY MAY:

A) CANCEL THE SUPPLY ORDER AND FORFEIT THE PROVISIONAL DEPOSIT.

B) FULFILL THE WHOLE OR PART OF THE CONTRACT AT THE CHARGE OF THE TENDERER OR BY ONE OF

THE TENDERERS WHOSE OFFERS COME NEXT TO HIS OWN ONE, OR BY PRIVATE TREATY, OR BY A

LIMITED OR GENERAL ADJUDICATION.

IN SUCH EVENT, THE COMPANY WILL HAS THE RIGHT TO DEDUCT THE VALUE OF ANY DAMAGE OR LOSS

ARISED FROM THAT EVENT FROM ANY SUMS WHICH ARE OR MAY BECOME DUE TO HIM RELATED TO ANY

TRANSACTION WITH THE COMPANY OR BY ANY OTHER GOVERNMENTAL DEPARTMENT AND WITHOUT

PREJUDICE TO ITS RIGHT TO BRING A LAWSUIT FOR SUCH LOSSES OR DAMAGE IF IT FAILED TO RECOVER.

ART. 13- ACCEPTANCE OF TENDER:

THE TENDER WILL BE HELD ON THE LOWEST CONSIDERED PRICE RELATIVE TO ITS TECHNICAL

EVALUATION . TENDER WILL BE EVALUTED TECHICALLY (BY POINT SYSTEM) , THE WINNER WILL BE THE

LOWEST CONSIDERED PRICE ACCORDING TO THE FOLLWING EQUATION :

CLAIM FOR DAMAGE OR ANYTHING ELSE .

ART. 14 - CORRESPONDENCE:

SUPPLIERS ABROAD ARE TO BE NOTIFIED BY FAX OR E-MAIL OR CONFIRMED REGISTERED MAIL.

ART. 15 - THE CONTRACT:

THE CONTRACT TO BE SIGNED BY THE SUPPLIERS OR HIS COMMERCIAL AGENT AGAINST POWER OF

ATTORNEY { PRESENTED WITH ENVELOPE (A) } WITHIN 20 DAYS FROM THE DATE OF SUPPLY ORDER .

IN CASE OF DELAY IN SIGNING THE CONTRACT WITHIN THE SAID PERIOD THIS IS CONSIDERED WAIVING

FROM HIS PART TO PERFORM THE PROJECT; THE COMPANY HAS THE RIGHT TO PERFORM THE PROJECT BY

THE FOLLOWING TENDERER AND THE PRICE DIFFERENCE TO BE BORNE BY THE WAIVING PARTY.

IF THE SUPPLIER MAKE ANY CHANGE IN THE TECHNICAL SPECIFICATION SUBMITED IN HIS TECHNICAL

OFFER FOR ANY REASON AFTER SIGNING THE CONTRACT, THIS IS CONSIDERD A FAULT & FAILURE FROM

HIS SIDE TO MEET THE TENDER BOOK REQUIREMENTS, AND IN SUCH CASE THE COMPANY HAS THE RIGHT

TO CANCEL THE CONTRACT, AND PROJECT TO BE PERFORMED ON HIS ACCOUNT BY THE FOLLOWING

TENDERER.

ART. 16 - CESSION OF CONTRACT:

UNDER NO CIRCUMSTANCE IT IS UNALLOWABLE FOR THE TENDERER OR CONTRACTOR TO ASSIGN THE

CONTRACT OR AMOUNTS DUE TO HIM OR TRANSMIT ITS OBLIGATIONS OR RIGHTS PARTIALLY OR TOTALLY

TO A THIRD PARTY .

ART. 17 - CANCELLATION OF CONTRACT:

THE CONTRACT MAY BE CANCELED AND THE DEPOSIT FORFEITED TO THE RIGHT OF THE COMPANY

(WITHOUT PREJUDICE) TO ANY DAMAGES RESULTING FROM SUCH PROCEDURE IN THE FOLLOWING CASES:

A) IF THE CONTRACTOR RESORTS TO FRAUD OR TO DECEIT IN HIS DEALING , IN SUCH CASE HIS NAME WILL

BE DELETED FROM THE LIST OF CONTRACTORS AND HE WILL NOT BE PERMITTED TO PARTICIPATE IN ANY

ADJUDICATION OR BARGAIN IN ADDITION TO TAKE LEGAL ACTION IF NECESSARY .

B) IF IT IS PROVED THAT THE CONTRACTOR HAS ATTEMPTED PERSONALLY OR BY MEANS OF ANOTHER

PERSON, DIRECTLY OR INDIRECTLY, TO OFFER BRIBERY TO ANY EMPLOYER, OR HAS COMMITTED ANY

HARM TO THE COMPANY, HIS NAME WILL BE DELETED FROM THE LIST OF CONTRACTORS, AND COMPANY

WILL TAKE LEGAL ACTION AGAINST HIM.

C) IF HE BECOMES BANKRUPT OR HAS FINANCIAL DIFFICULTY.

ART. 18 - DECEASE OF THE CONTRACTOR:

IF THE SUPPLIER IS DECEASED, THE COMPANY (THROUGH A NOTICE) WITHOUT NEED FOR A JUDICIAL

PROCEEDING OR RESORTING TO THE COURTS MAY EITHER:

A) CANCEL THE CONTRACT AND REFUND THE DEPOSIT, IF NO CLAIMS ARE EXISTED AGAINST HIM.

B) ALLOW HIS HEIRS ON HIS DEMAND TO CONTINUE THE EXECUTION OF THE CONTRACT, PROVIDED THAT

THEY APPOINT SOMEONE TO REPRESENT THEM LEGALLY WITH OFFICIAL POWER OF ATTORNEY AND

PROVIDED THAT SUCH REPRESENTATIVE IS ACCEPTED BY THE COMPANY. IF THE CONTRACT INCLUDES

SEVERAL CONTRACTORS, AND ONE OF THEM IS DECEASED, THE COMPANY MAY CANCEL THE

CONTRACT AND REFUND THE DEPOSIT OR MAY ALLOW HIS ASSOCIATES TO CONTINUE THE CONTRACT.

ART. 19- DAMAGE IN TRANSPORT AND INSURANCE:

THE SUPPLIER SHALL BE FULLY RESPONSIBLE FOR ALL R.S. AND ITS ATTACHMENTS UNTIL ACCEPTANCE ON

SITE.

ART. 20 - DELIVERY OF THE ITEMS:

THE FOUR (4) LADEN CONTAINER HANDLERS TOP LIFTTRUCKS SHALL BE DELIVERED AS THE FOLLOWING:

- TWO (2) LADEN CONTAINER REACH STACKERS FOR BRANCH OF ALEXANDRIA CONTAINER TERMINAL-

PRIVATE FREE ZONE, QUAY 96 , PORT OF EL DEKHEILA, ALEXANDRIA, EGYPT.

IN A FULLY ASSEMBLED CONDITION LEAVING ONLY MINOR WORK AS USUAL/NORMAL PRACTICE OF REACH

STACKERS START-UP. THE SUPPLIER IS RESPONSIBLE FOR UNLOADING THE REACH STACKERS & ITS

ATTACHMENTS FROM THE SHIP TO THE BRANCH OF ACCHCO. PRIVATE FREE ZONE PREMISES, QUAY 49-54

PORT OF ALEXANDRIA & QUAY 96 PORT OF EL DEKHEILA, ALEXANDRIA – EGYPT.

THE TENDERER MUST STATE IN HIS TENDER THE TOTAL PERIOD NECESSARY TO SUPPLY THE ITEMS WHICH

TO BE COUNTED FROM THE DATE OF THE TWO PARTIES SIGN THE CONTRACT, AND MUST SUBMIT THE

SCHEDULE OF SUPPLY (WITHIN ONE MONTH AFTER CONTRACT COMING IN FORCE).

ON THE ARRIVAL OF THE CONTRACTED ITEMS TO SITE A COMMITTEE APPOINTED BY THE COMPANY WILL

BE ON SITE TO CARRY OUT THE TESTS.

THE COMMITTEE IS ENTITLED TO EXAMINE EACH ITEM AND ALL ITS PARTS TO CHECK THAT ALL ARE

SOUND AND IN GOOD CONDITION. ALL TESTS AND CERTIFICATES SHALL BE ON THE SUPPLIER

RESPONSIBILITY AND ON HIS EXPENSE. THE SUPPLIER MUST DELIVER THE ITEMS CONTRACTED WITHIN THE

PERIODS AND PLACES SPECIFIED IN THE CONTRACT ACCORDING TO THE ORDER OF SUPPLY.

DELIVERY PERIOD WILL BE CONSIDERD IN EVALUATION AND IT MUST INCLUDE ALL

VACATIONS

ART. 21 - REJECTION OF ITEMS AND WORKS:

IN CASE OF ONE OR MORE ITEMS FOUND MISSING, DAMAGED, DETERIORATED OR HAVE ANY DEFICIENCY

OR DEFECT OR NOT IN CONFORMITY WITH THE APPROVED SAMPLE OR WITH THE SPECIFICATIONS WILL BE

REJECTED BY THE COMMITTEE WITH A NOTICE IN WRITING TO THE CONTRACTOR, OR HIS COMMERCIAL

AGENT EXPLAINING THE REASON OF REJECTION, AND DEMAND HIM TO WITHDRAW THE REJECTED ITEMS,

AND SUPPLY REPLACEMENT WITHIN MAX. TEN WORKING DAYS (14 DAYS) EXCLUDES CUSTOMS CLEARANCE

PERIOD FROM THE NEXT DAY OF NOTIFYING HIM OR HIS COMMERCIAL AGENT BY FAX OR E-MAIL, AFTER

THIS PERIOD THE COMPANY HAS THE RIGHT TO TAKE THE NECESSARY PROCEDURES FOR REPLACEMENT

ON THE CONTRACTORS ACCOUNT . THE CONTRACTOR HAS NO RIGHT TO DISCUSS THE EXPENSES INCURRED

THE MANNER ADOPTED BY THE COMPANY IN CARRYING OUT .

THE REJECTED ITEMS SHALL REMAIN AT THE CONTRACTOR'S RISK UNTIL THE DATE OF THEIR REMOVAL .

IN ALL CASES THE REJECTED ITEMS MUST BE WITHDRAWN WITHIN (4) FOUR WEEKs FROM THE NEXT DAY

OF THE NOTIFICATION. ELSE A STORAGE FEE EQUAL (2) PERCENT OF THE VALUE OF THE GOODS PER WEEK,

OR ANY FRACTION OF WEEK UP TO FOUR WEEKS WILL BE CHARGED. AFTER THIS PERIOD THE COMPANY

WILL HAVE THE RIGHT TO SELL THESE GOODS AND DEDUCT FROM THE SALE PRICE ANY AMOUNT WHICH

MAY BE DUE TO IT, THE COMPANY IS NOT RESPONSIBLE FOR ANY DAMAGE WHICH MAY OCCUR TO THE

REJECTED ITEMS THROUGH FIRE OR OTHER CAUSE PENDING THEIR WITHDRAWL BY THE CONTRACTOR OR

DISPOSAL THEREOF BY THE COMPANY.

ART. 22- DELAY IN DELIVERY:

IN CASE OF DELAY, ON THE SUPPLIER PART IN THE SUPPLY OF THE WHOLE OR PART OF CONTRACT AFTER

THE DATE FIXED IN THE CONTRACT . THE COMPANY MAY GRANT TO THE SUPPLIER AN EXTENSION PERIOD

FOR THE SUPPLY SUBJECT TO FINE IN RESPECT OF THE DELAY AS (1%) FOR EVERY WEEK OR PART OF IT, IN

ANY CASE THE TOTAL AMOUNT OF THIS FINE SHALL NOT EXCEED (3%) OF THE VALUE OF THE CONTRACT .

FINE WILL BE CALCULATED TO THE FULL VALUE OF THE R.S. , IF THE DELAYED PART WOULD DIRECT OR

INDIRECT LEAD UP TO HINDER THE R.S. USAGE WITH FULL SATISFACTION AS WELL AS WITHIN THE FIXED

DELIVERY PERIOD .

IN CASE OF THE SUPPLIER FAILS TO FULFILL ANY OF THE CONTRACT CONDITIONS OR IN CASE HE

BREACHES OR FAILURE TO PERFORM ANY OF HIS CONTRACTUAL OBLIGATIONS , HE HAS TO PROPERLY

START CURE SUCH A DISCREPANCY WITHIN TEN WORKING DAYS MAX. EXCLUDES CUSTOMS CLEARANCE

PERIOD FROM THE NEXT DAY OF NOTIFYING HIM OR HIS COMMERCIAL AGENT THROUGHT A REGISTER

CERTIFIED LETTER BY MAIL , FAX OR E-MAIL , OTHERWISE THE COMPANY HAS THE RIGHT TO ADOPT

EITHER OF THE TWO FOLLOWING ALTERNATIVES, WITHOUT NEED OF HAVING RECOURSE TO THE COURTS:

A) PROCURE ELSE WHERE EITHER BY PRIVATE TREATY, OR BY LIMITED OR PUBLIC ADJUDICATION OR

BARGAIN FOR THE OBLIGATIONS WHICH THE SUPPLIER FAILED TO SUPPLY, ANY EXCESS IN PRICE DUE

TO SUCH PROCUREMENT PLUS ANY OTHER CHARGES OVER AND ABOVE THE AMOUNT OF FINE

INFLICTED ON ACCOUNT OF DEFAULTS OFFERED IN SUPPLY ARE TO BE DEDUCTED FROM THE DEPOSIT

OFFERED IN SECURITY ON THE CONTRACT OR FROM ANY SUMS THAT MAY BE DUE TO THE

CONTRACTOR BY THE COMPANY OR BY ANY OTHER GOVERNMENTAL DEPARTMENT.

SHOULD HOWEVER THE PROCUREMENT PRICE OF ANY ARTICLES BE LESS THAN THAT OF THIS

CONTRACT, HE WILL NOT BE ENTITLED TO THE DIFFERENCE AS WELL AS WILL NOT BE EXEMPTED

FROM THE FINE RELATING TO THE DELAY IN SUPPLY OR THE OTHER CHARGES .

B) TERMINATE THE CONTRACT ON HIS OWN AND THE FORCE ON LAW AND FORFEIT THE FINAL DEPOSIT

AMOUNTING (10%) OF ITS VALUE AS WELL AS ALL FINES AND COMPENSATIONS DUE TO THE COMPANY

AFTER SERVING A NOTICE TO THE CONTRACTOR AND WITHOUT PREJUDICE TO THE RIGHT OF THE

COMPANY TO TAKE LEGAL ACTIONS AGAINST THE CONTRACTOR FOR RIGHTS WHICH THE COMPANY

FAILED TO RECOVER .

ART. 23 - PROVISIONAL ACCEPTANCE:

IN THE DATE WHEN THE R.S. HAVE BEEN TESTED BY THE COMMITTEE APPOINTED BY THE COMPANY UNDER

THE SUPERVISION OF THE INTERNATIONAL SOCIETY, AND TRANING HAS BEEN COMPLETED, APROVISIONAL

ACCEPTANCE CERTIFICATE WILL BE ISSUED.

ART. 24 - GUARANTEE:

THE TENDERER WILL GUARANTEE THE R.S. WITH ALL COMPONENTS MANUFACTURED FOR A PERIOD OF 24

MONTHS (WITH UNLIMITED OPERATING HOURS) FOLLOWING PROVISIONAL ACCEPTANCE OF THE R.S. BY THE

COMPANY.

AFTER THESE TWO YEARS, AN ADDITIONAL GUARANTEE 24 MONTHS FOR BOTH BOOM AND CHASSIS

THE SUPPLIER GUARANTEES THAT THE R.S. WILL WORK EFFICIENTLY TO PERFORM ALL REQUIRED TARGETS

DURING THE GUARANTEE PERIOD AND AS FOLLOWS:

1- THE SUPPLIER IS COMMITTED AS SOON AS NOTIFYING HIM OR HIS COMMERCIAL AGENT BY FAX

OR E-MAIL TO REPAIR, OR REPLACE ON HIS ACCOUNT, ANY DEFECTED EQUIPMENT OR PARTS OF IT

WITHIN TEN WORKING DAYS MAX. NOT INCLUDED CUSTOMS CLEARANCE PERIOD COUNTED FROM THE

NEXT DAY OF NOTIFYING HIM OR HIS COMMERCIAL AGENT BY FAX OR E-MAIL DURING THE GUARANTEE

PERIOD.

IN CASE OF DELAYS IN THE REPAIRING WORKS MORE THAN THE MAX. SPECIFIED DATE ( TEN WORKING

DAYS ) , THE COMPANY HAS THE RIGHT FOR COMPENSATION OF (250 EURO) FOR THE R.S. , AGAINST

TECHNICAL DEFECT, MANUFACTURING DEFECTS OR DEFECTS DUE TO FABRICATING MATERIALS FOR

EVERY DAY TO COMPENSATE THE LOSS OCCURED TO THE COMPANY AS A RESULT OF STOPPING WORK ,

AND IF THE SUPPLIER FAILS TO ACHEIVE SAID REPAIR , THE COMPANY WILL HAVE THE RIGHT TO

EXECUTE THE REQUIRED WORKS ON THE ACCOUNT AND RESPONSIBILITY OF THE SUPPLIER .

THE COMPENSATION WILL BE COUNTED FROM THE NEXT DAY FOLLOWING OF THE ABOVE MENTIONED

SPECIFIED DATE, AND EACH CASE OF DELAY WILL BE CONSIDERED SEPARATELY WITH MAXIMUM

AMOUNT NOT EXCEED 10% (TEN PERCENT) OF THE VALUE OF THE R.S.

2- IN ALL CASES , ON REPLACING ANY PART OF THE R.S. PARTS DURING THE GUARANTEE PERIOD , AS

A RESULT OF ANY DEFECTS , A NEW GUARANTEE PERIOD OF TWENTY FOUR (24) MONTHS FOR THIS PART

OF THE R.S. WILL BE CONSIDERED AND STARTED FROM DATE OF BEING EFFICIENTLY OPERATED AFTER

REPLACEMENT .

3- ALL PERIODS OF STOPPING THE R.S. RESULTING FROM MALFUNCTION DUE TO DEFECTS DURING THE

GUARANTEE PERIOD WILL BE ADDED TO THE ORIGINAL GUARANTEE PERIOD OF THE R.S. .

ART 25 - FINAL ACCEPTANCE:

CONTRACT WHERE NO STIPULATIONS HAVE BEEN MADE IN IT .

FORCE MAJEURE IS APPLIED WHEN EVENTS OUTSIDE THE CONTROL OF THE SUPPLIER OCCURE SUCH AS

RIOTS OR CIVIL COMMOTION , WAR OR CIVIL WAR , FLOOD , EARTHQUAKE , LANDSLIDE OR SIMILAR

NATURAL DISASTERS, ALSO FOREIGN GOVERNMENTS WARNINGS FOR TRAVELING RESTRICTIONS FOR

THEIR CITIZENS IN CASE OF INSTABILITIES INSIDE EGYPT. THE SUPPLIER MUST DECLARE AND PROVE

THESE EVENTS AT ONCE AND SATISFACTION OF THE COMPANY THAT THESE EVENTS WERE REASONABLY

OUTSIDE HIS CONTROL.

THE SUPPLIER UNDERTAKES TO OBEY ALL GOVERNMENTAL AND LOCAL LAWS AND REGULATIONS

CONCERNING EXECUTION OF THIS CONTRACT AND SHOULD BE RESPONSIBLE FOR THE DISCIPLINE IN THE

SITE. THE SUPPLIER HAS TO OBEY THE ORDER OF THE COMPANY TO DISMISS ANY EMPLOYEE WHO

NEGLECT IN HIS WORK OR DOES NOT OBEY THE RULES OR REGULATIONS OF THE COMPANY OR TRIES TO

CHEAT THE SUPPLIER UNDERTAKES ALL THE SAFETY MEASURES (O.H.S.A.S) TO AVOID ALL INJURIES OR

DEATH OF THE WORKERS OR ANY THIRD PARTY IN THE SITE OR DAMAGE TO ANY PERSON OR MATERIAL OR

PHYSICAL DAMAGE TO PROPERTY WHATSOEVER .

THE RESPONSIBILITIES IN SUCH CASE ARE DIRECT WITHOUT THE INTERVENTION OF THE COMPANY. IF THE

SUPPLIER FAILS TO FULFILL THESE MEASURES THE COMPANY SHOULD UNDERTAKES TO FULFILL ALL THE

SAFETY MEASURES ON HIS ACCOUNT, THE SUPPLIER SHOULD INSURE ALL HIS WORKERS AGAINST

ACCIDENTS AND CIIVIL INJURIES AND WILL BE SOLELY RESPONSIBLE FOR THEM FOR INDEMNITY .

Preamble

Alexandria Container Handling Company (First Party) has announced the

General tender no. ( ) for year 2019/2020, for the delivery and handing

over of Four RS with capacity 45 ton under spreader for Alexandria and

Dekhela container terminals.

According to the authorization granted from General Authority For

Investment and free zones no. 460 for the year 2005 dated 16/1/2005 ,

according to the tender technical specifications and conditions stipulated

under the published tender documents and to the conclusions reached by

the technical and financial evaluation committees for the said tender and to

the documents and ratifications included within them and the negotiation

session held on / /2019, from which it was concluded to accept the offer

submitted by .

(only ) representing 10% from the total contract value as a

performance guarantee to grant the contract performance , issued by

bank without any conditions or restrictions payable at the first party first

demand and the advance payment guarantee no. dated with

total value (only ) representing 20% from the total contract

value, issued by bank without any conditions or restrictions payable at

the first party first demand and valid with the transfer of its amount and a

Power of Attorney dated notarized and legalized for the person who

have the right to sign the contract.

After the two parties fully acknowledged their qualifications for contracting

tender documents.

This value is final and the second party has no right to ask for any reason to

increase it. The First Party is committed to pay this value through issuing an

irrevocable and divisible letter of credit to be issued within maximum two weeks

from the contract date, the Second Party will bear confirmation fees in case he

request to confirm the L/C. The payment of this value in installments as follows:

20% (Twenty Percent) of the contract value as advance payment, against

advance payment bank letter of guarantee of the same value and currency, issued

by a local bank operating in Arab Republic of Egypt subject to the central bank of

Egypt supervision, irrevocable and without any conditions or reservations, valid for

a period not less than two months after the date of arrival of the contractual items

on site of the first party terminals location in Alexandria and Dekhela -Private Free

Zone-. according to the advance payment letter of guarantee template included in

the tender documents , this installment to be paid within maximum three weeks

from the contract signing date.

70% (Seventy Percent) from the value of each RS and its spare parts after

preliminary acceptance by the First Party on Site. This installment to be paid within

maximum four weeks from the date of vessel arrival at Alexandria port or two

month from the bill of lading date.

10% (Ten Percent) of the contract value against certificate issued by the First

Party after completion of the training on site on the RSs after commissioning and

operation. This installment to be paid within maximum one month from the

preliminary acceptance date. The training has to be executed within two week from

the date of handing over and the preliminary acceptance of the RSs and after

concluding tests.

All the above mentioned installments will be paid against a written notification from

the First Party to the bank issuing the letter of credit.

In case of First Party is delayed in implementing his contractual obligations

including but not limited to transfer of installments and the letter of credit

issuance, the delayed time to be added to the delivery period.

Article No. 4 :-

All duties, stamp duties, and all other taxes and fees to be paid outside of

Egypt shall be born by the Second Party.

The Second party to conclude all customs clearance procedures for the

contracted items on his responsibility and account (pay costs) starting from

the vessel berthing and discharging and till the contracted items are inside

the location of first party branches in Alexandria and Dekhela container

terminals – Private Free Zone , also the second party is committed to pay

any bank charges (if any) resulting from delivery delay after the agreed

delivery period in the contract. Also any expenses resulting from shortage in

the delivered items or related to the items which are delivered separately

after the RSs delivery.

All duties, stamp duties, and all other taxes and fees to be paid inside of

Egypt shall be born by the First Party except for what is mentioned in the

above paragraph.

Article No. 5 :-

The Second Party is committed to deliver and hand over (4) RSs Model

and their relevant spare parts to the location of first party branches in

Alexandria and Dekhela container terminals – Private Free Zone on due date

maximum months CIF Alexandria seaport starting from the contract

signing date, this delivery period excludes the custom clearance period,

which will be concluded by the second party. In case of second party delivery delay, in supplying of the whole or part of

contractual items after the fixed due date in the contract, including the

rejected items, the First Party may grant the Second Party an extension

period to deliver, subject to delivery delay penalty in respect of the delay

interval, being (1%) for every week or part of a week from the value of the

undelivered quantities or items , in any case the total amount of this delay

penalty shall not exceed (3%) from the value of items in which the second

party delayed to deliver, the delivery delay penalty will be applied upon the

delay occurrence without the need for any warnings or legal disputes.

operation of the RS, the delivery delay penalty will be calculated on the total

value of each RS.

Second Party’s responsibility

The Second Party’s responsibility under this contract shall be limited to the

amount of the actual direct damages incurred by the First Party. The First

Party shall be entitled to no other remedies regardless of the form of claim

or cause of action, whether based in contract, negligence or otherwise. The

Second Party’s overall maximum liability (including e.g. liquidated damages)

to the First Party relating to this contract or the Works shall not exceed forty

percent (45%) of the Total Contract Price.

Without any contradictions with the delivery delay penalty mention in this

contract item.

Article No. 6 :-

In case the First Party will find any shortage in the contractual items or a non

conformity with the conditions or specifications, the first party will notify by

fax the Second Party, followed by a confirmed registered mail on the Second

Party address outside the country, but the date of fax will be considered as a

base, and will also notify by fax in the same date his commercial agent

followed by a registered mail, explaining the reasons of rejection and

requesting them to withdraw the rejected articles and supply a replacement.

In all cases the Second Party or his agent must withdraw the rejected

articles within 15 days maximum calculated from the second day of the

notification date. Otherwise a storage fee will be applied equivalent to 2% of

the value of the rejected items per week or part of a week up to four weeks

maximum.

After four weeks The First Party will have the right to sell these goods on

behalf of the second party and the expenses to be deducted from the sales

sum, without any contradiction with what have been mentioned in article 6

from this contract.

It is agreed upon according to this contract that the responsibility and the

ownership of the First Party shall start from the date of preliminary

acceptance of the RSs and their attachments and spare parts, and before

that all responsibilities for the RSs are the Second Party responsibility.

Article No. 7 :-

The Second Party is committed to supply the mechanical, electrical and

electronic components for the contracted RSs, from the original

manufacturer and not manufactured under license, in accordance to the

sub-suppliers list submitted in the offer.

The second party is committed to submit a certificate of origin for those RSs

certified by the Chamber of commerce.

The second party is also committed that all main components (Engine ,

Transmission , Front axle , Spreader) of the RSs to have a fixed name plate

in English language from the original sub supplier.

The Second Party is committed to ensure the availability of the necessary

and essential spare parts specially the main spare parts when requested

and ordered which will be needed to keep the RSs in operation for at least a

period of ten years after the end of the warranty period,and fixing the prices

of spare parts attached & recommended during the guarantee period (24

months)

The second party is committed to allow the first party to purchase the spare

parts directly from any of the sub-suppliers, according to the part numbers or

code numbers indicated in the spare part list of each RS, submitted from the

original manufacturer incase they are not delivered.

Article No. 8 :-

The Second Party is allowed to modify the agreed delivery schedule if it was

necessary, and in this case the First Party may agree on doing these

changes in the delivery schedule without any effect on the total delivery

period and without any contradiction with conditions of articles 6 and 14

from this contract.

Article No. 9 :-

Both parties have agreed that the international classification society (LR,

GL, ABS ,or BV) is assigned to issue the certificates and supervise the tests

at the factory according to delivery time schedule and to issue an original

certificates authenticated from them upon the completion of Tests and

revise the technical specification and to insure its compliance with the

tender documents Technical conditions and specifications related to this

contract.

The second party will be responsible for the international classification

society costs and expenses. The First Party has the right to delegate four

engineers for a period of two weeks to inspect the RSs and test the

functionality and inspect the spare parts and tools, They are responsible to

issue an inspection report signed by both parties during inspection at factory

for all the found remarks during the inspection which are not in compliance

with the technical specifications specified in the second party offer and the

second party is obliged to rectify those remarks prior to shipping.

Full accommodation, airfares and internal transportation will be on behalf of

the Second Party, the second party is also committed to handover to the first

party all the issued certificate by the international classification society.

The second party is committed to submit the factory test certificates for the

main components (engine , transmission , front axle and spreader)

Article No. 10 :-

On site training: the Second Party is committed to provide a training course

for the first party employees (engineers - technicians –operators) for two

weeks on site during the preliminary acceptance.

Factory training: The Second Party is committed to provide a training course

for training eight engineers and technicians for duration of two weeks in the

factory premises in, Full accommodation, airfares and internal transportation

to be born by the second party.

Article No. 11 :-

The Second Party guarantee that the RSs and their components will be

brand new and genuine and complying with the latest design and that all the

equipments are genuine and produced by the original manufacturers and

not under licenses, and in accordance with the contractual technical

specifications and the recent international technological levels also that The

RSs will not have any defects or faults due to wrong design or materials or

due to fabrications and should perform efficiently during the guarantee

without violating the civil law decrees in regards of the warranty for the

hidden defects.

The second party is committed to provide any enhancements, modifications,

or new technologies done by the original manufacturer to the first party in

sufficient time to use them when needed.

Article No. 12 :-

The Second Party guarantees that the RSs will work efficiently to perform all

required targets during the warranty period and as follows :

1- During the warranty period, the Second Party is committed as soon as

notifying him or his commercial agent in written by fax, to repair or replace,

on his account, any defected equipment or parts of it within ten working

days (fourteen days) maximum excluding customs clearance period ,counted

from the next day of notifying him by fax.

In case the Second Party fails to achieve the said repair, the First Party will

have the right to execute the required works on the account and

responsibility of the Second Party.

In case of delay in the repairing works more than the maximum due date

(fourteen days), the First Party has the right for compensation penalty

amounting (250) two hundred and fifty EURO per each RS per day to

compensate the loss occurred to the first party as a result of stopping

operations, and the compensation penalty will be counted from the next day

following the above mentioned grace period for the repair, and each case of

delay will be considered separately, with maximum value of 10% from each

RS value.

2- In all cases, when replacing any part of the RS parts, during the warranty

period, as a result of manufacturing defects mentioned in article no. 12 of

this contract, a new warranty period of twelve months, for this specifically

replaced part of the RS, will be considered and counted from the date of

being efficiently operated after replacement.

3- All stoppage periods (down times) of the RSs, resulting from malfunctions

due to manufacturing defects during the warranty period, will be added to

the original warranty period of the RSs.

Article No. 13:-

If the Second Party would fail to fulfill his obligations for the supply and

commissioning of the contracted RSs or spare parts , fully or partially, at

the specified delivery date mentioned in the contract or within the extra

grace period, the First Party has the right without warning or any legal

procedures , to adopt one of the following two alternatives after notifying the

Second Party or his commercial agent by fax on his address mentioned in

the contract:

1. To purchase the items which the second party failed to deliver from any

other sources and on his account in a way granting the fast delivery , either

through a general or public or limited tender or limited bargaining or direct

award with the same previously announced and contracted technical

specifications and conditions, any excess in price due to such procurement

shall be deducted from the value of the deposited guarantee or any due

amounts at the first party side or any other governmental authorities, in

addition to any administration expenses that the first party incurred to

implement such procurement, however should such procurement price of

any articles be less than that of the contract price , the second party will not

be entitled to the difference, as well as will not be exempted from the

delivery delay penalty or the compensation penalty.

2. To terminate the contract in relation to the undelivered items and to

liquefy the performance guarantee amounting 10% from the contract value,

without the prejudice to first party deserved delivery delay or compensation

penalties who will also have the right to recourse to the courts against the

second party to what he could not conduct for any rights due to him.

Article No. 14:-

The First Party is responsible to finalize the procedures of issuing the

required authorization letters for the imported items and to be certified from

the general authority of investment and to furnish all the necessary power of

attorneys and authorization letters to the second party essential to conclude

the customs clearance procedure also to facilitate the necessary procedures

for allowing the entrance of all concerned persons working for the Second

Party to the customs area, to fulfill their obligations under this contract.

Article No. 15:-

The Second Party submitted a performance guarantee no. dated with total value (only ) representing 10% from the total contract

value as a performance guarantee to grant the contract performance, issued

by bank without any conditions or restrictions payable at the first party

first demand by the First Party. The letter of guarantee is valid for 30 days

following the end of the main warranty period (24 ) month and final

acceptance of contractual items except the chassis and BOOM.

This letter of guarantee value to be reduced to an amount of 5% from its

original total value , to be (only ) upon the expiry of the

main warranty period (24) month and final acceptance of contractual items

except the chassis. And to be extended with the amount of (only ) until the expiry of the addition warranty period related to the

chassis only, which is 24 month starting from the expiry of the main warranty

period.

Article No. 16:-

Force Majeure applied when events outside the control of Second Party and

can not be predicted on the issuance of this contract occur, such as riots or

civil strikes, terrorism ,war or civil war, flood, earthquake, landslides or

similar natural disasters or circumstances , The second party must report

Force Majeure upon its occurrence, Visa refusals by embassies for the first

party personnel also foreign governments warnings for travelling restrictions

for their citizens in case of instabilities inside Egypt and any of the above

circumstances won’t be considered unless the second party submit the

relevant evidencing documents legalized from the Egyptian Embassy abroad.

Article No. 17 :-

Under no circumstance shall the Second Party assign the contract or any

amounts due to him partly or totally.

Article No. 18 :-

It is understood that, as a result of presence of any remarks during the

preliminary acceptance or during the warranty period or as a result of

presence of any amounts of applied penalties, the First Party has the right to

deduct these values from any sums that may be due to the Second Party or

from the performance guarantee, without the need of sending alerts or

warnings, incase those remarks were not rectified in the period mentioned in

the contract.

Article No. 19 :-

Legal disputes and actions arising out of the contract shall be dealt with

according to the Egyptian law with the Egyptian courts in Alexandria.

Article No. 20 :-

The provisions of the civil law and maritime trading law no.17 for the year

1999 and the law no.72 for the year 2017 for the guaranty of investments

and its execution list and the First Party’s regulations relating to contracts,

purchasing and stores to be considered complementary to this contract

conditions where it is not explicitly stated.

Article No. 21 :-

Both parties agreed that the chosen location of the second party in Egypt is

its commercial agent premises stated at the contract heading to which all

fax correspondences are legally effective and their dates are considered,

which to be confirmed later by registered mail.

Article No. 22 :-

Intellectual Property Rights , All drawings, technical documents and software

submitted to the first party remain Second Party's property. First Party is

allowed to use them for the purpose of operating, maintaining or installing

the equipment.

Article No. 23:-

Contract has been issued in 4 originals in Arabic and English languages.

Each party has received one original to act in accordance in case of need,

while the remaining copies is keep with the first party for administrative and

legal procedures, incase of contradiction between the Arabic and English

texts that Arabic text shall prevail.
