In furtherance to our intimation letters dated November 1, 2018 and February 7, 2019, we would like to inform that the Shareholders of the Company have, through Postal Ballot, approved the following:

1. Re-appointment of Ms. Sharmila Sahai (DIN: 00893750) as the Managing Director of the Company for a term of 3 consecutive years with effect from November 18, 2018.

2. Re-appointment of Ms. Gagan Singh (DIN: 01097014) as an Independent Director of the Company for a term of 5 consecutive years with effect from April1, 2019.

3. Re-appointment of Mr. Bijou Kurien (DIN: 01802995) as an Independent Director of the Company for a term of 5 consecutive years with effect from April 1, 2019.

4. Re-appointment of Mr. Pradeep Mukerjee (DIN: 02287773) as an Independent Director of the Company for a term of 5 consecutive years with effect from April 1, 2019.

Brief profile of these directors is enclosed herewith as Annexure A.

Ms. Sharmila Sahai, Ms. Gagan Singh, Mr. Bijou Kurien and Mr. Pradeep Mukerjee are not related to any Director of the Company.

Annexure A

Ms. Sharmila Sahai

Ms. Sharmila Sahai has been leading Timex Group India Limited as the Managing Director since November 18, 2013. She has over 27 years of extensive experience of selling consumer goods within India, Asia, the Middle East and Africa. She played a key role in successfully strategizing and launching new categories and concepts for leading brands in the Indian market. Prior to joining Timex, Ms. Sahai served as the Managing Director of Sennhieser India Limited. Her other experiences were with Philips, Sony, Dabur India, Fedders Lloyd Corporation Limited and Kelvinator of India Limited. She has been part of two startups Sony India and Sennheiser India.

Ms. Sahai holds a B.A. from Lady Sriram College- University of Delhi, India and a Post Graduate Diploma in Marketing Management from The Centre for Management & Development India.

Ms. Gagan Singh

Ms. Gagan Singh has more than 30 years of experience across several Industries and retired recently as the Chief Executive Officer- Business of JLL India and Chairperson of JLL Sri Lanka.

Ms. Singh is currently consulting with Anarock Property Consultants Pvt. Ltd as Chief Evangelist -Culture. She is a Trustee of Salaam Baalak Trust and Founder Member and Vice President of Youthreach. She is also on Advisor to the BD Foundation and uses this platform to mentor high potential women professionals.

She has served as the Managing Director of Benetton India Private Limited until April 2007.

She is a chartered accountant and cost accountant.

Mr. Bijou Kurien

Mr. Bijou Kurien has been associated with marquee brands in the fast moving consumer products, consumer durables and retail industry in India for over 35 years. His association with the

development of Indian retail is over 25 years. After earning his spurs at Hindustan Unilever Ltd., he

joined the founding team at Titan Industries, where he helped build powerful brands in the Watch

and Jewellery Industry like Titan, Fastrack, Sonata, Tanishq etc. and also create India's largest

exclusive brand retail chains. In his stint with Reliance Retail, he was at the forefront of one of the most ambitious retail ventures ever which dramatically transformed the Indian retail landscape.

Currently, he is a member of the Strategic Advisory Board of L Catterton Asia (sponsored by the

LVMH Group), an Independent Director on several listed and unlisted Consumer and Technology

Company Boards, and also advises several consumer product companies and mentors a few start­

ups.

Mr. Bijou Kurien has been associated with the India Retail Forum & Retailers Association of India

(RAJ) and has significantly contributed to its development. In addition, he is also a member of the

World Retail Congress since its inception, as a member of its Advisory board as well as the Grand

Jury for selection of the World Retail award winners.

In addition to retail industry fora, he is the Mentor of the FICCI National Retail Committee, member

of the Advisory Council of the Retailer Association of India (RAJ), and Governing boards of various

academic institutions. He has also received several acknowledgements including Retail CEO of the

Year (2013) by ET Now, Asia Pacific Retail Leader of the Year (2012) by the World Retail Congress

etc.

Mr. Bijou Kurien is a science graduate and also did PG Diploma in Business Management from XLRI,

Jamshedpur.

Mr. Pradeep Mukerjee

Mr. Pradeep Mukerjee is the Founder- Director of Confluence Coaching & Consulting and a Partner in Global Human Resource Lead Partners LLP. He is also an Executive Coach certified at the Mastery level by International Coach Federation in USA.

Mr. Mukerjee has been CEO of Mercer in India and prior to that, he was associated with Citigroup in

various positions including Human Resources Director and Vice President, India, Sri Lanka and

Bangladesh and as Vice President in the United States and in Gulf Countries.

He has done Masters in Personnel Management and Industrial Relations from Tata Institute of

Social Sciences & Industrial Relations, Mumbai and Bachelor of Science from Indian Institute of

Technology, Kharagpur.
