THE LAW OF UNINTENDED CONSEQUENCES Where one lives can change ones perspective Six years ago we moved from Lexington Kentucky tothe Tennessee county with the lowest populationdensity and lowest per capita income of any county in astate where per capita income as a whole is 132lower than the national average according to 2010census data As a direct result of that move myimmediate gut reaction to last weeks brief suspensionof exports of horses for slaughter to Canada wasdifferent than it might have been had I remainedsurrounded--insulated actually--by the wealthierconfines of Fayette County Kentucky Although never as whole-hearted in my support asmost in the Thoroughbred industry I approved of theclosure of horse slaughtering plants in the United Statesover the last decade After our move south however Iwitnessed the iron hand of the law of unintendedconsequences

First popularized by sociologist Robert K Merton inthe 1930s the law of unintended consequences saysthat intervention in any complex system tends to createunanticipated and often undesirable outcomes Thoseconsequences can be positive or negative but thephrase is most often applied to situations where anintended solution makes a problem worse sometimeseven causing actions opposite to the solutions originalintent Even before our move my Tennessee friends andrelatives who raise Tennessee Walking Horses andQuarter horses were lamenting the demise ofslaughterhouses not because they are heartless soulswho want to see horses killed but because they arehorse lovers who cannot bear to see horses starveThey knew that many horse owners in our area do nothave the means to keep horses they do not need Threewinters ago I witnessed direct evidence of their worstfears coming true Along the two-mile road from the major four-lanehighway to our house we watched three horses in a 10-acre field next to the road grow steadily thinner asautumn darkened into winter There were none of thebig round bales of hay that we use here to feedlivestock and no feed troughs or buckets visible in thepasture My cousin and her husband own the 300-acre farmacross the road from the starving horses a farm thatproduces around 600 bales of hay a year They placed abale of hay over the fence of their neighbor for thehorses Cont p10

The next day a crude hand-lettered cardboard signappeared attached to the bale of hay APlease do notfeed our horses Report the offenders to the authorities you say Onlyat the risk of having your hay barn or other buildingsburned down People do not take kindly to what theysee as snitches in this area It has happened Thus my reaction to the brief closure of the Canadianborder to slaughter transport was decidedly moreambivalent than it would have been a few years earlierThe overwhelming majority of the more than 130000horses shipped to Canada or Mexico for slaughter eachyear are not Thoroughbreds Many of them are horseslike those in my unconscionably recalcitrant neighborsfield horses that no one wants have no usefulpurpose and no one to feed and care for them properly The Thoroughbred industry and the people who ownand breed Thoroughbreds can afford to arrange for thecare of retired racehorses Indeed it is imperative thatwe do so if we want to survive the scrutiny of a publicthat is already doubtful of our humanitarian impulsesThe numerous retirement farms that have cropped uparound the country and organizations like theThoroughbred Retirement Foundation CANTER ReRunand the Thoroughbred Adoption Network are necessaryhighly admirable and deserving of the monetary supportof everyone in the industry Cont p11

KENTUCKY COURT UPHOLDS lsquoRACHELrsquoRULING Friday the Commonwealth of KentuckyCourt of Appeals upheld the circuit court=s decision toaward Thoro-Graph and its founder Jerry Brown a$25000 quantum meruit judgment in their favor foradvice and information provided to James Lauffer inconnection with the purchase of Rachel Alexandra in2008 Brown had disputed the circuit court=s findingarguing that the amount should have been $271423saying AQuantum meruit is an equitable doctrinegranting one gtwho has rendered services in aquasi-contractual relationship the reasonable value ofservices rendered= Lauffer had also filed an appealarguing that he should not have to pay Brown anycommission Yesterday Brown issued a statement regarding thefinding which read AThough I completely disagree withthe Court=s ruling as to how much I should be paid formy work I am glad there is finally a clear record ofwhat transpired As the Court said in the summer of2008 I was approached by a joint venture consisting ofthree people one of them [James] Lauffer asking meto recommend a filly to purchase and to race The jointventure asked me to send my commission rates inwriting that August which I did Three months later Isent an email containing my data and arecommendation they purchase Rachel Alexandra whoat that point had run five times and never won a stake[James] Lauffer then called me to discuss myreasoning I said based on my data and analysis shewas already comparable to top 2-year-old filly StardomBound and had a brighter future At the end of thatconversation we discussed my rates the same ones Ihad sent and Lauffer indicated they would be an issueAfter that conversation as the court said Lauffer twicecalled the bloodstock agent in the deal Don Brauer tosee whether he could avoid paying my commissionsBrauer told him that would not be ethical

AThen Lauffer called me again to try to get me toreduce my rates which I refused to do the statementcontinued AHe then called Brauer and told him the jointventure was no longer interested in purchasing RachelFour days later Lauffer acting on his own bought ahalf interest in her for $500000 Six months later after she won the Oaks he sold hisinterest netting a profit of $45 million He paid menothing We believe there are clear errors in the rulingand plan to contest it but I will leave the legal analysisto the lawyers Lauffer=s lawyer Tom Miller was satisified with theruling AI certainly anticipated the judge=s ruling awarding a$25000 commission would be upheld because that isexactly what Mr Lauffer offered Jerry Brown in theirfirst conversation Miller explained AAll the testimonyas the opinion says confirms that a standardbloodstock commission is 5 So it was a $500000purchase and Mr Lauffer agreed to pay 5 to MrBrown plus he paid another 3 to another agent Sohe has offered to pay 8 and the judge did a good jobof understanding that Miller did admit that he was disappointed that hiscountersuit had been rejected AWe filed a countersuit because we believe the law inKentucky requires that any commission arrangement tobe in writing Miller said AThis one was not so wedidn=t think it could be enforced In other words wethink the $25000 commission was reasonable and thatis what Mr Lauffer offered But since Jerry Brownrejected that I didn=t think that the law would permithim to recover any amount of money because it wasn=tin writing Still Miller said his client will not appeal the decision AWe have already sent him a check for $25000 onceand Mr Lauffer is going to do the same thing againThe other side has the opportunity to appeal but as faras we=re concerned we would like to settle it forexactly what we originally offered
